RESOLUTION NO. 2007 - 218
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
REDDING APPROVING AND AUTHORIZING THE MAYOR
TO SIGN THE AMENDED AND RESTATED NORTHERN
CALIFORNIA POWER AGENCY JOINT POWERS AGREEMENT
WHEREAS, the Northern California Power Agency (NCP A) was fonned in 1968 for the
purpose of utilizing the joint action of participating public power entities to pursue common interests
for the benefit of all such members; and
WHEREAS, the NCP A's Joint Powers Agreement (Agreement) was initially developed on
July 19, 1968, and subsequently revised on April I, 1973; and
WHEREAS, in addition to Redding, the Cities of Alameda, Biggs, Gridley, Healdsburg,
Lodi, Lompoc, Palo Alto, Redding, Roseville, Santa Clara, and Ukiah, the Bay Area Rapid Transit
District, the Port of Oakland, the Truckee-Donner Public Utility District, and the Turlock Irrigation
District are signatory participants to the Agreement and the Plumas-Sierra Rural Electric Cooperative
is an associate member of the NCP A and has also executed the Agreement; and
WHEREAS, the Agreement may be revised from time to time as approved by the NCP A
Commission and individually by all governing bodies ofthe signatories to it; and
WHEREAS, during the Spring of2006, the Commission ofthe NCP A established an ad hoc
Governance Committee to address matters related to member entry to and exit from the NCP A
programmatic effort areas, as well as to identifY corresponding member funding policies and budget
allocation procedures; and
WHEREAS, the Governance Committee completed its efforts and made several specific
recommendations to revise and update the Agreement including:
I) Revising the annual Agreement member assessment from a maximum of 10 cents per peak
kW to a maximum of 15 cents per MWh of retail load, or if no retail load is served, other
suitable measure;
2) Providing for a minimum of two (2) years' notice to withdraw from the Agreement; and
3) Revising and removing certain elements of the Agreement to be more consistent and to
comport with current business practices and procedures; and

WHEREAS, the proposed Amended and Restated NCP A Agreement (Amended Agreement)
incorporates the above described Governance Committee recommendations and other updates to the
Amended Agreement as recommended by the NCP A's staff and their general counsel to strengthen
NCP A operations and to effectively meet member needs;
WHEREAS, the NCPA Commission on September 28,2007, unanimously approved the
Amended Agreement and further recommended that the governing boards ofNCPA's members
approve the Amended Agreement; and
WHEREAS, the Amended Agreement strengthens NCP A operations and provides Redding
greater certainty ofNCP A service levels to more effectively serve the Electric Utility customers of
Redding;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Redding that
they deem it in the best interests of the City's Electric Utility customers that the City Council hereby
approves and authorizes the Mayor to sign the Amended Agreement on behalf of the City.
BE IT FURTHER RESOLVED the City Council of the City of Redding finds that the
adoption of this Resolution does not constitute a project under the California Environmental Quality
Act Guidelines and, therefore, no environmental assessment is required.
I HEREBY CERTIFY that the foregoing Resolution was introduced, read, and adopted at a
regular meeting of the City Council on the 4th day of December, 2007, by the following vote:
