The Water Utility has sufficient budget capacity to fund the Program, and its implementation will not adversely affect other planned activities or projects. The total contract amount of $12,201,000 will be distributed evenly over the approximately 10-year contract term through quarterly payments of$305,025. For Fiscal Year 2026-27, $915,080 of the yearly amount of$1,220,100 wi11 be appropriated due to the timing of the contract. Water Utility funding for the contract will be appropriated and budgeted annually in coordination with the terms of the contract. Report to Redding City Council August 12,2026 Re: 4.11(c)--Award Rec�uest for Proposal No. 5680 for Water Storage Tank Repair and Maintenance Page 2 Alternative Action City Council may choose not to award the contract for water storage tank repair and maintenance services. This alternative would likely require the repairs and maintenance to be completed through multiple capital improvement projects, which would significantly delay needed repairs and recoating of water storage tanks, and substantially increase costs to the Water Utility. Background/Analysis The City's water system includes approximately 555 miles (2.93 million feet) of conveyance and distribution pipelines, 17 groundwater wells, 10 pump stations, and 11 water storage tanks that provide a total of 32.7 million gallons (MG) of storage. The eleven water storage tanks are located on nine sites throughout the City's water service area, with two tanks located at the City's Hill 900 and Enterprise tank sites. There are two concrete tanks and nine welded steel tanks. The tank sizes range from 0.2 MG to 6 MG, with an average tank size of 3 MG. The City's water storage tanks are generally in acceptable condition. However, several of them are due or overdue for major renovations, including recoating, structural repairs, ventilation improvements, as well as security, safety, and access upgrades to meet current codes and regulations. Under the attached Consulting and Professional Services Contract, if authorized by the Council, Superior Tank Solutions, Inc., wi11 provide a full-service repair and maintenance program for the City's water storage tanks. Tanks will be repaired and upgraded to meet current industry standards and applicable codes, including California Occupational Safety and Health Administration (Cal-OSHA) requirements with upgrades to ladders, fa11 protection, and access hatches. Manways and tank ventilation wi11 be improved. Tank security will be improved with alarms on all access hatches. Stee1 tanks wi11 be recoated and cathodic protection will be installed to extend the life of the steel struct�ures. All tanks will be inspected annually, and tank interiors will be cleaned and inspected three times during the Contract term. Additionally, on-call and emergency services are included to repair vandalism or unforeseen issues that may occur at the tanks. A more detailed scope of services for the Program is provided in the attached Contract. The Assistant City Attorney has approved the attached contract as to form. Staff estimates that delivering this work through multiple capital improvement projects would cost nearly $1'7 million, primarily due to the additional design, project administration, bidding, and construction management costs. The proposed program is expected to save the Water Utility approximately$5 million while completing the work more efficiently. Consultant Selection Process A review and selection panel was formed with three members from the Public Works Wat�r Utility and Engineering Divisions. The panel's evaluation was based on each consultant's ability and qualifications to perform the work and their proposed fee. The panel members evaluated and scored each proposal based on consultants' corporate profile and stability, firm experience, project team qualifications and experience, program approach and schedule, and the geographic location of the proposed teain. After the qualifications were scored, the sealed cost proposals were opened, evaluated, and scored. The review panel met on April 20, 2026 to discuss scores from the consultants' proposals to determine their overall score based on qualifications, and then reviewed and scored the consultants' fees. The panel scored and ranked the firms as follows: Rank Firm Total Score Avera e Score 1 Su erior Tank Solutions, Inc. 259 86 2 USG 223 74 3 Resource Develo ment Co. 192 64 It is the opinion of the selection panel that Superior Tanks Sol�utions, Inc. is the most qualified consultant to provide the required services. This opinion is in part based on Superior Tank Sol�utions, Inc.'s: • Excellent understanding of the Program scope of work based on its detailed tank inspections conducted during the pre-proposal meeting; • Extensive experience with similar long-term tank maintenance programs for municipalities across the country, including several in Northern California; • Detailed improvement schedule based on its tank-specific evaluations and the urgency of identified repairs; and • Proposed cost-saving alternatives that reduced overall Program costs. In addition, the cost for the negotiated scope of work included in the proposed contract is lower than the cost proposals submitted by the other firms. Repair and maintenance of the City's water storage tanks is critical and necessary for the Water Utility to continue to deliver high quality water to its customers. Staff believes Superior Tank Solutions, Inc. is the most qualified �rm to perform these services based on its technical gualifications, relevant experience, proposed program approach, and competitive cost. Accordingly, staff recommends that the Council approve the recommended actions, including awarding a contract to Superior Tank Solutions, Inc. in an amount not to exceed$12,201,000. Envir�onmental Review Staff has determined that the project is categorically exempt from environmental review under California Environmental Quality Act Guidelines, pursuant to Sections 15301 - Existing Facilities. Class 1 exemptions include the minor alteration of existing facilities, equipment, and topographical features involving negligible or no expansion of use. The existing water tanks will be repaired and maintained, and the activity will not result in expansion of use. The action areas have been reviewed and they do not have significant value for wildlife habitat or other environmental resources. The project has no potential to have a significant effect on the environment. THIS CONTRACT is made at Redding, California,by and between the City of Redding("City"), a municipal corporation, and Superior Tank Solutions, Inc., a California corporation, ("Consultant") for the purpose of Water Storage Tank Repair and Maintenance Services. WHEREAS, City does not have sufficient personnel to perform the services required herein thereby necessitating this Contract for personal services. NOW, THEREFORE, the Parties covenant and agree, for good consideration hereby acknowledged, as follows: SECTION 1. CONSULTANT SERVICES Subject to the terms and conditions set forth in this Contract, Consultant shall provide to City the services described in Exhibit A,attached and incorporated herein. Consultant shall provide the services at the time,place and in the manner specified in E�ibit A. SECTION 2. COMPENSATION AND REIMBURSEMENT OF COSTS A. City shall pay Consultant for services rendered pursuant to this Contract, at the times and in the manner set forth in Exhibit:B, attached and incorporated herein, in a total amount not to exceed Twelve Million and Two Hundred and One Thousand Dollars ($12,201,000.00). This sum includes all out-of-pocket travel, lodging and incidental expenses incurred by Consultant that are reasonably associated with the provision of services under this Contract. The payments specified herein shall be the only payments to be made to Consultant for services rendered pursuant to this Contract. B. Consultant shall submit invoices to City on a quarterly basis. Unless otherwise approved in writing by City, Consultant shall invoice an equal portion of the total contract amount each quarter during the term of this Contract. Each quarterly invoice shall be in the amount of Three Hundred and Five Thousand and Twenty-Five Dollars ($305,025.00) and shall include a summary describing the services performed during the invoiced quarter. C. All correct,complete and undisputed invoices sent by Consultant to City sha11 be paid within thirty(30) calendar days of receipt. D. Pursuant to Section 1781 of the Labor Code, Contractor is advised that the work contemplated in this contract is subject to the payment of prevailing wages. The prevailing wage of each job classification may be found by inquiry with the Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 1 Rev. 8/23 California Department of Industrial Relations. Contractor shall comply with all laws related to the performance of public work including, but not limited to, the employment of apprentices pursuant to Section 1777.5 of the Labor Code, work day/week hours and overtime rates pursuant to Sections 1813 and 1815 of the Labor Code and the obligation set forth in Sections 1774-1776 of the Labor Code in regards to payment of prevailing wages and to provide the City of Redding and Department of Industrial Relations certified payrolls when required. A certified copy of all payroll records relative to this project shall be submitted to the City of Redding along with the related invoice. Receipt of certified payroll records is a prerequisite to receiving payment. E. N�o contractor or subcontractor may be listed on a bid proposal for a public works project unless registered with the Department of Industrial Relations pursuant to Labor Code Section 1'725.5. N�o contractor or subcontractor may be awarded a contract for public work on a public works project unless registered with the Department of Industrial :Relations pursuant to Labor Code Section 1'725.5. All contractors and subcontractors must furnish electronic certified payroll records to the Labor Commissioner. This requirement applies to all public works projects,whether new or ongoing. Contractor is further advised that the work contemplated herein is subject to compliance monitoring and enforcement by the Department of Industrial Relations. SECTION 3. TERM AND TERMINATION A. Consultant shall commence work on or about August 10, 2026 and complete said work no later than December 31, 2036. Time is of the essence. B. If Consultant fails to perform its duties to the satisfaction of City, or if consultant fails to fulfill in a timely and professional manner its obligations under this Contract, then City shall have the right to terminate this Contract effective immediately upon City giving written notice thereof to Consultant. C. Either Party may terminate this Contract without cause on thirty (30) calendar days' written notice. Notwithstanding the preceding, if the term set forth in Section 3.A. of this Contract exceeds ninety(90)calendar days in duration, Consultant's sole right to terminate shall be limited to termination for cause. D. Consultant hereby acknowledges and agrees that the obligation of City to pay under this Contract is contingent upon the availability of City's funds which are appropriated or allocated by the City Council. Should the funding for the project and/or work set forth herein not be appropriated or allocated by the City Council, City may terminate this Agreement by furnishing at least thirty (30) calendar days' written notice of its intention to terminate. In the event of a termination pursuant to this subdivision, Consultant shall not be entitled to a remedy of acceleration of payments due over the term of this Agreement. The Parties acknowledge and agree Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 2 Rev. 8/23 that the power to terminate described herein is required by Article 16, Section 18, of the California Constitution, and that constitutional provision supersedes any law, rule,regulation or statute which conflicts with the provisions of this Section. E. In the event that City gives notice of termination, Consultant shall promptly provide to City any and all finished and unfinished reports, data, studies,photographs, charts or other work product prepared by Consultant pursuant to this Contract. City shall have full ownership, including, but not limited to, intellectual property rights, and control of all such finished and unfinished reports, data, studies, photographs, charts or other work product. F. In the event that City terminates the Contract, City shall pay Consultant the reasonable value of services rendered by Consultant pursuant to this Contract; provided, however, that City shall not in any manner be liable for lost profits which might have been made by Consultant had Consultant completed the services required by this Contract. Consultant shall, not later than ten (10) calendar days after termination of this Contract by City, furnish to City such financial information as in the judgment of the City's representative is necessary to determine the reasonable value of the services rendered by Consultant. G. In no event shall the termination or expiration of this Contract be construed as a waiver of any right to seek remedies in law, equity or otherwise for a Party's failure to perform each obligation required by this Contract. SECTION 4. MISCELLANEOUS TERMS AND CONDITIONS OF CONTRACT A. City shall make its facilities accessible to Consultant as required for Consultant's performance of its services under this Contract, and, upon request of Consultant, provide labor and safety equipment as required by Consultant for such access. B. Pursuant to the City's business license ordinance, Consultant shall obtain a City business license prior to commencing work. C. Consultant represents and warrants to City that it has all licenses, permits, qualifications and approvals of any nature whatsoever that are legally required for Consultant to practice its profession. Consultant represents and warrants to City that Consultant shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Contract any licenses, permits and approvals that are legally required for Consultant to practice its profession. D. Consultant shall, during the entire term of this Contract, be construed to be an independent contractor and nothing in this Contract is intended, nor shall it be construed, to create an employer/employee relationship, association, joint venture relationship,trust or partnership or to allow City to exercise discretion or control over the professional manner in which Consultant performs under this Contract. Any and all taxes imposed on Consultant's income, imposed or assessed by reason of this Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 3 Rev. 8/23 Contract or its performance, including but not limited to sales or use taxes, shall be paid by Consultant. Consultant shall be responsible for any taxes or penalties assessed by reason of any claims that Consultant is an employee of City. Consultant shall not be eligible for coverage under City's workers' compensation insurance plan, benefits under the Public Employee Retirement System or be eligible for any other City benefit. E. No provision of this Contract is intended to,or shall be for the benefit of,or construed to create rights in, or grant remedies to, any person or entity not a party hereto. F. No portion of the work or services to be performed under this Contract shall be assigned, transferred, conveyed or subcontracted without the prior written approval of City. Consultant may use the services of independent contractors and subcontractors to perform a portion of its obligations under this Contract with the prior written approval of City. Independent contractors and subcontractors shall be provided with a copy of this Contract and Consultant shall have an affirmative duty to assure that said independent contractors and subcontractors comply with the same and agree to be bound by its terms. Consultant shall be the responsible party with respect to all actions of its independent contractors and subcontractors, and shall obtain such insurance and indemnity provisions from its contractors and subcontractors as City's Risk Manager shall determine to be necessary. G. Consultant, at such times and in such form as City may require, shall furnish City with such periodic reports as it may request pertaining to the work or services undertaken pursuant to this Contract, the costs or obligations incurred or to be incurred in connection therewith, and any other matters covered by this Contract. H. Consultant shall maintain accounts and records, including personnel, property and financial records, adequate to identify and account for all costs pertaining to this Contract and such other records as may be deemed necessary by City to assure proper accounting for all project funds. These records shall be made available for audit purposes to state and federal authorities, or any authorized representative of City. Consultant shall retain such records for three (3) years after the expiration of this Contract, unless prior permission to destroy them is granted by City. I. Consultant shall perform all services required pursuant to this Contract in the manner and according to the standards observed by a competent practitioner of Consultant's profession. All products of whatsoever nature which Consultant delivers to City pursuant to this Contract shall be prepared in a professional manner and conform to the standards of quality normally observed by a person practicing the profession of Consultant and its agents, employees and subcontractors assigned to perform the services contemplated by this Contract. J. All completed reports and other data or documents, or computer media including diskettes, and other materials provided or prepared by Consultant in accordance with Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 4 Rev. 8/23 this Contract are the property of City, and may be used by City. City shall have all intellectual property rights including, but not limited to, copyright and patent rights, in said documents,computer media,and other materials provided by Consultant. City shall release, defend, indemnify and hold harmless Consultant from all claims, costs, expenses, damage or liability arising out of or resulting from City's use or modification of any reports, data, documents, drawings, specifications or other work product prepared by Consultant,except for use by City on those portions of the City's project for which such items were prepared. K. Consultant, including its employees, agents, and subconsultants, shall not maintain or acquire any direct or indirect interest that conflicts with the performance of this Contract. Consultant shall comply with all requirements of the Political Reform Act (Government Code § 8100 et seq.) and other laws relating to conflicts of interest, including the following: 1) Consultant shall not make or participate in a decision made by City if it is reasonably foreseeable that the decision may have a material effect on Consultant's economic interest, and 2) if required by the City Attorney, Consultant shall file financial disclosure forms with the City Clerk. SECTION 5. INSURANCE A. Unless modified in writing by City's Risk Manager, Consultant shall maintain the following noted insurance during the duration of the Contract: Coverage Required Not Required Commercial General Liability X Comprehensive Vehicle Liability X Workers' Compensation and Employers' Liability X Professional Liability(Errars and Omissions) X Pollution Liability X (Placc an"x"in the appropriatc box) B. Coverage shall be at least as broad as: 1. Insurance Services Office form number CG-0001, Commercial General Liability Insuranee, in an amount not less than$2,000,000 per occurrenee and $4,000,000 general aggregate for bodily injury, personal injury and property damage; 2. Insuranee Serviees Office form number CA-0001 (Ed. 1/87), Comprehensive Automobile Liability Insurance, which provides for total limits of not less than $1,000,000 combined single limits per accident applicable to all owned, non-owned and hired vehicles; Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 5 Rev. 8/23 3. Statutory Workers' Compensation required by the Labor Code of the State of California and Employers' Liability Insurance in an amount not less than $1,000,000 per occurrence. Both the Workers' Compensation and Employers'Liability policies shall contain the insurer's waiver of subrogation in favor of City, its elected officials, officers, employees, agents and volunteers; 4. Professional Liability (Errors and Omissions) Insurance, appropriate to Consultant's profession, against loss due to error or omission or malpractice in an amount not less than $1,000,000. 5. The City does not accept insurance certificates or endorsements with the wording "but only in the event of a named insured's sole negligence" or any other verbiage limiting the insured's insurance responsibility. 6. Contractor Pollution Liability,in the amount of$2,000,000,to include but not limited to coverage for bodily injury, property damage and cleanup arising from pollution conditions created by the Contractor or encountered during work at job site. Coverage must apply to cleanup, damage or injury that occurs on, or that originates from, the site. C. Any deductibles or self-insured retentions must be declared to and approved by City. At the option of the City,either: the insurer shall reduce or eliminate such deductibles or self-insured retentions as respects the City, its elected officials, officers, employees, agents and volunteers; or the Consultant shall procure a bond guaranteeing payment of losses and related investigations, claims administration and defense expenses. D. The General Liability shall contain or be endorsed to contain the following provisions: 1. City,its elected officials, officers, employees, and agents are to be covered as additional insured as respects liability arising out of work or operations performed by or on behalf of Consultant; premises owned, leased or used by Consultant; or automobiles owned, leased, hired or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded to City, its elected officials, officers, employees, agents and volunteers. 2. The insurance coverage of Consultant shall be primary insurance as respects City, its elected officials, officers, employees, agents and volunteers. Any insurance or self-insurance maintained by City, its elected officials, officers, employees, agents and volunteers, shall be in excess of Consultant's insurance and shall not contribute with it. Coverage shall state that the insurance of Consultant shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 4. Each insurance policy required by this Contract shall be endorsed to state that coverage shall not be canceled except after thirty (30) calendar days' prior written notice has been given to City. In addition, Consultant agrees that it shall not reduce its coverage or limits on any such policy except after thirty (30) calendar days' prior written notice has been given to City. E. Insurance is to be placed with insurers with a current A.M.Best's rating of no less than A-VII. F. Consultant shall designate the City of Redding, 777 Cypress Avenue, Redding, CA 96001 as a Certificate Holder of the insurance. Consultant shall furnish City with certificates of insurance and original endorsements effecting the coverages required by this clause. Certificates and endorsements shall be submitted electronically via the PINS Advantage system. A link will be provided for the Consultant, or their insurance agent, to enter and upload documents directly to PIN�S Advantage. The certificates and endorsements for each insurance policy are to be signed by a person authorized by the insurer to bind coverage on its behalf. All endorsements are to be received and approved in PINS Advantage by the City's Risk Manager prior to the commencement of contracted services. City may withhold payments to Consultant if adequate certificates of insurance and endorsements required have not been submitted as described above or provided in a timely manner. G. The requirements as to the types and limits of insurance coverage to be maintained by Consultant as required by Section 5 of this Contract, and any approval of said insurance by City, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by Consultant pursuant to this Contract, including, without limitation,provisions concerning indemnification. H. If any policy of insurance required by this Section is a"claims made"policy,pursuant to Code of Civil Procedure § 342 and Government Code § 945.6, Consultant shall keep said insurance in effect for a period of eighteen(18)months after the termination of this Contract. I. If any damage, including death, personal injury or property damage, occurs in connection with the performance of this Contract, Consultant shall immediately notify City's Risk Manager by telephone at(530)225-4068. N�o later than three(3) calendar days after the event,Consultant shall submit a written report to City's Risk Manager containing the following information, as applicable: 1) name and address of injured or deceased person(s); 2) name and address of witnesses; 3) name and address of Consultant's insurance company; and 4) a detailed description of the damage and whether any City property was involved. Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 7 Rev. 8/23 BOND REQUI:REMENTS BOND REQUIREMENTS Consultant shall furnish and maintain a Payment Bond and Performance Bond, each in an amount equal to or greater than one hundred percent (100%) of the annual amounts provided in the Bond Schedule set forth in Exhibit:B, as amended only by mutual written agreement of both parties. The "Payment Bond" (Materials and Labor Bond) shall satisfy claims of material suppliers and of inechanics and laborers employed by it on the work. The bond shall be maintained by the Contractor in full force and effect until the Work is accepted by the City, and until all claims for materials and labor are paid, and shall otherwise comply with the Civil Code. The "Performance Bond" shall guarantee faithful performance of all work, within the time prescribed, in accordance with the Contract documents, in a manner satisfactory to the City, and that all materials and workmanship will be free from original or developed defects. Bonds shall be renewed annually not less than thirty (30) days prior to expiration. If any bond is canceled,expires,or becomes unenforceable,Consultant shall provide replacement security within ten (10) business days of notice from the City. SECTION 6. INDEMNIFICATION AND HOLD HARMLESS A. Consistent with California Civil Code § 2782.8, when the services to be provided under this Contract are design professional services to be performed by a design professional, as that term is defined under Section 2782.8, Consultant shall, to the fullest extent permitted by law, indemnify protect, defend and hold harmless, City, its elected officials, officers, employees, and agents, and each and every one of them, from and against all actions, damages, costs, liability, claims, losses, penalties and expenses (including, but not limited to, reasonable attorney's fees of the City Attorney or legal counsel retained by City, expert fees, litigation costs, and investigation costs) of every type and description to which any or all of them may be subjected by reason of, or resulting from, directly or indirectly, the negligence, recklessness, or willful misconduct of Consultant, its officers, employees or agents in the performance of professional services under this Contract, except when liability arises due to the sole negligence, active negligence or misconduct of the City. B. Other than in the performance of professional services by a design professional, which is addressed solely by subdivision(A) of this Section, and to the fullest extent permitted by law, Consultant shall indemnify protect, defend and hold harmless, City, its elected officials, officers, employees, and agents, and each and every one of them, from and against all actions, damages, costs, liability, claims, losses,penalties and expenses (including, but not limited to, reasonable attorney's fees of the City Attorney or legal counsel retained by City, expert fees, litigation costs, and Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 8 Rev. 8/23 investigation costs) of every type and description to which any or all of them may be subjected by reason of the performance of the services required under this Contract by Consultant its officers, employees or agents in the performance of professional services under this Contract, except when liability arises due to the sole negligence, active negligence or misconduct of the City. C. The Consultant's obligation to defend, indemnify and hold harmless shall not be excused because of the Consultant's inability to evaluate liability. The Consultant shall respond within thirty (30) calendar days to the tender of any claim for defense and indemnity by the City, unless this time has been extended in writing by the City. If the Consultant fails to accept or reject a tender of defense and indemnity in writing delivered to City within thirty (30) calendar days, in addition to any other remedy authorized by law, the City may withhold such funds the City reasonably considers necessary for its defense and indemnity until disposition has been made of the claim or until the Consultant accepts or rejects the tender of defense in writing delivered to the City, whichever occurs first. This subdivision shall not be construed to excuse the prompt and continued performance of the duties required of Consultant herein. D. The obligation to indemnify, protect, defend, and hold harmless set forth in this Section applies to all claims and liability regardless of whether any insurance policies are applicable. The policy limits of said insurance policies do not act as a limitation upon the amount of indemnification to be provided by Consultant. E. City shall have the right to approve or disapprove the legal counsel retained by Consultant pursuant to this Section to represent City's interests. City shall be reimbursed for all costs and attorney's fees incurred by City in enforcing the obligations set forth in this Section. SECTION 7. CONTRACT INTERPRETATION VENUE AND ATTORNEY FEES A. This Contract shall be deemed to have been entered into in Redding, California. All questions regarding the validity, interpretation or performance of any of its terms or of any rights or obligations of the parties to this Contract shall be governed by California law. If any claim, at law or otherwise, is made by either party to this Contract, the prevailing party shall be entitled to its costs and reasonable attorneys' fees. B. This document, including all exhibits, contains the entire agreement between the parties and supersedes whatever oral or written understanding each may have had prior to the execution of this Contract. This Contract shall not be altered, amended or modified except by a writing signed by City and Consultant. No verbal agreement or conversation with any official, officer, agent or employee of City, either before, during or after the execution of this Contract, shall affect or modify any of the terms or conditions contained in this Contract, nor shall any such verbal agreement or Consulting and Professional Services Agreement(Prevailing Wage and Bonds) Page 9 Rev. 8/23 conversation entitle Consultant to any additional payment whatsoever under the terms of this Contract. C. No covenant or condition to be performed by Consultant under this Contract can be waived except by the written consent of City. Forbearance or indulgence by City in any regard whatsoever shall not constitute a waiver of the covenant or condition in question. Until performance by Consultant of said covenant or condition is complete, City shall be entitled to invoke any remedy available to City under this Contract or by law or in equity despite said forbearance or indulgence. D. If any portion of this Contract or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, the remainder of this Contract shall not be affected thereby and shall be enforced to the greatest extent permitted by law. E. The headings in this Contract are inserted for convenience only and shall not constitute a part hereo£ A waiver of any party of any provision or a breach of this Contract must be provided in writing, and shall not be construed as a waiver of any other provision or any succeeding breach of the same or any other provisions herein. F. Each Party hereto declares and represents that in entering into this Contract, it has relied and is relying solely upon its own judgment, belief and knowledge of the nature, extent, effect and consequence relating thereto. Each Party further declares and represents that this Contract is made without reliance upon any statement or representation not contained herein of any other:Party or any representative, agent or attorney of the other Party. The Parties agree that they are aware that they have the right to be advised by counsel with respect to the negotiations, terms, and conditions of this Contract and that the decision of whether or not to seek the advice of counsel with respect to this Contract is a decision which is the sole responsibility of each of the Parties. Accordingly, no party shall be deemed to have been the drafter hereof, and the principle of law set forth in Civil Code § 1654 that contracts are construed against the drafter shall not apply. G. Each of the Parties hereto hereby irrevocably waives any and all right to trial by jury in any action, proceeding, claim or counterclaim, whether in contract or tort, at law or in equity, arising out of or in any way related to this Agreement or the transactions contemplated hereby. Each Party further waives any right to consolidate any action which a jury trial has been waived with any other action in which a jury trial cannot be or has not been waived. H. In the event of a conflict between the term and conditions of the body of this Contract and those of any exhibit or attachment hereto, the terms and conditions set forth in the body of this Contract proper shall prevail. In the event of a conflict between the terms and conditions o� any two or more exhibits or attachments hereto, those prepared by City shall prevail over those prepared by Consultant. SURVIVAL The provisions set forth in Sections 3 through 7, inclusive, of this Contract shall survive termination of the Contract. SECTTON 9. COMPLIANCE WI�TH LAWS -NONDISCRIMINATION A. Consultant shall comply with all applicable laws, ordinances and codes of federal, state and local governments. B. Coordinate with City on a regular basis regarding the status of the tanks and the schedule for contract activities. 2. Coordinate all meetings and conference calls as required and provide meeting notes/minutes. 3. Prepare and submit schedules and schedule updates to the City. 4. Maintenance of project files, including digital files, for City use and records. The Consultant shall provide a cloud-based project management software program to track and log project activities on a daily basis. Daily logs should at a minimum include photos, environmental conditions, safety, QA/QC, daily project update, and the ability to email the daily log directly the City at the end of each day. 5. Coordinate and facilitate site, work, and field inspections by the City, Engineer, third-party inspectors, or other designated City representatives. 6. The Consultant shall document any time and work completed on the City's storage tanks, whether it is the annual visual inspection visit, scheduled work, warranty work, or unscheduled repair work. This record shall fully document the extent of the work performed. It shall include, but not be limited to, a written description of the work completed, a listing of the workers present, equipment and materials utilized, manufacturer's cut sheets for any manufactured items installed, and digital photos of the work. The Consultant shall prepare and adhere to a Quality Assurance/Quality Control (QA/QC) Plan for the duration of the services contract.The Quality Control Plan shall establish a process whereby all work is independently checked, corrected and back-checked, in accordance with accepted practice, by a person qualified and appropriately certified or registered. The QA/QC Plan shall provide coverage for all work and inspection provided under the contract. Repair/upgrades where damage to the interior coating system or extensive welding work is required will be performed during the scheduled tank interior renovation. The Consultant shall determine the extent of, and remedy all, deficiencies as required to bring each tank into full compliance with Cal-OSHA and other applicable standards. Alarms will be required on all access hatches to the tanks. Where "Full Renovation" is indicated in the schedule, both the interior and exterior of the tank will be coated. Coating of steel tanks shall, at a minimum, conform to the requirements of ANSI/AWWA D102-24- Coating Steel Water-Storage Tanks, and the requirements of this contract. The contract describes the minimum requirements and does not contain all the engineering and information normally contained in technical specifications. The Consultant shall be responsible for evaluating each tank and determining if additional surface preparation of higher performance coating systems should be used. Coating/lining work shall be performed with the tank out of service and based on the City's outage constraints. Interior Repairs and Coatin� Tank interior coating systems shall generally consist of the following, or approved equal: • Primer:Zinc-rich primer, in accordance with SSPC 20, applied directly to the steel. • Coating: 100% solids high build epoxy. The epoxy coating shall be applied in one coat to a minimum 20 mils dry film thickness (DFT). Primer and coating shall have contrasting colors to allow for differentiation by the applicator and/or inspector.A two coat thin film epoxy system will be allowed in the atmospheric if it benefits the application and system integrity. Approved manufacturers are: • Tnemec • Sherman Williams • Or approved equal The interior primer and coating shall be manufactured by the same company and documented or certified to be compatible with each other. Primer and all coatings shall be NSF-61 and NSF-600 compliant and manufacturer-approved for use on potable water storage tanks. A letter from the coating manufacture approving the system shall be required. �x�t��.� ,�—��c�� c�� i � � „....�,,�,,.->��: �z��., The general scope of tank interior repair and coating work shall include the following: 1. Tank Outages: In order for the City to adequately operate its water system and meet its customers' water demands, shutdown, isolation, or draining of the City's tanks shall generally occur between October 15 and April 15. The Consultant shall submit a detailed Outage Plan and time schedule for all construction activities that will make it necessary to remove a tank from service at least 10 days prior to the scheduled activity. The Consultant shall perform as much of the work as possible prior to the tank being taking out of service. All materials, equipment, and labor shall be on hand or readily available prior to taking the tank out of service. Once a tank is out of service, the Consultant shall work diligently to minimize the duration of the shutdown. The City shall be notified in writing as soon as possible if the schedule for performing the Work requiring a tank outage has changed or if revisions to the outage plan are required. If it is necessary for the proper operation or maintenance of the City's water system, the City may require the Consultant to reschedule an approved shutdown/outage. 2. Tank draining: The Consultant will utilize filter bags and dechlorinate tank water during draining operations and discharge on site or into the storm drain system. Discharge of all water from tank draining shall be in accordance with all applicable State and local laws and requirements and requirements of the Station and Regional Water Quality Control Boards. 3. Cleaning: All sediment and debris must be removed from the tank prior to initiation of the interior work scope. The tanks have not been cleaned since the winter of 2021 and deposits are present across the tank floors. Cleaning waste will be filtered and disposed of on-site where feasible, or discharged into the sanitary sewer or hauled to the Foothill Water Treatment Plant if necessary. Filter bags will be properly disposed of. Oil deposits may exist on the upper shell around the circumference of the tank.These deposits must be thoroughly cleaned and completely removed prior to the initiation of the abrasive blasting operation per SSPC-SP 10/NACE No. 2. The presence of a tightly adherent intact layer of mil scale is likely to exist under the existing coating on some tanks.The blasting operation must include the removal of all mil scale. �x�t��.� :�—�€c�€��c`��t �.� i � � „....�,,�,,.->��: � a��""�� 4. Structural inspections and Repairs: All interior roof plates, roof beams, roof support columns, and ring girders exhibiting corrosion degradation must be ultrasonically inspected upon completion of the inspection blast to quantify the extent of inetal loss. In cases where the metal loss exceeds 25 percent of the original thickness of the plate, beam, or appurtenances, a California Registered Engineer shall approve the need for repair and the type of repair intended for use. In the event that the plate, beam, or appurtenance is replaced with a component of equal size and configuration, Engineering approval is not required. All interior floor surfaces shall be ultrasonically inspected on a grid pattern. This inspection may be used to quantify the extent of corrosion degradation on both sides of the steel plates. All areas exceeding 50 percent metal loss shall be more closely inspected to determine and map the size of the deficiency. The installation of weldment or steel plates per API 653 shall be installed over the areas of corrosion degradation. Patches must be comprised of A-36 carbon steel that is seal welded into place. 5. Temperature and Humidity Control: The Consultant shall provide and utilize dehumidification and ventilation equipment if necessary from 24 hours prior to starting abrasive blasting to 96 hours after the interior coating is completed to establish and maintain the following conditions inside the tank, partitioning the tank to achieve these conditions will not be acceptable: • Temperatures shall be within the coating manufacturer's published recommendations. • Temperatures shall be greater than 5 deg F above the dew point.The dew point shall be measured by use of an instrument, such as a Sling Psychrometer, in conjunction with US Department of Commerce Weather Bureau Psychrometric Tables or equivalents. • The relative humidity shall be below 35 percent. No coating or paint shall be applied; when the surrounding air temperature or the temperature of the surface to be coated or painted is outside of the published material manufacturer's recommendations,or to wet or damp surfaces or in rain, snow,fog or mist. If unacceptable conditions are prevalent, then coating or paint application shall be delayed or postponed until conditions are favorable. The day's coating or paint application shall be completed in time to permit the film sufficient drying time prior to damage by atmospheric conditions. �x�t��.� :�—�€a�€��€=�� z� i � � „....�,,�,,.->��: a��""�� 6. Grounding: Blasting, spray and air hoses shall be grounded to prevent accumulation of charges of static electricity. 7. Surface Preparation: All surfaces shall receive a final blast to achieve an SSPC SP10 "Near White Metal" surface cleanliness with a minimum surface profile of 2.0 mils in the atmospheric zone and 3.0 mils in the immersion zone. All spent abrasives, waste material and debris shall be contained, handled, temporarily stored, and transported off-site and disposed of in accordance with all regulatory requirements. Leachate test shall be performed on representative samples of the waste material prior to leaving the site. The leachate testing results shall be forwarded directly to the City. Upon receipt and authorization by the City,the Consultant shall properly dispose of waste materials. The known presence of existing irregular welds,abrasive edges,and weld splatter will require grinding to a smooth surface prior to abrasive blasting and coating application. Surfaces shall be cleaned of all dust and residual particles of the cleaning operations by brushing and air blast cleaning supplemented with vacuuming of the dust laden air prior to painting. Enclosed areas and other areas where dust settling is a problem shall be vacuum cleaned and blown down as necessary until free of dust as determined by a tape test. 8. Coating Application: The coating application process shall generally include the following: • Application of the zinc primer. • Application of an initial stripe coat of the epoxy coating, thoroughly applied by brush to all beam edges, bolted connections, weld seams, plate edges or other irregular surface. • Spray application of the epoxy coating, with the number of coats recommended by the manufacturer to achieve greater than the specified minimum dry film thickness. All material applications shall be in strict compliance with manufacturer recommendations. An approved representative shall verify that the surface preparation and coating application operation is in accordance with manufacturer recommendations. 9. Inspections/Testing: The Consultant's NACE CIP III certificated coating inspector shall provide quality contro) services for all coating work.The inspector shall verify that the surface preparation and �x�t��.� ,�—��a��a��vc�� :�c� i � � „....�,,�,,.->��: a��""�� coating application operations are in accordance with manufacturer recommendations and requirements specified herein. During each workday, the inspector shall provide all aspects of technical observation of the work and ensure compliance with manufacturer's recommendations and good practice. At the end of each workday, the inspector shall create a written inspection record of their technical observation, as well as testing results, instrument readings, weather conditions, a list of equipment and products utilized, etc. This inspection record shall be provided to the City both at the time of work completion and as a part of the annual progress report. The Consultant's inspector shall perform the following testing, at a minimum: • High voltage holiday detection testing shall be employed in the immersion zone in accordance with AWWA D.102 and NACE SP0188. Voltage settings shall be in accordance with material manufacturer written recommendations. • Dry film thickness measurements. All defects shall be repaired and re-inspected by the Consultant prior to final inspection by the City or its designated representative for approval. The City reserves the right to provide a third-party inspector to check the Consultant's work. 10. Caulking: An NSF 61/600 approved caulk shall be applied to the roof/shell transition areas. This includes but is not limited to the knuckle plates and rafter connection points. 11. Washdown and Disinfection: Upon completion of the interior coating's cure period, all interior surfaces shall be initially washed down to remove all residual dust and debris from the tank. Tank disinfection shall be performed in accordance with AWWA C.652 "Spray Method#2". The washdown and disinfection wastewater shall be removed from the tank and disposed of in accordance with the tank outage and tank draining constraints specified herein. 12. Gasket Replacements: Upon completion of the disinfection process, all access points shall be sealed with new NSF 61 gaskets and new hardware. The sealing of the tank shall be done in the presence of City staff, and to the satisfaction of the City. �x�t��.� :�—�€a�€��c��v°�ca�� :�z i � � „....�,,�,,.->��: �z��., Exterior Repairs, Preparation,and Coating Exterior tank coating systems may vary depending on the presence of heavy metals and the condition of the existing exterior coating. The Consultant shall be responsible for determining the level of surface preparation required and designing the coating systems for each tank to be cost effective and provide optimal performance and service life. The Consultant's proposal shall include information concerning their proposed surface preparation methods and coating systems. The City's expectation is that the exterior coating system will generally consist of the following: • Primer: Surface tolerant epoxy or zinc rich primer applied to areas of bare steel. • Intermediate Coat: Surface tolerant epoxy • Topcoat: Polysiloxane or Urethane with excellent ultraviolet (UV) resistance, durability, and color retention. The topcoat shall also allow for future topcoats to facilitate repairs in the future, if necessary. • The total coating system shall have a minimum 8 mils DFT. To provide a non-skid surface in areas of the roof,the Consultant shall broadcast 30 to 50 mesh silica sand onto the wet film of the final topcoat. At a minimum, non-skid surfaces shall be provided for a 6-foot wide stripe around the outer perimeter of the roof, as well as 4-foot wide pathways to and around necessary access and/or maintenance points,such as vents,tie offs, hatches, etc. Coating layers shall have contrasting colors to allow for differentiation by the applicator and/or inspector. Exterior coating color for each tank shall be selected by the City. The Consultant shall submit color samples for the City's selection.Tank wall colors may differ from roof colors. Appurtenance Removals: All removable and non-painted appurtenances such as roof vents, safe climbing devices, antennas, markers, etc., shall be removed by the Consultant prior to any exterior coating work. These items shall be cleaned, protected, and stored during coating work, and re- installed following completion of all coating work. Modification/calibration required to make appurtenances operable, such as screen repair, straightening of safe climb bars, shall also be included in the Consultant's scope of work. The City will remove and re-install any electric components such as sensors, level gauges, and antennas. 2. Surface Preparation: The tank exterior areas shall receive surface preparation sufficient to ensure a sound coating system and compliance with the coating manufacturer's recommendations. All surfaces shall receive sufficient surface preparation per the coating manufacturer's requirements to ensure adequate adhesion of the new coating system. Where practical, surface preparation should be performed in accordance with SSPC-SP 6/NACE No. 3 or SSPC- SP 10/NACE No. 2. Due to the presence of homes, businesses, and other infrastructure or environmental concerns, no fugitive dust may leave the tank site and must be contained and collected. All spent abrasives, waste material and debris shall be contained, handled, temporarily stored, and transported off-site and disposed of in accordance with all regulatory requirements. Leachate test shall be performed on representative samples of the waste material prior to leaving the site. The leachate testing results shall be forwarded directly to the City. Upon receipt and authorization by the City, the Consultant shall properly dispose of waste materials. Irregular welds, abrasive edges, and weld splatter will require grinding to a smooth surface prior to coating application. All surfaces shall be cleaned of all dust and residual particles prior to coating. Cleaning operations shall be by air blast cleaning,vacuuming,and/or by washing with clean rags dipped in a volatile organic compound (VOC) approved commercial cleaning solvent, rinsed with clean water, and wiped dry with clean rags. �x�t��.� ,�—�cc�� vo��t :�:� i � � „....�,,�,,.->��: a��""�� 3. Coating Application: The coating application process shall generally include the following: • Application of a zinc or epoxy primer. • Application of an initial stripe coat of the intermediate epoxy coating, thoroughly applied by brush to all beam edges, bolted connections, weld seams, plate edges or other irregular surface. • Application of the intermediate epoxy, with the number of coats recommended by the manufacturer to achieve greater than the specified minimum dry film thickness. • Application of the topcoat, including addition of silica sand for non-slip areas of the roof, as required. All material applications shall be in strict compliance with manufacturer recommendations. An approved representative shall verify that the surface preparation and coating application operation is in accordance with manufacturer recommendations. 4. I nspections/Testing: The Consultant's NACE CIP 111 certificated coating inspector shal) provide quality control services for all coating work. The inspector shall verify that the surface preparation and coating application operations are in accordance with manufacturer recommendations and requirements specified herein and provide results of quality control tests and records. During each workday, the Consultant's inspector shall provide all aspects of technical observation of the work and ensure compliance with manufacturer's recommendations and good practice. At the end of each workday, the inspector shall create a written inspection record of their technical observation, as well as testing results, instrument readings, weather conditions, a list of equipment and products utilized, etc. This inspection record shall be provided to the City both at the time of work completion and as a part of the annual progress report. The Consultant's inspector shall perform the following testing, at a minimum: • Surface preparation inspection: Before the primer coating is applied, verify that the required surface preparation parameters outlined herein have been satisfied. • Film Thickness:The wet film thickness of each coat shall be measured during application. Before application of successive coats, the DFT shall be measured for compliance. All defects shall be repaired and re-inspected by the Consultant prior to final inspection by the City or its designated representative for approval. The visual inspection will include documenting the interior tank condition through the roof hatch(s)to identify obvious signs of coating failure, rust, corrosion, sediment accumulation, biofilm, or other visual discrepancies. The Consultant shall coordinate and schedule inspections with the City such that appropriate City staff may attend. The Consultant shall prepare documentation for each site visit and any follow-up repair visits as required. Coating touch-up work to repair minor issues, as defined by the City,will not require the observation of a NACE-certified coating inspector. T��k 5 - Ir�t��°��° Cl��nir��an In� ��t��n� All tank interiors shall be cleaned and inspected(via dry,dive or remote methods)at least once every five years to meet federal Environmental Protection Agency(USEPA)requirements and at least three (3)times over the ten-year contract period. All of the City's tanks were most recently cleaned and inspected in the winter of 2021.The Consultant shall be responsible for performing interior inspections of all the tanks in 2026. �x�ti��.� :�—�ca��4��=�c�� :k=.> i � � „....�,,�,,.->��: a��°"�� The City's preferred method for cleaning work shall be accomplished when the tanks are taken out of service. However, due to potential scheduling constraints and system limitations, dive or remote inspections may be requested in some cases. Contamination Avoidance: 1. The Consultant is responsible for maintaining tank water quality to the requirements listed herein throughout the period of the Work. 2. No dive team member shall have current symptoms of an infectious disease or be under or have been under a physician's care for an infectious disease within the two weeks preceding the dive operation. 3. The Consultant shall use only materials that are certified for use in potable water environments by ANSI/NSF 61 and 600, Drinking Water System Components—Health Effects. 4. All dive gear, and cleaning and video equipment entering tanks shall be disinfected with a minimum 200 mg/L free chlorine solution, as per ANSI/AWWA C652-02, prior to entry. 5. The Consultant shall be responsible for verifying that disinfection solution has 200 mg/�free chlorine, using a portable test kit specifically intended for free chlorine measurement. 6. All equipment and diving gear used shall have been purchased for and dedicated to use in potable water systems.When not in use,all equipment and diving gear will have been stored in a manner that prevents both chemical and bacteriological contamination. 7. Dry suits shall be free from tears, scrapes, unrepaired areas or other imperfections that may impair the integrity of the suit. 8. There shall be no contact of the mouth or head with the water during any underwater operations.The head shall be fully encapsulated by one or a combination of a helmet or dry suit hood with a full-face mask. 9. If any equipment or materials that will enter the tank makes contact with the roof of the tank, then said items must be re-disinfected prior to entering the tank. 10. When the tank is drained for cleaning and inspection, the interior walls and floor will be pressure washed,scaffolding will be erected for inspection and coatings repairs,and the tank will be disinfected per AWWA C.652 Method 2 upon completion. Cleaning waste will be filtered and disposed of on-site where feasible,or discharged into the sanitary sewer or hauled to the Foothill Water Treatment Plant if necessary. Filter bags will be properly disposed of. The Consultant shall remove sediment and debris from the tank bottom and any internal horizontal planar surfaces, using a method and removal rate that minimizes re-suspension of settled solids or damage to the tank coatings. �x�t��.� ,�—�cu��v°�c��€< �� i � � „....�,,�,,.->��: a��""�� Internal tank inspection shall include identifying corrosion, defects in lining materials, and general condition of welds, columns, standpipes, manways, ladders, level sensing devices, cathodic protection systems, all cementitious materials and any other internal components of the tank. The Consultant shall provide the City with a complete written report thoroughly documenting the results of the cleaning and inspection work. In addition, underwater inspections shall include a video taken by the Consultant documenting all significant findings. The Consultant's written inspection report shall include, at a minimum,the following: 1. Estimates of sediment and silt accumulation on the floor of each tank, including a general description of the quality of the sediment and silt. 2. Estimates of corrosion both above and below the waterline based on NACE and SSPC guidelines. 3. Grading of the weld seams based on AWS criteria. 4. A description of concrete condition (where applicable) noting any problem areas such as cracking, spalling or deterioration and recommendations for repair. 5. A description of coating condition (where applicable) noting any areas of blistering or separation and recommendations for repair. 6. Description of leaks detected, including detailed location and dimensions of the area that is leaking and recommendations for repair. 7. Comprehensive listing of all significant defects found, with corresponding photos and recommendations. 8. Documentation of all repair work conducted on each tank. Provide video reports for underwater inspections conforming to the following requirements: 1. Use real-time closed-circuit high-resolution color underwater video equipment to document cleaning and inspection. 2. Interior video documentation of tanks, both above and below the waterline shall be provided. 3. At a minimum, offensive graffiti or tank damage/malfunctions that impact the serviceability of the tank shall be immediately scheduled upon notification and a Consultant crew shall be onsite in less than 24 hours to correct these issues. Less critical damage shall be abated within 30 days or at the next scheduled annual inspection, as requested by the City. The Consultant's proposal shall clearly identify and outline its assumptions and scope of services included under this task, detailing the specific types and amounts of repairs and services included and/or not included to avoid potential disputes that could arise regarding extra work or out-of-scope work. No extra pricing,contract change orders or other such cost extras will be approved by the City unless such work can be clearly identified as outside of or in addition to the approved scope of work, as detailed in this RFP and the Consultant's proposal. The Consultant shall notify the City in writing upon discovering any additional and/or out of scope services that may be necessary. The City must approve any change order work before the Consultant proceeds with it. None of the City's tanks are currently equipped with cathodic protection. The final submittal packet must include plans and detail drawings, and design calculations stamped by a NACE (AMPP) CP4, as well as material data sheets. Cathodic protection systems shall be an impressed current system with a minimum of 20-year design life. Where possible the system will horizontally suspended with no roof penetrations. All dissimilar metal to the carbon steel tank,and in contact with electrolyte(water), must be designed with proper isolation to prevent bi-metallic coupling. The Consultant's cathodic protection installer shall provide all conduit and electrical on the tank side of the rectifier and to the rectifier. Stainless steel hardware and fasteners must be used for pin insulators and hand hole cover assemblies. If the cathodic protection system is installed in conjunction with an interior coating renovation, the cathodic protection system is installed, it must remain off for the one(1)year coating warranty.Then after the warranty period,the cathodic protection shall be energized,tested, and remain on. The Consultant shall furnish a close out packet with a written report summarizing the testing per NACE (AMPP)SP0388, as well as test data, results, and operations and maintenance manuals for the system. During the course of the contract, the Consultant shall provide annual cathodic protection surveys. The annual surveys shall include the following and must be performed by a NACE CP certified techs. 1. Visual Inspection: Visually inspect the existing cathodic protection and any area of concern. 2. Photographic Documentation: Document and include photos in the report of the cathodic protection system and components. Area of concern will be identified and called out in recommendations. 3. Cathodic Protection System Evaluation: Document cathodic protection system materials and components. Evaluate the condition of the anodes, anode wires, reference electrodes, splices, rectifier, anode junction boxes, and hand hole covers. During the inspection assess the level of protection being offered to each tank and the effort to upgrade/replace these systems if deemed necessary. Inspection will include taking potentials with a portable reference electrode and adjusting the rectifier for optimal performance and ensure the system meets AWWA D104 and NACE SP0388 standards. Galvanic(CP) systems will be tested per AWWA D106 and NACE SP0196 criteria. Installation includes mounting the alarms, running conduit and wire to a J-box at ground level. The City will provide the alarms, connect the alarms to their control system, and handle any programing or system configuration. Due to a lack of information on where each alarm will be connected, how much trenching is required, and system configuration, STS cannot account for costs to fully connect the alarms, however, STS will provide reasonable support, labor, equipment and materials to support the work. • Due to the limited information on the interior tank conditions,STS can't reasonably account for any and all potential structural repairs or replacement.
