Recommendation
Authorize and approve the following:
(1) Authorize the City Manager, or designee, to increase the contract amount from
$364,952.16 to $36�,130.00 for fiscal year 2025-2026;
(2) Authorize the City Manager, or designee, to execute the Second Amendment with
Peerless Building Maintenance, Inc., Contract (C-10844) for janitorial services, and
increase the contract amount from $364,952.16 to $435,919.84 for�scal year 2026-2027;
(3) A�uthorize the City Manager, or designee, to approve any fuYure amendments up to
$35,000 per year; and
(4) Find that amending an agreement is not a project as defined under the California
Environmental Quality Act, and no further action is required.
Fiscal Impact
The Consulting and Professional Services Contract G10844 (Contract) with Peerless Building
Maintenance, Inc. (Peerless) currently has a not-to-exceed amount of$364,952.16 annually, for a
total of$729,904.32 over the fu11 two-year term.
The proposed Second Amendment included three core actions:
1. An annual eontract amount adjustment beginning in Fiseal Year(FY) 2026-27;
2. Setting an hourly rate (minimum of two-hours) for emergency work (not-to-exceed
$2,500); and
3. One-time cost adjustments in FY 2025-26, all as described below.

1. Annual Adjustment
The proposed Second Amendinent increases the annual contract amount by $70,967.68 for a
total not to exceed amount of $435,919.84 in FY 2026-2'7. This increase reflects additional
service requests from various City departments and the consolidation o�janitorial services for the
Police Department into the Contract. The breakdown and fiscal impact are as follows:
Police De�a�tment
The Police Department currently maintains a separate purchase order with Peerless for janitorial
services, which expires on June 30, 2026. Funding for these services is included in the Building
Maintenance budget for FYs 2025-26 and 2026-27, after it was added during the budget process.
The Second Amendment incorporates these services into the Contract, resulting in an increase of
$5,575.64 per month, or $66,907.68 annually. There is no impact to the General Fund because
these costs were included in the Building Maintenance budget for FY 26-2�.
Reddin�Electric Utilitv (REU)— Traile�
REU has requested janitorial services for a trailer located at the Redding Power Plant. This
request increases the monthly service cost by $130.00 or $1,560.00 annually. This additional
service will be fully funded by REU and will begin upon execution of the amendment. For FY
2025-26, the cost impact will reflect the addition of$130.00 per month for the remainder of the
FY. In FY 2026-27, the ongoing annual increase of $1,560.00 will be absorbed within REU's
budget. There is no impact to the General Fund.
2. Settin�an hourly rate for additional work
To allow for flexibility and to prepare for unexpected sit�uations were cleaning is necessary but
outside of regular contracted duties, staff negotiated an hourly rate of$40.00 per hour to add to
the Contract. These services are not-to-exceed $2,500 annually. The department reguesting for
service is responsible for paying for the service. Building Maintenance as the contract
administrator will arrange for services, but will not be the responsible party to pay for services.
3. One Time Cost Adjustment (FY 2025-26)
Several divisions have requested additional janitorial services resulting in the following one-time
adjustments:

FY ZOZS-26 Total hnpact
For FY 2025-26, the contract amount increases from $364,952.16 to $367,129.16. This reflects:
• $1,1917.00 in one-time costs; and
• $260.00 for two months of trailer service ($130.00/month).
FY 2026-27 Total Impact
For FY 2026-27, the contract amount increases from $364,952.16 to $435,919.84. This reflects:
• Police Department services, $66,907.6$ annual increase (included in FY26-27 budget);
• REU Power Plant Trailer, $1,560.00 annual increase; and
• Hourly rate, with a total not to exceed cost of$2,500.00 for special services.
There is no iinpact to the General Fund with these changes.
Alternative Action
The City Council (Council) could choose not to accept the Second Amendment with Peerless,
and the accompanying budget increase, and instead, provide staff with an alternate direction.
Background/Analysis
In May 2025, the Council authorized and approved the award of Request for Proposal (RFP)
Schedule No. 5589 for janitorial services at City facilities to Peerless. The Council also
authorized the City Manager, or designee, to execute a Consulting and Professional Services
Contract with Peerless for an amount not to exceed$694,096.32. The contract was fully executed
on June 5, 2025.
In November 2025, the Council approved the First Amendment to the agreement due to changes
in facility square footage and service level adjustments requested by various divisions. Both City
staff and the vendor remeasured the facilities and identified an increase in sguare footage
resulting from recent construction that was not captured during the original RFP scoping phase.
Additionally, two departments requested an increase in service frequency from one day per week
to two days per week.
The Second Amendment provides additional service modifications that were requested by
various divisions, including adjustments to cleaning schedules and task frequency at select
facilities. In response, Peerless conducted a review of these changes and updated its pricing to
align with the revised service requirements. The amendment also includes an hourly rate for
special services that each division requesting would be responsible for and incorporates the
Police Department services within the Contract.
The City Attorney's Office has reviewed and approved the proposed language of the agreement.
Environmental Review
This action is not a project as defined under the California Environmental Quality Act, and no
further action is required.

CONSULTING AND► PR{IrFES�IC►NAL SERVICES CONTRACT
THIS CQNTRACT {"Contract") is made at Redding, California, by and between the City of
Redding ("City"), a municipal carporatian, and Peerless Building Maintenance Inc.,
("�ontractor")a private janitorial firm,for the purpose t�fproviding janitorial services for various
City of Redding facilities.
WHEREAS, City does n�t have sufficient personnel tt� perform the services required herein
thereby necessitating this Contract for personnel services.
NOW, THEI2EFClRE, the Parties collectively the "Parties" and individuaily ``Party", covenant
and agree, for good considerati�n hereby acknowledged, as follows:
SECTION 1. C+DNTRACTOR SERVICES
Subject to the terms and conditians set forth in this Contract, Contractor sha11 provide tc�
City the services described in E�iibit A,attached and incorporated herein. Cantractor shall
provide the services at the time, place and in the manner specified in Exhibit A.
SECTIUN 2. CQMPENSATIQN ANI) REIMBUI2SEMENT (}F CCISTS
A. City sha11 pay Contractc�r fc�r services rendered pursuant tn this Cantract, at the t�mes
and in the manner set forth in Exhibit B, attached and incarparated herein, in a total
amount not to exceed three hundred forty-seven thousand and forty-eight dollars,and
sixteen cents ($34"1,04$.16), annually for the first two years of contract. This sum
includes all aut-of=pocket travel, lodging and incidental expenses incurred by
Contractor that are reasonably associated with the provision of services under this
Contract. The payments specified herein shall be the only payments to be made to
Contractor for services rendered pursuant to this Contract.
B, Prices shall be firrn far the initial cc�ntract period, through June 30, 2027. Prices
fluctuations, if any, for the subsequent contract periads may be adjusted in direct
propartian to the percentage change in the West— Size Class B/C, �"a�sumer Price
Index for all Urban C'onsumers (CPI-U), befare seasonal�djustment, as reported by
the U.S. Departmertt af Labor, index l�ase perit�d (DEC'EMBER 199U=10�), Series
Il�:� CUt�R1V400SA0, as reported by the Bureau of Labor Statistics c�f the U.S.
I7epartment af Labor. The base index shall be the February 2025 index (19C:261),
Price changes shall be based on the latest available first published index campared to �`";
the February 2025 index. Changes in prices will be no more frequent than every 12 "

C. Contractor shall submit manthly invoices to City for work completed to the date of
the invoice. All invoices shall be itemized to reflect the employees performing the
requested tasks, the billing rate for each emplc�yee and the hours worke�.
D. All correct,complete and undisputed invoices sent by Contractor ta Cit�shall be paid
within thirty(30) calendar days Qf receipt.
SECTION 3, TERM AIdT]D 7CERMINATIC►N
A. Cc�ntractor shall commence work on or about JuI� �1, 2425 and camplete said work
no later than June 30, 2027. Time is of the essence.
B, Ifrnutually agreed upon,with all prices(with allowed adjustments a�noted in Section
2.B.), terrns, and canditions xemaining the same, the cantract may be executed on an
annual basis far three(3) consecutive c��e-year period, through June 30, 2030.
B. If Contractor fails to perform its duties tc� the satisfaction of City, or if Contractor
fails to fulfill in a timely and professional manner its obligations under this Cantract,
then Gity shall have the right to terminate this Contract effective imrnediately upon
City giving written notice thereof to Contractor.
C. Either Party may terminate this Contract without cause on thirty (30) calendar days'
written notice. Notwithstanding the preceding, if the term set farth in Section 3.A.
of this Contract exceeds ninety(90) calendar days in duration, Gontractor's sale right
to terminate sha11 be limited to termir�ation for cause.
D. Contractor hereby acknowledges and agrees that the obligation of City tc� pay under
this Contract is contingent upon the availability of City's funds which are
appropriated or allocated by the City Cauncil. Should the funding for the prcaject
andlor wark s�t farth herein not be appropriated ar allocated by the City Council,
City may terminate this Agreement by furnishing at l�ast thirty (30) calendar days'
written notice af its intentian to terminate. In the event of a termination pursuant to
this subdivision, Contractc�r shall not be entitled ta a rernedy c�f acceleration of
payments due over the term of this Agreement. The Parties acknowledge and agree
that the power to terrninate described herein is required by Article 16, Section 1$, of
the Califc�rnia Constitution, and that constitutional provisi�n supersedes any law,
rule, regulatian or statute which conflicts with the provisions of this Section.
E. In the event that City gives natice �f termination, Contractor shall promptly provide
to City any and a11 finished and unfinished reports,data,studies, photographs, charts
or ather work product prepared by Contractar pursuant to this Contract. City shall
h�ve full ownership, including, but not limited to, intellectual property rights, and
control of all such finished and unfinished reports, data, studies, photographs, charts
or other work prt�duct.

F. In the event that City terminates the Contract, City shal� pay Contractor the
reasonabl� value of services rendered by Contractor pursuant to this Contract;
provided,however, that City shall nat in any manner be liable for lost profits which
rnight have been made by GontractQr had C4ntractor completed the services required
by this Contract. Contractor shall, not later than ten (10) cal�ndar days after
termination of this Contract by City, fnrnish ta City such financial inforrnation as in
the judgrnent of the City's representative is necessary to determine fihe reasonable
value af the services rendered by Contractor.
G, In no event shall the terrnination or expiration of this Contract be construed as a
waiver �f any right to seek remedies in law, equity or atherwise for a Party's failure
to perform each obligation requireci by t�i�s Contract.
SECTIDN 4, MISCELLAl�EC1US TE' S AND► CONDITIONS OF C()NTRACT
A. City shall make its facilities accessible to Contractor as required for Contractor's
perforrnance of its services under this Contract, and, upan request of Cantractor,
provide Iabor and safety equipment as required by Contractor far such access.
B, Pursuant tc� the City's business license ardinance, Contractc�r shall obtain a City
business licens�prior to commencing work.
C, Contractar represents and warrants to City that it has all licenses, permits,
c�ualifications and approvals of any nature whatsoever that are legally required for
Contractc�r to practice its profession. Contractor represents and warrants to City that
Cantractor shall, at its sole cost and expense, keep in effect t�r obtain at �,11 tim�s
during t�ie term of this Contract any licenses, permits and approvals that are legally
required for Cantractor to praetice its profession.
D. Cc�ntractor shall, during the entire term of this Contract, be construed to be an
independent contractor and nothing in this Contract is intended, nor shall it be
construed, to create an employer/employee relationship, assaciatian, joint venture
relationship,trust ar partnership or ta allow City to exercise discretion or eontrol over
the prc�fessit�nal manner in which Contractor performs under this Cantract. Any and
all taxes impased on Contractor's income, imposed or assessed by reason of this
Contract or its performance; including but not limited to sales or use taxes, shall be
paid by Contractor. Contractor shall be respc�nsible for any taxes or penalties
assessed by reason of any elaims that Contractor is an employee of City, �ontractor
sha11 not be eligible fo�coverage under City's workers' compensation insurance plan,
benefits unc�er the Public Employee R.etirement System ar be eligible for any other
City benefit.
E. No provision of this�ontract is intended to,or shall be for the benefit of,or construed
to create rights in, o� granYremedies to, any person or entity not a party heretc�.

F: No portion af the work or services to be performed under this Contract shall be
assigned, transferred, conveyed or subcontracted withaut the prior written approval
of City. Contractor may use the service� of independent contractors and
subcontractors to perform a portion af its obligations under this Contract with the
prior written approval of City. Independent contractors and subc�ntractors shall be
provided with a copy af this Contract and Contract�r shall have an affirmative duty
to assure that said independent cc�ntractors and subcontractors comply with the same
and agree ta be bound by its terms. �ontractor shall be the responsible party with
respect to all actions of its independent contractors and subcontractors, and shall
abtain such insurance and indernnity provisions from its contractors and
subcantractors as City's Risk Manager sha11 determine to be necessary.
G. Contractor, at such times and in such form as City may require, shall furnish City
with such periodic reports as it may req�est pertaining to the work or services
undertaken pursuant to this Contract, the costs or abligations incurred or ta be
incurred in connection therewith,and any other matters covered by this Contract.
H. Contractar shall maintain accc�unts and records, including personnel, property and
financial recards, adequate ta identify and account for all costs pertaining to this
Cantract and such other records as may be deemed necessary by City to assure proper
accounting for all project funds. These recc�rds shall be made available far audit
purposes to state and federal authorities; or any authorized representative of City.
Contractor shall retain such records for three {3) years after the expiration of this
Contract, unless prior permission to destroy them is granted by City.
I. Contractor shall perform all services required pursuant to this Contract in the rnanner
and accarding t€� the stanc�ards observed by a competent practitioner of Contractor's
profession. �11 products af whatsoever nature which Contractor delivers tc� City
pursuant to this Cc�ntract shall be prepared in a professional manner and conf�rrn to
the standards of quality normally c�bserved by a person practicing the profession of
Cantractor and its age�ts, employees and subcontractors assigned to p�rform the
services contemplated by this Contract.
J. All campleted reparts and other d�ta or documents, c�r cotnputer tnedia including
diskettes, and ather materials provided or prepared by Contr�ctor in accordanee with
this Contract are the property of City, and may be used by City. City shall have all
intellectual property rights including, but not limited to, copyright and patent rights,
in said documents,computer media,and other mat�rials provided by Contractor. City
shall release, defend, indemnify and hold harmless Confiractor froxn all claims,costs,
expenses, darnage ar liability arising out of or resultir�g from City's use or
modification of any reports,data, documents, drawings, speci�cations or other work
product prepared by Contractor, except for use by City on thase partions of the City's
praject fc�r r�vhich such items were prepared.

K. Contractar, including its emplc�yees, agents,and subcontractors,shall not maintain or
acc�uire any direct or indirect interest that conflicts with the perfor�nance of this
Contract. Cantractor sha11 camply with all requirements af the Political Reform Act
(Go�ernrnent Cade § $lOQ et seq.) and other laws relating to conflicts af interest,
iricluding the fallowing: 1) Contractor shall not make or participate in a decisi�n
made by City if it is reasc�nably foreseea�le that the decision may have a material
eff�ct an Contractor's ecc�nomic interest, and 2) if re�uired by the City Attorney;
Contract�r shall file financial disclosure forms with the City Clerk.
SECTION 5. INSURANCE
A. Unless modified in writing by City's Risk Manager, Contractor shall maintain the

B: The following additional requirements apply to those eoverage requirements
specified above:
1. Commercial General Liability Insurance shall include but not be limited to
bodily injury,,persanal injury and property damage. The coverage shall be for
the arnounts not less than the amounts stated in Section S.A. of the Contract;
2. Comprehensive Automobile Liability Insurance, shall provide for at least th�
total limits specified above as cc�rnbined single lirnits per accident applicable
to all owned, non-owned and hired vehicles;
3. Bc�th the Workers' Campensation and Employers' Liability policies shall
contain the insurer`s waiver �f subrogation in favor af City; its elected
c�ffic�als, officers, employees, agents and volunteers;

4. Professional Liability (Errors and C?missions) Insurance shall be appropriate
to Contractor's profession, against loss due to error or omission or
malpractice.
5: The City does nat accept insurance certificates or endc�rsernents with the
wording"but only in the event of a named insured's sole negligence" ar an�
c�ther verbiage limiting the insured's insuran�e responsibility.
6. For any category of insurance above as stated in Section S.A. of the Contract

C. Any deductibles or self-insured retentions rnust be declared to and apprdved by City.
At the c�ption af the City,either: the insurer shall reduce or eliininate such deductibles
ar self-insured retentions as respects the City, its el�cted afficials, officers,
employees, agents and volunteers; ar the Contractor shall procure a band
guaranteeing payrnent�f losses and related investigations, el�ims adrninistration and
defense expenses.
D. The General Liability shall cantain ar be endorsed to contain the following
provisians:
1. City, its elected officials, offieers,employees,and agents are to be covered as
additional insured as respects liability arising �ut of vvork or operations
performed by or on behalf af Contractor; premises awned, leased or used by
Contractar; or automabiles owned, leased, hired or borrowed by Cantract�r.
Th� caverage sha11 contain no special limitatians on the scope of protection
afforded to City, its elected officials, officers, employees, agents and
volunteers.
2. The insurance cc�verage of Cantractor sha11 be primary insurance as respects
City, its elected officials, afficers, emplayees� agents and volunteers: Any
insuranee or self-insurance maintained by City, its elected officials, ofFicers;
emplayees,agents and volunteers,shall be in excess of Contractor's insurance
and shall not contribute with it.
3< Coverage shall state that the insuranc�af Contractor shall apply separately tc�
each insured against whom claim is made or suit is brought, except with
respect to the limits of the insurer`s liability.
4. Each in�urance policy required by this Cc�ntract shall be endorsed to state that
coverage shall nc�t be cariceled �xcept after thirty {30) calendar days' prior
vu�itten notic� has been given to City. In addition, Contra�tor agrees that it
shall not reduce its coverage or limits on any such policy except after thirty
(30) calendax d�.ys' pric�r written natice has been given to City.

E. Insuranee is to be placed with insurers with a current A.M. Best xating ofno less than
A-VII.
F. Contractor shall d�signate the City of Redding, 7Z7 C�press Avenue, Redding, CA
96001 as a Certificate Holder of the insurance. Contractax shall furnish City vvith
certificates of insurance and original endorsements effecting the coverages requireci
by this clause. Certificates and endorsements shall b�submitted eleetronically via the
PINS Advantage system.A link wzll be provided far the Cantractor,or their insurance
agent, tc� enter and upload documents directly to FINS Advantage. The certificates
and endorsements for each insurance policy are to be signed by a person authorized
by the insurer to bind coverage on its behalf. All ei�dorsements are to be received
and approved in PINS Advantage by the City's Risk Manager prior to the
ct�mmencernent of contracted services. City may with�ald payments to �ontractor if
adequate certificates of insurance and endorsernents require�l have not been submitted
as described above or prc�vided in a tirnely manner.
G. The requirement� as to the types and limits of insurance coverage to be maintained
by Contractor as required by Section 5 af this Cantract, and any approval of said
insurance by City, are not intended ta and will not in any manner limit c�r qualify the
liabilities and obligatioris otherwise assumed by Cc�ntractor pursuant ta this Contract,
including, without lirnitation,provisioms concerning indemnification.
H. If any policy of insurance required by this 5ection is a``claims made"policy,pursuant
to Code of Civil Procedure § 342 and Governrnent Cade § 945.6, Contractor shall
keep said insurance in effect for a peric�d o�eighteen{1$)months�fter the terminatian
of this Contract.
I. If any damage, including death, personal injui:y or property damage; occurs in
c�nnection with the performance of this Contract, Contractor shall immediately
notify City's Risk Manager by telephone at (530) 225-4068. No later than three (3}
calendar days after the event, Contractor shall submit a written report to City's Risk
Manager containing the following infor�natian,as applicable: 1)name and address of
injured or d�ceased person(s);2}name and address of witnesses; 3)narne and address
af Contractor's insurance company; and 4) a detailed de�cription of the damage and
whether any City property was involved.
SECTION 6. INDE IFIrCATION AND H(J►LD HA LESS
A. Consistent with California Civil Code § 2782.8, when the services to be provided
under this Contract are design professional services to be performed by a design
professional, �s that term is defined under Section 278Z.8, Cantra�tar shall, ta the
fullest extent perrnitted by law, indemnify protect, defend and hc�1d harmless, City,
its elec�ed officials,officers,employees, and agents, and each and every one ofthem,
from and against all actions, damages, costs, liability, claims, losses, penalties and

expenses (including, but not limited ta, reasonable attorney's f�es of the City
Attorney or legal counsel retained by City; expert fees, litigation costs, and
investigatir�n casts) of every type and description to which any or ali of them may be
subjected by reasan of, or resulting from, directly or indirectly, the negligence,
recklessness,ar willful misconduct of Contractor,its offic�rs,emplayees or agents in
the perfos�mance of professianal services under this Contract, except when liability
arises due to the sole negligence, active neglrgence or misconduct of the City.
B. Other than in the perft�rmance of professional services by a design professi�anal,
w�iich is addressed solely by subdivision(A) af this Section, and to the �ullest extent
permitted by law, Contractt�r shall indemnify proteet, defend and hold harmless,
City, its elected officials, officers, employees, and agents, and each and every one �f
them, frorn and against a11 actians;damages, costs, liability, claims, losses, penalties
and expenses {including, but not lirnited to, reasonable attc�rney's fees of the City
Attomey or legal caunsel retained by City, expert fees, litigation c�sts, and
investigation costs) of every type and d�scriptic�n to which any or a11 of them may be
subje�cted by reason of the performance of the services re�uired under this Contr�ct
�y Cantractar its officers, empinyees or agents in the performance of professional
services under this Contract, except when liabiiity arises due to the sole negligence,
active negligence or misconduct c�f the City.
C. The Contractor's c�bligation to defend, indemnify and hald harmless shall not be
excused because of the Cc�r�tractor's inability to evaluate liability. The Contractor
shall respond within thirly (30) calendar days to the tender af any clairn for deferise
and indemnity by the City, unless this time has been extended in writing by the City.
If the Contracttrr faiis to accept ar xeject a tender of defense and indemnity in writing
delivered to City withi� thirty (30) calendar days, in additian ta any other remedy
autharized by 1aw, the City may withhold such fi,inds the City reasonably considers
necessary for its defense and indemnity until disposition has been made of the elaim
or until the Cantractor accepts or rejects the tender of defense in writing delivered to
the City, whichever �ccurs first. This subdivision shall n�t be c�nstrued to excus�
the prompt and continued performance of the duties required of Contraetor herein.
D. The obligatian to indemnify, protect, defend, and hold harmless set fo�-th in this
Section applies ta all claims and liability regardless ofwhether any insurance policies
are appiicable. The palicy limits of said insurance policies do not act as a limitation
upon the amount of intlemnification to be provided by Cantractor.
D: City shall have the right to approve or disapprave the legal counsel retained by
Contractar pursuant to this Section to represent City's interests. City shall be
reimbursed fQr all costs and attorney's fees incurred by City in enforcing the obligations
set forth in this Sectit�n.

SECTION 7. CONTRACT IIVTERPRETATION, VENUE AND ATTORNEY FEES
A. This Contract shall be deemed to have been entered into in Redding, Califarnia. All
questions reg�rding the validity, interpretation ar perfarmance af any of its ierms or
of any rights or ob7igations of the parties to this �ontract shail be governed by
California law. If any claim, at law or atherwis�, is made by either party t4 this
Contract, the prevailing party shall be entitled to its costs and reasonable attorneys°
fees.
B. This document, including all exhibits; cQntains the entire agreement between the
parties and sup�rsedes whatever oral or written understanding each rnay �a�ve had
prio�r to the execution of this Contract. This Contract shall not be altered, amended
or rnodi�ed except by a writing signed by City and Contractor. No verbal agreement
or conversation with any official, c�fficer, agent Qr employee af City, either befare,
during or after the execution of this Cantract, shall affect or modify any of the terms
or conditions contained in this �c�ntract, nar shall any such verbal agreement or
conversation entitle Contractor to any additional payment whatsoever under the terms
of this Contract.
C. No covenant or canditi�n t� be perfarmed by Contractor under this Contract can be
waived except�y the written consent of City. Forbearance or indulgence by City in
an� regard r�vhatsoever shall not constitute a waiver of the covenant ar condition in
question. Until perforrnance by Contractor of said covenant or condition is camplete,
City shall be entitled to invoke any remedy available tt� City under this Contract ar
b�law or in equity despite said fc�rb�arance or indulgence.
D. If any portion ofthis Contract or the application thereof to any persan or circumstance
shall be invalid or unenforceable to any extent, the remainder of this Contract sh�ll
not be affected thereby and shall be enforced to the greatest extent permitted by law.
E. The headings in this Contract are �nsertec� for convenience anly and shall not
constitute a part hereof. A v�aiver of any party of�ny pr�vision c�r a breach of this
Contract must be provided in writing, and shall not be construed as a waiver of any
other provision or any succeeding breach af the same or any other provisions herein.
F. Each Party heretc� declares anrl represents that in entering into this Contract, it has
relied and is relying sc�lely upon its own judgment, belief and lcnc�w�edge of tl�e
nature; extent, effect and consequence relating thereto. Each Party further declares
and represents that this Contract is made without reliance upon any statement ar
representation nt�t contained herein of an�other Party ar any representative, agent or
attorney of the other P'arty: The Parties agree that they are aware that they have the
right to be ad�ised by counsel with re�pect to the negotiations,terms, and conditions
Qf this Cantraet and that the decision of whether or not to seek the advice of caunsel
with re�pect to this Contract is a decision which is the sole responsibility of each of
the Parties, Accordingly, no party shall be deemed to have been the drafter hereof,

and the principle of law set forth in Civil Cade § 1654 that eantracts are construed
against the drafter shall not apply.
G. Each ofthe 1'arties hereto hereby irrevocably waives any and all right to trial by jury
in any action, proceeding, claim ar counterclaim, whether in contract or tort, at law
or in equity, arising out of or in any way related to this Agreement or th�transactions
contemp�ated hereby. Each Party further waives any xight to consolidate any action
which a jury trial has been waived with any other aetion in which a jury trial cannot
be or has not been waived.
H, In the event of a confli�t between the term and eonditions+�f the bady af this Contract
and those of any exhibit or attachment heretc�, the terrns and canditions set forth in
the body of this Ct�ntract�roper shall prevail, In the event af a conflict between the
terms and conditions of any two or mare exhibits or attachrnents hereto, tho�e
prepare�l by City sha11 prevail over those prepared by Contractor.
SECTIOIV 8. SURVNAL
The provisions set farth in Sections 3 thrQugh 7, inclusive, of this Contract shall survive
termination of the Gontract.
SECTION 9. COMPLIr�N�E WITH LAWS -NONDISCRIMINATION
A, Contractor shall comply with all applicable laws; c�rdinances and cades of federal,
state and lacal governments.
B, In the perfr�rmance of this Contract, Contractor sha11 not discrirninate against any
employee or applicant far employment because of race, color, ancestry, natianal
origin, religic�us creed, sex,sexuai orientatian,disability, age,marital status,�olitical
affiliation, or membership or non-membership in any organization. Cc�ntractor shall
take affirinative action to ensure applicants are emplayed and that employees are
treated during their employment without regard to their race;calor,ancestry,natianal
t�rigin, religious creed, sex,sexual c�rientation,disability, age,marital status,political
affiiiation, or n�ernbership or non-membership in any arganization. Such actions
shall inc3ude, but not be limited to, the following: employment, upgrading, demotion
or trans�`er, recruitment or recruitment advertising,layt�ff or t�rmination,rates of pay
or other forms of campensation and selection for traiziing.

pravided in this Contract; and that the execution, perfflrrnance and delivery of this
Contract by said signatories has been fully autharized by all requisite actions c�n the
part of the respective parties ta this Contract.
B. When the Ivlayor is signatory to this Contract, the City Manager and/or the
Department Director having direct responsibility for managing the services provided
herein shall have authority tc� execute any ame�dment to this Contract which does

THIS CONTRACT{C-10$44) dated June 5, 2025, between the City af Redding ("City"), a municipal
corporation, and Peerless Building Maintenance Inc., ("Coniractor"}, a private janitorial firm, and having
been amended on November 18, 2025, far the pur�aose of prouiding janitorial services for variaus City of
Redding Facilities is hereby amended as follows:
SECTIQN l. CONTRACTOR SERVICES: is amended tc>read:
Subject to the terms and conditions set forth in this Contract, Contractor shall provide to City the
services described in Exhibits A,A-1, A-2 attached and incorporated herein. Contractor shall
provide the services at the time, place and manner as specified in Exhibits A,A-1, and A-2.
SECTION 2. COMPENSATION AND REIMBURSEMENT OF CQSTS is amended to read in its
entirety:
A. City shall pay contractor for services rendered pursuant to this Contract, at the times and in the
manner set farth in Exhibit B attached and incarporated herein, in a total amount not to exceed
($367,129.16) three hundred and sixty-seven thousand one hundred and twenty-nine dollars and
sixteen cents starting May 1, 2026 through 3une 30, 2026.
City shall pay contractor ($435,919.84) four hundred and thirty-five thousand nine hundred and
nineteen dollars and eighty-four cents starting July 1, 2026, through June 3Q, 2027. This sum
includes all out-of-poeket travel, lodging and incidental expenses incurred by Contractar that are
reasonable assaciated with the provision of services under this Contract. The payments specified
herein shall be the only payments to be made to eontraet for services rendered pursuant ta this
Contract.
B. City shall pay Contractor for additional janitorial services rendered in August 2025 for a total not
to exceed ane thousand nine hundred and seventeen dollars ($1,917.00). The one-time services
added under this Second Amendment are as follows:

conditions of the Consulting and Frofessional Services Gantract having an effective date of June 5, 2025,

Recommendation
Authorize and approve the following actions relative to Request for Proposals (RFP) Sched�ule
No. 5589 for Janitorial Services at City of Redding facilities:
(1) Award RFP to Peerless Building Maintenance, Inc.;
(2) Authorize the City Manager, or designee, to execute a Consulting and Professional
Services Contract with Peerless Building Maintenance Inc. for an amount not to exceed
$694,096.32; and
(3) A�uthorize the City Manager, or designee, to approve any amendments up to $35,000.
Fiscal Impact
The Consulting and Professional Services Contract (Contract) for City of Redding (City)
janitorial services is managed by the Building Maintenance Division, an internal service housed
in the Community Services Department. The contract is funded by a11 other City departments

Background/Analysis
On April 1, 2025, a formal Request for Proposal (RFP)No. 5589, outlining the scope of work for
janitorial services at various City facilities, including City Hall, Avtech, Corporation Yard, the
Dr. Martin Luther King Jr. Center, water treatment plants, and other locations further described
in the RFP and contract. Proposals submitted included a scope of work and a proposed fee. An
on-site inspection was also provided on April 17, 2025, to provide context of the work required
for this bid. On April 30, 2025, proposals and fee schedules were received and reviewed from
five firms, listed as follows:
• Siskiyou Opportunity Center;
• Mack Janitorial and Maintenance;
• Vested Solutions;
• Maui Bob's; and
• Peerless Building Maintenance, Tnc.
A three-member selection panel, consisting of City staff from the Building Maintenance and
Community Services Administration Divisions, evaluated the proposals based on the criteria
outlined in the RFP. The criteria consisted of compliance with proposal submittal requirements,
experience and reference, cost, and interview/presentation. Applying the criteria to the proposals,
the selection panel determined that Peerless Building, Maintenance, Inc., as their overall
recommendation.
It was the opinion of the selection panel that Peerless demonstrated an ability to meet the
objectives of the RFP and demonstrated best value. The contract will have an initial two-year
term plus three optional one-year extensions.
Environmental Review
This action is not a project as defined under the California Environmental Quality Act, and no
further action is required.

Recommendation
Authorize and approve the following:
(1) Authorize the City Manager, or designee, to execute the First Amendment with Peerless
Building Maintenance Inc. Contract (C-10844) for janitorial services, and increase the
contract amount from $347,048.16 to $364,952.16 ($17,904 annually) for �iscal years
2025-2026 and 2026-2027;
(2) A�uthorize the City Manager, or designee, to approve any further amendments up to
$35,000 annually;
(3) Adopt Resolution approving and adopting the 17�'Amendment to Budget Resol�ution No.
2025-049 appropriating an annual increase of $17,900 for janitarial services for �scal
years 2025-2026 and 2026-2027; and
(4) Find that amending an agreement is not a project as de�ned under the California
Environmental Quality Act, and no further action is required.
Fiscal Impact
As background, the Consulting and Professional Services Contract C-10844 (Contract) for
janitorial services with Peerless Building Maintenance, Inc. (Peerless) in the City of Redding
(City) is managed by the Community Services Department's Building Maintenance Division and
the contract is funded by various City departments that require janitorial services. The current
contract amount is $347,048.16, which totals $694,096.32 for the full two-year term. The subject
First Amendment increases the contract to $364,952.16, resulting in a total of $729,904.32 for
the two-year term.
The annual increase of$17,904 equates to a total contract increase of$35,808 and is primarily
due to an error provided to all bidders regarding the square footage of some City facilities.

The pricing for the contract is fixed for the first two years but may be adjusted annually based on
the Consumer Price Index upon the expiration of the initial term - June 30, 2027. There is no
General Fund impact as the annual costs increases to the contract are funded by the associated
Enterprise Fund Departments.

the accompanying budget increase, and instead,provide staff with an alternate direction.
Background/Analysis
In May 2025, the Council authorized and approved the award of Request for Proposal (RFP)
Schedule No. 5589 for janitorial services at City facilities to Peerless. The Council also
authorized the City Manager, or designee, to execute a Consulting and Professional Services
Contract with Peerless for an amount not to exceed$694,096.32. The contract was fully executed
on June 5, 2025.
Due to a change in square footage and requests for adjustments in services from various
divisions, Peerless has revised its pricing structure to better reflect the services that will be
provided. Both the City staff and the vendor remeasured the facilities being served and
discovered an increase in square footage due to recent construction that was not captured in the
scoping phase for the RFP. The remaining increase was due to two departments requesting an
increase in service from one day per week to two days per week.
The City Attorney's Of�ice has reviewed and approved the proposed language of the agreement.
