SUBJECT: 4.11(e)--Award Request for Proposal No. 5666 and Authorize Execution of
Consulting and Professional Services Contract for Construction Management and Inspection
Services for the Westside Road Brid e Over Can on Hollow Creek Re lacement Pro'ect
Recommendation
Authorize and approve the following actions relative to Request for Proposals Schedule No.
5666, Construction Management and Inspection Services for the City of Redding Westside Road
Bridge over Canyon Hollow Creek Replacement Project:
(1) Award to Webster Engineering, Inc.;
(2) Autharize the Mayor to execute a Consulting and Professional Services Contract for a
not-to-exceed fee of $1,064,870.00 with Webster Engineering, Inc., to provide
Construction Management and Inspection Services;
(3) Authorize the City Manager, or designee, to approve contract amendments not to exceed
$50,000;
(4) Adopt Resolution approving and adopting the 37th Amendment to City Budget
Resolution No. 2025-049 appropriating $537,800 of Traffic Impact Fees for the Westside
Road over Canyon Hollow Creek Bridge Replacement Project; and
(5) Increase the construction management budget for the Westside Road over Canyon
Hollow Creek Bridge Replacement Project by $537,800 to bring the construction
management total to $1,250,300 and thus the total project budget to $7,508,026.
Fiscal Impact
The Consulting and Professional Services Contract wi11 be funded by a combination of two
sourees which consist of the Federal Highway Bridge Program (HBP) and the City of Redding
(City) Citywide Traffic Impact Fee (TIF) Program.
The attached budget resolution transferring $53'7,800 from the TIF Program to the Project for
Construction Management is required to fully fund the projeet. The City anticipates that this fund
increase will be grant-eligible, meaning the increase in Traffic Impact Fee will be reimbursed
88.53 pereent through the Federal Highway Bridge Program and the remaining 11.47 percent
will be funded with TIF Funds. When additional HBP funds are allocated to the project, the

exchange of TIF for grant funds will be performed administratively. The total estimated cost of
the Project is $7,508,326.

Project cost components are estimates and some shifting of the project development,
construction management, and construction contingency funds may be necessary to balance the
project within the approved budget.
Alternative Action
The City Council (Council) may choose not to award this contract; in which case, City of
Redding (City) staff would be required to perform the construction management and inspection
services. This would require either consultant services to be solicited for other capital work or a
reduction in the City's capital program delivery.
Background/Analysis
The proposed Westside Road Bridge over Canyon Hollow Creek Replacement Project (Project)
includes the replacement of the Westside Road bridge over Canyon Hollow Creek as well as the
approach roadway to the bridge. The work will include removal of the existing bridge in stages,
construction of new bridge over two construction seasons, construction of sidewalk, curb and
gutter, utility relocation, roadway construction, and other miscellaneous items of work.
On February 17, 2026, the Council awarded the Project construction to J.F Shea Inc. of Redding,
California. It is anticipated that the project will be completed in fa112027.
Due to the City's engineering staff's oversight of a significant number of projects this upcoming
construction season, there is insufficient staff to manage a project of this magnit�ude and
complexity without affecting the delivery of other projects. Therefore, consultant support is
required.
Consultant Selection Pr�ocess
In January 2026, a formal Request for Proposals (No. 5666), outlining the specific scope of
work, was advertised. Proposals were requir�d to include a scope of work and proposed f�e. On
February 13, 2026, proposals and fee schedules were received and reviewed from four firms.
A review and selection panel were formed consisting of inembers from the Public Works
Department. The proposals were evaluated based on the understanding of the scope of work,

ability to meet the proposed schedule and maintain the project budget, experience and
qualifications of the proposed staff, ability to work with City staff, project approach, familiarity
with City procedures, and geographic location of the team.
Applying the criteria to the proposals, the selection panel determined that Webster Engineering,
Inc., has the necessary experience and expertise to provide the required services for this project.
Following the evaluation and ranking, Webster Engineering, Inc., proposed fees were opened,
evaluated, and negotiated to include reasonable costs based on the scope of services as well as
previous similar project cost comparisons.
The consultant fee is estimated and payments will be for actual work performed on a time and
materials basis within the not-to-exceed contract limits. However, staff recommends the approval
of an additional $50,000 in contingency reserve. Contingency funds may be necessary due to
unforeseen project issues. If the contingency reserve needs to be utilized, an amendment would
be negotiated with the consultant and the contract would be modified with approval of the City
Manager. The attached professional services agreement with Webster Engineering, Inc., is
approved as to form by the City Attorney and executed by the consultant.
Environmental Review
This action is not a project as defined by the California Environmental Quality Act (CEQA). On
June 16, 2020, the Council adopted the Mitigated Negative Declaration and the Mitigation
Monitoring Program and approved the project, thereby satisfying the requirements of the CEQA
Guidelines Section 15074. No further action is required.

THIS �Ol�tTRACT ("Contract") is made at Redding, California, by and between the City of
Redding ("City"), a rnunicipal corporation, and Webster Engineering, Inc,, a California
corporation("Consultant"}„(c�llectively the"Farties"individually a"Party"for the purpase of the
Westside Road Bridge Over Canyon Hollaw Creek Replacernent Project.
WHEREAS, a �ource c�f funding for payrnent for prafessianal ser�ices provided under this
Agreement is federal funds from the United States Department of Transportation.
V�HEREAS, Consultant desires to perforrn and assume�esponsibility far the provisic�n of certain
professianal services required by City on the terms and conditit�ns set forth in this Cantract,
N(7�W, THERET'ORE, the 1'arties covenant and agree, far good consideration hereby
acknowledged, as fc�llt�ws:
SECTION 1, CONSi1LTANT SERVICES
A. Subjectto the terms and conditions set forth in this Contract,Consultant sha11 provide
to City the services described in Exhibit A, attached and incorpc�rated herein.
Consultant shall provide the services at the time, place and in the manner specified
in E�-iibit A. All Consultant personnellisted as members �f the project team in the
attached exhibits shall remain on project unless prior apprc�val for the change in
personnel has been granted by City's C�ntract Administrator.
B. Consultant shall submit prc�gress reports at least once a month. Each progress repart
should be sufficiently detailed for the Contract Administrator, as noted in Sectic�n
10.A,ta:;l)determine if Consultant is performing ta expectations and is on schedule;
2) provide communicatian of interim findings, and 3) sufficiently address any
difficulties or special problems encauntered.
C. Cansultant's Project Manager, as noted in Section 10.B'., shall meet with City's
Contract Administrator as needed ta discuss progress �n the scope of work,
L�. Nothing cantained in this Gontract or otherwise shall create any contractual relation
between City and any subconsultant, and na subcontract shall relieve Consultant of
its responsibilities and obligatians hereunder. Consultant agrees ta be as fully
responsible to City far the acts and om:i$sions of its subconsultants and of persons
either directly ar indirectly employed by any ofthem as it is for the acts and omissions
af persons direetly employed by the Consultant. Consultant's obligation to pay its
subconsultants is an independent obligatic�n from the City's c�bligation to �ake
payments to Consultant.
E. Consultant shall perform the work contemplated with resaurces available within its
awn organizatian and no portion c�f the work pertinent to this contract shall be

subcontracted without written authorization by City's Contract Administrator,except
that, which is expressiy identified in the approved Gost Proposal.
F. Gansultant shall pay its subconstzltants within seven (�) calendar days from reeeipt
af each payment rnade to Consultant by City, in ac�ardance with the pravision in
Seetion 7108.5 of the California Business and Professions Code. Concerning prompt
payrnent to contractars. The 7-day rule is applicable unless a longer period is agreed
tc� in writing. Any delay c�r pastponement of�ayrnent aver 30-days may take place
anly for good cause and with the agency's prior written approval, Any �ic�lation c�f
Section 7108.5 shall subj�ct the violating cnnsultant or subconsultant to the penaities,
sanctions;and other remedies c�f that Section. This requirement shall not be construed
t� limit or impair any contractual, administrative, or judicial remedies, otherwise
available to the consultant or subcansultants in the event of a dispute invt�lving late
payment or nonpayment by the cansultant, deficient subconsultant perfc�rmance,
and/or noncompliance by a subconsultant. This claus� applies to bath DBE and non-
DBE subcc�nsultant.
G, Any subcc�ntract in exce5s of$25,000 entered into as a result of this cc�ntract shall
contain aIl the prnvisions stipulated in this cc�ntract ta be applicable to subconsultants.
H. Any substitution of subconsultants must be apprc�ved in writing by City"s Contract
Administratc�r prior to the start of work by the subconsultant,
I. Consultant and any subconsultant shall permit City, the State af Califa�nia, and the
Federal Higllway Administration("FHWA"), if federal participating func�s are used
in this Contract,to review and inspect the project activities and files at a�l reason�,ble
times during the performance period of this Contract including review�nd inspection
on a daily basis.
SECTION 2. COMl'ENSATItJN AI�TD REIMBURSEMENT OF COSTS
A. The method of payment for this contract will be based on aetual cc�st plus a fixed fee.
City will reimburse Cansultant for actual costs (including labor costs, employee
benefits, travel, equiprnent rental costs, overhead and other direct costs) incurred by
Consultant in performance of the work. Consultant will not be reimbursed for actual
costs that exceed the estimated wage rates, employee benefits, travel, equipment
rental,overhead,and other estimated costs set forth in the approved Cc�nsultant's Co�t
Proposal,unless additional reimbursement is provided for by contract amendment. In
no event; will Cansultant be reimbursed it�r averhead casts at a rate that exceeds
City's approved overhead rate set forth in the Cost I'roposal. In the event, that City
determ�nes that a change ta the work from that specified in the Cost Proposal and
contract is required, the contract time or actual costs reimbursable by City shall be
adjusted by contract arnendment ta accommodate the changed wor�. The maximurn
total cost as specified in Paragraph "I" shall not be exceeded, unless autl�orized by
contract amendrnent.

C. Reimbursement far transportation and subsistence costs shall not exceed the rates
specified in the ap�roved Cost Praposal.
D. When milestone cost estimates are included in the approved Cost Propasal,
Consultant shall obtain priar written appra�al for a revised rnilestone c�st estimate
fram the Co�tract Adrninistrator before exceeding such cost estimate.
E, Progress payments �vill be made manthly in arrears based on services provided and
allowable incurred costs.A pro rate portion of Cansultant's fixed fee will be included
in the mc�nthly progress payments. If Consultant fails #o subrnit the required
deliverable iterns according to the schedule set for in the Statement of WQrk, City
shall have the right to delay payment �r terminate this Cantract in accordance with
the prQvisic�ns of Section 3 "Term and Termination".
F. No payment u�ill be made priar to approval af any wo�k,nor fcsr any work performed
prior to approval af fhis contract.
G. Na retainage will be held by City from prc�gress payments due C�nsultant. Any
retainage held by Consultant or subcansultants from progress payments due
subconsultants shall be promptly paid in full to subcansultants within thirty (30)
calendar days after the subconsultant's work is satisfactorily completed. Federal law
(49 CFR26.29) requires that any delay or postponernent of payment over the thirty
(30) days may take place only�ar gc�od cause and with City's prior written approval.
Any vialatian of this provision shall subject the violating Consultant or subconsultant
tc, the penalties, sanctians and other remedie� specified in Section �108.5 of the
Business and Professions C�de. These requirements shall not be construed to limit or
impair any contractual, administrative, o�judicial remedies, c�therwise available to
the Consultant or subconsultant in the event of a dispute involving late payment or
nc�npayment by Consultant, deficient subcansultant perf�rmance, ar noncompliance
by a subconsultant.
H. Consultant will be reimbursed as promptly as fiscal prflcedures will permit upon
receipt by City's Cantract Administrator of itemized invoices in triplicate. Invoices
shall be submitted no later than 45 calendar days after the performance af work for
which Consultant is billing. Invoices shall detail the work performed on each
milestane ant� each project as applicable; Invoices shall follow the forrnat stipulated
for the approved Cost Proposal and shall reference this contract number and project
title. F�nal invoice must contain the final cast and all credits due City including any
equipment purchased under the pravisions of Section 4"Equipment Purchase"of this
contract. The final invoice should be submitted within 60 calendar days after
completit�n of consultant's work.Invoices sha11 be emailed t�a City's accounts payable

I. In aecardance with Exhibit B, attached and incorporated herein, the total amount
payable by City including the fixed fee shall nat exceed On� Millit�n Sixty-Four
Thousand Eight Hundred Seventy and OOI10t? Dollars ($1;064,8�0.00).
J. salary increases will be reimbursable if the new salary is within the salary range
identified in the approved Cost Praposal and is approved by City's Contract
Administrator.
For personnel subject to prevailing wage rates; as described in the California Labor
Cade, a11 salary increases, which are the direct result of changes in the prevailing
wage rates are reimbursable.
K. Cc�nsultant agrees that the Contract Cost Principles and Proc�dures, 48 CFR,F�deral
Acquisition Regulations System; Chapter l, Part 31.040 et se+�., shall be used to
determine the cost allowability of individual items.
L. �crnsultant also agrees to comply with federal procedures in accardance with 49 GFR,
Part 18, Uniform Administrative Rec�ui�ements far Grants and Cooperati�ve
Agreements to State and Local Governments.
M. Any costs for which �ayment has been made to Cansultant that are determined by
subsequent audit to be unallowable under 49 CFR Part 18 and 48 CFR, Federal
Acquisition Regulations 5ystem, Chapter 1, Part 31.000 et set�., are subject to
repayment by +Cansultant to City.
N. A11 subcontracts in excess af$25,000 shall contain the above pravisions.
SECTION 3. TE AND TE ` Il�1ATIt�N
A. This contract shall go into effect on March 30, 2026, contingent upon approval by
City, and Consultant shall commence work after notification to proceed by City's
Cc�ntract Administratnr. The contract shall end on March 30, 2028, unless extended
by contract amendn�ent.
B> Cc�nsultant is advised that any recammendation for contract award is not binding on
City until the contract is fully executed and approvec�by City.
C. City reserves the right to terminate thi�cc�ntract upan thirty(30)calendar days written
noti�e to Consultant with the reasons far terminatian stated in the notice.
Ll. City may terminate this contract with Consultant shauld Cons�ltant fail to perform
the covenants herein contained at the time and in the manner herein provided. In t11e
event of`such termination, City may praceed with the work in any manner deemed
proper by City. If City terminates this contract with Cansultant, City shall pay
Consultant the sum due to consultant under thi$ c�ntract prior to terrnination, unless
the cost of campletion ta City exceeds the fi;�nds remaining in the cc�ntract. In which
case the overage shall be deducted from any sum due consultant under this contraet
and the balance, if any, shall be paid to Consultant upon demand.
E. The maximum amaunt for which the City shall be liable if this contract is terminated
is $1,064,870.00

F, It is mutually understood between the Parties that this Contract may have been written
before ascertaining the availability of funds or appropriation af funds, or for the
mutual benefit of both Pai-ties, or in order to avoid program and fiscal delays that
would �ccur if the Cantract were executed after that determinatian was made. This
Cantract is valid and enforceabl� only if sufficient funds are rnade available tcr the
City for the pur�ose of this Contract. In additi�n, this Contract is subject to any
additional restrictions, limitations, conditions, ar any statute, ordinance or regulation
enacted by the Congress, State Legislatures, ar Gity Council th�t may affect the
provisians, terms, or funding of this Contract in any manner. Consistent with Article
16, Section 18, of the California Canstituti�n, it is mutually agreed that if sufficient
funds are not appropriated,this Cantract shall be amended to reflect any reduction in
funds. City may likewise v�id the Cantract under Section 3.G.
G. In the event that�ity gives notice of terminati�n, Consultant shall promptly provide
to City any and all finished and unfinished reports, data, studies, photographs, charts
or ather wark product prepared by Consultant pursuant to this Contract,
H. In the event that City term�nates the Contract, City shall pay Gonsultant the
reasonable valtte of services rendered by Consuitant pursuant to this Contract;
provided, howe�er, that City shall not in any manner be 1iable far lost prafits whieh
might have been m�de by Cansul#ant had Consultant completed the services required
by this Contract. Consultant shall, mot later than ten (lU) calendar days after
terrnination of this Contract by City, furnish tc� City such financial infarmation as in
the judgment of the �it�r's Contract Administrator is necessary to determine the
reasanable value c�f the services rendered by Consultant:
L In no event shail the termination or expiration of this Ct�ntract be construed as a
wa�ver of any right to seek remedies in law, equity or otherwise for a Party's failure
to perfc�rrn each obligation required by this Cantract.
SECTIQN 4. EQ►UIPNiENT PURCHASE
A. Prior authorization in writing by �ity's Contract Administrator sha11 be required
before Co�sultant enters into any unbudgeted purchase order, or subcontract
exceeding $5,000 ft�r supplies, equipment, or Consultant services: Consultant shall
provide an evaluatian of the necessity or desirability of incurring such costs.
B. For purchase of any item, service or consulting work n�t covered in Consultant's
Ct�st Propasal and exce�ding $5,000, prior authc�rization by City's Contract
Administrator is required. Three competitive quotat�ons must be submitted with the
request,ar the absence of bidding must be adequately justified and accepted by City's
Contract Administrator.
C. Fursuant to 49 CFR, Part 18 and fc�r any equipment p�,irchased as a result c�f this
Contract, Consultant sha11 maintain an inventory af all non-expendable property.
Non-expenda�le praperty is defined as having a useful �ife af at least tvvo years and
an acquisitian cost of$5,000 or mo�e. If the purchased ec�uipment needs replacement
and is sold or traded in, City shall receive a proper refund or credit at the conclusion
of the Contracfi, or if the Cc�ntract is tertninated, Consultant may either keep the
equipment and credit City in an arnount equal to its fair market value, or sell such

equipment at the best price obtainable at a public ar private sale, in acc�rdance with
City's established purchasing proceduzes and credit City in an amount equal to the
sales price. If Consultant elects ta keep the equipment, fair market value shall be
determined at Cansultant's eYpense, on the basis of a competent independent
appraisa�of such equipment. Appraisals shall be obtained from an appraiser mutually
agreeable to City and Consultant. The terms and conditions af such sale must be
approved in adVance by City.
D. All subcontracts in excess $25,000 shall contain the above provisions.

5. The City does not accept insurance certificates �r endorsements with the
warding "but only in the event of a named insured's sole negligence" or any
other verbiage limiting the insured's insurance responsibility.

C. Any deductibles or self-insured retentions must be declared ta and appraved by City.
At the option of the City,either: the insurer shall reduce or eliminate such deductibles
or self-insured retentions as respects the City, its elected officials, afficers;
employees, agents and volunteers; or the Cansultant shall procure a bont�
guaranteeing payment af losses and related investigations, claims administration and
defense expenses.
D. The General Liability shall contain or be endorsed to contain the fallowing
provisions:
1. City, its elected officials, officers, employees,and agents ar�to be covered as
addititinal insured as respeets liability arising o�t of work or oper�tions
performed by or on bel�alf of Consultant; premises owned, leased ar used by
Consultant; or automobiles owned, leased, hired or borrow�d by Cansultant;
The coverage shall contain no special limitatians on the scape of protectit�n
afforded to City, its elected officials, officers, employees, agents and
volunteers.
2. The insurance coverage of�onsultant shall be primary insurance as respects
C1ty, its elected officials, officers, employees, agents and volunteers. Any
insurance or seif-insurance maintained by City, its elected officials, of�cers,
employees, agents and volunteers, s�all be in excess of Consultant's
insurance and sha11 not contribute with it.
3. Coverage sha11 state that the insurance of Consultant shall apply separately to
�ach insured against whom claim is made or suit is brc�ught, except with
respect to the limits of the insurer's liability.
4. Each insurance policy required by this Contract shall be endorsed tc�state that
coverage shall not be canceled except after thirty (30} calendar days" priar
written notice has been given to City. In addition, Consultant agrees that it
shall not reduce its coverage or limits on arny such policy except after thirty
(30) calendar days' prior written notice has been given to City.
E. Insurance is to be placed with insurers with a current A.M,Best's rating of no less
than A-VII,
F. Consultant shall designake the City af Redding; 777 Cypress Avenue, Redding, CA
960fl 1 as a Certificate Hc�lder of the insurance, Cansultant shall furn�sh City with
certificates of insurance and original endorsements effecting the cov�rages required
by this clause. Certificates and endorsements shall be submitted electronically via the
PINS Ad�vantage system. A link will be provided for the Consultant, or their
insurance agent, to enter and upload documents directly to PIN� Advar�tag�. The
certificates anci endorsements far each insurance policy are to be signed by a persc�n
authorized by the insurer to bind coverage an its behalf. All endorsements are to be
received and approved in PINS Advantage by the City's R:isk Manager priar to the
comrnencement of contracted services. City may withhold payments to Consultant if
adequate certific�tes of insurance and endarsements required have not been submitted
as described at�ove or provided in a timely manner.

G. The requirements as to the types and limits of insurance coverage to be maintained
by Consultant as required by Section 5 of this Contract; and any approval af said
insurance by City, are not intended ta and will not in any manner limit or c�ualify the
liabilities and obligations otherwise assumed by Consultant pursuant ta this Contract,
including,without limitation,provisions concerning indemnification.
H. If any policy ofinsurance required by this Section is a"claims made"policy,pursuant
to Code of Civil Procedure �342 and Government Cade§945.b,Consultant shall keep
said insurance in effect for a period c�f eighteen (18) months after the termination of
this Contract.
I. If any damage, including death, personal injury ar property damage, accurs in
connection with the performance r�f this Contract; Consultant shall immediately
notify City's Risk Manager by telephane at (530} 22`5-4068. Na later than three {3)
calendar days after the e�vent, Cansultant shall submit a written repc�rt to City's Risk
Manager containing the fnllow�ng information,as applicable: 1)name and address of
injured or deceased persan{s);2)name and address of witnesses; 3)name and address
o�Ct�nsultant's insurance compa�y; and 4) a detailed description of the damage and
whether any City property was invt�lved.

A. Consistennt with California Civi1 Cade �2782.$, when the services to be provided
under this Contract are design professional services ta be perft�rrned by a design
professional, as that term is defned under Sectian 2782.8, Consultant shalI, to the
fullest extent permitted by law, indemnify protect, defend and hold harmless, City,
its elected officials,officers,ernployees,and agents; and each and every one of them,
frorn and against all actions, damages, casts, liability, claims, losses, penalties and
expenses (including, but not �imited to, reasonable attorney's fees of the City
Attorney or legal counsel retained by City, expert fees, litigation cnsts, and
investigation costs}of every type and d�scriptic�n to which any trr all of them may be
subjected by reason of, ar resulting from, directly or indirectiy, the negligence,
recklessness, c�r willful miscanduct of Consultant, its officers, employe�s or agents
in the performance of professional services under this Contract,except when liability
arises due to the snle negligence, active negligence or misconduct of the City.
B: (�ther than in the performance of p�ofessional services by a design professional,

shall respond within thirty (30) calendar days ta the tender of any claim for defense

If the Consultant fails to accept or reject a tendex of defense and inciemnity in writing
delivered ta City within thirty (30) calendar d�ys, in additiQn tQ any other remedy
authorized by law, fhe City may withhold such funds the City reasanably consic�ers
necessary far its defense and indemnity until disposition has been made of the claim
or until the Consultant accepts ar rejects the tender of defense �n writing ttelivered to
the City,,whichever occurs fixst: This subdivision shall not be construed to excuse the
prompt and continued performance of the duties required af Consultant herein.
D. The obligation to indemnify, protect, defend, and hold harmless set forth in this
Section applies to al1 claims and liability_regardless of whether any insurance p�licies
are applicable. The policy limits of said znsurance policies do not act as a limitatian
upon the amaunt of indemnification ta be provided by Contractc�r.
E. City shall have the right to approve or disapprave the legal counsel retained by
Cansultant pursuant to this Section to represent City's interests. Ci�y shall t�e
reimbursed for all casts and attorney's fees incurred by City in enforcing the
obligations set forth in this �e�tion.
SECTION 7. MISCELLANE+DUS TE S AND CONDITIONS
A. This Contract shall be deemed to have been entered into zn Redding, California. All
c�uestians regarding the validity, interpretation or perfo�rmance of any c�f its terms or
of any rights or obligations of the parties to this Cc�ntract shall be governed by
California law. If any claim, at law or otherwise, is made by either party to this
Cc�ntract, the prevailing party shall be entitled to its casts and reasonable attorneys'
fees.
B. This document, including all e�ibits� contains the entire agreernent between the
parties and supersedes whatevex oral ar written understanding each may have had
prior to the execution af this Contract. This Contract shall not be altered, amended or
modified except by a writing signed by City and Consultant.Na verbal agreement or
conversation with any of#icial, officer, agent or emplayee of City, either before,
during ar after the execution of this Contract,shall �ffect or modify any af the terms
or conditions contained in this C�antract, nar shall any such verbal agr�ement or
conversation entitle Consultant to any additional payment whatsoever under the
terms of this Confiract.
C. N� covenant or canditian to be perforrned by Consultant under this Contract can be
waived except by the written consent of City: Forbearance or indulgence by City in
any regard vvhatsoever shall not constitute a waiver of the covenant ar candition in
question. Until performance by Cons�xltant of said covenant or conditior�is complete,
City shall be entitled to invoke any remedy available to City under tihis Cantract or
by law or in e€�uity despite said forbearance or 3ndulgence,
D. If any portion of this Contract or the applicatifln thereof to any persan or circumstance
shall be invalid or unenfor�eable to any extent, the remainder of this Cor�tract shall
nat be affected thereby an�l shall be enforced to the greatest ext�nt permitted by law:

E. The headings in this Contract are inserted for convenience anly and shall not
canstitute a part hereof. A waiver of any �arty of any pravisian or a breach of this
Ct�ntract must be provided in writing, and shall not be construed as a waiver of any
other prflvision or any succeec�ing breach af the same or any ather pravisions herein.
F. Each Party hereto declares and represents that in entering into this Contract, it has
relied and is relying solely upon its own judgment, belief and knowledge of the
nature, extent, effect and consequence relating thereto. Each Party furkher declares
and represents that this Contract is made without reliance upan any staternent ar
representation not contained herein af any othei Party or any representative,agent or
attorney of the other l'arty. The Parties agree that they are aware that they have the
right to be advised by counsel with respect tc� the negotiations, terms, and conditions
af this Contract and that the decisic�n of whether or not to seek the advice of counsel
with respect to this Cc�ntract is a decision which is the sole respansibility of each of
the Parties. Accordingly, no party shall be deemed ta have been the drafter hereof,
and the principle of law set f�i�th in Civil Code §1654 that contr�cts are construed
against the drafter shall not apply.
G. Each of the Farties hereto h�reby irrevc�cably waives any and all right ta trial by�ury
in any action, proceeding, claim ar counterclaim, whether in contract or tort, at law
or in equity, arising out of or in any way related tc�this Agreement or the transactions
contemplated hereby. Each Party further waives any right to consalidate any action
in which a jury trial has been waived with any ot�er action in which a jury trial cann�t
be or has not been vvai�ved.
H. In the event ofa conflict between the term and conditions ofthe bady afthis Contract
and thase of any exhibit or attachment hereto, the terms and conditions set forth in
the body of this Contract shall prevail. In the event of a eonflict between the terms
and conditic�ns of any two or more exhibits t�r attachrnents hereta, tl�t�se prepared by
City shall prevail flver those prepared by Consultant.
I. Pursuant to the City's business license ardinance, Consultant shall abtain a Cit�
business license pri�r ta commencing work.
J. Cansultant represents and warrants to City that it has all licenses, permits,
qualificat�ons and approvals of any nature whatsoever that are legally required for
Consultant to practice its prafession. Consultant represents and warrants to City that
Consultant shall, at its sole cost and expense, keep in effect or obtain at all times
during th� term of this Contract any licens�s, permits and approvals that are legally
required for Consultant to practice its professian.
K. Consultant shall, during the entire term of this Contract, be construed to be an
independent contractor and nothing in this Contract is int�nded, nor shall it be
construed, to create an �mployerJemployee relationship, association, joint venture
relationship,trust or partnership or ta allow City to exercise discretion or control over
the professional manner in which Consultant performs under this Contract. Any and
a11 taxes imposed on Consultant's income, impc�sed or assessed by xeason of this
Contract t�r its perfc�rmance, ineluding but nofi lirnited to sales or use taxes, shall be
paid by Cc�nsultant.Consiiltant shali be responsible for any taxes ar penalties assessed
by reas�n of any claims that Consultant is an employee of City. Consultant shall not
be�ligible for coverage under City's workers' compensation insurance plan,benef�ts

under the Public Employee Retirement System or be eligible for any other City
benefit.
L. No prc�vision�f this Contract is intended to,or shall be for the benefit of,or canstrued
to create rights in, or grant rernedies to, an�person or entity not a party hereto.
M. No portion of the work or services to be perfa�rmed un�er this Contract shall be
assigned, transfened, conveyed or subcontracted withou� the �arior written approval
of City. Cansultant may use the services of independent contractors and
subcontractors to perfor�n a portion af its abligations under this Cc�ntract with the
prior written approval of City. Inde�endent contractr�rs and subcontractars shall be
prvvided with a copy af this Contract and Consultant shall have an affirmative duty
to assure that said independent contractors and subcontractors camply with the same
and agree to be bound by its terms. Gonsultant shall be the responsible party with
respect tc� all actions of its independent cc�ntractors and subcontractors, and shall
c�btain such insurance and indemnity provisions from its contractors and
subcantractors as City's Risk Manager shall determine tc� be necessary.
N. Consultant shall perform all services required pursuant to this Cantract in the manner
and according to the standards observed by a competent pr�:�titioner of Consultant's
profession. All products of whatsoever nature which Consultant delivers to Ciiy
pursuant ta this Contract shall be prepared in a professional rnant�er and confortn to
the standards of quality norrnaliy observed by a person practicing the profession of
Consultant and its agents, employees and subcantractors assigned to perform the
services contemplated by this Contract:

SECTICIN 9. C+C�MPLIAI�TCE WITH LAWS-l�ClNDISCRIMINATION
A. Consultant shall cornply v�ith all applieable laws, ordinances, regulations and codes
of federal, state and local governments.Cc�nsultant shall include the provisions ofthis
section in all subcontracts tc�perform work under the contract.
B. Consu3tant's signature affixed herein, and dated, shall constitute a certification under
penalty ofperjury under the laws of the State of California that Consultant has,unless
exempt, cornplied with,the nondiserimination prograrn requirements of Gaverrunent
Code Section 12990 and Title 2, Califomia Administrative Code, Section 8103.
C. L?uring the performance of this Contract, Gonsultant and its subconsultants shall not
unlawfully discrirninate, har�ss, or allow harassme�t against any employee or
appticant for employrnent because of sex, race, color, ancestry, religious creed,
national origin, physical disability (including HIV and AIL?S), mental disability,
med�cal condition (e.b., cancer}, age (over 40), marital status, and denial of farnily
care leave. Consu�tant and subconsultants shall insure that the evaluation and
treatrnent of their employees and applicants far employment are free from such
discrimination and harassment. Consultant and subconsultants shall camply with the
provisions of the Faii:Einploym�nt and Housing Act(Gov.Code §12990(a-f�et seq.)

12990 (a-fj, set forth in Chapter� af Division 4 of Title 2 of the California Code af
Regulations, are incorporated into fihis C�ntract by reference and made a part hereof
as if set forth in full. Cr�nsultant and its subconsultants shall gi�ve written notice of
their obligatians under this clause to labor organizatic�ns with which they have a
collective bargaining or other Agreement.
D. The Consultant shall comply with regulations relative to Titie VI(nondiscrimination
in �ederally-assisted programs of the Department of Transportation - Title 49 Code
of Federal Regulations, Part 21 - Effectuation of Title VI of the 1964 Civi1 Rights
Act and Appendix E of the Title VI Assuranc�s US�OT�rder 1050.2A(attached)).
Title VI provides that the recipients of federal assistance will implement and maintain
a policy of nondiscrimination in which no person in the state of California sha11, on
the basis c�f rac�,color,national origin,religian, sex,age,disability,,be excluded frorn

E. The Consultant, with regard to the wark perforrned by it during the Agreement shall

and retention of Subconsultants, including procurernent of materials and leases of
equipment. The Consultant shall not participate either directl� or indirectly in t�e

F. The Contractor or Subcontractor shall not diseriminate on the basis of race, colar,

B. Wh�n the Mayor is signatt�ry tc� this Contract, the City Manager and/or the
Department DirectoY having direct responsibi�ity for managing the services pr�vided

not increase the amount of compensatian ailowable to Consultant t�r otherwise
substantially change the scope of the services provided herein.
SECTION 13. DISADVAN'TAGED BUSINESS ENTERPR.TSES PARTICIPATION
A. This Contract is subject ta 49 CFR, Part 2b entitled``Participation by I)isadvantaged
Business Enterprises in Department of Transportation F`rnancial Assistance
Programs". Consultant shall be guided by, and camply with, Exhibit 10-01 and
Exhibit l(?-C12 of the Local Assistance Procedures 1Vlanual (``LAPM"), attached and
inco�porated herein.
B. Consultant must give consideration to DBE fi�ms as specified in 23 CFR 172.5{b),
49 CFR, Part 26, If the contract has a DBE goal, Consultant must meet the goal by
using I7BE'� as subconsultants or docuinent a good faith effort to have met the gaal.
If a DBE subconsultant is unable to perform, Consult�nt must rnake a good faith
effort to replace himlher with anc�ther DBE subcc�nsultant if the gcral is nat otherwise

C. A DBE may be terminated only with written approval of City and only for the reasons
specified in 49 CFR 26.53{�. Prior to requestin� City's consent fc�r the proposed
t�rmination, Consultant must mzet the pr�cedural requirements specified in 29 CFR
26.53(f},
D. Consultant shall maintain recc�rds of materials purchased or supplied from all
subcontracts entered intc�with certified DBE's. The records sha11 show the narne and
business address af each DBE or vendor and the total dollar amount actually paid
each DBE or vendor, regardless of tier. The records shail show the date of payment
and the tntal dallar figure paid to all firms. DBE prime consultants sha11 alsc� shaw
the date of work perf�rmed by their own forces along with the carresponding dollar
value of`the work.
E. UpQn cc�mpletion of the Contract, a summary of these records shall be prepared and
submitted on the form entitled, "Final Report-Utilization c�f Disadvantaged Business
Enterprise (DBE), First-Tier Subconsultants," GEM-24fl2F {E�iibit 17-F, Chapter
17; of the LAPM), certified correct by Consultant or Consultant's authorized
representative and shall be furnished to City's Contract Administrator with the final
invoice. Failure to provide the summary of DBE payments with the final invaice will
result in 2S percent of the dollar value af the invoice being withheld frorn payment
until the form is submitted. The arnount will be returned tio the Consultant when a
satisfactory"Final Report-Utxlization of I?isadvantaged Business Enterprises{I?BE),
First-Tier Subcc�nsultants" is subrnitted ta City's Contract Administratc�r.
F. If a DBE subeonsultant is decertified during the life of this Canttact, the decertified
subconsu�tant shall notify Consultant in writing with the date of decertification. If a
subconsultant becames a certificd DBE during the life r�f the Contract, the
subcflnsultant shall nc�tify Consultant in writin�, with the date of certification. Any
changes should be reported tc�th�Agency'� Contract Adrninistrator within 30 days.
G. Any subcontract entered into as a result of this Gontract shall cantain all of the
provisions of this Sectian.
SECTION 14. CQNFLICTS OF INTEREST/UNLA�VFUL �'ONSILlERATION
A. Consultant, including its empic�yees, agents, and subcansultants, shall not maintain
or acquire any direct or indirect interest that conflicts with the per�`ormance of this
Cantract. Consultant shall comply with all requirements of the Folitical Reforrn Act
(Governrnent Cade �8100 et seq.) and other laws relating to conflicts of interest,
including the following: 1) Cansultant sha11 not make or participate in a decision
made by City if it is reasonably foreseeable that the decision may have a material
effect on Consultant's economic interest, and 2) if required by the City Attorney,
Consultant shali file financial disclosure forms with the City C1erk.
B. C�nsultant warrants, by execution of this contract that na persan or selling agency
has been employed, or retained, to solicit or secure this contract upon an agreement
or understanding, for a commission; percentage, brokerage, or contingent fee,
excepting bona fide employees, or bona fide established commercial Qr selling
agencies maintained by Consultant for the purpose t�f`securing business. For breach
or violation of this warranty, City has the right: 1) to terminate this Contract without

liability, 2}pay only for the value of the work actually performed; and 3) to deduct
from the contract price ar�consideration,or otherwise recc�ver the full amount of such
cammission, percentage, brakerage, or contingent fee.
C. Consultant shall disclase any financial, business, or other relationship vvith City that
may have an im�act upon the autcome of this Contract, or any ensuing City
construction project. Consultant shall also list current clients who may have a
financial interest in the auteome of this cantract, or any ensuing City constructian
project, which will follow.
D. Consultant hereby certifies that it does nr�t now have,nor shall it acquire any financial
ar business interest that w�uld conflict with the perforrnance of services under this
Confiract.
E. Any subcontract in excess of$25,000 entered into as a result of this contract, shall
contain all of the pr�visions of this Section A through E.
F. Consultant hereby certifies that neith�r Consultarlt, nar any firm affiiiated with
C�nsultant will bid on any canstruction contract, or on any ccsntract ta provide
construction inspection for�ny c�nstruction prc�j�ct resulting from this contract. An
affiliated firm is one, which is subject to the control of the s�me persans thraugh

G. Except for subconsultants wht�se services are limited to providing surveying or
rnaterials testing information, no subconsultant who has provided design services in
connection with this contract shall be eligible to bid on any canstruction cantract, or
on an� contract tc� provide canstruction inspectian for any constructir�n project
resulting from this contract.
H. Consultant warrants that this contract was not abtained or secured through rebates
kickbacks or other unlawful consideratian, either prornised or paid to any City
employee. For breach or violatian of this warranty,City shall ha�e the righti in its sole
discretion: 1) to terrninate the contract without liability; 2)to pay �nly for the value
of the work actually performed; 3) to deduct from the contract price; ar 4) to
otherwise rec�ver the full amaunt of such rebate, kickback or ather unlawful
consideration.
SECTIQN 15. RETENTION OF REC+O S/AUDIT
A. For the purpc�se of determininb compliance with Public Contract Code §10115, et
seq. and Title 21, Califo�-nia Code of Regulatians, Chapter 21, Section 25fl0 et seq.,
when applicable and other matters connected with the performance of the contract
pursuant to �"iovernrnent Cade �8546.�; Cc�nsultant, subconsultants, and City shall
maintain and make avail�ble for inspection all baoks, documents,papers,accounting
recnrds, and ather evidence pertaining ta the performance of the contract, including
but not limited to,the�asts of adtninistering the contract,All p�rties shall make such
materials available at their respective offices at a11 reasonable times during the
contract period and for three years frotn the date of final payment under the contract.
The state, State Auditor, Ciiy, FHWA, or any duly authorized representative c�f the
Federal Government shall have access to any books, rectirds, and documenta of

B, Any dispute c�ncerning a question of fact arising under an interim or post audit of
this Contract that is not disposed of by agreeinent, shall be reviewed by City's
Director of Finance or her designee. Nat later than thirty (30) days after issuance of
the final audit report; Consultant may request a review by City's Director of Finance
or her designe�of unresolved audit issues. All rec�tiests for r�view shall be submitted
in writing.
C. Neither th�pendency of a dispute nor its cansideration by City will excuse Consultant
from full and timel�perforrnance, in accc�rdance with the terms af this contract.
D. In cases where the maximum compensation under this Ct�ntract exceeds $150;000;
Consultant and subconsultant contracts, including cost pr�posals and indirect cc�st
rates {ICR), are subject to audits or reviews such as, but not limited to; a Contract
Au�it, an Incurred Cost Audit, an ICR Audit, or a cert�fied public accountanti(CFA)
I�R Audit Workpaper Review. If selected for audit or review, the contract, cast
proposal and ICR and related workpapers, if applicable, will be reviewed to verify
compliance with 48 CFR, Fart 31 and other related laws and regulations. In the
instanc�of a CPA ICR Audit Wor�paper Review, it is Consultant's responsibility to
ensure federal, state, or local government c�fficials are allowed full access to the
CPA's workpapers �ncluding making copies as necessary. The cantract, cost
proposal, and ICR shall be adjusted by Consultant and approved by City's Contract
Administrator to confor�n to the audit or review recommendations. Consultant agrees
that �ndividual te�ms of costs identified in the audit report sha11 be inct�rporated into
the contract by this reference if directed by City at its sole discretion. Refusal by
Consultant ta incorparate audit or review recom�nendatians, or ta ensure that the
federal, state, c�r local governments have access to CPA workpapers, will be
considered a breach of Contract terms and cause for termination of the contract and
�isallowance of prior reimbursed costs.
SECTION 16, D►ISPUTES
A. Any dispute, other than audit, concerning a questic�n of fact arising under this
Contract that is not disposed of by agreement shall be submitted in writing and
decided by City's Direct�r of Public Works, who rnay consider written or verbal
information submitted by Consultant.
B. Neither the pendency of a dispute, nor its consideration pursuant tc� this Section will
excuse Cansultant frnrn full and timely performance in accc�rdance vvith the terms of
this Contract.
SECTIQN 17. SAFETY
A. Consultant shall comply with OSHA regulations applicable to Consultant regarding
necessary safety equipment or procedures. Consultant shall comply with safety
instructions issued by City. Consultant's pers�nnel shall wear hard hats and safety
vests at all times while working on a canstruction prt�ject site.

B. Pursuant ta the authority contained in Sectian 591 of the Vehicle Code; and when
applicable,Consultant shall camply with all of the requirements set;forth in Divisions
1I, 12; 13, 14; and IS of the Vehicle Code; Consultant shall take all reasanably
necessary precautions for safe operatioi� of its �uehicles and the protection af the
traveling public from inju�y and darnage from such vehicles.
C. Any subcontract entered into as a result of this contract, shall ct�ntain all of the
provisions of this Article:
SECTION 18. OWNER�HIP �F DATA
A:. Upon completion t�f all vvork under this Gontract or terrnination of this Contract,
ownership and titie to all reports; documents, plans, specificatians, and estimates
produce as part of this Cr�ntract will automatically be vested in City, and no further
agreernent will be necessary to transfer ownership to City. Consultant shall furnish
City all necessary copies c�f data needed to complete the review and appraval pr�cess.
B. Tt is understood and agreed that all calculations,drawi�gs and specifications,whether
in hard �c�py or rnachine-readable form, ar� intended for one-time use in the
construction of the project for which this Contract has been entered intc�.
C. Cc�nsultant is not liable for claims; liabilities, or lasses arising out of, ar connected
with the modification, ar misuse by City of tihe machine-readable informatian and
data prc�vided by Consultant under this cantract: Further, Consultant is not liable for
clairns; liabilities, c�r losses arising out of, or eonnected with any use by City of the
project dc�cumentatian on other projeets for additions to this project, or for the
compietion c�f this project by others, except only such use as may be authorized in
writir�g by Consultant.
D. Except as nc�ted above, City rnay pei-mit Consultant to copyright re�orts or other
contract-related product. If copyrights are permitted, the City and the FH`JVA shall
have a r�yalty-free nanexclusive an� irrevacable right to reproduce, publish, or
atherwise use the work and to authorize others to use the work for government
purposes.
E. Any subcantract in excess of$25,000 entered into as a result of this C�ntract shall
cnntain all of the provisions �f this Section.
SECTIDN 19. CLAIMS FILED BY CITY'S +C(J►NSTRUCTIt3N C(?NTRACTOR
A. If claims are filed by City's construction cantractar relating to work performed by
Co�sultant's personnel, and additional information or assistance from Consultant's
personnel is required in order to evaluate or defend against such claims, Consultant
agrees to mak� its �ersonnel avallable for cansultation with City's construction
contract administration and legal staff and for testimony, if necessary, at depositions
and at trial or arbitration proceedings.
B. Consultant's persannel that City considers essential to assist in defending against
construction cantract�r claims will be made available on reasonable natice from City.
Cansultation or testimony will be reimbursed at the same rates, including travel costs
that are being paid for Consultant's persannel services under this contract.

unautharized use and disclosure.
B, Fermission to disclose information on one occasion, ar public hearing held by City
relating to the Contract, shall not authorize Cc�nsultant to fizrther disclose such
information, or disseminate the same on any other occasion.
C. Consultant shall not comment publicly to the press ar any other media regarding the
contract or City's actions on the same, except to City's staff, Consultant's awn
personnel inv�lved in the performance of this contract, at public heaxings or in
response to questions frorn a LegislatiVe c�mmittee.
I�, Consultant shall nc�t issue any news release or public relations item af any nature,
whatsoev�r,regarding work perfc�rmed ar to be performed under this cantract without
prior review of the �ontents thereof by City anc�receipt of City's written permission,

SECTION 21. NATIQNAL LABC?R LATItJNS B�A CERTIFICATI+DN
In accordance with Public Contract Cc�de §10296, and by signature on this Cantract,
Cansultant hereby states under penalty o�perjury that no more than one final unappealable
finding of cantempt 4f caurt by a federal caurt has been issued against Consultant within
the immediately preceding two-year period,because of Consultant's failure tc�compiy with
an order of a federal court that orders Cansultant to comp�y with an arder of the National
Labor Relations Board.
SECTION 22. I?EBA ENT AND SI.TSPENSION CERTIFI+CATION
A. Consultant's signature affixed herein, shall constitute a certification under penalty af
perjury under the laws of the State c�f California, that Consultant has complied with
Title 2 CF12 Part 18Q, "C1ME3 Guidelines to Agencies on Governrnent-wide
Debarment and Suspension {nanprocurement)", which certifies that he/she c�r any
person associated therewith in the capacity of owner, partner, director, officer, or
manager, is not currently under suspension, debarment, voluntary e�clusion, or
determination of ineligibility by any federal agen�y; has not been suspended,

the project would not proceed, as it wauld not be in compliance with the California
Environmental Quality Act (CEQA). Future opportunities for Highway Bridge Program grant
funding would also be jeopardized.

Backg�ound/Analysis
The project is located on the east side and west side of State Route 273, respectively,
appraximately 650 feet south of the intersection of State Route 273 and Buenaventura
Boulevard. The project will replace the existing Eastside Road Bridge with a new two-lane,two-
span cast-in-place reinforced concrete slab-bridge. The proposed structure wi11 pravide two 12-
foot travel lanes, 8-foot shoulders, one 6-foot wide sidewalk, and concrete barriers.
Approxilnately 300 feet of'roadway will be reconstructed at both approaches to conform to the
new bridge.
The Westside Road Bridge wi11 be replaced with a new two-lane, three-span cast-in-place
reinforced concrete slab-bridge. The propased bridge will provide two 12-foot travel lanes; 4-
foot shoulders, one 6-foot wide sidewalk, and barriers. The roadway will be reconstructed
approximately �75 fe�� �'��� ���th and 325 feet to the north to conform to the new bridge.

project is being,proposed and the potential impacts tc� the exi��������1`ronment. The IS shows
t�„
that the proposed project cou]d have a signi�cant �����,�;� �iological resources, but with
implementation of mitigation measures, those impacts wi��"�'e reduced to a level considered less
than significant. The mitigation measures and conservation measures to be implemented are
common practices and include, but are not limited to,biological pre-construction surveys, irnpact
minimizatian, exclusionary fencing,,and erasion control.
Based on the conclusions made in the IS, a MND was prepared. The MND describes the project,
including mitigation measures, and makes the determination that tl�ere will be no significant
effect on the environment provided that the defined mitigation measures are imp�emented as part
of the project. In addition, a MMP has been written and incorporated into the MND (CEQA
Section 21081.6). The MMP wi1l be used by City staff, cantractors, agencies, and monitoring
personnel during and after the project to ensure effective implementation of the adopted
initigation measures outlined in the MND.

The IS/MND/MMP documents were sent to the State Clearinghause fnr a 30-day public r�view
period and distribution to pertinent state agencies, They were sent to ]ocal resource agencies, the
Shasta County C1erk, and posted on the Public Works Department website. A public notice was
also sent to landowners in the vicinity of the project and posted in the local newspaper. Two
cominent letters were received during the public comment period. Responses to the comment
letters have been prepared and are attached to the final MND.
The City is the lead agency for the project pursuant to CEQA. As the lead CEQA agency, the
Council is authorized to adopt the MND per Redding Municipal Code Section �18.24.070.E and
state law, Upon adoption of the MND and approval of the project by the Council, a Natice of
Determination will be filed with the Shasta County Clerk's Office and the State Clearinghouse;
completing the enviranmental review process.
