Recommendation
Approve contract with Burke, Williams & Sorensen, LLP, in a not-to-exceed amount of
$300,000, for the provision of legal services as Interim City Attorney for the City of Redding,
effective upon signing.
Fiscal Impact
The total cost of the proposed contract with Burke, Williams & Sorensen, LLP, is a General
Fund expenditure with a fiscal impact of up to three hundred thousand dollars ($300,000.00) to
be billed in the amount of$335.00 per hour for Fiscal Years (FY) 2025-26 and 2026-27. Hourly
charges for legal services provided will be billed and paid monthly. Billing rates may be subject
to periodic review and adjust�nent as agreed in writing between the City of Redding (City) and
Burke, Williams & Sorensen, LLP.
Costs wi11 be partially offset by savings, due to the vacancy of City Attorney. The impact to each
department is determined by allocating the difference between the contract max ($300,000) and 3
months of personnel savings in FY 2026 and two months of personnel savings in FY 27. This
allocation was based on the assumed cross charge rate of the City Attorney to Airports, RABA,
R�IA, Redding Electric Utility, Risk/Liability and Employer Services divisions.
Alternative Actzons
The Council could decline to approve th� proposed contract and give staff alternate direction
with regard to seeking negotiations with another firm.

Background/Analysis
City Attorney Curtis has given the City Council notice that he is leaving his position with the
City of Redding and has signed a contract with the City of Milpitas. The City has initiated a
formal recruitment to fmd a replacement City Attorney, but that process wi11 not be complete
before Curtis leaves. As such, skilled City Attorney services will be needed for the interim
period.
The City Attorney is the legal counsel for the City Council and City staff, advising City officials
on all legal matters involving the City. The City Attorney reviews all contracts, leases and
agreements entered into by the City, assists departments in the research and development of City
resolutions and ordinances, oversees the Risk Management Liability, Litigation and Insurance
Division, and represents the City in state and federal court. Most matters addressed by the City
Attorney are critical in nature and time sensitive.
Burke, Williams & Sorensen, LLP, has an experienced public law practice group that provides
city attorney services. The managing partner of their Marin office, Benjamin Stock, has
experience as a City Attorney for City of Benicia and Foster City and has tackled a range of
challenging municipal law issues, including organizational turn around. The proposed contract
would have Mr. Stock serve as the Interim City Attorney, although a majority of day-to-day
work is expected to be handled by another partner in the firm, Mary Wagner. Ms. Wagner also
has extensive municipal law experience, including twenty years as the City Attorney for the City
of Sausalito.
It is recommended that the Council approve the proposed contract with Burke, Williams &
Sorensen and appoint Mr. Stock as Interim City Attorney effective as of April 5, 2026. This
timing will allow a short period of overlap, during which utilization of outside counsel is
expected to be limited and focused on ensuring a smooth hand-off. The City Manager and
outgoing City Attorney will work with departments during this period to establish processes and
expectations for the utilization of outside counsel until the recruitment for a full-time city
attorney is complete.
Environmental Review
This is not a project de�ned under the California Environmental quality Act, and no further
action is required.

THIS AGREEMENT is made by and between the City of Redding;Office of the Gity
Atttrrney("City")and Burke, Williams & Sorensen, I,LP {"Firm").

1, Periad of Perform�nee; This Agreement shall begin on the contract c�ate and shall
cc�ntinue until the City successfully retains a permanent City Attoi-ney.
2. Firm's Services and Responsibilities: Firrri �vi11 act as Interri�m City Attomey and
prnvide services to City as described in Attachment °'A"' hereta.
Benjamin L. Stock("Partner") will personally serue-as the Interim City Attorney and may
utilize other attorneys at the firm as apprapriate. Mr. Stock has been selected and
specifically retained to bring his skill, training, legal expertise, and prafessiana�judgment
tc�represent and provide ct�unsel to the City.
Firm shall provide�ity with the necessary services by staff qualified to perfarm the tasks
at the least costly billing category.
Firm shall have and maintain all backup documentation to support a11 entries included in
its billings.
Firm shall provide information to the City's insurance carrier andlor excess insurance
c�rrier on an as-needed basis when so directed by the City Council Qr City Manager:
3. Compensatian
a. Fees
i: The total amount payabie to Firm for the services to be rendered by this
Agreement is unknown at this time but shall not exceed Three Hur�dt�d
Thousand Dollars ($30t?,�00} without the prior approval of the City and
amendment of this Agreement.
ii. Firm shall provide legal services at the billing rates listed on Attachrnent
"B", attached and incorparated herein.
iii. Billing rates rnay be subjec�ta periodic review and adjustment as agreed in
writing between City and Firm, Any rate increase shall require a written
amendment to t�is Agreement.

b. Expenses
City shall reimburse Firm fc�r its actual out-of-packet expenses but without any
additional costs for having aduanced the funds.Fum shall nt�te that City is exernpt
from all filing fee charges.

4. Billin�s and P�yments
a. Billin�s
i. Firm sha11 submit its itemized,billing statement monthly to City Manager
no later than the tenth of the month follawing the manth service was
rendered.

iii. Each billing statement shall be iternized in a time reporting format
acceptable to Gity and shall include a�i�inal invQices for reimbursement of
expenses, Firm shall not be reimbursed for expenses unless the c�riginal
invoice is submitted.
iv. Firm shall have and maintain all backup documentation to support all entries
included in the monthly billing statement. Such dacumentatit��shall be in
a form subject to audit and in accordanc� with generally accepted
ac�ounting principles. Fu-m shall rnalce st�ch dacurnentatian available to
auditors upon request.
b. Payrnents
i. City's legal and accounting staff shall review all billing statements in
accardance with its review prc�cedures:
ii. City sha11 rnake its best effort ta process payments prarnptly after receiving
Fiu-m's monthly t�'rlting statement. City shalt nt�t pay interest c�r frnance
charges on any outstanding balance(s).
5. Insurance
a. Firm shall obtain and maintain in full force and effect a prafessional liability
insurance policy which prc�vides coverage rn an amount ofnat Iess than one million
dollars {$1,0�0,000) per occurrence and two millian dollars ($2,000;000)
aggregate. Firm agrees ta provide City with a Certificate of Ins�:trance evidencing
said prafessianal liability insurance policy. Said insurance policy shall provide
coverage to the City far any damages or losses suffered by the City as a result of
any error or amission c�r neglect by Firm, or any Firms or paralegals emplgyed or
associated by Firm vvhich arises out c�f the professional services required by this
Agreement. Such insurance may be subject to a self-insur�d retention or deductiible
to be borne entirely by Firn�.

b, Fu�m shall obtain and maintain warkers'compensatian insurance in accordance with
secti�n 3700 of the Calif�rnia Labor Cc�de. Firm agrees to provide City with a
Certificate of Insuranee evidencing said workers'compensation insurance policy.
c. Fum agrees to notify the City within ten (10) calendar days in the event the lirnits
of�'irm's insurance should fall belc�w the coveiage stated in this Secti�an,ar if the
insurance policies noted here are allowed to lapse and substitute insurance is not
abtained.
6. Lifi�atian, Lleposiiion, and Other Testimony: If Firm is ask�d or required ta prepare
foranc�lor testify,including, without limitatic�n, at deposition, trial, arbitration or any ot�er
proceeding,because of services rendered under this Agreement ar if Firm must respond t�
subpoenas crr discc�very or othenvise respond or perform services with respect to any matter
relating to or arising out c�f the services perf`c�rmed for City,the City agrees to pay Firm a
rate of$32S pen c��ur for all time e�cpended(including preparation tirne} and to xeimburse
Firm for reasanable costs and expenses incurred, whether or not the investigation has been
concluded at the rates set forth herein: This includes reasonable costs of 1ega1
representation, The City shall either represent tlle Fi�tmm when it testifies or select and
provide an atte�rney to repr�sent the �irrn, Furthertnore, the City shall be procedurally and
financi�lly responsible for addressing and resp�nding ta any subpoena, disc�very request,
and/c�r action af any kind, including a rnotion to compel �rodtzction of Firm's file(s} �nd
any fee and/or cost attendant theieta If the City e�pects the Frrm to ol��ect to a subpoena
for investigation file(s) and/c�r the Firm's testimony, the City will compensate the�irtn f�r
all attorney's fees incurred in responding to the subpoena and/or mation to compel
prociuction.
7. Termination; This Agreement may irnmediately be terminated without cause in whole
or in part at any time either party, in its sale discretion, deems to be in its best interest.
Services may be terminated by delivering a �vritten Terminatian Notice specifying the
extent to which services are terminated and the effective termination date.
8. T�rmination Due to Conflict of Ynterest: If either Firm c�r Gity determines a matter of
professional conflict has arisen which should not or could not be postpc�ned until the
canclusion of the matter,Firm pr City rnay give written notic� c�f imrnediat� ternzinati�n
af this Agreement subject ta Firrn's duty to provide adequate �epresentation until the
appropriate substitutions can be made.
9. Notices; All notices and required repc�rts shall be written and hand delivered or mailed
by first class, pt�stage prepaitl, addressed to City or Firm at the addresses belaw; or at any

a. No part af this Agreement or any right or obligation arising frarn it is assignable
withotit City's written consent.

11. Standarci Terms a�nd Candrti�ns
a. Indemnification
Firm shall indemnify, defend, and save han�nless City, its agents, c�fficers, and
employees from and against any and all liability expense, incl�iding defense costs
and legal fees, and claims for damages resulting from Finm`s wiliful misconduct ar
c�rnissions or negligent act or any bodily injury, death,personal injury, ar p�roperty
damage (including Firm's propertY), in connection: with F'urn's' operations or its
services, including any workers' compensatic�n suits, liability, or expe�se, arising
from or cc�nnected with services performed under this Agreement.
Notwithstanding the foregoing,if as a result of services performed or findings made
by Firm relating tt�the investigation, Firm t�r its Attorneys are named as defendants
(or respondents,charged p�rties, ar parties of any sort)in any legal action,City will
pravid�a defense at its �xpense through its legal cc�unsel, City also will indemnify
and hold the Fizm harmless with respect to any judgrnent entered against them or
any settlement agreernent {approved in advance by City) that is entered into. This
paragraph does not apply to any allegations braught by City against Firm.
b. Inde�sendent Contractor Status
i. This Agreement is between th�City and Firrn and is nat intended and shall
not be construecl to create the relationship of agent, servant, employee;
partnership,jc�inti venture;or�ssociation, as between Citiy and Firm.
ii. Firm understands and agrees that all Firm personnel furnishing services to
City under this Agreement are employees solely of Firm and nc�t of Crty for
putposes of work�rs' compensatian liability,

iii. Firm shall bear the sole responsibility and liability for fiirnishing workers'
compensati�n benefits to any Firm personnel for injuries arising frc�m
services performed under this Agreement.
c. Gc�veining Laws
This Agreement sha11 l�e ctsnstrued in accardance with the laws of the State of
Califomia.
d. Record Retentidn and Inspection
Within ten�10) days af City's written request, Firm shall allow City or authorized
State c�r�`ederal agencies or any du�y authorized representative to have the right to
access; exarnine; audit, excerpt, capy, or transcr�ibe any pertinent transactian,
activity, time cards, a� other reeords relatinb to this Agreement. Fum shall keep
such material, including all pertinent cost accounting, financial records, ancl
praprietary data for a period of three (3) years after termination �r completion of
this Agreernent unless City°s written peimission is given to dispose of material
pric�r to the end of such periad or until such titne as all audits are camplete,
�hichever is later.
At the expiration af a�y retention period required under this agreement, Firm may
destr�y any client files unless City has requested, in writiing, that said files be
delivered to City.
e. Validity
The invalidity in whole or in part of any provisian of this Agreement sha11 not void
or affect the valid ity of any oth�r provision.
f. Waiver
No waiver af a breach of any provisian of this Agreement by either party shall
canstitute a waiver of any other breach of the provision c�r any c�ther provision of
this Agreement. �'ailure ofeither party to enforce any provision of this Agreement
at any time shall not be construed as a waiver of that prc�vision.
g. Inte�;ratit�n
This Agreement shall constitute the eomplete and exclusive statement of
understanding between City and Firm which supersedes all previous written or oral
agreements,and all prior communications between the City and Firm retating to the
subject matter of this Agreernent.
12. Date of Contract: The effective date of this Contract shall be the date it is exeeuted by

Professional Services
Firm will provicie an In#erim City Attorney who, along with �'irm's other attoineys and
paralegals as appropriate, shall provide, on an interim basis; General and 5pecial Legal Services
normally provided by the City's in-hause City Attom�y. Fiim wzll coordinate with the City
Cauncil and General Manager on the allocation of work between Fum and in-house legal staff.
City Council retains ultimate authority on the allocation af 1ega1 work, but delegates to the City
