Recommendation Authorize and approve the following: (1) Approve the First Amendment to the Real Property Lease Agreement (C-10985) with County of Shasta, located at 7251 Eastside Road (Assessor's Parcel Nos. 050-050-010 and 050-070-008), to allow for assignment and subletting (grazing and Project improvements); (2) Authorize the Mayor to execute any documents related to this lease/sale of City of Redding-owned real property to the County of Shasta; and (3) Find that the action is exempt from environmental review under the California Environmental Quality Act Guidelines, pursuant to Section 15312 - Surplus Government Property Sales. Fiscal Impact There is no impact to the General Fund with this action. AZteNnative Action The City Council could choose not to approve the First Amendment. If not approved, the County of Shasta (County) will not be able to lease the property for grazing purposes or other potential improvements to expanding the alternative custody program. Background/Analysis Prior to entering into the ]ease with the County, since as early as 2006, the City of Redding (City) leased the property at 7251 Eastside Road (property) for grazing purposes. This helped control vegetation on the property and reduce fire risk on the property. The presence of grazing aetivities on the property also brought a human presenee to the property to diseourage trespassing. Report to Redding City Council October 14,2025 Re: 4.1(b)--FirstAmendment to the Real Property Lease with County of Shasta Page 2 When the City entered into the lease with the County, the City needed to cancel the existing grazing lease. Following the cancelation of the existing grazing lease, the City and County began discussing the need to have active grazing on the property to deter trespassers and for vegetation control. The existing Real Property Lease Agreement(C-10985), does not allow for subletting. The City and County worked together on the attached First Amendment to allow the County to sublease the property without needing prior City approval. This includes subleasing for cattle grazing and for uses that support the expansion of the alternative custody program and construction of a new jail. The First Amendment gives the County more flexibility to manage the property while keeping it in productive use. All other terms and conditions of the Real Property Lease Agreement (G 10985) and Real Property Purchase Agreement remain the same. The First Alnendment has been reviewed and approved as to form by the City Attorney's Office. EnviNonmental Review Staff has reviewed the activity and has determined that it is categorically exempt from environmental review under the California Environmental Quality Act Guidelines, pursuant to Section 15312 - Surplus Government Property Sales. Class 12 projects consist of the sale of surplus properties, except for the sale of land in areas of statewide, regional, or areawide concern. This City-owned property is not located in an area of concern, and the sale has no potential to have a significant effect on the environment. Attachments ^First Amendment Real Property Lease C-10985 Real Property Lease Agreement Previous Staff Report - September 2, 2025 FIRST AMENDMENT TO THE REAL PROPERTY LEASE AGREEMENT BETWEEN THE COUNTY OF SHASTA AND THE CITY OF REDDING This First Amendment is entered into between the County of Shasta, a political subdivision of the State of Cali�ornia ("County"), and the City of Redding, a municipal corporation("City"). RECITALS WI�EREAS, County and City have previously entered into a Real Property Lease Agreement effective September 9, 2025 ("Agreement"), for real property located at 7251 Eastside Road, City of Redding, County of Shasta, Assessor's Parcel Number ("APN") 050-050-010 and APN 050-070-008 ("Premises"); and WHEREAS, County and City desire to amend the Agreement to allow County to sublease or license the Premises for grazing purposes and provide County the right to enter into certain other subleases or licenses of the Premises. NOW, THEREFORE, the Agreement is amended as follows: I. Agreement Section 12,Assi�nment and Sublettin�,is stricken in its entirety and replaced with the following: Section 12. ASSIGNMENT AND SUBLETTING Except as provided below, County shall not assign this Lease, or any interest therein, and shall not lease or sublease said Premises, or any right or privilege appurtenant thereto, without the express written consent of the City. Notwithstanding the foregoing, County shall have the independent right to sublease ar grant a license to the Premises, or any part thereof, for the purpose of grazing the Premises and for any purpose which, in County's sole discretion, is related to or in furtherance of the Project (each a"Permitted Sublease"). The term of a Permitted Sublease shall not exceed County's possessory rights in the Premises. County shall give City notice of having entered into any Permitted Sublease within 30 days following execution of such agreement. II. REAFFIRMATION In all other respects,the Agreement,as amended,and any attachments,remains in full force and effect. III. ENTIRE AGREEMENT The Agreement, as amended, and any attachments, constitute the entire understanding between County and City. IV. SERVTCES AND UTILITIES 7.1 County shall pay all charges for all utilities and required cannections assac`rated with the County's intended development of the Premises during the terin ofthis I;ease. 7.2 Infrastructur•e constructed by County that shall be owned by City, including road improvements, water, sewer, and electrical, shall be built to City planning standalds. Section 8. Section 9. Section 11. OPTII�N TQ TRANSF�R TITLE 11.1 County shall have the optian (the "Option") to execute and deliver tc� City an Exercise of Option to Purchase Fremises ("Purchase Notice") �.ipon the fc�[lowing cc�nditions being rnet: 11.1.1 Approval of a Pinal Enviraninental Irnpact Report or Mitigated Negative Declaration for the Project. 11.1.2 Construction of a building necessary, as deteri�iined by the Shasta County Sheriff or the State af California, far the operatian of an alternative custody program. 11,1.3 Operation of an alternative custody prograin on the Pre�nises for a periad of no less than 12 manths which may include as part ofthe pragram, withaut limitation; car wash; abricultural progratns; vvflrk details throughout the State or comrnunity (ceinetery cleanup, brush clearing, assisting in cominunity event c�rganization,fuel mitigation,etc.);and/or waod splitting. 11.1.4 Sub�nission af an affidavit frotn the Shasta County Sheriff ar State of Calrfornia certifying the operation of an alternative cL�stady progratn. Section 13: IND�MNIFICATI(�N 13.1 To the fullest extent permitted by law,each party shall defend, indemnify; and hold t11e other party, its governing body, officers, employees, and agellts harrnless frorn and against any and all liability, loss, expense including reasonable attorneys'fees, or claims for injury ar damage arising out of the perforinance af this Lease, including, but not liinited to cleanup costs. It is the intei7t of tlle pat-ties hereto that, where nebligence ar fault is determined to have been ec�ntributory,the principles of cainparative fault will be fallowed,and each party shall bear the propoi•tionate costs of any loss, dalnage, expense and liability attributable to a finding of that party's negligence or the f�ult of that party. 13.2 Nothing in this indelnnity abligatian shall be construed tc� create alry duty to, any sta�zdard of cai�e with reference ta, or any liability or obligatian, contract�ral or o#1lerwise,ta any third party. 13.3 This indemnity obligati�n shall nat be lrmited by the types and ainounts of ii�surance or self-insurance maintained by the Parties. 13.4 The provisions of this section shall surviWe the expiratic�n or terinination of'th'rs Lease. Section 14. INSITRANCE 14,1 Each party, at its sole cost and expense, shall carry 'rnsurance or self-insure its activities in connectiai� with this Lease, and obtain and keep in force insurance or equivalent prograins of self- ins�.ir�nce, for general Iiability, professional liability, warkers' compensation, and business autamobile liability adequate to cover its potential liabilities hereunder. Report to Redding City Council August28,2025 Re: 9.1(a')--Consider Lease Agreement with County of Shasta for real property Page 2 Background/Analysis The County and the City have negotiated the attached agreements to transfer the subject property, approximately 90 acres, for the purpose of expanding the Sheriff's Alternative Custody Program and potentially construction of a new Jail. The key terms of the agreements are: • Initial lease term will be up to 30 years at the County's discretion; • No cost for the lease; • County will be responsible for utilities and a11 maintenance on the property; � County will serve as the Lead Agency in fulfilling responsibilities under the California Environmental Quality Act(CEQA); • County will have an option to take title of the property upon completion and approval of a campus wide environmental document, construction of facilities for the alternative custody prograin and operation of the same for 12 months; and • Should the County take title to the property, the City will have the right of first refusal to purchase the property for 20 years from the close of escrow should the County choose to sell. The lease agreement is contingent upon the approval of California Department of Housing and Community Development finding that the transfer is exempt surplus property. As authorized by the Section 18.10.O50.A.3 of the Redding M�unicipal Code, the Development Services Director has determined the acquisition of this property by the County is consistent with the goals and policies of the Redding General Plan. A memo from the Development Services Director reflecting this determination is attached. EnviNonmental Review Staff has reviewed the activity and has determined that it is categorically exempt from environmental review under the CEQA Guidelines, pursuant to Section 15312 - Surplus Government Property Sales. Class 12 projects consist of the sale of surpl�us properties, except for the sale of land in areas of statewide, regional, or areawide concern. This City-owned property is not located in an area of concern, and the sale has no potential to have a signifcant effect on the environment.
