SUBJECT: 4.6(b)--Approve First Amendment with Peerless Building Maintenance Inc for
Janitorial Services and Appropriate an annual increase of$17,900 for fiscal years 2025-2026 and
2026-2027
Recommendation
Authorize and approve the following:
(1) Authorize the City Manager, or designee, to execute the First Amendment with Peerless
Building Maintenance Inc. Contract (C-10844) for janitorial services, and inerease the
contract amount from $347,04$.16 to $364,952.16 ($17,904 annually) for fiscal years
2025-2026 and 2026-2027;
(2) A�uthorize the City Manager, or designee, to approve any fur�her amendments up to
$35,000 annually;
(3) Adopt Resolution approving and adopting the 17�'Amendment to Budget Resol�ution No.
2025-049 appropriating an annual increase of $17,900 for janitarial services for fiscal
years 2025-2026 and 2026-2027; and
(4) Find that amending an agreement is not a project as de�ned under the California
Environmental Quality Act, and no further action is required.
Fiscal Impact
As background, the Consulting and Professional Services Contract C-10844 (Contract) for
janitorial services with Peerless Building Maintenance, Inc. (Peerless) in the City of Redding
(City) is managed by the Community Services Department's Building Maintenance Division and
the contract is funded by various City departments that require janitorial services. The current
contract amount is $347,048.16, which totals $694,096.32 for the full two-year term. The subject
First Amendment increases the contract to $364,952.16, resulting in a total of $729,904.32 far
the two-year term.
The annual increase of$17,904 equates to a total contract increase of$35,808 and is primarily
due to an error provided to all bidders regarding the square footage of some City facilities.

The pricing for the contract is fixed for the first two years but may be adjusted annually based on
the Consumer Price Index upon the expiration of the initial term - June 30, 2027. There is no
General Fund impact as the annual costs increases to the contract are funded by the associated
Enterprise Fund Departments.
Alternative Action
The City Council (Council) could choose not to accept the First Amendment with Peerless, and
the accompanying budget increase, and instead,provide staff with an alternate direction.
Background/Analysis
In May 2025, the Council authorized and approved the award of Request for Proposal (RFP)
Schedule No. 5589 for janitorial services at City facilities to Peerless. The Council also
authorized the City Manager, or designee, to execute a Consulting and Professional Services
Contract with Peerless for an amount not to exceed $694,096.32. The contract was fully executed
on June 5, 2025.
Due to a change in square footage and requests for adjustments in services from various
divisions, Peerless has revised its pricing structure to better reflect the services that will be
provided. Both the City staff and the vendor remeasured the facilities being served and
discovered an increase in square footage due to recent construction that was not captured in the
scoping phase for the RFP. The remaining increase was due to two departments requesting an
increase in service from one day per week to two days per week.
The City Attorney's Of�ice has reviewed and approved the proposed language of the agreement.
Environmental Review
This action is not a project as defined under the California Environmental Quality Act, and no
further action is required.

THIS CONTRACT ("Contract") is rnade at Redding, Calift�rnia, by and between the City Qf
Redc�ing {"City'°), a �rnunicip�l co�oration, and Peerless Buildi�g Maintenance Inc.,
{"Contractor") a private janitorial firm, for the purpose ofproviding janitarzal services for various
City c�f R:edding facilities.
WHEREAS, City does not have sufficient personnel to perform the services required herein
thereby nece�sitating this Contract for personnel services:

and agree, fc�r good cc>nsideratic�n hereby acknowledged, as follows:
SECTIUN 1. CC}NTRACTOR SERVICES
Subject to th� terms and conditir�ns set f�rth in this Cc�ntract, Contractc�r shall provide tc�
City the services described in E�ibit A,attached and incorporated herein. Contractor sha11
provide the services at th�time, place and in the manner specified in Exhibit A.
SECTION 2. C�}MPENSATI4IY ANI)REIMBITRSEMENT{?F Gt�STS
A. City shall pay Contractor fc�r services rendered pursuant ta this Contract,at the times
and in the manner set forth in Exhibit B, attached and incorpc�rated herein, in a tota�
amaunt not ta exceed three hundred fc�rty-seven thausand and fc�rty-eight dollars,and
sixteen cents ($34'7,048.16), annually for the first two years of cc�ntract. This sum
includes all out-of-pocket travel, lodging and incidental expenses incurred by
Can#ractar that are reasonably associated with the prauision of services under this
Contract. The payments specified herein shail be the only pa�ments tQ'be made to
C�ntractor for services rendered pursuant to this Contract.
B. Prices shall be firm for the initial cc�ntract period, thraugh June 30, 2027. Prices
fluctuations, if any, for the subsequent co�tract periads may be adjusted in direct
proportian to the percentage change in the W�st—Saze Class B/�; �'c�nsurrner� Priee
Ina'ex.for all Urban Cansurne�-s (CPI-U), be.fQt�e secxsonal crdjustment, as reparted by
th� U.�S. Departmerat af'Labo�, index base peric�d (�ECEMBER 1996=111t1), �Ser�ie�

D. Gontractor hereby acknawled�es and agrees that the abligation c�f City to pay under
this Contract is contingent upon the availability of City's ds which are
appropria�ed or allacat�d by the City Cauncil. S1�ould the fundin�; fc�r the proj�ct
and/or work set fc�rth h�rein not be appr+�priated or allocated by �he City Council,
City may te inate thi� Agreem�nt by furllishing �t least thirty (3`0) �alendar days'
written notice t�f its intention to t�rrminate. In the event af a termination pursuant to
this subdivisian, Cc�ntractor shall not be entitled to a re edy of acceleration af
payments du� aver the term af this .Agre�m�nt, Tl�e P �es ackrrawledge and agree
that the power tca te inate descr�bed herein is required by Article 16, Section 1-�, of
