SUBJECT: 4.5(d)--Authorize and Approve Agreement with Anixter, Inc. for Single-Phase,
Pad-Mounted Distribution Transformers
Recommendation
Authorize and approve the following relative to Bid Sched�ule No. 5583 — Single-Phase, Pad-
Mounted Distribution Transformers for the City of Redding Electric Utility:
(1) Approve staff's recommendation to reject all bids received for Bid Schedule No. 5583;
(2) Authorize the City Manager, or designee, to execute the Goods Purchase Agreement
(Agreement)with Anixter Inc., for a total delivered cost, including tax, of$207,416.13;
(3) Authorize the City Manager, or designee, to amend the Agreement annually with Anixter
through June 30, 2029, if mut�ually agreeable, with all prices adjusted in direct proportion
to the Producer Price Index and all other terms and conditions remaining the same; and
(4) Authorize the City Manager, or designee, to approve an additional $95,000 per fiscal year
as a contingency to account for unforeseen costs, including but not limited to tariffs,
freight increases, and price increases due to supply chain constraints.
Fiscal Impact
The purchase of single-phase, pad-mounted distribution transformers is included in Redding
Electric Utility's (REU) General System Improvements Fiscal Year 2025-27 Biennial Budget
and the Overhead/Underground Infrastructure Replacement Capital Project for the Electric
Utility Line Construction Services.
In the five-year financial plan previously presented to the City Council (Council), funding for
this, including General System Improvements, was anticipated to be funded by bond proceeds. If
capital expenses associated with these efforts are projected to exceed the approved budget, staff
will return with recommendations for any necessary budgetary adjustments.

The Council could direct staff to rebid the contraet or provide alternative direction to staf�

Background/Analysis
This annual bid enables REU to procure single-phase, pad-mounted distribution transformers to
maintain stock levels and ensure availability for capital projects, system expansions, and
unplanned replacements due to equipment failures. Transformers are pieces of equipment that
step-down utility distribution voltage to service-level voltage suitable for customer use.
Maintaining an adequate supply of distribution transformers supports REU's ability to provide
reliable electric service to customers.
On April 16, 2025, staff opened six bid proposals. The apparent low bid from Anixter contained
deviations to contractual terms which were unacceptable to the City. The remaining submitted
bids were deemed unresponsive due to incompleteness, unacceptable deviations, or exceeding
the budgeted contract amount. Pursuant to Redding Municipal Code, Title 4, Chapter 4.20.120
Formal Contract Procedures, Subsection L, l. the City rejected all bids and staff negotiated with
Anixter to develop a Goods Purchase Agreement that outlines the terms and conditions for
single-phase, pad mounted distribution transformers. The resulting negotiated agreement has
been assigned Contract No. G10909. Although the agreement identifies July 7, 2025, as the
date it was "entered into," the effective date of the contract is the date of final execution by both
parties. This aligns with the contract language stating the term begins "from the date of
execution." Staff confirmed this interpretation with the vendor.
Due to ongoing political uncertainty in the United States, vendors cannot reliably project future
tariff rates. The requested contingency includes the standard 20 percent allowance for unforeseen
cost escalations, as well as an additional allowance to cover a potential 20 percent tariff on
imported materials associated with this bid. If such a tariff is enacted, the City Manager will
direct staff to amend the purchase agreement to reflect any resulting cost increase. If the total
cost exceeds both the base award and all authorized contingency amounts, staff will be instructed
to cancel the award and initiate a new bid solicitation.
Envir�onmental Review
This is not a project defined under the California Environmental Quality Act, and no further
action is required.

This Gc�ods Purchase Agreement("Agreement") is entered into this �7 day of July; 202�;

A. "Gtiods"means all machinery, equipment, supplies, items, parts, materials, labor

A. Anixter, as a distributar of the Got�ds, disclaims and excludes warranties that the
Goods are free frc�m defects in desi�n, materials and workrnanshi�� and all nther e�pre�s or
implied Warranties, including but not limited ta the implied warra�ti�s of inerchantability and
fitness for a particular purpose. Nor doe� Supplier warrant the Goods are in accordance with
speci�'ications, drawings, plans, instructions,or samples.
B: Supplier will ex�cute a11 d�cuments necessary to p�ss through to �ity t11�
manufacturerJsupplier warranties and will use camm:ercially reasQnable efforts to assist City in
obtaining the benefits of those warranties. �arranty periods and warranty scope vvill be as
pr�vided by the manufacturer or othex supplier c�f the product.
�. Supplier further represents and warrants the Goads comply with al� applicable
laws and regulations.
I�. For any breach c�f warranties cc�ntained in �ection 4.A anci�e�tion 4.�C, Supplier
will immediately after receiving notice;�rorn City, at the option af Ci�,and at Supplier's own
ex}�ense and without cost to City:
l. Repair the defective Goods;
2. Repla�e the defective �"aoods with confc�rming Goods, F.t?.B. City's plant,
�Ffice c�r other lc�catzon c�f City where the �oods was originally pezformed or delivered; or
If Cit� selects repair c�r replacement,any defects wiil be remedied vvithdut cost t�
City. Repair or repiacement of non-confQrming pro�ucts shall be Custc�mer's exclusive remedy
fc�r the delivery ofnon�conforming products. All such defective Goods that is so remed�ed will
be similarly warranted as stated above.Anixter is not responsible for obtaining or paying for
acces�to, or unlnsta111ng, installed Gaads, deliverin;replacem�nt Goocis to the installation site;
or installing replacement Goads.
E. Supplier wax-rants that the Goods are new and.are free and ciear of all liens and
enciunbrances whatsoever, that Supplier has a �oad and marketable title to same, and that
Supplier owns or has a valid license for all the proprietary technc�lc�gy and intellectual property
ineorparated witt�in the Go�ds. Supplier agrees ta indemnify, defend, and hold City harmless
against an� and all third-party claims resulting frorn th� breach or inaccurac�of the foregoing
warranties..

All prices and fees specified in E�i�it'A' are firm for a peric�d of six(6)months fram
the RFI' 6id date. Thereafter, unit prices shall be adjusted in direct proportion to changes in the
U,S. ProduGer Price Index{PPi) for Electric Power and Specialty Transformer Nlanufacturing
(Series il�: PCU335�11335311), as stated in Sectian 9.00 �rf the Bid Specificatic�n. Nc� extra
charges af any kznd will be allawed unless specifically agreed ta in wrlting by City's authorized
representative. The total price shall include {i) all federal, state and lc�cal sales,use, excise,
privilege, payrcrll, flccupatic�nal and other taxes applicable to the Gaods furnished to City

hereunder, anci(ii) all eharges it�r packing, freight and transportation to destination. Anixter
reserves the right to updat� its quote or price tt� �ity in the event of a material eYchange rate
fluctuation, adjustrnents in commodity pricing(e.g., capper, aluminum,steel),tariff`or duties
increases, freight, impt�rtatian cost increases, or supplier price inereases.

Gaads will be deliVered in accordanc� with the lead times zdentified in the Suppiier's

must iinmediately notify �ity in writing any tirne deiivery is behind scliedule or may not be
campleted c�n schedule.
B: In the event that the Crc�ads is part of a larger pro�ect or projects tliat require the
coordinatian caf multiple contractors or suppliers, the Supplier will fully cor�perate in scheduling
the deli�rery sa that City can maximize the efficient compl�tion of such praject{s).

coverage shall not be canceled except after thirty (�0) �alendar days' prior
written notice has been given to City. In addition, Supplier agrees that it shall
not reduce it� coverage or limits c�n any such policy except after thirty (30)
calendar days' pric�r written notic� has been�iven tc� City.
E. Insurance is to be placed with insur�rs wit�a current A.1�. Best rating of no
less than P�-�III.
F. Supplier sha11 designate the �ity af Reddin�, 777�ypress�4.venue, Redding,
�A 96�t�1 as a Certific�te Holder of the in�urance. Certificates of ins�arrance ar�d.
endorsem:ents effecting the cover�ges required shall be �ubmitted to the�iiy electronically
via the P[NS Advantage syste�n.A lirik dvill be pravid�d f�r the Supplier; or their insurance
agent, to enter and upload documents directly to PINS Ad�antage. The certificates and
endors�ments for each insur�nce policy are to be sigs�ed by a persc�� auti��orized by the
insurer to bind cove�age on its behalf �11 endorsements are to be received and appr�ved
in PINS Advantage by the City's Risk Manager prior to the carnmencement of contracted
services. City may withhold payments to Supplier if adequate certificates of insurance and
endc�rsements required have nrat�een su�mitted as d�scribed abc�ve ar provided in a time�y
manner.
G. The requirements as to the ty�es and limits af insuranc� coverage ta be
maintained �y Supplier as required by Section � of this Contract, and any approvat of said
insurance by City,. are not intended tc� and wilI nc�t in any maGnner limit c�r qualii�y the
lia�ilities and obligations othervvis� assumed by Supplier pursuant to this ��ntract,
includii�g, withc�ut limita�ion, provisions cancerning indemnifica�ion.
H. If any policy czf ii�surance requlred by this Section is a"ciaims made"policy,
pursuant to Code �f Civil Proc�dure �S 3�2 and Government Cflde � 9�5.�, Supplier shall
keep sald insurance in effect for a period o:�eighteen {18) rnonths after the terminatic�n of
th:is Contract.
I. �f a�y damage, including death, per�c�nal inju�y or praperty damage, occurs
in connection with the performance of this Cc�ntract, Suppli�r shall irnrne�iately nc�tify

J. Supplier-sh�11 ensure that third p�:r:rty shippers cc�ntracted by iupplier have adequate

A. Supplier; subcontractors and suppliers vaill not make; file or maintain a mechanic's �r
atl�er lie�crr claim of any kind or character a�ainst the Gaocis, for or on account of any Iabar,
materials, fi�tures, tools, machinery, equipment; flr any other things furnished, or any �ther�rork
done or perforrnance gzven under; arising +�ut of, or in any manner eonnected�vith the A�re�ment
(such liens or claims referred to as ""Claims"); and Supplier, subcontractor and suppliers
expressly waiv� and relinr�uish any and all rights which they now have, or may subsequently
acquire;to file or maintain any Claim, and Suppli�r, subcontractor and suppliers agree this
prc�vision waiving the right of�laims will be an independent covenant.
$. Supplier will save �nd hold City harmless from and against any and all Claims
that nna� be filed by a subcontractc�r, supplier or any other person or entity and Supplier will, at
its �wn expense, defend any and all acti�ns bas�d upon such C�aims ar�d will pay a11 ci�arges of

I7. Upan tennination pursuant to Section 16.B, Supplier wiil be paid a prc� rata
p�rtic�n of the cornpensation in the Agreement f�r a�y portion of�he terminated taoc�ds alreaciy
d�livered, including material and services for which it has made #irm�ont�racts which are not
canc�led, it being understood�ity will be entitled to such material and services. Up�n
determination of the amc�unt of said prc� rate compensatic�n, City wili promptly pay such amount
to'Supplier upon deiivery by Supplier of the rel�ases�f liens and aCfidaVit, pursuant ta Section

A. Supplier shall not be held responsible for failure ar delay in sl�ipping nor City for
failure or delay in accepting gflc�ds descri�ed herein if such failure c�r delay is due to a Force
Maj eure Event.
B. A Force Majeure Event shali mean an event which rnateriail� affects a Party's
perfarmance and is one ar mor� of the following: {1) Acts of CYoci�r other natur�i disasters
occurrin� at the project site, {2) terrorism or othe�acts af a public enemy; (3) c�rdexs a£
governmental authc�riti�s {includin�, without limitation, unreasc��able and unforeseeable delay ix�
tlse issuance caf perrnits or approvals by gflvernmental authorities that are required for the wark);
(4) pandernics, epidemics or quarantine restrictions; and{S) strikes and other c�i:ganized labor
action beyond the control of Supplier and its subcontractors, of every tier, and to the extent the
effects thereof cannot b� a�c�ided,by use o�'replacement workers. Far purposes oF this sectic�n,
"�rders of�c�vernmental autharities" inciudes ordinances, eznergency prc�clamation and orders;
rules to protect the public he�ith, welfare and safety, and other actions of the City in its cap�city
as a municipal authority.
C. In the even of any �uch excused:'interference with shipments, City shall have the
option either to reduce the quantity pravided for in the order accarc�ing�y ar to e�ercise its right
of canceilation as set�or in this Agreement.

tlus Agreerr�ent may be assigned to a financia�instilution s�r to a trustee in bankruptcy, with�ut
appr�val. Notice of an}� assignment or transfer, whether vc�luntary or involuntary, shall be

C. Successc�rs arid Assi�ns.
This A�reement shall be binding on the suc�essors and assi�ns of the Parties;

No supplement, modificati+�n, or amendment of this Agreement shall be binding unl�ss
e�ecuted in writing and signed by both F'arties.
E.. Waiver.
No waiver of any defaulfi shall constitut� a waiver c�f any other default or br�ach, �vhether
of the same ar other eavenant or co�diti�n. Nc� waiver, benefit; pxivilege; c�r service valuntarily

Since the Parties or their agents ha�e participated fully in the preparation of this

This Agreement cons�itutes the�ntire agre�ment between the Parties reiative to the
Goods specific herein. There are na understandin;s, agreements, ��nditio�s, representations,
warranties or promise� with respe�t to this A�reement, except those contained in or referred tc� ia�
the writing.
If the Cil�� issues a Blanket Purchase Agreement (C�A) or Purchase Qrd�r{PO) to facilitat�
transformer purchases under this Agreement, such P+OICPA shall be deemed a transactic�nal
mechanism and not a s�parate a�reement. In the ev�nt t�f any conflict bet�,ve�n the P�/CI'A and
this A�re�ment, the t�rms af this Agreement shall prevail.
