Recommendation Appoint replacement to the Redding Rodeo Ground Lease Ad Hoc Committee to fi11 the vacancy left by outgoing Council Member Joshua Johnson. Fiscal Impact There is no impact to the General Fund other than staff time necessary to support the ad hoc committee. Alte�native Action The City Council (Council) could choose not to appoint a replacement member at this time and provide alternative direction. Background/Analysis At its meeting of August 20, 2024, the Council consented to an Item 12 proposal from Council Nlember Joshua Johnson to create an ad hoc committee to develop various elements associated with a long-term lease of the Rodeo Grounds. Creating the committee allowed for a meaningful discussion with the Rodeo Association regarding procedural issues. At the September 3, 2024, meeting, Council appointed Council Members Audette and Johnson to the ad hoc committee. The ad hoc committee met several times with the Redding Rodeo Association and the discussion culminated in a non-binding Letter of Intent which was approved at the November 19, 2024 Council meeting. At this time, ahead of any future ad hoc meetings, staff is recommending appointing a replacement. Currently, there are no ad hoc meetings scheduled but should an issue arise during the development of the final lease amendment the ad hoc committee would be able to meet and work to resolve the issue allowing the lease amendment to be completed. Recommendation Approve the forma�ion of an ad-hoc committee consisting exclusively of two appointed City Council members to develop elements of a long-term lease for the Rodeo Grounds which wi11 accelerate any future negotiations with the Rodeo Association should the City Council determine, at a later date, it wishes to consider approval of a long-term lease. The ad-hoc committee wi11 be temporary in nature and is expected to complete its task no later than Ju1y 1, 2025. Backg�ound/Analysis At its meeting of August 20, 2024, the Council consented to an Item 12 proposal from Council Member Joshua Johnson to create an ad-hoc committee to develop various elements associated with a long-term lease of the Rodeo Grounds. Creating the committee would a11ow for a meaningful discussion regarding procedural issues and key lease terms with the intent of reducing the time necessary to negotiate a long-term lease should the Council ultimately decide that sueh a lease is in the best interest of the community. Items to be considered by the committee would include, but not be limited to, the Surpl�us Land Act, the length of lease, prevailing wage requirements, lease value, lease boundaries, California Environmental Quality Act requirements, and the built environment. For these reasons, the Council should consider appointment of two of its members to serve as the ad-hoc committee and establish July 1, 2025 or sooner as the sunset date of the committee. Recommendation Approve the non-binding Letter af Intent (LOI) with the Redding Rodeo Assoeiation (RRA). This LOI provides the framework for amending the lease agreement for the Redding Rodeo Grounds (G 141). Approval of this LOI will a11ow both parties to proceed with formal negotiations, under a common understanding, to finalize a comprehensive lease amendment. Fiscal Impact Approval of the Letter of Intent (LOI) does not have an immediate fiscal impact on the City of Redding's (City) General Fund. However, the proposed amendment to the lease, which include community event programming, capital improvements, and maintenance obligations, tivill require further analysis, to be conducted during the lease negotiation process. Future financial obligations will be addressed in the final lease agreement with provisions for lease payments, capital improvement commitments, and grant funding opportunities. Alte�native Action The City Council may choose not to approve the LOI, which would halt the eurrent negotiation process for amending the Redding Rodeo Grounds lease agreement. Alternatively, the Council could request modifications to the LOI prior to approval. Background/Analysis The City and the Redding Rodeo Association (RRA) have long par�nered to maintain and utilize the Redding Rodeo Grounds, a significant community asset. The current lease agreement, which is set to expire on August 1, 2029, will require an update, allowing for a longer term to provide the opport�unity to improve the facilities. The attached LOI serves as a starting point for formalizing key lease terms, including: Report to Redding City Council November 13,2024 Re: 9.1(a)--ConsiderApproval of a Non-Binding Letter of IntentAmending Redding Rodeo Association Lease Page 2 • A 25-year primary lease term with two optional 10-year extensions; • Performance milestones for the RRA, including the renovation of the announcer's booth, private boxes, and grandstands; • A commitment from the RRA to continue hosting the annual Redding Rodeo and expand the use of the grounds for additional community events; • Financial documentation from the RRA to demonstrate its ability to fund the required improvements, ensuring transparency and accountability; and • Collaborative efforts to develop a comprehensive parking plan with nearby venues, including the Civic Auditorium and Turtle Bay Exploration Park. The LOI is non-binding, ensuring that both parties retain flexibility while negotiations proceed. However, it establishes a mutual understanding of the scope of future lease amendments, including provisions for capital improvements, insurance, liability, and comp]iance with the California Environmental Quality Act(CEQA). Environmental Review This LOI is not considered a "project" under CEQA, and no further environmental review is required at this stage. The subsequent lease agreement wi11 include provisions to ensure compliance with all relevant environmental regulations.
