Fiscal Impact Boulder Creek Flood Protection and Natural Trea�ment Projecti (Project) costs to date total $355,000. Upon the Urban Flood Protection Grant Program (Grant) termination, the California Natural Resources Agency's (CNRA) will reimburse the City of Redding (City) approximately $300,000 of the project expenses. The remainder is funded by Public Works' Storm Drain Utility Impact Fee. Alternative Action The City Council (Cauncil) may choose not to terminate the grant and proceed with completian of the design for the project. However, it is unlikely the City would be able to obtain the necessary environmental permits to proceed with construction of the project. If the project proceeds and cannot be completed, the City could be required to return a portion of the grant funds to CNRA. Background/AnaZysis On April 7, 2020, Council adopted Resolution No. 2020-40 autharizing the Public Works Department to submit an application for Proposition 6$ Urban F1ood Protection funds for the Project. Staff was successful in securing grant funding in the amount of$2,295,100. On May 17, 2022, Council approved the grant funding and adopted Budget Resolution No. 2021-07 to appropriate the funds. On November 15, 2022, Council authorized a Consulting and Professional Services Contract for Engineering and Environmental Services with Geosyntec Consultants Inc. (Geosyntec) for the Project, and adopted Budget Resolution No. 2021-078 appropriating $152,020 of Storm Drain Impact Fees. Report to Redding City Council October 7,2024 Re: 4.12(c)--Termination of the California Natural ResourcesAgency's Urban Flood Protection Grant Page 2 The project would have utilized existing abandoned wastewater treatment ponds (ponds) to reduce flooding at Boulder Creek Elementary School, enhance environmental habitat, provide water quality treatment, and provide recreational and educational opportunities in a severely disadvantaged community. The project was identified as the City's highest priority storm water treatment project in the City of Redding Storm Water Resource Plan. To support the design and construction of the project, the City and Geosyntec conducted soil sampling in August 2023 and water sampling in January 2024. The samples were collected to determine whether there are potential wastewater-associated chemicals of interest that could potentially impact water quality and aquatic organisms within Boulder Creek when upstream creek flows are routed through the ponds and back into Boulder Creek. The chemical constituents in the soil and water samples were statistically compared to those in Boulder Creek for a better understanding of whether the concentrations were reflective of background levels upstream in Boulder Creek. The soil and water samples were analyzed for concentrations of per- and polyfluoroalkyl substances (PFAS). The analytical analysis indicated that PFOA (subset of PFAS) concentrations were detected in the northern pond soil and water, and that the PFOS (subset of PFAS) concentration was statistically elevated in the northern pond relative to Boulder Creek. PFAS is everywhere in our environment and due to the rising public and governmental concern regarding PFAS, it has been determined that the project should not move forward. The guidelines and regulatory actions in regards to PFAS have not been finalized; however, the local Regional Water Quality Control Board (RWQCB) was notified of the findings and provided with a copy of a11 analytical data. The RWQCB responded that they would keep the information on file and had no further recommendations or requirements at this time. Due to the statistically elevated levels of PFOA and PFOS in the northern pond and the uncertainty of future regulations in response to PFAS, it was determined the best course of action would be to terminate the project and the grant. Staff notified the CNRA of the analytical findings and the suggested course of action. The CNRA concurred, deemed the City's actions associated with the project had been taken in good faith, and agreed to reimburse the City for project expenses incurred prior to May 8, 2024. Envi�^onmental Review This action is not a project as defined by the California Environmental Quality Act, and no further action is required. As discussed during the May 8, 2024, telephane meeting, to suppor�the design and construction of the Boulder Creek Flood Protection and Natural Treatment Project (Project), the City and Geosyntec Consultants conducted soil sampling in August 2023 and water sampling in January 2024. Recommendation Authorize the following actions relative ta Request for Proposals (RFP) No. 5310, to provide environmental and engineering services for the Boulder Creek Flood Protection and Natural Treatment Projeet (Project): (1) Award the Consultant and Professional Services Contract (Contract) to Geosyntec Consultants, Inc. (Geosyntec), in an amount not to exceed $497,013; (2) Authorize the Mayor to execute the Contract with Geosyntec Consultants, Inc.; (3) Authorize the City Manager to approve Contract amendments not to exceed $50,000; and (4) Adopt Resolution adopting and approving the '71 st Amendment to City Budget Resolution No. 2021-078 appropriating $152,020 of Storm Drain Impact Fees. Fiscal Impact The required professional services to prepare the project for canstruction is estimated to cost approximately $497,013. Of this amount, $345,000 will be funded by California Natural Resource Agency's Urban Flood Protection Grant (adopted in the 41 st Amendment to City Budget Resolution No. 2021-078). The original grant application submitted in June 2020 estimated this portion of the project to be $345,000. However, rising inflation costs and additional required scope items has increased costs overall. Consequently, the remaining $152,013 will be funded by Storm Drain Impact Fees with approval of the attached resolution. Alte�^native Action The City Council (Council) may choose not to award the contract for this project. This alternative would require the City of Redding (City) to decline $2,295,100 in Proposition 68 grant funds to the California Natural Resources Agency, and the Boulder Creek Project would not be completed. Staff was successful in securing grant funding in the amount of$2,295,100. On May 17, 2022, the Council approved the grant funding and adopted Budget Resolution No. 2021-07 to appropriate the funds. The Boulder Creek Project would utilize existing abandoned wastewater treatment ponds to reduce flooding at Boulder Creek Elementary School, improve water quality and environmental habitat, and provide recreational and educational opportunities in a disadvantaged community. An inlet spillway will be constructed along the bank of Boulder Creek to divert stormflows from the 1,800-acre drainage area, consisting of 80 percent urban land uses, into two sedimentation basins. The sedimentation basins will capture and detain wet weather flows and provide an opportunity for settling of sediinent and particulate-bound pollutants, as well as provide trash capture. The flow will then be diverted into a third bio-retention pond and released back into Boulder Creek. A series of pedestrian trails and signs will be constructed around the three basins. The trails wi11 be connected to the City's Northeast Crossing Trail project. The Boulder Creek Project was identified as the City's highest priority storm water treatment project in the City of Redding Storm Water Resource Plan. Consultant Selection Process A RFP was issued, and one proposal was received and opened on August 3, 2022. Three Public Works Department staff inembers formed a review and selection panel. The panel's evaluation was based on the RFP selection criteria and the consultants' abilities and qualifications to perform all phases of the engineering and environmental services required. The panel members evaluated and scored the proposal based on the consultant's understanding of the project scope, project's team experience with similar types of projects and City projects, qualifications of the project team, ability to stay on budget and meet project schedule, familiarity with local setting and context, and geographic location of the project team. The selection panel determined that Geosyntec is a q�ualified firm that is able to provide the reguired services for this project. Following the evaluation, Geosyntec's fee proposal was opened, evaluated, and subsequently negotiated based on the services required. Geosyntec's proposed fee of$497,013 is reasonable for the scope of services and staff believes that Geosyntec is a highly aualified team that will succeed in providing the required services. This agreement has been approved to form by the City Attorney. Environmental Review This action is not a project as de�ned under the California Environmental Quality Act (CEQA), and no further action is required. The consultant will provide design and technical study information necessary to ensure environmental clearance as the project progresses. ("Consultant") for the purpose of coordinated project management for the Boulder Creek F1ood Protection and Natural Treatment Proj ect. WHEREAS, City does not have sufficient personnel to perform the services required herein thereby necessitating this Contract for personal services. NOW, THEREFORE, the Parties covenant and agree, for good consideration hereby acknowledged, as follows: SECTION 1. CONSULTANT SERVICES Subject to the terms and conditions set forth in this Contract, Consultant shall provide to City the services described in Exhibit A,attached and incorporated herein. Consultant sha11 provide the services at the time,place and in the manner specified in Exhibit A. SECTION 2. COMPENSATION AND REIMBURSEMENT OF COSTS A. City shall pay Consultant for services rendered pursuant to this Contract, at the times and in the manner set forth in Exhibit B, attached and incorporated herein, in a total amount not to exceed Four Hundred Ninety-Seven Thousand Thirteen Dollars ($497,013). This sum includes all out-of-pocket travel, lodging and incidental expenses incurred by Consultant that are reasonably associated with the provision of services under this Contract. The payments specified herein shall be the only payments to be lnade to Consultant for services rendered pursuant to this Contract. B. Consultant sha11 submit monthly invoices to City for work completed to the date of the invoice. All invoices shall be itemized to reflect the employees performing the requested tasks, the billing rate for each employee and the hours worked. C. All correct,complete and undisputed invoices sent by Consultant to City shall be paid within thirty (30) calendar days of receipt. D. Pursuant to Section 1781 of the Labor Code, Consultant is advised that the work contemplated in this contract(Exhibit A Task 4 and Task 5)is subject to the payment of prevailing wages and all other requirements of the Prevailing Wage Law. The prevailing wage of each job classification may be found by inquiry with the California Department of Industrial Relations. Consultant sha11 comply with a111aws related to the performance of public work including, but not limited to, the employment of apprentices pursuant to Section 1777.5 of the Labor Code, work Consulting and Professional Services Agreement Page 1 Rev. 6/15 daylweek haurs and overtime rates pursuant to Sections 1813 and 1815af the Labar Code and the obligation set forth in Section 1'774-1776 af the Labor Code in regards ' to payment of prevailing wages and to provide the City of Redding and Department of Industrial Relations certified payrolls when required. A certified copy of all payroll records relative to this project shall be submitted to the �ity of Redding along with the related invoice. Receipt of certified payroll recards is a prerequisite to receiving payment. ' E. No Cansultant or subcc,nsultant may be listed on a bid praposal for a public warks project unless registered with the L}epartment of Industrial Relations pursuant to ' Labor Code Section 1'725.5. No Consultant or subconsultant may be awarded a cantract for public work on a public works project unless registered with the Department of Industrial I2elations pursuant to Labor Code Sectian I725.5. All Consultants and subconsultants must furnish electronic certified payrc�ll records to the Labor Commissioner, This requirement applies to all public works projects, ' whether new or ongoing. Consultant is further advised that the work contemplated herein is subject to compliance monitoring and enforcement by the Department of Industrial Relations. SECTION 3. TERM AND TERMINATIC)N A. Consultant shall co�nmence work on or about C}ctober 17, 2022, and complete said wark no Iater than October 31,2025, Time is of the essence. B. If Consultant fails to pexform its d�ties to the satisfact�on of�it�, or if cansultant fa�ls ta fulfill in a timely and prafessianal manner its abligat�ons under this Contract, ' then City sha11 have the right to terminate this Contract effective immediately upan City giving written notice thereaf to Consultant. C. Either Party may terminate this Contract without cause on thirty{3Q) calendar days' written notice.Natwithstanding the preceding, if the term set forth in S�ctian 3.A.of this Cantract exceeds ninety {90} calendar days in duration, Consultant's sole right to terminate shall be limited ta terznination for cause. D. Consultant hereby acknowledges and agrees that the obligation af City to pay under this Contract is contingent upon the availability of City's funds which are appropriated or allocated by the City Cauncil. Shauld the funding for the project ' andlar work set forth herein not be appro�riated ar allocated by the City Council, ; City may terminate this Agreement by furnishing at least thirty (34} calendar days' written natice of its intention to terminate. In the event of a tezmination pursuant to I this subdivisian, Consultant sha11 not be entitled to a remedy of acceleration of payments due over the term of this Agreement. SECTION 4. MISCELLANEOUS TERMS AND CQNI3ITIC?NS OF CONTRACT A. City shall make its facilities accessible to Consultant as required for Consultant's perfarmance of its services under this Contract, and, �pon request of Consuitant, ' provide labor and safety equipment as required by Consultant for such access. B. Pursuant to the City's business license ordinance, Consultant sha11 obtain a City business license prior ta commencing work. ' C. Consultant represents and warrants to City that it has all Iicenses, permits, ' qualificatians and approvals of any nature whatsoever that are tegally required for Consultant to practice its profession. Consultant represents and warrants to City that Consultant shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this �ontract any licenses, permits and approvals that are Iegally ' required for Consultant ta practice its profession. D. Cansultant shall, during the entire term of this Contract, be canstrued to be an ' independent contractor and nothing in this Contract is intended, nar shall it be construed, to create an employeriemployee relationship, assoczation, joint venture ' relationship,trust ar partnership ar to allow City ta exercise discretian or control over the professional manner in which Consultant perfarms under this Contract. Consultant shaIl be the respansible party with ' respect to a11 actions of its independent cantractors and subcontractors, and shall obtain such insurance and indemnity provisions fram its contractors and subcontractors as City's Risk Manager shall determine ta be necessary, CT. Consultant, at such times and in such form. as City may require, shall furnish City with such periodic reports as it may request pertaining to the work or services ' undertaken pursuant to this Cantract, the casts or obligations incurred or to be incurred in cannectaon therewith, and any other matters covered by this Cantract. H. Consultant shall maintain accounts and recards, zncluding personnel, praperiy and financial records, adequate ta identify and account far all costs pertaining to this CQntract and such other records as may be deemed necessary by City to assure proper ' accounting for alI project funds. These records shall be made available for audit purposes to state and federal authorities, or any authorized representative of City. ' Consultant sha11 retain such records for three (3) years after the expiration of this ! Cantract, unless prior permission to destroy them is granted by City. ; I. Consultant shall perform all services required pursuant to this CQntract in the manner and accarding to the standards observed by a competent practitioner of Consultant's ' profession. All praducts of whatsoever nature which Consultant delivers to City pursuant to this Cantract shall be prepared in a professional manner and conforrn ta the standards of quality normally observed by a person practicing the prafession of Consultant and its agents, employees and subcontractors assigned ta perform the ' services contemplated by this Contract. City shall have all intellectual property rights including, but not limited to, copyright and patent rights, in said documents,computer znedia,and other materials pr�vided by Cansultant.City shall release, defend, indemnify and hold harmless Consultant from all claims,casts, expenses, damage or liability ariszng out of or resulting from City's use or modificatian of any reparts, data, documents, drawings, specifications or ather wark ' product prepared by Consultant,except for use by City on those portians af the City's praject for which such items were prepared. ' I�. Consnitant, including its employees, agents, and subconsultants, shall not maintain or acquire any direct ar indirect interest that conflicts with the performance of this ' C:antract. Cansultant shall comply with all requirements of the Political Reform Act (Government Code § 8100 et seq.} and other laws relating to conflicts of interest, including the following: 1} �onsultant sha11 not make ar participate in a decision made by City if it is reasonably foreseeable that the decision may have a material effect on Consultant's ecanomic interest, and 2) if required by the City Attarney, Cc�nsultant shall file financial discic�sure forms with the City Clerk. At the option of the City,either: the insurer shall reduce or eliminate such deductibles or self-insured retentions as respects the City, its elected officials, officers, emplc�yees, agents and volunteers; or the Consultant shall procure a bond ' guaranteeing payment of losses and related investigations,claims administration and defense expenses. ' D. The General Liability shall contain or be endorsed to contain the fallowing provisions: 1. City, its elected officials, officers,employees,and agents are to be covered as ' additionai insured as respects liability arising out of work ar operations performed by ar an behalf of Consultant; premises owned, leased or used by i Consultant; or automabites awned, leased, hired or borrawed by Consultant. '' The coverage shail cc�ntain no specia3 limitatzons on the scope of protection afforded to City, its elected officials, officers, empioyees, agents and v�lunteers. � 2. The insurance coverage of Cansultant shall be primary insurance as respects City, its elected officials, officers, employees, agents and valunteers. Any ' insurance ar self-rnsurance maintained by City, its elected officials, officers, employees, agents and volunteers, sha11 be in excess af Consultant's insurance and shall not contribute with it. 3. Caverage shall state that the insurance of Consultant shaIl apply separately to ' each insured against whom claim is made or suit is braught, except with respect to the Ii.mi�s o�the insurer's liability. 4. Each insurance policy required by this Contract shall be endorsed to state that coverage shall not be canceled except after thirty (30} calendar days' prior written notice has been given to City. In addition, Cansultant agrees that it Consulting and Professional Services Agreement Page 6 Rev.61I5 shall not reduce its coverage or limits �n any such policy except after thirty ' {30) calendar days' prior written natice has been given ta City. E. Insurance is to be placed with insurers wzth a current A.M.Best's rating of no less than A-VII. ' F. Consultant shali designate the City af Redding as a Certificate Holder of the ' insurance. Cansultant sha11 furn�sh City with certificates of insurance and originaP endorsements effecting the caverages required by this clause. Certificates and endorsements shall be furnished to: Risk Management Department, City of Redding, 777 Cypress Avenue, Redding, CA 96001. The certificates and endorsements for ' each insurance policy are to be signed by a person authorized by the insurer to bind coverage on its behalf. All endorsements are ta be received and approved by the City's Risk Manager pric�r to the commencement of contracted services. City may withhold payments to Consultant if adequate certificates of insurance and endorsements required have nat been provided, or nat been provided in a timely tnanner. C'7. The requirements as ta the types and limits of insurance coverage to be maintained by Consultant as required by Section 5 of this Cantract, and any approval of said insurance by City, are nat intended ta and wi11 not zn any manner limit or qualify the liabilities and obligations otherwise assumed by Consultant pursuant to this Contract, including, without Iimitation,provisions conceming indemnification. ' H. If any policy af insurance required hy this Section is a"claims made"policy,pnrsuant ' ta Code of Civil Procedure § 342 and Government Code ,� 945,6, Cansultant shall keep said insurance in effect for a period of eighteen{].$)months after the terminatian ' of this Contract. I. If any damage, including death, personal injury or praperty damage, accurs in connectian with the perfarmance of this Contract, Consultant shall immediately notify City's Risk Manager by telephone at (530} 225-4068. No later than three {3} calendar days after the event, Consultant shall submit a written report to City's Risk Manager containing the follawing information,as applicable: 1)name and address o� injured or deceased person{s);2)name and address af witnesses; 3)name and address I of Consultant's insurance company, and 4) a detailed description of the damage and whether any Citv praperty was involved. ; SECTI(?N 6. INDEMNIFICATIl�N AND HOLD HARMLESS ' A. Consistent with California Civil Cade § 27$2.8, when the services ta be provided ' under this Contract are design professianal services to be performed by a design ' professional, as that term is defined under Section 2782.$, Cansultant shall, to the fullest extent permitted by law, indemnify protect, defend and hold harmless, City, zts elected officials,officers,employees,and agents,and each and every one af them, Consultinb and Professional Services Agreement Page 7 � Rev,6t 15 from and against all actions, damages, costs, Iiability, clairrls, Iosses, penalties and expenses {including, but not limited to, reasonable attorney's fees of the City �lttamey or 1ega1 counsel reta'rned by City, expert fees, litigation costs, and investigation costs) af every type and description to which any ar al1 af them may be subjected by reason of, or resulting from, directly or indirectly, the negligence, ' recklessness, or willful misconduct of Consultant, its officers, employees or agents in the performance af professional services under this Contract,except when liability arises due ta the sole negligence, active negligence or misconduct af the City. B. Other than in the performance of professional services by a design professional, which is addressed solely by subdivision(A}c�f this Section, and ta the fullest extent ' permitted by 1aw, Consultant shall inclemnify protect, defend and hold harmless, City, its elected officrals, afficers, employees, and agents, and each and every one of them, from and against all actians, damages, costs, liability, claims, losses, penalties ' and expenses (including, t�ut not Iimited to, reasanable attamey's fees of the City Attomey ar 1�ga1 counsel retained by City, expert fees, 7itigation costs, and investigation costs) of every type and description to which any or all of them may be sul�jected by reason of the perfarmance of the services required under this Contract ' by Consultant its officers, employees or agents in the perfarmance of professional ' services under this Cantract, except when liability arises due to the sale negligence, active negligence or misconduct of the City. ' C. The Consultant's obligation to defend, indemnify and hold harmless shall not be excused because of the Consultant's inability to evaluate liability. The Consultant shall respond within thirty (3Q) calendar days to the tender of'an� claim for defense and indemnity by the City, unless this time has been extended in writing by the City. If the Consultant fails to accept or reject a tender of defense and indemnity in writing ' delivered ta City within thirty (30) calendar days, in additian to any other re,medy authorized by law, the �ity may withhold such funds the City reasonably considers ' necessary for its defense and indemnity until dispositic�n has been made of the claim ' or until the Cansultant accepts or rejects the tender of defense in writing delivered to the City,whichever occurs first.This subdivis'ran shall not be construed to excuse the prompt and continued performance of the duties required of Consultant herein. D. The obligatian to indemnify, protect, defend, and hald harmless set fortb in this Seetian applies to all claims and liability regardless c�f whether any insurance policies are applicable. The policy limits of said insurance polieies do not act as a limitation upon the amaunt af indemnzficatian to be provided by Cantractor. ' E. City shall have the right to approve or disapprove the legal counsel retained by Cansultant pursuant to this Section to represent City's interests. City shall be ' reimbursed for ali costs and attorney's fees incurred by City in enforcing the obligations set forth in this Section.
