Recommendation
Approve the First Amendment to the Consulting and Professional Services Contract (C-8916) for
Hauling and Disposing of Ground Green Waste with Compost Solutions Inc. for the City of
Redding Solid Waste Utility.
Fiscal Impact
Approval of the amendment has no new fiscal impacts to the approved expenditure budget. The
most recently approved budget for the Solid Waste Utility includes $252,000.00 annually, for the
purpose of sending excess organic material to an offsite facility for recycling. The amendment
sets forth a price of$36,00 per ton for shipped material, Based on the current budgeted amount,
the Solid Waste Utility could annually ship approximately 7,000 tons of material to Compost
Solutions.
Alte�native Action
The City Council may choose not to authorize the amendment and provide staff with alternate
direction. Without this contract Solid Waste Utility will not have sufficient recycling outlets for
the incoming green waste material and would result in an unsafe amount of stockpiled material
creating a fire hazard and violation of the facility operating permit in addition to impacting the
City of Redding's (City) ability to meet diversion mandates.

Background/Analysis
In order to meet increasing state-mandated diversion requirements, the City has been operating a
green waste recycling program for over 20 years. Green waste consists of leaves, grass, lawn and
yard trimmings, and clean wood. The Solid Waste Utility collects green waste at the curb from
residential customers and accepts the material at the City's Transfer and Recycling Facility on
Abernathy Lane, where approximately 18,000 tons of material is processed annually. Over the
years, Solid Waste Utility has utilized four options for recycling green waste: (1) compost the
material and sell the finished product to the public; (2) sell the woodier material to a co-
generation p]ant to use as fuel to make power; (3) apply as Alternative Dai1y Cover (ADC) at the
Richard W. Curry West Central Landfill; or (4) grind the material and give to a third party for
composting. Over the past several years, newly adopted legislation has limited the options for the
end use of recycled green waste and therefore options two, three and four are no longer viable
due to the following:
• Selling the material for cogeneration provided an outlet for approximately 16 percent of
the incoming volume. Regulatory changes that took effect January 31, 2016, categorize
this material as "urban wood" and it is no longer accepted for fuel;
• Effective January 1, 2020, legislation was enacted that made the determination that using
the material for ADC was no longer considered diversion and is therefore no longer a
valid option;
• Giving away the material to a third party for composting had previously provided an
outlet for approximately 56 percent of incoming volume. This option ceased being
available as a free service in April 2016 due to hauling and transportation costs incurred
by the recipient; and
• Legislative action (in particular Senate Bill's 1383 and 1826) has mandated the diversion
of organic material from landfill disposal.
Due to the aforementioned changes and the need to secure an outlet for the proper recycling of
excess green waste, on March 26, 2021, the City requested bids for the hauling and recycling of
processed green waste. The sole response received was from Compost Solutions which would
transport and accept the material for a charge of$31.00 per ton for an initial term of three (3)
years, from July 1, 2021, through June 30, 2024. The amendment provides for a 2-year extension
of the agreement, from July 1, 2024, through June 30, 2026 and increases the rate per ton to
$36.00.
The First Amendment to the agreement has been approved as to form by the City Attorney.
Environmental Review
This activity, contract amendment, is not a project as defined by the California Environmental
Quality Act, and no action is required.

SECTION 3. TERM AND TERMINATION

C. Either Party rnay terminate this Contract without cause on thirty{30) calendar days'

of this Contract exceeds ninety(90)calendar days in duration,Consultant's sole right
to terminate shall be limited to termination for cause.

SECTION 4. MISCELLANEOUS TERMS AND CONDITIONS OF CONTRACT
A. City shall rnake its facilities accessible to Consultant as required for Consultant's
performance of its services under this Contract, and, upon request of Consultant,
provide labor and safety equipment as required by Consultant for such access.

B. Pursuant to the City's business license ordinance, Consultant shall obtain a City
bnsiness license prior to commencing work.
C. Consultant represents and warrants to City that it has all licenses, permits,
qualificatians and approvals of any nature whatsoever that are legally required for
Consultant to practice its profession. Consultant represents and warrants to City that
Consultant shall, at its sole cost and expense, keep in effect or obtain at all times
during the term of this Contract any Iicenses, permits and approvals that are legally
required far Consultant to practice its profession.

financial records, adequate to identify and account for all costs pertaining to this

Contract and such other records as may be deemed necessary by City to assure proper
accounting for all project funds. These records shall be made available for audit
purposes to state and federal autharities, or any authorized representative of City.
Consultant shall retain such records for three (3) years after the expiration of this
Contract, unless prior permission to destroy them is granted by City.
L Consultant shall perform all services required pursuant to this Contract in the manner
and according to the standards observed by a competent practitioner of Consultant's
profession. All products of whatsoever nature which Consultant delivers to City
pursuant to this Contract shall be prepared in a professional manner and conform to

5. The City does not accept insurance certificates or endorsements with the
wording "but only in the event of a named insured's sole negligence" or any
other verbiage limiting the insured's insurance responsibility.
C. Any deductibles or self-insured retentions must be declared to and approved by City.
At the option of the�City,either: the insurer shall reduce or�eliminate such deductibles
or self-insured retentions as respects the City, its elected officials; officers,
employees, agents and volunteers; or the Consultant shall procure a bond

City's Risk Manager prior to the commencement of contracted services, City may
withhold payments to Consultant if adequate certificates of insurance and
endorsements required have not been provided, or not been provided in a timely
manner.

G. The requirements as to the types and limits of insurance coverage to be maintained
by Consultant as required by Section 5 of this Contract, and any approval of said
insurance by City, are not intended to and will not in any manner limit or qualify the
liabilities and obligations otherwise assumed by Consultant pursuant to this Contract,
including, without limitation, provisions concerning indemnification.
H. If any policy of insurance required by this Section is a"claims made"policy,pursuant
to Code of Civil Procedure § 342 and Government Code § 945.6, Consultant shall
keep said insurance in effect fora period of eighteen(18)months after the termination

FIItST AMENDMENT TO CONSULTING AND PROFESSIONAL SERVICES

The Consulting and Professional Services Contract �C—�E}} ("Contract") dated June �'"17,
2021, between the City of Redding ("City"), a municipal corporation, and Compost
Solutions Inc. ("Consultant")is amended as follows:
I. Exhibit A-1 as attached and incorporated herein shall become effective as of the
Effective Date of this First Amendment and shall supersede and replace in its
entirety Exhibit A of this Contract.
II. Section 1 of the Contract is amended to read in its entirety as follows:
Subject to the terms and conditions set forth in this Contract, Consultant shall provide
to City the services described in Exhibit A-1, attached and incorporated herein.
Consultant shall provide the services at the time, place and in the manner specified in
Exhibit A-l.
III. Subsection A of Section 2 of the Contract is amended to read in its entirety as follows:
A. City shall pay Consultant for services rendered pursuant to this Contract, in the
amount of$36.OQ per ton. This sum includes all out-of-pocket travel, lodging and
incidental expenses incurred by Consultant that are reasonably associated with the
provision of services under this Contract. The payments specified herein shall be
the only payments to be made to Consultant for seivices rendered pursuant to this
Contract.
All other subsections of Section 2 of the Contract shall remain in full force and
effect.
IV. Subsection A of Section 3 of the Cont��act is amended to read in its entirety as follows:
A. Consultant shall commence work on or about July 1, 2024 and complete said work no
later than June 30, 2026.
All other subsections of Section 3 of the Contract shall remain in full force and
effect.
V. All i•eferences to Exhibit A in the Contract shall refer to Exhibit A-1 effective as of the '
Effective Date of the First Amendment. '
V. All other terms and conditions of the Contract shall remain in full force and effect.
VI. The effective date of this Amendment shall be the date that it is signed by the City(the
"Effective Date").

EXHIBIT A-1
Scope of Services
1. Service Location:

2. Scope of Services
A. The scope of services to be provided by this Agreement consists of pick up and
transportation of processed green waste from the City of Redding Compost Facility
(Compost Facility) at the request of the City of Redding(City). Pick up shall occnr within
48 hours of request. Compost Solutions, Inc. (Contractor) agrees to perform all service
stated in this Agreement for the compensation described hereiu.
B. City shall start loading Contractor's transfer vehicles within thirty(30)minutes of arrival at
the City's facility after weighing in at the scale.
C. Ciry's scale system will be used for all inbound, outbound, and net weights of loads for
invoicing and reporting puiposes.
D. Contractor is responsible for insuring all loads do not exceed the gross vehicle weight of the
transfer vehicle, in accordance with the law.
E. Ownership and responsibility for the green waste shall transfer from City to Contractor upon
departure of Contractor's transfer vehicle from City property.
F. Contractor accepts green waste "as is"from City at the time green waste is loaded into
Contractor's transfer vehicle. All green waste has been source separated and processed
using a horizontal grinder with both six(6)and eight(8)inch screens. Due to material being
source separated by City customers, some contamination may exist in the processed green
waste. City employees have quality control measures in place to reduce contamination,but
cannot guarantee a contamination free material.
G. The City's Public Worlcs Director or designee,may negotiate with Contractor and approve
reasonable rnodifications in tasks,work products, and schedules, so long as such
modifications are within the general scope of services provided in this Agreement, do not
exceed the Maximum Total Payment Amount,and are determined to be in the best interest of
the City.
