SUBJECT: 4.11(e)--Award Request for Proposal No. 5457 and Authorize Execution of
Consulting and Professional Services Contract for Engineering Design Services for the Redding
Or anics Diversion to Energy Pro�ect
Recommendation
Authorize the following actions relative to Request for Proposals No. 5457, to provide
engineering design services for the Redding Organics Diversion to Energy Operations Project:
(1) Award the Consultant and Professional Services Contract to Water Works Engineers,
LLC, in an amount not to exceed $1,199,280;
(2) Authorize the Mayor to execute the contract with Water Works Engineers, LLC; and
(3) Authorize the City Manager to approve contract amendments not to exceed$100,000.
Fiscal Impact
Total project cost for the Redding Organics Diversion to Energy Operations (RODEO) Project is
estimated to be roughly $12 million including design, environmental compliance and permitting,
construction and construction management. The required professional services to prepare the
project for construction is estimated to cost approximately $1.26 million. In February 2024, City
Council (City) adopted a resolution appropriating $10 million in CalRecycle state grant funds, as
well as $2.6 million in City of Redding (City) Wastewater Utility funds providing sufficient
dollars for the proposed Consulting and Professional Services Contract(Contract).
Alte�native Action
The Council may choose not to award the contract for this project. This alternative would result
in the project not being designed or constructed and the grant funding would need to be returned
to CalRecycle. In addition, the Solid Waste Utility would be required to continue to find
alternatives for disposing of food waste and other organics, as required by California Senate Bi11
(SB) 1383 and other legislative requirements, mandating the diversion of organics from landfills.

Background/flnalysis
In February 2024, Council accepted the grant funding from CalRecycle for the design and
construction of the RODEO Project. This funding allowed staff to prepare a request for
proposals (RFP) to solicit for the most qualified consultant to help with this project.
The RODEO Project involves the design and construction of a food waste receiving station at the
Clear Creek Wastewater Treatment Plant to accept organics into the existing anaerobic digestion
process. In addition, the project includes constructing a biogas conditioning system to capture
and process the produced methane gas which will be sold to PG&E via a pipeline injection
station. This project will help meet the requirements of SB 1383 by diverting food waste from.
landfills, and wi11 also produce renewable biogas, that will be captured and used for other
beneficial purposes, as well as generating renewable energy credits for the City.
Consultant Selection Process
Four Public Works Department staff formed a review and selection panel. The panel's evaluation
was based on the RFP selection criteria and the consultants' abilities and quali�cations to
perform all phases of the engineering design and construction management services required.
On March 21, 2024, one proposal, including design fee in a sealed envelope, was received. The
panel members evaluated and scored the proposal based on the consultants understanding of the
project/scope, project's team experience with similar types of projects and City projects,
experience and qualifications of the team, ability to develop project solutions, project schedule,
and geographic location of the team. Following the proposal evaluation and ranking, the
proposed fees were opened, evaluated, and negotiated to include reasonable costs based on the
scope of services. The panel ranked Water Works Engineers, LLC very favorably, and are
con�dent in their ability to complete the project as outlined in the scope of work.
The consultant fee is estimated and payments wi11 be for actual work performed on a not-to-
exceed basis. However, staff recommends the approval of an additional $100,000 in contingency
reserve. Contingency funds may be necessary due to unforeseen project design issues. If the
contingency reserve needs to be utilized, an amendment would be negotiated with the consultant
and the contract would be modified with approval of the City Manager.
The attached professional services con�ract with Water Works Engineers, LLC, is approved as to
form by the City Attorney.
Envi�^onmental Review
Consultant selection is not a praject as defined under the California Environmental Quality Act
(CEQA), and no further action is required at this time. The consultant will provide the design and
technical study information necessary to ensure environmental compliance as the project
progresses. CEQA compliance documentation will be presented to Council at, or prior to, award
of the project.

CITY OF REDDING
CQNSULTING AND PROFESSIUNAL SERVICES CONTRACT
THIS CONTRACT {��Cantract") is made at Redding, California, by and between the City of
Redding ("City"), a municipal corparation, and Water Works Engineers, LLC {"Consultant")
(collectively "The Parties," individualiy, "Party") far the purpose af the Redding Organics
Diversion ta Energy Project(RODEO).
WHEREAS, City does not have sufficient personnel to perform the services required herein
thereby necessitating this Contract for persanal services.
NOW, THEREFORE, the Parties covenant and agree, for gaod consideration hereby
acknowledged, as foIlows:
SECTION 1. CONSULTANT SERVICES
Subject to the terms and conditions set forth in this Contract, Consultant shall provide to
City the services described in Exhibit A,attached and incorporated herein,Consultant shall
provide the services at the time,place and in the manner specified in Exhibit A.
SECTION 2. COMPENSATIUN AND REIMBURSEMENT OF COSTS
A. City shall pay Consultant for services rendered pursuant to this Contract,at the times
and in the manner set forth in Exlubit B, attached and incorporated herein, in a total
amount nat to exceed One Million One Hundred Ninety-Nine Thousand Two
Hundred Eighty DolIars ($1,199,280). This sum includes all out-af-pocket travel,
lodging and incidental expenses incurred by Consultant that are reasonably
associated with the provision of services under this Contract.The payments specified
herein shall be the only payments to be made to Consultant far services rendered
pursuant to this Cantract,
B. Consultant shall submit monthly invoices to City for work completed to the date of
the invaice. All invoices shaIl be itemized ta reflect the emplayees performing the
requested tasks, the biliing rate for each emplayee and the hours worked.
C. Ali correct,complete and undisputed invoices sent by Consultant to City shall be paid
within thirty(30)calendar days of receipt.
SECTION 3. TERM AND TERMINATION
A. Consultant shall commence work on or about May 13, 2024, and complete said
work no later than Decernber 31, 2027, Time is of the essence.
B. If Consultant fails to perform its duties to the satisfaction of City, or if consultant
fails to fulfill in a timely and professional manner its obligations under this Contract,

then City shail have the right to terminate this Contract effective immediately upon
City giving written natice thereof to Consultant.
C. Either Party may terminate this Contract without cause on thirty {30} calendar days'
written notice,Notwithstanding the preceding,if the term set forth in Section 3.A. of
this Contract exceeds ninety (90) calendar days in duration, Consultant's sole right
ta t�erminate shall be Iimited to termination for cause.
D. Consultant hereby acknowledges and agrees that the obligation of City to pay under
this Contract is contingent upon the availability of City's funds which are
appropriated or allocated by the City Council, Should the funding for the project
and/ar wark set farth herein not be appropriated or allocated by the City Council,
City may terminate this Agreement by furnishing at least thirty (30) calendar days'
written notice of its intention to terminate, In the event of a termination pursuant to
this subdivision, Consultant shall not be entitled to a remedy of acceIeration of
payments due over the term of this Agreement, The Parties acknowtedge and agree
that the pawer ta terminate described herein is required by Article 16, Section 18, of
the California Constitution, and that constitutional provisian supersedes any law,
rule, regulation or statute which conflicts with the provisions af this Section.
E. In the event that City gives notice of termination, Consultant shall prornptly provide
to City any and all finished and unfinished reports,data, studies,photographs,charts
or ather wark product prepared by Consultant pursuant to this Contract. City shall
have full ownership, including, but not limited to, intellectual property rights, and
control of alI such finished and unfinished reports, data, studies,phatagraphs,charts
or ather work product.
F. In the event that City terminates the Contract, City shall pay Consultant the
reasonable value of services rendered by Consultant pursuant to this Contract;
provided, however, that City shail not in any manner be liable for last profits which
might have been made by Consultant had Consultant completed the services required
by this Contract, Consultant shall, not later than ten (10) calendar days after
termination of this Contract by City, furnish ta City such financial information as in
the judgment of the City's representative is necessary to determine the reasonabie
value of the services rendered by Cansultant.
G. In no event shall the termination or expiratian of this Contract be construed as a
waiver of any right to seek remedies in law, equity or otherwise for a Party's failure
to perform each obligation required by this Contract,
SECTION 4. MISCELLANEOUS TERMS AND CONDITIQNS OF CONTRACT
A. City sha11 make its facilities accessible ta Consultant as required for Consultant's
perforrnance of its services under this Contract, and, upon request of Consultant,
provide Iabor and safety equiprnent as required by Consultant for such access,

B. Pursuant to the City's business license ordinance, Consultant shall obtain a City
business license prior to commencing work,
C. �onsultant represents and warrants to City that it has all licenses, permits,
qualifications and approvals of an�+ nature whatsoever that are legally required for
Consultant to practice its prafession, Cansultant represents and warrants to City that
Consultant shali, at its sole cost and expense, keep in effect or obtain at all times
during the term of this Contract any licenses, permits and approvals that are legally
required far Consultant to practice its profession.
D. Consultant shall, during the entire term of this Contract, be construed to be an
independent contractor and nothing in this Contract is intended, nor shall it be
construed, to create an ernployer/employee relatianship, association, joint venture
relationship,trust or partnership or to allow City to exercise discretian or control over
the professional manner in which Consultant performs under this Contract,Any and
ali taxes imposed an Cansultant's income, imposed or assessed by reason of this
Contract or its performance, including but not limited ta sales or use taxes, shall be
paid by Consultant,Consuttant shali be responsible for any taxes or penalties assessed
by reason of any claims that Consultant is an employee of City, Consultant sha11 not
be eligible for coverage under City's workers' compensation insurance plan,benefits
under the Public Employee Retirement System or be eligible for any other City
benefit.
E. No provision of this Contract is intended to,or sha11 be for the benefit of,or canstrued
to create rights in, or grant remedies to, any person or entity not a party hereto.
F. Na portion of the work or services to be perfarmed under this Cantract shatl be
assigned, transferred, conveyed or subcontracted without the prior written approval
of City, Consultant may use the services of independent contractors and
subcontractors to perform a portion of its obligations under this Contract with the
prior written approval of City. Independent contractors and subcontractors shall be
provided with a copy of this Contract and Consultant shall have an affirmative duty
ta assure that said independent contractors and subcontractors comply with the same
and agree ta be bound by its terms, Consultant sha11 be the responsible party with
respect to all actians of its independent contractors and subcontractors, and shall
obtain such insurance and indemnity provisions from its contractors and
subcontractors as City's Risk Manager shall determine to be necessary.
G. Consultant, at such times and in such form as City may require, shall furnish City
with such periodic reports as it may request pertaining to the work or services
undertaken pursuant to this Cantract, the costs or obligations incurred ar to be
incurred in connectian therewith, and any other matters covered by this Contract.
H. Consultant shall maintain accounts and records, inctuding personnel, property and
financial records, adequate ta identify and account for all costs pertaining to this
Contract and such other records as may be deemed necessary by City to assure proper
accounting far all project funds, These records shall be made available for audit

purposes to state and federal authorities, or any authorized representative of City,
Consultant shall retain such recards for three (3) years after the expiration of this
Cantract, unless prior permission to destroy them is granted by City.
I. Consultant shall perfarrn all services required pursuant ta this Contract in the manner
and accarding to the standazds observed by a competent practitioner of Consultant's
profession, All products of whatsoever nature which Consultant delivers to City
pursuant to this Contract shall be prepared in a professional manner and conform to
the standards of quality normally abserved by a person practicing the prafessian of
Consultant and its agents, employees and subcontractors assigned to perform the
services contemplated by this Contract.
J. All carnpleted reports and ather data or documents, or computer media including
diskettes,and other materials provided or prepared by Consultant in accordance with
this Contract are the property of City, and may be used by City, City sha11 have all
intellectual property rights including, but nat limited to, capyright and patent rights,
in said documents,cornputer media,and ather materiats provided by Consultant,City
shall release,defend, indemnify and hold hamiless Consultant from all claims,costs,
expenses, damage or liability arising aut of or resulting frvm City's use or
modification of any reparts, data, dacuments,drawings, specifications or other wark
product prepared by Consultant,except far use by City on those partions of the City's
praject for which such items were prepared.
K. Consultant, including its employees, agents, and subcansultants, shall not maintain
or acquire any direct ar indirect interest that conflicts with the performance of this
Contract, Consultant sha11 comply with ali requirements of the Political Reform Act
(Government Code § 8100 et seq.} and other laws relating to canflicts of interest,
including the following: 1} Consultant shall not make or participate in a decisian
made by City if it is reasonably foreseeable that the decision rnay have a material
effect an Consultant's economic interest, and 2) if required by the City Attorney,
Consultant sha11 file financial disclasure forms with the City Clerk.
SECTI4N 5. INSURANCE
A. Unless modified in writing by City's Risk Manager, Consultant shall maintain the
foliowing noted insurance during the duration of the Contract:

B. Coverage shali be at Ieast as broad as:
1. Insurance Services Office form number CG-0001, Carnmercial General
Liability Insurance,in an amount not less than$1,000,OQ0 per occurrence and
$2,000,000 general aggregate for bodily injury, persanal injury and property
damage;
2. Insurance Services Office form number CA-0001 (Ed. 1/87),Comprehensive
Automobile Liabiiity Insurance, which provides for total limits of not less
than$1,000,00Q combined single Iimits per accident applicable to all owned,
non-owned and hired vehicles;
3. Statutory Workers' Compensation required by the Labor Code of the State af
California and Employers' Liability Insurance in an amount not less than
$1,000,000 per occurrence,Bath the Warkers' Compensation and Eznployers'
Liability palicies shall contain the insurer's waiver of subrogation in favor of
City, its eiected o�ficials, officers,employees, agents and volun#eers;
4. Prafessional Liability (Errors and Omissions) Insurance, appropriate to
Consultant's prafessian, against loss due to error or amission or malpractice
in an amount not less than$1,OQ0,000.
5. The City does not accept insurance certificates or endorsements with the
wording "but only in the event of a named insured's sole negligence"or any
other verbiage limiting the insured's insurance responsibility.
C. Any deductibles or self-insured retentions must be declazed to and approved by City,
At the option of the City,either: the insurer shall reduce or elirninate such deductibles
or self-insured retentions as respects the City, its elected o�cials, officers,
employees, agents and vaiunteers; or the Consultant shall procure a bond
guazanteeing payment of losses and related investigations,claims administration and
defense expenses.
D. The General Liability shall contain or be endarsed to contain the following
provisions:
1. City,its elected officials,afficers,employees,and agents are to be covered as
additional insured as respects liability azising out of work or operations
perfarmed by or on behalf of Consultant; premises owned, teased or used by
Consultant; or automobiles owned, leased, hired or borrowed by Consuitant,
The coverage sha11 contain no special limitations on the scope of protection
afforded to City, its elected officials, afficers, employees, agents and
volunteers.
2. The insurance coverage of Consultant shall be primary insurance as respects
City, its elected officials, officers, employees, agents and volunteers, Any
insurance or self-insurance maintained by City, its elected afficiais, officers,

employees, agents and volunteers, shall be in excess of Consultant's
insurance and shall not contribute with it,
3. Coverage shall state that the insurance of Consultant shali apply separately to
each insured against whom claim is made or suit is brought, except with
respect to the limits of the insurer's liability.
4. Each insurance palicy required by this Contract shall be endorsed to state that
coverage shall not be canceled except after thirty (30) calendar days' prior
written notice has been given to City, In addition, Consultant agrees that it
shall not reduce its coverage or limits on any such policy except after thirty
(30)calendar days' prior written notice has been given to City.
E. Insurance is to be placed with insurers with a current A.M. Best's rating of no less
than A-VII.
F. Consultant shall designate the City of Redding, 7'77 Cypress Avenue, Redding, CA
96001 as a Certificate Holder of the insurance. Consultant shall furnish City with
certificates of insurance and originat endorsements effecting the coverages required
by this clause. Certificates and endorsements shall be submitted eiectronically via the
PINS Advantage system. A link will be provided for the Consuitant, or their
insurance agent, to enter and upload documents directly to PINS Advantage. The
certificates and endarsements far each insurance palicy are to be signed by a person
authorized by the insurer to bind coverage on its behalf. AIl endorsements are ta be
received and approved in PINS Advantage by the City's Risk Manager priar to the
commencement of contracted services. City rnay withhold payments to Consultant if
adequate certificates of insurance and endorsements required have not been submitted
as described above or provided in a timely manner.
G. The requirements as to the types and limits of insurance coverage to be maintained
by Consultant as required by Section 5 of this Contract, and any approval of said
insurance by City,are not intended to and will not in any rnanner limit or qualify the
liabilities and obligations otherwise assumed by Consultant pursuant to this Contract,
including, withaut limitation,provisians concerning indemnification.
H. If any policy of insurance required by this Section is a"claims made"policy,pursuant
to Code of Civil Procedure § 342 and Government Code § 945.6, Consultant shall
keep said insurance in effect for a periad of eighteen(18)manths after the termination
of this Contract.
I. If any datnage, including death, personal injury or properiy damage, occurs in
connection with the performance of this Contract, Cansuitant shall immediately
notify City's Risk Manager by telephone at (530} 225-4068, No later than three (3)
calendar days after the event, Consultant shall submit a written report to City's Risk
Manager containing the following information,as applicable: 1)name and address af
injured or deceased person(s);2)name and address of witnesses;3}name and address

of Consultant's insurance campany; and 4) a detailed description of the damage and
whether any City property was involved.
SECTION 6. INDEMNIFICATION AND HOLD I�ARMLESS
A. Consistent with California Civil Code § 2782.$, when the services to be provided
under this Con#ract are design professionat services to be performed by a design
prafessional, as that term is defined under Section 2782.8, Cansultant shall, ta the
fullest extent permitted by law, indemnify protect, defend and hold harmless, City,
its elected officials,afficers,ernployees,and agents,and each and every one of them,
from and against all actions, darnages, costs, Iiabiiity, clairns, losses, penalties and
expenses (including, but not limited to, reasonable attorney's fees of the City
Attarney or iegal counsel retained by City, expert fees, Iitigation costs, and
investigation costs)af every type and description to which any or all of thern may be
subjected by reason of, or resulting from, directly or indirectly, the negligence,
recklessness, or willful misconduct of Consultant, its officers, employees or agents
in the performance of professional services under this Contract,except when liability
arises due to the sole negligence, active negiigence or misconduct of the City.
B. Othe�r than in the performance of professional services by a design professional,
which is addressed solely by subdivision(A)af this Section, and to the fullest extent
permitted by law, Consultant shali indemnify protect, defend and hold harmless,
City, its elected officials, officers, ernployees, and agents, and each and every ane of
them, from and against all actions, damages, costs, liability, claims, losses, penalties
and expenses (including, but not limited to, reasonable attorney's fees of the City
Attorney or legat counsel retained by City, expert fees, Iitigatian costs, and
investigation casts)of every type and description ta which any or ali of them may be
subjected by reason of the perforrnance of the services required under this Contract
by Consultant its officers, employees or agents in the performance of professional
services under this Cantract, except when liability arises due to the sole neg�igence,
active negligence or misconduct of the City.
C. The Consultant's obligatian to defend, indemnify and hold harmtess shall not be
excused because af the Cansultant's inability to evaluate liabiiity, The Consultant
shali respond within thirty(30) catendar days to the tender of any claim for defense
and indemnity by the City,unless this time has been extended in writing by the City,
If the Consuitant fails to accept or reject a tender of defense and indemnity in writing
delivered ta City within thirty (30) calendar days, in addition ta any other remedy
authorized by law, the City may withhold such funds the City reasonably considers
necessary for its defense and indemnity until disposition has been made of the claim
or untii the Cansultant accepts ar rejects the tender of defense in writing deiivered to
the City,whichever occurs first,This subdivisian shall not be canstrued to excuse the
prompt and continued performance of the duties required of Consultant herein.
D. The obligation to indemnify, protect, defend, and hold harmless set forth in this
Section applies ta aIl claims and Iiability regardless of whether any insurance palicies

are applicable. The palicy limits of said insurance policies do not act as a lirnitation
upon the amount of indernnification to be provided by Contractor.
E. City shall have the right to approve or disapprove the legal counsel retained by
Cansultant pursuant to this SectiQn to represent City's interests. City shall be
reimbursed for all costs and attorney's fees incurred by City in enforcing the
abligations set forth in this Section.
SECTION 7. CONTRACT INTERPRETATION,VENUE AND ATTORNEY FEES
A. This Contract sh�ll be deemed to have been entered into in Redding, California, All
questions regarding the validity, interpretation or perfarmance of any of its terms or
af any rights or obligations of the parties to this Contract shall be governed by
Califomia 1aw, If any claim, at Iaw or otherwise, is made by either party to this
Contract, the prevaiting party shall be entitled to its costs and reasonable attorneys'
fees.
B. This dacument, including all eachibits, contains the entire agreement between the
parties and supersedes whatever aral or written understanding each may have had
priar to the execution af this Contract,This Contract shali not be attered,amended or
modified except by a writing signed by City and Consulta.nt,No verbal agreement or
conversation with a�ny official, afficer, agent or employee of City, either before,
during or after the execution of this Contract, shall affect ar madify any of the terms
or conditions contained in this Contract, nor shall any such verbal agreement or
conversatian entitle Consultant to any additional payment whatsoever under the
terrns of this Contract.
C. No covenant or condition to be performed by Consuitant under this Contract can be
waived except by the written cansent of City, Forbearance or indulgence by City in
any regard whatsoever shall not constitute a waiver of the covenant or conditian in
question,Until performance by Consultant of said covenant or condition is complete,
City shall be entitled to invoke any remedy available to City under this Contract or
by Iaw or in equity despite said forbearance or indulgence.
D. If any portion of this Contract or the application thereof to any person or circumstance
shall be invalid or unenforceable to any extent, the remainder of this Contract shall
not be affected thereby and shall be enforced to the greatest extent permitted by law.
E. The headings in this Contract are inserted for convenience only and shall nat
constitute a part hereof, A waiver of any party of any provision ar a breach of this
Contract must be provided in writing, and shall not be canstrued as a waiver of any
other provision or any succeeding breach of the same or any other provisions herein,
F. Each Party hereto declares and represents that in entering into this Contract, it has
relied and is relying solely upon its own judgment, belief and knowledge of the
nature, extent, effect and cansequence relating thereto, Each Party further declares
and represents that this Cantract is made withaut reliance upon any statement or

representation not contained herein of any other Party or any representative,agent or
attorney of the other Party, The Parties agree that they are aware that they have the
right to be advised by counsel with respect to the negotiations,terms, and conditions
of this Contract and that the decision of whether or not to seek the advice of counsel
with respect to this Contract is a decision which is the sole responsibility of each of
the Parties, Accardingly, no party shall be deemed ta have been the drafter hereof,
and the principle of law set forth in Civil Code § 1654 that cantracts are construed
against the drafter shall not apply.
G. Each of the Parties hereto hereby irrevocably waives any and all right to trial by jury
in any action, proceeding, claim or counterclaim, whether in contract or tort, at law
or in equity,arising out of or in any way related to this Agreement or the transactions
contemplated hereby, Each Party further waives any right to consolidate any action
which a jury trial has been waived with any other actian in which a jury trial cannot
be ar has not been waived.
H. In the event of a conflict between the term and conditions of the body of this Contract
and those of any exhibit or attachment hereto, the terrns and conditions set farth in

SECTIQN 8. SURVIVAL
The provisions set forth in Sections 3 through 7, inclusive, of this Contract shall survive

The scope of the praject will be as described in the project RFP,as reflected in our propasal,as follows:
SUBTASK 1-PROJECT MANAGEMENT ltfVlEW AND SCHE�ULtNG'
Water Works will begin the project with a kickoff ineeting involving all praject team members:Water Works and City
staff, and other identified stakeholders. The meeting will include a review of the scope of wark, schedule, design
standards, and expected deliverables for the project. The meeting will address project coordinatian and
respansibilities and define key project issues and goals. Water Warks will atso present a comprehensive plan
identifying the development schedule that ciassifies the various camponents and milestones.
Water Works wili detaif project objectives, tearn member responsibilities, milestones, buclgets, schedules, quality
assurance pracedures, and progress evafuation techniques. Water Works will monitor project progress throughout
the project to ensure project objeetives and mitestones are met. A quafity assurance/quatity control plan tailo�ed to
this project witl be prepared to include requirements for calculation checks, ongoing technicai reviews, formal
praject reviews,and signing and sealing of finat documents.
Before each regularly scheduled coordination and status meeting, Water Works witl work with the City's project
manager to develop and distribute a meeting agenda, and arrange for appropriate participants to attend. At each
meeting, Water Works wilt review project schedule and budget status, obtain City input, facititate decision making
and discuss issues that have the patential af adversely affecting project budget,schedule,or product.Meeting notes
will be distributed following each meeting.
Water Works will submit monthly progress reparts to the City along with monthly invoices and appropriate backup.
The �eports wilt address the work progress; project schedule; infarmation and decisions needed to maintain
schedule and comp(ete deliverables; prablems encountered that might affect schedule, budget, or work products;
and anticipated work for th�follawing month.
Water Works's Project Manager will play an active role in the rnanagement and coordination of the project to
include monthly meetings with City staff ta discuss project status, probtems, budgeting, and other areas that have
an adverse effect on the work. In addition,several meetings,telephone conferences or other cammunication means
will be needed for consultatian regarding project issues or derisions between scheduled progress meetings.
SUBTASK 2-DAtA COLLECTJON AND EVALUATtON CJF EXISTlN6 FACILITY
Water Works will review the completed studies and historical data and based on this information,
deterrnine/validate appropriate system capacity and design criteria for the project. Water Works will make
recommendations regarding the capacity of the receiving station and biogas conditioning equipment. The City
intends to pre-purchase this equipment and furnish it to the contractor for installation.

during the design of the project.
Water Works will also review and eva{uate ail other informatian necessary to estabiish horizontal and vertical
controi, utitity locations and property boundaries. The utilities may inciude but are not limited to PG&E, REU,
Redding Municipal Utilities, AT&T, and Charter. Water Warks may request site survey information from the City if
necessary. The existing data may include the following:

SUBTASK 3—PRELlMINARY DE5/GN
The first step in this task will be ta rneet with City staff to gain an understanding of design layout for the project.
After this meeting, Water Works'project tearn will develap renderings af the preliminary designJtayout.
Water Works wilt provide preliminary engineering design services for the project in accordance with City of Redding
standards as defined in the RFP, as detailed in the Capitat Improvement Project Submittal Requirements and as
directed by the Engineer.
Preliminary engineering design services will include, but nat be limited to the following: review of existing studies
and reports for the project site, perform preliminary design and analysis wark, complete preliminary design
ca�culations, preliminary plan preparation, preliminary coordination with utilities, preliminary engineers cost
estimate,and a(I other appropriate preliminary engineering work necessary.
Water Works will identify (ong lead iterns sucM as etectrica) equipment, switch gear, process equipment (pumps,
grinders, etc.} and provide to City during the earty stages of design. The City may pre-purchase items to furnish the
contractor during canstruction.
Lastly, as part of the preliminary design, Water Works will prepare a comprehensive plan that uses the data and
projections fram the updated City Master Plan, Facitity Plans and other information to complete a capacity analysis
of the project. 7his plan will inciude a fuN scale, and what, if any, expansion would be required ta accammadate
future build-out projections. The phasing plan will detail the necessary capital improvements needed atong with
detailed cost estimates and a schedule for use by the Wastewater Utility irt preparatian af financial plans.
SUBTASk 4—ENVIRONMENTAL COMPLJANGE AND PERMIiTING
Water Works`subconsultant Stantec will be responsibie for preparing,submitting,and obtaining all required permits
and environrnental review documentation required by afl State and tacal regulatory end jurisdictional agencies
needed to ensure this project is cleared for construction on the anticipated dates outlined in the schedule and can
be successfully completed.
Enviranmental compliance and permitting respansibilities wilf inctude,but nat be limited to:
• Preparation af the appropriate California Environmental Quality Act (CEQq) environmental documents and
any associated technicat studies required to clear the project for construction.
• Coordination and consultatian with all State and IacaE regulatory and jurisdictionai agencies necessary to
obtain required permits and provide enviranmentaf clearance.
• Conduct all public meeting preparation, planning, advertising, and administration, including comment
solicitatian and preparation of response to comments for City review.

Atl environmental documents will be prepared in preliminary, preliminary final and final draft stages for City review,
and shatl incorporate, if appropriate,any pubiic,agency,and City comments made during the previous draft review.
Stantec wiil identify and prepare any permit applications and appravals necessary from the regulatory agencies as
necessary to begin construction, and wilf prepare a schedute of permits with the required timelines to ensure each
permit is abtained prior to the start of canstruction. The City wili provide payment to the agencies for the cost of
permits and will obtain any appropriate City of Redding permits.
SUBTASK 3—PREPARATION OF CONTRAR DOCUMENTS
Water Warks will pravide engineering design services and will prepare all contract documents (construction plans,
specifications,and cost estimates)for the project in accordance with City af Redding standards as defined herein,as
detailed in the Capitai Improvement Project Subrnittal Requirements and as directed by the City.

SUBJECT: 4.11(h)--Accept CalRecycle grant funding for the Redding Organics Diversion to
Ener O eration Pro�ect and ado t a Bud et Resolution.
Recommendation
Authorize and approve the following:
(1) Accept grant funding in the amount of$10,000,000 from CalRecycle for the design and
construction of the Redding Organics Diversion to Energy Operation project, a food waste
receiving and biogas production facility at the City of Redding (City) Clear Creek
Wastewater Treatment Plant;
(2} Adopt Resolution approving and adopting the 26th Amendment to Budget Resolution No.
2023-060 appropriating $10,000,000 in state grant funds and $2,600,000 in City
Wastewater Department funds for the project; and
(3) Authorize the Public Works Director to sign the required documents with Pacific Gas and
Electric Company for the design and construction of a biogas Pipeline Injection Station.
Fiscal Impact
The Redding Organics Diversion ta Energy Operation (RODEO) project's total cost is estimated
to be $12,600,000 and will be funded by CalRecycle CoDigestion grant funding and the City of
Redding's (City) Wastewater Utility fund. The CalRecycle grant will provide $10,000,000
towards the project while Wastewater Utility provides $2,600,000 from their reserve cash
balance. Though funding for the construction of this facility was not previously budgeted, the
Wastewater Utility has adequate reserve funding to cover costs exceeding the amount provided
by grant funding.
Alternative Action
The City Council may decline to accept this grant funding. By doing so, this project u�i11 not be
constructed and CalRecycle may allocate these funds to another agency. The Solid Waste Utility
will continue to find alternatives for disposing of food waste and other organics, as required by
California Senate Bi11 1383 and other legislative requirements, mandating the diversion of
organics from landfills.

Background/Analysis
Recent State legislative changes regarding greenhouse gas emissions and the disposa] of organic
waste (California Senate Bill (SB) 1383, California Assembly Bill (AB) 32, AB 1826, AB 876,
AB 341, and AB 1594) mandate that landfills no longer accept organic wastes. SB 1383 codified
California's commitments to reduce greenhouse gas emissions and air pollution statewide.
Methane gas emissions from landfills are being targeted to reduce California's Greenhouse Gas
emissions. Currently, staff has secured the capacity for disposal of source-separated organic food
waste material at the closest commercial organics processing facility in Oroville, CA. This
material is planned to be trucked to the facility by City Solid Waste staff and processed at a
current rate of$84/ton increasing to $95/ton in 2025 with an estimated annual cost of$74,000.
This cost doesn't include staff or trucking costs. This ongoing cost will continue to increase
annually as capacity becomes less available. As a result, staff has identified the RODEO project
that leverages existing City infrastructure and will eliminate the need for Solid Waste to
transport organics out of the area and reduce its processing fees.
The RODEO project would construct a food waste receiving station at the Clear Creek
Wastewater Treatment Plant to accept organics into the existing anaerobic digestion process and
biogas conditioning system to produce methane gas which will be sold to Pacific Gas and
Electric (PG&E) via a Pipeline Injection Station. This Project helps meet the requirements of SB
1383 by diverting food waste from landfills, and will also produce methane gas, which wi11 be
captured and used for other beneficial purposes. In addition, it is anticipated that the project wi11
generate renewable energy credits for the City.
A feasibility study was conducted with PG&E to determine if current PG&E infrastructure
would be adequate to accept the methane gas produced by the RODEO project. PG&E
determined that the project is feasible and it has been cleared by PG&E for further design. A
contract with PG&E for preliminary engineering of a methane gas Pipeline Injection Station
would need to be executed for an initial amount of$50,000. As the project development process
continues, the contract with PG&E will need to be amended to provide additional funding for the
construction of the Pipeline Injection Station, estimated at approximately$3,500,000,
On January 18, 2022, the City Council adopted Resolution N�o. 2022-001 authorizing the
submission of applications for a11 California Department of Resources Recycling and Recovery
(CalRecycle) grants for which the City is eligible through January 18, 2027. The Resolution also
authorized the City Manager, or designee, to execute in the name of the City all grant documents,
applications, agreements, amendments, and requests for payment, necessary to secure grant
funds and implement the approved grant project.
In May 2023, the Solid Waste and Wastewater utilities hired a consultant to apply for a
competitive grant from CalRecycle's Organics Grant Program. The RODEO project was
submitted for grant funding. These grant funds would cover project design and construction
costs. On December 14, 2023, CalRecycle notified the City that the grant request was approved
for the maximum award amount of$10,000,000.
Staff recommends the addition of $2,600,000 of wastewater reserve funds to the FY2023-24
capital budget to complete the Project.

Funding acceptance is not a project as defined by the California Environmental Quality Act
(CEQA), and no further action is required at this time. Acceptance of the grant funding will

and Biogas Production Facility Project. CEQA compliance documentation would be presented to
Council at, or prior to, award of the project.

Summary of Request
Staff requests approval of 23 grant awards in the amount of$130,620,128 for the competitive
Organics Grant Program (Program) for fiscal years (FYs) 2021-22 and 2022-23. This Program
was oversubscribed by $58,292,627 as $188,912,755 in funding was requested from 32 eligible
applications received. The remaining passing applications, reflected in rank order in Table 3,
could be funded if additional funds are allocated to this program in the future.
Funding
The FY 2021-22 proposed Budget, as amended by Senate Bill (SB 170) (Chapter 240, Statutes
of 2021), allocated $70,000,000 to CalRecycle from the Greenhouse Gas Reduction Fund, with
$3,500,000 reserved to cover administrative costs, as authorized in the Budget and shall be
used to provide grants for the purposes of paragraphs (1), (2), or (5) of subdivision (b) of
Section 42999 of the Public Resources Code. CalRecycle allocated $4,240,000 for a regional
cycle of the Community Composting for Green Spaces Grant Program and $510,000 for a
separate grant cycle for community composting projects, available only to Qualifying Tribal
Entities. The remaining funding in the amount of$61,750,000 is recommended for award in this
RFA.
The FY 2022-23 Budget, as amended by Assembly Bill (AB) 179 (Chapter 249, Statutes of
2022), allocated $15,000,000 to CalRecycle from the General Fund, with $750,000 reserved to
cover administrative costs, as authorized in the Budget. CalRecycle has awarded $12,338,802
of the FY 2022-23 money in the cycle of the Organics Grant Program. The remaining
$1,911,198 allocation for the purposes of paragraphs (1), (2), or (5) of subdivision (b) of Section
42999 of the Public Resources Code is recommended for award in this RFA.
The FY 2022-23 Budget, as amended by AB 179, allocated $10,000,000 to CalRecycle from
the Greenhouse Gas Reduction Fund, with $500,000 reserved to cover administrative costs, as
authorized in the Budget. CalRecycle awarded $3,950,527 of the FY 2022-23 money to an
unfunded applicant from the Co-Digestion Grant Program, resulting in $5,549,473 being
recommended for award for purposes of paragraph (6) of subdivision (b) of Section 42999 of the

Public Resources Code. In addition, AB 179 allocated $180,000,000 to provide grants to local
jurisdictions to assist in the implementation of SB 1383 (Lara, Chapter 395, Statutes of 2016).
Of that allocation, $81,000,000 was allocated to the Organics Grant Program to fund the
immediate, critical infrastructure needed to process organic waste as required by SB 1383.
Eligible entities for this funding include cities, counties, cities and counties, Joint Powers
Authorities, and special districts directly responsible for solid waste collection services.
CalRecycle recommends utilizing $61,409,457 of this funding to award all local jurisdiction
applications with a passing score. The remaining amount of$19,590,543 will be redirected to
the SB1383 Local Assistance Grant Program.

Background and Findings
Statutory Authority
Public Resources Code section 42995 et seq., added to statute by the enactment of SB 862
(Statutes of 2014, Chapter 36) and amended by SB 155 (Statutes of 2021, Chapter 258),
authorizes CalRecycle to administer a grant program to provide financial assistance to reduce
the emissions of greenhouse gases (GHG) by promoting in-state development of infrastructure,
food waste prevention, or other projects to reduce organic waste or process organic and other
recyclable materials into new, value-added products.
Program Background
This Program is part of California Climate Investments, a statewide program that puts billions of
Cap-and-Trade dollars to work reducing GHG emissions, strengthening the economy, and
improving public health and the environment. At least 35 percent of California Climate
Investments must benefit disadvantaged communities, low-income communities, and low-
income households, collectively known as priority populations.

This Program provides funds to support expansion of the waste management infrastructure,
particularly for new or expanded organics infrastructure such as composting and digestion
facilities, to achieve greenhouse gas reductions. These investments will result in reduced
methane emissions from landfills; benefit priority populations by upgrading existing facilities and,
where warranted, establish new facilities; result in air and water quality benefits in addition to
greenhouse gas (GHG) emission reductions; and create jobs.
Criteria and Process
The Eligibility Criteria and Evaluation Process was discussed at the December 20, 2022,
CalRecycle Public meeting and subsequently approved by the Deputy Director. The Notice of
Funds Available was published on CalRecycle's website on February 9, 2023, and a notice was
sent to interested parties.
Applications were due to CalRecycle on May 2, 2023, with a secondary due date of May 11,
2023, for authorizing documentation submission. CalRecycle received 69 applications
requesting a total of$387,845,869.30. After the close of the application period, staff reviewed
the applications for completeness and eligibility. As a result, 20 applications were disqualified
for either submitting an incomplete application or having an ineligible project. Staff reviewed the
remaining applications in accordance with the approved evaluation and scoring criteria.
Subsequently, 17 applications did not receive a passing score. The maximum grant award is
$500,000 for in-vessel projects, $3,000,000 for stand-alone pre-processing projects,
$10,000,000 for anaerobic/co-digestion and compost projects, and $13,000,000 for
anaerobic/co-digestion and compost projects with a pre-processing project. Staff proposes to
fund 23 of the 32 eligible applicants. If additional monies become available, staff recommends
funding the remaining eligible applicants in rank order, as listed in Table 3. As a result of the
projects recommended for award, 7.7 million tons of green and food material will be diverted
from landfills, a reduction of over 2 million MTCO2e in greenhouse gas emissions, and 114 jobs
will be created.

currently disposed of at the Dry Creek Landfill. Commercial food material will be cleaned and
processed into an organic slurry that will be transported to a composting facility. The project will result
in 237,823 tons of newly diverted food and green material from landfill and a reduction of 47,298
MTCO2e of greenhouse gas emissions over ten years. In addition, the project will provide an
estimated five full-time jobs targeted for priority populations and supports Humboldt County's edible
food recovery program.

SSO and residential food material is currently disposed of at the American Avenue Landfill in Fresno
County, CA, located in a low-income community. The project will result in 461,137 tons of newly
diverted food and green material from landfill and a reduction of 90,447 MTCOZe of greenhouse gas
emissions over ten years. In addition, the project will provide up to 15 jobs targeted for priority
populations.

and a reduction of 94,357 MTCO2e of greenhouse gas emissions over ten years. The project will
provide job training to members of priority populations that will lead to industry recognized
licenseslcertifications.
Anaerobic Digestion/Co-Digestion

natural gas for on-site fueling of City trucks and Napa Recycling and Waste Services solid waste
collection vehicles and renewable electricity to power facility operations. The digestate will typically be
composted on-site in the covered aerated static pile unit or sent to another composting facility, if
needed, but can also be dried and sold as fertilizer. The food and green material are currently
landfilled at Vasco Road, Potrero Hills, Ox Mountain, and Clover Flat Landfills. The project will result
in 300,000 tons of newly diverted food and green material from landfill and a reduction of 120,000
MTCO2e of greenhouse gas emissions over ten years. The project will provide five permanent, full-
time jobs targeting priority populations.

The City of Riverside proposes the installation of food waste receiving, pre-processing, polishing, and
storage infrastructure, as part of the Riverside Water Quality Control Plant co-digestion project. The
project will significantly expand the facility's food waste receiving and anaerobic co-digestion
capacity. Food waste cake will be received via dump trucks, polished to a slurry to remove plastic and
grit contaminants, and then co-digested with wastewater sludge. The biogas produced will be
upgraded to renewable natural gas and injected into the SoCalGas utility pipeline. The commingled
food and green material are currently landfilled at Badlands and Lamb Canyon Landfills. The project
will result in 200,000 tons of newly diverted food and green material partially from a landfill located in
a low-income community and a reduction of 81,000 MTCOze of greenhouse gas emissions over ten
years. Benefits to priority populations include energy rate stabilization, air pollution reduction, and
reduced impact to freshwater resources; as well as a wastewater treatment operator-in-training
program targeted to local workers.

receiving equipment and storage tanks, a polishing process for intake of feedstock into the existing

utility pipeline. The source-separated food material is currently being landfilled at Mid-Valley Sanitary

1.3. Term. This Agreement shall be efifective an the Effective Date and shall continue ir� full
force and effecfi until the completion of the all Services selected under Section 1.2

2.1. Compensation.An estimate af Utility's fees and all other applicable costs to be billed by
Utility ta Campany under this Agreement are set farth in each applicable Attachment
ta this Rgreement. In any event, Company shall be liable for the actual costs of the
Services, which may be higher than the estimated costs. Actual costs shall include the
actual Services rendered and all related costs incurred, and shall include permit or other
fees or charges, procurement, indirect costs and overheads, carrying costs, and any
related income or other tax liability therean.
2.2. Payment. Upon execution of this Agreement, Attachment A, and Attachment B
(Confidentiality Agreement), Campany shall make paymenfi to Pacific Gas and Electric
Company for the Services in the amounfi specified in Attachmer�t A within thirty (30)
days. Upon executian of any additional Attachment (as further described in Section
1.2), Company shall make payment to Pacific Gas and Electric Company fior Services
in the amaunt specifiied in such Attachment(s)within thirfiy (30)days. Any amaunt biiled
by Utilityto Company subsequent fio the initial payment shall be paid by Company within
twenty (20) days after receipt of Utility's invoice to the address set farth in Section 8
below.
2.3. Chanqe Orders.Any change ta the Services shall be in wrifiing (a "Change Order") and
signed by Company and Utiiity. If Company issues any request far a char�ge in the
Scope of the Services or the time of completion of the Services beyond thase tasks
described in the Services and not identified as a Change �rder, but which Utiii�jt
considers to be a Change Order, then Utility shal! notify Company in writing and fihe
parties shall mutualiy decide whether such a change in fihe Services or the time of
completion of the Services constitutes a Change Order, which increases or decreases
the Scope ofi the Services and increases or decreases the cost to Utility of performing
the Services. If Utility issues a Change Order that results in an increase or decrease in
the cost of the Services, then an adjustment shall be made to the total compensation

2.A�. Pavroll Taxes. Social security, federal, and ofiher applicable taxes shall not be withheld
from payments made to Utilifiy.

3.1. Confidential Information. During the term of this Agreement, either parfiy may have
access ta and become acquainted with confidential informatian and trade and business
secrets of the other. Treatment of this infiormatian by bofih parfiies is set forth in the
Confidentiality Agreement,the form of which is attached hereto and incarporated herein
as Attachment B of this Agreement (the "Confidentiality Agreement").
3.2. Qwnership and Use; Limits an Liabilitv. Notwithstanding the above, any and all
material and infarmation prepared, accumulated or developed by Ufiility, any
subcantractar or their respective employees, including, without limitation, documents,
drawings, designs, calculations, maps, plans, workplans, �ext, filings, estimates,
manifests, certificates, books, specifications, sketches, notes, reports, summaries,
analyses, data models and samples (hereinafter, collectively "Work Producfi"), shall
remain the property af Utility when prepared or in process, whether ar not delivered to
Company. Utility hereby grants to Company an unrestricted royalty-free license to use,
copy, and distribute any Work Product furnished by Utility to Company under this
Agreement, subject ta the terms specified in the Confidentiality Agreement. The Work
Product provided by Utility hereunder is intended to meet or exceed all generally
accepted industry standards for this type of work; however, except as may otherwise
be set forth in the applicable Attachment(s), Utility makes no warranty or representation
about the fitness, suitability, reliability, availability, tirrieliness or accuracy of Work
Product or Services for any purpase. The V1/ark Praduct will be done using information
and assumptians afi one point of fiime and which are subjecfi to change at any time that
could change the results or analysis reflected in Wark Product. Estimates af costs may
not cover all environmental costs or other unforeseen costs, or costs resulting from
changes to laws, rules and regulatians governing th� Services h�rein. Therefore,
except as may otherwise be set forth in the applicable Attachment(s), Utilifiy daes not
warrant the Services or Work Product for any use and specifically disclaims any liability
for any subsequent use of the Work Product, ar any part thereof, by Company. Except
as may ath�rwis� b� set farth in the applicable Attachment(s), no warranty of any kind
is ar will be included as part of the Services and all express and implied warranfiies,
including any warranties of inerchantability, and/or fitness for a particular purpose are
specificaily disclaimed. With the exception of claims solely arising from the gross
negligence or intentional misconduct by Utility that occurs whii� performing the
Services, Company will not hold Utility liable or respansible in any way for any lasses,
damages, claims, costs, expenses or other obligations it incurs, or may incur, arising
out of or related to Company's use af, or reliance on, any part of the Services, Wark
Product or other informatian provided by Utility hereunder.

Study {"'PES"} requested by fihe Company for construction af necessary facilities as
described below {the '°Services") follouving campletion of an Interconnection Screer�ing
Study forthe same location and iess than or equal to the maximum volume 1 flow rate
that will be the basis for this PES.
Utility proposes to analyze the impact on its gas transmission system af receiving
98.28, 138.54, 178.8 minimum, average and maximum,
respectivefy, thousand Standard cubic feet per day (MScfd)on a 1/24t" ratable hourly
basis of new supply at 2220 Metz Rd. Anderson

California, on a (�) Displacement andfor an (�) Expansion Receipt Point Capacity
basis and id�ntify any system impravements necessary to accept this newsupply.
The cosfi estimate calculated by Utility wi!! include, but not be limited to, land acquisition,
site deuelapment, right-of-way, metering, gas quality, permitting, regulatory,
environmental, unusual construction costs, and, if applicable, aperating and
maintenance casts far any facility improvements, accurate to f100°la / -50°!o based an a
site visifi and ro�te evaivafiion forthe Company's project. The findings and estimate will
not constitute a proposal by Utility. Utility wiEl not have performed a specific site or route
evaluation forthe Company's project in the deuelopment of this estimate. Other service
casts associated with canstruction of the Interconnector's Faciiity that are nat part of
aiready affered services could include, but not be limited to, engir�eering, consulting,
contracting, construction costs, and enviranmental studies.
Utility's constructian casts cantinue to rise with increasing casts of labor and materials.
Since the PES is developed using average historical praject cost data, it is highly likely
that the actual construction casts forthe Campar�y's particular project will vary
significantly from the PES. Utility urges the Company to retain th� services af a third-
party engineering construction firm or enter into a Detailed Engineering Study with Utii�ty
to develap a more accurate construction cast estimafie forthis specific project.
Because ofithe exclusians and limitations of this initial review, Utility does not
recomm�nd that the Company use the PES for any other purpose, including any
substantive planning or other decisions regarding the cost or viability of its praj�ct,
except to further evaivafie Company's project via a Utilifiy Defiailed Engineering Study.
Any use by the Company is solely at its own risk and shouid factor in the above risks
and limitations.
A report that summariz�s the results of Utility's analyses, identifies the study
parameters, assumpfiions, limitafiians and the estimated construction easts of any facility
improvements, evaluates whether the Interconneetion Screening Study identified
