SUBJECT: 4.11(e)--Approve Final Map and Execute Subdivision Agreement for Silverstone
Subdivision, Unit 3 (AMN�D-2020-01135, 5-2019-00280)
Recommendation
Authorize the Mayor to execute a Subdivision Agreement with Sierra Pacific Land and Timber
Company; and approve the final map for Silverstone Subdivision, Unit 3 (AMN�D-2020-
01135/5-2019-00280), thereby, instructing the City Clerk to file the map with the Shasta County
Recorder.
Fiscal Impaet
There will be cumulative ilnpacts to the City of Redding's (City) Public Works Department due
to the increase in public street infrastructure requiring annual maintenance, especially the asphalt
pavement. The project will generate an incremental increase in State of California gas-tax funds
based on population and point-of-origin sales; however, the increase in these revenues falls short
of the anticipated annualized maintenance cost.
In addition, there will be an incremental increase in the City's utility costs due to the additional
infrastructure. Generally, except for the Storm-Drain Utility, sufficient revenue is generated by
monthly use charges to offset any increase in annual maintenance costs. The Storm-Drain Utility
is pressed with increasing requirements that current rates do not cover.
Alte�^native Action
The City Council (Council) may choose not to accept the improvements. Under this alternative,
the City would be inconsistent with a long-standing policy of maintaining streets and
infrastructure following the completion of the improvements in accordance with the City
Construction Standards.

Background/Analysis
The Silverstone Subdivision, Unit 3 (AMND-2020-01135/5-2019-00280) was approved by the
Planning Commission on September 22, 2020. Attached is a map showing the subdivision, which
is located south of Rancho Road and Shasta View Drive.
The developer, Sierra Pacific Land and Timber Company, has submitted the final map and all
other required data which has been checked and approved by various City Departments. Relevant
subdivision map conditions of approval have been met with the exception of some portions of
roadway conditions (placing asphalt concrete, striping, pouring curb/gutter/sidewalk, centerline
monument survey, street name signs, utility manholes, street lights and valve grade adjustments).
The developer has agreed to the execution of a Subdivision Agreement, has committed to
completing these conditions, and has submitted a related security in the amount of$157,805 for
the remaining work. The developer has been informed that no occupancy permits wi11 be granted
for residences constructed on lots until a11 related Subdivision Agreement conditions have been
met.
The agreement has been approved as to form by the City Attorney.
Envi�^onmental Review
On Apri1 5, 2005, Council held a public hearing and adopted Resolution 2005-048 certifying the
completeness and adequacy of EIR-01-03, thereby satisfying the requirements of the California
Environmental Quality Act. No further action is necessary.

3. Time and �ornmencement�nd Performance
City her:eby fixes the tirne for the commencement c�f said worlc an the 20th day af Augizsti,
2024,and fc�r its coinpletion to be within 36� calendar days of the date c�f commencement.
P'cir�r to the commencement of wark here�znder Subdivider shall notify City Engineer in
writing af the date fixed by Stiibdivider far coimmenceinent thereof; so that City Engineer
shall be�ble to provide services of inspectit�n.
4. 43ccup�ncy
Pursuant to Section 1'7.26.410 of the Redding Municipal Code,occupancy af structt�res shall
nat be per�nitted uritil all p�iblic impl-ovement� associated with the subdivisi�n have been
duly accepted by City Colrncil.
5. Tirne of Essence-Extension
Ti1ne is of the essence of this agreement; pravided, that ii� the event good cause is shown
therefor; the City Councii may extend the tilne for completion af the ilnprovements
hereunder. Any sL�ch extension may be granted witho�lt notice to the Subd�vider's surety,
and extensic�ns so granted silall not relieve the surety's liability an the bond to secLtre the
faitl�ful perforinance of this agreement. The City Cc�uncil shall be the sole and final judge as
t€�whether or not good cause has been sha�vn to'entitle Subdtvider ta an extensian.
6. Repairs and Repla�ements
Subdrvider shall replace, or have replaced, or repair or have repaired,as the case may be;a�l
pipes and manuments shown on the Map which ha�e been destroyed c�r damaged, and
S�,lb�ivider shall 1•eplace or have replaced, rep�ir ar have repaired,as the case may be,or pay
to the owner the entire cost of replacemei�t or repairs; of any and all praperty dainag�d or
destroyed by reason �f any work dane hereunder whether such property be owned by the
United States ar any agency thereaf, or the State of California, or any agency or political
s«bdivisic�n thereof, ar by tlle City or by any ptiblic or private corporatioil, or by any persc�n
wharnsoever or by any cornbination of such owners.Any such repair or replacernent shall
be to the satisfaction, and subject t�a the approval, of City Engineer.

7. Utility Depvsits -Statement
Subdivider sl�all file with the City Clerk; pric�r tc� the cominencernent of any work ta be
performed within the area delineated on the Map, �writt�n stateinent signed by each pltblic
utility corporation involved, ta the effect that Subdividei• has made all depasits legal4y
rec�uired by such public Lttility corporatian for the connectian of al�y and all public utilities
to be sidpplied by slich public utility corporation withrn the Subdivision.
8: Permits, �ompliance rvith La�
S�,ibdivider sllall obtain atl necessary pernlits and ]icenses for the construction of such
impr�overnents; give a11 necessary notices; and pay all fees and taxes re�uir•ed by law.
9, �uperintendence by �ubdivider
Subdivider shall give personal superintel7dence to the vvork of said improvement, or have a
c��npetent foreman a�:superintendent, satisfactory to City Engineer'on the u�ark at all times
during progre�s, with attthc�i•ity to act for�ubdivider:
10.Inspec�ion by City
Sl�bdivider shall at all titnes maintain proper fa�ilities,and pravide saFe access for inspection
by City Engineee to a11 pai-ts�af tl�e work,and ta the shaps wherein tile wark is rn prepa��ation.
Subdivider shall be liable for the payment af a11 inspection fees and other fees rec�uired by
the City of Redding within thirty(30}days of invoice.
11. Contract�ecurity
Concui~rently with the execiition hereof, Subdivider shall fiunish or�e ofthe following: (1)
A band or bonds in the sum of at least 10`0 percer�t of`the estirnated cost ofthe improveinents
re�naining to be constructed, plcis a contingency cost rlat to exceed 10' percent of the
improvement cc�sts, pl��s an estimated inflation factor based on the change in the
Co��str�uction Cost Index over the averaged previaus three years' ehanges as pt�blished in the
Engineering News Record, plus an additional amount of 50 percent of the estimated cost of
improvernents securing payment tQ the contractor, or(2) and instrument of credit from an
approved financial institutian in the same amottnt, or (3) cash depasit in the same amount.
As tc� (1)or(2}, bc�th the issuer and the form shall be satisfactory to City Attorney.
12.Hold I�(armless Agreement
S«bdivider hereby agrees to, volunteers and shall, hold City, its elective and appaintive
boards, commissions, officers, agents; and employees, harmless frorn any liability ft�i-
darna;e or claims for darnage for personal injtiry, including death; as �rell as frorn claims
for property damage'which may ar�se from Subdivid�r's ar Subdivider°s contractors; sub-
contractors;a�ents;or ernployees'aperatians under this agr�ement,whether such operatiorts
be by St�bdivider or by any of St�bdivider's cantractars, �ubcontractors, ar by any one or
more persons directl�or ir�rdirectly elnployed by;or acting as a�ent far Subdivider or any of
Subdivider's contractars or sti�bcontractors. Subdivider agrees to, and sha11, defend City and
its �lective and appointive bQards, co�nmissians, officers, agents, and employees from any
suits oi• actions at law or in equity far damages caused, or alleged to have been caused, by
ieason af any of the aforesaid aperatic�ns; provided as follows.

damages,�nes,pe��alties,and claitns fot•damages of every kind suffered,or aiteged
to have been suffeied, by reason of any of the afot•esaid operatiai�s refe�•red to in
this patagraph, 1-egardless af whether or not City has prepared, supplied; or
approved of, pl�ns andlor specificatians far the subdivision, e�r regat�dless af
r�vhether or not such ins�irance policies shali have been deter:mined to be �pplicable
to any of such dair�ages or claims for damages.
�,3. �ubdivid�r's In�ur�nce
Subdivider sha�l not comznence wark under this agteement until Subdivider shall have
abtained all insiirance required under tl�is paz•agraph and such ins�iral�ce shall haVe been
approved by FZisk Manager as to forl�, amount; and carrier nor shall Subdivider a11aw any
contractor t�r subcontractor to cotnrnence work on his cont�•act or subcantract until all similar
insurance required of the cont�•actor or subcontractar shall ha�re been st� obtained and
approved. A11 requir•ements herein provided shall appear either in the body of the insurance
pQlicies or as endor�ements and shall specr�ically bind the insurance carrier:. Subdivider s11a((
procure and mair�tain for the durati�zt af'the agreetnent insurance against claims for•injuries
ta persons or darna�;es to prope�ty which may arise from ar in connectioi� with the
performance of tl�is �greement by the subdivider, its abents, representatives, e�nployees ar
s��bcontractors.
Minimum Seope and Limits of Insurance
Cc�verage shall be at least as broad as:
a. Insurance Services �ffice Commercial General Liability coverage (occurrence
form CG 4001), with litnits no less than $1,000,000 per occurrencel$2,00O,,OQO
general aggregate for bod'tly injl►ry,persanal injury and praperty darnage,
b. Insurat�ce Servic�s Uffces form number�A 000� (Ed. 1/$7}covering Automabile
Liability, owned, non-owned, and hired, wit[z limits no less than $1,Ot�D,000 per
accident far•bodily injury and propert�damage.
c; Workers' Gompensation insurance as required by th� State of Cal`rfornia, with
statutory lirnits, and Empinyers' Liability insurance, with limits no less than
$I,�OO,Q00 per bodily injury or disease;
Ded�ictibles and 5elf-Ins�trance Retentions
Any deductibles or self-insat•ed;retentions shall be declared tc� and approved by th� City.

Other Insi�rance Pt•ovisions
The general liability and autor�obile pc�licies are ta contain ar be endQr�ed tc� contain the

additional insureds as t•espects. liability arising otit of ar in connectic�n with the
pe��fo��inance af this abreement by or on behatf of the subdivider; prernises awned;
occcipied or used by the sub�iivider; and a�itotnobiles owned, Ieased; hired c�r
borrowed by the subdiviclei•. The coverage shall contain no special li�nitatic,ns of
the scope af'protection afforded to the City, its aff'tcers, officials; employees; and
valLinteers��.
b. The Subdivider's insurance shall be primary insLrrance as respe�ts the City; its
officers, officials, emplc�yees and volunteers. Any insurance or self-insczrance
maintained by the City, its officer�, officials; emplayees and volunt��rs shall be
excess af tl�e insuranee of the subdivider and shall not contribute with it.
c, The sut�divider's insurance shall apply se��rately to each insured against whorn
claim is made or suit is bt•ought, except v✓ith respect to the limits of the insurer's
liability.
d. Each insurance policy required by this clacise shall be endorsed to state that
coverage shall ��crt be canceled, except after thirty (30} days' prror writt�n izotice
has been gi�en ta the City.
The Workers' Ccampensatian and Elnployers' Liability insurance shall contain the
Insurer's waiver of stiibro�ation in favar af the Crty, its of�icers, officials, employees,
and valunteet�s.
Apptoval of the subdivider's insurance by the City shall not decrease tke extent to
which the subdivider may be held responsible for payment af any and all damages
resulting from subdivider's performance under this agreernent:
Acceptabrlity of Insurers

and wit11 a current A.M. Best's ratu�g of no less than A-:VII:
Verification af Covera�e
The Consultant shall furnislz the City with certificates of insurance and original
endarsements effecting coverag� required by this clause, The et�darsements are to be
signed by a person authc�rized by that ins�iret to bind coverage on its behalf. All
certificates and end�arsements are to be received and approved by the City before
approval of the agreement and wark cornmences.Tl�e Gity reserves the right to rec���est

a certified copy af any ar all poli�ies at any tirne. The subdivider shall provide s�;�ch
policies within thirty(30) days af s�.ich a request.
14; Title to Improvements
Title tc�, arid ownership af,al( improvements constructied heretander 6y Subdividei•shall vest
absalutely in City, upon cornpletian and acceptance of sucll`impr�V�tnents by City.
1�. l�epair or Iteconstruction of I�efective Wark
If, within a period of one year after final acceptance of the wark pe�•for�ned unde�° this
agreement, any structure or part �f any structure furnished and/or in�talled or canstructed,
or c��tsed to be installed or constr�:icted by Subdivider ar any of t1�►e work done nnder this
agree�nent, fails to fulfill any of the requirements of this agreei�ent or tlte specifications
referred to herein, Subdivider shall withaut delay and withaut any cast to City; repair or
r�eplace ar reconsti�uct any defective ar otherwise unsatisfactoty part ar parts of the work or
structure. Should Subdivider fail to act pramptly ar i�1 accc�rdance with this reql�irement,or
shc�uld the exigencies of the case require repairs ��• rep�acements ta be inade before
S�ibdivider can be notifred, City may; at its c�ption, make the necessary repairs or
replacetnents or perform the necessary wark and Subdivider shall pay to City the actl�al cost
�f such repairs plus fifteen(15)percent.
16.Subdivider Not Agen�of�ity"
Neither�ubdivider nor any of Subdiuider:"s agents or contractors are, or shall be considered
to be, agel�ts af City in cannection with the perforrnance c�f Sub�ivider`s obligations tinder
this a;reement.
17. �'ost of Engineering and Inspection
Stilbdivicler shall pay to Citythe acttial cost for all en�ineering, inspection,and other services
furnished by City in connection with the Subdivisiot�, plus the applicable overhead charge
in effect at the tirne_ City wi(1 f�u-nish a statelnent of all chacges for services perfarmed by
City upan request, and Subdivider shall cc�inplete payment af such charges within ten (10�
days after receipt fihereof. Said costs shall be paid in full by the Subdivider prior ta
acceptanc�by the City of the Map�r improvements.
18. Notice of Sreach and Default
If Subdivider refiises or fails to obtain pro�ecution c�f the woek,c�r�any'severable part thereaf,
with such diligence as will insure its�otnpletian within the time specified,or anyextensions
thei-eof, or fails ta obtain campletiinn c�f said work within such tilne, ar if the �ubdivider
should be adjudged a bankrupt, or Subdivider should inake a general assignment for the
benefit of Subdivider`s creditars, or if a rec�iver shcruld be appointed in the event of
Sut�divider's xnsolvency; or if Subdivider or any of S�ibdivider's contractc�rs,subcontractors,
a�,ents, or employees should vialate any of the provisians of thi� a;reement, City Engineer
or City'Cc�uncil may serve written nt�tice upon Subdivider and Subdivider's surety of breach
of this a�,reement, or af any portion thereof, and default of 5ubdivider.
19.�reach r�f Agreement; Performance by Surety or dCity
In the euent of any such notice, Subdivider"s surety shalI have the duty to take over and

other�n�thod City may deem advisable, for the accc�unt and at the expense of�z�bdivider
and Subdividei's s�.irety shall be liable to City far any excess cost or damages accasi�ned
City thereby; and, in such event, City, without liability for�o dain�, may take possession of
and tltilize in campleting tlle we�rk, such rnater`ials, appliattces, plant, and other property

this Abreement, the prevarling party shal� be entitled to recover frarn the other party a11
reasonable casts, incl�.�ding, without lirnitation; reasonable att�rney(s) fees. "Prevailing

This dc�cument, inclLlding any exhibit�, contains the entire Agree��nent between the parties
and supersedes �vhat�ver oral or written �.tnderstanding they rnay have had prior to the
exectirtion af this Agreement. This Agreement shall not be altered, amei�ded, or modified
