Fiscal Impact The planned replacement of this transfer truck was identified in the 10-year Ralling Stock Plan and is scheduled in the Fiscal Year of 2026-27. Staff is requesting the use of current rolling stock funds for the early acquisition of this truck. The current balance of the Rolling Stock Fund is $2,152,000. Alternative Action The City Council may choose not to authorize the purchase using the Sourcewell contract and direct staff to use the competitive bid process. This action would delay the purchase and delivery date of a new unit and would extend the use of worn out equipment. Backg�ound/Analysis The City of Redding's (City) Transfer and Recycling Facility operates six days per week and performs processing of municipal solid waste, organics (green waste), construction and demolition, and mixed recycling materials, Additionally, the Solid Waste Utility assists the City's Wastewater Department by hauling biosolids from both wastewater treatment facilities. There are six transfer trucks used in the hauling operations (five frontline units and one spare) for Report to Redding City Council August 28,2024 Re: 4.12(d)--Purchase of One 2025 Peterbilt 5�9 Transfer Truck Page 2 transporting the mentioned materials to various sites incl�uding the Richard W. Curry West Central Landfill in Igo and recycling facilities in Sacramento. Staff planned to replace the current 2014 transfer truck in Fiscal Year 2026-27. Due to increased use, the unit being replaced has reached the end of its dependable expected lifecycle sooner than anticipated based on the cumulative cost of the repairs and maintenance, age of the truck, and estimated refurbishment cost. Staff recommends replacing the truck rather than spending signif.tcant funds to refurbish it or continue with cost]y repairs resulting in loss of use and extended downtimes. The replacement of the 2014-year model with a 2025-year model is in line with the City's plan to comply with the Advanced Clean Truck rule for California. The truck is available under a Sourcewe]1 competitively bid contract. Sourcewell develops national competitive solicitations that meet or exceed local standards, and offers its members the benefits derived from cooperative purchasing. Using the Sourcewell cooperative contract to purchase a 2025 Peterbilt 579 Transfer Truck saves significant staff time that would otherwise be needed to prepare bid specifications and solicit individual quotations from vendors. The City also receives a significant price discount due to economies of scale realized through the volume of purchases on a multi-agency cooperate contract. Envi�^onmental Review This action, purchasing, is not a project as defined by the California Environmental Quality Act, and no further action is required. Upon Contract execution and throughout the Contract term, Supplier must provide to Sourcewell a current means to validate or authenticate Supplier's authorized dealers, distributors, or resellers relative to the Eqt��pment, Products, and Serv�ces affered under this Contract, which will be incorporated into this Contract by reference. It is the Supplier°s responsibility to ensure Sourcewell receives the most current information. 3. P ICI All Equipmer�t, Products, ar Services �nder this Cantract will be priced at or below the price stated ►n S�pplier's Praposal. Wher� praviding pricing quotes to Participating Entities, all pricing quoted m�st reflect a Participating Entity°s total cost of acquisitior�. This means that the q�oted cost is for delivered Eq�ipment, Products, and Services that are operational for their intended purpose, and includes all costs to the Participating Entity's requested delivery location. Regardless of the payment method chasen by the Participating Entity, the tatal cost assaciated with any purchase option of the Equipment, Products, or Services must always be disclosed in the pric�ng quate to the applicable Partic�pating Enfi►ty afi the t�me of purchase. Participating Entitses reserve the rEght to Enspect the Equ�pment and Products at a reasonable time after delivery where circ�mstances or conditior�s prever�t effective inspection of the Equipment and Prod�cts at the time of delivery. in the event of the delivery of nonconforming Equiprnent and Products, the Part�cipating Entity will notify the Supplier as soon as possible ar�d the Supplier w►11 replace nonconforrning Equipment and Prod�cts w�th conforming Equspment and Products that are acceptable to the Particwpating Entity. Supplier must arran�e for and pay for the return shipmer�t an Equipment and Praducts that arrive in a defective ar inaperable conditian. Sourcewell may declare the Supplier in breach of this Contract if the Supplier intentionally delivers substandard or inferior Equipmer�t ar Products. B. SALES TAX. Each Part�cipating EntEty is respor►sible for supplying the Suppl�er with valEd tax- exempt►on certification(s�. When ordering, a Participating Entity must indicate if it is a tax- exempt entity. C. HOT �IST PRICING. At any t�me dur�ng this Contract, Supplier may offer a specific select�on of Equipment, Products, or Serv�ces at discounts greater than those listed in the Contract. When Supplier determ�nes it will offer Hot List Pric�ng, it must be submitted electronically to Sourcewell in a line-item format. Equipmer�t, Products, or Services may be added ar removed fram the Hat List at any time thro�gh a Sourcewell Pr�ce and Product Change Form as defined in Article 4 below. Not List program and pricir�g may also be used to discount and liquidate close-out and discantin�aed Equipment and Products as long as those close-out and discontin�ed items are clearly identified as s�ch. CHA E RE UESTS Supplier may request Equipment, Product, or Service changes, additions, or deletions at any time. All requests must be made ir� writin� by submitting a signed Sourcewell Price ar�d Product Change Request Form to the ass�gned Saurcewell Supplier Develapment Adm�n�strator. This appraued form is available from the assigned Sourcewell Supplier Development Administrator. PARTICIPRTI , C T CT ACCESS, PARTICIP TI E T1TY RE UI E E TS A. PARTICIPATICtN. Sourcewell's caoperative cantracts are available and open to public and nonprofit entities across the United States and Canada; such as federal, statejprovince, municipal, K-22 and higher education, tribal gavernment, and other public entities. The ber�efits of this Confiract should be auailable to all Participatir�g Entities that can legally access the Equipment, Praducts, or Services under this Contract. A Part�cipat�ng Entity's authority to access fihis Contract is determined through its cooperative purchasing, interlocal, or joint powers laws, Any entity accessir�g benefits af this Cantract will be considered a Service Member af Sourcewell durir�g such time of access. Supplier understar�ds thafi a Participating Entity's �se of th�s Contract is at the Partic�pating Ent►ty's sale conven�ence ar�d Part�cipat�ng Entities reserve the right to obtain like Equipment, Prod�cts, ar Services from ar�y other source. Supplier is responsible for familiarizi�g its sales and service forces with Sourcewell contract use el�g�bility requ�rements and dacumentation and w►11 encourage potential part�cipating entities to join Sourcewell. Sourcewell reserves the right ta add and remove Participating Entities to its roster during the term of this Contract. B. PUB�IC FRCILITIES. Supplier's employees may be reqt�ired to perform work at gavernment- owned facilities, including schaols. Supplser's employees and agents must conduct themselves in a professional manner while on the premises, and �n accordance with Participating Entity policies and procedures, ar�d all applicable laws. 6. PA TICIPATING E TITY USE A PU CHA51 G A. ORDERS AND PAYMENT.To access the contracted Equipment, Products, or Services ur�der this Contract, a Participating Entity must clearly indicate to Supplier that it ir�tends to access this Cantract; however, order flow and procedure will be develaped joir�tly between Sourcewell and Supplier. Typically, a Part�cipating Entity w�ll iss�e an order directly to S�pplier or its authorized �eu.�12a22 � DocuSign Envelope ID:9BB83347-9852-442D-ABE7-863BAFA32866 Q32824-PMC subsidiary, disfiributor, dealer, ar reseller. If a Participating Entity issues a purchase order, it may use its own forms, but the purchase order should dearly r�ote fihe applicable Sourcewell contract number. All Participating Entity orders under this Cantract must be issued prior to exp�ration or cancellat�an of this Cantract! however, Supplier perfarmance, Participating Entity payment obligatians, and any applicable warranty periads or other S�pplier or Participating Entity obligations may extend beyond the term of this Contract. Supplier`s acceptable forms of payment are included in its attached Proposal. Participating Entities will be solely responsible for payment and Sourcewell will have no liability for any unpaid invo�ce of any Partic�pat�ng Entfty. B. ADDITIONAL TERMS A�ID CONDITIONS/PARTICIPATlNG ADDENDUM. Additional terms and conditions to a purchase arder, or other required transaction doc�mer�tation, may be negotiated between a Part�cipatir�g Entity ar�d Supplier, such as�ob or industry-specific requwrements, legal requirements (e.g., affirmative action or Emmwgratian s�atus requ�rements), or specific local palicy requErements. Some Participat►ng Ent�ties may require the use af a Participating Adder�dum, the terms of which will be negotiated directly between the Participating Entity and the Supplier or its authorized dealers, distributors, or resellers, as applicable. Any negotiated additior�al terms and eonditions must never be less favorable to the Participating Ent9ty than what is contained ir� this Contract. C. SPECIALlZED SERVICE REQUIREMENTS. In the event that the Part�cipating Entity requires service ar spec€alized performance requirements r�ot addressed in this Contract (such as e- comrnerce specifiications, specialized delivery requirements, or other specifications ar�d requirements), the Participating Entity and the Supplier may enter into a separate, standalane agreement, apart from this Contract. Sourcewell, including its agents ar�d employees, will not be made a party to a claim for breach of such agreement. D. TERMlNATION OF ORDERS. Participating Ent€ties may terminate an order, �n whole or in part, immediately upon notice to Supplier in the �vent of any of the following events: 1. The Participatit�g Entity fails to receive funding ar apprapriatian from its governing body at levels sufficient to pay for the eq�ipment, prod�acts, or services to be p�rchased; or 2. Federal, state, or provincial laws or regulations prohibifi the purchase or change the Participating Entity°s req�irements. E. GOVERNE�IG �.AW AND VENUE. The gouerning law and venue far ar�y action related to a Participat�ng Entity's order wfll be determsned by the Participat�ng EntEty makir�g the purchase. 7. Supplier will assign an Aceo�nt Representative to Saurcewell far this Contract and must provide prompt natice to Sourcewell if that person is changed. The Account Representative will be responsible far: • Maintenance and management of this Contract; • Timely response to all Sourcewell and Participat�ng Entity inq�irwes; and • Business reviews to Saurcewell and Participat�ng EntitEes, if applicable. B. BUSINESS REVlEWS. Supplier must perform a minim�m o�ane b�siness reuiew with Sourcewell per contract year. The busoness review will caver sales to Partfc�patir�g Entities, pricing and contract terms, administrative fees, sales data reparts, performance iss�es, supply issues, customer issues, and any other necessary informatior�. . REP T C T ACT SA�ES ACTIVITY A A I IST ATIVE FEE PAY E T A. CONTRACT SALES ACTIVITY REPORT. Each calendar quarter, Supplier must provide a contract sales activity report (Report) ta the Sourcewell Supplier Develapment Administrator assigned to this Contract. Reports are due no later than 45 days after the er�d of each caler�dar quarter. A Report must be provided regardless of the number or amour�t of sales during that quarter (i.e., if there are no sales, Supplier must submit a report indicatir�g na sales were made). The Report must contain the fallowing fields: • Participatir�� Entity Name (e.g., City of Staples Hi�hway Department)j • Particwpating Entity Physical Street Address; • Participating Entity City; • Participating Entity Statef Province; * Participating Entity Zfpf Pastal Code; * ParticipatEng Er�tity Car�tact Name; • Participating Entity Contact Email Address; • Participating Er�tity Cor�tact Telephone Number; • So�arcewell Assigned Entity/Part�cipating Entity Number; • Item Purchased Deser�ption; • Etem Furchased Price; • Sourcewell Administrative Fee Applied; and • Date Purchase was invoicedJsale was recognized as revenue by Supplier. B. ADMINISTRATIVE FEE. In cor�siderat�on for tf�e support and services pravided by Sourcewell, the Suppl�er w�ll pay an administrative fee to Sourcewell or� all Equipment, Products, and Services pravided to Part9cipatir�g Entities. The AdmEnistrative Fee must be ir�cluded �n, and not added ta, the pricing. The S�pplier will submit payment to Sourcewell for the percentage of admir�istrative fee stated in the Proposal multiplied by the tatal sales of all Equipment, Products, and Services p�rchased by Participating Entities ur�der this Contract during each calendar quarter. Payments should note the Supplier's name and Sourcewell-assigned cor�tract number in the mema; and must be mailed to the address abave ",4ttr�: Accounts Receivable" or remitted electronically to Sourcewell's bar�king institutior� per Saurcewell's Finance departmer�fi instructions. Payments must be received no later than 45 calendar days after the end of each calendar quarter. Supplier agrees to cooperate with So�rcewell ir� auditing transactions under this Contract to ensure that the adminisfirative fee is paid an all items purchased under this Contract. In the event the Supplier is delinquent in any undisputed administrative fees, Saurcewell reserves the right to cancel this Contract and reject any proposal submitted by the Supplier in any subsequent solicitatian. In the event this Contract is cancelled by either party prior ta the Contraet's expiration date, the administrative fee payment will be due no more than 30 days from the cancellation date. 9. AUT !ZE EP ESE TATIVE Sourcewell's Authorized Representative is its Chief Procurement Officer. Supplier°s Autharized Representat�ve is the persar� named in the Supplier's Propasal. If Supplier's Authorized Representat�ve changes at any time dur�ng this Contract, Supplier must pramptly notify So�rcewell in writing, 10.AU iT,ASSIG E T,A E E TS, AIVE , A C T ACT C PLE7E A. AUDIT. Pursuant ta Minnesota Statutes Sectian 16C.05, subdivisian 5, the baoks, recards, doc�aments, and accour�ting pracedures and practices relevant to this Contracfi are subject to examinatior� by So�arcewell or the Minnesota State Auditor for a minimum of six years from the er�d of this Contract. This dause extends to Participating Entities as it relates to business conducted by that Participating Entity under this Contract. B. ASSIGNMENT. Neither party may assign or otherwise transfer its rights or obligations under this Contract without the prior written consent of the other party and a f�ally executed assignment agreement. Such consent will not be unreasonably withheld. Any prohibited assignmer�t will be invalid. C. AMENDMENTS. Any amendrner�t to this Contract must be in writing and will not be effective until it has been duly executed by the parties. Any such waiver must be in writing and signed by the part►es. E. CONTRACT COMPI.ETE. This Contract represer�ts the complete a�reement between the parties. For any conflict betweer� the attached Proposal and the terms set out in Articles 1-22 of this Cantract, the terms of Art�cles 1-22 w�ll gavern. F. RELATIONSHIP OF THE PARTIES. The relationship of the parties is one of independer�t contractors, each free to exercise judgmenfi and discretion with regard ta the cor�duct of their respect�ve bussnesses. GQVERNING LAW,IURISDICTION,AND VENUE The substantive and pracedural laws of the State of Minnesota will govern this Contract. Venue for all legal proceedings arising out of this Contract, or its breach, must be in fihe appropriate state court �n Todd County, Minnesata or federal court in Fergus Falls, Minnesota. 15. FfJRCE MAJEURE Neither party to this Contraet will be held responsible for delay ar default caused by acts of God or ather conditions that are beyond that party`s reasonable control. The parties must pramptly natify eaeh other of any known dispute and wark in good fa�th to resolve such dispute within a reasonable period of time. If necessary, Sourcewell and the Supplier will jointly develop a short briefing document that describes the issue(s), relevant �mpact, and positions of both parties. 2. Escalation. The waiver must apply to all deductibles and/or self-insured retentEons applicable to the required or any other ir�surance mair�tained by the Supplier or its subcor�tractors.
