SUBJECT: 4.6(a) --Accept the grant, approve the First Amendment to the contract, and adopt
a Budget Resolution for the Community Resilience Center Program at Panorama Park.
Recommendation
Authorize the following actions relative to the City of Redding Panorama Park Project:
(1) Accept the California Department of Food and Agriculture Community Resilience
Centers Program grant in the amount of $9.25 million;
(2) Authorize the City Manager, or designee, to execute the First Amendment to the Contract
(C-9544) with NJ Associates, Inc., DBA NJA Architecture and NJA for a revised total
amount not to exceed $1,089,200;
(3) Authorize the City Manager, or designee, to approve any amendments up to $108,920;
and
(4) Adopt Resolution approving and adopting the 27t" Amendment to Budget Resolution No.
2023-060 appropriating $9,250,000 in state grant funds and $1,500,000 in City of
Redding Parks Development funds for the project.
Fiscal Impact
The California Department of Food and Agriculture (CDFA) Community Resilience Centers
(CRC) Program grant application requested the program's maximum of $10 million to construct
the community center at Panorama Park - the City of Redding (City) was awarded $9.25 million.
The grant does not require a match. However, the City of Redding (City) secured $8.5 million
from the Statewide Park Program and will contribute $1.5 million from the Park Development
Fund. The grant funds will supplement the existing project budget for a combined total of $19.25
million.
The CRC Program grant operates on a reimbursement basis, the City's general fund will front the
reimbursements. As staff works through the design process and the project development
timeline is fully understood, a quarterly reimbursement schedule will be developed and brought
back to City Council (Council) at a future date.

The grant scope includes additional building features and square footage, which allows the
building to provide emergency services functions for the public. To complete this portion of the
project, staff needs to amend the current design contract with NJA Architects to expand the
project's scope and design to meet the additional grant requirements for the building at an
additional cost of $149,800 which is covered by the grant budget.
The emergency services functions of the building will rely on existing programs and operations
by the City and its partners during emergencies and other Community Resiliency Center (CRC)
activation events and will not require any additional operations funding. On October 6, 2020, the
Council considered future maintenance and staffing costs. Anticipated maintenance costs will be
explored as part of the City's unmet needs workshop in March 2024.
Alternative Action
The Council could decline to accept the grant funds and amend the contract, or provide staff with
alternative direction.
Background/Analysis
The Panorama Park Project features a 10.5 -acre community park with an approximately 22,100 -
square -foot community center. The project includes park amenities such as trails, landscaping, a
playground, a dog park, shade structure, parking, and more. With the existing Statewide Park
Program (SPP) grant and Park Development Fund commitment, the project has a $10 million
budget. Due to the SPP grant award ceiling ($8.5 million) and inflationary factors since the
application submittal in 2020, the current construction budget is inadequate. To address the
deficiency in construction costs, the Community Services Department identified a strategy to
seek opportunities for additional funding by expanding the role of the community center. With
this funding, the community center would serve a dual purpose as a CRC, allowing it to function
during natural disasters, extreme heat events, and other emergency or climate -related instances.
Staff leveraged existing project funding and momentum to apply for and obtain the CRC
Program grant. For this grant program, the CDFA Fairs and Expositions Branch issued a one-
time general fund allocation of $150 million for fairground and community resilience centers. Of
that allocation, $38 million was awarded to five community centers throughout the state.
Redding and Oakland received the highest awards at $9.25 million each.
The award will elevate the design of the community center by adding additional elements and
capacity for both sustainability and emergency operations. New project CRC infrastructure
elements include solar and backup power, an emergency evacuation center with a community
kitchen, shower facilities, and broadband. As seen in the Carr Fire, emergency events can be
dynamic, widespread and require multiple options and plans for emergency centers and services.
Constructing a purpose-built facility in the City's northwest quadrant will increase the
geographic distribution and availability of emergency shelter infrastructure.
To complete the project, staff needs to amend the current design contract with NJA Architects to
expand the project's scope and design to meet the additional grant requirements for the building.

Environmental Review
On June 22, 2021, the Planning Commission (Commission) adopted the Mitigated Negative
Declaration and the Mitigation Monitoring Programs and approved the Panorama Park Project,
thereby satisfying the requirements of the California Environmental Quality Act Guidelines
§ 15074 (CEQA). At this meeting, the Commission also approved Site Development Permit SDP -
2021 -00785, General Plan Amendment GPA -2021-0786, and Rezoning Application RZ-2021-
0787. No further actions are required at this time.

THIS CONTRACT (C;-9544) dated October 20, 2022, between the City of Redding ("City"), ,
municipal corporation, and NJ Associates Inc., DBA NJA Architecture and NJA ("Consultant"),
for the purpose of design and engineering services for the Panorama Park Project, is hereby
amended as follows:
SECTION I. CONSULTANT L SERVICES is amended in its entirety to read;
Subject to the terms and conditions set forth in this Contract, Consultant shall provide to
City the - services described in Exhibits A and A-1 attached and incorporated herein.

SUBJECT: 4.6(b) --Adopt Resolution for California Statewide Park Program Application
Recommendation
Adopt Resolution approving the City of Redding as an applicant for the California Statewide
Park Development and Community Revitalization Program grant administered by the California
Department of Parks and Recreation; and authorize the City Manager, or designee, to execute all
documents necessary to apply for the grant, appropriate funds should the grant be awarded, and
execute any agreements necessary to implement the project.
Fiscal Impact
The grant application will request up to the maximum of $8.5 million to construct Panorama
Park and Field House (gymnasium). Staff is required to complete the California Environmental
Quality Act (CEQA) documentation and filing fees concurrent with the application. This is
anticipated to cost $20,000 which can be funded out of an existing allocation in the parks
development fund. The grant guidelines require a match for construction of indoor facilities.
Based on current project cost estimates a $1.5 million (15percent of total project) match will be
required to complete the project. Funding from the Parks Development Fund will be utilized for
the studies, fees, and match funding.
If awarded the grant, the new park and facility will require new funding for operations and
maintenance. Staff estimates the early years to be close to $200,000 annually and grow to
$300,000 over time as the facilities wear and require more repairs and maintenance. If approved,
the ongoing operations and maintenance funding will need to be budgeted beginning in Fiscal
Year 2023-2024. This cost would be a general fund expense with some offset from facility rental
Income.

Background/Analysis
Following the passage of Proposition 68, the California Drought, Water, Parks, Climate, Coastal
Protection, and Outdoor Access for All Act of 2018, the Statewide Park Development and
Community Revitalization Grant Program allotted approximately $650 million to create, expand,
and renovate parks and recreational opportunities in underserved communities. In 2019, the City
of Redding (City) applied for round three of the program and received $6.7 million for the
Caldwell Park Expansion project, becoming one of only 62 California communities to receive
such funds. The highly competitive program received 478 applications totaling $2.3 billion in
funding requests.
In July 2020, California State Parks announced round four of the program, and a total allotment
of $395.3 million for park construction, improvement or expansion. To capitalize on the funding
source, staff is beginning preparations for project planning and the public engagement process to
submit an eligible application. Using the 2018-2021 Action Plan and the Parks, Trails, and Open
Space Master Plan as a framework for selecting potential projects, staff analyzed the program
guidelines alongside available park properties. The analysis determined that the 10.53 -acre
Panorama Park site, located at 950 Lake Blvd, demonstrated both the highest need in the
community and proved to be the highest scoring park site currently in the City's ownership. The
City acquired these 10 undeveloped acres in 2006 for park purposes. In 2008, new park planning
stalled as the recession hit.
The State's Community Fact Finder tool shows that the area is considered "deficient" of park
space, meaning there are no nearby parks for area residents. Additionally, the area's median
income is below the program's low-income threshold of 80 percent of the statewide average, and
is therefore considered a Severely Disadvantaged Community by those standards. The guidelines
and scoring rubric for the grant favor low-income and park deficient areas, and staff believes the
park site is the strongest candidate possible, more so than the already awarded Caldwell Park
area was in 2019.
For the grant, the staff will propose the construction of a new large neighborhood park and
recreation facility known as the Panorama Field House. The project will include park amenities
such as trails, landscaping, playground, parking and more. The Field House is conceptually
planned to be approximately 20,000 square feet of gym space (enough to accommodate two
basketball courts) and 5,000 square feet of classroom, restroom, storage, and reception space.
This project will address the service area gap in the northwest quadrant, and address the critical
lack of gymnasium space outlined in the Parks, Trails, and Open Space Master Plan. Providing
recreational opportunities for the residents of the Lake Boulevard area will provide future jobs
and economic investment into one of Redding's Severely Disadvantaged Communities, as
calculated by the California State Parks Community Fact Finder.
Adequate recreational gymnasium space is one of the longstanding recreational needs within the
community. The City of Redding does not currently own a gym, which is atypical for a
community of its size. Historically, school facilities and joint -use agreements allowed for some
City programming of gym space and reduced the need for the City to operate its own facility.
Even with these partnerships, in 2004 the City's Parks, Trails, and Open Space Master Plan
highlighted the need for two additional gyms, and an additional two needed by 2020. Existing
school functions, scheduling conflicts, limited availability, closed campuses and sheer capacity
issues have diminished the City's ability to rely on other facilities. When the City does have

access to gyms, the school retains first priority and scheduling conflicts are a common
occurrence, thus creating consistency issues for participants and staff. Furthermore, the current
restrictions surrounding the COVID-19 pandemic have halted any shared use and no
gymnasiums are available for City recreational programming.
At nearly 600 kids, participation in the City's youth basketball program last year hit an all-time
high. In fact, Redding Recreation turned 60 kids away due to lack of gym availability, which
equates to about 1.0 percent of total participants. Providing a gymnasium with at least two
basketball courts will address roughly 50 percent of the current identified need within the City. If
funded, a City -owned facility would also be used for youth and adult volleyball leagues, adult
basketball, Grasshopper sports, summer camps and much more. Staff anticipates generating
rental revenue from AAU basketball teams, tournaments, and other uses as gym space in
Redding is at a premium. The facility will also include classroom space for exercise and special
interest classes.
As this is a new facility, there is no internal capacity to absorb the maintenance and operating
costs. The grant will not fund ongoing maintenance, nor fund a project without a long term
maintenance plan. Limited development opportunity makes the prospect of a new landscape
maintenance district (LMD) in the area unlikely, and there are no existing LMD's in the area into
which the park could potentially be absorbed with district member approval. For these reasons,
maintenance funding for the park would have to be appropriated internally. It is anticipated that
construction of the facility would begin in 2023. Operations and maintenance funding would
need to be budgeted for Fiscal Year 2023-2024.
As previously stated, the Lake Boulevard area has limited future development opportunities and
is unlikely to generate much in terms of park in -lieu fees. Though, the nearby Kennett Court
development, a recently approved affordable housing development, is currently under
construction with approximately 160+ new multifamily units expected in the next few years. The
project will generate park development funds that could be used for match, in addition to strong
trends in park development fees throughout the City. These new residences are in addition to the
1,650 residents currently living within the park service area (0.5 mile of the site).
At its September 9, 2020, meeting, the Community Services Advisory Commission unanimously
recommended that the Council approve the filing of the grant application. The application is due
December 14, 2020, and involves extensive community input as required by the grant program.
During the public engagement process, it is typical for residents to bring new ideas and concepts
to the table that will best fit the community's needs. The process requires at least five public
meetings to establish park needs and begin to develop the basic park feature selection and
conceptual placement. Staff has experience with this framework, having followed the same
guidelines during the planning phase for the Caldwell Park Expansion project. The process will
conform to current COVID-19 health guidelines. Potential meeting strategies include online
meetings, live and interactive broadcasts, socially distanced or independent site walks, and
online polling. The state is issuing guidance on public engagement and staff will incorporate
those strategies while meeting local guidelines to provide the best outcome for the current
circumstances.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING THE APPLICATION FOR STATEWIDE PARK
DEVELOPMENT AND COMMUNITY REVITALIZATION PROGRAM.
GRANT FUNDS
WHEREAS, the State Department of Parks and Recreation has been delegated the
responsibility by the Legislature of the State of California for the administration of the
Statewide Park Development and Community Revitalization Grant Program, setting up
necessary procedures governing the application; and
WHEREAS, said procedures established by the State Department of Parks and Recreation
require the Applicant to certify by resolution the approval of the application before submission
of said application to the State; and
WHEREAS, successful Applicants will enter into a contract with the State of California to
complete the Grant Scope project;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Redding
hereby approves the filing of an application for the Panorama Park Project; and
1. Certifies that said Applicant has or will have available, prior to commencement of any
work on the project included in this application, the sufficient funds to complete the
project if the grant is awarded; and
2. Certifies that if the project is awarded, the Applicant has or will have sufficient funds to
operate and maintain the project; and
3. Certifies that the Applicant has reviewed, understands, and agrees to the General
Provisions contained in the contract shown in the Grant Administration Guide; and
4. Delegates the authority to the City Manager to conduct all negotiations, sign and submit
all documents, including, but not limited to applications, agreements, amendments, and
payment requests, which may be necessary for the completion of the Grant Scope; and
5. Agrees to comply with all applicable federal, state and local laws, ordinances, rules,
regulations and guidelines; and
6. Will consider promoting inclusion per Public Resources Code § 80001(b)(8 A -G).

SUBJECT: 4.6(b) --Authorize Grant Application for Community Resilience Centers Program
for Panorama Park
Recommendation
Approve the City of Redding as an applicant for $10 million from the California Department of
Food and Agriculture Community Resilience Centers Program grant for the Panorama Park and
Community Center (Project); and authorize the City Manager, or designee, to execute all
documents necessary to apply for the grant.
Fiscal Impact
The grant application will request up to the program's maximum of $10 million to construct
Panorama Park and a community center. The grant does not require a match. However, the City
of Redding (City) has already secured $8.5 million from the Statewide Park Program and will
contribute $1.5 million from the Park Development Fund. The grant funds would supplement the
existing project budget. The emergency services functions will rely on existing programs and
operations by the City and its partners during Community Resiliency Center (CRC) events. With
award of the grant, the expansion of the project and associated services are not intended to place
an additional impact on the General Fund.
Alternative Action
The City Council (Council) could decline to apply for the funds under this grant opportunity or
provide staff with alternative direction.
Background/Analysis
The Panorama Park Project features a 10.5 -acre community park with a 20,000 -square -foot
community center. The project includes park amenities such as trails, landscaping, a playground,
a dog park, parking, and more. With the existing Statewide Park Program (SPP) grant and the
City's Park Development Fund allocation, the project has a $1.0 million budget. Due to the SPP
grant award ceiling ($8.5 million) and inflationary factors since the application submittal in

2020, the current construction budget is inadequate. To address the construction cost deficiency,
the Community Services Department identified a strategy to seek opportunities for additional.
funding by expanding the role of the community center. In this strategy, the community center
would serve a dual purpose as a CRC, allowing it to function during natural disasters, extreme
heat events, and other emergency or climate -related instances.
Staff is seeking to leverage existing project funding in the California Department of Food and
Agriculture (CDFA) Community Resilience Centers Program and elevate the design of the
community center by adding additional elements and capacity for both sustainability and
emergency operations. Elements of CRC infrastructure may include a heating and cooling area,
solar and backup power, clean air area, and extended emergency evacuation response centers
with community kitchen, shower facilities, broadband, and other community needs due to
wildfires, floods, and other emergencies or climate events. As seen in the Carr Fire, emergency
events can be dynamic, widespread and require multiple options and plans for emergency
centers. A successful CRC grant application will allow for the constructing a purpose-built
facility in the City's northwest quadrant, thereby increasing the geographic distribution and
availability of emergency shelter infrastructure.
For this grant program, the CDFA Fairs and Expositions Branch was issued a one-time General
Fund allocation of $150 million for fairground and community resilience centers. Of that
allocation, $38 million will be awarded to community centers throughout the state. The City's
application will request up to $10 million to supplement the project's current budget, for a total
project budget of $20 million. The application is due February 27. If awarded, staff will need to
amend the current design contract with NJA Architects to expand the project's scope and design
the additional square footage in the building.
Environmental Review
On June 22, 2021, the Planning Commission (Commission) adopted the Mitigated Negative
Declaration (MND) and the Mitigation Monitoring Programs (MMP) and approved the
Panorama Park Project, thereby satisfying the requirements of the California Environmental
Quality Act Guidelines §15074 (CEQA). At this meeting, the Commission also approved Site
Development Permit SDP -2021-00785, General Plan Amendment GPA -2021-0786, and
Rezoning Application RZ-2021-0787. No further actions are required at this time.

THIS CONTRACT is made at Redding, California, by and between the City of Redding ("City"),
a municipal corporation, and NJA Architecture ("Consultant") for the purpose of design and
engineering services for the Panorama Park Project.
WHEREAS, City does not have sufficient personnel to perform the services required herein
thereby necessitating this Contract for professional services.
NOW, THEREFORE, the Parties covenant and agree, for good consideration hereby
acknowledged, as follows:
SECTION 1. CONSULTANT SERVICES
Subject to the terms and conditions set forth in this Contract, Consultant shall provide to
City the services described in Exhibit A, attached and incorporated herein. Consultant shall
provide the services at the time, place and in the manner specified in Exhibit A.
SECTION 2. 'COMPENSATION AND REIMBURSEMENT OF COSTS
A. City shall pay Consultant for services rendered pursuant to this Contract, at the times
and in the manner set forth in Exhibit B, attached and incorporated herein, in a total
amount not to exceed nine hundred thirty-nine thousand four hundred dollars
($939,400). This sum includes all out-of-pocket travel, lodging and incidental
expenses incurred by Consultant that are reasonably associated with the provision of
services under this Contract. The payments specified herein shall be the only
payments to be made to Consultant for services rendered pursuant to this Contract.
B. Consultant shall submit monthly invoices to City for work completed to the date of
the invoice. All invoices shall be itemized to reflect the employees performing the
requested tasks, the billing rate for each employee and the hours worked.
C. All correct, complete and undisputed invoices sent by Consultant to City shall be paid
within thirty (30) calendar days of receipt,
D. Pursuant to Section 1781 of the Labor Code, Consultant is advised that some of the
work contemplated in Task 2, of Exhibit A in this contract is subject to the payment
of prevailing wages and all other requirements of the Prevailing Wage Law. The
prevailing wage of each job classification may be found by inquiry with the
California Department of Industrial Relations. Consultant shall comply with all laws
related to the performance of public work including, but not limited to, the

a
employment of apprentices pursuant to Section 1777.5 of the Labor Code, work
day/week hours and overtime rates pursuant to Sections 1813 and 1815 of the Labor
Code and the obligation set forth in Section 1774-1776 of the Labor Code in regards
to payment of prevailing wages and to provide the City of Redding and Department
of Industrial Relations certified payrolls when required. A certified copy of all payroll
records relative to this project shall be submitted to the City of Redding along with
the related invoice. Receipt of certified payroll records is a prerequisite to receiving
payment.
E. No Consultant or subconsultant may be listed on a bid proposal for a public works
project unless registered with the Department of Industrial Relations pursuant to
Labor Code Section 1725.5. No Consultant or subconsultant may be awarded a
contract for public work on a public works project unless registered with the
Department of Industrial Relations pursuant to Labor Code Section 1725.5. All
Consultants and subconsultants must furnish electronic certified payroll records to
the Labor Commissioner. This requirement applies to all public works projects,
whether new or ongoing. Consultant is further advised that the work contemplated
herein is subject to compliance monitoring and enforcement by the Department of
Industrial Relations.
SECTION 3. TERM AND TERMINATION
A. Consultant shall commence work on or about the date of this contract and complete
said work no later than January 31, 2025. Time is of the essence.
B. If Consultant fails to perform its duties to the satisfaction of City, or if consultant
fails to fulfill in a timely and professional manner its obligations under this Contract,
then City shall have the right to terminate this Contract effective immediately upon
City giving written notice thereof to Consultant.
C. Either Party may terminate this Contract without cause on thirty (30) calendar days'
written notice. Notwithstanding the preceding, if the term set forth in Section 3.A.
of this Contract exceeds ninety (90) calendar days in duration, Consultant's sole right
to terminate shall be limited to termination for cause.
D. Consultant hereby acknowledges and agrees that the obligation of City to pay under
this Contract is contingent upon the availability of City's funds which are
appropriated or allocated by the City Council. Should the funding for the project
and/or work set forth herein not be appropriated or allocated by the City Council,
City may terminate this Agreement by furnishing at least thirty (30) calendar days'
written notice of its intention to terminate. In the event of a termination pursuant to
this subdivision, Consultant shall not be entitled to a remedy of acceleration of
payments due over the term of this Agreement. The Parties acknowledge and agree
that the power to terminate described herein is required by Article 1. 6, Section 18, of
Consulting and Professional Services Agreement

the California Constitution, and that constitutional provision supersedes any law,
rule, regulation or statute which conflicts with the provisions of this Section.
E. In the event that City gives notice of termination, Consultant shall promptly provide
to City any and all finished and unfinished reports, data, studies, photographs, charts
or other work product prepared by Consultant pursuant to this Contract. City shall
have full ownership, including, but not limited to, intellectual property rights, and
control of all such finished and unfinished reports, data, studies, photographs, charts
or other work product.
F. In the event that City terminates the Contract, City shall pay Consultant the
reasonable value of services rendered by Consultant pursuant to this Contract;
provided, however, that City shall not in any manner be liable for lost profits which
might have been made by Consultant had Consultant completed the services required
by this Contract. Consultant shall, not later than ten (10) calendar days after
termination of this Contract by City, furnish to City such financial information as in
the judgment of the City's representative is necessary to determine the reasonable
value of the services rendered by Consultant.
G. In no event shall the termination or expiration of this Contract be construed as a
waiver of any right to seek remedies in law, equity or otherwise for a Party's failure
to perform each obligation required by this Contract.
SECTION 4. MISCELLANEOUS TERMS AND CONDITIONS OF CONTRACT
A. City shall make its facilities accessible to Consultant as required for Consultant's
performance of its services under this Contract, and, upon request of Consultant,
provide labor and safety equipment as required by Consultant for such access.
B. Pursuant to the City's business license ordinance, Consultant shall obtain a City
business license prior to commencing work.
C. Consultant represents and warrants to City that it has all licenses, permits,
qualifications and approvals of any nature whatsoever that are legally required for
Consultant to practice its profession. Consultant represents and warrants to City that
Consultant shall, at its sole cost and expense, keep in effect or obtain at all times
during the term of this Contract any licenses, permits and approvals that are legally
required for Consultant to practice its profession.
D. Consultant shall, during the entire term of this Contract, be construed to be an
independent contractor and nothing in this Contract is intended, nor shall it be
construed, to create an employer/employee relationship, association, joint venture
relationship, trust or partnership or to allow City to exercise discretion or control over
the professional manner in which Consultant performs under this Contract. Any and

all taxes imposed on Consultant's income, imposed or assessed by reason of this
Contract or its performance, including but not limited to sales or use taxes, shall be
paid by Consultant. Consultant shall be responsible for any taxes or penalties
assessed by reason of any claims that Consultant is an employee of City. Consultant
shall not be eligible for coverage under City's workers' compensation insurance plan,
benefits under the Public Employee Retirement System or be eligible for any other
City benefit.
E. No provision of this Contract is intended to, or shall be for the benefit of, or construed
to create rights in, or grant remedies to, any person or entity not a party hereto.
F. No portion of the work or services to be performed under this Contract shall be
assigned, transferred, conveyed or subcontracted without the prior written approval
of City. Consultant may use the services of independent contractors and
subcontractors to perform a portion of its obligations under this Contract with the
prior written approval of City. Independent contractors and subcontractors shall be
provided with a copy of this Contract and Consultant shall have an affirmative duty
to assure that said independent contractors and subcontractors comply with the same
and agree to be bound by its terms. Consultant shall be the responsible party with
respect to all actions of its independent contractors and subcontractors, and shall
obtain such insurance and indemnity provisions from its contractors and
subcontractors as City's Risk Manager shall determine to be necessary.
G. Consultant, at such times and in such form as City may require, shall furnish City
with such periodic reports as it may request pertaining to the work or services
undertaken pursuant to this Contract, the costs or obligations incurred or to be
incurred in connection therewith, and any other matters covered by this Contract.
H. Consultant shall maintain accounts and records, including personnel, property and
financial records, adequate to identify and account for all costs pertaining to this
Contract and such other records as may be deemed necessary by City to assure proper
accounting for all project funds. These records shall be made available for audit
purposes to state and federal authorities, or any authorized representative of City.
Consultant shall retain such records for three (3) years after the expiration of this
Contract, unless prior permission to destroy them is granted by City.
I. Consultant shall perform all services required pursuant to this Contract in the manner
and according to the standards observed by a competent practitioner of Consultant's
profession. All products of whatsoever nature which Consultant delivers to City
pursuant to this Contract shall be prepared in a professional manner and conform to
the standards of quality normally observed by a person practicing the profession of
Consultant and its agents, employees and subcontractors assigned to perform the
services contemplated by this Contract.

J. All completed reports and other data or documents, or computer media including
diskettes, and other materials provided or prepared by Consultant in accordance with
this Contract are the property of City, and may be used by City. City shall have all
intellectual property rights including, but not limited to, copyright and patent rights,
in said documents, computer media, and other materials provided by Consultant. City
shall release, defend, indemnify and hold harmless Consultant from all claims, costs,
expenses, damage or liability arising out of or resulting from City's use or
modification of any reports, data, documents, drawings, specifications or other work
product prepared by Consultant, except for use by City on those portions of the City's
project for which such items were prepared.
K. Consultant, including its employees, agents, and subconsultants, shall not maintain
or acquire any direct or indirect interest that conflicts with the performance of this
Contract. Consultant shall comply with all requirements of the Political Reform Act
(Government Code § 8100 et seq.) and other laws relating to conflicts of interest,
including the following: 1) Consultant shall not make or participate in a decision
made by City if it is reasonably foreseeable that the decision may have a material
effect on Consultant's economic interest, and 2) if required by the City Attorney,
Consultant shall file financial disclosure forms with the City Clerk.
SECTION 5. INSURANCE
A. Unless modified in writing by City's Risk Manager, Consultant shall maintain the
following noted insurance during the duration of the Contract:

B. Coverage shall be at least as broad as:
I Insurance Services Office form number CG -0001, Commercial General
Liability Insurance, in an amount not less than $ 1,000,000 per occurrence and
$2,000,000 general aggregate for bodily injury, personal injury and property
damage;
2. Insurance Services Office form number CA -0001 (Ed. 1/87), Comprehensive
Automobile Liability Insurance, which provides for total limits of not less
than $1,000,000 combined single limits per accident applicable to all owned,
non -owned and hired vehicles;

3. Statutory Workers' Compensation required by the Labor Code of the State of
California and Employers' Liability Insurance in an amount not less than
$1,000,000 per occurrence. Both the Workers' Compensation and
Employers' Liability policies shall contain the insurer's waiver of subrogation
in favor of City, its elected officials, officers, employees, agents and
volunteers;
4. Professional Liability (Errors and Omissions) Insurance, appropriate to
Consultant's profession, against loss due to error or omission or malpractice
in an amount not less than $1,000,000.
S. The City does not accept insurance certificates or endorsements with the
wording "but only in the event of a named insured's sole negligence" or any
other verbiage limiting the insured's insurance responsibility.
C. Any deductibles or self-insured retentions must be declared to and approved by City.
At the option of the City, either: the insurer shall reduce or eliminate such deductibles
or self-insured retentions as respects the City, its elected officials, officers,
employees, agents and volunteers; or the Consultant shall procure a bond
guaranteeing payment of losses and related investigations, claims administration and
defense expenses.
D. The General Liability shall contain or be endorsed to contain the following
provisions:
City, its elected officials, officers, employees, and agents are to be covered as
additional insured as respects liability arising out of work or operations
performed by or on behalf of Consultant; premises owned, leased or used by
Consultant; or automobiles owned, leased, hired or borrowed by Consultant.
The coverage shall contain no special limitations on the scope of protection
afforded to City, its elected officials, officers, employees, agents and
volunteers.
2. The insurance coverage of Consultant shall be primary insurance as respects
City, its elected officials, officers, employees, agents and volunteers. Any
insurance or self-insurance maintained by City, its elected officials, officers,
employees, agents and volunteers, shall be in excess of Consultant's
insurance and shall not contribute with it.
Coverage shall state that the insurance of Consultant shall apply separately to
each insured against whom claim is made or suit is brought, except with
respect to the limits of the insurer's liability.

4. Each insurance policy required by this Contract shall be endorsed to state that
coverage shall not be canceled except after thirty (30) calendar days' prior
written notice has been given to City. In addition, Consultant agrees that it
shall not reduce its coverage or limits on any such policy except after thirty
(30) calendar days' prior written notice has been given to City.
E. Insurance is to be placed with insurers with a current A.M.Best's rating of no less
than A -VII.
F. Consultant shall designate the City of Redding as a Certificate Holder of the
insurance. Consultant shall furnish City with certificates of insurance and original
endorsements effecting the coverages required by this clause. Certificates and
endorsements shall be furnished to: Risk Management Department, City of Redding,
777 Cypress Avenue, Redding, CA 96001. The certificates and endorsements for
each insurance policy are to be signed by a person authorized by the insurer to bind
coverage on its behalf. All endorsements are to be received and approved by the
City's Risk Manager prior to the commencement of contracted services. City may
withhold payments to Consultant if adequate certificates of insurance and
endorsements required have not been provided, or not been provided in a timely
manner.
G. The requirements as to the types and limits of insurance coverage to be maintained
by Consultant as required by Section 5 of this Contract, and any approval of said
insurance by City, are not intended to and will not in any manner limit or qualify the
liabilities and obligations otherwise assumed by Consultant pursuant to this Contract,
including, without limitation, provisions concerning indemnification.
H. If any policy of insurance required by this Section is a "claims made" policy, pursuant
to Code of Civil Procedure § 342 and Government Code § 945.6, Consultant shall
keep said insurance in effect for a period of eighteen (18) months after the termination
of this Contract.
1. If any damage, including death, personal injury or property damage, occurs in
connection with the performance of this Contract, Consultant shall immediately
notify City's Risk Manager by telephone at (530) 225-4068. No later than three (3)
calendar days after the event, Consultant shall submit a written report to City's Risk
Manager containing the following information, as applicable: 1) name and address of
injured or deceased person(s); 2) name and address of witnesses; 3) name and address
of Consultant's insurance company; and 4) a detailed description of the damage and
whether any City property was involved.

SECTION 6. INDEMNIFICATION AND HOLD HARMLESS
A. Consistent with California Civil Code § 2782.8, when the services to be provided
under this Contract are design professional services to be performed by a design
professional, as that term is defined Under Section 2782.8, Consultant shall, to the
fullest extent permitted by law, indemnify protect, defend and hold harmless, City,
its elected officials, officers, employees, and agents, and each and every one of them,
from and against all actions, damages, costs, liability, claims, losses, penalties and
expenses (including, but not limited to, reasonable attorney's fees of the City
Attorney or legal counsel retained by City, expert fees, litigation costs, and
investigation costs) of every type and description to which any or all of them may be
subjected by reason of, or resulting from, directly or indirectly, the negligence,
recklessness, or willful misconduct of Consultant, its officers, employees or agents
in the performance of professional services under this Contract, except when liability
arises due to the sole negligence, active negligence or misconduct of the City.
B. Other than in the performance of professional services by a design professional,
which is addressed solely by subdivision (A) of this Section, and to the fullest extent
permitted by law, Consultant shall indemnify protect, defend and hold harmless,
City, its elected officials, officers, employees, and agents, and each and every one of
them, from and against all actions, damages, costs, liability, claims, losses, penalties
and expenses (including, but not limited to, reasonable attorney's fees of the City
Attorney or legal counsel retained by City, expert fees, litigation costs, and
investigation costs) of every type and description to which any or all of them may be
subjected by reason of the performance of the services required under this Contract
by Consultant its officers, employees or agents in the performance of professional
services under this Contract, except when liability arises due to the sole negligence,
active negligence or misconduct of the City.
C. The Consultant's obligation to defend, indemnify and hold harmless shall not be
excused because of the Consultant's inability to evaluate liability. The Consultant
shall respond within thirty (30) calendar days to the tender of any claim for defense
and indemnity by the City, unless this time has been extended in writing by the City.
If the Consultant fails to accept or reject a tender of defense and indemnity in writing
delivered to City within thirty (30) calendar days, in addition to any other remedy
authorized by law, the City may withhold such funds the City reasonably considers
necessary for its defense and indemnity until disposition has been made of the claim
or until the Consultant accepts or rejects the tender of defense in writing delivered to
the City, whichever occurs first. This subdivision shall not be construed to excuse
the prompt and continued performance of the duties required of Consultant herein.
D. The obligation to indemnify, protect, defend, and hold harmless set forth in this
Section applies to all claims and liability regardless of whether any insurance policies

are applicable. The policy limits of said insurance policies do not act as a limitation
upon the amount of indemnification to be provided by Contractor.
E. City shall have the right to approve or disapprove the legal counsel retained by
Consultant pursuant to this Section to represent City's interests. City shall be
reimbursed for all costs and attorney's fees incurred by City in enforcing the
obligations set forth in this Section.
SECTION 7. CONTRACT INTERPRETATION, VENUE AND ATTORNEY FEES
A. This Contract shall be deemed to have been entered into in Redding, California. All
questions regarding the validity, interpretation or performance of any of its terms or
of any rights or obligations of the parties to this Contract shall be governed by
California law, If any claim, at law or otherwise, is made by either party to this
Contract, the prevailing party shall be entitled to its costs and reasonable attorneys'
fees.
B. This document, including all exhibits, contains the entire agreement between the
parties and supersedes whatever oral or written understanding each may have had
prior to the execution of this Contract. This Contract shall not be altered, amended
or modified except by a writing signed by City and Consultant. No verbal agreement
or conversation with any official, officer, agent or employee of City, either before,
during or after the execution of this Contract, shall affect or modify any of the terms
or conditions contained in this Contract, nor shall any such verbal agreement or
conversation entitle Consultant to any additional payment whatsoever under the
terms of this Contract.
C. No covenant or condition to be performed by Consultant under this Contract can be
waived except by the written consent of City. Forbearance or indulgence by City in
any regard whatsoever shall not constitute a waiver of the covenant or condition in
question. Until performance by Consultant of said covenant or condition is complete,
City shall be entitled to invoke any remedy available to City under this Contract or
by law or in equity despite said forbearance or indulgence.
D. If any portion of this Contract or the application thereof to any person or circumstance
shall be invalid or unenforceable to any extent, the remainder of this Contract shall
not be affected thereby and shall be enforced to the greatest extent permitted by law.
E. The headings in this Contract are inserted for convenience only and shall not
constitute a part hereof. A waiver of any party of any provision or a breach of this
Contract must be provided in writing, and shall not be construed as a waiver of any
other provision or any succeeding breach of the same or any other provisions herein.

F. Each Party hereto declares and represents that in entering into this Contract, it has
relied and is relying solely upon its own judgment, belief and knowledge of the
nature, extent, effect and consequence relating thereto. Each Party further declares
and represents that this Contract is made without reliance upon any statement or
representation not contained herein of any other Party or any representative, agent or
attorney of the other Party. The Parties agree that they are aware that they have the
right to be advised by counsel with respect to the negotiations, terms, and conditions
of this Contract and that the decision of whether or not to seek the advice of counsel
with respect to this Contract is a decision which is the sole responsibility of each of
the Parties. Accordingly, no party shall be deemed to have been. the drafter hereof,
and the principle of law set forth in Civil Code § 1654 that contracts are construed
against the drafter shall not apply.
G. Each of the Parties hereto hereby irrevocably waives any and all right to trial by jury
in any action, proceeding, claim or counterclaim, whether in contract or tort, at law
or in equity, arising out of or in any way related to this Agreement or the transactions
contemplated hereby. Each Party further waives any right to consolidate any action
which a jury trial has been waived with any other action in which a jury trial cannot
be or has not been waived.
H. In the event of a conflict between the term and conditions of the body of this Contract
and those of any exhibit or attachment hereto, the terms and conditions set forth in
the body of this Contract proper shall prevail. In the event of a conflict between the
terms and conditions of any two or more exhibits or attachments hereto, those
prepared by City shall prevail over those prepared by Consultant.
SECTION 8. SURVIVAL
The provisions set forth in Sections 3 through 7, inclusive, of this Contract shall survive
termination of the Contract.
A. Consultant shall comply with all applicable laws, ordinances and codes of federal,
state and local governments.
B. In the performance of this Contract, Consultant shall not discriminate against any
employee or applicant for employment because of race, color, ancestry, national
origin, religious creed, sex, sexual orientation, disability, age, marital status, political
affiliation, or membership or nonmembership in any organization. Consultant shall
take affirmative action to ensure applicants are employed and that employees are
treated during their employment without regard to their race, color, ancestry, national
origin, religious creed, sex, sexual orientation, disability, age, marital status, political
affiliation, or membership or nonmembership in any organization. Such actions shall

include, but not be limited to, the following: employment, upgrading, demotion or
transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or
other forms of compensation and selection for training.
SECTION 10. REPRESENTATIVES
A. City's representative for this Contract is Kimberly Niemer, telephone number (530)
225-4512, fax number (530) 225-4585. All of Consultant's questions pertaining to
this Contract shall be referred to the above-named person, or to the representative's
designee.
B. Consultant's representative for this Contract is Nick Seward, telephone number (209)
400-6080. All of City's questions pertaining to this Contract shall be referred to the
above-named person.
C. The representatives set forth herein shall have authority to give all notices required
herein.
SECTION 11. NOTICES
A. All notices, requests, demands and other communications hereunder shall be deemed
given only if in writing signed by an authorized representative of the sender (may be
other than the representatives referred to in Section 10) and delivered by facsimile,
with a hard copy mailed first class, postage prepaid; or when sent by a courier or an
express service guaranteeing overnight delivery to the receiving party, addressed to
the respective parties as follows:

B. Either party may change its address for the purposes of this paragraph by giving
written notice of such change to the other party in the manner provided in this Section.
C. Notice shall be deemed effective upon: 1) personal service; 2) two calendar days after
mailing or transmission by facsimile, whichever is earlier.

A. Each of the undersigned signatories hereby represents and warrants that they are
authorized to execute this Contract on behalf of the respective parties to this Contract;
that they have full right, power and lawful authority to undertake all obligations as
provided in this Contract; and that the execution, performance and delivery of this
Contract by said signatories has been fully authorized by all requisite actions on the
part of the respective parties to this Contract.
B. When the Mayor is signatory to this Contract, the City Manager and/or the
Department Director having direct responsibility for managing the services provided
herein shall have authority to execute any amendment to this Contract which does
not increase the amount of compensation allowable to Consultant or otherwise
substantially change the scope of the services provided herein.
C. Notwithstanding the preceding, the City Manager or his designee shall have the
authority to amend the scope of work and the compensation due to the consultant in
the amount not to exceed $94,000.

1. Approval
This Agreement is of no force or effect until signed by both parties. The Recipient may not invoice for
activities performed prior to the commencement date or completed after the termination date of this
Agreement.
2. Agreement Execution
Unless otherwise prohibited by state law, regulation, or Department or Recipient policy, the parties
agree that an electronic copy of a signed Agreement, or an electronically signed Agreement, has the
same force and legal effect as an Agreement executed with an original ink signature. The term
"electronic copy of a signed Agreement" refers to a transmission by facsimile, electronic mail, or other
electronic means of a copy of an original signed Agreement in a portable document format. The term
"electronically signed Agreement" means an Agreement that is executed by applying an electronic
signature using technology approved by all parties.
3. Assignment
This Agreement is not assignable by the Recipient, either in whole or in part, without the prior consent
of the CDFA Agreement Manager or designee in the form of a formal written amendment.
4. Governing Law
This Agreement is governed by and will be interpreted in accordance with all applicable State and
Federal laws.
5. State and Federal Law
It is the responsibility of the Recipient to know and understand which State, Federal, and local laws,
regulations, and ordinances are applicable to this Agreement and the Project, as described in
Exhibit A. The Recipient shall be responsible for observing and complying with all applicable State
and Federal laws and regulations. Failure to comply may constitute a material breach.
6. Recipient Commitments
The Recipient accepts and agrees to comply with all terms, provisions, conditions and commitments
of the Agreement, including all incorporated documents, and to fulfill all assurances, declarations,
representations, and statements made by the Recipient in the application, documents, amendments,
and communications in support of its request for funding.
7. Performance and Assurances
The Recipient agrees to faithfully and expeditiously perform or cause to be performed all Project work
as described in the Scope of Work, and to apply grant funds awarded in this Agreement only to
allowable Project costs.
8. Mutual Liability
Parties shall, to the extent allowed by law, each be individually liable for any and all claims, losses,
causes of action, judgments, damages, and expenses to the extent directly caused by their officers,
agents, or employees.
9. Unenforceable Provision
In the event that any provision of this Agreement is unenforceable or held to be unenforceable, the
parties agree that all other provisions of this Agreement shall remain operative and binding.
10. Contractors/Consultants
The Recipient, and the agents and employees of Recipient, in the performance of this Agreement,
are not officers, employees, or agents of the CDFA. The Recipient's obligation to pay its
Contractors/Consultants is an independent obligation from the CDFA's obligation to make payments
to the Recipient. Recipient agrees to comply with all applicable State and local laws and regulations
during the term of this Agreement. The Recipient is responsible to ensure that any/all
contractors/consultants it engages to carry out activities under this Agreement shall have the proper
licenses/certificates required in their respective disciplines. The Contractors/Consultants shall not
affect the Recipient's overall responsibility for the management of the project, and the Recipient shall
reserve sufficient rights and control to enable it to fulfill its responsibilities under this Agreement.
11. Non -Discrimination Clause
The Recipient agrees that during the performance of this Agreement, it will not discriminate, harass,
or allow harassment or discrimination against any employee or applicant for employment based on
race, religious creed, color, national origin, ancestry, physical disability, mental disability, medical
condition, genetic information, marital status, sex, gender, gender identity, gender expression, age,
sexual orientation, or military and veteran status. The Recipient agrees to require the same of all
contractors and consultants retained to carry out the activities under this Agreement.
The Recipient agrees that during the performance of this Agreement, the evaluation and treatment of
its employees and applicants for employment are free from discrimination and harassment. The
Recipient will comply with the provisions of the Fair Employment and Housing Act (Government Code
section 12990 et seq.) and the applicable regulations promulgated there under (California Code of
Regulations, Title 2, section 10000 et seq.). The applicable regulations of the Fair Employment and
Housing Council implementing Government Code section 12990 (a -f), set forth in Division 4.1 of Title
2 of the California Code of Regulations, are incorporated into this Agreement by reference and made
a part hereof as if set forth in full. The Recipient will give written notice of their obligations under this
clause to labor organizations with which they have a collective bargaining unit or other Agreement.
The Recipient must include the nondiscrimination and compliance provisions of this clause in all
subcontracts to perform work under this Agreement.
The Recipient agrees to require the same of all contractors and consultants retained to carry out
activities under this Agreement.
12. Excise Tax
The State of California is exempt from federal excise taxes and no payment will be made for any
taxes levied on employees' wages. The CDFA will pay for any applicable State of California or local
sales or use taxes on the services rendered or equipment or parts supplied pursuant to this
Agreement. California may pay any applicable sales and use tax imposed by another State.
13. Disputes
The Recipient must continue with the responsibilities under this Agreement during any dispute. In the
event of a dispute, the Recipient must file a "Notice of Dispute" with the CDFA Agreement Manager,
identified in Exhibit A, or designee within ten (10) calendar days of discovery of the problem. The
Notice of Dispute must contain the Agreement number. Within ten (10) calendar days of receipt of the
Notice of Dispute, the CDFA Agreement Manager or designee must meet with the Recipient for the
purpose of resolving the dispute. In the event of a dispute, the language contained within this
Agreement prevails.
14. Termination for Convenience
This Agreement may be terminated by either party upon written notice. Notice of termination must be
delivered to the other party at least thirty (30) calendar days prior to the intended date of termination.
Notice of termination does not nullify obligations already incurred prior to the date of termination. In
the event of Termination for Convenience of this Agreement by CDFA, CDFA must pay all responsible
costs and non -cancellable obligations incurred by the Recipient as of the date of termination.
15. Termination for Cause
Either party may terminate this Agreement for cause in the event of a material breach of this
Agreement, provided that the non -breaching party provides written notice of the material breach.
If the breach is not cured to the satisfaction of the non -breaching party, this Agreement shall
automatically terminate and the CDFA shall reimburse the Recipient for all documented costs incurred
up to the date of the notice of termination, including all non -cancellable obligations. Timelines
associated with notice and curing of material breaches shall be consistent with the timelines outlined
in paragraph 17.
16. Acceptable Failure to Perform
The Recipient shall not be liable for any failure to perform as required by this Agreement, to the extent
such failure to perform is caused by any of the following: labor disturbances or disputes of any kind,
accidents, the inability to obtain any required government approval to proceed, civil disorders, acts of
aggression, acts of God, energy or other conservation measures, failure of utilities, mechanical
breakdowns, materials shortages, disease, pandemics, or similar occurrences.
17. Breach
The parties may be in material breach under this Agreement if they fail to comply with any term of this
Agreement, or a party determines that the other party is not implementing the Project in accordance
with the provisions of this Agreement, or that a party has failed in any other respect to comply with
the provisions of this Agreement. In the event of a material breach, the party identifying the breach
shall provide a Notice of Material Breach to the breaching party within fifteen (15) calendar days upon
discovery of breach. The breaching party shall have fifteen (15) calendar days from receipt of the
notice to notify how it intends to cure the breach. Upon receipt of the proposed cure, the non -
breaching party has fifteen (15) days to accept or reject the proposed cure. Upon the non -breaching
party's approval of the cure, the breaching party has thirty (30) days to implement the cure. If the
breaching party fails to cure the breach within thirty (30) days of the non -breaching party's approval
of the cure, the non -breaching party may take the following respective actions:
A. CDFA may suspend payments;
B. CDFA may demand repayment of all funding;
C. Either party may terminate the Agreement
D. CDFA may debar Recipient; or
E. Either party may take any other action deemed necessary to recover costs.
The non -breaching party shall send a Notice of Failure to Cure Material Breach upon its decision to
carry out any of these actions. These actions are effective upon issuance of the Notice of Failure to
Cure Material Breach, unless the Recipient appeals a Notice of Failure to Cure Material Breach, in
which case the effective date falls on the issuance of a final decision on the appeal.
Where CDFA notifies the Recipient of its decision to demand repayment pursuant to this paragraph,
the funds that are subject to the demand shall be repaid immediately. CDFA may consider the
Recipient's refusal to repay the requested disbursed amount a material breach.
A Notification of Failure to Cure Material Breach may be appealed to CDFA. The appeal must be post
marked within ten (10) calendar days of the date the Recipient received the Notice of Failure to Cure
and addressed to the CDFA Legal Office of Hearing and Appeals or emailed to

All notices, communications, and appeals described in this paragraph must be received in writing to
be considered timely.
If CDFA notifies the Recipient of its decision to withhold the entire funding amount from the Recipient
pursuant to this paragraph, this Agreement shall terminate upon receipt of such notice by the
Recipient and CDFA shall no longer be required to provide funds under this Agreement and the
Agreement shall no longer be binding on either party.
18. Publicity and Acknowledgement
The Recipient agrees that it will acknowledge CDFA's support whenever projects funded, in whole or
in part, by this Agreement are publicized in any news media, brochures, publications, audiovisuals,
presentations or other types of promotional material and in accordance with the Grant Procedures
Manual if incorporated by reference and attachment to the Agreement. The Recipients may not use
the CDFA logo.
19. News Releases/Public Conferences
The Recipient agrees to notify the CDFA in writing at least two (2) business days before any news
releases or public conferences are initiated by the Recipient or its Contractors/Consultants regarding
the project described in the Attachments, Scope of Work and Budget and any project results.
20. Scope of Work and Budget Changes
Changes to the Scope of Work, Budget, or the Project term, must be requested in writing to CDFA
Grant Administrative Contact no less than thirty (30) days prior to the requested implementation date.
Any changes to the Scope of Work and Budget are subject to CDFA approval and, at its discretion,
CDFA may choose to accept or deny any changes. If accepted and after negotiations are concluded,
the agreed upon changes will be made and become part of this Agreement. CDFA will respond in
writing within ten (10) business days as to whether the proposed changes are accepted.
21. Reporting Requirements
The Recipient agrees to comply with all reporting requirements specified in Scope of Work and/or
Grant Procedures Manual if incorporated by reference to this Agreement as an attachment.
22. California State Auditor
This Agreement is subject to examination and audit by the California State Auditor for a period of
three (3) years after final payment under the Agreement.
23. Equipment
Purchase of equipment not included in the approved Budget requires prior approval. The Recipient
must comply with state requirements regarding the use, maintenance, disposition, and reporting of
equipment as contained in CCR, Title 3, Division 1, Chapter 5, sections 303, 311, 324.1 and 324.2.
24. Closeout
The Agreement will be closed out after the completion of the Project or project term, receipt and
approval of the final invoice and final report, and resolution of any performance or compliance issues.
25. Confidential and Public Records
The Recipient and CDFA understand that each party may come into possession of information and/or
data which may be deemed confidential or proprietary by the person or organization furnishing the
information or data. Such information or data may be subject to disclosure under the California Public
Records Act or the Public Contract Code. To the extent allowed by law, CDFA determines whether
the information is releasable. Each party agrees to maintain such information as confidential and
notify the other party of any requests for release of the information.
26. Amendments
Changes to funding amount or Agreement term require an amendment and must be requested in
writing to the CDFA Agreement Manager or designee no later than sixty (60) calendar days prior to
the requested implementation date. Amendments are subject to CDFA approval, and, at its discretion,
may choose to accept or deny these changes. No amendments are possible if the Agreement is
expired.
27. Grant Procedures Manual
The Recipient agrees to abide by all requirements and restrictions provided in the Grant Procedures
Manual incorporated with this Agreement as an attachment.
28. Executive Order N-6-22 Russia Sanctions
On March 4, 2022, Governor Gavin Newsom issued Executive Order N-6-22 (the EO) regarding
Economic Sanctions against Russia and Russian entities and individuals. "Economic Sanctions"
refers to sanctions imposed by the U.S. government in response to Russia's actions in Ukraine, as
well as any sanctions imposed under state law. The EO directs state agencies to terminate
agreements with, and to refrain from entering any new agreements with, individuals or entities that
are determined to be a target of Economic Sanctions. Accordingly, should the State determine
Recipient is a target of Economic Sanctions or is conducting prohibited transactions with sanctioned
individuals or entities, that shall be grounds for termination of this agreement. The State shall provide
Recipient advance written notice of such termination, allowing Recipient at least 30 calendar days to
provide a written response. Termination shall be at the sole discretion of the State.
EXHIBIT C

1. Invoicing and Payment
A. For activities satisfactorily rendered and performed according to the attached Scope of Work and
Budget, and upon receipt and approval of the invoices, CDFA agrees to reimburse the Recipient
for actual allowable expenditures incurred in accordance with the rates specified herein, which is
attached hereto and made a part of this Agreement.
B. Invoices must include the Agreement Number, performance period, type of activities performed in
accordance with this Agreement, and when applicable, a breakdown of the costs of parts and
materials, labor charges, and any other relevant information required to ensure proper invoices
are submitted for payment.
C. Unless stated in the Scope of Work and/or Grant Procedures Manual, if applicable, quarterly
invoices must be submitted to the CDFA Administrative Contact, within thirty (30) calendar days
after the end of each quarter in which activities under this Agreement were performed.
D. Unless stated in the Scope of Work and/or Grant Procedures Manual, if applicable, a final invoice
will be submitted for payment no more than thirty (30) calendar days following the expiration date
of this Agreement, or after project is complete, whichever comes first. The final invoice must be
clearly marked "Final Invoice" thus indicating that all payment obligations of the CDFA under this
Agreement have ceased and that no further payments are due or outstanding.
2. Allowable Expenses and Fiscal Documentation
A. The Recipient must maintain adequate documentation for expenditures of this Agreement to
permit the determination of the allowability of expenditures reimbursed by CDFA under this
Agreement. If CDFA cannot determine if expenditures are allowable under the terms of this
Agreement because records are nonexistent or inadequate according to Generally Accepted
Accounting Principles, CDFA may disallow the expenditures.
B. If mileage is a reimbursable expense, using a privately -owned vehicle will be at the standard
mileage rate established by the United States (U.S.) Internal Revenue Service (IRS) and in effect
at the time of travel. The standard mileage rate in effect at the time of travel can be found on IRS's
website regardless of funding source/type.
C. If domestic travel is a reimbursable expense, receipts must be maintained to support the claimed
expenditures. The maximum rates allowable for travel within California are those established by
the California Department of Human Resources (gall -IR). The maximum rates allowable for
domestic travel outside of California are those established by the United States General Services
Administration (GSA).
D. If foreign travel is a reimbursable expense, receipts must be maintained to support the claimed
expenditures. The maximum rates allowable are those established in a per diem supplement to
Section 925, Department of State Standardized Regulations.
E. The Recipient will maintain and have available, upon request by CDFA, all financial records and
documentation pertaining to this Agreement. These records and documentation will be kept for
three (3) years after completion of the Agreement period or until final resolution of any
performance/compliance review concerns or litigation claims.
3. Prompt Payment Clause
Payment will be made in accordance with, and within the time specified in, California Government
Code Title 1, Division 3.6, Part 3, Chapter 4.5, commencing with Section 927 - The California Prompt
Payment Act.
4. Budget Contingency Clause
If funding for any fiscal year is reduced or deleted for purposes of this program, the CDFA has the
option to either cancel this Agreement with no liability occurring to the CDFA or offer to amend the
Agreement to reflect the reduced amount.

Grant Award Amount: $9,250,000.00 - The Grant Agreement amount awarded to the
City of Redding by the Community Resilience Centers (CRC) Program is only a portion
of the total estimated project cost of $20,000,000.00. This CRC Program award will only
cover Panorama Park and Resiliency Center expenses associated with professional
services i• i anagement costs, until the project is in the construction phase.
The awarded funds will also be used towards the construction contract, construction
contingencies, and closeout tasks as listed in the Work Plan below. The remaining tasks
and activities will be paid for by matching funds obtained by the City of Redding, but
not required by the CRC Program.
BackgroundIPurpose: The Budget Act of 2021 included a one-time General Fund
allocation for the California Department of Food and Agriculture (CDFA) to support tht
development and enhancement of community resilience centers. This funding is
available to improve both local fairground and other community facilities to enhance
the state's emergency preparedness capabilities, particularly in response to climate
change. As part of this effort, CDFA created ie nce-f oc used infrastructure
programs: one focused on fairgrounds ($94.5 million), and the other focused on other
neighborhood -level Community Resilience Centers ($38 million). This program focuses
on the latter.
The purpose of the CRC Program is to support infrastructure for emergency evacuation,
shelter, base camps during emergency events, and critical deferred maintenance.
Elements for this infrastructure may include cooling and heating centers, clean air
centers, and extended emergency evacuation response centers, equipped with
community kitchens, shower facilities, broadband, backup power, and other
community needs during an emergency or climate events.
A secondary goal of the CRC Program is to equip facilities to provide long-term, year-
round community services and activities to enhance the community's resilience
through civic, social, educational, and economic development programming.
Proiect Goals: The goal of this project is for the City of Redding to build local resilienc-M
across California through community resilience facilities located in disadvantaged
areas and disadvantaged unincorporated communities such as those in nearby Butt
County, serving a total population of 275,766 residents. By fulfilling this critical need, t
City of Redding will take the first step in aligning with California's Statewide Climate
Adaptation Strategy and other efforts to foster local resilience. CDFA funds will
leverage already secured funding to create this new infrastructure for recreation,
training, community education, community -building events, evacuation shelter, and•
base of operation for aid groups during emergencies. Uses for the facility can includ
but are
not limited to operations as a cooling and heating center, a clean air center during firt
season, and function as an emergency response center equipped with a community
kitchen, shower facilities, broadband and backup power.
Proiect Scope: The City of Redding received $9.25 million to expand, elevate, and
enhance the current design and function of the building to become the Panorama
Park and Resiliency Center located at 950 Lake Boulevard, Redding, CA.
The awarded funds will be used towards the construction of the 22,100 square feet
resiliency center. The Panorama Park and Resiliency Center will include a 14,600 square
foot gymnasium and 7,500 square feet of recreation classroom spaces, restrooms,
storage areas, and a kitchen that is accessible from outdoors for times when indoor use
is not compatible with public health guidelines, such as in the case of pandemics. The
total project cost is $20 million; however, the amount funded through the CRC Program
will specifically cover a portion of the costs associated with the updates/revisions
necessary to the construction drawings and documents, the professional services during
the bidding process, the construction phase and closeout tasks the resiliency features
of the construction project. The remaining funds will be matched and have been
obtained through other state and city grant programs.
The Panorama Park and Resiliency Center will also include a playground, parking,
public plaza, multi -use sports field, dog park (with small and large dog areas that can
be utilized in emergency events), lighted walk trails, and more. They City of Redding has
already received $8.5 million through the Proposition 68 Statewide Park Development
Program and matched $1.5 million from the Park Development fund to provide the
existing budget of $10 million. The funding from the CRC Program will strictly be used of
the resiliency center portion of the project and will not be directed to the is
improvements or outdoor recreation areas.

Task 4.2 Participate with CDFA staff, for the verification process: a site visit to ensure
Performance Monitoring/Reporting: Recipients are required to submit quarterly reports
no later than 30 days after each reporting period ends. The progress report is used to
identify tasks and activities achieved as listed in the above Work Plan (including, but
not limited to progress on construction activities, permitting, licensing, and/or
agreement status, equipment purchased), potential concerns or delays, matching
funds expended to date, and any other pertinent information during the reporting
period.
In addition to a progress report, Recipients must submit reimbursement requests ane.
a
corresponding invoices to the CDFA Grant Manager for reimbursement of actual E
expenditures incurred to implement the CRC Program project. Reimbursement requests
and invoices must be submitted at least quarterly and must include all financial
supporting documentation to substantiate CRC Program expenses.
Invoices and financial supporting documentation submitted to the CDFA Grant
Manager will be reviewed for completeness ani• i DFA Grant Manager
will promptly notify the Recipient of any incompleteness or deficiencies, which appear
on the reimbursement requests. Once the incompleteness or deficiencies are
corrected, the CDFA Grant Manager will process the invoice for payment as long as
the accompanying quarterly progress report is deemed satisfactory. It may take 30 to
45 days from the date the invoice is approved for a payment check to be issued by tht
State Controller's Office.
CDFA will also perform site visits, at least two times within the term of the Agreement,
and as necessary. CDFA will organize regular conference calls, or in-person meetings
with the Recipient to discuss the progress of each step of the project, and/or any
project concerns.
Recipients must notify the CDFA Grant Manager in writing that the project
implementation is complete. Once CDFA is notified that projects are complete, the
Recipient will be contacted within 30 days to schedule a site visit to complete the
verification requirement. The purpose of the final verification is used to verify proper
completion of the project according to the approved SOW and to summarize project
accomplishments. In addition, the CDFA Grant Manger will take photographs to
document project completion. The Recipient or a documented authorized
representative must be present during the time of verification.
A Final Performance Report acknowledging the successful completion of the
community resilience center shall be provided to the CDFA Grant Manager no later
than 30 calendar days following the expiration of the Grant Agreement or after the
Final Verification is complete, whichever comes first. The Final Performance Report shall
be signed by the Recipient prior to submitting the Performance Report.
