A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING THE LETTER AGREEMENT DATED NOVEMBER 25, 1985
BETWEEN THE CITY OF REDDING AND KADISON, PFAELZER, WOODARD,
QUINN & ROSSI FOR LEGAL SERVICES.
BE IT RESOLVED by the City Council of the City of Redding as
follows:
1. The City Council of the City of Redding hereby approves
the letter agreement between the City of Redding and the firm of
Kadison, Pfaelzer, Woodard, Quinn & Rossi for legal services in
an amount not to exceed $20,000.00.
2. The City Manager of the City of Redding is hereby
authorized and directed to sign all necessary documents on behalf
of the City of Redding and the City Clerk is hereby authorized
and directed to attest the signature of the City Manager and to
impress the official seal of the City of Redding on the aforesaid
documents, when appropriate.
3. A true copy of the letter agreement referred to herein
is attached hereto and made a part hereof.
I HEREBY CERTIFY that the foregoing resolution was intro-
duced and read at a regular meeting of the City Council of the
City of Redding on the 16th day of December , 1985, and

Dear Rick:
This letter is in response to your inquiry about Kadison,
Pfaelzer, Woodard, Quinn & Rossi and, particularly, about the firm's
experience in litigating rate matters at the Federal Energy Regula-
tory Commission.
While Kadison, Pfaelzer is actively involved in all areas of
FERC practice, the firm's primary area of activity has been in rate
cases. This includes all types of rate matters that are subject to
the FERC's jurisdiction. The lawyers who handle these matters are
based in the firm's Washington, D.C. office. They are myself
(Norman A. Pedersen), Roger B. Coven, and Marvin T. Griff. Philip
J. Mause, a senior litigator, has, also, been extensively involved
in rate litigation at the FERC.
As for myself, I tried electric rate cases while I was a staff
attorney at the Federal Power Commission from 1975 to 1977. After
serving as an assistant to an FERC Commissioner from 1977 to 1979,
I joined Kadison, Pfaelzer, Woodard, Quinn & Rossi. Since then, I
have continued to be active in electric rate cases on behalf of a
number of clients. These include the Los Angeles Department of
Water and Power which, from time to time, has been involved in dis-
putes with Bonneville Power Administration regarding rates for non-
firm service.

Roger Coven tried rate cases - primarily in the gas area - at
the FERC prior to joining the firm in 1983. Since then, he has
worked exclusively on rate matters. Marvin Griff joined the firm
in the spring of this year. Since then, he has worked on a variety
of matters, including rate cases.
The senior attorney in the firm's Washington, D.C. office who
is active in trying rate cases at the FERC is Philip J. Mause. He
has represented the Wisconsin Public Service Commission since 1979
in both gas and electric cases. Phil has specialized in cases
involving the inclusion of nuclear_ power plant costs in rates. He
was involved in the Northern States Power case at the FERC regard-
ing allocation of costs of the Tyrone Nuclear Project. Phil was,
also, involved in the recent Wisconsin Electric Power Company case
regarding time -of -day pricing.
In addition to these attorneys in the Washington, D.C. office
of the firm, there are a number of attorneys in the firm's Califor-
nia offices who are, also, experienced in rate matters. From time
to time, they provide assistance to the Washington attorneys. How-
ever, the Washington attorneys are primarily responsible for FERC
matters. Resumes of the four Washington energy attorneys are
attached.
The firm is particularly experienced in analyzing and liti-
+;,, oma+ ,_,f servire_ rate design. and economic issues. However,
when special accounting, engineering, or economic expertise is
required, the firm retains highly qualified specialists who are
experienced in FERC matters to provide technical assistance.
Technical. specialists are also retained when needed to serve as
expert witnesses.
The following is a representative sample of clients to whom
the firm has provided services in the energy area in Washington:

Of course, the firm has had the pleasure of representing Redding
in hydroelectric licensing matters for approximately four years.
It may be helpful for you to have some more general background
about the firm. Kadlson, Pfaelzer has three offices: Los Angeles
(56 lawyers), Washington (14 lawyers), and Newport Beach (7 lawyers).
Kadison, Pfal.ezer is a "general service" law firm that offers a
full array of legal services. In addition to representing clients

in energy matters before the FERC, state agencies, and appellate
courts, the firm provides services in, for example, the following
areas: litigation, communications, labor, real estate, corporate,
bankruptcy, tax, estate planning, and probate. Energy law, com-
munications law, and litigation are the primary areas of emphasis
of the Washington, D.C. office.
The firm's litigators handle cases in such diverse areas as
antitrust law, securities, real property, administrative law, con-
tracts, business torts, intellectual property, and white collar
crime. The litigators handle matters both in California and across
the nation.
The communications practice involves primarily two categories
of clients: radio and television broadcasting stations and compa-
nies in the burgeoning field of radio common carriage. The firm
represents nearly 100 stations, a number of which are located in
California.
Kadison, Pfaelzer's labor lawyers represent employers in vir-
tually all aspects of their labor .and employee relations policies,
practices, and procedures.
In real estate, the firm represents a diverse clientele,
including California institutional lenders, developers, and major

The corporate practice of the firm is broadly based, encom-
passing the areas of general corporate, securities, banking and
antitrust law. The firm represents clients in matters involving
insolvency and bankruptcy. Also, the firm handles a wide variety
of tax, estate planning, and probate matters.
The size of the firm and the close working relationship between
the Washington, Los Angeles and Newport Beach offices provide the
firm with a breadth of legal expertise and a staff that enables it
to perform whatever legal tasks are assigned to it. It is the
policy of the firm to work closely with clients to tailor legal
services so that the client will be assured that the services will
fit the client's needs with precision.
I have, personally, taken great pleasure in having the oppor-
tunity to represent Redding in hydroelectric matters at the FERC.
I very much look forward to the opportunity of representing Redding
in the Pacific Gas and Electric Company rate case at the FERC.
As we discussed on the telephone, I propose that we budget
$20,000 for the initial phase of our involvement in that case.
During this initial phase, we would analyze Pacific Gas & Elec-
tric's rate filing and work closely with you to identify the
issues in whichwe should become primarily involved. Also, we
would determine: the areas in which consulting services are needed

and contact specialists to provide technical assistance and to
serve as expert witnesses. At that point, we would develop a
budget for the rate case, including anticipated technical con-
sulting costs.
We are sensitive to the needs of clients, and it is the firm's
policy to provide the highest quality of legal service at a realis-
tic cost. As you know, it is our practice to consult regularly
with clients about proceedings in which we are involved on their
behalf. We would keep you advised on a regular and continuous
basis about the progress of the PG&E proceedings at the FERC.
