Fiscal Impact Execution of the License Agreement will have no fiscal impact to the City of Redding (City). Alternatzve Action The City Council (Council} may choose not to approve the License Agreement and pravide alternate direction to staff. Backg�ound/AnaZysis On April 23, 1990, the City entered into an agreement with the United States of Ame�ica, Department of Energy, Western Area Power Administration (WAPA) and James G. Gianulias (Developer) (C-264) to allow the construction, reconstruction, operation and maintenance of street improvements (Mercedes Lane) and utility lines through a WAPA easement and under the Keswick-Cottonwood No. 230-kV transmission line for a period of 25 years. Mercedes Lane was subsequently constructed and is currently being maintained by the City. Staff has negotiated the subject License Agreement to renew the agreement with WAPA. WAPA is willing enter into a perpetual license agreement with the City if street improvements and uti]ities are maintained and operated in conformance with the original agreement. Future relocations, changes or upgrades will require additional concurrence with WAPA. The agreement has been approved as to form by the City Attorney. Environmental Review Staff has reviewed the action and determined that this action is categorically exempt from environmental review under the California Environmental Quality Act Guidelines, pursuant to Section 15301 - Existing Facilities. Right of way improvements are not proposed and the activity will result in no expansion of use. The property has no underlying value for sensitive environmental resources, and there will be no potential for significant effects on the environment. WITNESSETH: WAPA concurs that the renewal of a 25-year term License Agreement dated Apri123, 1990,to a perpetual License Agreement(FACILITY),proposed by the LICENSEE will not interfere with the operation and maintenance of the Keswick-Airport 230-kilovolt Transmission Line, if constructed in the manner and at the locations shown on Exhibits A and B, attached hereto and made a part hereof. In consideration of WAPA's concurrence, the LICENSEE agrees to the following: (a)This license does not grant any right,privilege, or interest in the land. The LICENSEE is responsible for obtaining any necessary land rights from the underlying landowner. (b) This license is only valid provided the FACILITY is constructed, operated and maintained in conformance with the plans specified above. Any relocations, changes, or upgrades require additional concurrence by WAPA. LICENSEE agrees to alter or relocate its FACILITY, at no cost to WAPA, to accommodate future modifications of WAPA's facilities, including but not limited to, upgrades of the transmission line. (c)Abide by and comply with all applicable Federal, State, and local laws and building and safety codes. (d) Indemnify and hold harmless WAPA, its employees, or agents, from any loss or damage and from any liability on account of personal injury, death, or property damage arising out of LICENSEE's, its agents, contractors, or subcontractors use of the land covered by this license agreement. (e)This license agreement shall be binding on the successors or assigns of LICENSEE and WAPA; however, it shall not be assigned by LICENSEE without prior written consent of WAPA; provided that LICENSEE shall be entitled to assign this AGREEMENT to party controlling, controlled by or under cornmon control with LICENSEE upon advanced written notice to WAPA. (�Move or remove any objects interfering with maintenance activities, caused by LICENSEE'S operations, as requested by WAPA. WAPA is not liable for any darnage caused to the FACILITY when patrolling or performing maintenance on the transmission line. (g) Trees or vegetation within the easement shall not exceed twelve(12) feet in height at maturity. (h)Light standards shall not exceed fifteen(15) feet in height(including base and pole). In addition, do not place light standards directly under the transmission line conductors (wires) and make field adjustments as necessary. (i)No ternporary or permanent above ground structures shall be placed within WAPA's easement. (j) In order to rnaintain adequate support and access to WAPA's structures and foundations, LICENSEE shall maintain a rninimum offset radius of thirty(30) feet from the center of each tower. (k) Do not appreciably change the character of existing topography. (1) Any metal monument signs, fences and gates shall be grounded in accordance with applicable safety codes. LICENSEE's grounded items shall not be bonded to WAPA's towers or tower grounding systern. IN WITNESS HEREOF,the LICENSEE and WAPA have signed this agreement the day and year first written above. The LICENSEE agrees: (a) That the work performed under this License Agreement shall be satisfactory to the UNITED STATES; (b) That the License granted shall be held and exercised subject to the rights of the UNITED STATES, and its assigns, to utilize the land covered by the License for the construction, reconstruction, operation and maintenance of the UNITED STATES LINE; (c) That the FACILITY will be constructed, reconstructed, operated, and maintained without cost to the UNITED STATES, or its assigns� in such a manner as to not interfere with the operation or maintenance of the UNITED STATES LINE, and in compliance with the most recent standards of the National Electric Safety Code, National Bureau of Standards, Department of Labor (OSHA) , and Department of Energy, Western Area Power Administration. (d) To relocate or alter the facility at no cost to the UNITED STATES, in the event the UNITED STATES determines that the FACILITY interferes with the rights of the UNITED STATES; (e) To be liable for any damage to personnel or property of the UNITED STATES, or of third parties which may result from the exercise of the privileges herein conferred, and that any extraordinary maintenance costs incurred by the UNITED STATES which result from the exercise of the privileges conferred by this License shall be borne by the LICENSEE; (f) To hold the UNITED STATES harmless from all claims of every character arising out of or in connection with the construction, reconstruction, operation, or maintenance of the FACILITY and agrees to release the UNITED STATES from all claims for damage to the FACILITY which may hereafter result from the construction, reconstruction, operation, or maintenance of the UNITED STATES LINE; however, this shall not be construed to include negligence or wrongful acts of the UNITED STATES, its agents, or assigns; (g) To notify the UNITED STATES at least 10 days prior to ' corrmencing installation of the FACILITY to permit inspection by the UNITED STATES; ' (h) That any and all expense for inspections by the UNITED STATES required in connection with LICENSEE operations under the terms hereof, shall ' be promptly paid to the billing party by the LICENSEE upon receipt of such ' itemized expense; (i) To abide by all applicable Federal, State, and local laws and regulations pertaining to pollution control and environmental protection. The LICENSEE agrees to notify the UNITED STATES when the LICENSEE has no further need for the FACILITY; thereupon, this agreement will be terminated, but in any event, will expire 25 years from the date hereof. All rights granted to the LICENSEE under this agreement may be cancelled, at the option of the UNITED STATES, upon failure by the LICENSEE to comply with the terms and conditions herein. Written notice of intended cancellation shall be given to the LICENSEE. The LICENSEE shall have thirty (days) from receipt of notice to make appropriate corrections which, if deemed satisfactory by the UNITED STATES will cause the cancellation notice to be rescinded. The LICENSEE shall either remove the facility within thirty (30) days after cancellation, termination, or expiration, or the LICENSEE forfeits all right, title, and interest in the FACILITY. 4. It is understood that the issuance of this license on the part of the UNITED STATES for the stated purposes herein does not create an additional burden on the UNITED S�TATES right-of-way easement and the license does not attempt to give the LICENSEE any right, privilege or interest in the land, and the purpose for the issuance of this license is to evidence the fact that the UNITED STATES will not object to the crossing of its right-of-way easement by the LICENSEE, provided certain standards of construction, as aforesaid, are maintained by the LICENSEE in crossing the UNITED STATES transmission line. 5. This License Agreement shall inure to the benefit of and be binding upon the heirs, executors, personal representatives, administrators, and successors of the LICENSEE, and the assigns of the UNITED STATES; however, it shall not be assigned or otherwise transferred by the LICENSEE without the written consent of the UNITED STATES. fi. No member of or delegate to Congress or resident commissioner shall be admitted to any share or part of this agreement or to any benefits that may arise herefrom, but this restriction shall not be construed to extend to this agreement if made with a corporation or company for its general benefi t.
