WHEREAS, the City of Redding annexed the unincorporated areas comprising the Electrical Annexation #2 on the following dates : 1 . Quartz Hill Road No. 3 February 6 , 1978 2 . 77-1 March 31 , 1977 3 . 77-2 March 31 , 1977 4 . 77-8 August 23 , 1977 5. 78-8 July 11 , 1979 6 . 79-3 August 6 , 1979 7 . 79-5 March 12 , 1980 8 . 79-10 October 25 , 1979 9 . 79-11 March 12 , 1980 10. 79-13 October 19 , 1979 11. 79-16 September 22 , 1980 12 . 80-1 August 13 , 1980 13 . 80-4 October 17 , 1980 14 . 80-9 December 18 , 1980 and such annexations were certified on the dates above written by the Secretary of State of the State of California , and N N C • • WHEREAS, Pacific Gas and Electric Company owns and operates an electric distribution system which serves electricity to approximately 102 customers within the aforesaid annexed areas , together with certain street lighting facilities located therein , and WHEREAS, the City has the power of eminent domain to acquire by condemnation these facilities from Pacific Gas and Electric company, and WHEREAS , in order to avoid a condemnation suit and to compromise possible litigation, Pacific Gas and Electric Company has expressed its willingness to sell the electric distribution and street lighting facilities within the annexed areas to the City of Redding as inventoried effective April 16 , 1981 , for the sum of $191 , 245 . 00 , and for an additional sum of $31 , 802 . 00 for severance costs , and in accordance with the terms and conditions of the purchase and sale agreement attached hereto , marked Exhi- bit "A" and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Redding as follows : 1 . That the above recitals are true and correct. 2 . That the City Council does hereby approve the purchase of the electric distribution and street lighting facilities from Pacific Gas and Electric Company for the sum of $191 , 245 . 00 , and severance costs in the sum of $31 , 802 . 00 , in accordance with the terms and conditions as set forth in Exhibit "A" attached hereto. 3 . That this approval in no way shall be construed to III III constitute an acceptance by the City Council of the City of Redding of any principles of valuation used by the Pacific Gas and Electric Company in arriving at the compromise valuation offered to the City in the aforesaid proposed purchase and sale agreement. 4 . That the Mayor be and hereby is authorized to execute said agreement for and on behalf of the City of Redding . PGandE is willing to sell its electric distribution and street lighting facilities within the annexed area to City under the following terms and conditions: 1 : • NOW, THEREFORE, IT IS MUTALLY AGREED AS FOLLOWS: 1 . PGandE shall sell to City and City shall purchase from PGandE, PGandE's electric distribution and street lighting facilities (Facilities) , loca- ted in the annexed areas. The location of the Facilities is shown on the map attached and made a part hereof as Exhibit "A" (Drawings C-3092, Sheets 1 and 2) . 2. The Facilities are to be sold, as is. PGandE does not warrant the condition of the Facilities. PGandE also does not warrant that adequate land rights cover all the Facilities. In the absence of such land rights , City shall assume any and all liability in connection therewith. PGandE shall assign in whole or in part all private grants of rights-of-way and easements for the Facilities concurrently with the delivery of the deed or deeds for the Facilities described in Sections 5 and 6 hereof. 3. City shall pay to PGandE as the purchase price for the inventoried Facilities , as of April 16, 1981 , the sum of $191 ,245. In addition, City shall pay to PGandE its severance costs of $31 ,802. Further, City shall pay to PGandE (1 ) the net value, as determined in accordance with PGandE's standard accounting practice, of any additions to and retirements from the Facilities that may be made by PGandE subsequent to April 16, 1981 , and prior to the conveyance of the Facilities to City, and (2) 15% of such net value and (3) any severance costs that may be involved because of the installation of said additions to and retire- ments from the Facilities. PGandE shall deliver to City the deed provided in Section 5 and 6 concurrently with the payment by City of the purchase price. 4. The current ad valorem taxes for the tax year in which the Facilities and any additions and betterments are conveyed shall be prorated as of the date of conveyance. City shall pay to PGandE on demand such part thereof as is attributable to the portion of the tax year from and after delivery of the deed of conveyance hereunder. PGandE shall supply City with a retention of the tax bill 1 received from the County of Shasta and any supporting documentation supplied by the State Board of Equalization. 2: 5. PGandE shall execute and deliver to City a deed or deeds conveying Facilities (a copy of which is attached as Exhibit "B") and any additions and betterments to City within the time set by order of the California Public Utilities Commission (Commission) , authorizing this agreement. 6. Upon execution and delivery by PGandE of the deed or deeds, City shall assume all public utility obligations of PGandE to provide electric ser- vice to approximately 102 customers in the area now supplied from the Facilities and any other customers added by PGandE prior to the delivery of the deed or deeds. 7. City is hereby advised that some or all of the Facilities sold under this agreement contain polychlorinated biphenyls (PCBs) , a hazardous mate- rial . City warrants that any and all of such facilities that contain PCBs is being purchased for its own use, and not for resale. City warrants that, in the event that it ever sells such facilities , it will disclose, in writing, to all potential buyers, that said facilities contain PCBs. City shall obtain and comply with all permits necessary for the purchase, transportation, use, handling, treat- ment, storage and/or disposal of the Facilities , whether as a result of the PCB content or otherwise. City shall comply with all applicable federal , state and local laws , standards, rules and ordinances, including, but not limited to: 15 USC, Section 2601 et seq; the Code of Federal Regulations , Title 40, Paragraph 761 et seq; the California Health and Safety Code, Section 25, 100 et seq and the California Administrative Code Title 22, Section 66 ,000 et seq. 8. After conveyance of the Facilities, City shall indemnify PGandE, its officers, agents and employees, against all loss, damage, expense and lia- bility resulting from injury to or death of person, including, but not limited to, employees of PGandE or City, or injury to property, including, but not limited to, property of PGandE or City, arising out of or in any way connected 3: with City's ownership, operation and maintenance of the Facilities subsequent to the transfer of title to the Facilities, excepting only such injury or death as may be caused by the sole negligence or willful misconduct of PGandE, its officers, agents or employees. City shall pay costs that may be incurred by PGandE in enforcing this indemnity provision, including reasonable attorneys • fees. City further agrees that any loss, damage, expense, and liability that arises out of or is in any way connected with the hazardous properties of the PCBs contained in the Facilities is expressly within the scope of this indemnity. 9. Any action by City arising out of or in any way connected with the sale contemplated by this Agreement, whether sounding in tort, contract, strict liability or otherwise, must be commenced within two years after the cause of action therefor has accrued. 10. This writing is intended by the parties hereto as the final and complete expression of their agreement concerning the sale of the Facilities described herein and there are no warranties, terms or conditions not otherwise stated herein. 11 . No agent, employee or representative of PGandE has any authority to bind PGandE to any affirmation, representation or warranty concerning the Facilities sold under this agreement, and unless an affirmation, representation or warranty made by an agent, employee, or representative is specifically included within this Agreement, it has not formed a part of the basis of this bargain and shall not in any way be binding on PGandE or otherwise enforceable. 12. This agreement can be modified only by a writing signed by both • • parties. 13. This agreement and interpretation of the terms hereof shall be governed in all respects by the laws of the State of California. 4: 14. For and in consideration of the receipt of the Facilities, City hereby releases and forever discharges PGandE, of and from any and all claims, demands, actions or causes of actions, known or unknown, including all injuries, deaths and property damage arising from incidents which occur subsequent to the transfer of title to the Facilities resulting from or in any way connected with the hazardous properties of the PCBs contained in the Facilities. 15. This agreement shall not become effective until the Commission shall , by its order, authorize PGandE to carry out its terms and conditions. Dated: , 1982. " The Facilities are more particularly described in the attached list marked Exhibit "B. " The Facilities are used to served approximately 102 electric customers within City's corporate limits. This Bill of Sale does not cover additions or betterments, if any, made to Facilities by PGandE after April 16, 1981 , and is limited to the Facilities fully described in Exhibit "B. " Additions and betterments , if any, will be covered by a Supplemental Bill of Sale to be delivered to City concurrently with the payment by City to PGandE of the price thereof as determined under the agree- ment between City and PGandE dated , relating to the purchase and sale of the Facilities. This Bill of Sale is executed pursuant to authorization contained in the order of the California Public Utilities Commission in its Decision No. and is subject to all the terms and conditions of the agreement between City and PGandE dated DATED: , 1982.
