SUBJECT: 9.2(a)--Appropriate Encampment Resolution Funding (ERF) 3-L Award
Recommendation
Authorize and approve the following actions:
(1) Adopt Resolution approving and adopting the 23rd Amendment to City Budget
Resolution No. 2023-060 appropriating $8,354,960 of Encampment Resolution Funding
Lookback Disbursement Round 3 (ERF-3-L) funds and adding a full-time, Housing
Specialist UII position to the Housing Division;
(2) Authorize the City Manager to negotiate a Development Funding Agreement with the
Good News Rescue Mission for maintenance improvements in an amount not to exceed
$500,000;
(3) Direct staff to prepare a reques� for proposals for eligible scope of work items as
identified on the attached Grant Expenditure Summary which includes housing case
managers; interim housing/motel room partnerships; day resource center purchase; and
day resource center director and case manager; and prioritize the release of each request
for proposal; and
(4) Determine that allocating grant funding is not considered a project under the California
Environmental Quality Act.
Fiscal Impact
The Encampment Resolutian Lookback Disbursement Funding (ERF-3-L) provides $8,354,955
in grant funds to the City of Redding (City) as detailed in the California Department General
Services — Business, Consumer Services and Housing Agency (BCSH) Standard Agreement.
Administration and activity delivery eosts of $473,455 wi11 assist in funding associated staff
contract administration costs and an additional staff person. There is no impact to the General
Fund, and the ERF-3-L grant does not require matching funds.

Alternative Action
The City Council (Council) could choose not to give staff direction to prepare Request for
Proposals (RFPs) and staff would work within the Standard Agreement and funding guidelines to
implement the ERF-3-L funds. Or, Council could provide alternate direction to staff. If Council
redirects funds within categories or changes a category, ERF-3-L funds may be lost or reduced
by the BCSI-I�.
Ba ckgro u n d/f1 n alysis
On February 21, 2023, Council authorized and approved Housing Division staff to submit a grant
application through the BCSH for the ERF-3-L Program. The City's initial application was
denied. However, staff revised the application with a focus on a cohesive project that provided
support services to specific encampments connected to a day resource center and was awarded
$8,354,955 in ERF-3-L grant funds.
On September 21, 2023, a Standard Agreement detailing the budget, scope of work, and terms
and conditions of the funding was executed. The ERF-3-L grant's intent is to provide outreach,
supportive services and connection to shelter for those living in the Linden/Mercy Canyon,
Progress/Technology Way Encampments (Encampments) or the Good News Rescue Mission
area.
As proposed in the grant application, the City's primary means of providing outreach and
services is through the Crisis Intervention Response Team (CIRT) officers, coupled with housing
case manager services. The case managers will assist CIRT in their efforts and provide more
intensive services by connecting unsheltered persons to shelter and housing options along with
other community resources such as employment options, public benefits, medical or dental care
or drug and alcohol abuse rehabilitation. In addition, the grant will fund sanitation support for the
encampments and case managers with housing placement support assistance that includes:
deposits, application fees, and furnishings for no more than 50 people.
ERF-3-L funding also specifically provides for maintenance improvements to the Good News
Rescue Mission (GNRM). These maintenance needs include a new roof, kitchen upgrade and
remodel, laundry and privacy screening improvements, if the budget allows. The City Manager
and staff will work with the GNRM to determine the full scope of the maintenance
improvements and will negotiate a development funding agreement to set forth the terms and
conditions of the grant funding and GNRM project.
Lastly, the ERF-3-L award includes funding for specific categories that include: interim
housing/motel room partnerships; day resource center purchase and rehabilitation; and a day
resource center director and case manager to support the center for the first three years of
operation. At the Council's discretion, each one of these categories can be the subject of a
request for proposal that can be drafted by staff and reviewed and approved by the Council
and/or the City Manager—ERF-3-L funding allows either path for selection.
Over the last year, the City has strived to provide leadership surrounding the unsheltered crisis in
our community. As such, staff has diligiently competed for grants to help the community assist
this vulnerable population, but with more grants, comes more workload and responsibility. The
Housing Division's goal is to continue its level of service to the community while also providing

succession planning for three possible staff retirements within the next two years. As such,
additional staff is needed to support the I�ousing Division's projects, programs, and goals. Staff
requests the addition of one, full-time Housing Specialist position to assist with the day-to-day
administration of the Encampment grant award. With the addition of this position, the Housing
Division will have 20 positions, consisting of 19.5 full-time and one 1/z time employees.
Environmental Review
This is not a project as defined under California Environmental Quality Act, and no further
action is required. A National Environmental Policy Act review is not necessary as these are
State of California and not Federal funds.

1) AuthoritV
The State ot Califiornia has estabiished the Encampment Resolution Funding
Program ("ERF" or"Program"} pursuant to �hapter 7 (cc�mmencing with Sectson
50250) of Part 1 of Division 3� 4f the Health and Safety Cc�de. Amended by SB 197
(Statutes of 2022, Chapter 70, S�c.3-8, efFective June 3q, 2Q22).
The Program is administered by the Caiifarnia �nteragency Goun�il or�
Namelessness ("Cal ICN") in the Business, Consumer 5ervices and Nousing
Ager�cy ("Agency„). ERF pravides one-time, competitive grant funds to Ce�ntinuums
of Gar� and l or Local Jurisdictions as defined below. Ta date, there have been twa
preuio�s rounds of the Encampment R�s�lutiar� Fur�ding Program. This Standard
Agreernent governs tt�e Lc�okback C�isbursemenfi in Round 3 of the ERF Program
{"ERF=3-L"}. F�r this Standard Agreemer�t, ER�-3-L is synonymous with "ERF" oc
"Prc�gram,,,,' and refiers to programs and grantees under Health and �afety Code
section 50252.1(b).
This Standard A�reement along with all its exhibits ("Agreement°'} is entered into by
Cal ICH and a Ccrntinuum af Care or a L�cal JurisdictiQn �"Grante�99) under the
authority of, and in furtherance of, the purpose of the Program. In signing this
Agr�emenf and thereby accepting fihis award �f funds, the Grantee agrees to comply
with th�terms and conditions of this Agreement, the Notice c�f Funding Availability
("IVt�FA") under which the Grante� applied, th� representatior�s cont�ined in
the Grantee's appiication, Cal ICH guidance or directives; and the requirements
appearing in the sfia#utory authority fc�r the Prc�gram cited aberve.
2) Purpose
As stated in the NC}FA, the Program's objective is tc� fund actionable, person-
centered Ic�cal propo�als that resolve the experience of ur�sheltered home(essness
for people residing in encampments: Resc�lving these experiences of homelessness
will necessarily address the safety and wellness af people wifhir� encampments,
r�solve critical encampment c�ncerns, and transition individuals into interim shelter
with clear pathways tc� permanent housin� or directiy into permanent housing, using
data informed, non-punitive, low-barrier, person-cent�red; Housing First, and
c�ardinated approaches: These projects must comply with the principles af Housing
First as define� in Welfare and insfitutions Cc�de Section 8255. Proposals may
bolster existing, successful models andlor support new appro�ches tha# provide safe

stable, and uitimately permanent housing for p�opie experiencing homelessness in
�ncampments, Expenditures shali be con�istent with the legisiafiive intent ot the
authorizing statute #a ensure fihe safety and wellness of people experiencing
homelessness in encampments.
3) Definitions
Th� fallowing Encampmer�t Res�lution F'unding Program terms are defined in
accordance with Health ar�d Safety Code Section 50250, Subdivisior�s (a�—(I)�
(a) "Additional funding round mc�neys" means moneys apprapriated far the prc�gram in
ar after fiscai year 2022-23.
(b) "Agertcy" means t�e Busir�ess, Gons�umer Services, and Housing Agency:
(c) "Applicant" means a cantinuum c�f care or local jurisdictic�n
(d) "Continuum c�f Care" has the same meaning as in Section 578.3 of Title 24 of the
Code af Federal Regulati�ns,
(e) "Council" means fhe California lnteragency Council on Homelessness, previous[y
known as the Homeless Co�rdinafing and Financing Cc�ur�cil created purst�ant to
Section 8�57 ot th� We[fare and [nstitutions Code.
(fi� "County» includes, but is not iimited tc�, a cifiy and eounty.
(g) "Funding raund 1 mc�neys" means moneys appropriated fiar the program in fiscal
year 202�-22.
(h) "Homeless" F�as the same meaning as in Section 578.3 of Title 24 of the C�de of
Federal Regulations.
(i) "Local Jurisdiction" m�ans a city, including a charter city, a cc►unty, including a
charter caunty, c�r a city and county, inc[uding a charter city and county.
(j} °`Program" m�ans the Er�campment Resoiution Funding program established
pursuant to this chapfer.
(k) "Recipient" means an applicanfi that receiues grant funds from the cc�uncil for the
�urpe�ses of fhe program.
{I) "State right-af-way" means reai property held in title by th� �#ate of Galifornia

`°Subrecipients" or "Subgrantees"are entities that receive subawards from
"Recipients" or "Granfees" to earry out part af the Program.
"Expended" means all ERF funds obligated under cantract or subcon�ract that have
been fully paid and receipted, and no invoices remain outstandir�g.
"Ubligate" means that the Grantee has placed c�rders, awarded contracts, received
services, c�r�ntered int�a similar transac#ions fl�at require payment using ERF
funding. Grante�s must obligate the funds by the sta#utory deadlines set forth in this
Exhibit A:
"Ca! ICH" is synonymous with "Councif".
4) Scope of ork
This Scope of Work identifies the terms and conditions necessary to accamplish the
Prc�gram's intended objectives;
As detailed in Exhibit A,2, the Proc�ram's t�bjective is tc� fund grantees to implement
actionable, p�rsor�-cer�tered local pr�,posals that resa(ve th� experience Qf
unsheltered homelessness for pec�ple res�ding in encampments.
Grantees wiil implement their ERF funded local prapasals in compliance with the
terms and conditions of this Agreement, the NCJFA under which the Grantee applied,
the representatic�ns c�nfained in the Grar�tee's application, Cal iGH guidar�ce and
directives, and the requirements per the authorizing statute.
Expenditures shali be c�nsistent with the I�gislative intent of the authorizing statute
tc� en�ure th� safety and wellness of peopl� experiencing h�melessness in
encampments. Permissible eligible uses and activities are detailed belc�w in Exhibit
B, Budget Deta�ls and Dis�ursement Prr�visions. Prior tca fully executing this
agreement; Grantees must standardize th�ir budget using a CaI ICH provided
budget template.
Grantees are expecfied to be close partners with Cal ICH. This means timely and
accurate reporting, candid cQmmunicati�n of successes and challenges, and
availability of persons, infarmation, or materials.

Grantees shall complete a Final Work Producf(As detailed belaw in Exhibit A.6.d.}
and participate in a prc�gram evaluation regarding their implemer�tafian of ERF
awards. Tc� suppart this effart, Cai 1CH will make Technical Assistance available.
Gal ICH maintains sole authority tQ determine if a Crantee is �cting in cc�mpliance
with the program objectives and may direct Grantees to take specified actiQns or risk
breach c�f this Agreement. Grantees will be provided reasonable notice ar�d
Cal ICH's dis�retion in making these determinations ar� absalute and final.
5} Cal IGH Contract Coordinatar

6} Effective Date, T�rm of Aqreement and Deadlines
a) This Agreement is effect�v� upon execution by Cal iCH, which includes signature
from the Grantee and Cal ICN. This �s indicated by th� Cal ICH provided
signatur� and date on the second page of the a�companying STD. ��3, Standard
Agreement.
b) Performance shal! start no later than 30 days, ar on the express date set by Gal
ICN and the Grantees, after al( approvals have been �btained and the Grant

agreed upon time, Gal ICN, upon five (5) days written notice to the grantee,
reserves the right to terminate the Agreement.

subsequently submitted standardized budgets.
a) Budget Changes
i) Process:
Budget modifi�afion requests should be made as part of the quarterly report
process. These requests will b� reviewed in the first week after quarterly
reports are received. Cal ICH may cansider budget char�ge requests outsid�
of this prcacess, through email as needed due to documented, exigent
circumstances. Grantees carry the burden to anticipate fareseeable budget
change requests and should plan aceordingly.

Changes may be made to the timir�g (e.g., fiscal year) c�f eligible use
expenditures withc�ut prior apprc►val by Cal iCH so long as the tc�tal
expenditures (actua! and projected) for each eligibl� use category remain the
same as appraved ir� fhe standardized budget:
Any decrease or increase to#he total �xpenditures for any eSigible use
category must be apprc�ved by Cal ICH's Grant Qevelapment Section Chief or
their d�signee; in writi�g, before th� Grantee may expend Program �unds
aceo�ding to an alternative standardized budget. The Grant Develc�pment
S�ction Chief will respond to Grantee w►th apprc�val ar der�ial �f
request. Failure to obtain written approval from Cal 1CH as required by this

1) Terminatiar� �nd Suff�ciencv Qf Funds
a) Termir�atson ofi Agreemer�t
Cal ICH may terminate this Agreement �t any time fior cause by giving a .
minimum c�f 14 days' natice of fermination, in writing, to the Grante�. Cause shall
consist of vioiations af any conditians of this Agreement, any breach of contraet
as described in paraqraph 6 of this Exhibit D; viofation of any federal
or state laws, or withdrawal of Cal ICH's �xpencfiture autharity. Upan terminati�an
af this,�greement, unless atherwise apprc�ved in writing by Cal IGH, any
unexpended funds received �y fhe Grantee shall be returned to Cal ICH
within 30 days af Cal ICH°s specified date o�termination:
b) Sufficiency of Funds
This Agreement is valid and enfarceable onlp if s�fficient funds are mad�
available to Cal ICH by legislafiVe appropriatic�n. In addition, this Agreement is
subject to any additiona! re�tricti�ns, limitat�ons or canditions, or statutes,
regulations or any other laws, whether federal c►r fihose Of fhe State of�afifornia,
oc c�f ar�y agency, department, c�r any political subdiuisian of tf�e federal or State
of Cafifc�rnia governments, which may affect the provisions, terms c�r funding of
this Agreement in any manner.
2) Transf�rs

4) Reportinq, Evaluation, and Audits
a) R�pc�rfiir�g Requrrements

Grantee is required fo prouide Gal ICH or its agents with all data and
autcc►m�s that may infQrm an ass�ssment c�f the funded proposal. Grantees
shall repork quarterly and have ane Final W�rk Prc�duct submitted prior ta
this Agr�ement's terminatic�n.
The quarterly repc�rks shall be submitted an a templafie ta be prc�vided by Cal
iCH at least 90 days prior t� the first reparting deadline. Cal ICH may
request interim reprarts as needed and wil! provide no less than �0 days'
n�t�ce to Grantees.
ii: Required Data
Grantees will be required to provide.
• Outreach and service path data at the anonymiz�d, ind€vidua! level;
• �urrent housing status of perst�ns served in the aggregate;
� Status �f funding as presented in the Ca1 ICH apprav�d, standardized
budget; and
« Continued confirmat�on that prerjects receiving ERF funds are populated
t�m�ly intc� HMIS and us� Cal ICH suppJied funding codes,
CaI ICH's discretion in identifying which information shall be included in
these reports is finai. Grantees shali also report information in the fc�rm and
manner required by Cal ICH. Failure to camply will be considered a breach.
Pursuant ta HSC Section 50254, grantees shall provide data e3ements,
including, b�t not limited tc�, health information, in a manner cansistent with
state and federal law,to their local Hom�less Management Informati�n
System fc�r tracking in the statewide Nomeiess L7ata Integration Sys#em.
Pursuant to NSG Secti+an 50�54{b)(3), Grantees shall report individual,

portion af the amount authorized by this Agreement with a 14-day written
nat[ficatian.
b} Evaluation
i. At Cal ICH's discretion, Grantees shall participate in a prc�gram evaluation
regarding their implementation of ERF awards: To support this effc�rt, Gal
ICH wilC c�ntract a third party to camplete the evalua#ian.
ii. Grantees are expecfied to be close partners with Ca! ICN far this pr�gram
eval�ation and for all evaluafiive aspects of this Program. Th�s means timeiy
and accurate reporting, candid cammunicati+�n of success c�r challeng�s,
and availability c�f persans, infc�rm�tian, or materials, More specifically,
Grantees must cooperat� with Cal ICH or its designee as r�asonabiy
requir�d to implement an evaluafion plan. This� includes providing ar
facilitating the eallection of data and materials as reasonabfy requested by
Ca1 IGH or its designee.
iii: For the purpose af evaluatior�, Cai ICH or its designee may visit sites related
tcr the project and film, tape, phatograph, interview, ar�d otherwise dacument
Grantee's operafiions during nc�cmal business h�urs and with reasanable

advance nc�tice; Cal ICH will comply with Grantee's site visit terms during
any site visifs.

interr�al work pr�ducts that guided impiemenfation by the Grantee or
subgrantee.
v. Grantees sha11 notify Cal ICH and prc�vide copies of any repc�rts or findings if
Grantee conducts or cc�mmissions any third-party research or e�al�atic�n
regarding fiheir fiunded pr�ject.
vi. All terms and canditions that appfy to reporting similar[y apply tc� evaluation.
c) Auditing
* Ca! ICH reserves th� right tc� perForm c�r cause to be perFarmed a financial
audit. At Cal ICH request, the Grantee sha(I provide, at'its own expense, a
financial audit prepared by a c�rtified public accountant. Should an audit
be required, the Grantee shall adhere ta the follc�wing conditions;
i) The audit shall b� perfarmed b}! an independent certified public accc�untant'.
ii) The Grantee shail notify CaI ICN af the audit�r°s name and address
immediately after the selection has been made, The contract far the audit
shall allow a�cess by Cal 1CH to the independent auditor°s working papers.
iii) The Grantee is resp�nsible fc�r the completion of audits ar�d all costs af
prep�ring audits.
iv} If there are audit findings, the Grantee must submit a detailed response
acceptable to Cal iCH far each audit fiinding within 90 days from the date �f
the audit finding report.
5) Inspection and Retentian of Recards
a) Recard Inspection
Cal ICH ar its designee shail have the right to review, obtain, and capy a�l
records and supparting documentation pertaining to p�rFarmance under#his
Agreement. The Grantee agrees to provide Cal ICH, or its designe�, with any
relevant inf�rmation requested. The Gr�ntee agrees to give Cal ICH or its
designee access to its premises, upon reasonable notice and during normal
business hours, for the purpose of interviewing �mployees who m�ght reasQnably
haue inform��won related to such records, and af inspecting and copying such

bc�oks, reeards, accounts, and other materia[s that may be relevant to
an inves#igation of compliance with the ERF laws; Cal iCH guidance or
directiv�s, �nd this Agreement.
b) Record Retenfiian
The Grantee further agrees ta retain all recards described in subparagraph A for
a minimum p�riod of five(5)years after th� termination of this A�reemenf.
If any litigation, claim, negotiatior�, audit, monitoring, inspection, ar c�ther action
has been commenced befiore the expiratian of the required record _retention
per�od, all records must be retained untii �ompletion of the�ction ar�d resalution
of all issues which arise from it.
c) Public F�ecords Act
The grantees' application, this contract, and'other documents r�lated to the grant
are considered publ�c records, which are available for public viewing pursuanfi to
fhe Califorr�ia Public Recc�rds pct.
6} Breach and Remedies
a) Breach of Agreement
Br�ach of th�s Agreement includes, but is not limited to, the following events°
i. Grante�'s failure tc� comply with the terms or cc�nditions of this Agreement.
ii. Use of, ar permitting the use of, Prragram funds prc�vided under this
Agreement for any ir�eiigible activities;
iii. Any failure#c� comply with the deadlines set forth in this Agreement.
b) Remedies for Breach af Agreement
ln addition to any other remedies that may be available to Cal ICH in lawor
equity for breach of this Agreement, Cal ICH may, in a form and manner
determined by Gal ICN:
i. Conduct a pragram monitc►ring which will in�lt�de a corrective action plan
(CAP) w�th fir�dings, remedies, and t�melines far resolving the fiindings.
ii': Bar the Grantee fram applying far future ERF funds;

vii. Seek, in a cc�urt af competent jurisdictian, an order for specific perFormanee
c�f the defiaulted Qbligation ar participation in the technicaB assi�tance �n
accordance with ERF requiremer�ts.
c) All remedies avaiiable to Cal ICH are cum�lative and not exclusive.
d) Cal ICH may give written notice to the Grantee to cure the breach or
violation with�n a peric�d af not less than 14 days:

or subsequent breach, The failure of Caf 1CH to enforce at any fime the pravisions of
fhis Agreement, c�r ta require at any time, perFormance by the Grantee of these
provisians, shall in no way be construed to be a waiver c�f such provisions nor to
affect the validity of this Agreement or the right of Cal ICH to enforce
these provis�ons.
8) Nondiscriminatian
During the performance of this Agr�ement, Grantee and its subrecipients shall nat
unlawfully discriminate; hara�s, or allow harassmenf against any employe� or
applicant for emplayment because of sex(gender), sexual orientation; gender
identity, gender expression, race, color, ancestry, religion, creed, national arigin
(including language use res#riction), �regnar�cy, physical disability (including HIV and
AiDS}, m�ntal disability, medical candition (cancer/genetic characteristics), age
{over 40}, genetic infc�rmation, marital status, rr�ilitary and veteran status, denial af
med�cal and family care leave or pregnancy disability I��ve, or any other
characteristic protected by state or�edera[law. Grantees and S�b grantees shall
ensure #hat the evaluatior� and tre�tmenf �f their employe�s and applicants far
employment are free fr�m such discriminatian and harassment. Grantee �nd
its subrecipients shall comply with the prcavisions of California's laws ag�inst
discriminatory practic�s relating tt� specific groups: fhe California Fair Employment

9) Cc�nflict of Interest
All Grantees are subject to sta�e and federal conflict c�f interest laws. Faifure to
complywith these I�ws, inclt�ding busin�ss and financial disclosure prc�visions, will
result in the applicatiQn being rej�cted and any subsequ�nt contract being declared
vcaid. Ctther i�gal action may alsc� be taken. Additional applicable statutes include,
but are not limited ta, Government Code Section 1090 and Pub(i� Cantract Gode
Sections 'I 0410 and 1(741'I.
a) Current State Employees. Nc� State officer or employee shall engage in any
employment, activity, c�r enterprise fir�m which the officer c�r employee receives
compensation or has a financial infierest, and which is sponsored or funded by
any State agency, unless the employment, activity, or er�terprise is required as a
car�dition of re�ular State employment. No State �ff�cer or employe� shall
contract on his c�r her own behalf�s an independent Grant�e wifh any St�te
agency to provide goads or services.
b} Fc�rmer State Employees: Fc�r t�e tw�-year period fram the date he or she left
Stafe employment, r�o former State c�fficer or employee may enter into a cantract
in which he or she engaged ir� any of the negt�tiatEons, transactians; planning,
arrangements, or any part of the decisian-making prc�cess �elevant fo the
contract while �mployed in any capacity by any State agency. Fc�r#he fiwelve-
month period from the date he or she left State �mployment, nc� farmer State
QffiGer c�r employee may enter into a contract with any State agency if he or she
was emplcryed by that State agency in a policy-making positic�n in the same
general su�ject area as the propased contract within the twelve-month peri�d
prior to his or her leaving �tate service.

For any Coritracf Agreemer�t in exces� of$100,000, the Grantee acknowl�dges in
accord�nce with Public Gontract Gode 7'110, that:
a) The Grante� recognizes the importance of child and family suppart abligations
and shall fiully c�mply with all applicable state and federal laws relating to child
and family support er�farcement, including, but not limited to, dis�lasure ofi

12) �pecial Cond�tions —Grantees/Subqrantee
The Grantee agrees to cumply with all conditions of this Agreement including
the Special Cc�ndifiic�ns set forEh �n Exhibit E. These conditie�ns sl�all be met tc� the
satisfaction of Cal ICN pric�r#o disbursement c�f funds: The Grantee shall ensure that
all Subgrantees are made aware of and agree to cc�mply v��th all the cor�ditions of
this Agreement and the appiicable State requirem�nts governing the use of ERF.
Failure to cc�mply with thes� ccanditions may result in termination af this Agreement.
a) Th�Agreement betw�en th'e Grantee and any Subgrantee shali require
the Grantee and its S�bgrantees, if any, t�:
i. PerForm the work in accordance with Federal, State and Loeal hausir�g and
building codes, as applicable.
ii: M�intasn at I��st the minimum State-required worker's compensation for
thc�se employees who will perFc�rm the work c�r any part c►f it.
iii. Maintain, as required by law, unemplayment insurance, disabili#y insurance,
and lsability insurance €r� an amount that is reasonable �o compensate any
person, fiirm c�r corp�ration who may be injured or�amaged by the Grant�e ar
any Sabgrantee in performing the Work ar any part of it.
iv. Agree to inciude and enfc�rce a!I the terms of this Agreement in each
subcontract.
'13) Compliance with State and Federal Laws* Rules, Guidelines and Rec�ulatsons
The Granfee �grees to c�mply with all state and federal faws, rules and regulations
that perkain ta constructi�n, health and safety, labar, fair emplayment practrces,
environmental protection, �qual appartunity, fair h�using, and all other matters
appliGable and/or related tQ the ERF program, the Grantee, its su�r�cipients, and ali
eligible activities.
Grantee shal! also be responsibl� for obtaining any and al[ permits, licenses, and
approvals required for performing any activities under this Agreement, including

'I�� Inspectians
a) Grantee shall inspect any wc�rk performed hereunder to ensure that the wark is
being ar�d has been perFormed fn accordance with the applicable federal, state
ar�d/ar l�cal r�qurrements, and thisAgre�ment.
b) Cal ICH reserves the righf to in�pect any work perform�d hereunder, including
site visits, to ensure that the work is being and has been perFarm�d in
accardance with the applicable federal, state and/or local re�uirements, and this
Agreem�nt.
c) Grantee agrees to require that all wark that is determined based on such
inspectic�ns nc�t to conform to fhe applicable requirements be corr�cte� and to
withhold payments to the subrecipient until it is corrected.
15) Liti�ation
a) If any pravis�on af th'is Agreement, or'an underiying obligation, is held invalid by
a courk of campetent jurisdiction, such invalidity, at th� sole discretion caf Ca!
iCN, shall not affect any other provisions �f this Agreement and the rem�inder of
fhis A�reement shall remain in full force and effect. Th�refore, the pravisi�ns of
this Agreement are and shali be deemed severable.
b) The Grantee shall notify�al !GN immediately of any claim ar action underkaken'
by or againsf'it, which afFects or may affect this Agreement orCa! ICH, and sha1E
take such action with respect to the claim or actian as is cons�stent with �he

1) All proceeds from any interest-bearing account established by the Grantee far the

2) Grantee shall utiiize its local Nc�meless Managemen� lnfc�rmation System (HMIS} to
track ERF projects, services, �nd clients served. Grantee will ensure that HMIS data
are collected in accordance with applicable laws and in such a way as to �dentify
individual projects, services, and clients that are supported by
funding (e:g., by creating apprapriate - ERF specifiic funding sources and prc�ject
codes in HNf1S).
3} Gran#ee shall participate in and pravide data elemer�ts, including, but not limited tc�,
health information; in a manner cansi�tent with federal law, ta the sfiatewide
Homeless Management InfiormatiQn System {knawn as th�Homeless Data
int�gration System or"HDIS"}, in accordance with their existing Data Use
Agreement entered into with the Council, if any, and as requir�d by Heaith and
Safety�ode Section 50254. Any health informatior� provided to, or maint�ined
withir�, the stafiewide H�meless IVlanagement 1nfr�rmation System shall not be
subject to public inspectican c��disclosure under the Galifc�rnia Public Records Act
(Chapter 3.5 (cc�mmencing with �ection 625�) of Divis�Qn 7 of Title 1 of the
Government Code). For purpases �f this paragraph, "health information" means
"prc�tected health information," as defined in Part 16�.°103 of Title 45 af#he Cc�de af
Federal Regulatians, and "medical informatio�," as defined in subdiuision (jJ of
Sectit�n 56.Q5 ofi the Civif Code. The Ct�unci! may, as required by operationa!
necessity, amend c�r modify required data elements, disclosure formats, or
disclasure freguency. Additionally, the Council, at its discretian, may prc�vide
Grantee with aggregate rep�rts and analytics of the data Grantee submits t� H�IS in
