The initial term of the contract is two years, with three consecutive one- year renewals, through June 30, 2028, unless either party gives 30-day written notice not to renew; (2) Adopt Resolution approving and adopting the 7�' Amendment to City Budget Resol�ution No. 2023-060 appropriating $350,000 for Recyclable Material Sorting Services for Fiscal Year 2023-24; and (3) Find the action categorically exempt from review under the California Environmental Quality Act Guidelines, pursuant to Section 15301 —Existing Facilities. Fiscal Impact The Siskiyou Opportunity Center (SOC) proposal is significantly more expensive than the contract with Shasta County which was expected as Shasta County Opportunity Center (SCOC) closed, in part, because of financial sustainability. The contract with Shasta County was approximately $600,000 annually. Based on conversations with Shasta County and Far Northern Regional Center, the charges from Shasta County were extremely low and did not cover the basic operating expenses. The annual cost of this Personal Services Agreement (Agreement) is $1,239,031. Annual renewals may remain the same, or be increased or decreased in direct proportion to the change in the San Francisco-Oakland Consumer Price Index for all urban consumers and potential minimum wage increases mandated by the state. In Fiscal Year 2023-24, the Solid Waste Utility budgeted $930,000 for sorting services and a portion of that has been used to cover sorting costs Report to Redding City Council August 8,2023 Re: 4.11(d)--Approve Contract for Recyclabte Material Sorting Services to Siskyou Opportunity Center Page 2 during this interim period. The attached budget resolution will provide the remaining funds needed for the current fiscal year. Alternative Action The City Council may choose: (1) not to approve the Agreement with the SOC. The City of Redding (City) would need to replace the sorting crew with new City employees with higher wages and full benefit obligations; and/or (2) choose not to approve the Agreement and ship a11 recyclable material to an out of area facility for sorting and recycling. This action would increase the cost of the recycling operation, including transport costs and eliminate the revenue generated from selling the recycled material. It would also eliminate the employment opportunities provided to individuals with disabilities in our local community. Background/Analysis In 1992, the City established its curbside recycling program in order to meet state mandates for diversion. The City has utilized personnel from Opportunity Center Organizations as sorters at the Material Recovery Facility (MRF) to process recyclables from the City's curbside recycling program since its inception. The design of the MRF requires a combination of manual and mechanical sorting. Recyclables are sorted by type (i.e. cardboard, mixed paper, glass, plastic bottles and jugs, tin, aluminum, etc.) and contaminants are removed so that the materials can meet market specifications and allow the City to obtain the best possible prices for these commodities. The SOC sorting crew consists of 18 sorters and four work instructors who work Monday through Friday from 8:30 a.m. to 4:00 p.m. Since the crew works the same weekly schedule as the Solid Waste collection drivers, they are required to work the Saturdays that follow after holidays observed by the City. From 1992 until May of 2023, sorting services were provided by contracting with the SCOC. On February 28, 2023, the Shasta County's Board of Supervisors voted unanimously to close the SCOC on June 30, 2023. The SCOC subseguently informed the City they would halt sorting services as of May 26, 2023, terminating the City's agreement seven months prematurely. With the short notice provided, staff worked with Far Northern Regional Center staff who contacted other providers to solicit bids for the recyclables sorting services contract. The SOC was the sole entity to show interest — subsequently a temporary agreement with SOC was executed by the City Manager in order to continue operations of the MRF and negotiate a more permanent agreement. For over 50 years, SOC has provided a wide range of vocational training, independent living skills, and access to the community. SOC is an independent, not-far-profit separate from the County of Siskiyou. Recently, the SOC earned accreditation by the Commission on the Accreditation of Rehabilitation Facilities. Achieving accreditation requires a service provider to commit to quality improvement, focus on the unique needs of each person the provider serves, and monitor the results of services. The SOC has experience in providing similar sorting services and has provided the service for the City on a temporary basis since May 29, 2023. They currently provide recycling and janitorial services at schools, rest stops, and Siskiyou County facilities and have recently begun providing contraeted janitorial serviees for the City. Report to Redding City Council August 8,2023 Re: 4.11(d)--Approve Contract for Recyclabte Material Sorting Services to Siskyou Opportunity Center Page 3 Environmental Review Staff has determined that approval of the Service Agreement is categorically exempt from review under the California Environmental Quality Act Guidelines, pursuant to Section 15301. Class 1 exemptions include the operation, repair, maintenance, permitting, leasing, licensing, or minor alteration of existing facilities, structures, or topographical features involving negligible or no expansion of use. The Siskiyou Opportunity Center will provide recyclable material sorting services at the existing recycling facility, and the Service Agreement wi11 allow for continuation of an existing operational activity. The action wi11 not result in expansion of use. The property has no underlying value for sensitive environmental resources, and the activity has no potential to have a significant effect on the environment. DeWALT, City Attorney DocuSign EnvelopeiD:42620866-998F-4643-9C10-59227A02FA97 PERSONAL SERVICES AGREEMENT BETWEEN THE SISKIYOU OPPORTUNITY CENTER AND CITY OF REDDING FOR RECYCLABLE MATERIAL SORTING SERVICES This agreement is made by and between the Siskiyou Opportunity Center (SOC) and the City of Redding (City), a municipal corporation, (collectively, the "Parties" and individually a "Party"), for the purpose of providing recyclable material sorting services (Services) to the City of Redding. It has been deterinined the City does not have sufficient personnel to perform the services required herein thereby necessitating this agreement for personal services and pursuant to the State of California Welfare and Institutions Code §19404, bidciing is unnecessary because the services acquired herein provide employment opportunities for people with disabilities. SECTION l. DEFINITIONS Work Crew (Crew) means a group consisting of 18 SOC participants (Participant/s) and four work instructors (Instructor) Other Work Duties consist of removal of containination froin sorted recycling, picking up trash, and additional cleaning of Material Recovery Facility while equipment repairs are made andlor when all recyclables have been processed. Working �Iours are Monday through Friday, from 8:30 a.m. to 4 p.m. with %2 hour for lunch; start time inay be adjusted based on seasons, however a workday will not exceed seven(7)hours. SECTION 2. OPPORTUNITY CENTER RESFONSIBILITIES Pursuant to the terins and conditions of this agreement,the SOC shall; A. Provide Crew to perform Other Work Duties and Services: 1. At each of the Material Recovery Faeility's nineteen stations and when staffing levels are reduced,City staff and SOC staff will work together to decide the stations to bc attended; 2. During Working Hours,with the exception of holidays observed by the City of Redding and on Saturdays, as outlined in Exhibit A, attached and incorporated herein; B. Provide Instructors to: l. Demonstrate work techniques to Participants; 2. Supervise Partieipants to ensure Other Work Duties and Services are eompleted satisfactorily and safely; 3. Personal protective equipment (PPE) including, but not limited to, safety glasses/goggles, face shields, eax plugs, hard hats, and gloves in accordance with Cal/OSHA Regulations Title 8, §8414 Personal Protective Equipment. The OC has full responsibility for lost and/or damaged PPE, unless the loss andlor damage was due to the sole negligence of the City. D. Maintain an Injury and Illness Prevention Program in accordance with CaUOSHA Regulations, Title 8, §3203. E. Meet quaxterly,or as needed,with City to discuss agreement performance,scheduling,and any other agreement related topics.Meetings will be scheduled at a mutually agreed upon date and time and held at a location provided by City. F. Assume all payroll, workers' �campensation coverage, and liability costs for Crew. SECTION 3. CITY RESPONSIBILITIES Pursuant to the terms and conditions of this agreement, City shall provide: A. Upon commencement of this agreement initial orientation and training to the Crew regaxding the daily work scbedule and instructions on how to perform tbe Services. All training and orientation provided pursuant to this provision shall be provided in accordance with Section 12 of this agreement. B. On-going guidance to Instructors as to any specific d�uties that fall within the realm of the OC Responsibilities. A11 guidance provided pursuant to this provision shall be provided in accordance with Section 12 of this agreement. C. Feedback on the Crew's work performance on an"as needed" basis, as determined by City, as well as at the quarterly meetings delineated in Section 2.E. All feedback provided pursuant to this provision shall be provided in accordance with Section 12 of this agreement. D. Facilities and equipment that are mai.ntained in a safe and operational condition. E. A sbeltered work area with: 1. Protection for Crew from inclement weather; 2. Fans and evaporative coolers; 3. Standing pads; 4. Fire extinguishers and First Aid kits; and 5. Storage for PPE. F. Portable toilets with sinks located immediately adjacent to the general work area, stocked with: 1. Air conditioned and heated break room space, with tables and chairs, that provides the following: 1. Access to vending machines and free ice; and 2. A sink with potable hot and cold running water. H. One air conditioned and heated office with four desks and four chairs for Instructor use. I. Lockers and cabinets for storage of Crew belongings. J. Tools and equipment necessary to perform Other Work Duties. K. Four radios for communication b etween Instructors and City's floor personnel. L. Upon request of the SOC, access to meeting rooms to be used for training by SOC for the Crew as required by the SOC's performance of the services under this agreement. M. Meet quarterly, or as needed, with County to discuss agreement performance, scheduling, and any other agreement related topics. Meetings will be scheduled at a mutually agreed upon date and time an held at a location provided by City. SECTION 4. COMPENSATION 1. August 15,2023 through June 30, 2024 A. City shall pay SOC $103,252.56 per month for the Services prescribed in this agreement. B. The hourly rate for working hours outside the Working Hours set forth in this agreement, at the request of City, will be $732.1'7 per hour for the Crew. C. When requested by City, when any other configuration or workers, other than the Crew, are being utilized at times d�uring and/or outside the Working Hours, the hourly rate for Instructors shall be $50.24 per Instructor. D. When requested by City, when any other configuration or workers, other than the Crew, are being utilized at times d'uring and/or outside the Working I-Iours, the hourly rate for Participants shall be $25.33 per Participant. E. If SOC is unable to perform services due to equipment inalfunction or health and safety issues, the SOC will only invoice for the number of hours actually worked,rounded up to the nearest quarter hour. For these purposes the hourly rate to be used shall be $732.17. Amounts deducted due to the SOC's inability to perform services shall be deducted from the monthly amount. F. City shall pay SOC the full monthly rates as specified herein, unless the staffing levels far a crew fall more than two people below the levels prescribed in Section 1 of the Original DocuSign EnvelopeiD:42620866-998F-4643-9C10-59227A02FA97 Agreement on a particular day or days. Should the staffing levels for a crew fall more than two people below the levels prescribed in Section 1, the amount of$140 per day shall be deducted from SOC's compensation for each Crew member who is absent for a full day during the period of August 15, 2023 through June 30, 2024. A full day is defined in Section 1. G. Should the City request a permanent reduction to the number of crew members, the annual compensation will be reduced by $46,801.92 per crew member reduced. 2. July 1,2024 through June 30, 2025 A. Prices and amounts outlined in Section 4.1 to be increased or decreased in direct proportion to the change in the San Francisco-Oakland Consumer Price fi�dex for al1 Urban Consumers (CPI-L�, before seasonal adjustment, as reported by the U.S. Department of Labor, index base period (1982-84=100). Subsequent price c1lan�es sha11 ba based on the latest available first published index compared to the Apri12023 index. SECTION 5. BILLING AND PAYMENT A. City shall pay for services rendered pursuant to this agreement on a monthly basis as set forth in Section 4. The payments specified herein shall be the only payments made to the SOC for services rendered pursuant to this agreement. B. The SOC shall submit monthly invoices to City for work completed during the prior month. C. All correct, coinplete and undisputed invoices sent by SOC to City shall be paid within thirty calendar days of receipt. SECTION 6. TERM AND TERMINATION B. The initial term of this agreeinent sha11 be for the period of August 15, 2023 through June 30, 2025. C. Renewals, if any, must be mut�ually agreeable, and prices quoted may remain the same, or be increased or decreased in direct proportion to the change in the San Francisco-Oakland Consumer Price Index for al1 Urban Consumers (CPI-U), before seasonal adjustment, as reported by�,the U.S. Department of Labor, index base period (1982-84=100). Subsequent price changes shall be based on the latest available first published index compared to the Apri12022 index. D. Either party materially fails'�� to perform its responsibilities under this agreement to the satisfaction of the other party, or if either party fails to fulfill in a timely and professional manner its responsibilities under this agreement, or if either party violates any of the terms or provisions of this agreement, then the other party s1�a11 have the right to terminate this agreement for cause effective immediately upon that party �iving written notice thereof to the other party. Either party may terminate this agreement immediately upon �ora1 notice should funding related to any of the services performed pursuant to this cont�act cease or be materially decreased during the term of this agreement. G. If this agreement is terminated under paragraphs C, D, or E above, City shall pay the SOC for all work satisfactorily completed as of the effective date of the termination. Should the effective date of the notice of termination fall on a date other than the end of the month, then City shall pay the SOC an amount which is equal to the pro rata portion of the monthly compensation based upon the portion of the month during whieh services under this a�reement were provided. II. The SOC's right to terminate this agreement may be exercised by the SOC's Executive Director or his/her designee, or the Board President of the SOC. City's right to terminate this agreement may be exercised by its City Manager. SECTION 7. INSURANCE A. Each Party, prior to commencing its responsibilities prescribed in this agreement, shall provide to the other Party a certificate of insurance or self-insurance which shall be approved by the other Party's Risk Manager. �. Each Party understands, acknowled�es, and agrees that both Parties are insured with respect to their automobile and �eneral liability exposures and slaall remain insured thxoughout the terin of this agreement. SECTION 8. INDEMNIFICATION Each party shall defend, indemnify, and hold the other party, its officials, officers, employees, agents, and volunteers, harmless from and against any and all liability, loss, expenses (inclutling reasonable attorney's fees), or claims for injury or damage arising out of the performance of this agreement, but only in proportion to and to the extent such liability, loss, eXpenses (incl�uding reasonable attorney's fees), or claims for injury or damage are caused by or result from the negligent or intentional aets or omissions of the indemnifying party, its officials, officers, employees, agants, subcontractors, or volunteers. SECTION 9. ENTIRE AGREEMENT; AMENDMENTS; HEADINGS A. This agreement shall ba deemed to have been entered into in Redding, California. All questions regarding the validity, interpretation or performance of any of its terms or of any rights or obligations of the parties to this agreement shall be governed by California law. B. This agreement, including all exhibits, eontains the entire agreement between the parties and supersedes whatever orai or written understanding each may have had prior to the execution of this agreement. This agreement shall not be altered, amended or modified except by a writing signed by City and the SOC. No verbal agreement or eonversation with any of�eial, officer, agent or employee of either Party, either before, during or after the execution of this DocuSign EnvelopeiD:42620866-998F-4643-9C10-59227A02FA97 agreement, shall not affect or inodify, any of the terms or conditions contained in this agreement, nor shall any such verbal agreement or conversation entitle t h c S O C to any additional payment whatsoever under the terms of this agreement. C. If any portion of this agreement or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, the remainder of this agreement shall not be affected thereby and shall be enforeed to the greatest extent permitted by law. D. This agreement supersedes all previous contraets and agreements relating to the subjeet of this agreement and constitutes the entire understanding of the parties hereto. Neither party shall be entitled to any other benefits other than those specified herein. The parties specifically acknowledge that in entering into and executing this agreement, they have relied solely upon the provisions eontained in this agreement and no others. E. No changes, amendments or aiterations to this agreement shall be effective uniess in writing and signed by both parties. However, minor amenclments that do not result in a substantial or funetional change to the original intent of this agreement and do not result in a decrease in compensation of more than 25 percent, or an increase in compensation of more than 10 percent, of the monthly total compensation, may be agreed upon in writing between City Manager and/or the Department Director who has direct responsibility for managing the services provided herein, and the SOC's Executive Director or his/her designee, or the Board President of the SOC. F. The headings that appear on this agreeinent are for reference purposes only and shall not affect the meaning or eonstruction of this agreement. SECTION 10. NOTICE OF CLAIM/APPLICABLE LAW VENUE A. If any claim for damages is filed with either Party or if any lawsuit is instituted concerning either Party's performance under this agreement and that in any way, directly or indirectly, contingently or otherwise, affects or might reasonably affect the other Party, prompt and timely notice thereof shall be given to the other Party. Notice shall be prompt and timely if given within 30 days following the date of receipt of a claim ar 10 days following the date of service of process of a lawsuit. B. Any dispute between the parties, and the interpretation of this agreement, shall be governed by the laws of the State of California. Any litigation shall be venued in Shasta County. SECTION 11. NONASSIGNIVIENT OF CONTRACT� NON-WAIVER A. No provision of this agreement is intended to, or shall be for the benefit of, or construed to create rights in, or grant remedies to, any person or entity not a party hereto. B. No portion of the work or services to be performed under this agreement shall be assigned, transferred, delegated, conveyec�or subcontracted without the prior written consent of the other pariy. Either pariy may use the services of independent contractors and subcontractors to perform a portion of its obligations under this a�reement with the prior written approval of the other party. Independent contractors and subcontractors shall be provided with a copy of this agreement and both parties shall have an affirmative duty to assure that said independent contractors and subcontractors comply with the same and agree to be bound by its terms. The party approved to subcontract shall be the responsible party with respect to all actions of its DocuSign EnvelopeiD:42620866-998F-4643-9C10-59227A02FA97 independent contractors and subcontractors, and shall obtain such insurance and indemnity provision from its contractors and subcontractors, and shall obtain such insurance and indemnity provision from its contractors and subcontractors as each party's Risk Manager shall determine to be necessary. C. No covenant or condition to be performed by either party under this agreement can be waived except by the written consent of the other party. Forbearance or ind'ulgence in any regard whatsoever sha11 not constitute a waiver of the covenant or condition in question. Until performance by either party of a covenant or condition is complete, the other paxty shall be entitled to invoke any remedy available under this agreement or by law or in equity despite said forbearance or indulgence. D. A waiver by any party of any provision or a breaeh of this agreement shall not be construed as a waiver of any other provision or any succeeding breach of the same or any other provisions herein. SECTION 12. STATUS OF PARTIES Both parties shall, d'uring the entire term of this agreement, be construed to be independent contractors, and nothing in this agreement is intended nor sha11 be construed to create an employer- employee relationship, a joint venture relationship, or to a11ow City to exercise discretion or control over the professional manner in which the SOC performs the work or services that are the subject matter of this agreement. The SOC shall not be eligible for coverage under City's workers' compensation insurance plan, bene�ts under the Public Employee Retirement System or be eligible for any other City benefit. SECTION 13. SURVIVAL The provisions set forth in Sections 6 through 12 of this agreement shall survive the termination, cancellation or expiration of the agreement. SECTION 14. COMPLIANCE WITH LAWS• NON-DISCRIMINATION A. Both parties shall observe and comply with all applieable federai, state and loeal laws, ordinances and codes which relate to the services to be provided pursuant to this agreement. B. Both parties shall not discriminate in employment practices on the basis of race, color, ancestry, national origin, religious ereed, sex, sexual orientation, disability, age, marital status, political affiliation, or membership or non-membership in any organization. Both parties shall take affirmative action to ensure applicants are employed and that employees are treated dnring their employinent without regard to their raee, color, aneestry, national origin, religious creed, sex, sexual orientation, disability, age, marital status, political affiliation, or membership or non-membership in any or�anization. Such actions shall include, but not be liinited to, the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training. C. City represents that City is in eompliance with and agrees that it will eontinue to comply with the Amerieans with Disabilities Act of 1990 (42 U.S.C. section 12101, et seq.), the Fair Employment and Housing Act (Government Code sections 12900, et DocuSign EnvelopeiD:42620866-998F-4643-9C10-59227A02FA97 seq.), and regulations and guidelines issued pursuant thereto. SECTION 15. LICENSES AND PERM:[TS Both parties shall possess and maintain all necessary licenses, permits, certificates, and credentials required by the laws of the United States, the State of California, the County of Shasta, and all other appropriate governmental agencies, including any certification and credentials required by Counly or Ci1y. Failure to maintain the required licenses,permits, certificated, and credentials shall be deemed a breach of this agreement and constitutes grounds for the termination of this agreement. SECTION 16. CONFIDENTIALITY OF CLIENT INFO City shall comply with, and require all of City's employees and agents to comply with the provisions of, Welfare and Institutions Code, §10850, and Division 19 of the California Llepaxtment of Social Services, Manual of Policies and Procedures, regarding t he confidentiality of the identity of persons receiving public social services. SECTION 17. RECORDS RETENTION The SOC shall maintain accounts and records, including personnel, property and financial records, adequate to identify and account for all costs pertaining to this agreement and such other records as may be deemed necessary by City to assure proper accounting for all project funds. These records shall be made available for audit purposes to state and federal authorities, or any authorized representative of City. The SOC shall retain sueh reeords for three (3) yeaxs after the expiration of this agreement, unless prior permission to destroy them is granted by City. SECTION 18. REPRESENTATIVES A. All of City's questions pertaining to this agreement shall be referred to this person, or the representative's designee. SECTION 19. NOTICES A. SECTION 20. AGREEMENT PREPARATION It is agreed and understood by the Parties that this agreement has been arrived at through negotiation and that neither Party is to be deemed the Party which created any uncertainty in this agreement witbin the meaning of section 1654 of the Civil Code.
