Recommendation Authorize the City Manager, or designee, to sign the Fifth Amendment to the Professional Services and Consulting Agreement with No Boundaries Transitional Housing, Inc., (C-9479), increasing the contract by $343,500, for a total contract amount not to exceed $1,276,800, thereby adding 20 more rooms with 116 beds to assist the unsheltered population. Fiscal Impact The $349,560 increase in the contract will be funded primarily through the Encampment Resolution Grant along with other Housing Division resources that include the Permanent Local Housing A1location, Successor IIousing Agency, and Affordable Housing Loan Funds. The proposed request will have no impact to the General Fund. Alternative Action The City Council (Council) may choose not to authorize the amendment. This would reduce the availability of interim housing units available within the community. Background/Analysis The City of Redding (City) has been working on sev�ral initiatives to assist the unsheltered within the community. One important initiative involves increasing the number of low-barrier shelter units with supportive services and/or case management. In August 2022, the City moved forward with executing an agreement with No Boundaries Transitional Housing, Inc., (No Boundaries), which is a non-profit provider that initially secured 32 supportive housing units with a total of 50 beds. In November 2022, the unit number increased from 32 to 46, providing 26 more beds and offering additional support to the Crisis Int�rvention Response Team (CIRT) and its efforts to house the unsheltered. Page 2 In N�ovember 2022, the first amendment was completed, thereby increasing the contract budget to $294,360. Under this amendment, the City Manager was authorized the ability to extend the contract and increase the budget as a minor amendment to the contract. In February 2023, a second amendment was executed, providing an additional one-month extension to the contract and increased the contract to $349,560. In March 2023, a third amendinent was executed, providing an extension of the contract through April 15, 2023, and increased the total budget to $381,990. The third amendment also included a negotiated increase in the room rate between No Boundaries and the property owner. On April 4, 2023, a fourth ainendment extended the contract through December 31, 2023, and increased the budget by$551,310 for a total contract amount of$933,300. The subject fifth amendment seeks to add 20 additional units, with 40 beds, at a second location and increases the budget by $343,500 for a new contract amount of$1,276,800. The increase in budget is supported by the recently awarded, Encampment Resol�ution Funding Grant to assist with obtaining additional rooms for those persons transitioning out of the Lost Lane Encampment. EnviNonmental Review This is not a project as defined under the California Environmental Quality Act (CEQA) and no further action is required. ("Consultant") for the purpose of providing the emergency occupancy and supportive services (Project) for homeless persons within the City of Redding. WHEREAS, City does not have sufficient personnel to perform the services required herein thereby necessitating this Contract for personal services. NOW, THEREFORE, the Parties covenant and agree, for good consideration hereby acknowledged, as follows: SECTION 1. CONSULTANT SERVICES Subject to the terms and conditions set forth in this Contract, Consultant shall provide to City the services described in Exhibit A,attached and incorporated herein. Consultant shall provide the services at the time, place and in the manner specified in Exhibit A and shall utilize all forms attached and incorporated herein in Exhibit C. SECTION 2. COMPENSATION AND REIMBURSEMENT OF COSTS A. City shall pay Consultant for services rendered pursuant to this Contract, at the times and in the manner set forth in Exhibit B, attached and incorporated herein, in a total amount nat to exceed Two Hundred Thirty-Five Thousand and no/100 ($235,000). This sum includes all expenses incurred by Consultant that are specifically associated with the provision of services under this Contract. The payments specified herein sha11 be the only payments to be made to Consultant for services rendered pursuant to this Contract. The sum set forth herein is intended to compensate Consultant for all services set forth in this Contract including, but not limited to, all supportive services and lodging set forth in this Contract. B. Consultant shall submit monthly invoices to City for services pursuant to Exhibits A and B included within this Contract. All invoices sha11 be itemized to reflect the billing rate for each room and services provided. C. All correct,complete and undisputed invoices sent by Consultant to City shall be paid within thirty(30) calendar days of receipt. Should the Consultant wish to be paid via electronic fund transfer, additional completed forms not specified within the Contract but required by the City of Redding Finance and Treasury Departments would be required to be completed by Consultant and approved prior to payment in this �.M.. manner. � �`:�a °���_ ,���_� Consulting.and Professional Services Agreement Page 1 ` �,`"�1.,, Rev. 6/15 �-~' # �����`��'��`°�,`,,�,�:� ���-��.�-L'�;;�:�. SECTION 3. TERM AND TERMINATION A. Consultant shall commence work on or about September l, 2022 and complete said work no later than February 28, 2023. Time is of the essence. B. If Consultant fails to perform its duties to the satisfaction of City, or if Consultant � fails to fulfill in a timely and professional manner its obligations under this Contracf, then City shall have the right to terminate this Contract effective immediately upon City giving written notice thereof to Consultant. C. Either Party may terminate this Contract without cause on thirty (30) calendar days' written notice. Notwithstanding the preceding, if the term set forth in Section 3.A. of this Contract exceeds ninety(90)calendar days in duration, Consultant's sole right to terminate shall be limited to termination for cause. D. Consultant hereby acknowledges and agrees that the obligation of City to pay under this Contract is contingent upon the availability of City's funds which are appropriated or allocated by the City Council. Should the funding for the project and/or work set forth herein not be appropriated or allocated by the City Council, City may terminate this Agreement by furnishing at least thirty (30) calendar days' written notice of its intention to terminate. In the event of a termination pursuant to this subdivision, Consultant shall not be entitled to a remedy of acceleration of payments due over the term of this Agreement. The Parties acknowledge and agree that the power to terminate described herein is required by Article 16, Section 18, of the California Constitution, and that constitutional provision supersedes any law, rule, regulation or statiute which conflicts with the provisions of this Section. E. In the event that City gives notice of termination, Consultant shall promptly provide to City any and all finished and unfinished reports, data, studies,photographs, charts or other work product prepared by Consultant pursuant to this Contract. City shall have full ownership, including, but not limited to, intellectual property rights, and control of all such finished and unfinished reports, data, studies, photographs, charts or other work product. F. In the event that City terminates the Contract, City sha11 pay Consultant the reasonable value of services rendered by Consultant pursuant to this Contract; provided, however, that City shall not in any manner be liable for lost profits which might have been made by Consultant had Consultant completed the services required by this Contract. Consultant shall, not later than ten (10) calendar days after termination of this Contract by City, furnish to City such financial information as in the judgment of the City's representative is necessary to determine the reasonable value of the services rendered by Consultant. In no event shall the termination or expiration of this Contract be construed as a waiver of any right to seek remedies in law, equity or otherwise for a Party's failure to perform each obligation required by this Contract. SECTION 4. MISCELLANEOUS TERMS AND CONDITIONS OF CONTRACT A. City shall make its facilities accessible to Consultant as required for Consultant's performance of its services under this Contract, and, upon request of Consultant, provide labor and safety equipment as required by Consultant for such access. B. Pursuant to the City's business license ordinance, Consultant shall obtain a City business license prior to commencing work. C. Consultant represents and warrants to City that it has all licenses, permits, qualifications and approvals of any nature whatsoever that are legally required for Consultant ta practice its profession. Consultant represents and warrants to City that Consultant shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Contract any licenses, permits and approvals that are legally required for Consultant to practice its profession. D. Consultant shall, during the entire term of this Contract, be construed to be an independent Consultant and nothing in this Contract is intended, nor shall it be construed, to create an employer/employee relationship, association, joint venture relationship,trust or partnership or to allow City to exercise discretion or control over the professional manner in which Consultant performs under this Contract. Any and all taxes imposed on Consultant's income, imposed or assessed by reason of this Contract or its performance, including but not limited to sales or use taxes, shall be paid by Consultant. Consultant shall be responsible for any taxes or penalties assessed by reason of any claims that Consultant is an employee of City. Consultant shall not be eligible for coverage under City's workers' compensation insurance plan, benefits under the Public Employee Retirement System or be eligible for any other City benefit. E. No provision of this Contract is intended to,or shall be for the benefit of,or construed to create rights in, or grant remedies to, any person or entity not a party hereto. F. No portion of the work or services to be performed under this Contract shall be assigned, transferred, conveyed or subcontracted without the prior written approval of City. Consultant may use the services of independent Consultants and sub- Consultants to perform a portion of its obligations under this Contract with the prior written approval of City. Independent Consultants and sub-Consultants sha11 be provided with a copy of this Contract and Consultant sha11 have an affirmative duty to assure that said independent Consultants and sub-Consultants comply with the same and agree to be bound by its terms. Consultant shall be the responsible party with respect to all actions of its independent Consultants and sub-Consultants, and Consulting and Professional Services Agreement Page 3 Rev. 6/15 shall obtain such insurance and indemnity provisions from its Consultants and sub- Consultants as City's Risk Manager shall determine to be necessary. G. Consultant, at such times and in such form as City may require, shall furnish City with such periodic reports as it may request pertaining to the work or services undertaken pursuant to this Contract, the costs or obligations incurred or to be incurred in connection therewith, and any other matters covered by this Contract. H. Consultant shall maintain accounts and records, including personnel, property and financial records, adequate to identify and account for all costs pertaining to this Contract and such other records as may be deemed necessary by City to assure proper accounting for all project funds. These records shall be made available for audit purposes to state and federal authorities, or any authorized representative of City. Consultant shall retain such records for five (5) years after the expiration of this Contract, unless prior permission to destroy them is granted by City. I. Consultant sha11 perform all services required pursuant to this Contract in the manner and according to the standards observed by a competent practitioner of Consultant's profession. All products of whatsoever nature which Consultant delivers to City pursuant to this Contract shall be prepared in a professional manner and conform to the standards of quality normally observed by a person practicing the profession of Consultant and its agents, employees and sub-Consultants assigned to perform the services contemplated by�his Contract. J. All completed reports and other data or documents, or computer media including diskettes, and other materials provided or prepared by Consultant in accordance with this Contract are the property of City, and may be used by City. City shall have all intellectual property rights including, but not limited to, copyright and patent rights, in said docuinents,computer media,and other materials provided by Consultant. City shall release, defend, indemnify and hold harmless Consuitant from all claims,costs, expenses, damage or liability arising out of or resulting from City's use or modification of any reports, data, documents, drawings, specifications or other work product prepared by Consultant,except for use by City on those portions of the City's project for which such items were prepared. K. Consultant, including its employees, agents, and sub-Consultants, shall not maintain or acquire any direct or indirect interest that conflicts with the performance of this Contract. Consultant shall comply with all requirements of the Political Reform Act (Government Code § 8100 et seq.) and other laws relating to conflicts of interest, including the following: 1) Consultant shall not make or participate in a decision made by City if it is reasonably foreseeable that the decision may have a material effect on Consultant's economic interest, and 2) if required by the City Attorney, Consultant shall file financial disclosure forms with the City Clerk. Consulting and Professional Services Agreement Page 4 Rev.6/15 SECTION 5. INSURANCE A. Unless modified in writing by City's Risk Manager, Consultant shall maintain the following noted insurance during the duration of the Contract: Coverage Required Not Required Commercial Generai Liability X Comprehensive Vehicle Liabi�ity x Workers' Compensation and Employers' Liability x Professional Liability(Errors and Omissions) X (Place an"x"in the appropriate box) B. Coverage shall be at least as broad as: l. Insurance Services Office form number CG-0001, Commercial General Liability Insurance, in an amount not less than$1,000,000 per occurrence and $2,000,000 general aggregate for bodily injury, personal injury and property damage; 2. Insurance Services Office form number CA-0001 (Ed. 1/87), Comprehensive Automobile Liability Insurance, which provides for total limits of not less than$1,000,000 combined single limits per accident applicable to all owned, non-owned and hired vehicles; 3. Statutory Workers' Compensation required by the Labor Code of the State of California and Employers' Liability Insurance in an amount not less than $1,000,000 per occurrence. Both the Workers' Compensation and Employers'Liability policies shall contain the insurer's waiver of subrogation in favor of City, its elected officials, officers, employees, agents and volunteers; 4. Professional Liability (Errors and Omissions) Insurance, appropriate to Consultant's profession, against loss due to error or omission or malpractice in an amount not less than $1,000,000. 5. The City does not accept insurance certificates or endorsements with the wording "but only in the event of a named insured's sole negligence" or any other verbiage limiting the insured's insurance responsibility. C. Any deductibles or self-insured retentions must be declared to and approved by City. At the option of the City,either: the insurer shall reduce or eliminate such deductibles or self-insured retentions as respects the City, its elected officials, officers, employees, agents and volunteers; or the Consultant shall procure a bond Consulting and Professional Services Agreement Page 5 Rev. 6/15 guaranteeing payinent of losses and related investigations,claims administration and defense expenses. D. The General Liability shall contain or be endorsed to contain the following provisions: 1. City, its elected officials, officers, employees, and agents are to be covered as additional insured as respects liability arising out of work or operations performed by or on behalf of Consultant; premises owned, leased or used by Consultant; or automobiles owned, leased, hired or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded to City, its elected officials, officers, employees, agents and volunteers. 2. The insurance coverage of Consultant shall be primary insurance as respects City, its elected officials, officers, employees, agents and volunteers. Any insurance or self-insurance maintained by City, its elected officials, officers, employees, agents and volunteers, shall be in excess of Consultant's insurance and shall not contribute with it. 3. Coverage shall state that the insurance of Consultant shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 4. Each insurance policy required by this Contract shall be endorsed to state that coverage shall not be canceled except after thirty (30) calendar days' prior written notice has been given to City. In addition, Consultant agrees that it sha11 not reduce its coverage or limits on any such policy except after thirty (30) calendar days' prior written notice has been given to City. E. Insurance is to be placed with insurers with a current A.M. Best's rating of no less than A-VII. F. Consultant shall designate the City of Redding as a Certificate Holder of the insurance. Consultant shall furnish City with certificates of insurance and original endorsements effecting the coverages required by this clause. Certificates and endorsements shall be furnished to: Risk Management Department, City of Redding, 777 Cypress Avenue, Redding, CA 96001. The certificates and endorsements for each insurance policy are to be signed by a person authorized by the insurer to bind coverage on its behalf. All endorsements are to be received and approved by the City's Risk Manager prior to the commencement of contracted services. City may withhold payments to Consultant if adequate certificates of insurance and endorsements required have not been provided, or not been provided in a timely manner. Consulting and Professional Services Agreement Page 6 Rev. 6/15 G. The requirements as to the types and limits of insurance coverage to be maintained by Consultant as required by Section 5 of this Contract, and any approval of said insurance by City, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by Consultant pursuant to this Contract, including, without limitation, provisions concerning indemnification. H. If any policy of insurance required by this Section is a"claims made"policy,pursuant to Code of Civil Procedure § 342 and Government Code § 945.6, Consultant shall keep said insurance in effect for a period of eighteen(18)months after the termination of this Contract. I. If any damage, including death, personal injury or property damage, occurs in connection with the performance of this Contract, Consultant shall immediately notify City's Risk Manager by telephone at (530) 225-4068. No later than three (3) calendar days after the event, Consultant shall submit a written report to City's Risk Manager containing the following information, as applicable: 1)name and address of injured or deceased person(s);2)name and address of witnesses; 3)name and address of Consultant's insurance company; and 4) a detailed description of the damage and whether any City property was involved. SECTION 6. INDEMNIFICATION AND HOLD HARMLESS A. Consistent with California Civil Code § 2782.8, when the services to be provided under this Contract are design professional services to be performed by a design professional, as that term is defined under Section 2'782.8, Consultant sha11, to the fullest extent permitted by law, indemnify protect, defend and hold harmless, City, its elected officials, officers, employees, and agents, and each and every one of them, from and against all actions, damages, costs, liability, claims, losses, penalties and expenses (including, but not limited to, reasonable attorney's fees of the City Attorney or legal counsel retained by City, expert fees, litigation costs, and investigation costs) of every type and description to which any or all of them may be subjected by reason of, or resulting from, directly or indirectly, the negligence, recklessness, or willful misconduct of Consultant, its officers, employees or agents in the performance of professional services under this Contract, except when liability arises due to the sole negligence, active negligence or misconduct of the City. B. Other than in the performance of professional services by a design professional, which is addressed solely by subdivision(A) of this Section, and to the fullest extent permitted by law, Consultant sha11 indemnify protect, defend and hold harmless, City, its elected officials, officers, employees, and agents, and each and every one of them, from and against all actions, damages, costs, liability, claims, losses, penalties and expenses (including, but not limited to, reasonable attorney's fees of the City Attorney or legal counsel retained by City, expert fees, litigation costs, and investigation costs) of every type and description to which any or all of them may be subjected by reason of the performance of the services required under this Contract Consulting and Professional Services Agreement Page 7 Rev.6/15 by Consultant its officers, employees or agents in the performance of professional services under this Contract, except when liability arises due to the sole negligence, active negligence or misconduct of the City. C. The Consultant's obligation to defend, indemnify and hold harmless shall not be excused because of the Consultant's inability to evaluate liability. The Consultant shall respond within thirty (30) calendar days to the tender of any claim for defense and indemnity by the City, unless this time has been extended in writing by the City. If the Consultant fails to accept or reject a tender of defense and indemnity in writing delivered to City within thirty (30) calendar days, in addition to any other remedy authorized by law, the City may withhold such funds the City reasonably considers necessary for its defense and indemnity until disposition has been made of the claim or until the Consultant accepts or rejects the tender of defense in writing delivered to the City, whichever occurs first. This subdivision shall not be construed to excuse the prompt and continued performance of the duties required of Consultant herein. D. The obligation to indemnify, protect, defend, and hold harmless set forth in this Section applies to all claims and liability regardless of whether any insurance policies are applicable. The policy limits of said insurance policies do not act as a limitation upon the amount of indemnification to be provided by Consultant. E. City shall have the right to approve or disapprove the legal counsel retained by Consultant pursuant to this Section to represent City's interests. City shall be reimbursed for all costs and attorney's fees incurred by City in enforcing the obligations set forth in this Section. SECTION 7. CONTRACT INTERPRETATION. VENUE AND ATTORNEY FEES A. This Contract shall be deemed to have been entered into in Redding, California. All questions regarding the validity, interpretation or performance of any of its terms or of any rights or obligations of the parties to this Contract shall be governed by California law. If any claim, at law or otherwise, is made by either party to this Contract, the prevailing party shall be entitled to its costs and reasonable attorneys' fees. B. This document, including all exhibits, contains the entire agreement between the parties and supersedes whatever oral or written understanding each may have had prior to the execution of this Contract. This Contract shall not be altered, amended or modified except by a writing signed by City and Consultant. No verbal agreement or conversation with any official, officer, agent or employee of City, either before, during or after the execution of this Contract, shall affect or modify any of the terms ar conditions contained in this Contract, nor shall any such verbal agreement or conversation entitle Consultant to any additional payment whatsoever under the terms of this Contract. Consulting and Professional Services Agreernent Page 8 Rev. 6/15 C. No covenant or condition to be performed by Consultant under this Contract can be waived except by the written consent of City. Forbearance or indulgence by City in any regard whatsoever shall not constitute a waiver of the covenant or condition in question. Until performance by Consultant of said covenant or condition is complete, City shall be entitled to invoke any remedy available to City under this Contract or by law or in equity despite said forbearance or indulgence. D. If any portion of this Contract or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, the remainder of this Contract shall not be affected thereby anc� sha11 be enforced to the greatest extent permitted by law. E. The headings in this Contract are inserted for convenience only and shall not constitute a part hereo£ A waiver of any party of any provision or a breach of this Contract must be provided in writing, and shall not be construed as a waiver of any other provision or any succeeding breach of the same or any other provisions herein. F. Each Party hereto declares and represents that in entering into this Contract, it has relied and is relying solely upon its own judgment, belief and knowledge of the nature, extent, effect and consequence relating thereto. Each Party further declares and represents that this Contract is made without reliance upon any statement or representation not contained herein of any other Party or any representative, agent or attorney of the other Party. The Parties agree that they are aware that they have the right to be advised by counsel with respect to the negotiations, terms, and conditions of this Contract and that the decision of whether or not to seek the advice of counsel with respect to this Contract is a decision which is the sole responsibility of each of the Parties. Accordingly, no party shall be deemed to have been the drafter hereof, and the principle of law set forth in Civil Code § 1654 that contracts are construed against the drafter shall not apply. G. Each of the Parties hereto hereby irrevocably waives any and all right to trial by jury in any action, proceeding, claim or counterclaim, whether in contract or tort, at law or in equity, arising out of or in any way related to this Agreement or the transactions contemplated hereby. Each Party further waives any right to consolidate any action which a jury trial has been waived with any other action in which a jury trial cannot be or has not been waived. H. In the event of a conflict between the term and conditions of the body of this Contract and those of any exhibit or attachment hereto, the terms and conditions set forth in the body of this Contract proper sha11 prevail. In the event of a conflict between the terms and conditions of any two or more exhibits or attachments hereto, those prepared by City shall prevail over those prepared by Consultant. SECTION 8. SURVIVAL Consulting and Professional Services Agreement Page 9 Rev. 6/15 The provisions set forth in Sections 3 through 7, inclusive, of this Contract shall survive termination of the Contract. SECTION 9. COMPLIANCE WITH LAWS - NONDISCRIMINATION A. Consultant shall comply with all applicable laws, ordinances and codes of federal, state and local governments. B. In the performance of this Contract, Consultant shall not discriminate against any employee or applicant for employment because of race, color, ancestry, national origin, religious creed, sex, sexual orientation, disability, age, marital status,political affiliation, or membership or non-membership in any organization. Consultant shall take affirmative action to ensure applicants are employed and that employees are treated during their employment without regard to their race, color, ancestry,national origin,religious creed, sex, sexual orientation, disability, age,marital status,political affiliation, or membership or non-membership in any organization. Such actions shall include, but not be limited to, the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training. All of City's questions � pertaining to this Contract shall_be referred to the above-named person. C. The representatives set forth herein shall have authority to give all notices required herein. SECTION 11. NOTICES A. SECTION l. EMERGENCY (?CCUPANCY SERVICES Consultant will operate the Project as detailed in this Contract for 50 homeless adults. Consultant shall provide a support system of multiple resources and specialized services coordinated to assist guests in obtaining and maintaining stable housing and self- sufficiency. A. Eligible guests are homeless adults, over the age of 18, who have documented homeless status within the City of Redding. B. Consultant will follow agreed upon policy outlined below and track all those turned away for not meeting criteria. o Individual must reside in City of Redding for a minimum of 15 days to establish residency o Individuals must provide verification of residency with one of the following methods: picture LD. with City of Redding address; proof of mail service in City of Redding; entitlements received in City of Redding (food stamps, SSI, Unemploymenti Benefits, General Relief etc.);receiving medical or Mental Health Care in City of Redding, ASOC or other provider; recent utility bill in City of Redding. C. Consultant's first priority is to take individuals into the Project referred by the City of Redding's Crisis Intervention Response Team (CIRT). Consultant's second priority is to take referred individuals through the NorCal Continuum of Care (NorCal COC) Homeless Management Information System (HMIS) and Coordinated Entry, a centralized service people experiencing homelessness access to have to obtain a referral to Emergency Housing and/or be placed a centralized housing list. All new guests entering the program must have a referral from either CIRT or Coordinated Entry that is valid within the past 30 days and present in person at the emergency occupancy for intake and verified eligibility. In addition to ensuring all guests meet program eligibility requirements,Consultant will utilize the Vulnerability Index, a standardized assessment tool utilized by the NorCal Continuum of Care, to ensure the most vulnerable are served. When emergency occupancy is at capacity, eligible individuals will be placed on a waitlist which Consultant shall maintain. D. Consultant will have subcontractors or staff on site, at the emergency occupancy, at all times. The paid subcontractors or s�aff will have the responsibility for intake, Consulting and Professional Services Agreement Page 13 Rev. 6/15 assessment, data collection, life safety monitoring, crisis intervention, and daily shift/activity logs. E. Consultant will have a Lead Program Manager who will have the responsibility of overseeing intake, assessment, data collection, life safety monitoring, crisis intervention, and daily shift/activity logs. F. Services will include a 24 hour/day, 7 days per week program that provides a � support �system of specialized' case management services to connect clients to resources and help resolve homelessness. G. In addition to emergency occupancy, case-management and information and referral services, the program will include: • Three meals per day. Any prepared food will be handled, served and stored under sanitary conditions that meet required health standards, including all environmental health laws and regulations regarding preparation and service. • Laundry services. Sanitary procedures will be established and maintained for washing clothes and maintaining emergency occupancy facilities. • Blankets, sleeping bags, and linens to guests as needed,maintained clean and free of parasitic infestations. • Cots or beds, clean and well maintained. � Restrooms and showers during operating hours. At a minimum, hot water, clean towels, soap and shampoo must be provided for daily showers. Consultant will provide other hygiene necessities, e.g., toothbrushes, feminine hygiene products. H. Consultant must develop an individualized assessmerzt and referral plan for each client. Such plan must include a comprehensive needs assessment. This assessment will then be used to triage and subsequently appropriately case manage, refer and connect clients to various programs across the entire spectrum of care in our community. This desired model will require knowledge of all programs serving homeless individuals,as well as close,collaborative relationships with the provider community. It is desired that the services listed below are coordinated through case management: • Permanent housing • Primary health services • Mental health services � Alcohol and substance abuse treatment � Mainstream benefits programs • Veterans' services � Employment services � Probation and Parole services • Collabarative Courts Consulting and Professional Services Agreement Page 14 Rev. 6/15 I. Consultant shall have written case management procedures and forms that include the following: • A comprehensive needs assessment. The goal of a comprehensive assessment is to determine the client's medical, physical, mental, psychosocial, and emotional health; substance use, domestic violence, education, and employment history; housing readiness; and legal and financial circumstances; and strengths and needs. • Referral procedures. Consultant shall establish referral and follow-up procedures to confirm all referrals made to other services. Documentation of referrals made and referral confirmation must be maintained in client fi1es. � Mainstream benefits. Consultant shall establish procedures for screening participants at program entry and intake for eligibility for mainstream benefits, particularly relative to Supplemental Security Income (SSI) and/or Social Security Disability Insurance (SSDI), and must assist participants in applying for mainstream benefits for which they are eligible. • Employment Development/Placement Programs. Consultant shall establish and maintain effective working relationships with employment programs and shall assist clients in participating in services to prepare for and obtain housing. • Progress notes. Consultant shall implement a process for foliow-up contacts � for siX (6)months (e.g.,phone calls, office visits, etc.) with those clients tihat have achieved successful housing placement goals, and adequately document the follow-up contacts in the client files. J. Responding appropriately to emergencies, Consultant shall call 911 when appropriate and report a11 emergency incidents to the designated City of Redding Contract Representative immediately. Additionally, Consultant will provide a hard copy, Incident Report and will include any other supporting documentation. K. Guests will not be allowed to enter and exit the emergency occupancy after curfew without prior approval. Consultant, subcontractor or staff will keep record of those guests who present a pattern of such behavior. A list of individuals will be developed to ensure that anyone who has been deemed inappropriate for services will not be allowed entry. The list will be kept and available for law enforcement staff and HHS staff to review. L. After hours entry will only be available to personnel who may bring an individual to the emergency occupancy for services if bed space allows. M. Consultant must maintain a visitor log requiring all visitors to sign in and out when entering and exiting the Project. Consulting and Professional Services Agreement Page 15 Rev. 6/15 SECTION 2. EMERGENCY OCCUPANCY LOCATION A. Consultant shall obtain exclusive right to occupy by virtue of a lease or other similar legal obliga�ion with property owner, Tera Sahara, Inc., (Owner) 32 rooms consisting of 50 beds located at 2731 Bechelli Lane, Redding, CA(Premises). The Consultant shall operate emergency occupancy services detailed under item A. Emer encv Occupancy Services at this location. B. The Lease of the Premises shall commence on the date this agreement is signed by the City and shall continue for six months or upon a declaration of the City of Redding that use of the premises is no longer necessary to protect the life, health and safety of the public whichever occurs first and unless otherwise terminated in accordance with the terms and conditions of this agreement. C. Room payments shall be based on the daily room rate of FORTY AND 00/100 DOLLARS ($40.00)per room during the term of this Agreement. Owner shall provide a monthly invoice to the Consultant based on each room to be occupied, multiplied by the number of days to be occupied in that month, and then multiplied by the daily room rate. Consultant shall provide this verification to the Contract Representative for payment as specified in this agreement. D. Consultant shall ensure that the Owner, at Owner's sole cost and expense, shall furnish normal and standard hotel operation functions including but not liinited to the following services, utilities, and supplies and also to the "common" building areas (if any) such as lobbies, elevators, stairways, corridors, etc., if any: 1. Sewer, trash disposal, and water service, including both hot and cold water to the lavatories. 2. Elevator (if any) service. 3. Electricity and/or gas as necessary to provide power for heating, ventilating, and air conditioning, and electrical or gas service as needed for County's operations. 4. Linen/terry cloth and laundry services. 5. Standard hotel housekeeping/janitorial services at not less than every three days. 6. Toiletries including, shampoo, conditioner, soap, toilet paper, and tissues. 7. Pest control for any pests that may negatively affect the health, safety and peaceful enjoyment of the Project by participants. Consulting and Professional Services Agreement Page 16 Rev. 6/15 In the event of failure by the Owner to furnish any of the above services or utilities in a satisfactory manner, the Consultant may furnish�he same at its own cost; and, in addition to any other remedy the Consultant may have. E. During the term of this Occupancy Agreement, the Consultant shall maintain the occupied premises in good repair and tenantable condition and shall be responsible for any damage to the units from occupancy of the units under this Agreement. F. If the occupied premises are totally or partially destroyed by fire or other casualty, this Contract may terminate at the sole discretion of the City. SECTION 3. CONDITIONS The parties agree that the intent of this Agreement is for Consultant to provide emergency occupancy and services 24 hours a day, 7 days a week for up to fifty (50) adults at the specified Premises. A. Consultant shall provide all services consistent with this Contract. B. Consultant agrees to participate in community meetings as requested by City, inciuding the monthly Shasta Advisory Board of the NorCal COC meeting presently being held at Redding City Hall, located at 777 Cypress Avenue, Caldwell Park Conference Room,second floor,the second Tuesday of each manth. C. Consultant shall provide at least one (1)management level representative to attend emergency occupancy stakeholder meetings as requested by the CITY. D. Consultant must participate in the Shasta Advisory Board of the NorCal Continuum of Care and identify one staff inember to act as HMIS liaison. E. Consultant will post, and at entry to the program will provide to each guest, a copy of rules of conduct and consequences for violations. Grievance policy will be posted for guests to view. F. City retains the right to enter the Premises and other portions of the Premises at any time. G. No alcohol, weapons, or illegal drugs are permitted in the building, with the exception of law enforcement which are lawfully entitled to carry weapons as part of their duties. Consultant will provide a secured cabinet in which to safely secure any guest property deemed to be questionable as a potential weapon. Each guest, upon entry, will be questioned as to whether they are in possession of any of these Consulting and Professional Services Agreement page L� Rev. 6/15 prohibited items. Those guests will have an opportunity to secure or dispose of said contraband prior to entry into the facility. Additionally, a visual assessment of each person and possessions will be done by staff to ensure compliance. Any subsequent violation of said rules will result in eviction and placement on the list identifying evicted guests. H. Consultant shall allow law enforcement access to the facility, guest list, and any other nonconfidential information at all times. I. Consultant and Consultant's officers, agents, and employees shall observe all security regulations/instructions issued by City. J. Consultant will perform 4 interior security checks every hour 24 hours/day, 7 days per week and 1 perimeter security check every hour during daylight hours, 7 days per week. Consultant will ensure that no loitering shall be permitted in or around the emergency occupancy site. K. Consultant shall provide sufficient subcontractors or staffing to provide the services set forth in this Services Agreement. Consultant agrees to have subcontractors or staff on site at all times that is trained in Basic First Aid and CPR, Mental Health First Aid & Screening, and drug and alcohol recognition training. All staff must be trained within the first year of hire. L. Consultant warrants that it is knowledgeable of and in compliance with California Government Code Section 8350 et seq. regarding a drug free warkplace. M. Consultant will provide a written critical incident report to the Contract Representative within 48 hours of any incident involving law enforcement, fire or paramedic response, violence, major theft, and on-site drug or alcohol use. N. Consultant wi11 perform monthly evacuation drilis with documentation available to Contract Representative upon request. O. Consultant will ensure the health and safety of guests and staff by having a no violence policy. Acts of violence are grounds for immediate expulsion and condition of return to the program is a case conference and safety evaluation of the staff and residents. P. Consultant will provide accommodations in response to Public Health emergencies, including adequate space to isolate those exposed or infected with transmittable diseases, and engagement in Public Health regulatory measures. This includes a completed a valid release of information from the program participant so that information may be inputted into HMIS within 24 hours upon entry and exit. Failure to input or provide complete, accura�e and timely client and program information into HMIS may result in payment delay. Consultant acknowledges and agrees to any training necessary to accurately enter data into the HMIS and Coordinated Entry systems. The HMIS and Coordinated Entry systems are maintained by the NorCal COC's Lead Agency. Many communities have struggled to comply with this requirement, which demands an investment of considerable time, resources and exper- tise. Others are making it up as they go along, using"gut instincts" in lieu of so�id evidence. Communities need practical, evidence-informed too�s that enhance their ability to to satisfy federa� regulations and quickly implement an effective approach to access and assessment.The VI-SPDAT is a first-of-its-kind tool designed to fi�(this need, he�ping communities end home�essness in a quick, strategic fashion. The VI-SPDAT was initia�ly created by combining the e(ements of the Vulnerability Index which was cre- ated and implemented by Community So�utions broadly in the 100,000 Homes Campaign, and the SPDAT Prescreen instrument that was part of the Service Prioritization Decision Assistance Toot. The combina- tion of these two instruments was performed through extensive research and development, and testing. The deve(opment process included the direct voice of hundreds of persons with lived experience. The VI-SPDAT examines factors of current vulnerability and future housing stability. It fotlows the structure of the SPDAT assessment tool, and is informed by the same research backbone that supports the SPDAT - almost 300 peer reviewed published journal artictes, government reports, clinical and quasi-clinical assessment too�s, and �arge data sets. The SPDAT has been independently tested, as welt as internatly reviewed. The data overwhetming�y shows that when the SPDAT is used proper(y, housing outcomes are better than when no assessment tool is used. The VI-SPDAT is a triage too(. It highlights areas of higher acuity, thereby helping to inform the type of support and housing intervention that may be most beneficial to improve long term housing outcomes. It also helps inform the order - or priority - in which peopte shou(d be served. SECTION l. EMERGENCY OCCUPANCY SERVICES Consultant will operate the Project as detailed in this Contract for 76 beds for unsheltered clientele. Consultant shall provide a support system of multiple resources and specialized services coordinated ta assist guests in obtaining and maintaining stable housing and self- sufficiency. A. Eligible guests are homeless adults, over the age of 18, who have documented homeless status within the City of Redding. B. Consultant will follow agreed upon policy outlined below and track all those turned away for not meeting criteria. o Individual must reside in City of Redding for a minimum of 15 days to establish residency o Individuals must provide verification of residency with one of the following methods: picture I.D. with City of Redding address; proof of mail service in City of Redding; entitlements received in City of Redding (food stamps, SSI, Unemployment Benefits,General Relief etc.);receiving medical or Mental Health Care in City of Redding, ASOC or other provider; recent utility bill in City of Redding. C. Consultant's first priority is to take individuals into the Project referred by the City of Redding's Crisis Intervention Response Team (CIRT). Consultant's second priority is to take referred individuals through the NorCal Continuum of Care (NorCal COC) Homeless Management Information System (HMIS) and Coordinated Entry, a centralized service people experiencing homelessness access to have to obtain a referral to Emergency Housing and/or be placed a centralized housing list. All new guests entering the program must have a referral from either CIRT or Coordinated Entry that is valid within the past 30 days and present in person at the emergency occupancy for intake and verified eligibility. In addition to ensuring all guests meet program eligibility requirements,Consultant will utilize the Vulnerability Index, a standardized assessment tool utilized by the NorCal Continuum of Care, to ensure the most vulnerable are served. When emergency occupancy is at capacity, eligible individuals will be placed on a waitlist which Consultant shall maintain. D. Consultant will have subcontractors or staff on site, at the emergency occupancy, at all times. The paid subcontractors or staff wi11 have the responsibility for intake, assessment, data collection, life safety monitoring, crisis intervention, and daily shift/activity logs. Consultant will have a Lead Program Manager who will have the responsibility of overseeing intake, assessment, data collection, life safety monitoring, crisis intervention, and daily shift/activity logs. F. Services will include a 24 hour/day, 7 days per week program that provides a support system of specialized case management services to connect clients to resources and help resolve homelessness. G. In addition to emergency occupancy, case-management and information and referral services, the program will include: • Three meals per day. Any prepared food will be handled, served and stared under sanitary conditions that meet required health standards, including a11 environmental health laws and regulations regarding preparation and service. • Laundry services. Sanitary procedures will be established and maintained for washing clothes and maintaining emergency occupancy facilities. � Blankets, sleeping bags, and linens to guests as needed,maintained clean and free of parasitic infestations. � Cots or beds, clean and well maintained. � Restrooms and showers during operating hours. At a minimum, hot water, clean towels, soap and shampoo must be provided for daily showers. Consultant will provide other hygiene necessities, e.g., toothbrushes, feminine hygiene products. H. Consultant must develop an individualized assessment and referral plan for each client. Such plan must include a comprehensive needs assessment. This assessment will then be used to triage and subsequently appropriately case manage, refer and connect clients to various programs across the entire spectrum of care in our community. This desired model will require knowledge of a11 programs serving homeless individuals,as well as close,collaborative relationships with the provider community. It is desired that the services listed below are coordinated through case management: • Permanent housing • Primary health services • Mental health services � Alcohol and substance abuse treatment • Mainstream benefits programs • Veterans' services � Employment services • Probation and Parole services • Collaborative Courts I. Consultant shall have written case management procedures and forms that include the following: � A comprehensive needs assessment. The goal of a comprehensive assessment is to determine the client's medical, physical, mental, psychosocial, and emotional health; substance use, domestic violence, education, and First Amendment to the No Boundaries Contract No. 9479 employment history; housing readiness; and legal and financial circumstances; and strengths and needs. • Referral procedures. Consultant shall establish referral and follow-up procedures to confirm a11 referrals made to other services. Documentation of referrals made and referral confirmation must be maintained in client files. • Mainstream benefits. Consultant shall establish procedures for screening participants at program entry and intake for eligibility for mainstream benefits, particularly relative to Supplemental Security Income (SSI)and/or Social Security Disability Insurance (SSDI), and must assist participants in applying for mainstream benefits for which they are eligible. � Employment Development/Placement Programs. Consultant shall establish and maintain effective working relationships with employment programs and shall assist clients in participating in services to prepare for and obtain housing. • Progress notes. Consultant shall implement a process for follow-up contacts for six (6)months (e.g.,phone calls, office visits, etc.) with those clients that have achieved successful housing placement goals,and adequately document the follow-up contacts in the client files. J. Responding appropriately to emergencies, Consultant shall call 911 when appropriate and report all emergency incidents to the designated City of Redding Contract Representative immediately. Additionally, Consultant will provide a hard copy, Incident Report and will include any other supporting documentation. K. Guests will not be allowed to enter and exit the emergency occupancy after curfew without prior approval. Consultant, subcontractor or staff wi11 keep record of those guests who present a pattern of such behavior. A list of individuals will be developed to ensure that anyone who has been deemed inappropriate for services will not be allowed entry. The list will be kept and available for law enforcement staff and HHS staff to review. L. After hours entry will only be available to personnel who may bring an individual to the emergency occupancy for services if bed space allows. M. Consultant must maintain a visitor log requiring all visitors to sign in and out when entering and exiting the Project. SECTION 2. EMERGENCY OCCUPANCY LOCATION A. Consultant shall obtain exclusive right to occupy by virtue of a lease or other similar 1ega1 obligation with property owner, Tera Sahara, Inc., (Owner) 46 (forty-six) rooms consisting of 76 beds located at 2731 Bechelli Lane, Redding, CA (Premises). The Consultant shall operate emergency occupancy services detailed under item A. Emer enc�Occupancv Services at this location. First Amendment to the No Boundaries Contract No. 9479 B. The Lease of the Premises shall commence on the date this agreement is signed by the City and shall continue for six months or upon a declaration of the City of Redding that use of the premises is no longer necessary to protect the life, health and safety of the public whichever occurs first and unless otherwise terminated in accordance with the terms and conditions of this agreement. C. Room payments shall be based on the daily room rate of FORTY AND 00/100 DQLLARS ($40.00)per room during the term of this Agreement. Owner shall provide a monthly invoice to the Consultant based on each room to be occupied, multiplied by the number of days to be occupied in that month, and then multiplied by the daily room rate. Consultant shall provide this verification to the Contract Representative for payment as specified in this agreement. D. Consultant shall ensure that the Owner, at Owner's sole cost and expense, shall furnish normal and standard hotel operation functions including but not limited to the following services, utilities, and supplies and also to the "common" building areas (if any) such as lobbies, elevators, stairways, corridors, etc., if any: 1. Sewer, trash disposal, and water service, including both hot and cold water to the lavatories. 2. Elevator(if any) service. 3. Electricity and/or gas as necessary to provide power for heating, ventilating, and air conditioning, and electrical or gas service as needed for County's operations. 4. Linen/terry cloth and laundry services. 5. Standard hotel housekeeping/janitorial services at not less than every three days. 6. Toiletries including, shampoo, conditioner, soap, toilet paper, and tissues. 7. Pest control for any pests that may negatively affect the health, safety and peaceful enjoyment of the Project by participants. In the event of failure by the Owner to furnish any of the above services or utilities in a satisfactory manner, the Consultant may furnish the same at its awn cost; and, in addition to any other remedy the Consultant may have. E. During the term of this Occupancy Agreement, the Consultant shall maintain the occupied premises in good repair and tenantable condition and shall be responsible for any damage to the units from occupancy of the units under this Agreement. F. If the occupied premises are totally or partially destroyed by fire or other casualty, this Contract may terminate at the sole discretion of the City. SECTION 3. CONDITIONS First Amendment to the No Boundaries Contract No. 9479 The parties agree that the intent of this Agreement is for Consultant to provide emergency occupancy and services 24 hours a day, 7 days a week for up to 76 (seventy-six)beds for homeless adults at the specified Premises. A: Consultant shall provide all services consistent with this Contract. B. Consultant agrees to participate in community meetings as requested by City, including the monthly Shasta Advisory Board of the NorCal COC meeting presently being held at Redding City Hall, located at 777 Cypress Avenue, Caldwell Park Conference Room,second floor,the second Tuesday of each month. C. Consultant shall provide at least one (1)management level representative to attend emergency occupancy stakeholder meetings as requested by the CITY. D. Consultant must participate in the Shasta Advisory Board of the NorCal Continuum of Care and identify one staff inember to act as HMIS liaison. E. Consultant will post, and at entry to the program will provide to each guest,a copy of rules of conduct and consequences for violations. Grievance policy will be posted for guests to view. F. City retains the right to enter the Premises and other portions of the Premises at any time. G. No alcohol, weapons, or illegal drugs are permitted in the building, with the exception of law enfarcement which are lawfully entitled to carry weapons as part of their duties. Consultant will provide a secured cabinet in which to safely secure any guest property deemed to be questionable as a potential weapon. Each guest, upon entry, will be questioned as to whether they are in possession of any of these prohibited items. Those guests will have an opportunity to secure or dispose of said contraband prior to entry into the facility. Additionally, a visual assessment of each person and possessions will be done by staff to ensure compliance. Any subsequent violation of said rules wi11 result in eviction and placement on the list identifying evicted guests. H. Consultant shall allow law enforcement access to the facility, guest list, and any other nonconfidential information at a11 times. I. Consultant and Consultant's officers, agents, and employees shall observe all security regulations/instructions issued by City. J. Consultant will perform 4 interior security checks every hour 24 hours/day, 7 days per week and 1 perimeter security check every hour during daylight hours, 7 days per week. Cansultant will ensure that no loitering shall be permitted in or around the emergency occupancy site. First Amendment to the No Boundaries Contract No.9479 K. Consultant shall provide sufficient subcontractors or staffing to provide the services set forth in this Services Agreement. Consultant agrees to have subcontractors or staff on site at all times that is trained in Basic First Aid and CPR, Mental Health First Aid & Screening, and drug and alcohol recognition training. All staff must be trained within the first year of hire. L. Consultant warrants that it is knowledgeable of and in compliance with California Government Code Section 8350 et seq. regarding a drug free workplace. M. Consultant will provide a written critical incident report to the Contract Representative within 48 hours of any incident involving law enforcement,fire or paramedic response, violence, major theft, and on-site drug or alcohol use. N. Consultant will perform monthly evacuation drills with documentation available to Contract Representative upon request. O. Consultant will ensure the health and safety of guests and staff by having a no violence policy. Acts of violence are grounds for immediate expulsion and condition of return to the program is a case conference and safety evaluation of the staff and residents. P. Consultant will provide accommodations in response to Public Health emergencies, including adequate space to isolate those exposed or infected with transmittable diseases, and engagement in Public Health regulatory measures. Q. Consultant will submit any significant changes to policies and procedures related to emergency occupancy operations to City for approval prior to implementation. PAYMENT PROVISIONS Summary cost reporting documentation must be submitted with invoices and all back up documentation retained for five years. Consultant will be paid in accordance with the total budget stipulated as follows and subject to any limitations and specifics contained in this Contract and specific regulations: Project Cost Amount Room Renta) plus misc. costs ($40 x number $293,36Q of rooms x number of days in a month agreed upon during contract period) HMIS license $1,000 Total $294,360 Payments will not be made by City on an invoice unless the previous month's data has been submitted by Consultant and approved by City. This budget is subject to modification with approval of the City Contract Representative,not to exceed the total payment amount as indicated in Section 2 of the main Contract. Consultant agrees to provide City with reports that may be required by County, State or Federal agencies for compliance with this Contract including and not limited to: 1. Consultant is required to enter each resident or provide to City Representative the requested HMIS, Coordinated Entry or Project paperwork as shown in Exhibit C. This includes a completed a valid release of information from the program participant so that information may be inputted into HMIS within 24 hours upon entry and exit. Failure to input or provide complete, accurate and timely client and program information into HMIS may result in payment delay. Cansultant acknowledges and agrees to any training necessary to accurately enter data into the HMIS and Coordinated Entry systems. The HMIS and Coordinated Entry systems are maintained by the NorCal COC's Lead Agency. Consultant shali submit monthly reports to the Contract Representative using the required City format and the Homeless Management Information System (HMIS). Consultant will provide monthly reporting on requested data outcomes and demographics by the Sth of each month. 3. Consultant wi11 track the following performance measures, which are the minimum goals for emergency housing operations and are subject to change at the discretion of the First Amendment to the No Boundaries Contract No. 9479 Contract Representative based on evidence-based practices for the population served and recommendations of the U.S. Department of Housing and Urban Development: • Number of client transitioned into transitional or permanent housing • Number of clients with mental health, physical disability and/or substance use • Number of clients who complete a needs assessment and case management plan • Number of clients who exited with employment income • Number of clients who access to benefits • Number of past clients who had transitioned to housing and returned to the shelter • Number of clients on a waitlist to receive emergency housing 1.4. Consultant will also track: • Number of breathalyzer and drug tests administered, and number failed for each • Number of clients turned away for failed breathalyzer, failed drug test, and/or out of City residency. 4. Consultant may be requested to provide reports out of HMIS to Contract Representative. 5. Consultant sha11 provide client specific data as requested by City. 6. Consultant shall enter into an agreement with the Owner as specified in Exhibit A. City shall have the right to pay the Owner directly for room rentals at the Premises rather than paying the Cantractor. Said payment shall satisfy the City's obligation to Consultant for payment under this Contract. Such payment will reduce the financial obligation of this contract as though payment was made directly to Contractor. EMERGENCY OCCUPANCY SERVICES Consultant will operate the Project as detailed in this Contract for 76 beds for unsheltered clientele. Consultant shall provide a support system of multiple resources and specialized services coordinated to assist guests in obtaining and maintaining stable housing and self- sufficiency. A. Eligible guests are homeless adults, over the age of 18, who have documented homeless status within the City of Redding. B. Consultant will follow agreed upon policy outlined below and track all those turned away for not meeting criteria. o Individual must reside in City of Redding for a minimum of 15 days to establish residency o Individuals must provide verification of residency with one of the following methods: picture I.D. with City of Redding address; proof of mail service in City of Redding; entitlements received in City of Redding (food stamps, SSI, Unemployment Benefits, General Relief etc.);receiving medical or Mental Health Care in City of Redding, ASOC or other provider; recent utility bill in City of Redding. C. Consuitant's first priority is to take individuals into the Project referred by the City of Redding's Crisis Intervention Response Team {CIRT). Consultant's second priority is to take referred individuals through the NorCal Continuum of Care (NorCal COC) Homeless Management Information System (HMIS) and Coordinated Entry, a centralized service people experiencing homelessness access to have to obtain a referral to Emergency Housing and/or be placed a centralized housing list. All new guests entering the program must have a referral from either CIRT or Coordinated Entry that is valid within the past 30 days and present in person at the emergency occupancy for intake and verified eligibility. In addition to ensuring all guests meet program eligibility requirements,Consultant will utilize the Vulnerability Index, a standardized assessment tool utilized by the NorCal Continuum of Care, to ensure the most vulnerable are served. When emergency occupancy is at capaci�y, eligible individuals will be placed on a waitlist which Consultant shall maintain. D. Consultant will have subcontractors or staff on site, at the emergency occupancy, at all times. The paid subcontractors or staff will have the responsibility for intake, assessment, data collection, life safety monitoring, crisis intervention, and daily shift/activity logs. E. Consultant will have a Lead Program Manager who will have the responsibility of overseeing intake, assessment, data collection, life safety monitoring, crisis intervention, and daily shift/ activity logs. F. Services will include a 24 hour/day, 7 days per week program that provides a support system of specialized case management services to connect clients to resources and help resolve homelessness. G. In addition to emergency occupancy, case-management and information and referral services, the program will include: • Three meals per day. Any prepared food will be handled, served and stored under sanitary conditions that meet required health standards, including all environmental health laws and regulations regarding preparation and service. - Laundry services. Sanitary procedures will be established and maintained for washing clothes and maintaining emergency occupancy facilities. • Blankets, sleeping bags, and linens to guests as needed,maintained clean and free of parasitic infestations. • Cots or beds, clean and well maintained. • Restrooms and showers during operating hours. At a minimum, hot water, clean towels, soap and shampoo must be provided for daily showers. Consultant will provide other hygiene necessities, e.g., toothbrushes, feminine hygiene products. H. Consultant must develop an individualized assessment and referral plan for each client. Such plan must include a comprehensive needs assessment. This assessment will then be used to triage and subsequently appropriately case manage, refer and connect clients to various programs across the entire spectrum of care in our community. This desired model wi11 require knowledge of all programs serving homeless individuals,as well as close,collaborative relationships with the provider community. Services are to be provided on a non-secular basis,unless so requested by the client. It is desired that the services listed below are coordinated through case management: • Permanent housing � Primary health services • Mental health services • Alcohol and substance abuse treatment � Mainstream benefits programs � Veterans' services • Employment services • Probation and Parole services � Collaborative Courts I. Consultant shall have written case management procedures and forms that include the following: � A comprehensive needs assessment. The goal of a comprehensive assessment is to determine the client's medical, physical, mental, psychosocial, and emotional health; substance use, domestic violence, education, and employment history; housing readiness; and legal and financial circumstances; and strengths and needs. • Referral procedures. Consultant shall establish referral and follow-up procedures to confirm all referrals made to other services. Documentation of referrals made and referral confirmation must be maintained in client files. • Mainstream benefits. Consultant sha11 establish procedures for screening participants at program entry and intake for eligibility for mainstream bene�ts, particularly relative to Supplemental Security Income (SSI) and/or Social Security Disability Insurance (SSDI), and must assist participants in applying far mainstream benefits for which they are eligible. � Employment Development/Placement Programs. Consultant shall establish and maintain effective working relationships with employment programs and shall assist clients in participating in services to prepare for and obtain housing. • Progress notes. Consultant shall implement a process for follow-up contacts for six (6)months (e.g.,phone calls, office visits, etc.)with those clients that have achieved successful housing placement goals,and adequately document the follow-up contacts in the client files. J. Responding appropriately to emergencies, Consultant shall call 911 when appropriate and report a11 emergency incidents to the designated City of Redding Contract Representative immediately. Additionally, Consultant will provide a hard copy, Incident Report and will include any other supporting documentation. K. Guests will not be allowed to enter and exit the emergency occupancy after curfew without prior approval. Consultant, subcontractor or staff will keep record of those guests who present a pattern of such behavior. A list of individuals will be developed to ensure that anyone who has been deemed inappropriate for services will not be allowed entry. The list will be kept and available for law enforcement staff and HHS staff to review. L. After hours entry will only be available to personnel who may bring an individual to the emergency occupancy for services if bed space allows. M. Consultant must maintain a visitor log requiring all visitors to sign in and out when entering and exiting the Project. N. Consultant must adhere to Housing First Principles, and must provide any rapid rehousing,rental assistance,navigation centers,emergency shelter,and transitional hausing activities in a manner consistent with the Housing First practices described in 25 CCR, Sec�ion 8409, subdivision (b}(1)-(6) and in compliance with WIC Section 8255(b)(8). An Applicant allocated funds for the new construction, rehabilitation, and preservation of Permanent supportive housing shall incorporate the core Department of Housing and Community Development 13 2019 PLHA Fina1 Guidelines components of Housing First, as provided in WIC Section 8255, subdivision(b). SECTION 2. EMERGENCY OCCUPANCY LOCATION A. Consultant shall obtain exclusive right to occupy by virtue of a lease or other similar legal obligation with property owner, Tera Sahara, Inc., (Owner) 46 (forty-six) rooms consisting of 76 beds located at 2731 Bechelli Lane, Redding, CA (Premises). The Consultant shall operate emergency occupancy services detailed under item A. Emer�ency Occupancv Services at this location. B. The Lease of the Premises shall commence on the date this agreement is signed by the City and shall continue for six months or upon a declaration of the City of Redding that use of the premises is no longer necessary to protect the life, health and safety of the public whichever occurs first and unless otherwise terminated in accordance with the terms and conditions of this agreement. C. Room payments shall be based on the daily room rate of FORTY-SEVEN AND 00/100 DOLLARS ($47.00)per room during the extension term of this Agreement(April 1, 2Q23 —April 15, 2023). Owner shall provide a monthly invoice to the Consultant based on each room to be occupied, multiplied by the number of days to be occupied in that month, and then multiplied by the daily room rate. Consultant shall provide this verification to the Contract Representative for payment as specified in this agreement. D. Consultant shall ensure that the Owner, at Owner's sole cost and expense, shall furnish normal and standard hotel operation functions including but not limited to the following services, utilities, and supplies and also to the "common" building areas (if any) such as lobbies, elevators, stairways, corridors, etc., if any: 1. Sewer, trash disposal, and water service, including both hot and cold water to the lavatories. 2. Elevator(if any) service. 3. Electricity and/or gas as necessary to provide power for heating, ventilating, and air conditioning, and electrical or gas service as needed for County's operations. 4. Linen/terry cloth and laundry services. 5. Standard hotel housekeeping/janitorial services at not less than every three days. 6. Toiletries including, shampoo, conditioner, soap, toilet paper, and tissues. 7. Pest control for any pests that may negatively affect the health, safety and peaceful enjoyment of the Project by participants. In the event of failure by the Owner to furnish any of the above services or utilities in a satisfactory manner, the Consultant may furnish the same at its own cost; and, in addition to any other remedy the Consultant may have. E. During the term of this Occupancy Agreement, the Consultant shail maintain the occupied premises in good repair and tenantable condition and shall be responsible for any damage to the units from occupancy of the units under this Agreement. F. If the occupied premises are totally or partially destroyed by fire or other casualty, this Contract may terminate at the sole discretion of the City. SECTION 3. CONDITIONS The parties agree that the intent of this Agreement is for Consultant to provide emergency occupancy and services 24 hours a day, 7 days a week for up to 76 (seventy-six) beds for homeless adults at the specified Premises. A. Cansultant shall provide all services consistent with this Contract. B. Consultant agrees to participate in community meetings as requested by City, including the monthly Shasta Advisory Board of the NorCal COC meeting presently being held at Redding City Hall, located at 777 Cypress Avenue, Caldwell Park Conference Room, second floor,the second Tuesday of each month. G Consultant shall provide at least one (1)management level representative to attend emergency occupancy stakeholder meetings as requested by the CITY. D. Consultant must participate in the Shasta Advisory Board of the NorCal Continuum of Care and identify one staff inember to act as HMIS liaison. E. Consultant will post, and at entry to the program will provide to each guest,a copy of rules of conduct and eonsequences for violations. Grievance policy wi11 be pasted for guests to view. F. City retains the right to enter the Premises and other portions of the Premises at any time. G. No weapons, or illegal drugs are permitted in the building, with the exception of law enforcement which are lawfully entitled to carry weapons as part of their duties. Consultant will provide a secured cabinet in which to safely secure any guest property deemed to be questionable as a potential weapon. Each guest,upon entry, will be questioned as to whether they are in possession of any of these prohibited items. Those guests will have an opportunity to secure or dispose of said contraband prior to entry into the facility. Additionally, a visual assessment of each person and possessions will be done by staff to ensure compliance. Any subsequent violation of said rules will result in eviction and placement on the list identifying evicted guests. H. Consultant shall allow law enforcement access to the facility, guest list, and any other nonconfidential information at all times. I. Consultant and Consultant's officers, agents, and employees shall observe all security regulations/instructions issued by City. J. Consultant will perform 4 interior security checks every hour 24 hours/day,7 days per week and 1 perimeter security check every hour during daylight hours, 7 days per week. Consultant will ensure that no loitering shall be permitted in or around the emergency occupancy site. K. Consultant shall provide sufficient subcontractors or staffing to provide the services set forth in this Services Agreement. Consultant agrees to have subcontractors or staff on site at all times that is trained in Basic First Aid and CPR, Mental Health First Aid & Screening, and drug and alcohol recognition training. All staff must be trained within the first year of hire. L. Consultant warrants that it is knowledgeable of and in compliance with California Government Code Section 8350 et seq. regarding a drug free workplace. M. Consultant will provide a written critical incident report to the Contract Representative within 48 hours of any incident involving 1aw enforcement, fire or paramedic respanse, violence, major theft, and on-site drug or alcohol use. N. Consultant will perform monthly evacuation drills with documentation available to Contract Representative upon request. O. Consultant will ensure the health and safety of guests and staff by having a no violence policy. Acts of violence are grounds for immediate expulsion and condition of return to the program is a case conference and safety evaluation of the staff and residents. P. Consultant will provide accommodations in response to Public Health emergencies, including adequate space to isolate those exposed or infected with transmittable diseases, and engagement in Public Health regulatory measures. Q. Consultant will submit any significant changes to policies and procedures related to emergency occupancy operations to City for approval prior to implementation. R. Fair Housin�. The Fair Housing Act(42 U.S.C. 3600,et seq.)prohibits discrimination in the sale, rental, and financing of housing because of race, color, religion, sex, handicap, familial status, or national origin. Section 804(ca), as amended, makes it unlawful to make, print, publish, or cause to be made, printed or published, any notice, statement, or advertisement, with respect to the sale or rental of a dwelling, that indicates any preference, limitation, or discrimination because of race, color,religion, sex, handicap, familial status, or national origin, or an intention to make any such preference, limitation, or discrimination. A failure to display a Fair Housing poster as required shall be deemed prima facie evidence of a discriminatory housing practice (24 CFR Part 110.30). Exhibit B SECTION 1. PAYMENT PROVISIONS Summary cost reporting documentation must be submitted with invoices and all back up documentation retained for five years. Consultant will be paid in accordance with the total budget stipulated as follows and subject to any limitations and specifics contained in this Contract and specific regulations: Project Cost Amount Contract C—9479- Room Rental plus misc. $234,000 costs ($40 x number of rooms x number of days in a month agreed upon during contract period) (September 2022— February 2Q23) First Amendment ($59,360 plus $1000 HMIS $60,360 November 15, 2022 through February 2023) Second Amendment (Extension through $55,200 March 2023) Fourth Amendment Room Rental rate $32,430 change {$47 x number of rooms x number of days in a month agreed upon during contract period) (April 1, 2023—April 15, 2023) Total $381,990 Payments will not be made by City on an invoice unless the previous month's data has been submitted by Consultant and approved by City. Consultant agrees to provide City with reports that may be required by County, State or Federal agencies for compliance with this Contract inciuding and not limited to: 1. Consultant is required to enter each resident or provide to City Representative the requested HMIS, Coordinated Entry or Project paperwork as shown in Exhibit C. This includes a completed a valid release of information from the program participant so that information may be inputted into HMIS within 24 hours upon entry and exit. Failure to input or provide complete, accurate and timely client and program information into HMIS may result in payment delay. Consultant acknowledges and agrees to any training necessary to accurately enter data into the HMIS and Coordinated Entry systems. The HMIS and Coordinated Entry systems are maintained by the NorCal COC's Lead Agency. Consultant will track the following performance measures, which are the minimum goals for emergency housing operations and are subject to change at the discretion of the Contract Representative based on evidence-based practices for the population served and recommendations of the U.S. Department of Housing and Urban Development: • Number of client transitioned into transitional or permanent housing • Number of clients with mental health, physical disability and/or substance use • Number of clients who complete a needs assessment and case management plan • Number of clients who exited with employment income • Number of clients who access to benefits • Number of past clients who had transitioned to housing and returned to the shelter • Number of clients on a waitlist to receive emergency housing 1.4. Consultant will also track: • Number of breathalyzer and drug tests administered, and number failed for each • Number of clients turned away for failed breathalyzer, failed drug test, and/or out of City residency. 4. Consultant may be requested to provide reports out of HMIS to Contract Representative. 5. Consultant shall provide client specific data as requested by City. 6. Consultant shall enter into an agreement with the Owner as specified in Exhibit A. City shall have the right to pay the Owner directly for room rentals at the Premises rather than paying the Contractor. Said payment shall satisfy the City's obligation to Consultant for payment under this Contract. Such payment will reduce the financial obligation of this contract as though payment was made directly to Contractor. Sanitary procedures will be established and maintained for washing clothes and maintaining emergency occupancy facilities. � Blankets, sleeping bags, and linens to guests as needed,maintained clean and free of parasitic infestations. • Cots or beds, clean and well maintained. • Restrooms and showers during operating hours. At a minimum, hot water, clean towels, soap and shampoo must be provided for daily showers. Consultant will provide ather hygiene necessities, e.g., toothbrushes, feminine hygiene products. H. Consultant must develop an individualized assessment and referral plan for each client. Such plan must include a comprehensive needs assessment.This assessment wi11 then be used to triage and subsequently appropriately case manage, refer and connect clients to various programs across the entire spectrum of care in our community. This desired model will require knowledge of all programs serving homeless individuals,as well as close,collaborative relationships with the provider community. Services are to be provided on a non-secular basis,unless so requested by the client. It is desired that the services listed below are coordinated through case management: • Permanent housing • Primary health services � Mental health services • Alcohol and substance abuse treatment � Mainstream benefits programs • Veterans' services � Employment services � Probation and Parole services • Collaborative Courts I. Consultant shall have written case management procedures and forms that include the following: � A comprehensive needs assessment. The goal of a comprehensive assessment is to determine the client's medical, physical, mental, psychosocial, and emotional health; substance use, domestic violence, education, and employment history; housing readiness; and legal and financial circumstances; and strengths and needs. � Referral procedures. Consultant shall establish referral and follow-up procedures to confirm all referrals made to other services. Documentation of referrals made and referral confirmation must be maintained in client files. � Mainstream benefits. Consultant shall establish procedures for screening participants at program entry and intake far eligibility for mainstream benefits, particularly relative to Supplemental Security Income (SSI)and/or Social Security Disability Insurance (SSDI), and must assist participants in applying for mainstream benefits for which they are eligible. � Employment Development/Placement Programs. Consultant shall establish and maintain effective working relationships with employment programs and shall assist clients in participating in services to prepare for and obtain housing. � Progress notes. Consultant sha11 implement a process for follow-up contacts for six (6)months (e.g., phone calls, office visits, etc.)with those clients that have achieved successful housing placement goals, and adequately document the follow-up contacts in the client files. J. Responding appropriately to emergencies, Consultant shall call 911 when appropriate and report all emergency incidents to the designated City of Redding Contract Representative immediately. Additionally, Consultant will provide a hard copy, Incident Report and will include any other supporting documentation. K. Guests will not be allowed to enter and exit the emergency occupancy after curfew without prior approval. Consultant, subcontractor ar staff will keep record of those guests who present a pattern of such behavior. A list of individuals will be developed to ensure that anyone who has been deemed inappropriate for services will not be allowed entry. The list will be kept and available for law enforcement staff and HHS staff to review. L. After hours entry will only be available to personnel who may bring an individual to the emergency occupancy for services if bed space allows. M. Consultant must maintain a visitor log requiring all visitors to sign in and out when entering and exiting the Project. N. Consultant must adhere to Housing First Principles, and must provide any rapid rehousing,rental assistance,navigation centers,emergency shelter,and transitional housing activities in a manner consistent with the Housing First practices described in 25 CCR, Section $409, subdivision (b)(1)-(6) and in compliance with WIC Section 8255(b)(8). An Applicant allocated funds for the new construction, rehabilitation, and preservation of Permanent supportive housing shall incorporate the core Department of Housing and Community Development 13 2019 PLHA Final Guidelines components of Housing First; as provided in WIC Section 8255, subdivision(b). SECTION 2. EMERGENCY OCCUPANCY LOCATION A. Consultant shall obtain exclusive right to occupy by virtue of a lease or other similar legal obligation with property owner, Tera Sahara, Inc., (Owner) 46 (forty-six) rooms consisting af 76 beds located at 2731 Bechelli Lane, Redding, CA (Premises). The Consultant shall operate emergency occupancy services detailed under item A. Emer�enc�cu�ancy Services at this location. B. The Lease of the Premises shall cammence on the date this agreement is signed by the City and shall continue for six months or upon a declaration of the City of Redding that use of the premises is no longer necessary to protect the life, health and safety of the public whichever occurs first and unless otherwise terminated in accordance with the terms and conditions of this agreement. C. Room payments shall be based on the daily room rate of FORTY-SEVEN AND 00/100 DOLLARS ($47.00)per room during the extension term of this Agreement (Apri12023 —December 2023). Owner shall provide a monthly invoice to the Consultant based on each room to be occupied, multiplied by the number of days to be occupied in that month, and then multiplied by the daily room rate. Consultant shall provide this verification to the Contract Representative for payment as specified in this agreement. D. Consultant shall ensure that the Owner, at 4wner's sole cost and expense, shall furnish normal and standard hotel operation functions including but not limited to the following services, utilities, and supplies and also to the "common" building areas (if any) such as lobbies, elevators, stairways, corridors, etc., if any: 1. Sewer, trash disposal, and water service, including both hot and cold water to the lavatories. 2. Elevator(if any) service. 3. Electricity and/or gas as necessary to provide power for heating, ventilating, and air conditioning, and electrical or gas service as needed for County's operations. 4. Linen/terry cloth and laundry services. 5. Standard hotel housekeeping/janitorial services at not less than every three days. 6. Toiletries including, shampoo, conditioner, soap, toilet paper, and tissues. 7. Pest control for any pests that may negatively affect the health, safety and peaceful enjoyment of the Project by participants. In the event of failure by the Owner to furnish any of the above services or utilities in a satisfactory manner, the Consultant may furnish the same at its own cost; and, in addition to any other remedy the Consultant may have. E. During the term of this Occupancy Agreement, the Consultant sha11 maintain the occupied premises in good repair and tenantable condition and shall be responsible for any damage to the units from occupancy of the units under this Agreement. F. If the occupied premises are totally or partially destroyed by fire or other casualty, this Contract may terminate at the sole discretion of the City. SECTION 3. CONDITIONS The parties agree that the intent of this Agreement is for Consultant to provide emergency occupancy and services 24 hours a day, 7 days a week for up to 76 (seventy-six) beds for homeless adults at the specified Premises. A. Consultant shall provide all services consistent with this Contract. B. Consultant agrees to participate in community meetings as requested by City, including the monthly Shasta Advisory Board of the NorCal COC meeting presently being held at Redding City Hall, located at 777 Cypress Avenue, Caldwell Park Conference Roam, second floor,the second Tuesday of each month. C. Consultant shall provide at least one(1)management level representative to attend emergency occupancy stakeholder meetings as requested by the CITY. D. Consultant must participate in the Shasta Advisory Board of the NorCal Continuum of Care and identify one staff inember to act as HMIS liaison. E. Consultant will post, and at entry to the program will provide to each guest, a copy of rules of conduct and consequences for violations. Grievance policy will be posted for guests to view. F. City retains the right to enter the Premises and other portions of the Premises at any time. G. No weapons, or illegal drugs are permitted in the building, with the exception of 1aw enforcement which are lawfully entitled to carry weapons as part of their duties. Consultant will provide a secured cabinet in which to safely secure any guest property deemed to be questionable as a potential weapon. Each guest,upon entry, will be questioned as to whether they are in possession of any of these prohibited items. Those guests will have an opportunity to secure or dispose of said contraband prior to entry into the facility. Additionally, a visual assessment of each person and possessions will be done by staff to ensure compliance. Any subsequent violation of said rules will result in eviction and placement on the list identifying evicted guests. H. Consultant sha11 allow law enforcement access to the facility, guest list, and any other nonconfidential information at all times. I. Consultant and Consultant's officers, agents, and employees shall observe all security regulations/instructions issued by City. J. Consultant wi11 perform 4 interior security checks every hour 24 hours/day,7 days per week and 1 perimeter security check every hour during daylight hours, 7 days per week. Consultant will ensure that no loitering shall be permitted in or around the emergency occupancy site. K. Consultant shall provide sufficient subcontractors or staffing to provide the services set forth in this Services Agreement. Consultant agrees to have subcontractors or staff on site at a11 times that is trained in Basic First Aid and CPR, Mental Health First Aid & Screening, and drug and alcohol recognition training. All staff must be trained within the first year of hire. L. Consultant warrants that it is knowledgeable of and in compliance with California Government Code Section 8350 et seq. regarding a drug free workplace. M. Consultant will provide a written critical incident report to the Contract Representative within 48 hours of any incident involving law enforcement,fire or paramedic response, violence, major theft, and on-site drug or alcohol use. N. Consultant will perform monthly evacuation drills with documentation available to Contract Representative upon request. O. Consultant will ensure the health and safety of guests and staff by having a no violence policy. Acts of violence are grounds for immediate expulsion and condition of return to the program is a case conference and safety evaluation of the staff and residents. P. Consultant will provide accommodations in response to Public Health emergencies, including adequate space to isolate those exposed or infected with transmittable diseases, and engagement in Public Health regulatory measures. Q. Consultant will submit any significant changes to policies and procedures related to emergency occupancy operations ta City for approval prior to implementation. R. Fair Housin�. The Fair Housing Act(42 U.S.C. 3600,et seq.)prohibits discrimination in the sale, rental, and financing of housing because of race, color, religion, sex, handicap, familial status, or national origin. Section 804(ca), as amended, makes it unlawful to make,print,publish, or cause to be made,printed or published,any notice, statement, or advertisement, with respect to the sale or rental of a dwelling, that indicates any preference, limitation, or discrimination because of race, colar,religion, sex, handicap, familial status, or national origin, or an intention to make any such preference, limitation, or discrimination. A failure to display a Fair Housing poster as required shall be deemed prima facie evidence of a discriminatory housing practice(24 CFR Part 110.30). Exhibit B SECTION 1. PAYMENT PROVISIONS Summary cost reporting documentation must be submitted with invoices and all back up documentation retained for five years. This budget is subject to modification with approval of the City Contract Representative, not to exceed the total payment amount as indicated in Section 2 of the main Contract. Consultant agrees to provide City with reports that may be required by County, State or Federal agencies for compliance with this Contract including and not limited to: l. Cansultant is required to enter each resident or provide to City Representative the requested HMIS, Coordinated Entry or Project paperwork as shown in Exhibit C. This includes a completed a valid release of information from the program participant so that information may be inputted into HMIS within 24 hours upon entry and exit. Failure to input or provide complete, accurate and timely client and program information into HMIS may result in payment delay. Consultant acknowledges and agrees to any training necessary to accurately enter data into the HMIS and Coordinated Entry systems. The HMIS and Coordinated Entry systems are maintained by the NorCal COC's Lead Agency. Consultant will track the following performance measures, which are the minimum goals for emergency housing operations and are subject to change at the discretion of the Contract Representative based on evidence-based practices for the population served and recommendations of the U.S. Department of Housing and Urban Development: • Number of client transitioned into transitional or permanent housing • Number of clients with mental health,physical disability and/or substance use • Number of clients who complete a needs assessment and case management plan • Number of clients who exited with employment income • Number of clients who access to benefits • Number of past clients who had transitioned to housing and returned to the shelter • Number of clients on a waitlist to receive emergency housing 1.4. Consultant will alsa track: • Number of breathalyzer and drug tests administered, and number failed for each • Number of clients turned away for failed breathalyzer, failed drug test, and/or out of City residency. 4. Consultant may be requested to provide reports out of HMIS to Contract Representative. 5. Consultant shall provide client specific data as requested by City. 6. Consultant shall enter into an agreement with the Owner as specified in Exhibit A. City shall have the right to pay the Owner directly for room rentals at the Premises rather than paying the Contractor. Said payment shall satisfy the City's obligation to Consultant for payment under this Contract. Such payment will reduce the financial obligation of this contract as though payment was made directly to Contractor. FIFTH AMENDMENT TO THE PROFESSIONAL SERVICES AND CONSULTING AGREEMENT WITH NO BOUNDARIES TRANSITIONAL HOUSING, INC., (C-9479) The Professional Services and Consulting Agreement ("Agreement") dated September 14, 2022, amended on November 21, 2022, February 21, 2023, March 27, 2023 and Apri15, 2023, between the City of Redding ("City") and No Boundaries Transitional Housing, Inc. ("Consultant") is hereby further amended as follows: SECTION 2.A. is hereby amended to read in its entirety as follows: , A. City shall pay Consultant for services rendered pursuant to this Contract, at the times and in the manner set forth in Exhibit B, attached and incorporated herein, in a total amount not to exceed One Million Two Hundred Seventy-six Thousand Eight Hundred and no/100 ($1,276,800). This sum includes all expenses incurred by Consultant that are specifically associated with the provision of services under this Contract. The payments specified herein shall be the only payments to be made to Consultant for services rendered pursuant to this Contract. The sum set forth herein is intended to compensate Consultant for all services set forth in this Contract including, but not limited to, all supportive services and lodging set forth in this Contract. Exhibit A is hereby deleted and replaced with Exhibit A attached hereto retroactive to the Effective Date of this Agreement. Exhibit B is hereby deleted and replaced with Exhibit B attached hereto retroactive to the Effective Date of this Agreement. All other terms and conditions of the Agreement shall remain in full force and effect. The Effective Date of this Amendment to the Professional Services and Consulting Agreement with Consultant shall be the date executed by the City. Consultant shall provide a support system of multiple resources and specialized services coordinated to assist guests in obtaining and maintaining stable housing and self-sufficiency. A. Eligible guests are homeless adults, over the age of 18, who have documented homeless status within the City of Redding. B. Consultant will follow agreed upon policy outlined below and track all those turned away for not meeting criteria. o Individual must reside in City of Redding for a minimum of 15 days to establish residency o Individuals must provide verification of residency with one of the following methods: picture I.D. with City of Redding address; proof of mail service in City of Redding; entitlements received in City of Redding (food stamps, SSI, Unemployment Benefits, General Relief etc.);receiving medical or Mental Health Care in City of Redding, ASOC or other provider; recent utility bill in City of Redding. G Consultant's first priority is to take individuals into the Project referred by the City of Redding's Crisis Intervention Response Team (CIRT). Consultant's second priority is to take referred individuals through the NorCal Continuum of Care (NorCal COC) Homeless Management Information System (HMIS) and Coordinated Entry, a centralized service people experiencing homelessness access to have to obtain a referral to Emergency Housing and/or be placed a centralized housing list. All new guests entering the program must have a referral from either CIRT or Coordinated Entry that is valid within the past 30 days and present in person at the emergency occupancy for intake and verified eligibility. In addition to ensuring all guests meet program eligibility requirements,Consultant will utilize the Vulnerability Index, a standardized assessment tool utilized by the NorCal Continuum of Care, to ensure the most vulnerable are served. When emergency occupancy is at capacity, eligible individuals will be placed an a waitlist which Consultant shall maintain. D. Consultant will have subcontractors ar staff on site, at the emergency occupancy, at all times. The paid subcontractors or staff will have the responsibility for intake, assessment, data collection, life safety monitoring, crisis intervention, and daily shiftJactivity logs. E. Consultant will have a Lead Program Manager who will have the responsibility of overseeing intake, assessment, data collection, life safety monitoring, crisis intervention, and daily shift/activity logs. F. Services will include a 24 hour/day, 7 days per week program that provides a support system of specialized case management services to connect clients to resources and help resolve homelessness. G. In addition to emergency occupancy, case-management and information and referral services, the program will include: ■ Three meals per day. Consultant agrees to have subcontractors or staff on site at all times that is trained in Basic First Aid and CPR, Mental Health First Aid & Screening, and drug and alcohol recognition training. All staff must be trained within the first year of hire. L. Consultant warrants that it is knowledgeable of and in compliance with California Government Code Section 8350 et seq. regarding a drug free workplace. M. Consultant will provide a written critical incident report to the Contract Representative within 48 hours of any incident involving law enforcement, fire or paramedic response, violence, major theft, and on-site drug or alcohol use. N. Consultant will perform monthly evacuation drills with documentation available to Contract Representative upon request. O. Consultant will ensure the health and safety of guests and staff by having a no violence policy. Acts of violence are grounds for immediate expulsion and condition of return to the program is a case conference and safety evaluation of the staff and residents. P. Consultant will provide accommodations in response to Public Health emergencies, including adequate space to isolate those exposed or infected with transmittable diseases, and engagement in Public Health regulatory measures. Q. Consultant will submit any significant changes to policies and procedures related to emergency occupancy operations to City for approval prior to implementation. R. Fair Housin�. The Fair Housing Act(42 U.S.C. 3600, et seq.)prohibits discrimination in the sale, rental, and financing of housing because of race, color, religion, sex, handicap, familial status, or national origin. Section 804(ca), as amended, makes it unlawful to make,print,publish, or cause to be made,printed or published,any notice, statement, or advertisement, with respect to the sale or rental of a dwelling, that indicates any preference, limitation, or discrimination because of race, color, religion, sex, handicap, familial status, or national origin, or an intention to make any such preference, limitation, or discrimination. A failure to display a Fair Housing poster as required shall be deemed prima facie evidence of a discriminatory hausing practice(24 CFR Part 110.30). Exhibit B SECTION 1. PAYMENT PROVISIONS Summary cost reporting documentation must be submitted with invoices and all back up documentation retained for five years. Consultant will be paid in accordance with the total budget stipulated as follows and subject to any limitations and specifics contained in this Contract and specific regulations: Project Cost Amount Contract C—9479- Room Rental plus misc. $234,000 costs ($40 x number of rooms x number of days in a month agreed upon during contract period) (September 2022— February 2023) First Amendment ($59,360 plus $1000 HMIS $60,360 November 15, 2022 through February 2023j Second Amendment (Extension through $55,200 March 2023) Fourth Amendment Room Rental rate $32,430 change ($47 x number of rooms x nurnber of days in a month agreed upon during contract period) (April 1, 2023—April 15, 2023) Fourth Amendment Room Rental rate $551,300 change maximum per unit amount ($47 x number of rooms x number of days in a month agreed upon during contract period) (April 16, 2023—December 2023) Fifth Amendment—additional 20 rooms $343,500 specifically for persons exiting Lost Lane Encampment Project Total $1,276,800 Payments will not be made by City on an invoice unless the previous month's data has been submitted by Consultant and approved by City. ' This budget is subject to modification with approval of the City Contract Representative,not to exceed the total payment amount as indicated in Section 2 of the main Contract. Consultant agrees to provide City with reports that may be required by County, State or Federal agencies for compliance with this Cantract including and not limited to: 1. Consultant is required to enter each resident or provide to City Representative the requested HMIS, Coordinated Entry or Project paperwork as shown in Exhibit C. This includes a completed a valid release of information from the program participant so that information may be inputted into HMIS within 24 hours upon entry and exit. Failure to input or provide complete, accurate and timely client and program information into HMIS may result in payment delay. Consultant acknowledges and agrees to any training necessary to accurately enter data into the HMIS and Coordinated Entry systems. The HMIS and Coordinated Entry systems are maintained by the NorCal COC's Lead Agency. Consultant shall submit monthly reports to the Contract Representative using the required City format and the Homeless Management Information System (HMIS). Consultant will provide monthly reporting on requested data outcomes and demographics by the Sth of each month. 3. Consultant will track the following performance measures, which are the minimum goals for emergency housing operations and are subject to change at the discretion of the Contract Representative based on evidence-based practices for the population served and recommendations of the U.S. Department of Housing and Urban Development: • Number of client transitioned into transitional or permanent housing • Number of clients with self-disclosed mental health,physical disability and/or substance use • Number of clients who complete a needs assessment and case management plan • Number of clients who exited with employment income • Number of clients who exit with public benefits • Number of past clients who had transitioned to housing and returned to the shelter • Number of clients on a waitlist to receive emergency housing 4. Consultant may be requested to provide reports out of HMIS to Contract Representative. 5. Consultant shall provide client specific data as requested by City. 6. Consultant shall enter into an agreement with the Owner as specified in Exhibit A.
