Recommendation Authorize and approve the following actions: (1) Approve the Concession Agreement (C-7180) with Todd Franklin, dba TF Investment Group, LLC, for a food truck court called "The Park" located at Carnegie Park for a ten (10) year term commencing on March 1, 2023, and terminating on March 1, 2033, with monthly rent in the amount of$1,020 with two percent increases annually; (2) Authorize the City Manager to sign the Concession Agreement; and (3) Find that the adoption of the Concession Agreement is categorically exempt from review under the California Environmental Quality Act Guidelines pursuant to Section 15301 of Title 14 of the California Code of Regulations — Existing Facilities, because renewal of the lease wi11 not result in a significant impact on the environment and will not cause an expansion of the existing use. Fiscal Impact Should the City Council approve the Concession Agreement, the rental income will start at $12,240 a year with a two percent annual escalator. The income from the arrangement wi11 be modest; however, the agreement defers maintenance and some utilities costs to the concessionaire, and it is anticipated that there wi11 be a continued reduction in vandalism and calls for public safety. Alternative Action The City Council could decline to approve the eoneession agreement, which would leave in place the current agreement executed in October 2018, or provide staff with an alternate direction. Report to Redding City Council February 15,2023 Re: 9.6(a')--Carnegie Park Concession Agreement(C-7180) Page 2 Background/Analysis At its March 21, 2017, meeting, the City Council approved a Concession Agreement with Todd Franklin for a food truck/trailer court operation called"The Park." The Park, located in Carnegie Park, opened its doors in 2018 and has since provided a setting for a food truck dining area and live musical entertainment for the community. The original agreement has been amended twice, and a re-negotiated agreement was executed in 2018. Over the last four years, staff has learned more about the marketplace and operational constraints. This revised agreement includes adjustments which reflect the current conditions. The Community Services Advisory Commission received a presentation from Mr. Franklin in September 2022 and unanimously approved the recommendation for the inodifications presented in the attached agreement at its February 7, 2023, meeting. Highlights of the agreement that remain the same are as follows: • Concessionaire shall pay monthly rent of $1,020 with two percent increases annually; • The Park shall operate at least four(4) days per week; • The number of allowable food trucks/trailers present at any time is a minimum of three and a maximum of seven; • Concessionaire provides maintenance, including trash removal, landscape maintenance, and restroom maintenance; and • Permission is required from the City to make any improvements or modifications to Carnegie Park. Recommended modifications are: • Weather conditions might result in cancelation of operation when outdoor temperatures reach 105 degrees or more, 60 degrees or less, or when one-inch or more of rain is accumulated in the 24 hours prior or when it is predicted to occur. • The agreement term is for ten (10) years, instead of f"ive (5)rolling two-year terms as noted previously. • Concessionaire can terminate the agreement with 120 days' notice. City can terminate for cause. • Concessionaire pays for electrical and future sewer utility expenses. City pays for water. Environment Review The adoption of this Concession Agreement is categorically exempt from environmental review under the California Environmental Quality Act pursuant to Section 15301 of Title 14 of the Cali�ornia Code of Regulations. This exemption permits the lease of existing public facilities when there is negligible or no expansion of use. The adoption of this Lease does not expand the use of the facility beyond what was originally eontemplated in the lease dated Apri14, 2017, as amended from time to time. This Lease likewise does not expand the use of the facility by means of an extension to its term. Attachments 2023 Carnegie Park Concession Agmt (C-�180) 2018_C-7180 - Concession Agmt CONCESSION AGREEMENT (C-7184) THIS AGREEMENT is made at Redding, California, by and between the City of Redding("CITY"), a municipal corporation,and TF Investment Group LLC("CONCESSIONAIRE"). WHEREAS, CONCESSIONAIRE desires to operate an outlet for the purpose of selling food and beverages at Carnegie Park by means of food trucks/trailers; and WHEREAS, CITY desires to enhance the offerings and opportunities for the public at Carnegie Park. NOVV THEREFORE, the parties mutually agree as follows: SECTION 1. USE OF PREMISES. A. For and in consideration of the food and beverage products contributed and the covenants to be performed by the CONCESSIONAIRE under this Concession Agreement ("Agreement"), CITY hereby agrees to grant a non-exclusive license to CONCESSIONAIRE to sell food and beverages at Carnegie Park only, and CONCESSIONAIRE agrees to conduct such business, on the terms and conditions set forth as follows: 1. Use of Carnegie Park for the purpose of a sale of food and beverages shall occur solely by means of a food truck/trailer. 2. The number of food trucks/trailers present at any one time at Carnegie Park shall be a minimum of three (3) food trucks/trailers and no more than seven (7) food trucks/trailers. 3. CONCESSIONAIRE is not permitted to install or construct improvements at Carnegie Park without the prior approval of the City Manager of the City of Redding or his designee. 4. CONCESSIONAIRE shall conduct operations at least four(4)days per week,defined herein as commencing on Sunday and concluding on Saturday,at least four(4)hours per day starting no earlier than 11:00 a.m. and ending no later than 10:00 p.m. Notwithstanding Section 1.A.4., hours in excess of this schedule may include fewer than three(3)trucks. a. CONCESSIONAIRE is excused from performance during working hours, as defined in this subdivision, when: temperatures exceed One Hundred and Five (105) degrees Fahrenheit; temperatures fall below sixty (60) degrees Fahrenheit; rainfall is forecasted; or rainfall in the preceding twenty- four (24) hours exceeds one half(1/2) inch cumulative total or rain is predicted 24 hours prior by the National Weather Service (www.forecast.weather.gov). 5. CONCESSIONAIRE shall exercise due diligence to keep Carnegie Park free of all Concession Agmt(G7180):Carnegie Park Food Trucks 1 ' trash and shall likewise exercise due diligence in maintaining landscaping and portable restrooms at Carnegie Park. 6. CONCESSIONAIRE will pay the cost of electric and sewer(if connected) utilities at Carnegie Park beginning on March 23`d, 2023. CITY will transfer billing account to CONCESSIONAIRE. 7. CONCESSIONAIRE shall, at all times while present at Carnegie Park, display a business license issued by the Clerk of the City of Redding so that it is visible to the public and shall retain a copy of this Agreement on- site. 8. CONCESSIONAIRE shall, at CONCESSIONAIRE'S own cost and expense, comply with all statutes, ordinances, regulations and requirements of all governmental entities, federal, state and county or municipal, relating to food service. If any license, permit, or other governmental authorization is required for the CONCESSIONAIRE'S operation, the CONCESSIONAIRE shall procure and maintain it, at CONCESSIONAIRE'S sole cost and expense, throughout the term of this Agreement. 9. CONCESSIONAIRE shall, following the termination of the agreement, relinquish ownership of all permanent and CITY approved physical tenant improvements, subject to Section A4 of this agreement, in Carnegie Park to the CITY. CITY will determine if improvements will remain and remove at its own cost and discretion. 10. CONCESSIONAIRE agrees to provide adequate public restroom facilities pursuant to Shasta County Public Health requirements through the use of portable restrooms or CITY approved contracts. SECTION 2. CITY OF REDDING RESPONSIBILITIES. A. The City of Redding shall continue to pay the cost of water utilities at Carnegie Park and maintain misters. SECTION 3. TERM OF CONCESSION AND TERMINATION. A. The term of CONCESSIONAIRE'S operations shall be for a period of ten (10) years commencing on March 1, 2023 and terminating on March 1, 2033. B. Notwithstanding the term of this Agreement, this Agreement shall be deemed binding on the Parties as of the date of this Concessionaire Agreement. C. This Agreement may be terminated for cause upon Thirty (30) calendar days' written notice without opportunity to cure. The Parties hereby agree that the breach of any term or condition of this Concession Agreement is a material breach. D. This Agreement may be terminated without cause by CONCESSIONAIRE with 120 days notice. Concession Agmt(C-7180):Carnegie Park Food Trucks 2 SECTION 4. FEE AND SECURITY DEPOSIT. A. In consideration ofthe access privileges specified herein, CONCESSIONAIRE agrees to pay City One Thousand Twenty dollars ($1020.00) per month due and payable on the first Monday of each month. Beginning July l, 2023, and annually thereafter, the fee increases by two percent. B. CONCESSIONAIRE has, contemporaneously with the execution of this Agreement, deposited with CITY a security deposit ("the Security Deposit") in the sum of Two Thousand dollars ($2000.00), the receipt of which is hereby acknowledged by CITY, to be held and applied by CITY in the following manner: 1. If, at any time during the term of this Agreement, CONCESSIONAIRE damages park facilities or fails to meet its obligations pursuant to Section I of this Agreement,CITY may, at CITY'S option,appropriate and apply any portion of the Security Deposit, up to the whole amount of that deposit, to the payment for remedy of such actions. In the event of any such appropriation and application by CITY, CONCESSIONAIRE shall promptly on receipt of written demand by CITY, restore the amount so appropriated or applied to the Security deposit. CONCESSIONAIRE'S failure to do so within Twenty(20) calendar days after receipt of the written demand by CITY shall constitute a material breach of this Agreement by CONCESSIONAIRE. 2. Should CONCESSIONAIRE, at any time during the term of this Agreement, be in default of the performance of any of the terms, covenants, or conditions of this Agreement, CITY may, after terminating this Agreement, appropriate and apply any portion of the Security Deposit, up to the whole amount of the Security Deposit, that may be required to compensate CITY for damages caused by CONCESSIONAIRE'S breach to the payment of those damages to CITY. 3, Should CONCESSIONAIRE fully and faithfully perform all the terms, covenants, and conditions of this Agreement, including the prompt payment of Fee as required, CITY shall, on expiration or earlier termination of this Agreement, return the full amount of the Security Deposit without interest to CONCESSIONAIRE. SECTION 5. NON-EXCLUSIVE USE. A. This Concession Agreement is non-exclusive and the City reserves the right to make use of Carnegie Park for whatever public purpose it deems appropriate during the term of this Agreement. B. CONCESSIONAIRE shall not interfere with City's or the public's use of Carnegie Park to include, but not limited to, making use of the stage for performances or the establishment of vendor space at Carnegie Park during events scheduled by CITY. Concession Agmt(C-7180j:Carnegie Park Food Trucks 3 SECTION 6. INSURANCE REQUIREMENT FOR CONCESSIONAIRE. A. Unless modified in writing by City's Risk Manager, CONCESSIONAIRE shall maintain the following noted insurance during the duration of the Contract: Covera�e Required Not Required Comrnercial General Liability X Comprehensive Vehicle Liability X Workers'Compensation and Employers' liability X Professional Liability(Errors and Omissions) X Food Borne Illness X (Place an"x" in the appropriate box) B. The CONCESSIONAIRE shall procure and maintain for the duration of the contract insurance for claims for injuries to persons or damage to properly which may arise from or in connection with the performance of the work hereunder by the CONCESSIONAIRE, its agents, representatives, employees or volunteers. The cost of such insurance shall be at the CONCESSIONAIRE'S own expense. C. Minimum Scope ofInsurance Coverage shall be at least as broad as: (1)Insurance Services Office Commercial General Liability coverage (occurrence form CG 0001); (2) proof of Vehicle Insurance coverage; (3) Workers' Compensation insurance as required by the State of California and Employers' Liability insurance and (4) Food Borne Illness insurance coverage. D. CONCESSIONAIRE shall maintain limits no less than: (1) General Liability: $1,000,000 per occurrence for bodily injury, personal injury and property damage. If Commercial General Liability insurance or other form with a general aggregate limits is used, the general aggregate limit shall be twice the required occurrence limit; (2)Vehicle Liability coverage; and(3) Employers' Liability: $1,000,000 per accident for bodily injury or disease. E. The General Liability policy ic to contain or be endorsed to contain the following provisions: (1) the City, its officers, officials, employees, agents and volunteers are to be covered as additional insureds as respects: liability arising out of work performed by or on behalf of the CONCESSIONAIRE; products and completed operations of the CONCESSIONAIRE; premises owned, occupied or used by the CONCESSIONAIRE; or automobiles owned, leased, hired or borrowed by the CONCESSIONAIRE. The coverage shall contain no special limitations of the scope of protection afforded to the City, its officers, officials, employees, agents or volunteers; (2) for any claims related to this project, the CONCESSIONAIRE's insurance coverage shall be primary insurance as respects the City, its officers, officials, employees, agents or volunteers. Any insurance or self-insurance maintained by the City, its officers, officials, employees, agents or volunteers shall be excess of the CONCESSIONAIRE's insurance and shall not contribute with it; and (3) each insurance policy required by this clause shall be endorsed to state that coverage shall not be canceled except after thirty (30) days prior written notice has been given to the entity. Concession Agmt(C-7180):Carnegie Park Food Trucks 4 F. Insurance is to be placed with insurers with a current A.M. Best's rating of no less than A- VII. G. CONCESSIONAIRE shall furnish the City with certificates of insurance and original endorsements effecting coverage required by this clause. The endorsements are to be signed by a person authorized by that insurer to bind coverage on its behal£ All endorsements are to be received and approved to the City before use of premise. SECTION 7. ASSIGNMENT. A. No portion of the concession permitted by this Agreement shall be assigned,transferred, conveyed, or subcontracted without written consent of the City Manager. B. In the event that assignment, transfer, conveyance or subcontract is permitted by the City, the beneficiary of such transfer shall be required to enter into an agreement with the City prior to commencing operations to bind itself to the covenants,terms and conditions set forth herein and as otherwise approved by the City Attorney. SECTION 8. INDEMNITY AND HOLD HARMLESS. A. CONCESSIONAIRE hereby agrees to protect defend, indemnify and hold harmless CITY, its officers,elected or appointed officials,employees,agents and volunteers from and against any and all liability, claims, damages, losses, expenses, judgments, demands, penalties, fines, defense costs, and consequential damage or liability of any kind or nature, however caused, arising directly or indirectly out of the obligations or operations herein undertaken by CONCESSIONAIRE, caused in whole or in part by any act or omission of the CONCESSIONAIRE, any subcontractors, any directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, including but not limited to concurrent passive negligence,except where caused by the sole negligence or willful misconduct of the CITY. B. CONCESSIONAIRE will conduct all defense at its sole cost and expense and CITY shall have the right to approve or disapprove CONCESSIONAIRE'S legal counsel. CITY shall be reimbursed for all costs, including expert witness fees, and attorney's fees incurred by CITY in enforcing this obligation. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONCESSIONAIRE. SECTION 9. REPRESENTATIVES OF THE PARTIES. CITY CONCESSIONAIRE Kimberly A. Each of the undersigned signatories hereby represents and warrants that they are authorized to execute this Agreement on behalf of the respective parties to this agreement;that they have full right, power and lawful authority to undertake all obligations as provided in this agreement; and that the execution, performance and delivery of this agreement by said signatories has been fully authorized by all requisite actions on the part of the respective parties to this agreement. SECTION 11. INDEPENDENT CONTRACTOR STATUS AND TAX. A. Consultant shall, during the entire term of this Agreement,be construed to be an independent contractor and nothing in this Agreement is intended, nor shall it be construed, to create an employer/employee relationship,association,joint venture relationship,trust or partnership or to allow CITY to exercise discretion or control over the professional manner in which CONCESSIONAIRE performs under this Agreement. B. Any and all taxes imposed on CONCESSIONAIRE's income, imposed or assessed by reason of this Agreement or its performance,including but not limited to sales or use taxes, shall be paid by CONCESSIONAIRE. CONCESSIONAIRE shall be responsible for any taxes or penalties assessed by reason of any claims that CONCESSIONAIRE is an employee of CITY. CONCESSIONAIRE shall not be eligible for coverage under CITY's workers' compensation insurance plan, benefits under the Public Employee Retirement System or be eligible for any other City benefit. C. Pursuant to Revenue and Taxation Code section 107.6, CONCESSIONAIRE is hereby advised that this document may create a possessory interest subject to taxation. CONCESSIONAIRE shall be fully liable for the payment of such tax, and CITY shall have no liability or contribution for said tax. SECTION 12. ENTIRE AGREEMENT. A. This document, including all exhibits, contains the entire agreement between the parties and supersedes whatever oral or written understanding each may have had prior to the execution of this Agreement. This Agreement shall not be altered, amended or modified except by a writing signed by CITY and CONCESSIONAIRE. B. When the Mayor is signatory to this Contract, the City Manager and/or the Department Director having direct responsibility for managing the services provided herein shall have authority to execute any amendment to this Contract which does not substantially change the scope of the services provided herein. SECTION 13. GOVERNING LAW AND VENUE. A. This Agreement shall be deemed to have been entered into in Redding, California; all questions of the validity, interpretation or performance of any of its terms or of any rights or obligations of the parties to this Agreement shall be governed by California law; and any action brought by either party to enforce any of the terms of this Agreement shall be filed in the Shasta County Superior Court. In the performance of this Agreement, CONCESSIONAIRE shall not discriminate against any customer, employee or applicant for employrnent because of race, color, ancestry, national origin, religious creed, sex, disability, age, marital status, political affiliation, or membership or non-membership in any organization. CONCESSIONAIRE shall take affirmative action to ensure applicants are employed and that employees are treated during their employment without regard to their race, color, ancestry, national origin, religious creed, sex, disability, age, marital status, political affiliation, or membership or non- membership in any organization. Such actions shall include, but not be limited to, the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training. SECTION 15. NO PARTY DEEMED DRAFTER. A. In the event of a dispute between the parties hereto over the meaning of this Agreement,no party shall be deemed to have been the drafter hereof, and the principle of law set forth in Civil Code §1654 that contracts are constructed against the drafter shall not apply. SECTION 16. NO THIRD PARTY BENEFICIARIES. A. This Agreement gives no rights or benefits to anyone not named as a party to this Agreement,and there are no third-party beneficiaries to this Agreement. SECTIONI7. SEVERABILITY. A. If any portion of this Agreement or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent,the remainder of this Agreement shall not be affected thereby and shall be enforced to the greatest extent permitted by law. SECTION 18. HEADINGS, ASSIGNMENT, WAIVER. A. The headings in this Agreement are inserted for convenience only and shall not canstitute a part hereof. Neither party to this Agreement shall assign its duties and obligations hereunder without the prior written consent of the other party. A waiver of any party of any provision or a breach of this Agreement must be provided in writing, and shall not be construed as a waiver of any other provision or any succeeding breach of the same or any other provisions herein. SECTION 19. AUTHORIZATION. A. The City Manager is hereby authorized to make any amendments to this Agreement as is necessary to effectuate its intent. SECTION 2 0. DATE OF AGREEMENT. A. The date of this Agreement shall be the date it is signed by CITY.
