City Council , Special Meeting

The meeting was called to order at 12: 00 P.M. by Mayor Pugh

with the following Council Members present: Demsher, Gard,
and Kirkpatrick. Members absent: Councilman Fulton.
Also present were Assistant City Manager Courtney, City Attorney
Hays , and City Clerk Brayton.
Mayor Pugh discussed the three items to be considered at the
Special Meeting as follows :
He noted that changes had been made in the draft M-S-R Public
Agency Joint Powers Agreement and each member of Council was
given a copy of the amended draft. He noted that:
1. The name has been changed to M-S-R.
2. There is a change in the participation percentages--
Modesto Irrigation District entitlement is now 50% ,
Santa Clara, 35% , and the City of Redding, 15% .
Redding is therefore liable for 15% of the cost.
Participation percentages are based on the existing
load levels of each entity. This change in per-
centages does not affect the voting pattern.
3. No member or former member can assign its interest
in the agency to any entity which is not a member
or former member until such member desiring to
assign shall first offer, after 30 days written
notice thereof, such interest to the other members
or former members of the Agency at a price which
does not exceed the cash contributions made by
such assigning member to the Agency, without
interest. This section shall survive the termina-
tion of this Agreement. (Paragraph 13)
4 . Paragraph 14 of the Joint Powers Agreement has
been changed to provide that the Agreement shall
remain in effect for five years from the date
hereof, unless sooner extended or terminated as
provided herein, and further provides that upon
such termination, the obligations and assets shall
be distributed in accordance with Section 10 .
In response to Councilman Kirkpatrick' s inquiry, Mr. Pugh
acknowledged that in Paragraph five "M-S-R" should read
"Modesto Irrigation District" .
Mr. Pugh stated that with respect to Item 3 on the Agenda, it
is his recommendation that a Commissioner and first, second,
and third alternate be appointed to represent Redding on
the M-S-R, to assure that some representative of Redding will
be present at every Agency meeting for voting purposes . It
is his recommendation that he be appointed Commissioner,
Councilman Demsher as first alternate, Earl Murphy as second
alternate and Jim Simpson as third alternate.

Mayor Pugh referred to Item 4 on the Agenda which is an Agreement
between the M-S-R Public Power Agency and the property owners .
It is requested that Council authorize the Commissioner to approve
the firm agreement when it has been finalized, noting that
negotiations are still underway. He noted that the Agency
must accept within ten days of the award of bid for geothermal
steam rights, which will not allow time for the agreement to
be brought back to Council for approval.
AGREEMENT - Creating M-S-R Public Power Agency (Modesto
Irrigation District, Santa Clara, and Redding)
MOTION: Made by Councilwoman Gard, seconded by Councilman
Demsher approving the agreement creating the M-S-R Public
Power Agency and authorizing the Mayor to execute same. The
Vote: Unanimous Ayes
APPOINTMENT OF COMMISSIONERS - Representing Redding on the M-S-R
MOTION: Made by Councilwoman Gard, seconded by Councilman
Kirkpatrick, appointing Mayor Pugh as Commissioner, Coucilman
Demsher as first alternate, Electric Power Consultant Earl
Murphy as second alternate, and Electric Director Jim Simpson /GC//
as third alternate. The Vote: Unanimous Ayes
APPROVAL OF AGREEMENT - re Authorizing the Commissioner to
Approve Agreement
MOTION: Made by Councilwoman Gard, seconded by Councilman
Kirkpatrick authorizing the Commissioner to execute the Agree-
ment between M-S-R Public Power Agency and the owners of the
land within the geysers known geothermal resources area.
The Vote: Unanimous Ayes
ADJOURNMENT
There being no further business, at the hour of 12: 10 P .M. ,
Mayor Pugh declared the meeting adjourned.
