A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING AND AUTHORIZING THE CITY MANAGER TO SIGN THE
FOLLOWING IN CONNECTION WITH PERFORMING ADDITIONAL TASKS FOR
THE BENTON LANDFILL CLOSURE PLAN:
"AUTHORIZATION AND CONTRACT FOR PROFESSIONAL SERVICES, "
TOGETHER WITH CONTRACT MODIFICATION (CHANGE ORDER) 006,
BETWEEN THE CITY OF REDDING AND LAWRENCE & ASSOCIATES
(PROJECT NO. C90 . 10 .07; CONTRACT NO. C-2457) , TO PROVIDE
CONSULTING SERVICES TO COMPLETE THE FINAL CLOSURE AND
POSTCLOSURE MAINTENANCE PLANS FOR THE CITY OF REDDING
LANDFILL, AS SPECIFIED IN CORRESPONDENCE TO THE CITY OF
REDDING FROM THE CALIFORNIA INTEGRATED SOLID WASTE
MANAGEMENT BOARD DATED JULY 23 , 1990 , IN AN AMOUNT ,NOT TO
EXCEED $16 ,550 .00.
IT IS HEREBY RESOLVED by the City Council of the City of
Redding as follows:
1 . That the City Council of the City of Redding hereby
approves the above-mentioned Authorization and Contract for
Professional Services, together with Contract Modification
(Change Order) 006 , between the City of Redding and Lawrence &
Associates, in an additional amount of $16 ,550 .00 , true copies of
which are attached hereto and incorporated herein by reference.
2 . That the City Manager of the City of Redding is hereby
authorized and directed to sign said documentation on behalf of
the City Council of the City of Redding; and the City Clerk is
hereby authorized and directed to attest the signature of the

Client hereby requests and authorises Lawrence & Associates to
perform the following services: Provide consulting services to
complete the final closure and postclosure maintenance plans for
the City of Redding Landfill, as specified in correspondence to
the City of Redding from the California Integrated Solid Waste
Management Board, dated July 23, 1990.
Compensation to be on the basis of: Time and expense in
accordance with the attached Fee Schedule, Attachment B, and cost
estimate set forth in Attachment A.
Cost of work is estimated to be $16,548, including $2448 for
laboratory services, and a 10% contingency of $1504.
Miscellaneous: Subcontracted services to be provided by Lawrence
& Associates at cost plus 15 percent.
City of Redding to provide proof of funding mechanism and CEQA
compliance documentation.
This authorisation subject to PROVISIONS stated on the back of
this contract.

I. AUTNORIZATION TO PROCEED: Signing this fore shall be d as authorization by
Client for Lawrenee 6 fates to p d with the work unless otherwise provided herein.
2. pIRECt EXPENSES: L 6 Associates' direct expenses shall be those costs
Incurred on or directly for the Client's Project, Including but not limited to, necessary
transportation costs, including mileage, meets end lodging, laboratory tuts end analyses,
computer services, telephone, printing and binding charges. Numb for these expenses
shell be an the basis of the attached Schedule of Fess. for services are due five
days after being mailed to the Client.
3. OUTSIDE SERVICES: When technical end professional services and •ubcon labor
and equipment are furnished by an outside source, reimbursement for these expenses shell be on
the basis of the attached Schedule of Fees. 6 fates may require the Client to
contract for, and pay for, these services directly.
4. pkorEssIONAL STANDARDS: l 6 Associates shell be responsible to the level of
competency presently maintained by other practicing tonal engi in the same type of
work in Client's community, for the p ional and technics' soundness, accuracy end adequacy
of all designs, drawings, specifications end other work and materials furnished under this
Author4astion. 6 fates and/or David A. Lawrence make no other warranty, express
or implied.
S. TERMINATION* Either Client or Laurence 6 Assoeietes may terminate this Authorization
by giving 30 days' written notice to the other-p . In such event, Client shall forthwith
pay Lawrence 6 Associates In full for ell work previously authorized end performed prior to the
affective date of termination: if no notice of termination is given, relationships and
obligations created by this Authorization shall be terminated upon completion of all applicable
requlresents of this Authorization, except for the provisions of p phi 4, 6, 7 and 6,
which shall continue In effect as provided by law.
6. 6115ITRATIOt: All claims, disputes and other setters In question arising out of, or
relating to, the work performed hereunder, this Authorization, or the breach thereof, shall be
decided by arbitration in ith the rules of the American Arbitration Assoc lotion
then obtaining. Either Client or Lawrence 6 fetes may initiate a request for such
arbitration. No erbitrstion arising out of, or relating to, this Authorization may Include,
by lidation, Joinder or In any other manner, any additional party not s party to this
Authorization unless agreed to in writing by both parties.
7. p01.0 NANNIESS: Client agrees at all time• to defend, indemnify, hold harmless and
provide all legal defense and related services to David A. , Inc., l 6
Associates and/or David A. (hereinafter collectively el ), their officers,
fates, ag nd/er employees for any and all claims, expenses, demands, causes of
action, liability, loss or Injury regardless of their nature or character in any
whatsoever arising out of (t) any third person's use or reliance on the work performed under
this Ag ; (2) any alleged or proven act or omisal ; or (3) any litigation or

a. LITIGATION: Liability for damages proximately caused by David A. , Inc.,

be limited to cancellation of the sums due and owing or recovery of the sums elready paid to

alleged , omission or other act arising out of performance of our professional services,
and the Client fails to prove such claim, then the Client shall pay all costs 1 by

PROPOSAL FOR SERVICES
introduction
Correspondence dated July 23 , 1990 from the California Integrated
Waste Management Board (CIWMB) to the City of Redding indicated
that if items specified in the correspondence were added to the
original Preliminary Closure/Postclosure Plan (dated March 12,
1990) , it would might be accepted as a Final Closure/Postclosure
Plan. The following proposal describes the work required to
provide the specified items detailed in the July 23
correspondence for the purpose of completing a Final
Closure/Postclosure Plan.
Scope of Work and Cost Estimate
The outline shown below describes the tasks necessary to provide
the items requested in the CIWMB correspondence of July 23 to meet the
requirements of a complete Final Closure/Postclosure Plan.
Estimated hours and costs of each task are also provided. It is
also proposed that landfill well OB-6 and upgradient wells OB-1,
OB-2 and OB-3 be sampled and tested for major anions and cations,
and other constituents for the purpose of determining water
quality. This data will be compared with downgradient water
quality to evaluate influence of the landfill.
