A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING THE FIRST AMENDMENT TO LAND USE AGREEMENT RETWEEN
THE CITY OF REDDING, J .L . MAXWELL , AND GREENWAY DEVELOPMENT,
INC. , AND AUTHORIZING TAE MAYOR TO SIGN SAMF.,.
BE IT RESOLVED by the City Council of the City of Redding as
follows :
1 . That the City Council of the City of Redding hereby
approves the attached First Amendment to Land Use Agreement
between the City of Redding, J .L. Maxwell, and Greenwav
Development, Inc . ; and
2 . That the Mayor of the City of Redding is hereby
authorized and directed to sign all necessary documents on behalf
of the City of Reddinq, and the City Clerk is hereby authorized
and directed to attest the signature of the Mayor and to impress
the official seal of the City of Redding on the aforesaid Agree-
ment, when aopropriate .
3 . That a true copy of said Agreement is attached hereto
and incorporated herein by reference .
I HEREBY CERTIFY that the foregoing Resolution was intro-
duced and read at a regular meeting of the City Council of the
City of Redding on the 2nd day of October , 1990 , and was duly
adopted at said meeting by the following vote :

FIRST AMENDMENT TO LAND USE AGREEMENT
CITY OF REDDING
J. L. MAXWELL
On August 7 , 1990, a LAND USE AGREEMENT was entered into by
and between the CITY OF REDDING, referred to therein as "City"
and J.L. MAXWELL and GREENWAY DEVEIAPMENT, INC. , collectively
referred to as "Developer. " The Land Use Agreement (a _ copy
attached as Exhibit "C") was recorded on August 24 , 1990 at Book
2634 , page 37 of the Official Records of Shasta County, CA.
WHEREAS , the Redding Planning Commission has approved a
Conditional Use Permit for FRED MEYER, INC. , as UP n�9-90, and
Condition 29 requires the dedication of certain right of way .
NOW, THEREFORE, BE IT RESOLVED, that the parties agree to
amend the Land Use Agreement as follows:
1 . Where any of the terms and provisions of this First
Amendment conflict with the Land Use Aqreement, the
terms and provisions of this First Amendment sha11
prevail . Otherwise, all other terms and conditions of
the Land Use Agreement remain in full force and
effect.
2 . Abandonment Aoplication. The City has found that
Lucky Lane is surplus property and agrees to deed to
the Developer, the property shown as Lucky Lane
described on Exhibit "D, " subject to:

a. The Developer acquiring title to a11 of Said
Property, and
b. There being dedicated to the City of Redding, a
right-of-way for the widening of Dana Drive,
which dedication can occur either concurrently
with the recordation of a parcel map to merge all
the properties into one parcel , or as the
satisfaction of Condition 29 of Conditional Use
Permit «79-90. The right-of-way to be dedicated
is depicted on Exhibit "E" and described b;� a
legal description on Exhibit "F. "
3 . The Mayor is authorized to sign any necessary
documents to effectuate the right-of-way exchange
described above.
IN WITNESS WHEREOF, this First Amendment to Land Use
Agreement has been executed by the parties and is to be deemed
effective as of August 7 , 1990, the effective date of the Land
Use Agreement .

the State of California ( "City" ) and J. L MAXWELL, and GREENWAY
DEVEIAPMENT, INC. (collectively referred to as "Developer" ) .

Property" ) , in order to facilitate the development oc a recail

WHEREAS , the Redding Planning Commission has revie�.�ed and
recommended approval of these applications .
WHEREAS , the Redding City Council , at their regular meeting
of June 19 , 1990, approved GPA-7-90 and A-4-90 subject to an
agreement being entered into by the City and Developer tnat :
l . Assures that the effectiveness of the General P1an
Amendment is conditioned upon Developer acqui_ing and
merging all of Said Property ;
2 . Provides that the Abandonment A-4-90 is effective onl�,
upon Developer ' s acquisition of the entirety o[ Said
Property and the merger of Said Propert:: into one
parcel .
NOW, THEREFORE , BE IT RESOLVED that the parties agree to
all the followinq:
1 . General Plan Amendment. The City aqrees to reclassify
on the General Plan the land depicted on =�:hibi� ?.
( including Lucky Lane) and referenced by rssessor ' s
Parcel numbers on Exhibit B, subject to Develo�er
acquiring title to Said Property and effectuating a
merger into one parcel .
2 . Time for Performance. Developer shall ha�.�e one year
from tne date of this Agreement in wnich to acquire

title to said property and to effectuate the merqer ot
all of said parcels into one parcel . If such
acquisition and merger does not occur �hithin one year
of the date of this Agreement, then the City ' s actions

and void.
3 . Bindinq. This Agreement, and all of the terms ar.d
conditions hereof, shall be binding upon and inure tc
the benefit of the parties and their resoective
assigns, heirs, or other successors in interes't.
4 . Independent Aaent. The parties acknowledge that, in
entering into and performing this Agreement , Developer
is actinq as an independent entity and not as an aqent
of City in any respect.
5 . Amendment or Cancellation. This Agreement may be
amended or cancelled in whole or in part only ::y
mutual consent of the parties involved as sianatories
to the Agreement or their successors .
6 . Recordinq. Either party to this Agreement may cause
the Agreement to be recorded.
7 . Notices. All notices repuir?d or provided •`or urder
this Agreement shall be in writing, shall be deli��ered
