A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING AN AGREEMENT WITH THE STATE OF CALIFORNIA DEPART-
MENT OF TRANSPORTATION FOR MAINTENANCE OF CITY-OWNED TRAFFIC
CONTROL SIGNALS.
WHEREAS, the State of California, through its Department of
Transportation, has presented an agreement covering State mainte-
nance of City-owned traffic control signals; and
WHEREAS, a copy of said agreement is attached hereto as
Exhibit "A" and incorporated by reference herein; the City
Council has read said agreement in full and is familiar with the
contents thereof; and
WHEREAS, staff has recommended that the City Council approve
said agreement;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Redding that said agreement is hereby approved and the
Mayor of the City of Redding is hereby authorized to execute said
agreement on behalf of the City of Redding.
I HEREBY CERTIFY that the foregoing Resolution was intro-
duced and read at a regular meeting of the City Council of the
City of Redding on the 19th day of September , 1983, and
was duly adopted at said meeting by the following vote:

AGREEMENT FOR MAINTENANCE OF
TRAFFIC CONTROL SIGNALS ON CITY STREETS
IN THE CITY OF REDDING
THIS AGREEMENT, made and executed this 2nd day of September, 1983,
by and between -the Department of Transportation of tI State of
California, acting by and through the Department of Transportation,
hereinafter called the "STATE ' , and the City of Redding ,
hereinafter referred to as the "CITY" .
1. The State agrees to .perform emergency call out maintenance
of the traffic control signal systems for the CITY at the
locations listed in Exhibit A.
2 . Emergency call out maintenance work will consist of
necessary repairs or replacements to insure satisfactory
service. "Satisfactory" means that State will endeavor
to keep this intersectionat the same operating level as •
state-owned signalized intersections . The timing of the
controller and related equipment will be the CITY' s
responsibility.
3 . The cost of the emergency call out maintenance for these
signals shall include labor, equipment, materials, and
overhead assessments .
4 . The cost of electric energy and the cost of any additional
equipment the CITY may desire to have installed, will not •
be included in this Agreement.
5 . Extraordinary expense, such as repair and extensive damage,
shall be in addition to the maintenance cost and will be
itemized as to materials, salaries and wages, equipment
rental , and overhead assessment.
6 . Itemized bills for maintenance costs or any improvements
the CITY may ask the STATE to do will be submitted monthly.
7. It is agreed that upon approval of the parties hereto,
acting by and through their authorized representatives,
facilities may be deleted from or added to this Agreement
by submittal of revised Exhibit A, which shall become
part of said Agreement and shall supersede and cancel all
previous Exhibits . For purposes of this paragraph, CITY
hereby designates its Director of Public Works as its
duly authorized representative.
8. Nothing in the provisions of this Agreement is intended
to create duties or obligations to or rights in third
parties not parties to this contract or affect the legal
liability of either party to the contract by imposing
any• standard of care respecting the maintenance of State
highways from the standard of care imposed by law.

It is understood and agreed that neither the STATE nor any
officer or employee is responsible for any damage or lia-
bility occurring by reason of anything done or omitted to
be done by the CITY under or in connection with any work,
authority or jurisdiction delegated to the CITY under this
Agreement. It is understood and agreed that, pursuant to
Government Code Section 895. 4 CITY shall defend, indemnify
and save harmless the State of California, all officers and
employees from all claims, suits or actions of every name,
kind and description brought for or in account of injuries
to or death of any person or damage to property resulting
from anything done or omitted to be done by the CITY under
or in connection with any work, authority or jurisdiction
delegatedto the CITY under this Agreement.
The CITY waives any and all rights to any type of express
and implied indemnity against the STATE, its officers and
employees, arising from any work, authority or jurisdiction
delegated to the CITY under this Agreement.
9. This Agreement supersedes any/all previous signal mainte-
nance agreements in their entirety. This Agreement shall
become effective this 2nd day of September, 1983 , and shall
remain in full force and effect until terminated upon thirty
days notice by either party.
