A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
AUTHORIZING THE MAYOR TO EXECUTE A PURCHASE AND SALE AGREE-
MENT BETWEEN THE CITY OF REDDING AND PACIFIC GAS AND ELEC-
TRIC COMPANY FOR THE PURCHASE OF ELECTRIC DISTRIBUTION AND
STREET LIGHTING FACILITIES IN THE AREA COMPRISING THE
ELECTRICAL ANNEXATION #4.
WHEREAS , the City of Redding annexed the unincorporated
areas comprising the Electrical Annexation #4 on the following
dates:
1 . 79-4* August 15 , 1979
2. 79-8* September 24 , 1979
3 . 79-12* March 2.7, 1980
4 . 80-3 January 27 , 1981
5 . 80-16 March 30 , 1981
6 . 81-1 August 13 , 1980
7. 81-8 December 18 , 1980
*Annexation area Nos. 79-4 , 79-8 and 79-12 are included for
record purposes. PG&E' s facilities in these area were
appraised and paid for in earlier transactions.
and such annexations were certified on the dates above written by
the Secretary of State of the State of California; and
WHEREAS, Pacific Gas and Electric Company owns and operates
an electric distribution system which serves electricity to
approximately 112 customers within the aforesaid annexed areas,
together with certain street lighting facilities located therein;
and

WHEREAS , the City has the power of eminent domain to acquire
by condemnation these facilities from Pacific Gas and Electric
Company; and
WHEREAS, in order to avoid a condemnation suit and to
compromise possible litigation, Pacific Gas and Electric Company
has expressed its willingness to sell the electric distribution
and street lighting facilities within the annexed areas to the
City of Redding as inventoried effective October 27 , 1983 , for
the sum of $74 , 911 . 00 , and an additional sum in the amount of
$12 , 571. 00 for severance costs, in accordance with the terms and
conditions of the Purchase and Sale Agreement attached hereto,
marked Exhibit "A" , and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Redding as follows:
1 . That the above recitals are true and correct.
2 . That the City Council does hereby approve the purchase
of the electric distribution and street lighting facilities from
Pacific Gas and Electric Company for the sum of $74 , 911. 00 , and
severance costs in the amount of $12 ,571 . 00 , in accordance with
the terms and conditions as set forth in Exhibit "A" attached
hereto.
3 . That this approval in no way shall be construed to
constitute an acceptance by the City Council of the City of
Redding of any principles of valuation used by the Pacific Gas
and Electric Company in arriving at the compromise valuation
offered to the City in the aforesaid proposed Purchase and Sale
Agreement.

4. That the Mayor be and hereby is authorized to execute
said agreement for and on behalf of the City of Redding.
I HEREBY CERTIFY that the foregoing resolution was intro-
duced and read at a regular meeting of the City Council of the
City of Redding on the 17th day of September , 1984 , and
was duly adopted at said meeting by the following vote:

PURCHASE AND SALE AGREEMENT
THIS AGREEMENT is made between PACIFIC GAS AND ELECTRIC COMPANY, a
California corporation (PGandE) and the CITY OF REDDING, a California municipal
corporation, Shasta County, California (City).
RECITALS:
City, on the dates shown, annexed the following unincorporated areas:

5. 80-16 March 30, 1981
6. 81-1 August 13, 1980

are included for record purposes. PGandE's
facilities in these areas were appraised and
paid for on earlier transactions.) •
PGandE owns and operates an electric distribution system which serves
electricity to approximately 112 customers (94 domestic, 17 commercial and 1 .
industrial customer) within the annexed areas. PGandE is willing to sell its
electric distribution and street lighting facilities within the znnexed area to
City under the following terms and conditions.

NOW, THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS:
1. PGandE shall sell to City and City shall purchase from PGandE,
PGandE's electric distribution and street lighting facilities (Facilities) , located
in the annexed areas. The location of the Facilities are shown on the map attached .
and made a part hereof as Exhibit "A" and are more particularly described in the
attached list of inventory marked Exhibit "E" and made a part hereof.
2. The Facilities are to be sold as is. PGandE does not warrant the
condition of the Facilities. PGandE also does not warrant that adequate land rights
cover all the Facilities. In the absence of such land rights, City shall assume any
and all liability in connection therewith. PGandE shall assign in whole or in part ..
all private grants of rights of way and easements for the Facilities concurrently
with the delivery of the bill of sale for the facilities described in Sections 5 and
6 hereof.

3. City shall pay to PGandE as the purchase price for the inventoried
Facilities, as of October 27, 19S3, the sum of $74,911. In addition, City shall
pay to PGandE its severance costs of $12,571. Further, City shall pay to PGandE
(1) the net value, as determined in accordance with PGandE's standard accounting
practice, of any additions to and retirements from the Facilities that may be made.
by PGandE subsequent to October 27 , 1983 and prior to the conveyance of the Facili-
ties to City and (2) 15% of such net value and (3) any severance costs that may be
involved because of the installation of said additions to and retirements from the
Facilities. PGandE shall deliver to City the bill of sale provided in Sections 5

and 6 concurrently with the payment by City of the purchase price.
4. The curtent ad valorem taxes for the tax year in which the Facilities
and any additions and betterments are conveyed shall be prorated as of the date of
conveyance. City shall pay to PGandE on demand such part thereof as is attributable
to the portion of the tax year from and after delivery of the deed of conveyance
hereunder. 2:

5. PGandE shall execute and deliver to City a bill of sale (a copy of
which is attached as Exhibit "C") conveying Facilities and any additions and
betterments to City within the time set by order of the California Public Utilities
Commission (Commission) , authorizing this agreement.
6.. Upon execution and delivery by PGandE of the bill of sale, City shall
assume all public utility obligations of PGandE to provide electric service to
approximately 112 customers in the area now supplied from the Facilities and any
other customers added by PGandE prior to the delivery of the bill of sale.
7. City acknowledges that some or all of the Facilities sold under this
.agreement contain polycholorinated biphenyls (PCBs) , a hazardous material. City
warrants that any and all of such facilities that contain PCBs are beingpurchased
for its own use and not for resale. City warrants that, in the event that it ever
sells such facilities, it will disclose, in writing, to all potential buyers, that
said facilities contains PCBs. City shall obtain and comply with permits necessary
: for the purchase, transportation, use, handling, treatment, storage and/or disposal
of the Facilities, whether as a result of the PCB content or otherwise. City shall
comply with all applicable federal, state and local laws, standards, rules and
ordinances, including, but not limited to: 15 USC, Section 2601 et seq; the Code:
of Federal Regulations, Title 40 Paragraph 761 et seq; the California Health and
Safety Code, Section 25,100 et seq and the California Administrative Code Title 22,
Section 66,00 at seq.
8. After conveyance of the Facilities, City shall indemnify PGandE, its
officers, agents and employees, against all loss, damage, expense and liability
resulting from injury to or death of person, including, but not limited to,

employees of PGandE or City, or injury to property, including, but not limited to,
property of PGandE or City, arising out of or in any way connected with City's
ownership, operation and maintenance of the Facilities subsequent to the transfer

of title
to the Facilities, excepting only such injury or death as may be caused by
or
the sole negligence or willful misconduct of PGandE, its officers, agents
employees. City shall pay costs that may he incurred by PGandE in enforcing this
indemnity provision, including reasonable attorneys fees. City further agrees that
any loss, damage, expense and liability that arises out of or is in any way
con-
nected ected with the hazardous properties of the PCBs contained in the Facilities is
expressly within the scope of this indemnity.
9. Any action by City arising out of or in any way connected with the
ntemlated by this Agreement, whether sounding in tort, contract, strict
sale co p
liability or otherwise, must be commenced within two years after the cause of action
therefore has accrued.
10. This writing is intended by the parties hereto as the final and
_plete expression of their agreement concerning the sale of the Facilities des-
cera
cribed herein and there are no warranties, terms or conditions not otherwise stated

herein.
11. No agent, employee or representative of PGandE has any authority to
bind PGandE to any affirmation, representation or warranty concerning the Facilities
sold under this agreement, and unless an affirmation, representation or warranty
gent employee or representative is specifically included within this

Agreement, it has not formed a part of the basis of this bargain and shall not in

any way be binding on PGandE or otherwise enforceable.
12. This agreement can be modified only by a writing signed by both
parties.
13. This agreement and interpretation of the terms hereof shall be
governed in all respects by the laws of the State of California.

14. For and in consideration of the receipt of the Facilities, City hereby
releases and forever discharges PGandE, of and from any and all claims, demands,

actions or causes of actions, known or unknown, including all injuries, deaths and
property damage arising from incidents which occur subsequent to the transfer of
title to the Facilities resulting from or in any way connected with the hazardous
properties of the PCBs contained in the Facilities.
15. This agreement shall not become effective until the Commission shall,
by its order, authorize PGandE to carry out its terms and conditions.

BILL OF SALE
PACIFIC GAS AND ELECTRIC COMPANY, a California corporation (PGandE) , for
good and valuable consideration, hereby sells, grants and conveys, as is, to the
CITY OF REDDING, a California municipal corporation, Shasta County, California (City) ,
its successors and assigns, all of PGandE's. rieht, title and interest in and to cer-
tain electric distribution facilities (Facilities) , located within annexation area
Nos. 79-4, 79-8, 79-12, 80-3, 80-16, 81-1 and 81-8 to City in the locations shown on
the sketch attached hereto and marked Exhibit "A" and more particularly described in
the attached list of inventory marked Exhibit "B" and made a past hereof. The
Facilities are used to serve approximately 112 electric customers within the City's
corporate limits.
This Bill of Sale is executed pursuant to authorization contained -in the
order of the California Public Utilities Commission in its Decision No. and
is subject to all the terms and conditions of the Purchase and Sale Agreement between
City and PGandE. dated
This Bill of Sale does not cover additions or betterments, if any, made to
Facilities by PCandE after October 27, 1983 and is limited to the Facilities fully
described in Exhibits "A" and "B". Additions •and betterments, if any, will be covered
by a Supplemental Bill of Sale to be delivered to City concurrently with the payment
by City to PGandE of the price thereof as determined in the Purchase and Sale Agreement.
