A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING THE SUBLEASE BETWEEN CH2M HILL AND HILLSIDE
AVIATION FOR HANGAR SPACE IN A CITY-OWNED BUILDING, AND
AUTHORIZING THE MAYOR TO SIGN SAME.
BE IT RESOLVED by the City Council of the City of Redding as
follows:
1 . The City Council of the City of Redding hereby approves
the sublease between CH2M Hill and Hillside Aviation for hangar
space in the City-owned building leased by CH2M Hill at the
Redding Municipal Airport.
2. The Mayor of the City of Redding is hereby authorized
and directed to sign all necessary documents on behalf of the
City of Redding and the City Clerk is hereby authorized and
directed to attest the signature of the MAyor and to impress the
official seal of the City of Redding on the aforesaid documents,
when appropriate.
3 . A true copy of the sublease referred to herein is
attached hereto and made a part hereof.
I HEREBY CERTIFY that the foregoing resolution was intro-
duced and read at a regular meeting of the City Council of the
City of Redding on the 4th day of November , 1985 , and

SUBLEASE AGREEMENT
THIS LEASE, made this 41 -- day of A0c10Sf" , 19_____I
between CH2M HILL CALIFORNIA, INC. , hereinafter referred to
as LANDLORD, party of the first part, and Hillside Aviation,
hereinafter referred to as TENANT, party of the second part.
WHEREAS , the LANDLORD represents and warrants that the City
of Redding, California, bya lease agreement dated December
14 , 1984 , leased to the LANDLORD 6930 square feet of air-
craft hangar space in the building known as CH2M HILL Benton
Field Hangar for a term of three (3) years to commence on
October 1 , 1984 , a copy of which lease is annexed to and is
made a part of this lease, and marked "Exhibit A" , and
WHEREAS, the LANDLORD further represents and warrants that
the lease is now in full force and effect, and that the
LANDLORD has full right, power, and authority to sublet the
premises as provided below:
NOW, THEREFORE, it is mutually agreed as follows :
1 . That the LANDLORD leases to the TENANT, and the
TENANT hires from the LANDLORD 3465 square feet of
rentable space (as outlined in "Exhibit B" ) in the
t-•iilding known as CH2M HILL Benton Field Hangar,
for the term of ( ) years to com-
mence on August 16 , 1985 , and to end on September
30 , 1987 , at the annual rental of Five Thousand
Two Hundred Fifty Dollars ($5 , 250 . 00) to be paid
by the TENANT to the LANDLORD in equal monthly
installments of Dollars ($437 . 50)
in advance, on the first day of each and every
month during the term; provided, however, that the

first of such monthly installments shall be paid
to the LANDLORD simultaneously with the execution
and delivery of this agreement.
2. Upon each anniversary of this lease, -the base ren-
• . tal rate shall be adjusted as CH2M HILL' s rent is
adjusted.
LANDLORD shall give written notice to TENANT at
least thirty (30) days prior to the effective date
of the adjustment.
3. That the premises shall be used by the TENANT for
Airplane storage, and for no other purpose or pur-
poses.
4. That the TENANT shall not without the prior written
consent of the LANDLORD and of the owner of the
' fee of the premises first obtained, assign the
term demised, nor suffer or permit it to be •

assigned by operation of law or otherwise, nor
shall the TENANT, without the prior written con-
sent of the LANDLORD and of such owner of the fee,
let underlet, or permit the premises, or any part •
of them, to be used by others for hire.

5. That all the terms, provisions, covenants, and
conditions contained in the lease between the City
of Redding, California, and the LANDLORD, as set
forth in "Exhibit A" , are made a part of this
agreement (except as otherwise expressly provided
herein) , and such rights and obligations; as are
contained in "Exhibit A" are, during the term of
this subletting, imposed upon the respective
parties to this agreement, the LANDLORD being

substituted for the landlord in the said
agreement, and the TENANT being substituted for
the tenant in the said agreement; provided, how-
ever, that the LANDLORD to this agreement shall
not be liable for any defaults by its landlord,
the City of Redding, California.
6. Notices: All bills, statements, and notices of
communications which LANDLORD may desire or be
required to give to TENANT shall be deemed suffi-
ciently given or rendered if in writing and either
delivered to TENANT personally or sent by regis-
tered or certified mail addressed to TENANT at the
building, and the time of rendition thereof or the
giving of such notice or communication shall be
deemed to be the time when the same is delivered
to TENANT or deposited in the mail as herein
provided. Any notice required to be given by one
party to the other party, pursuant to the terms of
this Lease, shall be deemed adequately given if
deposited in the United States mail in a prepaid
certified mail wrapper, return receipt requested,
and addressed to:

TENANT at: 2600 Gold Street
Redding, California 96001
7 . That this agreement shall be binding upon, and
shall inure to the benefit of the parties to it,
and their respective successors and assigns.

this lease to be executed by their duly authorized officers
