A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING THE LETTER AGREEMENT BETWEEN THE CITY OF REDDING
AND KADISON, PFAELZER, WOODARD, QUINN & ROSSI FOR LEGAL
SERVICES.
BE IT RESOLVED by the City Council of the City of Redding as
follows :
1 . The City Council of the City of Redding hereby approves
the letter agreement between the City of Redding and the firm of
Kadison, Pfaelzer, Woodard, Quinn & Rossi for legal services in
an amount not to exceed $25 , 000 . 00 .
2 . The City Manager of the City of Redding is hereby
authorized and directed to sign all necessary documents on behalf
of the City of Redding and the City Clerk is hereby authorized
and directed to attest the signature of the City Manager and to
impress the official seal of the City of Redding on the aforesaid
documents , when appropriate.
3 . A true copy of the letter agreement referred to herein
is attached hereto and made a part hereof.
I HEREBY CERTIFY that the foregoing resolution was intro-
duced and read at a regular meeting of the City Council of the
City of Redding on the 1st day of July , 1985 , and

previous month. The essential change would be that rather than
having a purchase order for each matter in which we are involved
with a separate dollar limit for each matter, there would be a
City Council-established dollar limit on the amount of services we
were to provide, with service to be provided on a "as requested"
basis until such time as a dollar limit may be reached. The ser-
vices that would be tendered under this new arrangement would be
on hydroelectric matters, including both matters at the Federal
Energy Regulatory Commission and before Congress.
Our monthly statements will continue to provide you with a
complete description of all activities undertaken on each matter
for each month, and they will continue to contain an itemization
of all costs. As at present, our monthly statements will be pay-
able within ten ( 10) days of receipt.
Typically, the firm requests the deposit of a retainer which
is held until the conclusion of the firm' s representation and which
is applied to any final or outstanding statements. In view of the
established and continuing relationship between the firm and Red-
ding, we believe that it is inappropriate to require a retainer in
this case.
I will have primary responsibility for the handling of Redding
matters. My current hourly rate is $150 . 00. Other energy attorneys
in the Washington, D. C. office that may be involved from time to
time on Redding matters include: Roger B. Coven ($135 . 00 per hour) ;
Marvin T. Griff ($105 . 00 per hour) ; and Mark A. Gallagher ($70.00
per hour) .

Re: Contract for Legal Services
Dear Rick:
By telephone, we discussed switching the method by which
Kadison, Pfaelzer, Woodard, Quinn & Rossi- ( "-Kadison" ) would
arrange to perform services for the City of Redding, California
( "Redding" ) . For the past three years, Kadison has provided ser-
vices to Redding under purchase- orders, with each purchase order
being limited to an outlay . of less than $5, 000. Due to the vari-
ety of cases in which we are, generally, involved at any one time
• - for Redding, and due to the ongoing nature of the more major
cases, .,-this system has proved to - be somewhat difficult from an
•
accounting standpoint. An- additional problem is that some cases,
due to their more complex nature and the period of time during
which they are ongoing, require an amount of service in excess of
.the $5, 000. 00 purchase order •limit-.
In view of the limitations of the purchase order approach, we
have discussed switching to a pattern whereby Redding would engage
Kadison on a contractual basis, with the contract being approved
by the Redding City Council . Kadison does not have a standard .
contract under which it provides- services. In lieu thereof, this
letter sets forth the manner in which we propose that Kadison be
engaged.
In essence, we would continue to operate much as at present:
we would perform services as required by Redding and we would bill
Redding on a month-to-month basis for services rendered during the
