HomeMy WebLinkAboutReso. 1986 - 302 - Approving the airport security agreement between the city of redding and north state security patrol at benton airpark and authorizing the mayor to sign same • • RESOLUTION NO.J` A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING THE AIRPORT SECURITY AGREEMENT BETWEEN THE CITY OF REDDING AND NORTH STATE SECURITY PATROL AT BENTON AIRPARK, AND AUTHORIZING THE MAYOR TO SIGN SAME. IT IS HEREBY RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves the Airport Security Agreement between the City of Redding and North State Security Patrol, a true copy of which is attached hereto and incorporated herein; and 2. That the Mayor of the City of Redding is hereby authorized and directed to sign all necessary documents on behalf of the City of Redding, and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding on the aforesaid docu- ments, when appropriate. HAYS, City Attorney c • • AGREEMENT THIS AGREEMENT made and entered into this J CjfJ day of kafc,sEk_ , 1986 , by and between the CITY OF REDDING, a Municipal Corporation and general law city of the State of California, hereinafter referred to as "City, " and NORTH STATE SECURITY PATROL, a sole proprietorship, of Redding, California, hereinafter referred to as "Contractor" ; WITNESSET H: THE PARTIES HERETO MUTUALLY AGREE as follows : 1 . City requires the services of patrol personnel to provide security services at Benton Airpark as hereinafter set forth. 2 . Contractor agrees, as an independent contractor and expressly not as an employee , servant or agent of City, to provide security services as hereinafter set forth for a term of one (1) year commencing November 1 , 1986 , and terminating October 31 , 1987. Provided Contractor is not in default hereunder, and at the option of City, this Agreement shall be automatically renewed for successive one-year terms, on the same terms, conditions and agreements as contained herein. 3 . Contractor shall conduct routine security patrols of Benton Airpark as directed by the Director of Airports of City four (4) times each night at random intervals between the hours of 7 : 00 p.m. and 6: 00 a.m. , 365/366 days per year. 4 . City agrees to pay Contractor, in consideration of the . . • . services to be performed hereunder , the sum of Eleven Dollars ($11 . 00) per day. Payment will be made monthly by City upon receipt of an itemized statement approved by City ' s Director of Airports. 5 . Contractor agrees that its security patrol personnel will meet all requirements as to qualifications and training, and will perform their duties to the satisfaction of the Chief of Police and the Director of Airports of City, and that failure to so perform shall constitute a material breach of this contract and grounds for cancellation hereof by City as hereinafter provided. 6. Contractor will hold City and its officers , agents and employees harmless from any and all claims for damages of any kind whatsoever by any person or persons occasioned by Contractor ' s activities at Benton Airpark . 7 . Contractor shall carry and keep in effect during the term of this Agreement , or any renewal thereof , public liability insurance in amounts of $300 , 000 . 00/$500 , 000 . 00 personal injury and $50, 000 . 00 property damage, and Workers ' compensation insurance . Certificates shall be filed with the City Clerk evidencing the existence of said insurance and naming the City of Redding, its officers, agents and employees , as additional insureds , and guaranteeing that City shall receive not less than ten (10) days notice in writing prior to any reduction or cancellation of such insurance coverage. 8 . This Agreement may be terminated at any time by either party upon sixty (60) days ' prior written notice to the other. -2- 411 411 9. Any notices or demands that may be given by either party hereunder , including notice of default and notice of termination , shall be deemed to have been fully and properly given when made in writing, enclosed in a sealed envelope and deposited in the United States Post Office , certified mail, postage prepaid, addressed as follows : To City at 760 Parkview Avenue , Redding, California 96001 ; and to Contractor at Post Office Box 1348 , Redding, California 96099-1348 . 10 . This contract expressly includes all the understandings and agreements of the parties hereto, and there are no oral understandings in effect between the parties not included herein. 11 . It has been determined that this matter is not subject to the provisions of CEQA. IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the day and year first above written.
