S‘7 S.Z A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING THE MEMORANDUM OF UNDERSTANDING BETWEENIITHE CITY OF REDDING AND THE INTERNATIONAL DOWNTOWN EXECUTIVES ASSOCIATION FOR A TECHNICAL ASSISTANCE GRANT FROM THE INTERNATIONAL DOWNTOWN ASSOCIATION, AND AUTHORIZING THE CITY MANAGER TO SIGN SAME. BE IT RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves the attached Memorandum of Understanding between the City of Redding and the International Downtown Executives Association for a Technical Assistance Grant from the International Downtown Association; and 2. That the City Manager of the City of Redding is hereby authorized and directed to sign all necessary documents on behalf of the City of Redding, and the City Clerk is hereby authorized and directed to attest the signature of the City Manager and to impress the official seal of the City of Redding on the aforesaid documents, when appropriate; and 3 . That a true copy of the Memorandum of Understanding referred to herein is attached hereto and made a part hereof. HAYSr City Attorney • • 411 • MEMORANDUM OF UNDERSTANDING BETWEEN AND THE INTERNATIONAL DOWNTOWN EXECUTIVES ASSOCIATION This agreement is made the day of MARCH, 1986 by and between the international Downtown Executives Association (hereinafter referred to as IDA) and CITY OF REDDING (hereinafter' referred to as the City or the Organization) : WHEREAS, IDA is a nonprofit tax-exempt organization, existing under the laws of the State of Illinois with offices in the District of Columbia, which organization operates as one part of its activities under a cooperative agreement with the U. S. Department of Housing and Urban Development (HUD HA 12969) a program to provide technical ) assistance to selected CDBG/UDAG-eligible cities in the establishment "of centralized retail management in defined downtown retail areas so they may compete effectively for market share ; and WHEREAS,the City/Organization wishes to obtain professional advice and assistance with regard to the adoption and administration of centralized retail management techniques in its downtown retail core ; and WHEREAS, IDA has the necessary technical resources to be of assistance to the City/Organization; Therefore, the parties hereto agree and promise as follows: 1 . The City/Organization will work with IDA to develop a - six-month Work Plan, acceptable to HUD, . leading to . the establishment Ofa centralized retail management entity in a specific downtown retail area. if This Work Plan will include milestones for the completion of tasks preliminary to the adoption and implementation of centralized retail management techniques in the agreed downtown area . The 'Work Plan will - also --identify, on a preliminary basis , • priority needs and prime- times for the delivery of IDA technical assistance .. The Work Plan will further describe the ways in which the City' s/Organization' s CDBG/UDAG objectives will be served- by pursuit of the Work Plan and delivery of IDA technical. assistance. 2 . IDA will provide a minimum of fifteen days ( l20 person hours) of technical assistance together with reimbursement of up to $1800 in associated travel expenses , if necessary , over the period 1 March 1986 to 31 August 1986 , to help the City/Organization achieve the objectives of its Work Plan. The assistance will be provided by IDA staff , experts from IDA member organizations , and recognized consultants , • acceptable to HUD, the City/Organization-concerned and IDA. . . • 411 . . The assistance will be delivered in response to specific written requests initiated by the City/Organization . The terms and the providers of the assistance to be delivered will be confirmed by IDA to the City/Organization in writing within ten ( 10 ) working days of receipt of the request. IDA reserves the right to distribute available technical assistance over the entire six month Work Plan period . IDA also reserves - the right, in consultation with HUD, to determine whether continuation of technical assistance is appropriate upon review of 'commitments of community resources and progress toward Work Plan goals . 3 . The City/Organization commits $ 15_„000 , in CDBG/UDAG monies and/or other public or private sector funds along with an estimated _. 200 _ person hours and other in-kind assistance (please attach separate sheet of paper specifying persons and in-kind contributions and if appropriate, the nature and date of official commitments olf CDBG/UDAG or other government monies ) to achievement of the objectlives of its Work Plan. • The City/Organization will provide IDA in a timely fashion the pertinent background information and data concerning the problems/issues the City/Organization wants IDA to address . The - City/Organization will assume the resjonsibility for developing the agenda for meetings with local leaders - and all logistical arrangements that may be needed for on-site visits . The City/Organization will assume responsibility for .the cost of all such arrangements (e. g. group meals .and meeting space) except for those costs covering the IDA consultants . The City/Organization will assign a staff person to assist IDA to the extent possible and necessary during the term of this Agreement and will provide all support services and supplies . (e . g. typewriter, available working space) that may be necessary to assist IDA and its consultants in preparing any site visit report. 4 . The City/Organization will provide IDA and HUD with completed evaluation forms for the technical assistance delivered immediately following the six month technical assistance period and six months after the end of that period. 5. The City/Organization agrees to participate in a national conference on centralized retail management , to be organized by IDA and held within six months following the conclusion ofll the technical assistance program, and to make a presentation. at that conference on its downtown retail area. 6. The City/Organization agrees to indemnify and save II)A harmless from any liability to third parties result .ng directly or indirectly from IDA performance hereunder except for negligent acts and/or willful misconduct on the part of IDA and/or its agents and employees .
