BE IT RESOLVED by the City Council of the City of Redding as follows : 1 . That the City. Council of the City of Redding hereby approves the Amendment dated October 7 , 1987 , to the Agreement between the City of Redding and American Building Maintenance, a true copy of which is attached hereto and incorporated herein by reference; and 2 . That the Mayor of the City of Redding lis hereby authorized and directed to sign all necessary documents on behalf of the City of. HAYS, City, Attorney I AMENDMENT TO AGREEMENT THIS AGREEMENT made and entered into this 7h day of October, 1987 , by and between the CITY OF REDDING, a Municipal Corporation, of 760 Parkview Avenue, Redding, California 96001 , hereinafter called "City, " and AMERICAN BUILDING MAINTENANCE of Post Office Box 494055 , Redding, California !' 96049-4055 , hereinafter called "Contractor" : WITNESSETH: 1 . On April 13 , 1987 , Contractor entered into Ian Agreement with City to perform janitorial services, a copy of which Agreement is attached hereto and incorporated , herein by reference. 2 . Effective October 1 , 1987 , said Agreement is hereby amended as follows : A. Exhibit "A" be and hereby is amended to read "EXHIBIT "A" TO AMENDMENT TO AGREEMENT EFFECTIVEOCTOBER 1 , 1987 , " and the following paragraph 3A is added thereto: 3A. Martin Luther King, Jr. Neighborhood Center: Once per month: a) Window cleaning Price per month: ' $48 . 00 A copy of the new Exhibit "A" is attached hereto and incorporated herein by reference. 411 B. The first sentence of paragraph 3 be and hereby is amended to read as follows: City agrees to pay Contractor, in consideration of the services to be performed in accordance with the provisions of paragraphs 1 and 2 above, the sum of One Thousand Eight Hundred Fifty-nine and 51/100 Dollars ($1 ,859 .51) per month for each month during the term of this Agreement. 3 . All other terms and conditions of said Agreement dated April 13 , 1987 , shall remain in full force and effecti. HAYS, City Attorney -2- • • EXHIBIT "A" TO AMENDMENT TO AGREEMENT EFFECTIVE OCTOBER 1 , 1987 Janitorial Services Regular cleaning of the buildings, whether three, five or seven days a week, unless otherwise specified, including} sweeping or vacuuming floors, removing trash and refuse, dusting, replacing lights when needed, spot cleaning walls as requested, cleaning fountains and fixtures, etc. , as requested. All restrooms, unless otherwise specified, are to have floors mopped, fixtures cleaned, paper and clean towels installed, daily, and walls cleaned when necessary. It is understood and agreed that Contractor may pick up supplies as required from the City warehouse upon written request approved by City' s Building Maintenance Supervisor; telephone 225-4063 . Summary of Buildings and Cleaning Frequency 1 . Electric Department Offices , II Outbuildings and Lunchroom: Regular cleaning, five days a week Price per month; $ 476 . 26 2 . If additional shampoo carpeting services are requested by City,! Contractor shall be paid at the rate of eight cents ($ .08) per square foot for said services. -3- • • AGREEMENT THIS AGREEMENT made and entered into this 1,13th day of April, 1987, by and between the CITY OF REDDING, I a Municipal Corporation, of 760 Parkview Avenue, Redding, California 96001 , hereinafter called "City, " and AMERICAN BUILDING MAINTENANCE, of Post Office Box 494055 , Redding, California 96049-4055, hereinafter called "Contractor" : WITNESSETH: 1 . Contractor covenants and agrees to perform janitorial services for City as described in Exhibit "A" attached hereto and incorporated herein by reference, in accordance with the following terms and conditions and for the following compensation. 2 . Contractor agrees that said services shall be performed to the satisfaction of City' s Building Maintenance Supervisor, and that failure to perform the aforesaid janitorial) services in accordance with the proposal and to the satisfaction of said Supervisor shall constitute a material breach of this contract and grounds for the cancellation of this contract by City as hereinafter provided. 3. City agrees to pay Contractor, in consideration of the services to be performed in accordance with the provisions of paragraphs 1 and 2 above, the sum of One Thousand Eight Hundred Eleven and 51/100 Dollars ($1 , 811. 51) per month for each month during the term of this Agreement. In the event such services I � •< •( are performed for only a fraction of a month as a (result of the expiration of the term hereof, or earlier termination or cancellation hereof, Contractor shall be paid for the fraction of the month that services were performed in accordance with a proration of the monthly consideration computed on the basis of a 30-day month. 4. The term of this Agreement shall be for one (2) years commencing on May 1 , 1987, and terminating on April 30, 1989. 5. This Agreement is entered into upon the express condition that City shall be free from any and all ;liability and claims for damages for personal injury, death, or property damage in any way connected with Contractor' s use of the ' premises for the purposes herein, including claims of Contractor, its officers , agents and employees. Contractor shall indemnify and save harmless City, its officers, agents and employees, from any and all liability, loss , cost or obligation on account of or arising out of any such injury, death or loss caused by the negligence or other legal fault of Contractor or its officers, agents and employees. 6 . It is understood and agreed as a condition of this Agreement that Contractor shall , at its own expense, obtain and keep in full force and effect public liability insurance in the amounts of $300 , 000. 00 for injury to one person, $500,000. 00 for any one accident, and $50 , 000. 00 for property damage, and shall name City, its officers, agents and employees, as additional insured, and shall further contain a provision obligating the -2- c H • insurance carrier to notify City in writing at least ten (10) days prior to any cancellation or reduction of such insurance. A Certificate of Insurance evidencing such coverage and notice requirement shall be approved by the City Attorney and filed with the City Clerk of City prior to the first usage ofllthe premises set forth under this Agreement. 7. It is further understood and agreed as acondition of this Agreement that should Contractor hire an " employee or employees, it will provide workers' compensation insurance on its employees, and shall furnish City with a Certificate evidencing such insurance. 8. This Agreement may be terminated at any time by either party upon thirty (30) days ' prior written notice pito the other party. Ij 9 . Any notices or demands that may be given by either party hereunder, including notice of default and notice of termination, shall be deemed to have been fully and properly given when made in writing, enclosed in a sealed envelope and deposited in the United States Post Office, certified mail, postage prepaid, addressed as follows: To Lessor at760 Parkview Avenue, Redding, California 96001 ; and to Lessee at Post Office Box 494055 , Redding, California 96049-4055. 10. Contractor shall provide a bond in the minimum amount of $5 , 000 to insure City against the loss or theft of records or other documents, in form and substance as required by the City -3- YC • Attorney, and shall cause City to be guaranteed at lest ten (10) days ' prior written notice of termination of said bond. 11. It has been determined that this matter is not subject i to the provisions of the California Environmental Quality Act.
