IT IS HEREBY RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves the Agreement between the City of Redding and Accu-Temp North for heating and air conditioning maintenance, a true copy of which is attached hereto and incorporated herein; and 2. That the Mayor of the City of Redding is hereby authorized and directed to sign said Agreement and all necessary documents on behalf of the City of Redding, and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding on the aforesaid documents, when appropriate. HAYS , ity, Attorney Y` =%, S AGREEMENT II THIS AGREEMENT made and entered into this I J day of August, 1987, by and between the CITY OF REDDING, a Municipal Corporation, of 760 Parkview Avenue, Redding, California 96001 , hereinafter called "City, " and ACCU-TEMP NORTH, of Post Office Box 2315 , Redding, California 96099 , hereinafter called "Contractor" : WITNESSETH: 1 . Contractor covenants and agrees to perform heating and air conditioning maintenance for City as described in 'Exhibit "A" attached hereto and incorporated herein by refrence, in accordance with the following terms and conditions and for the following compensation. 2. Contractor agrees that said services shall bye performed to the satisfaction of City' s Building Maintenance Supervisor, and that failureto perform the aforesaid heating and air conditioning maintenance in accordance with the proposal and to the satisfaction of said Supervisor shall constitute a material breach of this contract and grounds for the cancellation of this contract by City as hereinafter provided. 3 . City agrees to pay Contractor, in consideration of the services to be performed in accordance with the provisions of paragraphs 1 and 2 above, the sum of Seven Hundred Seventy-three and 01/100 Dollars ($773 . 01) per month for each month during the II it II 411 111 term of this Agreement. In the event such services are performed for only a fraction of a month as a result of the expiration of the term hereof, or earlier termination or cancellation hereof, Contractor shall be paid for the fraction of the month that services were performed in accordance with a proration of the monthly consideration computed on the basis of a 30-day month. 4 . The term of this Agreement shall commence on September 1 , 1987 , and terminate on December 31 , 1988; 5 . This Agreement is entered into upon the express 1 condition that City shall be free from any and all l�ability and claims for damages for personal injury, death, or property damage in any way connected with Contractor' s use of the premises for the purposes herein, including claims of Contractor, its officers, agents and employees. Contractor shall indemnify and save harmless City, its officers, agents and employees, from any 1 and all liability, loss, cost or obligation on account of or arising out of any such injury, death or loss cauised by the negligence or other legal fault of Contractor or it officers, agents and employees. 6 . It is understood and agreed as a condition of this Agreement that Contractor shall, at its own expense,;iobtain and keep in full force and effect public liability insurance in the amounts of $300 , 000 . 00 for injury to one person, $5061, 000. 00 for any one accident, and $100 , 000 . 00 for property damage, and shall name City, its officers , agents and employees, as ] additional insured, and shall further contain a provision obligating the -2- i insurance carrier to notify City in writing at least ten (10) days prior to any cancellation or reduction of such ix'surance. A Certificate of Insurance evidencing such coverage and notice requirement shall be approved by the City Attorney and! filed with the City Clerk of City prior to the first usage of t!he premises set forth under this Agreement. .i A combined single-limit policy with aggregate limits in the amount of $1, 000 , 000 will be considered equivalelnt to the required minimum limits. 7 . It is further understood and agreed as a condition of this Agreement that should Contractor hire an employee or employees, it will provide workers ' compensation insurance on its employees, and shall furnish City with a Certificate evidencing such insurance. it 8 . This Agreement may be terminated at any time by either party upon thirty (30) days ' prior written notice to the other party. 9. Any notices or demands that may be given ' by either party hereunder, including notice of default and ! notice of termination, shall be deemed to have been fully and properly given when made in writing, enclosed in a sealed envelope and deposited in the United States Post Office, certified mail, postage prepaid, addressed as follows : To Lessor at 760 Parkview Avenue, Redding, California 96001 ; and to Lessee at Post Office Box 2315 , Redding, California 96099 . -3- r • 10. Contractor shall provide a bond in the minimum amount of $5, 000. 00 to insure City against the loss or theft; of records or other documents, in form and substance as requiredOby the City Attorney, and shall cause City to be guaranteed at least ten (10) i! days' prior written notice of termination of said bond. 11 . It has been determined that this matter is not subject to the provisions of the California Environmental Quality Act. The work to be performed by the Contractor under this specification shall consist of furnishing all material, labor] tools and equipment necessary to provide preventive maintenance inspection and servicing on all the air conditioning, heating and ventilating equipment, and all controls and ancillary equipment thereto, at the various locations as noted in the bid proposal. All belts, filters, grease, oil, chemical, test kits, labor and all other related materials required for preventive maintenance shall be provided by the contractor and included in the cost aslnoted in his bid proposal. No charges will be made for cleaning evaporators, shell and tube condensers or air cooled condensers. addition, no charge will be made for belts or for their replacement or adjustment. The contractor shall be responsible for extending all parts and labor warranty' s replaced or installed by the contractor. If established, the contractor. will also be responsible for extending the warranty on parts replaced or installed by a previous contractor including all manufacturers warranty' s against defects in material, parts and equipment to a maximum period of 90 days from start up or completion. Contractor shall submit an equipment and system condition report to the City of Redding upon request. Contractor will be periodically evaluated on an overall cost per facility basis . Maintenance and repair costs will be considered together with cooperation, response times , recurring problems, frequency of service call, etc. A maintenance/service schedule sheet shall be posted in a conspicuous place close to the equipment to be serviced. Sheet shall be dated and signed at completion of each service, a brief description of work completed shall be described. Contractor shall supply the City of Redding with ' a complete equipment list upon completion of first maintenance. Listing shall include equipment make, model, serial number and location. Maintenance and filter changes are to be completed by the 15th day of each month following the 1st. it CITY OF REDDING-SPECIFICATIONS-HEATING AND AIR CONDITIONING MAINTENANCE VARIOUS LOCATIONS PAGE 2 GENERAL Adjustments or alterations of controls installed by others under the City of Reddings energy conservation program will not be made without prior approval of the City of Redding. Any work not specifically mentioned which is needed to make the maintenance complete within the intent of this specif4cation shall be performed without additional cost to the City. Contractor will hold City harmless from any claims for damages of any kind whatsoever by any person occasioned by Contractor personnel ' s activities. Contractor agrees to pay each workman paid by him the prevailing rate of wages applicable to the work to be done. The heating and air conditioning maintenance personnel shall operate under these specifications and under directions given by the Building Maintenance Supervisor. !� Contractor will maintain the heating and air conditioning equipment herein described, using skilled maintenance men under contractor supervision. They will employ all reasonable care to see that the equipment is maintained in proper operating condition. This contract covers all work performed during the regular working hours of regular working days of the heating and air conditioning trade, unless otherwise specified. Contractor shall promptly repair and/or replace ;all damaged equipment resulting from the methods or materials used or employed by the contractor or from acts of his employees or agents at the contractors own cost and to the satisfaction of the City of Redding. If required, at any time, examinations, minor adjustments, call back services or repairs to be made on overtime, contractor will absorb the regular time portion of each overtime houriworked. The City will be charged only for the difference between the regular hourly billing rate and the regular overtime billing rate applicable, for each overtime hour worked. • • • iI CITY OF REDDING-SPECIFICATIONS-HEATING AND AIR CONDITIONING MAINTENANCE VARIOUS LOCATIONS PAGE 3 1 The importance of maintaining the equipment herein ;icovered in a safe and efficient operating condition at all timespdemands that service be performed by a contractor who has satisfactorily maintained equipment of similar grade to the degree specified herein. In order to demonstrate that Contractor can properly fulfil all of the services and conditions of these specifications , the Contractor shall furnish with his bid a written statement to thejCity showing that he has; j A current license to perform the work in conformance with the provisions of the State Business and Professions Code. License number shall be set forth in all bids and contracts. u Satisfactorily performed other contracts of a similar nature and magnitude. BIDDER SHALL PROVIDE A LIST OF REFERENCES WITH TELEPHONE NUMBERS. The number of years Contractor has been in business under this name and management. CANCELLATION The City reserves the right to cancel this contract at any time by giving the Contractor thirty (30) days written notice of his intent to do so. PAYMENTS EXTRA COSTS--will be executed only upon written orders from the City of Redding, and then and only then will become and extra charge over and above the charges set forth in the',' attached bid proposal . it • • ° CITY OF REDDING-SPECIFICATIONS-HEATING AND AIR CONDITIONING MAINTENANCE VARIOUS LOCATIONS PAGE 4 As a basis for payments of claim for services rendered, monthly billing must be accompanied by service reports indicating hours worked and work accomplished on equipment during the month. Reports shall be verified by the signature of a designated representative of the City. Failure to comply will result in withholding monthly payments. Contractor shall render invoices in duplicate to the City on the last of the month, monthly. If necessary at the commencement or termination of the contract, payments will be made for any fractional part of a month' s service at the rate of one-thirtieth (1/30) of the monthly charge for each day of service rendered. SUCCESSFUL BIDDER MAY BE REQUIRED TO SUBMIT A PERFORMANCE BOND. SITE INSPECTION: LON HARRIS, Building Maintenance Supervisor will provide an on site inspection of the facilities on Thursday, April 2, 1987 and on Tuesday, April 7, 1987. Tour will meet at the City of Redding, Purchasing Department, 760 Parkview Avenue; Redding, CA no later than 9:00 A.M. and depart promptly. NOTE: If there are any deviations from the specifications set forth herein, the bidder shall note the deviations in his bid. Failure to note a deviation from the specifications may be grounds for rejection by the City of that particular bid. Where deviations are noted, the City reserves the right to accept a bid containing such deviations provided that, in_the sole opinion of the City, the deviation or deviations so noted do not affect the overall capability of the item bid to perform the function for which it is to be acquired and such deviations result in a lesser total cost to the City for the subject item. . 411 "EXHIBIT A" PAGE 1 City of Redding HVAC maintenance specifications, to ; be performed during regular scheduled maintenance. Replace belts as needed, ;1a minimum of once per year. 3. *Check coil condition and clean (wash once per year)i . 4. Check operating pressures. 5. Check heating operation. 8 . Check and adjust heating controls as necessary. HEAT PUMPS: (Refer to Condensing units) 1. Check operation of change over valve. 2 . Check defrost thermostats and controls. 3. Lubricate fan and motors as necessary. 4 . Check general operation. FILTERS: 1. Replace filters every 60 days. Exceptions: a. Redding Mall every 90 days, 2 inch high efficiency filters are to be used where applicable. b. City Hall every 90 days. c. Fire Prevention every 30 days. - d. Convention and Visitors Center every 30 days. e. Airport every 60 days with high efficiency filters 40% efficiency. 2 inch are to be used--no exceptions. f. Museum--2 filter changes per year minimum. g. Council Chambers--2 inch high efficiency filters are to be used. CONTROLS: 1 . Check, correct settings of time clocks and operation. 2 . Check and lubricate all damper motors and linkage. Check operation. CONTROL AIR COMPRESSOR (AIRPORT) : 1 . Blow down tank and traps. 2. Lubricate motor. 3 . Check oil level. 4 . *Check belt, adjust or replace if necessary, minimum once per year. 5. Check belt drive for alignment. 6. Change oil in compressor twice per contract period.';' WATER COOLED CONDENSING UNITS: Refer to Air-Cooled Condensing Units 1 . Check operation and condition of water regulating valves, adjust as necessary. 2 . Check and lubricate pumps a minimum of three times per year. 3. Inspect condensers for scale and or mud, cleanas necessary once per year. ELECTRICAL: 1 . Check condition of wiring and connectors for tightness from disconnect switch to air-conditioning/heating equipment. Check contractor terminals for tightness. VENTILATION EQUIPMENT: 1 . Lubricate fan and motors as necessary, a minimum of three times per year. 2 . *Check drive belts and adjust or replace as necessary, a minimum of once per year. 3 . Check general condition and operation. II, "EXHIBIT A" PAGE 5 AIR DISTRIBUTION: 1. Make necessary adjustments to dampers and defuser,s to correct minor air distribution problems during inspection. FIRE DAMPERS: 1. Check dampers and linkage. HUMIDIFIERS: 1. Check condition and operation of humidifiers. 2. Blow down sumps and traps. Clean as necessary, once per year. 3. Check condition and operation of low water cut-outs. REFRIGERATION EQUIPMENT: A general inspection of airport restaurant equipment shall be made 4 times per year, limited to refrigeration. Report conditions to General Services. MISCELLANEOUS: 1 . Maintain operable light bulbs in equipment rooms and plenums. 2. Keep equipment room clean and free from parts and filters. 3 . Keep roof tops free from parts and filters. 4. Maintain clean equipment. LOG: Contractor shall maintain a maintenance log showing date of maintenance and replacement for each location serviced and shall provide log to the City of Redding upon request. EMERGENCY RESPONSE TIME: Due to the importance of air-conditioning equipment malfunction, response time shall be limited to 1/2 hour for service to the emergency 911 system and the City of Redding Computer Center and Electrical Department Computer Center. INSURANCE it The Contractor shall furnish the City insurance certificates showing that the contractor has insurance coverage as indicated below: A. Comprehensive General and Auto Liability insurance policy, (including contractor' s liability, completed operations liability, blanket contractual liability, contractor' s contingent liability, owned and non-owned auto liability) , insuring the City and its employees as follows: (1) The limits of liability shall be not less than $300,000 on account of injury or death to any one person, and not less than $500,000 on account Of any one accident resulting in injury - or death to more than one person, and not less than - $100,000 -for damage to real or- personal property. - A combined single limit policy with aggregate limits in the amount of $1,000,000 will be considered equivalent to the required minimum limits. (2) Such insurance shall contain an endorsement stating that THE CITY OF REDDING, ITS OFFICERS, AGENTS, AND EMPLOYEES ARE COVERED AS ADDITIONAL INSUREDS. 1 (3) The Certificate of Insurance shall also state that THE -POLICIES SHALL NOT BE REVOKED OR ANY COVERAGE REDUCED UNTIL TEN (10) DAYS WRITTEN NOTICE THEREOF SHALL HAVE FIRST BEEN GIVEN TO THE CITY OF REDDING. (4) Such insurance certificate shall indicate ; that the liability insurance policy contains the following specific endorsement: 'Notwithstanding any other provision in this policy, insurance afforded hereunder to the City of Redding shall be primary as to any other insurance or re-insurance covering or _available to the City of Redding, and -such other insurance or re-insurance shall not be required to contribute to any li,ability or loss until and unless the appropriate limits of liability afforded hereunder are exhausted. (1) Such insurance certificate shall indicate that the Workers' Compensation insurance policy contains the following specific endorsement: 'It is agreed that such insurance afforded by this policy also applies to the City of Redding as an additional insured,, but only with respect to employees hired by, and included on the payroll of, the named insured performing work for the account of such additional insured. It is also agreed that any notice to or from the named insured of reduction in or termination of coverage funder the ' policy shall be given to the above additionall insured. All other terms and conditions of this policy remain the same. ' - (2) Such insurance shall contain an endorseme4 stating that the CITY OF REDDING, *ITS OFFICES, AGENTS, AND EMPLOYEES ARE COVERED AS ADDITIONAL INSUREDS. ;; (3) The Certificate of Insurance- shall also state that THE POLICIES SHALL NOT BE REVOKED OR ANY COVERAGE REDUCED UNTIL TEN (10) DAYS WRITTEN NOTICE THEREOF SHALL HAVE FIRST BEEN GIVEN TO THE CITY OF REDDING. C. Certificate of Exemption from Workers ' Compensation Insurance - _ (1) Such certification ' shall indicate that the contractor shall not employ any person in any manner'Iso as to become subject to the Workers' Compensation Laws of California. (2) If after making this Certificate of Exemption, you should become subject to the Workers ' Compensation provisions of the Labor Code, you must forthwith comply with such provisions. 2. DEFINITIONS: - In these specifications the word 'City, ' means the City of Redding, California. The term "Bidder, " - means the person, firm, or corporation submitting a bid on these specifications or on any part thereof. The term 'Contractor, ' means the person, firm, or corporation with whom the Contract is made by saidCity, or the agent or legal representative who may be appointedto represent such party, firm, or corporation in the execution of this Contract . The term 'Engineer, ' means the City Engineer of the City of Redding, acting either directly or through his personally appointed agents , such agents acting severally within the scope of the specific duties entrusted to them. ;! 111 CITY OF REDDING-GENERAL CONDITIONS PAGE 3 3 . PROPOSALS: Bids, to receive consideration, shall be madein accordance with the following instructions: (a) Bids shall be made as indicated on the forms contained in the documents attached hereto and entitled "BID, " properly executed in ink, with all blank spaces filled in. The signatures of all persons signing the bid shall be in longhand. The completed Bid Form shall be without alterations or erasures and; shall not be removed from this binding. Additional information may be submitted by the bidder on a separate sheet. (b) Before submitting a bid, bidders should read the Specifications carefully and should inform themselves completely as to all existing conditions and limitations. The bid shall include the cost of all items necessary to complete the Contract. (c) Each proposal shall be enclosed in a sealed envelope addressed to the City Clerk of the City of Redding, City Hall, - Redding, California 96001-. The outside of the envOope shall be plainly marked with Bidder' s name and - address and the; Bid Schedule Number. - (d) All bids received after the scheduled closing time for receipt of bids shall NOT be- accepted or considered' and shall be returned to the bidder unopened. 4 . WITHDRAWAL OF BID: Any bidder may withdraw his bid either personally or by written request, at any time prior to the scheduled, closing time for receipt of bids. 5. INTERPRETATION: If a prospective bidder is in doubt as to the'! true meaning of any part of the "Notice Inviting Bids, " "General Conditions, " or the "Specifications, " or finds discrepancies in or omissions in the same, he may submit to the City a written request or an interpretation or a correction thereof. Any interpretations or corrections of the proposed documents will be made only by addendum mailed or delivered to each person receiving a set of such documents. Such addendum shall be considered as ,I part of the Contract. 6 . AWARD OF CONTRACT OR REJECTION OF BIDS: The Contract will be awarded within thirty (30) days after the opening of bids. The City, however, reservesIthe right to reject any or all bids , or any part of any such bid, 'and to waive any informality in bids received, taking into consideration the ultimate economy to the City. it . • . • • • I. ASSIGNMENT OF CONTRACT: No assignment by the Contractor of any contract to be entered into hereunder or any part thereof, or of funds to be received thereunder by the Contractor, will be recognized by the City unless such assignment has had the prior approval of the said City and surety has been given due notice of such assignment in writing and has consented in writing. 8 . QUALIFICATIONS OF BIDDER: Only manufacturers or contractors of r established reputations , or their duly authorized dealers or *gent, having _ proper facilities for the manufacture of the material& or equipment - - and for servicing same, or for proper execution of the work called for in the Specifications, will be considered in making the award. The bidder - shall furnish proof that he hash in operation material similar in size and operating characteristics to -the material he proposes_-to furnish herein. 9 . DELIVERY: The successful bidder shall delivery the items l;called for in his bid free from any and all claims, debts, or demands whatsoever. 10 . CONTRACTOR'S SPECIFICATIONS: EACH BIDDER MUST ATTACH TO HIS PROPOSAL, AND MAKE A PART THEREOF, SPECIFICATIONS TO BE DESIGNATED AS 1:1'CONTRACTOR' S SPECIFICATIONS, ' WHICH MUST CONTAIN DETAILED DESCIRIPTIONS AND GENERAL DRAWINGS INCLUDING OVER-ALL DIMENSIONS, PHOTOGRAPHS OR CUTS OF THE EQUIPMENT AND APPURTENANCES WHICH THE BIDDER PROPOSES TO FURNISH, AND OF THE MATERIALS TO BE USED IN THE CONSTRUCTION OF THE - SAME. ONE SET OF THESE SHALL BE FURNISHED FOR EACH COPY OF THE PROPOSAL. IN CASE THE 'CONTRACTOR'S SPECIFICATIONS' CONFLICT IN ANY PARTICULAR WITH THE DETAIL SPECIFICATIONS OF THE CITY, THE LATTER SHALL GOVERN IN DETERMINING THE POINT AT ISSUE. 11 . ERRORS AND OMISSIONS: The Contractor will not be allowed to take advantage of any error or mission in the Specifications or in the !'Contractor ' s Specifications . ' _Full instructions will always be given when such err-or or omission is discovered. 12 . DELIVERIES, DESTINATIONS, EXTENSION OF TIME: Deliveries shall be made as set forth in Detail Specifications. Delivery is defined as complete delivery in good order at place designated in Detail Specifications. jApplications for extension of time beyond guaranteed completion time shall be made in writing to the City Engineer not less than seven (7) days from the beginning of any condition which will cause delay. Allowances will be made for delay of delivery due to strikes , fires , floods , or other causes clearly beyond the control of the Contractor. • CITY OF REDDING-GENERAL CONDITIONS PAGE 5 13. PATENT RIGHTS: The equipment to be furnished hereunder shallinot, either in construction, manufacture, use, sale or other particular, infringe any letters patent heretofore granted, and the Contractor shall defend and pay the entire cost of defending any claim or suit whenever or wherever made or brought against the City based upon an infringement or alleged infringement of such letters patent, and shall indemnify and save harmless the said City friom and against any and all liability, damage, loss or injury adjudged or sustained in any such claim or suit, or adjudged or sustained by reason of the -equipment to be furnished hereunder constituting any_ infringement of any letters patent, or adjudged or sustained by reason of inability of said City to use equipment pecause of any infringement or alleged infringement of any letter patent. 14 . MATERIALS, WORKMANSHIP, AND DESIGN: - All work must be done and -completed in a - thorough, workmanlike manner by mechanics skilled in their various trades, notwithstanding any omission from the Specifications. The Contractor shall be held to guarantee all material, lapparatus, and equipment -to - fulfill all requirements and special guarantees set forth in the Specifications. The fact that materials or equipment shall have been successfully tested and passed by the Engineer sha!�11 not relieve the Contractor of responsibility in case of later 'development of flaws or defects. 15 . COMPLIANCE WITH SPECIFICATIONS OF MATERIALS: Whenever in the Specifications any material;! or process- is indicated, or specified by patent or proprietary namelor by name of manufacturer, such specifications shall be deemed to be used for the purpose of facilitating description of the material or process desired and shall be deemed to be followed by the words or equivalent' , and the Contractor may offer any material or process which shall be equal in every respect to that so indicated or specified; provided, however, that if the material, process, or article offered by the Contractor is not equal in every respect to that specified; then the Contractor must furnish; the material, process - or article specified, or one that is the equal thereof in every respect. 1 - I1 i s • • CITY OF REDDING-GENERAL CONDITIONS PAGE 6 16. FEDERAL AND STATE TAXES: The prices bid shall include any Federal tax heretofore imposed by the Congress, which is applicable to the material to be furnished. If any sales tax, processing tax, adjustmeint charge, or other taxes or charges are imposed or changed by the Congress after the date set for opening bids, and made applicabledirectly upon the production, manufacture or sale of the supplies to be furnished and are paid by the Contractor on the articles' or supplies furnished, then the prices stated in the schedules will be increased or decreased accordingly, and amounts due the Contractor as the result of such change will be charged to the City and added on vouchers (or invoices) as separate items. When, and if, the California Use Tax is required to be quoted as a separate item as indicated in the bid, the prices thus quoted - by a bidder authorized or required to collect the Use Tax shall show as a separate item. The prices quoted by a bidder who - is NOT authorized nor required to collect the California Use Tax shall not include tax, but bidder shall state that he is not authorized or required to collect the California Use Tax. 17. -PREPARATION FOR SHIPMENT: The Contractor shall prepare all articles and materials for shipment in such a manner as to protect them from damage in transit, and shall be responsible for and repair all damaged parts or replace all losses incurred in transit to the designated delivery point. When necessary, heavy parts shall be mounted on skids or crated, and all articles or materials that might otherwise be lost shall be boxed or wired in bundles. All articles shall be plainly marked for identifications and destination. The Contractor shall prepare proper commercial bills of lading, three copies of which together with a complete shipping list, shall be sent to the Purchasing Department, City Hall, 760 Parkview Avenue, Redding, California 96001 . 18. SHIPPING WEIGHTS: Each bidder shall state in his proposal the total shipping weight, listing and segregating the individual unit weights and shipping weights. 19 . FAILURE TO MEET GUARANTEES: Should the test of any material , apparatus , or equipment show that it does not meet the guarantees and requirements of the Specifications, the Contractor shall at once proceed to furnish the new parts as may be necessary to bring it up to requirements. All expense's of furnishing new parts, or alteration to existing parts , and of tests made necessary by such failure to meet the guarantees and other requirements of the Specifications shall be borne by the Contractor.
