HomeMy WebLinkAboutReso. 1987 - 231 - Approving lease agreement between the city of redding and deoartment of california highway patrol RESOLUTION NO. 37'•23/ A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING LEASE AGREEMENT BETWEEN CITY OF REDDING AND DEPARTMENT OF CALIFORNIA HIGHWAY PATROL, AND AUTHORIZING THE MAYOR TO SIGN ALL NECESSARY DOCUMENTATION. BE IT RESOLVED by the City Council of the City of Redding as follows : 1 . That the City Council of the City of Redding hereby approves the Lease Agreement between the City of Redding and the Department of California Highway Patrol, a true copy of which is attached hereto. 2 . That the Mayor of the City of Redding is hereby authorized and directed to sign said Lease Agreement and all necessary documentation on behalf of the City of Redding in connection therewith, and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding on the aforesaid documents, when appropriate. LEASE AGREEMENT THIS LEASE AGREEMENT made and entered into this 1t-i day of 1sJ , 1987, by and between the CITY OF REDDING, a Municipal Corporation and General Law City, hereinafter referred to as "Lessor, " and the DEPARTMENT OF CALIFORNIA HIGHWAY ,! PATROL, a Division of the State of California, hereinafter referred to as "Lessee" : WITNESSETH: ;I IT IS AGREED by and between the parties hereto as follows: 1 . Description of Premises. Lessor hereby leases to Lessee and Lessee hires from Lessor, on the terms and conditions hereinafter set forth, those certain premises situated at Benton Airpark in the City of Redding which are depicted on Exhibit "A" attached hereto and incorporated herein by reference. 2. Term. The term of this Lease shall be for two (2) years , commencing June 15 , 1987, and terminating June 14 , 1989. 3 . Rent. No rent will be charged under this Lease. Agreement. 4 . Use. The premises are leased to Lessee for a base for Lessee ' s Highway Patrol aircraft operations and relayed office, storage and parking purposes. 5 . Installation and Improvements. Lessee has installed mobile office and storage structures on the premises. Any improvements to said structures shall meet the requirements of II J . Lessor, and any expenses incurred in the installation, removal or relocation of said structures shall be borne by Lessee." 6 . Utilities. Lessee shall pay all monthly charges for any utilities which serve its facilities at the Airpark. 7. Acceptance of Premises As Is; Surrender at End of Term. By entry hereunder, Lessee accepts the premises as being in good and sanitary order, condition and repair, and agrees , on the last day of said term or sooner termination of this Lease, to surrender unto Lessor all and singular said premises in the same condition as when received, reasonable use and wear thereof and damage by fire, Act of God, or by the elements excepted; provided, however, that Lessee shall have the right to remove such personal property placed in and upon the premises' by Lessee as may be removed without damaging the leased premises. 8 . Mechanics ' Liens. Lessee shall keep the demised premises and the property on which the demised premises are situate free from any liens arising out of any work performed, material furnished, or obligations incurred by Lessee. 9 . Compliance with Law. Lessee shall , at its sole cost and expense, comply with all requirements of federal , state and local authorities now in force or which may hereafter be in force pertaining to said premises and to Lessee ' s operations thereon; and shall faithfully observe , in the use of said premises, all federal, state and local statutes now in force orwhich may hereafter be in force. The judgment of any Court of competent jurisdiction or the admission of Lessee in any faction or -2- proceeding against Lessee, whether Lessee be a party thereto or not, that Lessee has violated any such ordinance or ;statute in the use of the premises shall be conclusive of the fact as between Lessor and Lessee. 10. Inspection. Lessee shall permit Lessor to inspect said premises and any improvements constructed therein and !thereon at all reasonable times during the term of this Lease or any extension thereof. 11 . Improvements . As a further consideration of this Lease, Lessee agrees to maintain in good and sanitary order at all times all the improvements which are presently installed on or in the leased property and any improvements which Lessee installs. 12. Waste; Quiet Conduct. Lessee shall not commit or suffer to be committed any waste upon said premises, or any nuisance or other act or thing which may disturb the quiet enjoyment of any other occupant or user of Lessor ' s adjoining premises. 13. Hold Harmless. Lessee shall assume all responsibility and liability in connection with its operations on the demised premises, and agrees to assume and to pay and hold Lessor, its officers , agents and employees , harmless from any responsibility or liability in connection with Lessee' s use and occupancy of the premises hereunder leased during the term of this Lese or any extension hereof, including claims for damages for injuries to persons or property of persons using said premises and, -3- s • specifically, claims for injuries caused by noise generated by Lessee ' s operations hereunder. Lessee shall provide to Lessor, its officers , agents and employees , a defense in those instances where they may be named in claims or lawsuits based upon the activities of Lessee. 14 . Insurance. Lessor understands and agrees to the following: The State of California has elected to be insured for its general liability exposure through a combination of self- insurance and commercial insurance. The commercial insurance extends coverage from $5 , 000 , 000. 00 to $50, 000, 000. 00 ,, and under $5 , 000 ,000. 00 the State Attorney General administers the program through the use of an annual appropriation from the tort liabi- lity fund. Using this combined form of insurance, the State and its employees are insured for any tort liability that may develop through carrying out official activities, including State offi- cial operations on non-owned property. Should any claims arise by any reason of such operations under this Lease Agreement, they should be referred to the Attorney General, State of California, Tort Liability Section, 555 Capitol Mall, Suite 550 , Sacramento, California 95814. The State of California has entered into a master agreement with the State Compensation Insurance Fund to administer workers ' compensation benefits for all State employees as required by the Labor Code. 15 . Assignment or Subletting. Lessee shall not assign this Lease nor any interest therein, and shall not sublet said premises or any part thereof, nor any right or , privilege -4- • • l appurtenant thereto, nor suffer any other person (the agents and servants of Lessee excepted) to occupy or use said p,�remises or any portion thereof, without the written consent of Lessor first had and obtained. A consent to one assignment, subletting, occupancy or use by another person shall not be deemed to be a consent to any subsequent assignment, subletting, occupancy or use by another person. Any such assignment, subletting, occupancy or use without such consent shall be void and shall, at the option of Lessor, terminate this Lease. This Lease, or any interest therein, shall not be assignable as to the interest of Lessee by operation of law without the written consentgof Lessor. 16 . Cancellation. This Lease or any extension hereof may be cancelled by either party hereto at any time during the term of this Lease by giving to the other sixty (60) days ' advance notice in writing. Breach by Lessee of any of the terms, conditions and agreements contained in this Lease or any extension thereof shall, at the option of Lessor, be a' basis for an immediate cancellation of this Lease or any extension thereof. 17. Notice. Any notices or demands that may be given by either party hereunder, including notice of default andi notice of termination, shall be deemed to have been fully and properly given when made in writing, enclosed in a sealed envelope and deposited in the United States Post Office, certified mail, postage prepaid, addressed as follows : To Lessor at 760 Parkview Avenue, Redding, California 96001; and to Lessee at Department of -5- . • 411 General Services, Office of Real Estate and Design Services, 400 "P" Street, Suite 3110 , Sacramento, California 95814. 18 . CEQA. It has been determined that this matter is categorically from the g y exem t p provisions of the California Environmental Quality Act.
