FOR CONSTRUCTION TESTING FOR PLACEMENT OF AN ASPHALT POROUS FRICTION COURSE ON THE RUNWAY AT BENTON AIRPARK (JOB #9799) , AND AUTHORIZING THE CITY MANAGER TO SIGN ALL NECESSARY DOCUMENTATION. BE IT RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves the attached Authorization for Professional Services Agreement between the City of Redding and MTI Testing Laboratory Inc. , not to exceed $4 , 000 . 00 , for the construction testing for placement of an asphalt porous friction course on the Runway at Benton Airpark. 2 . That the City Manager of the City of Redding is hereby authorized and directed to sign said Agreement and all necessary documentation on behalf of the City of Redding in connection therewith, and the City Clerk is hereby authorized and directed to attest the signature of the City Manager and to impress the official seal of the City of Redding on the aforesaid documents, when appropriate. 3 . That a true copy of said Agreement is attached hereto and incorporated herein by reference. Authorization To Proceed Signing this form shall be construed as authorization by client for MTI to proceed with the work, unless otherwise provided for in the authorization. 2. Direct Expenses MTI 's direct expenses shall be those costs incurred on or directly for the client's project, including but not limited to necessary transportation costs including mileage at MTI ' s current rate if its automobiles are used, meals, lodging and telephone charges. Expenses shall be on the basis of actual charges furnished by commercial sources. 3. Outside Services When technical or professional services are furnished by an outside source, when approved by client, an additiona115% shall be added to the cost of these services for MTI 's administrative costs. 4. Professional Standards MTI shall be responsible, to the level of competency presently maintained by other practicing laboratories in the same type of work in the client's community, for the technical soundness and accuracy of all reports and other work and materials furnished under this authorization. MTI makes no other warranty, express or implied. 5. Legal Expenses In the event legal action is brought by client or MTI against the other to enforce any of the obligations hereunder or arising out of any dispute con- cerning the terms and conditions hereby created, the losing party shall pay the prevailing party such reasonable amounts for fees, costs and expenses as may be set by the court. 6. Samples All samples will be disposed of, or destroyed upon completion of testing unless the client advises MTI otherwise. Upon request, the samples will be delivered to client, charges collect, or MTI will store them for an agreed charge. 7. Field Work The presence of MTI field personnel will be for the purpose of providing observation and field testing. Our work does not include supervision or direction of the actual work of the contractor, his emploYees or agents. The contractor for this project should be so advised. The contractor should also be informed that neither the presence of MTI field personnel nor the observation and testing by MTI shall excuse him in any way for defects dis- covered in his work. It is understood that MTI will not be responsible for job or site safety. Job and site safety will be the sole responsibility of the client or contractor. 8. Payment of Compensation Invoices for our services will be submitted at our option, but not more than twice a month. Invoices are due and payable upon receipt. If payment by client of any amount due MTI is not made within 30 days of invoice date, a SERVICE CHARGE of 1-1/2% per month on the unpaid balance will be added until paid in full. • • • M T I TESTING LABORATORY INC.
