A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING THE AGREEMENT BETWEEN THE CITY OF REDDING AND
AMERICAN BUILDING MAINTENANCE FOR JANITORIAL SERVICES TO BE
PERFORMED IN VARIOUS CITY BUILDINGS, AND AUTHORIZING THE
MAYOR TO SIGN.
BE IT RESOLVED by the City Council of the City of Redding as
follows:
1 . That the City Council of the City of Redding hereby
approves the Agreement between the City of Redding and American
Building Maintenance, a true copy of which is attached hereto and
incorporated herein by reference; and
2 . That the Mayor of the City of Redding is hereby
authorized and directed to sign all necessary documents on behalf
of the City of Redding in connection with said Agreement, and
that the City Clerk is hereby authorized and directed to attest
the signature of the Mayor and to impress the official seal of
the City of Redding on the aforesaid documents, when appropriate;
and
I HEREBY CERTIFY that the foregoing Resolution was
introduced and read at a regular meeting of the City Council of
the City of Redding on the 21st day of April , 1987, and was
duly adopted at said meeting by the following vote:

AGREEMENT
THIS AGREEMENT made and entered into this 13th day of
April, 1987 , by and between the CITY OF REDDING, a Municipal
Corporation, of 760 Parkview Avenue, Redding, California 96001 ,
hereinafter called "City, " and AMERICAN BUILDING MAINTENANCE, of
Post Office Box 494055 , Redding, California 96049-4055 ,
hereinafter called "Contractor" :
WITNESSET H:
1 . Contractor covenants and agrees to perform janitorial
services for City as described in Exhibit "A" attached hereto and
incorporated herein by reference, in accordance with the
following terms and conditions and for the following
compensation.
2 . Contractor agrees that said services shall be performed
to the satisfaction of City' s Building Maintenance Supervisor,
and that failure to perform the aforesaid janitorial services in
accordance with the proposal and to the satisfaction of said
Supervisor shall constitute a material breach of this contract
and grounds for the cancellation of this contract by City as
hereinafter provided.
3. City agrees to pay Contractor, in consideration of the
services to be performed in accordance with the provisions of
paragraphs 1 and 2 above, the sum of One Thousand Eight Hundred
Eleven and 51/100 Dollars ($1 , 811 . 51) per month for each month
during the term of this Agreement. In the event such services

are performed for only a fraction of a month as a result of the
expiration of the term hereof, or earlier termination or
cancellation hereof, Contractor shall be paid for the fraction of
the month that services were performed in accordance with a
proration of the monthly consideration computed on the basis of a
30-day month.
4 . The term of this Agreement shall be for one (2) years
commencing on May 1 , 1987, and terminating on April 30 , 1989.
5. This Agreement is entered into upon the express
condition that City shall be free from any and all liability and
claims for damages for personal injury, death, or property damage
in any way connected with Contractor' s use of the premises for
the purposes herein, including claims of Contractor, its
officers, agents and employees. Contractor shall indemnify and
save harmless City, its officers, agents and employees, from any
and all liability, loss, cost or obligation on account of or
arising out of any such injury, death or loss caused by the
negligence or other legal fault of Contractor or its officers,
agents and employees.
6. It is understood and agreed as a condition of this
Agreement that Contractor shall, at its own expense, obtain and
keep in full force and effect public liability insurance in the
amounts of $300, 000. 00 for injury to one person, $500 , 000. 00 for
any one accident, and $50 , 000 . 00 for property damage, and shall
name City, its officers, agents and employees, as additional
insured, and shall further contain a provision obligating the

insurance carrier to notify City in writing at least ten (10)
days prior to any cancellation or reduction of such insurance. A
Certificate of Insurance evidencing such coverage and notice
requirement shall be approved by the City Attorney and filed with
the City Clerk of City prior to the first usage of the premises
set forth under this Agreement.
7. It is further understood and agreed as a condition of
this Agreement that should Contractor hire an employee or
employees, it will provide workers ' compensation insurance on its
employees, and shall furnish City with a Certificate evidencing
such insurance.
8. This Agreement may be terminated at any time by either
party upon thirty (30) days ' prior written notice to the other
party.
9. Any notices or demands that may be given by either
party hereunder, including notice of default and notice of
termination, shall be deemed to have been fully and properly
given when made in writing, enclosed in a sealed envelope and
deposited in the United States Post Office, certified mail,
postage prepaid, addressed as follows: To Lessor at 760 Parkview
Avenue, Redding, California 96001 ; and to Lessee at Post Office
Box 494055 , Redding, California 96049-4055.
10. Contractor shall provide a bond in the minimum amount
of $5 , 000 to insure City against the loss or theft of records or
other documents , in form and substance as required by the City

Attorney, and shall cause City to be guaranteed at least ten (10)
days ' prior written notice of termination of said bond.
11 . It has been determined that this matter is not subject
to the provisions of the California Environmental Quality Act.
IN WITNESS WHEREOF, the parties hereto have set their hands
on the day and year first above written.

EXHIBIT "A"
Janitorial Services
Regular cleaning of the buildings, whether three, 'five or seven
days a week, unless otherwise specified, including sweeping or
vacuuming floors, removing trash and refuse, dusting, replacing
lights when needed, spot cleaning walls as requested, cleaning
fountains and fixtures, etc. , as requested.
All restrooms , unless otherwise specified, are to have floors
mopped, fixtures cleaned, paper and clean towels installed,
daily, and walls cleaned when necessary.
It is understood and agreed that Contractor may pick up supplies
as required from the City warehouse upon written request approved
by City' s Building Maintenance Supervisor; telephone 225-4063.
Summary of Buildings and Cleaning Frequency
1 . Electric Department Offices,
Outbuildings and Lunchroom:
Regular cleaning, five days a week
Price per month: $ 476 . 26
2. Tiger Hall:
Regular cleaning, three days a week
Price per month: $ 87. 00
3 . Martin Luther King, Jr. Neighborhood
Center:
Five days per week:
a) Regular cleaning
b) Mop floors
c) Sweep front entry
Every six months :
a) Strip and wax floors
Price per month: $ 288 . 00

4. Redding Museum and Art Center:
Five days per week:
a) Regular cleaning
b) Remove fingerprints from glass
display cases, door, etc.
Weekly:
a) Hose entrance ways
b) Mop all floors
c) Spot clean carpets
Price per month: $ 248. 00
5 . Redding Regional Wastewater
Treatment--P-1-nt4- -
Three times weekly:
a) Regular cleaning
b) Mop all non-carpet areas
Every three months:
a) Strip and wax all non-carpet floors
As requested:
a) Wash walls, door and woodwork
Price per month: $ 159. 00
6. Old City Hall,
1313 Market Street:
Three times weekly:
a) Regular cleaning
Once per week:
a) Mop all non-carpet areas
b) Vacuum carpet upstairs
c) Sweep main stairway and back stairway
Every three months :
a) Wash windows inside and out
(omit upstairs theater where ivy grows)
As requested:
a) Wash walls , door and woodwork
Price per month: $ 278 . 45

7. Tourist Bureau:
Three times weekly:
a) Regular cleaning
b) Mop all non-carpet areas
c) Wash/clean two front entry doors
d) Check walls and ceiling for cobwebs
e) Spot clean carpet as needed
Once each week:
a) Sweep sidewalk entries
Once a month:
a) Wash all windows inside and out
Every two months :
a) Shampoo carpet
As requested:
a) Wash walls , doors and woodwork
Price per month: $ 274. 80
TOTAL PER MONTH: $1 , 811. 51
NOTE:
The shampoo carpeting services set forth above are included in
the price to be paid to Contractor per month. If additional
shampoo carpeting services are requested by City, Contractor
shall be paid at the rate of eight cents ($ . 08) per square foot
for said services.
