A RESOLUTION OF THE CITY. COUNCIL OF THE CITY OF REDDING
APPROVING THE AGREEMENT BETWEEN THE CITY OF REDDING AND BOB
MOON HEATING & AIR CONDITIONING, AND AUTHORIZING THE MAYOR
TO SIGN SAME.
� IT IS HEREBY RESOLVED by the City Council of the City of
� Redding as follows:
l. That the City Council of the City of Redding hereby
approves the Agreement between the City of Redding and Bob Moon
Heating & Air Conditioning for preventative maintenance service
for the heating and air conditioning unit/units located at the
Redding Civic Auditorium, a true copy of which is attached hereto
and incorporated herein; and
2. That the Mayor of the City of Redding is hereby
authorized and directed to sign all necessary documents on behalf
of the City of Redding, and the City Clerk is hereby authorized
and directed to attest the signature of the Mayor and to impress
the official seal of the City of Redding on the aforesaid
documents, when appropriate.
I HEREBY CERTIFY that the foregoing Resolution was
introduced and read at a regular meeting of the City Council of
the City of Redding on the 7th day of Apri1 , 1987 , and
was duly adopted at said meeting by the following vote:

AGREEMENT
� THIS AGREEMENT made and entered into this 17th day of
March, 1987, by and between BOB MOON HEATING & AIR CONDITIONING
of Post Office Box 49.3550, Redding,. California 96049-3550 ,
�
� hereinafter called "Contractor, " and the CITY OF REDDING, a
Municipal Corporation, of 760 Parkview Avenue, Redding,
' California 96001 , hereinafter called "City" :
W I T N E S S E T H:
, 1 . Contractor covenants and agrees to perform complete
! preventative maintenance service for the heating and air
I conditioning unit/units located at the Civic Auditorium of City
as described in the Specifications for Heating and Air
� Conditioning Maintenance attached hereto as Exhibit "A" and
incorporated herein by reference, in accordance with the
following terms and conditions and for the compensation
ihereinafter set forth.
2. Contractor agrees that said services shall be performed
to the satisfaction of City' s Director of the Civic Auditorium,
� and that failure to perform the aforesaid heating and air
; conditioning maintenance service in accordance with the
Specifications for Heating and Air Conditioning Maintenance
(Exhibit "A" ) and to the satisfaction of said Director shall
constitute a material breach of this Agreement and grounds for
the cancellation of this Agreement by City as hereinafter
provided.
, 3. City agrees to pay Contractor, in consideration of the

services to be performed in accordance with the provisions of

paragraphs 1 and 2 above, the sum of Eighty-seven and 50/100
I Dollars ($.87 . 50) per month for each month during the term of this
IAgreement {subject to adjustment in accordance with paragraph 4
� of this Agreement) .
� For the purposes of this Agreement, Contractor' s regular-
time hourly rate is $35. 00 , and its overtime hourly rate is
$52. 50.
In the event such services are performed for only a fraction
� of a month as a result of the expiration of the term hereof, or
�
' earlier termination or cancellation hereof, Contractor shall be
paid for the fraction of the month that services were performed
in accordance with a proration of the monthly consideration
i
computed on the basis of a 30-day month.
4. The consideration and hourly rates set forth in para-
graph 3 hereof shall remain in effect for a period of one (1)
' year; and Contractor shall provide a copy of documentation
i
verifying labor rates applicable to the current year Agreement.
� On the anniversary dates of this Agreement, Contractor may
provide additional documentation supporting any applicable
pipe fitters ' rate increase in effect, if any. City agrees to
' pay Contractor 75� of the actual increase in hourly rates, over
and above the base rate set forth in paragraph 3 hereof, and the
annual contract price under this Agreement will be adjusted to
i reflect said increase. Adjustment will only be made on
I straight-time hourly labor cost plus hourly benefits as provided
i
� for by the San Francisco collective bargaining agreement.
; 5. The term of this Agreement shall be for three (3) years

' commencing on March l , 1987 , and terminating on February 28,

, 1990. Provided Contractor is not in default hereunder, this
Agreement may be renewed for successive one-year periods, up to a
maximum of two additional years , on the same terms, covenants and
' conditions except for the right to renew beyond the initial
�
three-year term and two successive years thereafter, on the
mutual agreement of both parties. Contractor must notify City
' ninety (90) days prior to the end of the initial three-year term
of this Agreement, or, if renewed for a subsequent one-year
� period, ninety (90) days before the end of the fourth year of
this Agreement, of its intention to renew.
6 . Contractor assumes and agrees to save and hold City and
its officers, agents and employees harmless from any responsi-
, bility or liability in connection with Contractor ' s use of the
premises for the purposes herein.
7. Contractor shall carry and keep in effect during the
term of this Agreement workers ' compensation insurance and public
liability insurance in minimum amounts as follows:
a) Bodily Injury: $250 ,000 each person; $500, 000 each
_ occurrence; $500 , 000 aggregate products and completed
' operations.
' b) Property Damage: $100 , 000 each occurrence; $250 , 000
aggregate.
A combined single-limit polic_y with aggregate limits in the
a
' amount of $1 , 000 , 000 will be considered equivalent to the
required minimum limits.
Certificates of such insurance shall be filed with the City

Clerk of City and shall name City, its officers, agents . and
' employees,. .as additional insureds and guarantee City at least ten
; (10) days ' prior written notice of. any cancellation or reduction
, of such insurance.
, 8 . This Agreement may be terminated at any time by either
party upon 30 days ' prior written notice to t.he other party.
, 9. Any notices or demands that may be given by either.
party hereunder, including notice of default and notice of
� termination, shall be deemed to have been fully and properly
given when made in writing, enclosed in : a sealed envelope and
deposited in the United States Post Office, certified mail,
postage prepaid, addressed to City at 760 Parkview Avenue, .
Redding, California 96001; and to Contractor at P,O. Box 49355Q,
, Redding, California 96049=3550 .
10. It has been determined that this matter is not subject
� to the provisions of CEQA.

� SCOPE
It is the intent and purpose of this specification to obtain
complete preventive maintenance for the . heating and air
conditioning unit/units located at the Civic Aud.itorium.
1 . The work to be performed by the Contractor under this
� specification shall consist of furnishing aIl material , labor,
; tools and equipment necessary to provide preventive maintenance
. inspection and servicing on all the air cond?tioning, heating and
� ventilating equipment, and all controls and ancillary equipment
! thereto, at the Civic Auditorium.
a . Contractor shall provide one annual preventive mair.tenance
inspection at the end of the cooling season to include the
foliowing item:
� 1 . prior to inspection, take oil sample for analysis;
2 . change oil;
3 . change oil filter;

4 , change purge drier oil reclaim filters ;
5 . check condenser tubes (necessary cleaning is extra;
' 6 , check oil temperature;
' - 7 . leak check unit;
�
� 8 . repair leaks;
i
I9 . check refrigerant charge;
I
10 . check rerrigerant for any oil, moisture,
I contamination , take sample;
� 11 . check and calibrate all controls and safeties;
12 . clean purge �loat chamber;
13 . check purge float valve and replace seat and plunder,
if necessary;

d, check operation of temperature control panels;
and
e. check all pneumatic valves and damper operators ,
I damper linkage and related controls .
. C. One annual inspection on boiler safety controls and water
side inspection of boiler heating surfaces shall include the

1 . Open and inspect McDonald Miller float controls;
2 , check and clean all water strainers and screens;
' 3 . open and inspect water side of boilers; and
�
4 . inspect and clean burners and flues .
2. All parts , oil, nitrogen and filters used on the chiller and
boiler annual inspections are included in the contract price as set
forth in Paragraph 1 above. Condenser cleaning, as set forth in
Paragraph 1 . a. 5 above is extra work not included in the contract
, price and will be charged for separately.
� Any work not speci�ically mer_tioned which is needed to r.iake the
mainter.ance complete within the intent of this speciFication shall
be performed without additional cost to the City.
� Contractor will hold City harmless from anv claims for darages of
' any kind whatsoever by any person occasioned bv Contractor
� personnel ' s activities. +

Cor.tractor agrees to pay each workman paid bv him the prevailing
� rate o� wages applicable to the work to be .done.

The heatir.a and air conditioning maintenance personne? shall
� operate under these specifications and under direc�ions aiven bv
; the Director of the Civic Auditorium.
� Contractor wil' maintain the heatinq and air conditioning ecuipment
; herein described, using skilled maintenance men under cor.tractor
; supervision. They will employ all reasonable care to see that the
I equipment is maintained in proper operating condition.

RESPONSE TIME SHALL BE A MINIMUM OF THREE (3) HOURS.
' This contract covers all work performed during the regular working
! hours of regular working days of the heating and air conditioning
� trade, unless otherwise specified.
' If required, at any time, examinations , minor adjustments , call
back services or repairs to be made on overtime, contractor will
absorb the regular time portion of each overtime hour worked. The
City will be charged only for the difference between the regular
hourly billinq_ rate and the regular overtime billing rate
applicable, `or each overtime hour worked.
COMPETEhCE OF BIDDER
The importance of maintaining the equipment herein covered in a
� safe and efficient operating condition at all times demar_ds that
, service be performed by a contractor who has satisfactorily
maintained equipment of similar grade to the degree specified
herein.
In order to c?emonstrate that Contractor can properly fulfil all of
the services ar_d conditions of these specifications , the Contractor
shall furnish with his bid a written statement to the Citv showing
. that he has ; ,
A current Iicense to perform the work in conformance with the
provisions of the State Business and Professions Code. License
� number shall be set forth in all bids and contracts .
SatisFactorily performed other contracts of a similar nature an�
magnitude.
BIDDER SHALL PROVIDE A LIST OF REFERENCES WITH TE?,EPHONE NL?�BERS .
; The number of years Ccntractor has been in business under this name
� ar.d management.
� Before awarding a contract, the City will consider the abcve data
and may request additional information from the bidder as deemed
necessary.

TERM
This agreement will be in effect for a period of three (3) years.
The contract may be renewed for successive one (1) pear periods
under the same provisions up to a maximum of two (2) additional
years on the mutual agreement by both parties . Contractor must
notify City ninety (90) days prior to the end of term of Agreement
, of intention to renew.
ESCALATION CT.AUSE
i The price quoted shall remain in effect for a period o� one (1)
year. Vendor shall provide a. copy of documentation veri�ving labor
� rates applicable to the currer.t ��ear Agreement . On the anniversary
date of the Agreement, Contractor may provide additional
, documentation support?r_g any applicable heatinq and air
conditioning mechanic rzte. increase in effect. 75� of the annual
contract price will be adjusted to reflect said increase on an
equal � basis .
Adjustment will only be made on straight time hourly labor cost
plus hourly benefits as provided for by the San Francisco
collective bargaining agreement.
� CANCELLATIOIv'
� The City reserves the right to cancel this contract at any time b_y
giving the Contractor thirty (30) days written notice of his intent
; to do so.
PAYMENTS
As a basis for payments of claim for services rendered, monthly
� billing must be accompanied by service reports indicating hours
� worked and work accomplished on equipment during the month.
IReports shall be verified bv the signature of a de�igr.ated
; representative of the Citv. Failure to cor�plv wi11 result in
� withholding mor.thly payments .
�
' Contractor shall render invoices in duplicate to the City on the
last of the month, monthlv, If necessary at the commer.cement or
termination of the contract, paymer.ts will be made for a����
fractional part of a month ' s service at the rate �f one-thirtieth
(1/30) of the monthly charge for each day of service rendered.

NOTE: If there are any deviations from the specifications set
forth herein, the bidder shall note the deviations in his bid.
Failure to note a deviation from the specifications may be grounds
� for rejection by the Citv of that particular bid. Where deviations
are noted, the . City reserves the right to accept a bid cor.}aining
such deviations provided that, in the sole opinion of the C�tv, the
deviation or deviations so noted do not affect the overall
capability of the item bid to perform the function for which it is
to be acquired and such deviations result in a lesser total cost to
the City for the subject item.
