C�gg g'.1) A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING THE HEATING AND AIR CONDITIONING MAINTENANCE AGREEMENT DATED SEPTEMBER 12 , 1988 , BETWEEN THE CITY OF REDDING AND MECHANICAL MAINTENANCE PLANNING, INC. , AND AUTHORIZING THE MAYOR TO SIGN SAME. IT IS HEREBY RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves the Agreement between the City of Redding and Mechanical Maintenance Planning, Inc. dated September 12 , 1988 , for heating and air conditioning maintenance, a true copy of which is attached hereto and incorporated herein. 2 . That the Mayor of the City of Redding is hereby authorized and directed to sign said Agreement on behalf of the City of Redding, and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding on the aforesaid document, when appropriate. HAYS , eity Attorney \N , 411 AGREEMENT THIS AGREEMENT made and entered into this At41,--, of ,-August, 1988 , by and between the CITY OF REDDING, a Municipal Corporation, of 760 Parkview Avenue, Redding, California 96001 , hereinafter called "City, " and MECHANICAL MAINTENANCE PLANNING, INC. , of Post Office Box 2539 , Redding, California 96099 , hereinafter called "Contractor" : WITNESSET H: 1 . Contractor covenants and agrees to perform heating and air conditioning maintenance for City at the locations and in accordance with the City of Redding Specifications for Heating and Air Conditioning Maintenance collectively attached hereto as Exhibit "A" and incorporated herein by reference, upon the following terms and conditions and for the following compensation. 2. Contractor agrees that said services shall be performed to the satisfaction of City' s Building Maintenance Supervisor, and that failure to perform the aforesaid heating and air conditioning maintenance in accordance with the the attached Specifications and to the satisfaction of said Supervisor shall constitute a material breach of this contract and grounds for the cancellation of this contract by City as hereinafter provided. 3. City agrees to pay Contractor, in consideration of the services to be performed in accordance with the provisions of paragraphs 1 and 2 above, the sum of One Thousand Twenty-six and 62/100 Dollars ($1 ,026 . 62) per month for each month during the term of this Agreement. In the event such services are performed for only a fraction of a month as a result of the expiration of the term hereof, or earlier termination or cancellation hereof, Contractor shall be paid for the fraction of the month that services were performed in accordance with a proration of the monthly consideration computed on the basis of a 30-day month. 4 . The term of this Agreement shall commence on August 1 , 1988 , and terminate on December 31 , 1988 . 5 . This Agreement is entered into upon the express condition that City shall be free from any and all liability and claims for damages for personal injury, death, or property damage in any way connected with Contractor' s use of the premises for the purposes herein, including claims of Contractor, its officers, agents and employees. Contractor shall indemnify and save harmless City, its officers, agents and employees, from any and all liability, loss, cost or obligation on account of or arising out of any such injury, death or loss caused by the negligence or other legal fault of Contractor or its officers, agents and employees. 6 . It is understood and agreed as a condition of this Agreement that Contractor shall, at its own expense, obtain and keep in full force and effect public liability insurance in the amounts of $300, 000.00 for injury to one person, $500,000.00 for any one accident, and $100 ,000 .00 for property damage, and shall -2- name City, its officers, agents and employees, as additional insured, and shall further contain a provision obligating the insurance carrier to notify City in writing at least ten (10) days prior to any cancellation or reduction of such insurance. A Certificate of Insurance evidencing such coverage and notice requirement shall be approved by the Risk Manager of City and filed with the City Clerk of City prior to the commencement of services under this Agreement. A combined single-limit policy with aggregate limits in the amount of $1 ,000,000 will be considered equivalent to the required minimum limits. 7 . It is further understood and agreed as a condition of this Agreement that should Contractor hire an employee or employees, it will provide workers' compensation insurance on its employees, and shall furnish City with a Certificate evidencing such insurance, approved by the Risk Manager of City and filed with the City Clerk of City prior to the commencement of services under this Agreement. 8 . This Agreement may be terminated at any time by either party upon thirty (30) days' prior written notice to the other party. 9 . Any notices or demands that may be given by either party hereunder, including notice of default and notice of termination, shall be deemed to have been fully and properly given when made in writing, enclosed in a sealed envelope and deposited in the United States Post Office, certified mail, -3- o • postage prepaid, addressed as follows: To City c/o City Manager, 760 Parkview Avenue, Redding, California 96001-3396 ; and to Contractor at Post Office Box 2539 , Redding, California 96099 . 10 . Future amendments to this Agreement, if any, may be executed by the City Manager of City. 11 . It has been determined that this matter is not subject to the provisions of the California Environmental Quality Act. THE CITY OF REDDING I r \c e Lizdt„.6 Carolyni,..0 Roberts Purchasing Officer ' 'I; `. f.. 916-225-4137 �v 4-4-;\ 411 411 CITY OF REDDING PURCHASING DEPARTMENT SPECIFICATIONS FOR HEATING AND AIR CONDITIONING MAINTENANCE PAGE 1 SCOPE It is the intent and purpose of this specification to obtain complete preventive maintenance for the heating and air conditioning unit/units at the various locations noted in the foregoing bid proposal as set forth in "EXHIBIT A" . The work to be performed by the Contractor under this specification shall consist of furnishing all material , labor, tools and equipment necessary to provide preventive maintenance inspection and servicing on all the air conditioning, heating and ventilating equipment, and all controls and ancillary equipment thereto, at the various locations as noted in the bid proposal. All belts , filters , grease, oil, chemical, test kits, labor and all other related materials required for preventive maintenance shall be provided by the contractor and included in the cost as noted in his bid proposal . No charges will be made for cleaning evaporators, shell and tube condensers or air cooled condensers. In addition, no charge will be made for belts or for their replacement or ad=ustment. The contractor shall be responsible for extending all parts and labor warranty' s replaced or installed by the contractor. If established, the contractor will also be responsible for extending the warranty on parts replaced or installed by a previous contractor including all manufacturers warranty' s against defects in material , parts and equipment to a maximum period of 90 days from start up or completion. Contractor shall submit an equipment and system condition report to the City of Redding upon request. Contractor will be periodically evaluated on an overall cost per facility basis. Maintenance and repair costs will be considered together with cooperation, response times, recurring problems, frequency of service call , etc. A maintenance/service schedule sheet shall be posted in a conspicuous place close to the equipment to be serviced. Sheet shall be dated and signed at completion of each service, a brief description of work completed shall be described. Contractor shall supply the City of Redding with a complete equipment list upon completion of first maintenance. Listing shall include equipment make, model, serial number and location. Maintenance and filter changes are to be completed by the 15th day of each month following the 1st. • "EXHIB:IT A" • • CITY OF REDDING-SPECIFICATIONS-HEATING AND AIR CONDITIONING MAINTENANCE VARIOUS LOCATIONS PAGE 2 GENERAL Adjustments or alterations of controls installed by others under the City of Reddings energy conservation program will not be made without prior approval of the City of Redding. Any work not specifically mentioned which is needed to make the maintenance complete within the intent of this specification shall be performed without additional cost to the City. Contractor will hold City harmless from any claims for damages of any kind whatsoever by any person occasioned by Contractor personnel ' s activities. Contractor agrees to pay each workman paid by him the prevailing rate of wages applicable to the work to be done. The heating and air conditioning maintenance personnel shall operate under these specifications and under directions given by the Building Maintenance Supervisor. Contractor will maintain the heating and air conditioning equipment herein described, using skilled maintenance men under contractor supervision. They will employ all reasonable care to see that the equipment is maintained in proper operating condition. This contract covers all work performed during the regular working hours of regular working days of the heating and air conditioning trade, unless otherwise specified. Contractor shall promptly repair and/or replace all damaged equipment resulting from the methods or materials used or employed by the contractor or from acts of his employees or agents at the contractors own cost and to the satisfaction of the City of Redding. If required, at any time, examinations , minor adjustments, call back services or repairs to be made on overtime, contractor will absorb the regular time portion of each overtime hour worked. The City will be charged only for the difference between the regular hourly billing rate and the regular overtime billing rate applicable, for each overtime hour worked. 4 • i • CITY OF REDDING-SPECIFICATIONS-HEATING AND AIR CONDITIONING MAINTENANCE VARIOUS LOCATIONS PAGE 3 The importance of maintaining the equipment herein covered in a safe and efficient operating condition at all times demands that service be performed by a contractor who has satisfactorily maintained equipment of similar grade to the degree specified herein. In order to demonstrate that Contractor can properly fulfil all of the services and conditions of these specifications, the Contractor shall furnish with his bid a written statement to the City showing that he has; A current license to perform the work in conformance with the provisions of the State Business and Professions Code. License number shall be set forth in all bids and contracts. Satisfactorily performed other contracts of a similar nature and magnitude. BIDDER SHALL PROVIDE A LIST OF REFERENCES WITH TELEPHONE NUMBERS. The number of years Contractor has been in business under this name and management. Before awarding a contract, the City will consider the above data and may request additional information from the bidder as deemed necessary. TERM This agreement will be in effect from August 1, 1988 through December 31, 1988. CANCELLATION The City reserves the right to cancel this contract at any time by giving the Contractor thirty (30) days written notice of his intent to do so. PAYMENTS EXTRA COSTS--will be executed only upon written orders from the City of Redding, and then and only then will become and extra charge over and above the charges set forth in the attached bid proposal. 410 CITY OF REDDING-SPECIFICATIONS-HEATING AND AIR CONDITIONING MAINTENANCE VARIOUS LOCATIONS PAGE 4 As a basis for payments of claim for services rendered, monthly billing must be accompanied by service reports indicating hours worked and work accomplished on equipment during the month. Reports shall be verified by the signature of a designated representative of the City. Failure to comply will result in withholding monthly payments . Contractor shall render invoices in duplicate to the City on the last of the month, monthly. If necessary at the commencement or termination of the contract, payments will be made for any fractional part of a month ' s service at the rate of one-thirtieth (1/30) of the monthly charge for each day of service rendered. NOTE: If there are any deviations from the specifications set forth herein , the bidder shall note the deviations in his bid. Failure to note a deviation from the specifications may be grounds for rejection by the City of that particular bid. Where deviations are noted, the City reserves the right to accept a bid containing such deviations provided that, in the sole opinion of the City, the deviation or deviations so noted do not affect the overall capability of the item bid to perform the function for which it is to be acquired and such deviations result in a lesser total cost to the City for the subject item. The following shall be regularly serviced on a 60 day basis, unless otherwise indicated herein. AIR-COOLED CONDENSING UNITS : 1 . Lubricate fan and motor bearings (as necessary) a minimum of three times per year. 2 . *Check drives and belts. Replace belts as needed, a minimum of once per year. 3 . *Check coil condition and clean (wash once per year) . 4 . Check operating pressures . 5 . Check compressor for general condition and operation. 6 . Check compressor oil level. 7 . Check compressor for noise or vibration. 8 . Check operation of compressor safety controls. 9 . Check for proper refrigerant charge. 0 . Check moisture indicator. 11 . *Make oil analysis (acid test) on 15 H.P. and over (report condition once per year) . 12 . Check compressor motor amps. 13 . Check operation of compressor unloaders. 14 . Check crankcase heaters . WATER CHILLERS (AIRPORT AND MUSEUM) : Refer to Air-Cooled Condensing Units 1 . Check for proper water temperature. 2 . Check ignitor and operation. 3 . Check burner condition, clean when necessary. 4 . Check condition of heat exchange (once per contract. period) . 5 . WATER COOLED CONDENSING UNITS: Refer to Air-Cooled Condensing Units 1 . Check operation and condition of water regulating valves, adjust as necessary. 2 . Check and lubricate pumps a minimum of three times per year. 3. Inspect condensers for scale and or mud, clean as necessary once per year. ELECTRICAL: 1 . Check condition of wiring and connectors for tightness from disconnect switch to air-conditioning/heating equipment. Check contractor terminals for tightness. VENTILATION EQUIPMENT: 1 . Lubricate fan and motors as necessary, a minimum of three times per year. 2 . *Check drive belts and adjust or replace as necessary, a minimum of once per year. 3. Check general condition and operation. 4 • "EXHIBIT A" PAGE 5 AIR DISTRIBUTION: 1 . Make necessary adjustments to dampers and defusers to correct minor air distribution problems during inspection. FIRE DAMPERS: 1 . Check dampers and linkage. HUMIDIFIERS: 1 . Check condition and operation of humidifiers. 2 . Blow down sumps and traps . Clean as necessary, once per year. 3 . Check condition and operation of low water cut-outs. REFRIGERATION EQUIPMENT: A general inspection of airport restaurant equipment shall be made 4 times per year, limited to refrigeration. Report conditions to General Services. MISCELLANEOUS : 1 . Maintain operable light bulbs in equipment rooms and plenums. 2 . Keep equipment room clean and free from parts and filters . 3 . INSURANCE The Contractor shall furnish the City insurance certificates showing that the contractor has insurance coverage as indicated below: A. Comprehensive General and Auto Liability insurance policy, (including contractor ' s liability, completed operations liability, blanket contractual liability, contractor's contingent liability, owned and non-owned auto liability) , insuring the City and its employees as follows : (1 ) The limits of liability shall be not less than $250, 000 on account of injury or death to any one person , and not less than $500, 000 on account of any one accident resulting in injury or death to more than one person, and not less than $100, 000 for daiage to real or personal property. A combined single limit policy with aggregate limits in the amount of $1 , 000, 000 will be considered equivalent to the required minimum limits. (2) Such insurance shall contain an endorsement stating that THE CITY OF REDDING, ITS OFFICERS, AGENTS, AND EMPLOYEES ARE COVERED AS ADDITIONAL INSUREDS. (3) The Certificate of Insurance shall also state that THE POLICIES SHALL NOT BE REVOKED OR ANY COVERAGE REDUCED UNTIL TEN (10) DAYS WRITTEN NOTICE THEREOF SHALL HAVE FIRST BEEN GIVEN TO THE CITY OF REDDING. (4 ) Such insurance certificate shall indicate that the liability insurance policy contains the following specific endorsement: "Notwithstanding any other provision in this policy, insurance afforded hereunder to the City of Redding shall be primary as to any other insurance or re-insurance covering or available to the City of Redding, and such other insurance or re-insurance shall not be required to contribute to any liability or loss until and unless the appropriate limits of liability afforded hereunder are exhausted. (1 ) Such insurance certificate shall indicate that the Workers ' Compensation insurance policy contains the following specific endorsement: "It is agreed that such insurance afforded by this policy also applies to the City of Redding as an additional insured, but only with respect to employees hired by, and included on the payroll of, the named insured performing work for the account of such additional insured. It is also agreed that any notice to or from the named insured of reduction in or termination of coverage under the policy shall be given to the above additional insured. All other terms and conditions of this policy remain the same. " (2) Such insurance shall contain an endorsement stating that the CITY OF REDDING, ITS OFFICES, AGENTS, AND EMPLOYEES ARE COVERED AS ADDITIONAL INSUREDS. C. Certificate of Exemption from Workers' Compensation Insurance (1 ) Such certification shall indicate that the contractor shall not employ any person in any manner so as to become subject to the Workers ' Compensation Laws of California. (2) If after making this Certificate of Exemption, you should become subject to the Workers ' Compensation provisions of the Labor Code , you must forthwith comply with such provisions . 2. DEFINITIONS; In these specifications the word "City, " means the City of Redding, California. The term "Bidder, " means the person, firm, or corporation submitting a bid on these specifications or on any part thereof. The term "Contractor, " means the person, firm, or corporation with whom the Contract is made by said City, or the agent or legal representative who may be appointed to represent such party, firm, or corporation in the execution of this Contract. The term "Engineer, " means the City Engineer of the City of Redding, acting either directly or through his personally appointed agents, such agents acting severally within the scope of the specific duties entrusted to them. • • CITY OF REDDING-GENERAL CONDITIONS PAGE 3 3. PROPOSALS: Bids , to receive consideration, shall be made in accordance with the following instructions: (a) Bids shall be made as indicated on the forms contained in the documents attached hereto and entitled "BID, " properly executed in ink, with all blank spaces filled in. The signatures of all persons signing the bid shall be in longhand. The completed Bid Form shall be without alterations or erasures and shall not be removed from this binding. Additional information may be submitted by the bidder on a separate sheet. (b) Before submitting a bid, bidders should read the Specifications carefully and should inform themselves completely as to all existing conditions and limitations. The bid shall include the cost of all items necessary to complete the Contract. (c) Each proposal shall be enclosed in a sealed envelope addressed to the City Clerk of the City of Redding, City Hall , Redding, California 96001 . The outside of the envelope shall be plainly marked with Bidder ' s name and address and the Bid Schedule Number. (d) All bids received after the scheduled closing time for receipt of bids shall NOT be accepted or considered and shall be returned to the bidder unopened. 4 . WITHDRAWAL OF BID: Any bidder may withdraw his bid, either personally or by written request, at any time prior to the scheduled closing time for receipt of bids. 5. INTERPRETATION: If a prospective bidder is in doubt as to the true meaning of any part of the "Notice Inviting Bids, " "General Conditions, " or the "Specifications, " or finds discrepancies in or omissions in the same , he may submit to the City a written request or an interpretation or a correction thereof. Any interpretations or corrections of the proposed documents will be made only by addendum mailed or delivered to each person receiving a set of such docLnents . Such addendum shall be considered as part of the Contract . 6 . AWARD OF CONTRACT OR REJECTION OF BIDS: The Contract will be awarded within thirty (30) days after the opening of bids. The City, however, reserves the right to reject any or all bids, or any part of any such bid, and to waive any informality in bids received, taking into consideration the ultir:;ate economy to the City. ASSIGNMENT OF CONTRACT: No assignment by the Contractor of any contract to be entered into hereunder or any part thereof, or of funds to be received thereunder by the Contractor, will be recognized by the City unless such assignment has had the prior approval of the said City and surety has been given due notice of such assignment in writing and has consented in writing. 8 . QUALIFICATIONS OF BIDDER: Only manufacturers or contractors of established reputations , or their duly authorized dealers or agent , having proper facilities for the manufacture of the materials or equipment and for servicing same, or for proper execution of the work called for in the Specifications, will be considered in making the award. 9 . MATERIALS , WORKMANSHIP, AND DESIGN: All work must be done and completed in a thorough, workmanlike manner by mechanics skilled in their various trades , notwithstanding any omission from the Specifications.
