HomeMy WebLinkAboutReso. 1988-301 - Approving the personnel and labor relations service agreement between the city of redding and charles r reynolds, inc • RESOLUTION NO. 58--30] A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING THE PERSONNEL AND LABOR RELATIONS SERVICE AGREEMENT BETWEEN THE CITY OF REDDING AND CHARLES R. (RON) REYNOLDS , INC. , EFFECTIVE SEPTEMBER 1 , 1989 , AND AUTHORIZING THE MAYOR TO SIGN SAME. IT IS HEREBY RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves the Personnel and Labor Relations Service Agreement between the City of Redding and Charles R. (Ron) Reynolds, Inc. , 1 effective September 1 , 1989 , a true copy of which is attached hereto and incorporated herein. 2 . That the Mayor of the City of Redding is hereby authorized and directed to sign said Agreement on behalf of the City Council of the City of Redding, and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding on the aforesaid document, when appropriate. HAYS, City Attorney 411 411 PERSONNEL AND LABOR RELATIONS SERVICE AGREEMENT THIS AGREEMENT, effective September 1 , 1989 , is made and entered into as of the day of , 1988 , by and between the CITY OF REDDING, a Municipal Corporation and General Law City, hereinafter referred to as "CITY, " and CHARLES R. (RON) REYNOLDS, INC. , a California Corporation, hereinafter referred to as "CONSULTANT" : WITNESSET H: WHEREAS, CITY desires to employ a Personnel and Labor Relations Consultant to represent CITY as a spokesman in negotiations with representatives of CITY employees, and to advise and assist CITY management in personnel and employee relations matters; and WHEREAS, CONSULTANT agrees to perform said services; NOW, THEREFORE, the parties hereto agree as follows: 1 . SERVICES. A. CONSULTANT agrees to represent the CITY as a spokesman in negotiations between the CITY and those employee organizations representing CITY employees; give advice and assistance, and represent CITY on grievance processing; and provide advice, counseling, and assistance on other personnel and labor relations . matters, all at reasonable times during the term of this Agreement. 2 . COMPENSATION. A. In consideration of the performance of said services by CONSULTANT, CITY agrees to pay CONSULTANT the sum of Eighty-five Dollars ($85 .00) for each hour of service provided by CONSULTANT to CITY, payable monthly as billed. 3 . EXPENSES. A. CITY agrees to reimburse CONSULTANT for the cost of expenses such as automobile mileage, meals, telephone calls, room rent, typing, photocopying, and related items, which are incurred in connection with services performed for CITY. 4 . MISCELLANEOUS. A. CITY agrees to provide photocopying services, as well as financial data and employee records, as necessary for CONSULTANT to provide said services to CITY. B. CITY will provide access to the office of the City Attorney for the purpose of procuring legal advice as CITY' s representative C. In the performance of services under this Agreement, CONSULTANT shall exercise the degree of skill and care required by customarily-accepted good practices and procedures. The total liability of CONSULTANT in -2- 411 • contract, tort, or otherwise (including negligence and warranty) , for failure to meet the foregoing standards or for otherwise defective services shall not, in any event, exceed the total charges for services performed under this Agreement. D. In the performance of services under this Agreement, CONSULTANT is acting as an independent contractor and not as an employee of CITY. E. Upon the effective date of this Agreement, the status of CHARLES A. REYNOLDS as an employee of the CITY as the CITY ' s Director of Labor Relations shall terminate. 5. TERM. A. This Agreement, effective as of September 1 , 1989, shall continue in full force and effect, unless written notice of change or termination shall be given by either party to the other 30 days in advance of the proposed effective date of change or termination. 6. SUPERVISION. A. The activities of CONSULTANT shall be under the direction and control of the City Manager of CITY, or his designate. 7 . ENTIRE AGREEMENT. A. The parties hereto agree that the terms and provisions contained herein comprise the entire agreement of the parties, and may not be altered, amended, or modified -3- • except by the prior written consent of the parties hereto. 8 . CEQA. A. It has been determined that this matter is not subject to the provisions of the California Environmental Quality Act.
