A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING (1)
AUTHORIZING CH2M HILL CALIFORNIA, INC. TO PREPARE THE FINAL
DESIGN OF THE REGIONAL WASTEWATER FACILITIES , AS SET FORTH
IN THE ATTACHED "ATTACHMENT C" TO THE CH2M HILL STANDARD
AGREEMENT FOR PROFESSIONAL SERVICES ADOPTED BY CITY COUNCIL
ON OCTOBER 20 , 1987 , RESOLUTION NO. 87-322 ; AND (2)
AUTHORIZING THE MAYOR TO EXECUTE SAID "ATTACHMENT C" ON
BEHALF OF THE CITY OF REDDING.
WHEREAS, on October 20 , 1987 , by Resolution No. 87-322 , City
Council approved the CM2M Hill Standard Agreement for
Professional Services for the Project generally described as the
Regional Wastewater Treatment Plant and the Shasta View Pump
Station; and
WHEREAS, on June 7 , 1988 , by Resolution No. 88-208 , City
Council adopted the Preliminary Design Report for the Stillwater
Regional Wastewater Facilities, Volume 1--Summary, prepared for
the City of Redding by CH2M Hill in association with PACE
Engineering; and
WHEREAS , it is the recommendation of the Public Works
Department that the City enter into an agreement with CH2M Hill
California, Inc . to perform the final design of the Stillwater
Treatment Plant and outfall line for the lump sum of $975 ,000 . 00 ,
with a contingency fund of $50 , 000 .00 ; and
WHEREAS , such an agreement is set forth in "Attachment C"
attached hereto and incorporated herein by reference; and

WHEREAS , said "Attachment C, " if approved, will form part of
the CH2M Hill Standard Agreement for Professional Services
approved by Council on October 20 , 1987 , by Resolution No.
87-322 ; and
WHEREAS, it is deemed to be in the best interests of the
City of Redding to enter into said agreement with CH2M Hill
California, Inc . ;
NOW, THEREFORE, IT IS HEREBY RESOLVED by the City Council of
the City of Redding as follows:
1 . That the above recitals are true and correct.
2 . That the City Council of the City of Redding hereby
approves "Attachment C" attached hereto and incorporated herein
by reference, to become a part of the CH2M Hill Standard
Agreement for Professional Services approved by City Council on
October 20 , 1987 , by Resolution No. 87-322 .
3 . That the appropriation of $1 ,025 .00 for the final
design of the Stillwater Treatment Facility is covered by a
h Amendment to
concurrent Resolution approving and adopting the 4th
the City Budget Resolution No. 88-235 .
4 . That the Mayor of the City of Redding is hereby
authorized and directed to sign said "Attachment C" on behalf of
the City of Redding.
5 . And that the City Clerk is hereby authorized and
directed to attest the signature of the Mayor and to impress the

official seal of the City of Redding on the aforesaid "Attachment
C. "
I HEREBY CERTIFY that the foregoing Resolution was
introduced and read at a regular meeting of the City Council of

Attachment C to the AGREEMENT between CH2M HILL CALIFORNIA
INC. (the "ENGINEER") , and CITY OF REDDING (the "OWNER") ,
for a PROJECT generally described as :
Regional Wastewater Treatment Plant and
Shasta View Pump Station
By signing this Attachment, the OWNER and ENGINEER agree
that the following provisions , changes , and modifications
are made a part of the AGREEMENT:
ARTICLE 5 . OBLIGATIONS OF THE OWNER
Add the following paragraph:
M. Engineering Subcontractor
Pace Engineering will be a major subcontractor to the
ENGINEER during final design and will be responsible to
the ENGINEER for certain elements of design of project
facilities. Responsibilities and considerations of the
OWNER to the ENGINEER shall also include PACE Engineer-
ing. The ENGINEER shall require PACE Engineering to
have in effect those insurance requirements applicable
to the ENGINEER as described in this AGREEMENT.
ARTICLE 7 . ATTACHMENTS , SCHEDULES , AND SIGNATURES
Add the following: Attachment C shall be made a part of
this AGREEMENT.
ATTACHMENT A. SCOPE OF SERVICES
Add the following: ENGINEER agrees to furnish OWNER the
following specific final design, bidding, and supplemental
services:
The engineering services to be provided generally consist of
detailed design of the Regional Wastewater Facilities
(hereinafter referred to as the "PROJECT") . The services to
be provided are generally categorized into the following
elements :
1 . Final Design Services
2 . Bidding Services
3 . Supplemental Services

The facilities to be designed are those described in the
Preliminary Design Report for the Stillwater Regional Waste-
water Facilities, May 1988 , hereinafter referred to as the
Preliminary Design Report, except as specifically refined
herein.
The average dry weather design flow and peak hour flow of
the initial facilities will be 4 and 12 mgd, respectively .
Unit processes shall be as listed and sized for Phase 1 in
Appendix A and illustrated in Figure 6 of the Preliminary
Design Report. The site layout and outfall alignment shall
generally conform to that shown in Figures 4, 7 , 8 , and 9 of
the Preliminary Design Report.
Final design and bidding of the Churn Creek Lift Station are
not included in this scope of services . It is anticipated
that final design services for the Churn Creek Lift Station
will be added at a later date when that facility is further
defined.
Any changes, except as defined herein, to the Preliminary
Design Report, shall be - approved in writing by the OWNER,
and shall constitute a change in the Scope of Work as pro-
vided for under Article 5 , paragraph K, of the AGREEMENT.
The Scope of Work is further defined as follows:
Final Design Services
1 . Prepare Construction Contract Documents including pro-
posal forms, notice to bidders, general and special
conditions, bond forms , technical specifications, and
drawings as customarily made available for bidding and
construction of this type of project. ENGINEER shall
include a statement within the Contract Documents that
CONTRACTOR shall be solely and completely responsible
for conditions of the job site, including safety of all
persons, including employees and property.
2 . Compile and submit three copies of design packages for
Owner ' s Review at approximately the 30 and 95 percent
stages of design completion. ENGINEER shall prepare
written response to OWNER' s review comments . The
ENGINEER will continue with design during the OWNER' s
review.
3 . Meet with representatives of the OWNER and appropriate
agencies when requested and necessary for consultation
or conferences in regard to design of the PROJECT. The
cumulative time spent by the ENGINEER in preparing for
and attending such meetings shall be limited to

10 man-days under this Scope of Work. These meetings
are in addition to monthly meetings described in Item 10
below.
4 . Prepare an opinion of construction cost based on the
95 percent review submittal.
5 . Provide design of an instrumentation and control system
utilizing programmable controllers and a single personal
computer interface with CRT and keyboard located in the
Control Building. (Programming of the control system
shall be the responsibility of the construction con-
tractor. ) An annunciator panel will be provided in the
Control Building for critical alarms.
As an option to the above type of control system, a
control system with an operator interface similar to
the Clear Creek Wastewater Treatment Plant will be
designed. It would include a control panel with analog
indicators, status lights, recorders, single-loop con-
trollers, and an annunciator. The present scope of
work will provide for design of either type of control
system, but not both.
6 . The ENGINEER shall be responsible for electrical design
from the service transformer to and throughout the
facilities. The OWNER shall be responsible for:
delivery of power to the site; the service transformer
to be located on the site; and obtaining all related
permits. The ENGINEER shall assist the OWNER by pro-
viding Phase 1 and projected Phases 2 and 3 power
demands.
7 . Where judged appropriate by the ENGINEER and approved
by the OWNER, design shall utilize pre-engineered and
packaged systems. Specifications for these systems
will address material and functional requirements
specific to this project application. Examples of
these systems include, but are not limited to, the
following:
o Traveling bridge filters
o Polymer system
o Odor scrubber
o Sump pumps
o Air diffusion system
o Chlorinators/dechlorinators
o Chlorine scrubber system
o Standby power generator
8 . The ENGINEER shall provide site plans to the OWNER for
the OWNER' s use in landscape design. The OWNER' s design
shall include all irrigation systems, plantings, details,

and specifications for the complete landscape design.
Plans and specifications provided by the OWNER shall be
prepared using the same format and materials as used by
the ENGINEER and shall be suitable for direct incorpo-
ration into the bidding documents . The site plans pro-
vided by the ENGINEER shall be the same scale as the
site grading plans and shall indicate sources of water
supply for irrigation. The ENGINEER shall provide fin-
ish drafting of the landscape drawings after they have
been final designed by the OWNER.
9 . The OWNER shall prepare and submit all applications for
permits and easements . Preparing and submitting such
applications is not included in the ENGINEER' s Scope of
Work.
10 . ENGINEER shall attend once per month meetings with repre-
sentatives of the OWNER during the final design to discuss
design status and shall prepare a monthly project design
status report.
11 . ENGINEER shall consult with specialty contractors to
discuss the design of the river outfall. These meet-
ings are to be a design function not associated with
Bidding Services.
Bidding Services
ENGINEER shall:
1 . Print up to 200 sets of Contract Documents for bidding.
2 . Respond to bidders ' questions during the advertisement
period.
3 . Attend one prebid conference with the OWNER and poten-
tial bidders.
4 . Distribute Contract Documents to bidders upon request
and payment of fee by the bidder. ENGINEER shall charge
bidders a reasonable fee for printing and distribution
costs for each set of Contract Documents.
5 . Prepare and distribute all ENGINEER-generated addenda.
6 . Evaluate bids and make a recommendation to the OWNER
regarding award of the construction contract. Evalua-
tion shall consist of examining bids for irregularities
and ranking the bidders according to price of bid.

Engineering services that may be required in event of a bid
protest are not included in this Scope of Services.
Supplemental Services
The ENGINEER shall provide supplemental services when
requested and authorized by the OWNER. Supplemental ser-
vices may include but are not limited to the following:
1 . Additional in-river geotechnical investigations at out-
fall diffuser
2 . Further negotiations with DFG regarding outfall
3. Preparation of State Reclamation permit for outfall
4. Assistance in obtaining U.S. Army Corps of Engineers
approval
5. Assistance with right-of-way and easements
6. Assistance at special hearings or property owners '
meetings
Time of Performance
The ENGINEER shall submit the 95 percent complete design
submittal to the OWNER for review within 180 days of Notice
to Proceed with final design. ENGINEER shall complete final
design, ready for printing, within 21 days of receipt of
OWNER' s final review comments.
ATTACHMENT B. COMPENSATION AND TERMS OF PAYMENT
Add the following: It is agreed that for Final Design and
Bidding Services, as enumerated in Attachment C, the OWNER
shall pay the ENGINEER the lump sum of nine hundred and
seventy-five thousand dollars ($975, 000) . Payment is due
upon receipt of monthly billing of the amount due based on
the ENGINEER' s estimate of the value of work accomplished,
less previous payments made.
Payment for supplemental services shall be based on a lump
sum amount or time and expense (per diem) as specifically
negotiated and authorized for each supplemental service. A
total additional allowance of $50 , 000 is reserved for these
potential services.
Interest at the rate of 1-1/2 percent per month will be
charged on all past-due accounts, starting 45 days after
date of invoice, unless not permitted by law, in which case

interest will be charged at the highest amount permitted by
law. Payments will first be credited to interest and then
to principal.
If design and bidding services are not completed by April 1 ,
1989 , the lump sum payment for these services is subject to
adjustment for services not completed to reflect the ENGI-
NEER' s annual salary increases .
This Attachment C supersedes all prior written or oral under-
standings of the Scope of Work and Compensation and Terms of
Payment for Final Design Services , Bidding Services , and
Supplemental Services , and may only be changed by a written
amendment executed by both parties .
