A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING AGREEMENT FOR THE PREPARATION OF ALTERNATIVE
MASTER PLANS , INITIAL STUDY, AND FINAL PLANS AND
SPECIFICATIONS (PHASE I) FOR ENTERPRISE COMMUNITY PARK
BETWEEN THE CITY OF REDDING AND PARSONS ASSOCIATES, AND
AUTHORIZING THE CITY MANAGER TO SIGN ALL NECESSARY
DOCUMENTATION.
BE IT RESOLVED by the City Council of the City of Redding as
follows:
1 . That the City Council of the City of Redding hereby
approves the Agreement for the Preparation of Alternative Master
Plans , Initial Study, and Final Plans and Specifications (Phase
I) for the Enterprise Community Park between the City of Redding
and Parsons Associates, a true copy of which is attached hereto.
2 . That the City Manager of the City of Redding is hereby
authorized and directed to sign said Agreement and any other
necessary documentation in connection therewith on behalf of the
City of Redding, and the City Clerk is hereby authorized and
directed to attest the signature of the City Manager and to
impress the official seal of the City of Redding on the aforesaid
documentation, when appropriate.
I HEREBY CERTIFY that the foregoing Resolution was
introduced and read at a regular meeting of the City Council of
the City of Redding on the 3rd day of May , 1988 , and was
duly adopted at said meeting by the following vote:

AGREEMENT FOR THE PREPARATION
OF ALTERNATIVE MASTER PLANS, INITIAL STUDY, AND FINAL
PLANS AND SPECIFICATIONS (Phase I) FOR ENTERPRISE
COMMUNITY PARK
City of Redding, California
This AGREEMENT, made and entered into this day of
1988, by and between the City of Redding, a municipal
corporation of the State of California, hereinafter designated and called
the " City ",and Parsons Associates, hereinafter called the " Consultant ";
WITNESSETH :
WHEREAS,the City desires to retain the Consultant to perform professional
Planning, Design, and Landscape Architectural Services; prepare Alternative
Master Plans; Initial Environmental Studies; and final Plans and
Specifications for Phase I of Enterprise Community Park; render necessary
advice and assistance, and attend Public Meetings and Hearings in connection
with the completion of the Enterprise Community Park Plan for the City.

WHEREAS, The Consultant has submitted a proposal for the provision of such
services dated January 15, 1988, and said proposal has been modified and
found acceptable;
and

WHEREAS, The Consultant is well qualified by reason of education and
experience to perform such services.
NOW, THEREFORE, The parties here agree as follows:
ARTICLE 1
1.1 SCOPE OF WORK
The Consultant shall render all the necessary professional research, planning
and design, and production services required to complete the preparation of
the Enterprise Community Park Plan. This Plan shall conform to the detailed
Scope of Work and Comprehensive Work Program attached to this document and
labeled " Exhibit A ". In addition, this agreement shall take precedence in
any instance where it differs with the proposal submitted (and dated) January
15, 1988.

ARTICLE 2
2.1 CITY ASSURANCE
City shall provide the following to the Consultant:
2.1 .1 Orthophoto base mapping at a scale of 1 inch = 200 feet with
4 foot contour intervals.
2.1 .2 Current Land Use, General Plan, and Zoning Information.
2.1 .3 Copies of relevant reports, plans, and documents requested by the
Consultant.
2.1 .4 Alignment mapping for the future extension of Victor Avenue along
the site's eastern boundary, and Loma Vista along the site's northern
boundary.
2.1 .5 Information generally available from City files applicable to the
preparation of the Enterprise Community Park Plan.
2.1 .6 Assistance if necessary in obtaining information from other government
agencies.
2.1 .7 Assistance in obtaining permission to enter upon private property
where required during field investigation.
ARTICLE 3
3.1 FEES AND METHOD OF PAYMENT
The Consultant hereby agrees to undertake and complete the services provided
for herein for a total fee of $ 25,000.00 . Payment is based on completion
of tasks as set forth in Exhibit A and B. If, however, in the professional
judgement of the Consultant, additional work not included as part of this
total fee; not covered bythe attached " Exhibit A "
{ comprehensive work
scope and program; " Exhibit B ", project budget; and Article 5 of this
agreement, is required during the course of this project, the City shall be
so advised and shall in turn direct the Consultant as to how it wishes to
proceed. Changes in the contract require a written amendment.

Fees shall be billed upon the completion of each task by submittal of a
statement to the City based on the costs identified in Exhibit B. Work
will commence within two weeks of execution of the Contract by both parties.
Invoices are payable upon presentation. If the City decides to discontinue the
engagement before its completion, payment will be based on personnel hours
expended and costs incurred to the date of discontinuance based on Exhibit D.
Any overpayment will be refunded, and any balance due Consultant will be payable
upon invoice presentation. In the event any invoice is not paid within 30
days after rendering the invoice, it shall commence bearing interest on the
date the invoice was rendered at the rate of one percent per month. All
accrued interest, together with charges for services and expenses provided for
in this assignment, are then due and payable.

If accounts are unpaid forty-five days (45) from the date of billing, work
work may be halted at the discretion of the Principal-in Charge until payments
are made current. In addition, the Consultant reserves the right to withhold
delivery of work products, or void time limits applicable to the contract in
the event of delinquent receivables.
All invoices for professional services to the City from the Consultant shall be
paid within a reasonable period of time. This agreement does not provide for
nor allow payment to any other firm or individual other than the consultant.
If additional work is approved, fee payments shall be made directly to the
Consultant according to a fee payment schedule agreed to in a written
amendment to the contract.

ARTICLE 4
4.1 WORK PROGRESS AND PROJECT SCHEDULE
Consultant shall complete all work tasks and products to the satisfaction of
the City approximately six (6) months after initiation of this agreement. This
date may be extended if (1) information is not readily available, (2) if
public workshops and meetings cannot be concluded at the appropriate intervals
agreed to by the City and the Consultant, and/or (3) the environmental review
process exceeds the estimated time frame.
During scheduled site visits and public meetings, the Consultant shall be
available, within reasonable time constraints and limitations, to meet with
elected and appointed City officials, Staff, and interested members of the

community in order to properly develop, and expedite the preparation
of the Enterprise Community Park Plan.
Please see Exhibit C for Project Time Schedule.
ARTICLE 5
5.1 INITIAL ENVIRONMENTAL STUDY
The Initial Environmental Study shall be prepared pursuant to Section 15063
of the State of California CEQA Guidelines and accepted practice. The extent
of the analysis conducted with respect to environmental effects shall be
limited by the pre-set time and expense budget identified in the project
budget, Exhibit B. Staff time will be allocated as warranted by the apparent
relative significance of potential impacts under study. An archeological
reconnaissance by a qualified archeologist will be undertaken to determine if
any cultural resources exist within the subject area. The allocation for this
survey does not include borings. Data used in all other analyses will be derived
from existing or published information supplemented by City Staff input. If
further study beyond the scope of the pre-set budget is indicated to comply
with CEQA, the City shall be so advised. The City shall in turn direct the
Consultant as to how it wishes to proceed. City staff shall provide copies of all

pertinent data in its possession to be considered by the Consultant, and as
requested by the Consultant.
5.2 ENVIRONMENTAL FACTORS
The environmental factors survey, inventory, and assessment of existing
site conditions shall be based upon the results of site visits, and a
thorough review of existing data and available relevant information.
Soil and/or rock borings are not included in this scope of work; nor are
lab testing of soil samples taken from the site; or detail , technical surveys
unrelated to the development of a park master plan and initial environmental
assessment study. If further study beyond the scope of this section is
indicated to accurately advise and inform the Client, the City shall be
notified, and the City shall direct the Consultant as to how it wishes to
proceed.
5.3 CONSTRUCTION PLANS AND SPECIFICATIONS - PHASE I

cost estimates and specifications for phase I of Enterprise Community
Park will be dependent upon the choice of desired phase I elements by
the City and Community of Redding. The budgeted item for this work task,
{ so identified under Project Budget, " Exhibit B " therefore represents
a preliminary allocation of fees for this task. If further work beyond the
specified budget amount of $ 7,350.00 is indicated, the City shall be
so advised. The City shall in turn direct the Consultant as to how it wishes
to proceed. Depending upon the nature of the changes required, a written
amendment may be incorporated into this agreement to increase the scope
and compensation for expanded phase I development, or the construction plans
and specifications (task XI) may be eliminated from this contract.
5.4 CONSULTING TEAM COMPOSITION/RE-COMPOSITION
If at the direction of the City, phase 1 construction documents and
specifications for Enterprise Community Park are eliminated from this
contract or assigned directly to an engineering firm under a prime contractor
relationship with the City, this agreement directs that all fees and
expenses for work not including construction documents and specifications
remain payable to the Consultant (Parsons Associates) , and that the amount
subtracted from the total budget for this re-assigned work be limited to the
initial budgeted amount of $ 7,350.00.

ARTICLE 6 GENERAL PROVISIONS
6.1 .1 CHANGES
The City may, from time to time, request changes in the scope of the
services or the Consultants to be performed hereunder. Such changes
including any increase or decrease in the amount of the Consultant's
compensation, which is mutually agreed upon by and between the public
body and the Consultant, shall be incorporated in written amendments to
this contract.
No verbal agreement or conversation with any officer, agent, or employee "
of the City, either before, during, or after the execution of this contract
shall affect or modify any of the terms or obligations herein contained,
nor shall such verbal agreement or conversation entitle the Consultant
to any additional payment whatsoever under the terms of this contract.
6.1 .2 TERMINATION OF
CONTRACT FOR CAUSE
This agreement may be terminated by either party upon ten days' written
notice should the other party fail substantially to perform in ac-
cordance with its terms through no fault of the party initiating the
termination. In the event of termination, which is not the fault of the
Consultant, the Consultant shall be compensated for all services performed
to the termination date.
6.1 .3 CONFLICT OF INTEREST
The Consultant agrees that it presently has no interest and shall acquire
no interest, direct or indirect that would conflict in any manner or
degree with the performance of its services thereunder. No person having
any such interest shall be employed by the Consultant.
6.1 .4 ASSIGNABILITY
The Consultant shall not assign any interest in this contract and shall
not transfer any interest in the same ( whether by assignment or novation )
without the prior written approval of the City, provided however, that
claims for money due or to become due to the Consultant from the City

under this contract may be assigned to a bank, trust company, or
other financial institution, or to a trustee in bankruptcy without
such approval . Notice of any such assignment or transfer shall be
furnished promptly to the City.
6.1 .5 PERSONNEL
The Consultant represents that it has or will secure, at its own expense
all necessary personnel required to perform theservices under this
contract. Such personnel shall not be employees of or have any contractual
relationship with agencies providing funds for this project.
All of the services required hereinunder shall be performed by the
ii Consultant or under its supervision and all personnel engaged in performing
the services are fully qualified and shall be authorized or permitted
under State and local law to perform such services. All professional
personnel , including subcontractors engaged in performing services
for the Consultant under this contract, are indicated in a personnel
listing on Exhibit D.
Except as hereinabove agreed, no other portion of the services, nor any
right, title, or interest herein under this contract shall be assigned,
transferred, conveyed, or subcontracted without the prior written approval
of the City.
Any changes or substitutions in the Consultant's personnel , as set forth
herein, must be made known to the project director prior to execution
and written approval granted by same before said change or substitution
can become effective.
6.1 .6 INDEPENDENT CONTRACTOR
Consultant, in accordance with his status as an independent contractor,
covenants and agrees that he will conduct himself consistent with such
status, that he will neither hold himself out as nor claim to be an
officer or employee of the City by any reason hereof, and that he will
not be reason hereof make any claim, demand, or application to or for
any right or privilege applicable to an officer or employee of the City,
including, but not limited to, workman's compensation coverage,

! unemployment insurance benefits, social security coverage, or
retirement membership credit.
6.1 .7 SETTLEMENT OF DISPUTES - ARBITRATION
A. All claims, disputes, and other matters in question between the
City and the Consultant arising out of, or relating to, the contract
documents, or the breach thereof, except for claims that have been
waived by the making or acceptance of final payment, may be decided
by arbitration in accordance with the construction industry arbi-
tration rules of the American Arbitration.Association then obtaining
unless the parties mutually agree otherwise. No person other than
the City or Consultant shall be included as an original third
party or additional thirdparty to an arbitration whose interest
or responsibility is insubstantial . Any consent to arbitration
involving an additional person or persons shall not constitute consent
to arbitration of any dispute not described herein or with any person
not named or described therein. The aforegoing agreement to
arbitrate and any other agreement to arbitrate with an additional
person or persons duly consented to by the parties to the City/
Consultant Agreement shall be specifically enforceable under the
prevailing arbitration law. The award rendered by the arbitrators shall
be final and judgement may be entered upon it in accordance with
applicable law in any court having jurisdiction thereof.
B. Notice of the demand for arbitration shall be filed in writing with
the other party to the City/Consultant Agreement and with the
American Arbitration Association. The demand for arbitration shall
be made within a reasonable time thereafter the claim, dispute, or
other matter in question has arisen, and in no event shall it be
made after the date when institution of legal or equitable proceedings
based on such claim, dispute, or other matter in question would be
barred by the applicable statute of information.
C. Unless otherwise agreed in writing, the Consultant shall carry on
the work and maintain its progress during any arbitration proceedings,

and the City shall continue to make payments to the Consultant
in accordance with the contract documents.
6.1 .8 INSURANCE
Consultant shall , at all times that this agreement is in effect or the
premises are occupied by the Consultant, cause to be maintained in force
and effect an insurance policy or policies that will insure and
indemnify both City and Consultant against liability or financial loss
resulting from injuries occuring to persons or property in or about the
premises or occuring as a result of any negligent acts or activity of
Consultant. The liability under such insuranceolic shall be not

less than $ 250,000 for any one person injured or $ 500,000 for any one
accident and $ 50,000 for property damage or a combined single limits
policy of not less than $ 500,000. The policy shall be written by a
responsible company or companies, to be approved by the City, and shall
be noncancelable except on ten days written notice to the City. Such

policy shall name the City, its officers, agents, and employees as
additional insured and a copy of such policy shall be filed with the
City Clerk. Evidence of Worker's Compensation Insurance shall be provided.
It shall name the City of Redding as additional insured but only with
respect to employees hired by and included on the payroll of the
Consultant while performing work for the City.
6.1.9 OWNERSHIP, PUBLICATION, REPRODUCTION AND USE
1 All documents and materials prepared pursuant to this agreement are the
property of the City. The City shall have the unrestricted authority
to publish, disclose, distribute, and otherwise use, in whole or in part,
any reports, data, or other materials prepared under this agreement.
The City will give credit to the Consultant for his professional
services in any public relations bulletin that may be published concerning
the project.
6.1 .10 INDEMNIFICATION
Consultant agrees to protect, defend, indemnify, and hold harmless City
its officers, agents, and employees from and against any and all liability,

damages, claims, suits, liens, and judgements, of whatever nature,
including claims for contribution and/or indemnification, for
injuries to or death of any person or persons, or damage to the
property or other rights of any person or persons, caused by the
negligent acts, errors, or omissions of the Consultant. Consultant's
obligation to protect, defend, indemnify, and hold harmless, as set forth
hereinabove, shall include any matter arising out of any actual or alleged
infringement of any patent, trademark, copyright, or service mark, or
any actual or alleged unfair competition, disparagement of product or
service, or other business tort of any type whatsoever, or any actual
or alleged violation of trade regulations. Consultant further agrees
li to protect, defend, indemnify, and hold harmless the City, its officers,
agents, and employees from and against any and all claims, liability
for compensation under the Workman's Compensation Act arising out of
injuries sustained by any employee of the Consultant.
'.1 6.1 .11 DEFAULT OR FAILURE TO PERFORM
If through any cause the contractor shall fail to fulfill in timely and
proper manner its obligations under this agreement, or if the contractor
shall violate any of the covenants or stipulations of this agreement,
the City shall thereupon have the right to terminate this agreement by
giving written notice to the contractor of such termination and
specifying the effective date thereof at least 30 days before the
effective date of such termination. In such event, all finished and
unfinished documents become its property and the contractor shall receive
just and equitable compensation and reimbursement for the work completed.
Except with respect to defaults of subcontractors to the contractor,
the contractor shall not be in default by reason of any failure to
1 perform this agreement in accordance with its terms (including any
failure by the contractor to make progress in the performance of the
work hereunder which endangers such performance) , if such failure arises
out of causes beyond the control and without the fault or negligence of
the contractor. Such causes may include, but are not restricted or

limited to: acts of God or of the public enemy; acts of the

Government in either its sovereign or contractual capacity; fires,
floods, epidemics, quarantine, restrictions, strikes, freight •
embargoes; and unusually severe weather, but in every case, the
failure to perform must be beyond the control and without the fault
or negligence of the contractor or its subconsultant or its sub-
contractor. If the failure to perform is caused by the failure of
a Consultant or subcontractor to perform or make progress, and if
such failure arises out of causes beyond the control of both the contractor
and the subcontractor and without the fault or negligence of either
of them, the contractor shall not be deemed to be in default.
6.1 .12 VERBAL AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent, or
employee of the City, either before, during, or after the execution
of this contract, shall affect or modify any of the terms or obligations
herein contained, nor shall such verbal agreement or conversation
entitle the Consultant to any additional payment whatsoever under
the terms of this contract.

Approval of the Plan and Phasing Recommendations by City Council .
TASK XI Preparation of Final Detail Design and Construction Plans and Costs and
Specifications for Phase 1 Implementation.
** Note: Limited fees are available for this item and the consultant would
therefore request that the possibility of an increase in fees be
approved as an option IF the phase one implementation program warrants.
•
For the budget item as noted under project budget-construction documents,
we estimate that the following items could be covered for the proposed
fee. This however is not intended as a recommendation regarding phase
1 priorities which must be determined through the master planning and
design process.
o Victor Avenue, East Side of Park. Property
o Interior Roads and Parking Lots
o Grading Plans for Ball Fields and Play Areas
o Improvement Plans for Site Utilities
o Layout and Grading Plans for Pedestrian and Bicycle Trails
o Selection of Site Improvement Details

MASTER PLAN STUDY REPORTS, PLANS AND DRAWINGS
A. Twenty copies of the Initial Environmental Assessment Study plus the
original will be delivered to the City upon submittal .
II B. The Master Plan Summary Report will be copied and issued to all City
Officials, Staff, and Park and Recreation Commission Members upon submittal .
C. One colored copy each will be prepared of all drawings produced as part of
the Master Planning Process. Construction plans will be prepared on 24"x36" mylar.

D. Upon completion of this contract, the reproducibles of all drawings,
plans, and reports prepared shall be submitted to the City of Redding.
