1 4 1111 RESOLUTION NO. —HP/ C.P/ A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING COOPERATIVE AGREEMENT NO. 02B788 BETWEEN THE CITY OF REDDING AND THE STATE OF CALIFORNIA, ACTING BY AND ii THROUGH ITS DEPARTMENT OF TRANSPORTATION, FOR THE PROPOSED ROUTE 5 CORRIDOR STUDY, AND AUTHORIZING THE MAYOR TO SIGN SAME. WHEREAS, the State of California and the City of Redding contemplate studying the North Sacramento Valley transportation corridor through the City of Redding, to include parts of State Routes 5 , 44 , and 299 ; and WHEREAS, the State is prepared to authorize City to develop a Consultant' s Request for Proposal for said study, and pursue said RFP through the evaluation selection process and contract award; and WHEREAS , the City of Redding desires a means to mitigate the { expected increase in traffic , and would like the study completed at the earliest possible date; and WHEREAS, the City of Redding has received City/State Cooperative Agreement No. 02B788 from Caltrans, District 2 , to IIevaluate the freeway corridor needs; and WHEREAS , said Agreement states the background, study objectives, and terms and conditions under which the study is to li be prepared and financed; and WHEREAS, it is in the best interests of the City of Redding jj to enter into said Agreement with the State; II' NOW, THEREFORE, IT IS HEREBY RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves Cooperative Agreement No. 02B788 between the State of 14 California and the City of Redding, seeking the accomplishment of II hiring a traffic consultant to accomplish the Route 5 Corridor I \ 1 � . I I i • 11 Study, as well as any other necessary documentation to accomplish this study. 2 . That the Mayor of the City of Redding is hereby lI authorized and directed to sign said Agreement on behalf of the 1 City Council of the City of Redding, together with any other documentation necessary to accomplish the study. 3 . That the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding on the aforesaid documents , when appropriate. 1 4 . That a true copy of Cooperative Agreement No. 02B788 is attached hereto and incorporated herein by reference. HAYS , ity Attorney it -2- r � � I 410 02-Sha-5, 44, 299-Var 02351 - 276900 Route 5 Corridor Study Agreement No. 02B788 Page 1 of 19 COOPERATIVE AGREEMENT rl ` THIS AGREEMENT, ENTERED INTO ON , 19 , is between the STATE OF CALIFORNIA, acting by and through its Department of Transportation, referred to herein as "STATE", and I CITY OF REDDING, a body politic and a municipal corporation of the State of California, referred to herein as "CITY" RECITALS (1) STATE and CITY contemplate conducting a corridor study on State Routes 5, 44, and 299 within the CITY'S sphere of influence, referred to herein as "STUDY" . ri (2) STATE is prepared to authorize CITY to develop a 1 consultant's Request for Proposal (RFP) for STUDY and pursue said RFP through evaluation selection process and contract award. t (3) CITY desires a means to mitigate the expected increase in traffic and therefor desires STUDY to be completed at the earliest possible date. bi I i 411 111 a, District 2 Agreement No. 02B788 Page 2 of 19 (4) CITY and STATE have stated the Background and Study t Objectives which also outlines the scope of work, provides a work plan, and provides two study area options. The Background and study Objectives is attached hereto as Attachment "A" and is made a part of I ' this Agreement. (5) STATE and CITY do mutually desire to cooperate in STUDY and desire to specify herein the terms and conditions under which STUDY is to be prepared and financed. SECTION I STATE AGREES: (1) To provide CITY with necessary regulations, policies, procedures, manuals, standard plans and specifications, and , other standards required to define the scope of work for the preparation of STUDY. (2) To provide examples of Requests for Qualifications and Requests for Proposals, including scopes of work, for CITY use in procuring consultant assistance, to advise CITY on consultant procurement procedures, and to participate in consultant selection. it i I f • 411 District 2 Agreement No. 02B788 Page 3 of 19 � I (3) To provide prompt reviews and approvals as appropriate of submittals by CITY, and to cooperate in timely processing of STUDY. (4) To work with CITY to assure that required State and I Federal procedures are followed and approvals obtained. [ pl (5) To deposit with CITY within 30 days of execution of any consultant contract, 15% of the estimated cost of such District 2 contract, and thereafter to reimburse CITY within 30 days after receipt of each billing, any CITY payments made to consultant. pi (6) To deposit additional funds if, during the course of C STUDY, the advance deposits provided for under Article (5) above, are found to be substantially under the amount which is required to cover I the estimated final cost of the work. If the deposit is substantially over that required, the excess should be refunded as soon as possible. P (7) To provide all necessary rights of entry and C' permits to enter related to STUDY. ti t ' I ! 411District 2 Agreement No. 02B788 Page 4 of 19 hl SECTION II CITY AGREES: (1) To prepare an RFP, conduct the evaluation selection process, award the contract, and administer the contract for STUDY with CITY forces. STUDY is to be prepared in accordance with STATE'S d'' I laws, rules, regulations, policies, procedures, manuals, standard plans and specifications, and other standards including compliance with Federal Highway Administration (FHWA) requirements, as provided by STATE in accordance with Section 1, Article 1 of this Agreement. (2) To provide any work on STUDY by CITY forces, all nonsalary expenses, and actual and direct labor cost plus fringe benefits and overhead, at no cost to STATE. SECTION III IT IS MUTUALLY AGREED: pi (1) All obligations of STATE under the terms of this Agreement are contingent upon the appropriation g p of resources by the Legislature. (2) STATE shall reimburse CITY for actual costs incurred in theerformance of the work. The total amount p payable by STATE to CITY under this Agreement will not exceed $31, 500. 00. The total ; may be increased by amendment to this Agreement. Any STATE funds I 411 District 2 Agreement No. 028788 Page 5 of 19 I' remaining on deposit with CITY for work by consultants shall be returned to STATE within 30 days after termination of the last consultant contract. (3) Actual cost reimbursed, direct and indirect, shall be in conformance with procedures set forth in the Cost Principles and Procedures, Chapter 1, Part 31, CFR 48. STATE will reimburse actual project costs of CITY that are in accordance with an approved cost allocation plan under Office of Management and Budget Circular A-87 and A-102 . � I (4) STATE shall designate a State Project Coordinator and CITY shall designate a representative through whom all communications between the two agencies shall be channeled. (5) The attached background and study objectives, may in the future be modified to reflect minor changes in the responsibil- ities of the respective parties. Such modifications shall be executed by CITY 'S Director of Public Works or other official designated by CITY and STATE'S District Director for District 2 and become a part of this Agreement as supplemental attachments. EI (6) CITY will furnish STATE all necessary copies of preliminary documents to complete review and approval process. Upon completion of all work under this Agreement, ownership and title to District 2 Agreement No. 02B788 Page 6 of 19 all reports, documents, plans, and estimates produced as part of this STUDY will automatically be vested in STATE and no further agreement will be necessary to transfer ownership to STATE. (7) It is understood and agreed that neither STATE nor any officer or employee thereof is responsible for any damage or liability occurring by reasons of anything done or omitted to be done by CITY under or in connection with any work, authority or 1! jurisdiction delegated to CITY under this Agreement. It is understood and agreed that, pursuant to Government Code Section 895.4 , CITY shall fully defend, indemnify and save harmless the State of California, all officers and employees from all claims, suits or actions of every name, kind and description brought for or on account of injuries to or 'i death of any person or damage to property resulting from anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction delegated to CITY under this Agreement. 1 (8) It is understood and agreed that neither CITY nor any officer or employee thereof is responsible for any damage or liability occurring by reasons of anything done or omitted to be done by STATE under or in connection with any work, authority or jurisdiction delegated to STATE under this Agreement. It is understood and pi agreed that, pursuant to Government Code Section 895.4, STATE shall 1.1 • i I • 4 District 2 N • Agreement No. 02B788 ai Page 7 of 19 defend, indemnify and save harmless CITY from all claims, suits or actions of every name, kind and description brought for or on account of injuries to or death of any person or damage to property resulting from anything done or omitted to be done by STATE under or in con- nection with any work, authority or jurisdiction delegated to STATE under this Agreement. (9) No alteration or variation of the terms of this Agreement shall be valid unless made in writing and signed by the parties hereto and no oral understanding or agreement not incorporated herein shall be binding on any of the parties hereto. I (10) STATE reserves the right to terminate this Agreement upon written notice to CITY. At the time or termination, CITY will be paid for work accomplished and delivered in accordance with the terms i of this Agreement, and for costs related to termination of any consultant contracts. The study is to include parts of State Routes 5, 44 and 299, as depicted within the project limits shown in Figure 1 or 2 . Commerical and industrial growth in the study area, accompanied by population growth and pattern shifts, are beginning to tax the capacities of the streets, roads, and interchanges. OBJECTIVE The broad objective of this study is to determine ways to mitigate the expected increase of traffic through the corridor, especially at the Route 5/44/299 interchange. The ADT along Route 5 i'. may reach 65, 000 (1985 Redding General Plan-Circulation Element) by the year 2005, approximately 216 percent increase of present ADT. To the extent possible, the study should analyze land use, demographics, through travel, and the economics of the area. • 411 District 2 Agreement No. 02B788 Page 11 of 19 It is anticipated the STUDY will include, at a minimum, alternatives based on costs such as "do nothing, ". "constrained, " and "unconstrained" proposals. Further, the consultant is expected to 6 ' recommend an adoption of one of the alternatives, and the basis for that recommendation. The alternatives are described as follows: "Constrained" is interpreted as being based on future funding levels which might reasonably be expected, based on a financial trends analysis. "Unconstrained" is interpreted as being based on ideal problem solutions, and assuming unrestricted funding from the funding 1 category is available. "Do nothing" is interpreted as consisting only of basic maintenance. pi It is specifically intended to rely on consultant 1 expertise for the precise formulation of the work plan design to accomplish the stated purposes of the STUDY and for the performance of NI all defined tasks. 1 , h ' District 2 Agreement No. 02B788 Page 12 of 19 • SCOPE OF WORK 1. Scope of Work Outline Consultants are expected to utilize their expertise on the subject by proposing modifications to the suggested scope of work where appropriate, provided the objectives of the STUDY can be achieved. Figure 1 shows the minimum limits of STUDY and figure 2 shows a larger area. The RFP shall provide estimates for one or both of these project limits. However, the STATE and CITY have a budgeted IE cost. i I 2 . Schedule rI The study should be completed within six (6) months from the date the contract is awarded. 3 . Progress Reports Periodic written progress reports to City of Redding staff will be required every second week. Informal oral contract on a more frequent basis will also be required. Oral Briefings A minimum of two consultant briefings to the City of Redding 1 Technical Committee will be required to explain the scope and process of the STUDY and a final, formal presentation to the CITY of the completed STUDY ,, FI 41 5. (9) 40% - Prepare and present final report and twenty (20) copies fly • i District 2 Agreement No. 02B788 Page 14 of 19 WORK PLAN � General The following work plan is intended to provide general guidance and assistance in the development of a consultant designed r study. Details are provided for the purpose of illustrating the ' I intent and scope of the survey, rather than to provide a precisely fixed development structure. Respondents are to develop proposals, based on professional judgement and expertise, for accomplishing the objectives of the STUDY in the most efficient manner. The purpose is to develop long-range proposals to mitigate the expected increased I traffic volume. The design and adequacy of the study work program relative to stated study objectives are consultant responsibilities. A traffic demand model is available which was developed by Caltrans for the urban Redding area. Tasks The performance of all tasks will be the responsibility of M1' iithe consultant, unless otherwise specified or agreed upon. The work plan should include a time line for the tasks involved and must be approved by City staff prior to performance of any tasks. 2 . Establish performance objectives considering inter- 0 change improvements. 3. Inventory current facilities and traffic conditions within the study area. 4 . Using existing traffic models or new models, estimate traffic assignment and performance to year 2010. ' I pl 5. Identify problem locations. pG r � i it District 2 Agreement No. 02B788 pi Page 16 of 19 6. Develop alternative solutions to identified problems in ' the various cost alternatives; that is, "constrained, " "uncon- jstrained, " and "do nothing. " a. With the "constrained" alternative, a reasonable and ' certain amount of funding should be assumed (i.e. , a certain percent of the available funds) and solution as to what type of improvements (i.e. , shoulder width, fixed objects removal, widen bridges, signal locations, etc. ) should be determined. It will be necessary to prioritize each improvement so as to keep ahead or abreast if possible of the anticipated corridor demand. b. With the "unconstrained alternative, " unrestricted funding should be assumed. However, the limitations are the full amount of available funding which is normally expended on this category of project (e.g. , all FAU funds) . Solutions should be developed for this alternative which determine what improvements should be undertaken and when to construct these improvements. c. With "no project" alternative, there will be no funding assumed.
