A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING
THE AGREEMENT BETWEEN THE CITY OF REDDING AND NORTHERN VALLEY
CATHOLIC SOCIAL SERVICE FOR TRANSITIONAL HOUSING SITE ACQUISITION,
AND AUTHORIZING THE CITY MANAGER TO SIGN SAME.
BE IT RESOLVED by the City Council of the City of Redding as follows:
1. The City Council of the City of Redding hereby approves the Agreement
between the City of Redding and Northern Valley Catholic Social Service providing
for funds to acquire a site for a Transitional Housing Facility for homeless,
pregnant and parenting adolescents of the City of Redding.
2. The City Manager of the City of Redding is hereby authorized and
directed to sign all necessary documents on behalf of the City of Redding and the
City Clerk is hereby authorized and directed to attest the signature of the City
Manager and to impress the official seal of the City of Redding on the aforesaid
documents, when appropriate.
3. A true copy of the Agreement referred to herein is attached hereto
and made a part hereof.

AGREEMENT BETWEEN CITY OF REDDING
AND CATHOLIC COMMUNITY SERVICES AND
NORTHERN VALLEY CATHOLIC SOCIAL SERVICE
THIS AGREEMENT, made and entered into this day of .
, 19 by and between the CITY OF REDDING, a municipal
corporation, hereinafter called "CITY; " and the CATHOLIC COMMUNITY
SERVICES INC. , a California non-profit corporation DBA NORTHERN
VALLEY CATHOLIC SOCIAL SERVICE, hereinafter called "NVCSS. "
WITNESSETH:
WHEREAS, CITY has entered into a grant agreement with the
Department of Housing and Urban Development (HUD) to carry out the
Community Development Block Grant (CDBG) program within CITY; and
WHEREAS, CATHOLIC COMMUNITY SERVICES is a non-profit
corporation organized under the laws of the State of California and
ij qualifying for Federal Tax Exempt Status; and
WHEREAS, NVCSS is authorized as a subsidiary for CATHOLIC
COMMUNITY SERVICES to execute all conditions of this Agreement, and
WHEREAS, CITY has allocated Community Development Block Grant
funds to NVCSS for the specific purpose set forth herein; and
WHEREAS, said funds are provided to the City through the CDBG
1 , Program of HUD. No allocated funds will be disbursed under this
Agreement until final fund drawdown authorization has been received
by the City from HUD; and
WHEREAS, CITY has allocated said funds for the sole purpose of
assisting NVCSS in the provision of a Transitional Housing Facility

for low and moderate income pregnant and parenting adolescents as
outlined in Exhibit A "Scope of Services; and
WHEREAS, NVCSS has located a facility suitable for the above
stated purpose.
NOW, THEREFORE, in consideration of the recitals and the
mutual obligations of the parties as herein expressed, the parties
hereto agree as follows:
1 . AMOUNT AND USE OF FUNDS.
A. CITY agrees to lend to NVCSS the amount of Sixty Thousand
and no/100 Dollars ( $60 ,000) at zero interest for the purposes set
forth in Section 1 B of this Agreement and Exhibit 'A' "Scope of
Services. "
B. NVCSS shall use the funds provided pursuant to this
Agreement to finance the purchase of no less than 10 units of
multi-family housing suitable to be used as a transitional housing

facility as outlined in Exhibit 'A' "Scope of Services. " Said
units shall be occupied in accordance with the affordability
restrictions set forth in Section 8 of this Agreement. The target
clientele for this facility shall be single, homeless, pregnant and
parenting adolescents, age 17 to 23 years old; however NVCSS may
deem it appropriate to make the Transitional Housing Facility
available to other homeless individuals and/or families who are not
the primary target population, such as homeless elderly. CITY
agrees to this use, if the target population is given priority use

•4 C. The facility shall be located within the corporate limits
of the City of Redding.
2. LOAN TERMS AND CONDITIONS.
A. In consideration of the CITY loan, NVCSS and CATHOLIC
COMMUNITY SERVICES shall execute a Promissory Note, attached hereto
as Exhibit "B; " and Deed of Trust, attached hereto as Exhibit "C, "
on the property naming CITY as beneficiary. Said Deed of Trust
shall name this Agreement and the Note as the obligation secured
thereby.
This transaction shall be completed through an escrow to be
established with First American Title Insurance Company ( "the
Escrow Agent" ) , located at 1600 West Street, Redding, CA. Within
fourteen ( 14 ) days after execution of this Agreement each of the
parties shall execute and deliver to the Escrow Agent written
i ;• instructions consistent with the terms of this Agreement. CITY' s
Escrow instructions shall provide that: 1 ) Escrow Agent shall
record the Deed of Trust in the County Recorder ' s Office pursuant
to the escrow instructions of CITY and NVCSS. 2 ) After recordation
of the Deed of Trust, Escrow Agent shall issue a CLTA policy of
Mortgage Title Insurance in the amount of the Note. Said Policy

shall show title to the property vested in Catholic Community
Services and insure CITY as beneficiary. 3 ) In the event that
escrow does not close within ninty ( 90 ) days from the date of the
instructions, CITY may declare the Agreement to be null and void,

and any and all monies advanced by CITY pursuant to the Agreement
shall immediately revert to CITY.

B. NVCSS shall provide CITY with a corporate resolution
authorizing the execution of this agreement.
C. NVCSS shall be responsible for all sums necessary to
purchase said property in excess of the CITY loan.
D. Disbursement of CITY loan funds is contingent upon NVCSS
securing adequate financing to complete the purchase of said
property. Proof of such financing shall be submitted in writing to
CITY prior to disbursement of CITY funds. An Acquisition Budget
Summary, Exhibit "D" , shall be attached to this Agreement.
E. The CITY loan will remain in effect as long as NVCSS
continues to operate the facility as outlined in the 'Exhibit' A
"Scope of Services. "
F. The full amount of the loan will be immediately due and
payable if either of the following occur:
1 ) The title to the property is transferred by sale or any
• other means except as outlined in Section 2G below, or
2 ) NVCSS fails to utilize the property for the purpose
stated in this Agreement or for some alternate housing purpose
approved by CITY.
G. Should title to the property be transferred by sale or
other means for the purpose of allowing NVCSS to purchase another
property which both NVCSS and CITY agree would be more suitable for

the purpose stated in this Agreement, CITY agrees to allow the CITY
loan to be transferred to the new property. The transferred loan
•
will be subject to all the covenants of this Agreement.

110H. All other conditions of this Agreement not withstanding,
the CITY loan may be paid in full at any time at NVCSS discretion.
3 . TERM/TERMINATION. This Agreement shall be in force for
the period of time that the Deed of Trust securing the CITY loan
remains as a lien on the property. In the event NVCSS violates the
provisions of this Agreement for any reason other than occurrence
of circumstances over which it can exercise no effective control
and such violation shall not be cured or remedied within thirty
( 30 ) days after notice thereof by CITY, CITY shall have the right
to terminate this Agreement by written notice duly served upon
NVCSS.
4. COMPLIANCE REQUIREMENTS OF OTHER FUNDING SOURCE. It is
understood that NVCSS shall receive Emergency Shelter Program (ESP)
funds for the acquisition of the aforementioned property. As a
condition for use of ESP funds, the CITY agrees that NVCSS will use
up to six ( 6 ) units in the facility for the first twelve month
period and up to three ( 3 ) units for the consecutive second twelve
month period as an Emergency Shelter. CITY agrees to permit NVCSS
to fulfill said obligation for a period of not more than twenty-
; four ( 24 ) months commencing at close of escrow. From that date
hence, the property subject to this Agreement will be operated as
outlined in Exhibit 'A' "Scope of Services. "
5 . TRANSFER OF PROPERTY. NVCSS shall not cause or permit any
sale, assignment, conveyance , lease or transfer in any form or with
respect to this Agreement or the property subject to this
Agreement, or any part thereof or any interest therein or contract

or agree to do any of the same, without the prior written approval
'j of CITY. Any sale, assignment, conveyance, lease, or transfer
without CITY' s written consent constitutes a material breach of
this Agreement.
6 . RELOCATION.
A. NVCSS agrees to comply with the Uniform Relocation
Assistance and Real Property Acquisition Policies Act (URA) and
Housing and Community Development Act (HCD) as amended ( 24 CFR
570 . 496 a(b) ( 2 ) and 570. 606 ( (b) ( 2 ) . )
B. CITY will assist with NVCSS in the development of a
Relocation Plan and any record keeping requirements under the URA.
Said Relocation Plan is subject to CITY approval prior to
implementation.
C. Priority is available on the City of Redding waiting list
for Section 8 rental assistance to eligible persons who will be
displaced by the acquisition of the property subject to this
Agreement.
D. NVCSS will be responsible for any relocation, moving,
and/or moving related costs generated by the acquisition of the
Transitional Housing Facility.
7. PROGRAM INCOME. "Program Income" is defined as gross
income earned by NVCSS from the Transitional Housing Facility
supported by CDBG funds. Rules on Program Income are established in
the Consolidated Community Development Block Grant Regulations ( 24
CFR Part 570 ) , OMB Circular No. A-21 , and OMB Circular No. A-110 .

A. NVCSS agrees that all Program Income from whatever source
shall be used by NVCSS in compliance with both the purposes and
objectives declared by HUD.
B. Program Income may be retained by NVCSS and used for
those activities as outlined in Exhibit 'A' "Scope of Services" of
this Agreement.
C. For accounting purposes, all Program Income shall be
clearly separate from any other monies NVCSS handles.
D. Program Income on hand at the time of expiration of this
Agreement must be returned to CITY along with any accounts
receivable attributable to the use of CDBG funds.
E. If NVCSS disposes of the property subject to this
Agreement, NVCSS agrees to reimburse CITY in the amount that is
equal to the current fair market value of said property (minus any
value attributable to non-CDBG funds that were involved in the
acquisition or improvement, if applicable) . The aforementioned
condition is only required if the property disposition takes place
during the five year period following the expiration of the
Agreement.
8 . AFFORDABILITY RESTRICTIONS.
A. NVCSS agrees that nine ( 9) of the units in the property
subject to this Agreement shall be occupied or held vacant and
available for occupancy by individuals of families meeting
appropriate eligibility criteria under CDBG guidelines, as
identified in Exhibit "E, " or such other guidelines as may be
recommended by NVCSS and accepted by the CITY. The remaining unit

will be used by a resident manager of the facility for the first
twelve months.
B. NVCSS agrees that the total charges of rent, utilities and
related services to each individual or family occupying a unit in
the property subject to this Agreement will not exceed affordable

rent as defined by HUD 24 CFR PART 570 . 208 (a) ( 3 ) . For purposes of
this Agreement, "affordable rent" shall mean an amount paid for
rent utilities and related services by the occupant( s) which is no
more than Thirty percent ( 30%) of the adjusted gross income of the
occupant( s) , as defined in Exhibit "E. "
9. RECORDS AND REPORTS.
A. NVCSS shall at all times maintain a complete and current
set of financial and statistical records in connection with the
activities performed under this Agreement. Such records shall be
maintained in accordance with generally accepted accounting
practices.
B. NVCSS agrees to report to CITY on the form attached as
Exhibit "F" statistical information required by HUD. NVCSS will
provide CITY with said report for the fiscal year ending June 30,
1991 no later than July 30, 1991. Every year thereafter on June
30, NVCSS shall provide a certification to CITY that the facility
is being used for the purposes stipulated in this Agreement.
C. NVCSS agrees to maintain and preserve such records from the
start of the Agreement until the termination of said Agreement.
D. Any financial and non-financial files shall be made
available to the Secretary of HUD, the Comptroller General of the

United States, CITY or any of their duly authorized representatives
for the purpose of making audit or any other examination deemed
necessary.
E. Recognizing that NVCSS renders services to recipients which
are highly personal and confidential in nature, CITY, in its
dealings with NVCSS, will at all times maintain said
confidentiality and will not require a public record to be made or
provided that will serve to violate the confidentiality
requirements.
9 . HOLD HARMLESS CLAUSE.
A. In providing its services, NVCSS will act as an
independent contractor and no officer or employee of NVCSS will be
deemed a CITY officer or employee for any purpose.
B. NVCSS shall hold CITY, its officers, boards and
commissions and members thereof, its employees and agents harmless
of and free from any and all liabilities which might arise out of
or are related to the acts or omissions of the NVCSS in any way
relating to the subject matter of this Agreement.
C. CITY shall hold NVCSS, its officers, boards and
commissions, and members thereof, its employees or agents, harmless
of and free from any and all liabilities which arise out of or are
related to the acts or omissions of CITY in any way relating to the
subject matter of this Agreement.
D. NVCSS shall indemnify CITY, its officers, boards and
commissions, and all members thereof, its employees and agents,
from any judgment rendered against them or any sums paid out in

settlement, or otherwise arising out of any act or omission of
NVCSS in any way relating to the subject matter of this Agreement.
E. CITY shall indemnify NVCSS, its officers, boards and
commissions, and all members thereof, its employees and agents,
from any judgment rendered against them or any sums paid out in
settlement, or otherwise arising out of any act or omission of CITY
'j in any way relating to the subject matter of this Agreement.
10. COMPLIANCE WITH LAWS.
A. NVCSS shall comply at all times during the term of this
Agreement with all applicable laws and regulations governing the
use of Community Development Block Grant funds, including but not
limited to:
(a) Requirements of Title 24, Part 135 , Employment
Opportunities of businesses and Lower-Income Persons in Connection
with Assisted Project.
(b) The policies, guidelines, and requirements of OMB
Circular No. A-122 , A-110, and A-21, including all stated
restrictions on the use of appropriated funds for lobbying purposes
in connection with a specific contract, grant, or loan. To this
effect, NVCSS agrees to execute the attached Exhibit "G"
Certification Regarding Lobbying.
(c) NVCSS agrees to comply with Section 504 of the
Rehabilitation Act of 1974 as amended ( 29 U.S.C.794) .
(d) NVCSS agrees to comply with the requirement of the Lead-
Based Paint Poisoning Prevention Act ( 42 U.S.C. 4821-4846 ) and
implementing regulations at 24 CFR Part 35.

(e) No member of or delegate to the Congress of the United
States, and no Resident Commissioner shall be admitted to any share
or part of this Agreement or to any benefit to arise from the same.
( f) No member, officer or employee of CITY, or its designees
or agents, no members of the governing body of CITY and no other
public official of CITY who exercises any functions or
responsibility with respect to the program during his tenure or for
one year thereafter shall have any interest, direct or indirect, in
any contract or subcontract, or the proceeds thereof, for work to
be performed in connection with the program assisted under this
Agreement.
(g) NVCSS shall not discriminate against any person on the
it
grounds of race, color, creed, national origin, ancestry, age, sex,
sexual orientation, disability, or familial status.
(h) The assistance provided under this Agreement shall not
be used in the payment of any bonus or commission for the purpose
of obtaining HUD approval of the application for such assistance,
or HUD approval of applications for additional assistance, or any
other approval or concurrence of HUD required under this Agreement,
Title I of the Housing and Community Development Act of 1974 or HUD
regulations with respect thereto; provided, however, that
reasonable fees or bona fide technical, consultant, managerial or
other such services other than actual solicitation, are not hereby
prohibited or otherwise eligible as program costs.
B. NVCSS further agrees to comply with all legal
requirements, including any applicable Federal, State or City

regulations, and shall secure at its full cost and expense any and
all permits, applications or other requirements in connection
therewith.
11. INSURANCE PROVISIONS.
A. NVCSS shall purchase and maintain commercial general
liability insurance for bodily injury and property damage in an
amount of not less than $500 ,000 combined single limits during the
term of this Agreement.
B. NVCSS shall further obtain and maintain in full force and
effect, during the term of this Agreement, insurance policies to
protect against financial loss by reason of destruction or damage
of the facility by fire or other hazards.
C. NVCSS shall provide evidence annually that real estate
taxes and assessments are paid on time.
D. NVCSS shall promptly notify CITY if any default in payment
takes place which affects title or ownership of the property.
12 . ADDITIONAL REQUIREMENTS.
A. NVCSS represents that it is, or may be deemed to be, a
religious or denominational institution or organization or an
organization operated for religious purposes which is supervised or
controlled by or in connection with a religious or denominational
institution or organization.
B. NVCSS agrees that, in connection with the operation of
the Transitional Housing Facility, it will not discriminate against
any employee or applicant for employment on the basis of religion
and will not limit employment or give preference in employment to

persons on the basis of religion; it will not discriminate against
any person otherwise eligible for housing on the basis of religion
and will not limit services or give preference to persons on the
basis of religion.
C. NVCSS agrees it will provide no religious instruction or
counseling, conduct no religious worship or services, engage in no
religious proselytizing, and exert no other religious influence
upon the participants and occupants of the Transitional Housing
Facility during the provision of any services as set out in the
"Scope of Services" Exhibit "A" section of this Agreement.

EXHIBIT "A"
SCOPE OF SERVICES
Single homeless Pregnant and Parenting Adolescents, age 17 to 23
years old, who live in the City of Redding. Each eligible
household shall be able to reside in the facility for a period up
to 24 months. In addition, NVCSS will also provide case management
services in the form of counseling, health and nutrition education,
educational and vocational training, financial services, and child
care to the residents of the facility. NVCSS shall also be
responsible for all supervision necessary to facilitate the
adequate provision of supportive services to the residents. Such
supervision must insure that the facility is operated in such a
manner that will maintain a peaceful atmosphere and not create
noise and disharmony within the neighborhood.
A Transitional Housing Facility for this population of individuals
will meet a long standing need in the community. Referrals will be
received from service organizations such as: City of Redding
Housing Authority, People of Progress, Salvation Army, Mercy
Medical Center, Shasta County Social Services, Shasta County
Department of Public Health, and Mary Street School.
The Transitional Housing Facility will serve to meet a basic need:
affordable housing for a population of people who are presently
living in automobiles, public parks, abusive situations, or
overcrowded conditions.

thereof, or any interest therein is sold, agreed to be sold,
conveyed or alienated by Trustor, or by the operation of Law
or otherwise, all obligations secured by this instrument,
irrespective of the maturity dates expressed therein, at the
option of the holder thereof and without demand or note
shall immediately become due and payable.
