Evaluation: The Grantee is hereby advised that its performance under this grant will be evaluated, and submitted to the Director of the Department of Conservation within 30 days after the termination of this grant. 2. Communications: All official communication from the Grantee to the Division shall be directed to the Grant Manager as designated by the Chief at: Division of Recycling, 1025 P Street, Sacramento, it CA. 95814. Ii 3. Modifications - Changes: The budget of any project within the grant may be revised up to twenty percent (20%) from one line item to another without increasing the total amount of the project. By written change order, the Grant Manager may at any time during the effective period of the Grant order changes within any project without invalidating this grant, so long as such changes do not i .. increase the amount due, extend the term or result in substantial change in the Scope of Work. The latter changes shall require a formal Grant Amendment. 4. Written Approval of Project Changes: The Grantee must obtain prior written approval from the Grant Manager before making changes to the grant. All requests should include a description of the proposed change and the reasons for the change. Such changes should include any budget line item revisions, minor task modifications, management staff adjustments, and changes in grantee/subcontractor or the scope of work. 5. Subcontractors: The Grantee shall be entitled to make use of its own staff and such subcontractor(s) as are mutually acceptable to the Grantee and the Division. All subcontractor(s) specifically identified in the Scope of Work are considered to be acceptable to the Division. Any change in subcontractor(s) which have been found to be acceptable by the Division, shall be subject to either a grant amendment or written change order. All contracts between the Grantee and Subcontractors shall be subject to approval of the Grant Manager. 6. Subcontractor Work: It is understood and agreed that the Grantee and each subcontractor shall comprise the "grantee team. " The Grantee shall function as the Prime Grantee (hereafter referred to as Grantee) of this project and shall manage the performance of the technical/expert subcontractors. All references to the Ij "Grantee" herein refer to the Prime Grantee unless otherwise noted. II 2 I . 1, I,1!1 ii410 DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING CITY OF REDDING GRANT NUMBER 5090-121 The Grantee, its subcontractors and their employees shall be responsible in the performance of the Grantee's work under this grant in exercising the degree of skill and care required by customarily accepted good professional practices and procedures. Any costs for failure to meet the foregoing standards, or otherwise defective services, which causes redundancy shall be borne by the Grantee and not the Division. The Grantee shall be responsible for schedulingand assigning P � subcontractors to specific tasks, coordinating subcontractor II' accessibility to the Division staff, and submitting completed products to the Grant Manager. 7. Competitive Bid Requirements: In the event a subcontractor is changed or added to those identified as subcontractors in the Grant Proposal, the Grantee shall purchase services from the lowest responsible bidder or pay the difference between the low bid and the one selected. All payment requests shall document the competitive selection by including copies of at least three bids for services subject to this condition. This condition may be waived upon Grantee certification that due to the unique nature of the service a sole source purchase is justified. 8. Accounting Records: The Grantee shall maintain financial records, in accordance with generally accepted accounting principles, of expenditures incurred during the course of the project including matching funds that may be required. Such records shall be readily available for inspection by the Division. Subcontractor(s) employed by the Grantee and paid with monies under the terms of this Agreement, shall be responsible for maintaining accounting records as specified in the above paragraph. 9. Audits: The Grantee agrees that the Division, the State Controller's Office and the State Auditor General's Office or their designated representatives shall have an absolute right of access to all of the Grantee's records pertaining to the Agreement to conduct reviews and/or audits. Grantee's records including financial records, performance reports, requests for payment, or any part thereof requested, shall be made available to the designated auditor(s) upon request for the indicated review and/or audits. Such records shall be retained for at least three years H' after expiration of this Agreement; or until completion of the action and resolution of all issues which may arise as a result of any litigation, claim negotiation or audit, whichever is later. 3 s DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING CITY OF REDDING GRANT NUMBER 5090-121 10. Stop Work Notice: Immediately upon receiving a written notice to stop work, the Grantee shall cease all work under this Agreement. 11. Discretionary Termination or Assignment: The Division shall have the right to terminate this Agreement at its sole discretion at any time upon thirty (30) days written notice to the Grantee. In the case of early termination, a final payment will be made to the Grantee upon receipt of a financial report and invoices covering costs incurred to termination, and a written report describing all work performed by the Grantee to date of termination. 12. Disputes: The Grantee is hereby advised of its duties, obligations and rights under Public Contract Code Sections 10355 through 10412. In the event of a dispute, the Grantee may, in addition to any other remedies which may be available, provide written notice of the particulars of such dispute to Randall M. Ward, Director, Department of Conservation, 1416 Ninth Street, I, Sacramento, CA. 95814. Such written notice must contain the grant number. Within ten days of receipt of such notice, the Director shall advise the Grantee of his findings and a recommended means of resolving the dispute. 13. Publicity and Acknowledgment: The Grantee agrees that it will acknowledge the California Department of Conservation and the Division of Recycling support whenever projects funded, in whole or in part, by this Agreement are publicized in any news media, brochures, articles, seminars or other type of promotional material. The Grantee shall also include in any publication resulting from work performed under this grant an acknowledgment substantially as 11 follows: "The work upon which this publication is based was performed pursuant to a grant with the California Department of Conservation, Division of Recycling", or other language approved by the Grant Manager. The Grantee shall place the following ii notice, preceding the text, on draft reports, on the Final Report, and on any other publication or report resulting from work performed under this Agreement: Disclaimer The statements and conclusions of this report are those of the Grantee/Subcontractor and not necessarily those of the Division of Recycling, or its employees. The Division makes no warranty, express or implied, and assumes no liability for the information ii contained in the succeeding text. 4 'II illl Alk Imp 4 DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING CITY OF REDDING GRANT NUMBER 5090-121 14. Ownership of Drawings. Plans and Specifications: The Division shall have separate and independent ownership of all drawings, i; design plans, specifications, notebooks, tracing, photographs, negatives, audio and video productions, films, recordings, original artwork, productions, reports, findings, recommendations, data and memoranda of every description or any part thereof, prepared under this Agreement, and the originals of all copies thereof shall be delivered to the Division upon request. The Division shall have the full right to use said originals and copies in any manner when and where it may determine without any claim on the part of the Grantee, its vendors or subcontractors to additional compensation. 15. Copyriaht and Trademarks: The Grantee agrees to establish for the Division good title in all copyrightable and trademarkable materials developed as a result of this Agreement. Such title shall include exclusive copyrights and trademarks in the name of the State of California. As used herein, "copyrightable material" includes all materials which may be copyrighted as noted in Title 17, United States Code, Section 102, as follows: 1) literary works, 2) musical works, including any accompanying music, 4) pantomimes and choreographics, 5) pictorial, graphic and sculptural works, 6) motion pictures and other audio visual works and 7) sound recordings. As used herein, "trademarkable material" means any material which may be registered as a trademark, service mark or trade name under the California Trademark Law, cited at Business and Professions Code (B&PC) Section 14200-14342. "Trademark" is defined by B&PC Section 14207. "Service Mark" is defined by B&PC Section 14206. "Trade Name" is defined by B&PC Section 14208. Grantee agrees to apply for and register all copyrights and trademarks, as hereabove defined, in the name of the State of California, for all materials developed pursuant to this Agreement which may under the applicable law be copyrighted or for which a trademark may be registered. Failure to comply with this article when such failure results in the loss of the exclusive right of ,'. the State to use, publish or disseminate such materials, when such failure and result occur during the term of the grant, constitutes breach of grant. 16. Special Conditions: This is not a complete list of all possible special conditions. DOR reserves the right to place special terms and conditions on the Grantee which may vary with each project receiving funds during the term of the Grant Agreement. Ij 5 I,Ili Aft • DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING I ' CITY OF REDDING GRANT NUMBER 5090-121 lite Visits: DOR will conduct periodic site visits, at its own expense, to monitor the progress during the grant term. In some cases, slides or photographs may be required in order to document progress or to publicize results. Also, interim verbal or written progress reports may be required to supplement the more formal monthly status reports. Additional copies or special due dates for any written materials may be specified. Compliance: The Grantee shall comply fully with all applicable federal, state and local laws, ordinances, regulations and permits and shall secure any new permits required by authorities having jurisdiction over the project(s) , and maintain all presently required permits. The Grantee shall ensure that any applicable requirements of the California Environmental Quality Act are met in order to carry out the terms of the grant. Equipment: The Division reserves the right to reclaim equipment funded under a grant for a project which is not completed or is terminated. Payment: Payments shall be made to Grantee no more than once every thirty (30) calendar days in arrears for performing only those services as specified in the Scope of Work and Budget Sections of this Agreement, and upon evidence of satisfactory progress and approval by the Grant Manager. Such evidence shall consist of written progress reports and receipt of any deliverables as required by the grant. The Division shall withhold payment equal to ten (10) percent of each invoice until completion of all work and other requirements to the satisfaction of the Division. An exception can be made only with the written approval of the Chief of the Division of Recycling. Invoicing: An invoice must be submitted in quadruplicate, stating the grant number, on company letterhead with an original signature on at least one copy and original and one copy of all supporting ��. documentation (bids, receipts, cancelled checks, sole source justification, etc. ) attached. Invoices are to be sequentially numbered. An invoice must be signed by the person who signed the grant or his/her designee. If there is a question as to the authority of the signer which cannot be resolved to the satisfaction of the State, the invoice will not be honored. A proof of purchase receipt or cancelled check must be submitted for each item requested to be reimbursed. These items must 6 • DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING CITY OF REDDING GRANT NUMBER 5090-121 contain sufficient information to establish that the specific purchase was made. Only those items identified in the Budget are eligible for reimbursement. Any changes to the Budget must be approved by the Grant Manager before an expenditure for that item is made. 1; Each invoice is subject to approval by the Grant Manager, Division Management, and audit by the Accounting Office. If an invoice is questioned, the Grant Manager shall contact the Grantee within fifteen (15) working days of receipt of the invoice. Undisputed invoices take approximately six (6) weeks for payment. Mail an original and four (4) copies of payment requests with an original and one (1) copy of all supporting documentation to the following address: 1 Division of Recycling, Grant Manager 1025 P Street, Suite 325 11 Sacramento, CA. 95814 Status Reports: The Grantee shall submit to the Grant Manager a status report by the fifteenth day following the end of each month. Each status report shall include, but not be limited to: a. A statement that the project is, or is not, on schedule, and any pertinent reports or interim findings. This should include a statement of tasks or milestones and a report of the status on each; 11 b. A discussion of any difficulties or special problems encountered in accomplishing the scope of work; I c. A' narrative financial report comparing costs to date and the approved scope of work and budget. This report should state whether or not the project is progressing within the approved budget, including an explanation of any potential deviations; d. Any changes in Program Director or Project Manager (these must be approved in advance) ; e. Copy of materials produced. 1 If no invoice is being submitted for any month, a status report will still be required by the Grantee. 7 • SII • 1 DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING CITY OF REDDING GRANT NUMBER 5090-121 Final Report: The Grantee shall submit a draft of the final narrative management report (an original and four (4) copies) thirty (30) days prior to the end of the grant term. This report will include, but not be limited to: a. Table of Contents; b. Slide documentation, if applicable, during all stages of it activity; c. A brief summary of the objectives of the project and how these objectives were accomplished; d. A discussion of the amount awarded and how the funds have been used. II e. Any findings, conclusions, or recommendations for follow-up or ongoing activities that might result from successful 'l completion of the project; f. A statement, if applicable, of future intent of public and/or private support to maintain or further develop the project; g. A consolidated list of subcontractors, funded by the grant (in whole or in part) . Include the name, address, concise li statement of work done, time period, and value of each; h. A summary of project(s) successes. Provide measurable results such as tons of litter collected, pounds of each beverage container type recycled, number of littering cita- IC tions issued, etc. ; and i. A request for final payment should be submitted with the Final Report Review comments shall be prepared and transmitted by the State to the Grantee within Fourteen (14) working days of receipt of the draft version of the Final Report. After incorporation of revisions of State submitted comments, the Grantee shall submit to the Grant Manager one camera ready copy plus five (5) copies of the Final Report no later than fifteen (15) days prior to the Agreement termination date. H The State reserves the right to use and reproduce all reports and data produced and delivered pursuant to this Agreement, and reserves the right to authorize others to use or reproduce such materials. 1 8 1111 i • DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING CITY OF REDDING GRANT NUMBER 5090-121 Failure to comply with the reportina requirements specified above may result in termination of this Agreement or suspension of anv or all outstanding payment requests until such a time as the Grantee has satisfactorily completed the reporting provisions. Travel: Travel by private or grantee owned automobile, necessary to the performance of this agreement, shall be reimbursed at 24.0 cents per mile. Insurances: The Grantee shall obtain, and keep in force for the term of this Agreement, and require its subcontractors to obtain and keep in force, the following insurance policies which cover any acts or omissions of the Grantee, or its employees engaged in the provision of service specified in this Agreement: a. Comprehensive personal injury liability insurance, including coverage for owned, hired and non-owned automobiles. b. Comprehensive property damage liability insurance, including coverage for owned, hired and non-owned automobiles. The Grantee shall name the Department of Conservation, Division of Recycling as an additional insured party for all insurances required and is responsible for guaranteeing that a copy of each Certificate of Insurance issued is submitted to the Division within thirty (30) days of grant signature. The Grantee shall notify the Division prior to any insurance policy cancellation or substantial change of policy. pischarge of Grant Obligations: The Grantee's obligations under this Agreement shall be deemed discharged only upon acceptance of the Final Report by the Division. If requested, the Grantee shall make an oral presentation to the Division of Recycling. In the event the Grantee is a public agency, the local governing body shall accept the Final Report prior to its submission to the Division. Nondiscrimination Clause: During the performance of this grant, the grantee and its subcontractor(s) shall comply with the provisions of the California Fair Employment and Housing Act (Government Code, Section 12900 et seq. ) , the regulation promulgated thereunder (California Administrative code, Title 2, Section 7285.0 et seq. ) , the provisions of Article 9.5, Chapter 1, Division 3, Title 2 of the Government Code (Government Code, Sections 11135-11139.5) and the regulations or standards adopted by the awarding State agency to implement such article. 9 111 !1 II Nli410 DEPARTMENT OF CONSERVATION - DIVISION OF RECYCLING CITY OF REDDING GRANT NUMBER 5090-121 Grantee and its subcontractor(s) shall give written notice of their obligations under this clause to labor organizations with which they have a collective bargaining or other agreement. Grantee shall include the nondiscrimination and compliance provisions of this clause in all subcontracts to perform work under the grant. Grantees National Labor Relations Certification: The Grantee, by signing this Agreement, does swear under penalty of perjury that no more than one final unappealable finding of contempt of court by a Federal court has been issued against the Grantee within the immediately preceding two-year period because of the Grantee's failure to comply with an order of a Federal court which orders the Grantee to comply with an order of the National Labor Relations Board. The Grantee, City of Redding, will develop and implement a pilot residential curbside recycling program in the City of .i Redding. The City of Redding will provide service to 2,500 homes, which is 10 percent of Redding's households, including multifamily units. 2. The Grantee will use the curbside basket method of source separation. Each residence in the pilot neighborhoods will receive a set of three brightly colored recycling baskets: one for aluminum and PET beverage containers, one for glass beverage containers, and one for newspaper. Residents will be asked to place their baskets on the curbside for recycling the same days a their solid waste collection. 3. Curbside recyclables will be collected by a sanitation crewman driving a pickup truck with a fifth wheel trailer equipped with separate bins for material segregation. 4 . The Grantee will develop and provide on-going promotional materials regarding the curbside program to all residents in the service area to encourage resident participation. 5. The Grantee will develop a brochure explaining the pilot project. The brochure will explain the importance of recycling, how to use the bins, and when to set the bins on the curbside for collection. The brochure will include a cut out portion that residents can fill out and return to Solid Waste Division, if they are interested in volunteering as a neighborhood recycling coordinator. 6. A week before the recycling bins are delivered, the Grantee will provide the residents in the pilot areas a letter introducing the pilot project. 7. The Grantee will provide the residents in the pilot areas a second letter 45 days later reiterating the importance of the pilot project. II 8. The Grantee will issue updated brochures to provide further promotions in the pilot neighborhoods. These flyers will be distributed by neighborhood volunteers and sanitation crewmen collecting the route. 9. The Grantee will develop and distribute promotional refrigerator magnets, note pads, and automobile litter bags produced with the project's logo and slogan. 10. The Grantee will seek out media coverage on local television and radio broadcasts, as well as newspapers. i , 11. The Grantee will produce a seven-minute video and a 30- second public service announcement regarding curbside recycling and source separation. 12. A speakers bureau will be initiated to provide interested groups and businesses with informative presentations on curbside recycling, composting, and source reduction. 13 . The Grantee will target the elementary schools within the pilot neighborhoods for education efforts. The primary focus will be assembly meetings with second through sixth grade youngsters. ii 14. All monies generated through this project are to be used for additional recycling activities and/or continuation of this project. 15. The Grantee will monitor the success of the program through the following sources: a. Volume of recyclable materials collected; b. Savings in tipping fees and landfill space; c. Daily work records. Reports will be generated on hours of work, locations covered, work accomplished and service requests; d. Community response and support of the overall program; and e. Future expansion of the program. This will include, but not be limited to, press releases, fliers, and evaluation forms. Final copies of all materials will be submitted with the monthly reports. All materials designed, reproduced, and/or distributed under this Grant Agreement must contain a statement acknowledging funding by i the California Department of Conservation, Division of Recycling. i' The Grantee will ensure that funding received for this project through this Grant Agreement will be acknowledged in any resulting publicity. The Grantee will provide to the Grant Manager in the Final Report the following: l a. A report on the increase in the amounts and types of materials collected and recycled as a result of this project; b. A report on the impact of publicity on recycling; c. A detailed report of the projects' effectiveness and the feasibility for continued operation; , d. Data on the volume by weight of the amount of recyclables collected for each material type (i.e. , glass, aluminum) ; 1' e. A discussion of any problems and/or concerns that may arise during the course of this project, and the correction actions taken; f. Data from the impact of the program on the children's attitudes and behaviors regarding recycling and in litter g; g. Slide documentation of the effectiveness of this project; I'' h.
