A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING (1)
AUTHORIZING CH2M HILL CALIFORNIA, INC. TO PROVIDE
SUPPLEMENTAL ENGINEERING CONSTRUCTION SERVICES FOR THE
STILLWATER REGIONAL WASTEWATER TREATMENT PLANT, AS SET FORTH
IN "ATTACHMENT D" TO THE CH2M HILL STANDARD AGREEMENT FOR
PROFESSIONAL SERVICES ADOPTED BY CITY COUNCIL ON OCTOBER 20 ,
1987 , RESOLUTION NO. 87-322 ; AND (2) AUTHORIZING THE MAYOR
TO EXECUTE SAID "ATTACHMENT D" ON BEHALF OF THE CITY OF
REDDING.
WHEREAS, on October 20 , 1987 , by Resolution No. 87-322 , City
Council approved the CM2M Hill Standard Agreement for
Professional Services for the Project generally described as the
Regional Wastewater Treatment Plant and the Shasta View Pump
Station; and
WHEREAS , on June 7 , 1988 , by Resolution No. 88-208 , City
Council adopted the Preliminary Design Report for the Stillwater
Regional Wastewater Facilities, Volume 1--Summary, prepared for
the City of Redding by CH2M Hill in association with PACE
Engineering; and
WHEREAS , it is the recommendation of the Public Works
Department that the City enter into an agreement with CH2M Hill
California, Inc . to provide supplemental engineering construction
services for the Stillwater Regional Wastewater Treatment Plant
in the amount of $366 , 000 . , with a contingency fund of $30 ,000 ;
and

WHEREAS , such an agreement is set forth in "Attachment D"
attached hereto and incorporated herein by reference; and
WHEREAS , said "Attachment D" if approved, will form part of
the CH2M Hill Standard Agreement for Professional Services
approved by Council on October 20 , 1987 , by Resolution No.
87-322 ; and
WHEREAS , it is deemed to be in the best interests of the
City of Redding to enter into said agreement with CH2M Hill
California, Inc . ;
NOW, THEREFORE, IT IS HEREBY RESOLVED by the City Council of
the City of. Redding as follows :
1 . That the above recitals are true and correct.
2 . That the City Council of the City of Redding hereby
approves "Attachment D" attached hereto and incorporated herein
by reference, to become a part of the CH2M Hill Standard
Agreement for Professional Services approved by City Council on
October 20 , 1987 , by Resolution No. 87-322 .
3 . That the appropriation of. $396 ,000 for said agreement
($366 , 000) and potential change orders ($30 ,000) is covered by a
concurrent Resolution approving and adopting the 42nd Amendment
to the City Budget Resolution No. 89-286 .
4 . That the Mayor of the City of Redding is hereby
authorized and directed to sign said "Attachment D" on behalf of
the City of Redding.

5 . And that the City Clerk is hereby authorized and
directed to attest the signature of the Mayor and to impress the
official seal of the City of Redding on the aforesaid "Attachment
D. "

ATTACHMENT D
Attachment D to the AGREEMENT between CH2M HILL CALIFORNIA,
INC., (the "ENGINEER") and the CITY OF REDDING (the "OWNER") for a
PROJECT generally described as:
Stillwater Regional Wastewater Treatment Plant
By signing this Attachment, the OWNER and ENGINEER agree that the
following provisions, changes, and modifications are made a part of the
AGREEMENT:
ARTICLE 5--OBLIGATIONS OF THE OWNER
Add the following paragraph:
M. Engineering Subcontractor
PACE Engineering will be a subcontractor to the ENGINEER and will
be responsible to the ENGINEER for certain elements of submittal
review and specialty inspection. Responsibilities and considerations of
the OWNER to the ENGINEER shall also include PACE Engineering.
ARTICLE 7--ATTACHMENTS, SCHEDULES, AND SIGNATURES
Add the following: Attachment D shall be made a part of this
AGREEMENT.
ATTACHMENT D--SCOPE OF SERVICES
Add the following: ENGINEER agrees to furnish OWNER the following spe-
cific services:
The engineering services to be provided generally consist of services during
construction for the Stillwater Regional Wastewater Treatment Plant
(hereinafter referred to as the "PROJECT"). The engineering services are to
be provided only at the request of the OWNER and are in the form of
assistance to the OWNER's Project Manager who has responsibility for
monitoring construction progress and ensuring that the work is performed in
accordance with the intent of the Contract Documents. The services to be
provided are categorized into the following elements:

2. Other Office Support Services
3. Drafting of Record Drawings
4. Operations Manual
5. Startup Assistance and Training
6. Specialty Inspection
Task 1--Submittal Review
1. Assist in review of shop drawings, diagrams, illustrations, catalog data,
schedules and samples, the results of tests and inspections, and other
data that the Contractor is required to submit for conformance with the
design concept of the project and compliance with the information
given in the Contract Documents.
2. Assist in the review of Contractor-supplied maintenance manuals and
maintenance summaries.
Task 2--Other Office Support Services
1. Attend and advise at a preconstruction conference following the
execution of the construction contract.
2. Selected members of the design team will make periodic visits to the
site of the project to observe the progress and quality of the work when
requested by the OWNER's Project Manager. Any visits to the site
that involve payment under this contract shall be prior approved by the
OWNER's Project Manager.
3. Prepare office-initiated change orders and assist the onsite staff in
negotiating with the Contractor.
4. Advise the OWNER on Contractor-initiated change orders.
5. Review the results of testing laboratories and assist the onsite field per-
sonnel in responding to such test results.
6. Advise the OWNER on the Contractor's methods of material and
equipment shipment handling, storage, and protection.
7. Advise the OWNER on the Contractor's schedule for manufacturer's
services.

8. Advise the OWNER on contract interpretation.
9. Assist and advise the onsite staff in functional and performance testing
of equipment and facilities. Upon completion of operable units, witness
operating or performance testing and report findings to the OWNER
and Contractor.
10. Upon completion of construction, observe work and assist in preparation
of a report of deficiencies.
11. Advise the OWNER on administration of contract closeout.
Task 3--Drafting of Record Drawings
1. Assist the OWNER in the preparation of one (1) complete set of
reproducible record drawings for the work as it is finally constructed,
using information supplied by the Contractor and the OWNER's field
personnel. The OWNER shall be responsible for the accuracy of the
information furnished to the ENGINEER for incorporating into the
record drawings.
Task 4--Operations Manual
1. The ENGINEER will assist the OWNER in the preparation of an
operations manual near the completion of the work. The operations
manual will explain the various modes of operation that may be
possible, including, but not limited to, both normal operation and
emergency operation procedures. The manual will explain the purpose
and theory of the process. It will include instructions for each
subprocess operation and shall contain instructions for test or laboratory
procedures that may be required to monitor the performance. The
OWNER will be furnished with eight (8) copies of the operations
manual in three ring binders.
Task 5—Startup Assistance and Training
1. Provide assistance to train OWNER's personnel for operation and main-
tenance of the new facilities for a period not to exceed an aggregate
total of ten (10) person-days.
2. Furnish an operations specialist and other personnel required for assis-
tance in plant startup and initial plant operation for a period not to
exceed an aggregate total of twenty (20) person-days.

Task 6--Specialty Inspectors
1. Provide a specialty inspector to assist OWNER's inspector on the
inspection of major structures and related work. The OWNER will
furnish the specialty inspector with office space within their
construction offices. The supervision and scheduling of the specialty
inspector shall be the responsibility of the OWNER's Project Manager.
The OWNER shall accept complete responsibility for the errors,
omissions and negligence of the inspector while he is under their
supervision and control.
ATTACHMENT B--COMPENSATION AND TERMS AND PAYMENTS
Add the following:
It is agreed that for Services During Construction, Tasks 1 through 5,
as enumerated in ATTACHMENT D, the OWNER shall pay the
ENGINEER's salary cost multiplied by a factor of 2.2, plus Direct
Expenses, plus a service charge of 10 percent of Direct Expenses, plus
applicable sales, use value added, business transfer, gross receipts, or
other similar taxes.
It is agreed that for Services During Construction, Task 6, as
enumerated in ATTACHMENT D, the OWNER shall pay the
ENGINEER's salary cost multiplied by a factor of 2.0, plus Direct
Expenses, plus a service charge of 10 percent of Direct Expenses, plus
applicable sales, use value added, business transfer, gross receipts, or
other similar taxes.
ENGINEER shall provide said Services During Construction only when
specifically directed by the OWNER. No payment shall be made to
ENGINEER for said services which have not been specifically requested
by the OWNER's Project Manager.
The amount of $365,917 is hereby added to the contract to compensate
tlx ENGINEER for the work of Tasks 1 through 6, inclusive, as
outlined in ATTACHMENT D and estimated in Table 1, attached. The
estimated of level of effort for each task was established by the
OWNER with consideration for its overall budget and the work it will
perform with its own staff. The ENGINEER is not obligated to incur
costs beyond the amounts indicated for each task. If a task cost ceiling
is reached and the task is incomplete or the OWNER requires additional
assistance, the OWNER may authorize an increase in the ENGINEER's

fee to complete the work, or the OWNER may perform the remaining
work with its own staff. The ENGINEER shall not exceed the cost
ceiling for each task without written approval of the OWNER.
When any budget has been increased, the ENGINEER's excess costs
expended prior to such increase will be allowable to the same extent as
if such costs had been incurred after the approved increase.
This ATTACHMENT D supersedes all prior written and oral under-
standings of the Scope of Work and Compensation and Terms of
Payment for Services During Construction and may only be changed by
a written amendment executed by both parties.
