RESOLUTION NO. 9/2r4-U A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING THE MEMBERS ' AGREEMENT DATED JANUARY 1 , 1990 , BETWEEN THE PARTICIPANTS OF THE NORTHERN CALIFORNIA POWER POOL, AND AUTHORIZING THE MAYOR TO SIGN. WHEREAS , the Study Members (herein Participants) of the Northern California Power Pool (herein NCPP) wish to coordinate resource planning designed to accomplish the mutual goals of the Participants; and WHEREAS, the NCPP Study Committee has recommended that Participants enter into an agreement to accomplish the mutual goals of the Participants, with the ultimate goal of establishing an organization that will be responsible for forming an integrated system of transmission facilities, arrangements, and future resource additions capable of meeting the Participants ' future needs; and WHEREAS , the Members ' Agreement dated January 1 , 1990 , attached hereto as Exhibit "A" and incorporated herein by reference sets forth the goals and agreements between the Participants of the Northern California Power Pool; and WHEREAS it is in the best interests of the City of Redding, one of the Participants in the Northern California Power Pool, to approve said Members ' Agreement; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Redding as follows : III 411 1 . That the foregoing recitals are true and correct. 2 . That the City Council of the City of Redding hereby approves the attached Members ' Agreement dated January 1 , 1990 , by and among the Participants of the Northern California Power Pool. 3 . That the Mayor of the City of Redding is hereby authorized and directed to sign said Agreement on behalf of the City of Redding, and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding thereto. HAYS, ty Attorney -2- • 411 EXECUTION COPY NORTHERN CALIFORNIA POWER POOL MEMBERS' AGREEMENT THIS AGREEMENT (herein the "Agreement") is entered into on this 1st day of January 1990 by and among the members (herein the "Participants") of the Northern California Power Pool (herein "NCPP") for the express purpose of providing coordinated resource planning designed to accomplish the mutual goals of the Participants as set forth below. The NCPP Study Committee has recommended that the Participants enter into this Agreement with the goal of ultimately establishing an organization which can provide for transmission facilities, arrangements, and future resource additions capable of meeting the Participants' future needs. RECITALS As a preamble to the Agreement, the Participants hereby establish and set forth the following list of general goals with the intent that such goals be incorporated into this Agreement as a summary of the Participants' mutual objectives: A. To establish a formal Northern California Power Pool organi— zation which will ultimately stand alone and be delegated the necessary authority by the Participants to accomplish the goals set forth herein. B. To have such an organization functioning as intended as early in the next decade (1990s) as practicable. C. To facilitate the development of economically attractive resource and transmission facilities, either by individual Participants or on behalf of some or all the Participants. D. To promote the acquisition of diversified cost—effective power resources and to enhance reliability of supply and quality of service. E. To promote the development, procurement, and/or contractual relationships necessary to provide adequate transmission for the Participants' pooled requirements. F. To facilitate development of contractual relationships that will enable bilateral and multilateral transactions among the Participants. —1— . • • G. To facilitate the ability of the Participants to enter into transactions with other interconnected utilities to enhance the economics of each Participant' s operations. H. To preserve the necessary levels of local control and autonomous operations and to assure that the Participants maintain the desired level and quality of service to their customers. AGREEMENT In consideration of the above mentioned goals, the Participants agree to the following provisions for coordinating resource and transmission planning: 1 . The Participants agree to share with one another their current resource plans, to discuss openly the assumptions behind those resource plans (which are not confidential or proprietary in nature) and to discuss the rationale for such plans, and the effects of revisions to such plans. Each Participant shall keep confidential any information received from another Participant which has been designated confidential . 2. The Participants agree to perform or contract for the technical services necessary to determine the "ideal" char— acteristics of a 1995 power pool . Such characteristics will include: A. "optimum" generation mix for meeting the Participants ' loads; B. methods of providing necessary generation support (e.g. , planning reserves, spinning reserves, emergency power); C. physical transmission system facilities required; D. contractual transmission paths required; and E. required levels and types of additional services and identification of potential suppliers. 3. The Participants agree to continue to develop more formal agreements among themselves, including contracts for bilateral and multilateral transactions. Furthermore, the participants agree to continue to explore methods of sharing the risks and benefits of stand—alone pool operations. 4. This Agreement shall take effect immediately upon execution by all the Participants. —2— 411 • 5. The NCPP Participants are: • Sacramento Municipal Utility District • Western Area Power Administration • Northern California Power Agency • Modesto Irrigation District • Turlock Irrigation District • City of Santa Clara • City of Redding 6. The Participants shall form an Executive Committee, a Planning Committee, and other committees or working groups as required by the Participants. The responsibility of these committees shall be consistent with this Agreement and approved by the Executive Committee. The responsibilities of working groups shall be consistent with this Agreement and approved by the Planning Committee or Executive Committee. 7. No Participant shall be financially obligated except under separate cost—sharing agreements. 8. This Agreement shall terminate on December 31 , 1994, or when— ever otherwise mutually agreed by all Participants. Any Participant may withdraw at any time upon delivery of written notice to all other participants. This letter Agreement may be executed in several counterparts, each of which shall be deemed to be an original and all of which, taken together, shall constitute a single Agreement.
