A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING THE LEASE BETWEEN THE CITY OF REDDING AND CALIFORNIA SAFETY COMPANY COMMENCING ON THE FIRST DAY OF THE MONTH FOLLOWING EXECUTION BY ALL PARTIES, AND TERMINATING JUNE 30, 1995, WITH PROVISION FOR A TWO-YEAR EXTENSION, AND AUTHORIZING EXECUTION ON BEHALF OF THE. CITY. IT IS HEREBY RESOLVED by the City Council of the City of Redding as follows: 1 . That the City Council of the City of Redding hereby approves the above-mentioned Lease between the City of Redding and California Safety Company for the alarm monitoring and maintenance of a City alarm system at a monthly cost of $3 ,243. 50, a true copy of which is attached hereto and incorporated herein by reference. 2 . That the Mayor of the City of Redding is hereby authorized and directed to sign said Lease on behalf of the City of Redding, and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding thereto. 3 . That the City Manager of the City of Redding is hereby authorized and directed to sign all future amendments or the two-year extension to said Lease, if any, on behalf of the City of Redding; and the City Clerk is hereby authorized and directed to attest the l signature of the City Manager and to impress the official seal of the City of Redding on said amendments, when appropriate. HAYS, Cit Attorney 2 ALARM SYSTEM LEASE THIS LEASE is made and entered into by and between the CITY OF REDDING, a Municipal Corporation and General Law City, hereinafter called "City," and the CALIFORNIA SAFETY COMPANY, Post Office Box 956, Redding, California 96099 , hereinafter called "Company" : W I T N E S S E T H: WHEREAS, City has been renting various alarm systems from Company for several years under a Lease dated June 12 , 1985; and WHEREAS, it is necessary at this time to enter into a new Lease with Contractor; and WHEREAS, it has been determined that this matter is categorically exempt from the provisions of the California Environmental Quality Act; NOW, THEREFORE, IT IS HEREBY AGREED by and between the parties hereto as follows: 1. Company agrees to rent to City, and City agrees to rent from Company, according to the procedures set forth in Exhibit A attached hereto and incorporated herein by reference, for a total sum of $3 ,243 . 50 per month, burglar, fire, specialized electro/mechanical alarm systems, and related equipment at the locations set forth in Exhibit "B" attached hereto and incorporated herein by reference, and as the same may be amended from time-to- time. 2. The Director of General Services of City shall have the authority to add or delete alarm equipment and/or services to City facilities as needed; and the monthly payment hereunder shall be amended accordingly to reflect the contracted amount for each location set forth in Exhibit B, as may be amended from time-to- time. 3 . The term of this Lease shall commence on the 1st day of the month following the date this Lease has been signed by all parties, and terminate on June 30 , 1995. 4 . Company has installed the alarm systems according to generally accepted alarm-industry standards, and City has paid its share of the cost of installation of said alarm systems. 5. Company agrees, as part of the rental. hereunder: (a) To make maintenance repairs, regardless of the time of day, as directed by the Director of General Services of City. (b) Fire alarms shall be tested and inspected monthly. Those alarms not activated on a daily basis ( i.e. , business offices) shall be checked on a daily basis via a self-testing feature. (c) To submit written reports of said tests and inspections to the Director of General Services of City. 6 . Company shall furnish to the Risk Manager of City Insurance Certificates showing that the Company has insurance coverage as set forth in Exhibit "C" attached hereto and incorporated herein by reference. 7 . Company shall retain title to all alarm equipment installed. 8. Any Company services not specified herein but resulting from damage to City' s premises by fire, flood, or otherwise, or by the remodeling of City' s premises or additions thereto, shall be performed by Company at City' s expense and shall be charged at the Company' s customary Special Service Rates as more particularly set forth in Exhibit "B" attached hereto. 9 . City shall pay all telephone lease-line charges or hookup charges occasioned by the installation of the alarm systems or any additions thereto. 10. City shall not disturb, remove, interfere with the aforesaid alarm systems, nor permit anyone else to do so. 11 . At the termination of this Lease, or upon removal of the alarm systems, Company shall not be responsible for patching screw holes, or any normal wall discolorations, or other minor damage occasioned by said removal, but shall be responsible for any 2 unusual or unreasonable damage caused by Company' s removal of the alarm equipment from City' s premises as determined by the Director of General Services of City. Company shall, at the City' s direction, remove the alarm system( s) in a timely manner. There shall be no charge by Company for the removal of the alarm equipment. If the alarm equipment is not removed within ninety ( 90) days after receipt of written notice from City to remove same, Company equipment not so removed from the City premises shall become the property of the City of Redding. 12. Company is not an insurer and does not guarantee against any loss or damage to City by reason of burglary, robbery, vandalism, or riot alleged to have arisen as a product of the failure of the system to transmit an alarm. 13 . The rental paid herein by City to Company is based solely on the value of the system installation as an alarm system and the cost of the services provided in the maintenance thereof . 14. Provided there are no changes in the terms of this Lease, at the end of its term the City Manager of City is hereby authorized to extend this Lease for an additional two-year term. If changes are to be made, any subsequent extensions of this Lease as modified shall be by mutual agreement and negotiations of the parties hereto and in writing. If the parties are engaged in negotiations for an extension of this Lease at the end of its term, until such time as the new Lease has been entered into, or the parties have determined to terminate this Lease and Company removes its alarm systems from the attached locations, this Lease shall continue on a month-to-month basis, without the right to extend for a further two-year term to and including June 30, 1997 . 15. This Lease may be terminated by either party by providing written notice thereof to the other party sixty ( 60) days in advance. 16. Any notices or demands that may be given by either party hereunder, including notice of default and notice of termination, shall be deemed to have been fully and properly given when made in 3 writing, enclosed in a sealed envelope and deposited in the United States Post Office, certified mail, postage prepaid, addressed as follows: To City c/o Director of General Services, 760 Parkview Avenue, Redding, California 96001-3396; and to Company at Post Office Box 956, Redding, California 96099. 17 . This Lease shall inure to the benefit of the successors and assigns of the parties hereto. IN WITNESS WHEREOF, the parties hereto have executed this Lease on the days and year set forth below. HAYS, City Attorney 4 EXHIBIT "A" ALARM MONITORING AND RADIO PROCEDURES FOR THE CITY OF REDDING Dispatchers will monitor system/s as designated by City officials. Monitoring will be on a 24-hour basis, or as designated by the Director of General Services of City. Each department shall provide the dispatchers with: a) An up-to-date listing of the pertinent individuals and vehicle numbers. b) An up-to-date telephone listing of pertinent individuals, facilities, and offices. c) A list of all City facilities with alarms that are to be monitored. The list shall include the name of each facility, its address/location, and the telephone/alarm line number. d) A list of pertinent individuals with pagers, their numbers, and how to contact them. e) A list of department heads and/or supervisors for dispatchers to contact for advice on procedures or to authorize changes in procedures. f) Any other data pertinent to the effective dispatching of personnel. Upon receiving an alarm, the dispatchers shall immediately notify the appropriate office or individual based on the previously-mentioned data provided by the various departments. Unless otherwise instructed by the department head or supervisor, the dispatchers will notify the appropriate office or individual of any alarm received, regardless of its duration. Dispatchers shall provide the location, time, and type of alarm, as well as the time the alarm resets. When contacting a unit by radio, the dispatcher shall first identify themselves ( i.e. , "Answering Service," or "California Safety" ) and then the unit or facility they wish to contact ( 602/216/Field Operations) . Upon completion of the communication, the dispatcher should end the transmission with "Answering Service" or "California Safety" - clear. 5 EXHIBIT A, CONTINUED: The dispatch center shall have the proper number of trained personnel on duty to provide effective and timely service under all circumstances. EVIDENCE OF MAINTENANCE REQUIRED. Contractor shall, at all times, maintain in full force and effect the insurance required by this section. Certificates of insurance and necessary endorsements evidencing required coverages or policies shall be filed with the Risk Management Office at least ten (10) days prior to the beginning of work. The Certificates shall provide that at least thirty ( 30) days' prior written notice of any material change in or cancellation of the coverages or policies shall be given to the City of Redding as certificate holder. B. QUALIFYING INSURERS. All required insurance policies shall be issued by companies which hold a current policy holder' s alphabetic and financial size category rating of not less than A:VII according to the most recent issue of Best' s Insurance Reports. C. INSURANCE REQUIRED. General liability, automobile liability ( if applicable) , and workers' compensation insurance shall be maintained as follows: 1. General Liability Insurance. Either ( a) comprehensive general or (b) commercial general liability: a. Comprehensive General Liability Insurance for bodily injury ( including death) , personal injury, and property damage which provides limits of at least one million ( $1,000,000) dollars combined- single limit per occurrence; OR b. Commercial General Liability Insurance for bodily injury (including death) , personal injury, and property damage which provides limits of at least one million ( $1,000,000) dollars general limit per occurrence and two million ( $2,000,000) dollars general-aggregate limit. 14 In either case, the comprehensive general or commercial general liability policies shall include coverage or endorsements for: a. Premises and operations; b. Contractual liability; C. Products/Completed Operations with limits of one million ( $1,000,000) dollars per occurrence/ aggregate. d. Independent contractors; and e. Personal injury liability. The personal injury endorsement shall not contain the so-called "a" ( liability assumed under the contract) or "c" ( suits brought by employees) exclusions. The comprehensive general or commercial general liability insurance shall also include the following endorsements, copies of which shall be provided: a. Inclusion of the City of Redding, its officers, agents, employees, and volunteers as additional insureds as respects services or operations under the contract. b. Cross liability and severability of interest clauses, providing that the insurance applies separately to each insured except with respect to the limits of liability. C. Stipulation that the insurance is primary insurance and that neither the City nor its insurers will be called upon to contribute to a loss. 2 . Comprehensive Automobile Liability ( if applicable) for bodily injury ( including death) and property damage which provides total limits of not less than five hundred thousand ( $500,000) dollars combined-single limits per occurrence, applicable to all owned, non-owned, and hired vehicles. 3 . Statutory Workers' Compensation and Employer' s Liability Insurance for all employees engaged in services or operations under the contract. The employer' s liability insurance shall provide limits of not less than one million ($1 ,000 ,000) dollars per occurrence. Both the Workers' Compensation and employer' s liability policies shall contain the Insurer' s waiver of subrogation in 15 favor of the City, its officers, agents, employees, and volunteers. D. CLAIMS-MADE COVERAGE. If general liability insurance is written on a "claims made" basis, the certificate of insurance must clearly so state, and the following additional information must be provided: 1 . Whether defense coverage is included in the policy limit (yes or no) ; 2. All aggregate limitations , including i) General aggregate, and ii) Products/Completed Operations Aggregate; 3 . The retroactive date; 4. The length of time for extended reporting period; 5 . Any limitations on invoking the reporting period (other than nonpayment) ; and 6. Whether a "Notice of Circumstances" is allowed (yes or no) . E. OTHER INSURANCE PROVISIONS. 1 . The requirements of these Standard Specifications as to types and limits of insurance coverage to be maintained by the Contractor, and any approval of insurance by the City, are not intended to and shall not in any manner limit or qualify the liabilities and obligations otherwise assumed by the Contractor pursuant to the contract, including, but not limited to, the provisions concerning indemnifications, nor preclude the City from taking any other action available to it under any other provisions of the contract or law. 2 . The City acknowledges that some insurance requirements contained in these Standard Specifications may be fulfilled by self-insurance or other combinations of insurance on the part of the Contractor. However, this shall not in any way limit liabilities assumed by Contractor under the contract. Any self-insurance or other combinations of insurance must be approved in writing by the Risk Manager of City, at the City' s sole discretion. 16 3 .
