RESOLUTION NO. <<-I
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
AUTHORIZING THE EXPENDITURE OF UP TO $40,000 FOR
NATURAL GAS RELATED LEGAL ASSISTANCE FROM NORMAN A.
PEDERSEN OF THE LAW FIRM OF JONES, DAY, REAVIS & POGUE.
WHEREAS, with the City' s recent acquisition of resources
that will utilize natural gas to produce electricity, the
Electric Department anticipates that periodic legal assistance
will be required to facilitate the acquisition and transportation
of natural gas to the Redding Power site; and
WHEREAS, at this time the Electric Department requires
specific near-term assistance for matters associated with the
upgrading. of the PGandE local pipeline system, inasmuch as the
Redding Power site will basically double PGandE' s gas
requirements in the Redding Area; and
WHEREAS, additional legal counsel will also be needed to
protect the City' s interests in several miscellaneous natural gas
matters before the Federal Energy Regulatory Commission (FERC)
and the California Public Utilities Commission (CPUC) ; and
WHEREAS, over the past several years the Electric Department
has utilized the services of Norman A. Pedersen, an attorney in
the law firm of Jones, Day, Reavis & Pogue in Washington, D.C. ,
for legal support on many matters associated with the City' s FERC
licensing efforts; and
WHEREAS, Mr. Pedersen' s practice also encompasses the
natural gas industry, as set forth in the accompanying Report to
City Council; and
WHEREAS, at staff ' s request, Mr. Pedersen has forwarded a
proposal letter [attached to Report to City Council] to provide
assistance and/or legal advice on an as-requested basis in the
following areas:
1. Negotiations with PGandE;
2. Future gas supply and transportation arrangements; and

3 . FERC and CPUC regulatory matters relevant to Redding;
and
WHEREAS, since Mr. Pedersen is already involved in all
aspects of acquiring and transporting natural gas for consumption
by municipal electric utilities, and since he is familiar with
the City' s Electric Utility, it is staff ' s opinion that there
would be no "start-up" time in being of service to Redding; and
WHEREAS, the Electric Department and the City Attorney
recommend that City Council authorize the expenditure of up to
$40, 000 for natural gas related legal assistance from Mr.
Pedersen on an as-requested basis;
IT IS, THEREFORE, RESOLVED that the City Council of the City
of Redding hereby authorizes the Finance Department to carry out
the expenditure of up to $40, 000 for natural gas related legal
assistance, on an as-requested basis, from Norman A. Pedersen of
the law firm of Jones, Day, Reavis & Pogue in Washington, D.C. ,
upon approval of Mr. Pedersen' s invoices by the City Attorney.
Billings for this request are to be charged to Job Order No.
9146-37 .
I HEREBY CERTIFY that the foregoing Resolution was
introduced and read at a regular meeting of the City Council of
the City of Redding on the 7th day of April , 1992, and was duly
adopted at said meeting by the following vote:
