A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING AND AUTHORIZING THE' CITY MANAGER TO SIGN THE
CH2M HILL STANDARD AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN THE CITY OF REDDING AND CH2M HILL CALIFORNIA,
INC. FOR PRELIMINARY DESIGN OF THE PARALLEL WESTSIDE
AND EASTSIDE SANITARY SEWER INTERCEPTORS; AND
AUTHORIZING THE APPROPRIATION OF THE FUNDING SET FORTH
BELOW.
IT IS HEREBY RESOLVED by the City Council of the City of
Redding as follows:
1 . City Council hereby approves the CH2M Hill Standard
Agreement for Professional Services for preliminary design of the
Parallel Eastside and Westside Sewer Interceptors, being a "not
to exceed" cost plus fixed fee contract in the total amount of
$314,939.00, consisting of $283,326.00 in costs and a fixed fee
of $31,613 . 00 .
2. City Council also approves appropriating an additional
$40, 000. 00 to cover the cost of contingencies, and $25,061.00 for
staff engineering and potential condemnation-related costs.
3 . The City Manager of the City of Redding is hereby
authorized and directed to sign the above Agreement and any
potential Contract Modifications (Change Orders) on behalf of the
City Council of the City of Redding, not to exceed the amounts

set forth above. ,N
4. The City Clerk is hereby authorized and directed to
attest the signature of the City Manager and to impress the
official seal of the City of Redding to the necessary
documentation.
I HEREBY CERTIFY that the foregoing Resolution was

FOR
PROFESSIONAL SERVICES
This AGREEMENT is between CH2M HILL CALIFORNIA, INC. (the
"ENGINEER") and CITY OF REDDING (the "OWNER") for a PROJECT generally
described as:
Parallel Westside and Eastside Sanitary Sewer Interceptors
ARTICLE 1--SCOPE OF SERVICES
The Scope of Services is set forth in Attachment A.
ARTICLES 2 AND 3--COMPENSATION AND TERMS OF PAYMENT
ENGINEER's compensation and terms of payment are set forth in Attachment B.
ARTICLE 4--OBLIGATIONS OF THE ENGINEER
Amendments to ARTICLE 4, if any, are included in Attachment C.
A. STANDARD OF CARE
The standard of care applicable to ENGINEER's services will be the degree of skill
and diligence normally employed by professional engineers or consultants performing
the same or similar services. The ENGINEER will reperform any services not meeting
this standard without additional compensation.
B. SUBSURFACE INVESTIGATIONS
In soils, foundation, groundwater, and other subsurface investigations, the actual
characteristics may vary significantly between successive test points and sample intervals
and at locations other than where observations, explorations, and investigations have
been made. Because of the inherent uncertainties in subsurface evaluations, changed
or unanticipated underground conditions may occur that could affect total PROJECT
cost and/or execution. These conditions and cost/execution effects are not the
responsibility of the ENGINEER.

C. ENGINEER'S PERSONNEL AT CONSTRUCTION SITE '
The presence or duties of the ENGINEER's personnel at a construction site, whether
as onsite representatives or otherwise, do not make the ENGINEER or its personnel in
any way responsible for those duties that belong to the OWNER and/or the con-
struction contractors or other entities, and do not relieve the construction contractors
or any other entity of their obligations, duties, and responsibilities, including, but not
limited to, all construction methods, means, techniques, sequences, and procedures
necessary for coordinating and completing all portions of the construction work in
accordance with the Contract Documents and any health or safety precautions required
by such construction work. The ENGINEER and its personnel have no authority to
exercise any control over any construction contractor or other entity or their employees
in connection with their work or any health or safety precautions and have no duty for
inspecting, noting, observing, correcting, or reporting on health or safety deficiencies of
the construction contractor or other entity or any other persons at the site except
ENGINEER's own personnel.
D. OPINIONS OF COST, FINANCIAL CONSIDERATIONS, AND SCHEDULES
In providing opinions of costs, financial analyses, economic feasibility projections, and
schedules for the PROJECT, the ENGINEER has no control over cost or price of
labor and materials; unknown or latent conditions of existing equipment or structures
that may affect operation or maintenance costs; competitive bidding procedures and
market conditions; time or quality of performance by third parties; quality, type,
management, or direction of operating personnel; and other economic and operational
factors that may materially affect the ultimate PROJECT cost or schedule. Therefore,
the ENGINEER makes no warranty that the OWNER'S actual PROJECT costs,
financial aspects, economic feasibility or schedules will not vary from the ENGINEER's
opinions, analyses, projections, or estimates. When the OWNER requires the
ENGINEER to prepare quantity and material take-offs and/or opinions of cost from
plans and specifications that are less than 100 percent complete, the OWNER will hold
the ENGINEER harmless from any and all loss, liability, or claims resulting from the
incompleteness.
E. CONSTRUCTION PROGRESS PAYMENTS
Recommendations by the ENGINEER to the OWNER for periodic construction
progress payments to the construction contractor will be based on the ENGINEER's
knowledge, information, and belief from selective sampling that the work has pro-
gressed to the point indicated. Such recommendations do not represent that
continuous or detailed examinations have been made by the ENGINEER to ascertain
that the construction contractor has completed the work in exact accordance with the
contract documents; that the final work will be acceptable in all respects; that the
ENGINEER has made an examination to ascertain how or for what purpose the
construction contractor has used the moneys paid; that title to any of the work,
materials, or equipment has passed to OWNER free and clear of liens, claims, security

interests, or encumbrances; or, that there are not other matters at issue between
OWNER and the construction contractor that affect the amount that should be paid.
F. RECORD DRAWINGS
Record drawings, if required, will be prepared, in part, on the basis of information
compiled and furnished by others, and may not always represent the exact location,
type of various components, or exact manner in which the PROJECT was finally
constructed. The ENGINEER is not responsible for any errors or omissions in the
information from others that is incorporated into the record drawings.
G. MINORITY- AND WOMEN-OWNED BUSINESS; OWNER-SPECIFIED
SUBCONTRACTORS
ENGINEER will comply with OWNER's directives in utilizing the services of OWNER-
SPECIFIED subcontractors and/or minority- and women-owned businesses on the
PROJECT. Firms selected by the ENGINEER to meet said directives will be subject
to approval of the OWNER.
ENGINEER's liability arising from the work of said subcontractors or businesses is
limited to proceeds available from their insurance.
H. ACCESS TO ENGINEER'S ACCOUNTING RECORDS
The ENGINEER will maintain accounting records, in accordance with generally
accepted accounting principles and practices, to substantiate all invoiced amounts. Said
records will be available to OWNER during ENGINEER's normal business hours for a
period of 1 year after ENGINEER's final invoice for examination to the extent
required to verify the direct costs (excluding established or standard allowances and
rates) incurred hereunder. The OWNER may only audit accounting records applicable
to a cost-reimbursable type compensation.
I. ENGINEER'S INSURANCE
The ENGINEER will maintain throughout this AGREEMENT the following insurance:
a. Worker's compensation and employer's liability insurance as required by
the state or province where the work is performed.
b. Comprehensive automobile and vehicle liability insurance covering claims
for injuries to members of the public and/or damages to property of
others arising from use of motor vehicles, including onsite and offsite
operations, and owned, nonowned, or hired vehicles, with $1,000,000
combined single limits.

C. Commercial general liability insurance covering claims for injuries to
members of the public or damage to property of others arising out of any
covered negligent act or omission of the ENGINEER or of any of its
employees, agents, or subcontractors, with $1,000,000 combined single
limits, and $2,000,000 general aggregate limit.
d. Professional liability insurance of $250,000.
e. OWNER will be named as an additional insured with respect to
ENGINEER's liabilities hereunder in insurance coverages identified in
Items "b" and "c", and ENGINEER waives subrogation against OWNER
as to said policies.
ARTICLE 5--OBLIGATIONS OF THE OWNER
Amendments to Article 5, if any, are included in Attachment C.
A. OWNER-FURNISHED DATA
The OWNER will provide to the ENGINEER all technical data in the OWNER's
possession, including, but not limited to, previous reports, maps, surveys, borings, and
all other information relating to the ENGINEER's services on the PROJECT.
ENGINEER will reasonably rely upon the accuracy, timeliness, and completeness of
the information provided by the OWNER.
B. ACCESS TO FACILITIES AND PROPERTY
The OWNER will make its facilities accessible to ENGINEER as required for
ENGINEER's performance of its services and will provide labor and safety equipment
as required by ENGINEER for such access. OWNER will perform at no cost to
ENGINEER such test of equipment, machinery, pipelines, and other components to
the OWNER's facilities as may be required in connection with ENGINEER's services,
unless otherwise agreed to. OWNER will be responsible for all acts of OWNER's
personnel.
C. ADVERTISEMENTS, PERMITS, AND ACCESS
Unless otherwise agreed to in the Scope of Services, the OWNER will obtain, arrange,
and pay for all advertisements for bids; permits and licenses required by local, state,
province, or federal authorities; and land, easements, rights-of-way, and access
necessary for the ENGINEER's services or PROJECT construction.

D. TIMELY REVIEW
The OWNER will examine the ENGINEER's studies, reports, sketches, drawings,
specifications, proposals, and other documents; obtain advice of any attorney, insurance
counselor, accountant, auditor, and other consultants as OWNER deems appropriate;
and render in writing decisions required of OWNER in a timely manner.
E. PROMPT NOTICE
The OWNER will give prompt written notice to ENGINEER whenever OWNER
observes or becomes aware of any development that affects the scope or timing of
ENGINEER's services, or any defect in the work of the ENGINEER or construction
contractors.
F. ASBESTOS OR HAZARDOUS SUBSTANCES AND INDEMNIFICATION
If asbestos or hazardous substances in any form are encountered or suspected, the
ENGINEER will stop its own work in the affected portions of the PROJECT to permit
testing and evaluation of the problem. If asbestos is suspected, the ENGINEER will, if
requested, assist the OWNER in contacting regulatory agencies and in identifying
asbestos testing laboratories and demolition/removal contractors or consultants. If
asbestos is confirmed, the OWNER will engage a specialty consultant or contractor to
study the affected portions of the work and perform all remedial measures.
If hazardous substances other than asbestos are suspected, the ENGINEER will
conduct tests to determine the extent of the problem and will perform the necessary
studies and recommend the necessary remedial measures at an additional fee to be
negotiated.
G. CONTRACTOR INDEMNIFICATION
OWNER agrees to include the provisions of ARTICLE 4C, ENGINEER'S
PERSONNEL AT CONSTRUCTION SITE, and the following paragraph in all con-
struction contracts associated with this PROJECT:
To the maximum extent permitted by law, the construction contractor will
indemnify and defend OWNER and ENGINEER and their officers, employees,
agents, and subcontractors, from all claims and losses, including attorney's fees
and litigation costs, arising out of property losses or health, safety, personal
injury, or death claims by construction contractors, their subcontractors of any
tier, and their employees, agents, or invitees regardless of the fault, breach of
contract, or negligence of OWNER or ENGINEER, excepting only such claims
or losses that have been adjudicated to have been caused solely by the
negligence of OWNER or ENGINEER and regardless of whether or not the
construction contractor is or can be named a party in a litigation. The
construction contractor will carry comprehensive general liability insurance

naming OWNER and ENGINEER as additional insureds and including a
contractual liability clause or endorsement covering the construction contractor's
indemnity of OWNER and ENGINEER, and will provide OWNER and
ENGINEER with a certificate of insurance showing compliance with the
requirements of this paragraph prior to commencement of work.
H. EXCLUSION OF CONTRACTOR CLAIMS
OWNER agrees to include in all contracts with construction contractors and equipment
or material suppliers an exclusion of those parties' right to make direct claims against
the ENGINEER in the following form:
In performing its obligations for the OWNER, the ENGINEER and its consul-
tants may cause expense for the contractor or its subcontractors and equipment
or material suppliers. However, those parties and their sureties shall maintain
no direct action against the ENGINEER, its officers, employees, agents, and
subcontractors, for any claim arising out of, in connection with, or resulting from
the engineering services performed or required to be performed. Only the
OWNER will be the beneficiary of any undertaking by the ENGINEER, its
officers, employees, agents, and subcontractors.
I. OWNER'S INSURANCE
a. OWNER will endeavor to provide for a waiver of subrogation as to all
OWNER-carried insurance, during construction and thereafter, in favor
of ENGINEER, its officers, employees, agents, and subcontractors, and
will endeavor to obtain similar waivers from OWNER's other contractors
and their lower tier subcontractors. OWNER will provide ENGINEER
copies of such waivers.
b. OWNER will have the construction contractor provide a Builders Risk
All Risk insurance policy for the full replacement value of all physical
facilities associated with the ENGINEER's services. Such policy will
include coverage for defects in materials and workmanship and errors in
design, and will provide a waiver of subrogation as to the ENGINEER
and the construction contractor, and their respective officers, employees,
agents, and subcontractors. OWNER will provide ENGINEER a copy of
such policy.
J. LITIGATION ASSISTANCE
The Scope of Services does not include cost of the ENGINEER for required or
requested assistance to support, prepare, document, bring, defend, or assist in litigation
undertaken or defended by the OWNER. All such services required or requested of
the ENGINEER, except for suits or claims between the parties to this AGREEMENT,
will be reimbursed as mutually agreed, and payment for such services shall be in

accordance with ARTICLE 3, unless and until there is a finding by a court or arbitrator
that ENGINEER's sole negligence caused OWNER's damage.
K. CHANGES
The OWNER may make or approve changes within the general scope of services in
this AGREEMENT. If such changes affect the ENGINEER's cost of or time required
for performance of the services, an equitable adjustment will be made through a
written amendment to this AGREEMENT.
L. SERVICES OF ENGINEER
Unless this AGREEMENT is modified or terminated, the OWNER will have all
services specified in this AGREEMENT performed by the ENGINEER, employing
ENGINEER's standard form and content of drawings, specifications, and contract
documents. Any item in the nature of maps, drawings, specifications, etc., which are
provided to OWNER under this AGREEMENT shall become the property of
OWNER.
ARTICLE 6--GENERAL LEGAL PROVISIONS
Amendments to Article 6, if any, are included in Attachment C.
A. AUTHORIZATION TO PROCEED
Execution of this AGREEMENT by the OWNER will be authorization for CH2M
HILL to proceed with the work, unless otherwise provided for in this AGREEMENT.
B. REUSE OF PROJECT DOCUMENTS
All designs, drawings, specifications, documents, and other work products of the
ENGINEER are instruments of service for this PROJECT, whether the PROJECT is
completed or not. Reuse by the OWNER or by others acting through or on behalf of
the OWNER of any such instruments of service without the written permission of the
ENGINEER will be at the OWNER's sole risk. The OWNER agrees to indemnify and
defend the ENGINEER from all claims, damages, losses, and expenses, including, but
not limited to, direct, indirect, or consequential damages and attorney's fees arising out
of or related to such unauthorized reuse.

C. FORCE MAJEURE '
The ENGINEER is not responsible for damages or delay in performance caused by
acts of God, strikes, lockouts, accidents, or other events beyond the control of the
ENGINEER.
D. TERMINATION
This AGREEMENT may be terminated for convenience on 30 days' written notice, or
for cause if either party fails substantially to perform through no fault of the other and
does not commence correction of such nonperformance within 5 days of written notice
and diligently complete the correction thereafter.
On termination, ENGINEER will be paid for all authorized work performed up to the
termination date plus termination expenses, such as, but not limited to, reassignment of
personnel, subcontract termination costs, and related closeout costs. On termination,
ENGINEER shall turn over to OWNER all items of work for which ENGINEER
received payment that are in the nature of, but not limited to, maps, drawings,
calculations, etc.
E. SUSPENSION, DELAY, OR INTERRUPTION OF WORK
The OWNER may suspend, delay, or interrupt the services of the ENGINEER for the
convenience of the OWNER. In the event of force majeure or such suspension, delay,
or interruption, an equitable adjustment in the PROJECT's schedule, commitment, and
cost of ENGINEER's personnel and subcontractors, and ENGINEER's compensation
will be made.
F. NO THIRD PARTY BENEFICIARIES
This AGREEMENT gives no rights or benefits to anyone other than the OWNER and
ENGINEER and has no third-party beneficiaries.
G. INDEMNIFICATION
a. ENGINEER agrees to indemnify and defend OWNER from any loss,
cost, or expense claimed by third parties for property damage and bodily
injury, including death, caused solely by the negligence or willful
misconduct of ENGINEER, its employees, or agents in connection with
the PROJECT.
b. OWNER agrees to indemnify and defend ENGINEER from any loss,
cost, or expense claimed by third parties for property damage and bodily
injury, including death, caused solely by the negligence or willful
misconduct of OWNER, its employees, or agents in connection with the
PROJECT.

C. If the negligence or willful misconduct of both the ENGINEER'and
OWNER (or a person identified above for whom each is liable) is a
cause of such damage or injury, the loss, cost, or expense shall be shared
between ENGINEER and OWNER in proportion to their relative
degrees of negligence or willful misconduct, and the right of indemnity
shall apply for such proportion.
H. ASSIGNMENT
Neither party will assign all or any part of this AGREEMENT without the prior written
consent of the other party.
I. LEGAL ACTION
All legal actions by either party against the other arising from this AGREEMENT, or
for the failure to perform in accordance with the applicable standard of care, or any
other cause of action, will be barred 2 years from the date the claimant knew or should
have known of its claim, but in any event no later than 4 years from the date of
substantial completion of ENGINEER'S services.
J. INTERPRETATION
Releases from, indemnities against, limitations on, and assumptions of liability and
limitations on remedies expressed in this AGREEMENT shall apply even in the event
of breach of contract or warranty, fault, tort including negligence, strict liability, statu-
tory, or any other cause of action (except for willful or reckless disregard of obligations)
of the party released or indemnified, or whose liability is limited or assumed, or against
whom remedies are limited. Party, as used herein, includes the named parties, their
officers, employees, agents, subcontractors, and affiliates.
K. JURISDICTION
The law of the State of California shall govern the validity of this AGREEMENT, its
interpretation and performance, and any other claims related to it.
L. SEVERABILITY AND SURVIVAL
If any of the provisions contained in this AGREEMENT are held for any reason to be
invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or
unenforceability will not affect any other provision, and this AGREEMENT shall be
construed as if such invalid, illegal, or unenforceable provision had never been con-
tained herein.
Articles 4, 5, and 6 shall survive termination of this AGREEMENT for any cause.

ARTICLE 7--ATTACHMENTS9 SCHEDULES, AND SIGNATURES
This AGREEMENT, including its Attachments and Schedules, constitutes the entire
AGREEMENT, supersedes all prior written or oral understandings, and may only be
changed by a written amendment executed by both parties. The following Attachments
and Schedules are hereby made a part of this AGREEMENT:

Attachment A
Attachment A to the AGREEMENT between CH2M HILL, CALIFORNIA, INC. (the
"ENGINEER") and City of Redding (the "OWNER") for a PROJECT generally
described as:
Parallel Westside and Eastside Sanitary Sewer Interceptors
Article 1--Scope of Services
ENGINEER agrees to furnish OWNER the following specific services:
Perform preliminary design services to parallel the Westside and Eastside Sanitary
Sewer Interceptors consisting of the following tasks. The results of the preliminary
design services will be a Preliminary Design Report for each interceptor. Included in
the reports will be summaries of technical memorandums prepared as a part of the
preliminary design services. Ten copies of each report will be provided to the
OWNER.
Task 1—Westside Interceptor
Task 1 will develop and screen alternative alignments which generally parallel the exist-
ing Westside Interceptor, select the preferred alignment, and perform a detailed evalu-
ation of the selected alignment. Alternative sites for a new lift station near the
downstream end of the new Westside Interceptor will also be evaluated. The following
subtasks are included in Task 1.
Subtask 1.1—Preliminary Review of Project
Collect and review existing maps, reports, construction drawings, preliminary design
data, and other information pertinent to the development and detailed evaluation of
alternative routes.
Contact permitting, regulatory, and other related agencies and OWNER's departments
that may be affected by the project to determine their role in project implementation
and specific design and permitting requirements. One individual will be assigned the
primary responsibility to identify all of the involved agencies and departments, ascertain
their requirements, develop a plan and schedule to meet those requirements, and coor-
dinate permitting issues and other requirements with the project team and OWNER.
A permitting handbook will be prepared, and an updated copy will be provided to the
OWNER.

Attend a project kickoff meeting with OWNER to introduce team members, review the
project goals and schedule, establish lines of communication, and review the scope of
work.
Subtask 1.2-4dentify Potential Alignments
Identify a minimum of three combined alignment alternatives. More than three initial
alternatives may be identified for some segments, and less than three may be identified
for others. Segments will be combined to select three overall, or combined, alterna-
tives. All alignment alternatives will be plotted on aerial photomapping using a scale of
approximately 1"=600'.
Participate in a coordination meeting to review all segments and proposed alignments
with applicable agencies and OWNER's departments. Following the coordination
meeting, meet with OWNER to make final modifications to the three combined alter-
natives. A final working map will be prepared.
Subtask 1.3—Evaluate Alternative Alignments
Conduct a records search in support of the initial phase of an archaeological and cul-
tural resources survey for the alignment alternatives. This effort will be a
reconnaissance-level survey of published information concerning the archaeological,
cultural, and historic resources of the area.
The evaluation will consider right-of-way requirements; impacts on property owners,
existing land uses, and utilities adjacent to the work; permitting and public issues; and
interconnections to existing and future sewerlines. In addition, where appropriate, the
evaluation will consider impacts on traffic and emergency services; disruption to schools
and hospitals; special construction requirements; ACID; and railroad companies.
Identify and evaluate the special environmental aspects of the project. Prepare an
initial environmental study checklist with supporting narrative describing the environ-
mental issues.
Prepare an order-of-magnitude construction cost estimate for each alignment
alternative.
Prepare technical memorandums that summarize the evaluation of alternatives, includ-
ing appropriate graphics and mapping. The following technical memorandums are
anticipated:
• Permit Requirements
• Alternative Alignments
• Archaeological and Cultural Resources
• Environmental Issues (including Initial Study)

• Non-Cost Factors
• Order-of-Magnitude Cost Estimates
Prepare a draft summary report to compare the alternatives. The draft report will
include a preliminary recommendation of the apparent best route and will be submitted
to OWNER prior to the final alignment selection workshop.
Subtask 1.4—Selection of the Best Alignment Route
Meet with OWNER in a final alignment selection workshop to evaluate alternative
alignments and select the best alignment route. The draft summary report will be
finalized based on the results of the meeting.
Subtask 1.5—Site Selection for the Second Clear Creek Lift Station
Review record drawings of the Clear Creek lift station. Identify and evaluate alterna-
tive sites for the second Clear Creek lift station. Environmental issues, permitting
requirements, access, utilities, cost, and other factors similar to those identified for
evaluating the pipeline alignment alternatives will be considered. Up to three sites will
be selected for the evaluation process.
Prepare a standard 24-inch by 36-inch aerial photo map at a scale of 1"=100' to show
the alternative sites.
Prepare a draft technical memorandum summarizing the results of the site identifica-
tion and evaluation process and recommending an apparent best site. Appropriate
graphics and mapping will be included.
Meet with OWNER to review the recommendation of the apparent best site and select
a final site. The draft technical memorandum will be finalized based on the results of
the meeting. .
Subtask 1.6—Detailed Evaluation of Best Alignment Route
Perform a pedestrian field survey at archaeologically significant areas identified during
the records search. Develop recommendations concerning potential mitigation
measures. Prepare a technical memorandum describing the results of the field survey.
If applicable, additional archaeological work will be recommended in the technical
memorandum.
Prepare rectified aerial photobased plan and profile sheets at a horizontal scale of
1"=100' for the best alignment route.
Conduct field surveys to establish a survey control network, determine the location and
elevation of aerial photo control targets, develop a centerline profile, and establish

locations and elevations of significant physical conflicts. Surveys will originate from'the
existing OWNER's monumentation system that was established for OWNER's mapping
program. All survey data will be made available to OWNER in a form acceptable to
the OWNER. The method of survey will result in survey information suitable for all
phases of the project including final design, photoplan preparation, and construction
staking. The methods will be consistent with those typically used by professional sur-
veyors for pipeline work.
Prepare preliminary plan and profile drawings for the proposed pipeline which will
show the proposed alignment with ground surface and pipeline profile, physical con-
flicts, locations of any geotechnical explorations, design flows and tentative pipe sizes,
locations of major structures and manholes, and other pertinent information.
Locate additional aerial targets and perform additional flight and control surveys, as
required to provide photogrammetric information suitable to produce aerial mapping
for the design phase of the project at a scale of 1'=50'. The preparation and
production of V=50' plan and profile sheets is not a part of this scope of services.
Identify the locations where it is determined necessary to expose and accurately locate
buried facilities that cannot be located properly from surface field observations and
review of as-built drawings. At OWNER's authorization, excavations will be performed
as extra work on a time and expenses basis. Costs may include, but are not necessarily
limited to, the ENGINEER's time, operated and maintained excavation equipment,
permits, and time and expenses of the owner of the utility or facility. If requested by
OWNER, an estimated cost for the time and expenses work will be prepared prior to
the work.
Conduct a preliminary geotechnical evaluation consisting of:
• Reviewing existing information on subsurface conditions, boring logs, and
aerial photography along the selected alignment
• Conducting a field reconnaissance
• Identifying significant geotechnical obstacles affecting the workability of
the pipeline and construction costs
The preliminary geotechnical evaluation will also consider the new Clear Creek lift
station site. No soil borings or test pits are included as a part of the preliminary
geotechnical evaluation. A recommended scope of work for any additional geotechni-
cal investigations for both the best alignment route and the Clear Creek lift station site,
as well as the results of the preliminary evaluation, will be documented in a technical
memorandum. A cost estimate for the scope of work will be provided.
Identify the following right-of-way information requirements:

• A list of property owners from whom OWNER will need to obtain either
permanent or temporary easements
• The approximate size of the easements for each property
• The approximate cost for each easement
• Major replacement costs for each property
Costs for major replacement items will be estimated on a case-by-case basis. Properties
will be grouped into general categories based on location, land use, and other charac-
teristics, and approximate unit costs for easements will be applied to the
area specified for each group.
At OWNER's authorization, using the above list of property owners, OWNER and
ENGINEER will identify those property owners to be contacted by telephone for
authorization to enter onto their land for purposes of surveying, archaeological,
geotechnical, wetlands delineation, and engineering work. For those properties that
require the eminent domain process for access, the ENGINEER will prepare the docu-
ments necessary for the eminent domain proceedings. The identification and contact of
property owners and the preparation of all necessary documents will be performed as
extra work on a time and expenses basis. If requested by OWNER, an estimated cost
for the time and expenses work will be prepared prior to the work.
Develop an implementation phasing plan for the parallel Westside Interceptor. Factors
to be considered include:
• Coordination of projected flows at various locations along the route
• Permitting, design, and right-of-way schedules
• Availability of funding
• Minimizing temporary interconnections with the existing system that
result from implementing adjacent pipeline reaches during different
phases
• Minimizing physical disruptions of specific areas
• Mitigating the impact to downstream pipeline reaches caused by relief of
upstream flow restrictions
Prepare a critical path schedule showing the interrelationship of the various portions of
the phased implementation plan. The preliminary order-of-magnitude construction cost
estimate will be revised and assigned to the implementation phases.

Perform a wetlands survey and delineation for the Westside Interceptor. The work
includes two phases. Phase 1 involves a reconnaissance survey for potential juris-
dictional wetland areas and will be conducted for the three alternative alignments
identified in Subtask 1.2. This will include a review of existing maps and photographs
and a pedestrian survey to identify areas where detailed sampling is needed to conduct
a jurisdictional wetlands delineation. Phase 2 will include delineation of jurisdictional
wetlands for the best alternative alignment and will include the areas identified as
potential jurisdictional waters and wetlands during Phase 1. A Wetlands Delineation
Report will be prepared in draft and final form for the OWNER and in final form for
the U.S. Army Corps of Engineers (COE). A single field meeting will be held, with
COE and California Department of Fish and Game (CDFG) representatives in
attendance.
Summarize the detailed evaluation of the best alignment route in technical memoran-
dums. The following technical memorandums are anticipated:
• New Lift Station Siting Evaluation
• Wetlands Delineation Report
• Archaeologist's Pedestrian Field Survey
• Preliminary Geotechnical Evaluation
• Implementation Phasing Plan
• Easement Requirements
Prepare a summary report using the information from the technical memorandums,
including graphics, mapping, preliminary design drawings, and survey information. The
report will include information previously prepared, resulting in a single alternatives
analysis and preliminary design document. The draft report will be submitted to
OWNER at approximately the 90 percent complete stage. Information previously pre-
pared and reviewed by OWNER will not be subject to additional review and revision.
Task 2—Eastside Interceptor
Task 2 will review the recommendations for paralleling the existing Eastside Interceptor
as presented in OWNER's 1987 Sewer Master Plan, evaluate the existing alignment,
select an appropriate parallel route, and perform a detailed evaluation of the parallel
route.
Subtask 2.1—Preliminary Review of Project
Collect and review existing maps, reports, construction drawings, preliminary design
data, and other information pertinent to the development and detailed evaluation of
alternative routes.
Contact permitting, regulatory, and other related agencies and OWNER's departments
that may be affected by the project to determine their role in project implementation
and specific design and permitting requirements. One individual will be assigned the

primary responsibility to identify all of the involved agencies and departments, ascertain
their requirements, develop a plan and schedule to meet those requirements, and coor-
dinate permitting issues and other requirements with the project team and OWNER.
A permitting handbook will be prepared, and an updated copy will be provided to the
OWNER.
Attend a project kickoff meeting with OWNER to introduce team members, review the
project goals and schedule, establish lines of communication, and review the scope of
work.
Subtask 2.2—Preliminary Evaluation of the Existing Alignment
Plot the existing Eastside Interceptor alignment on photobased aerial mapping sheets.
All alignment alternatives will be plotted on aerial photomapping using a scale of
approximately 1"=600'.
Develop a parallel alignment compatible with the existing sewage collection system,
utilities, local topography, and environmental concerns. The evaluation will consider
right-of-way requirements; impacts on property owners, existing land uses, and utilities
adjacent to the work; permitting and public issues; and interconnections to existing and
future sewerlines. In addition, where appropriate, the evaluation will consider impacts
on traffic and emergency services; disruption to schools and hospitals; and special con-
struction requirements.
Perform a wetlands survey and delineation for the entire parallel alignment. The work
includes two phases. Phase 1 involves a reconnaissance survey for potential juris-
dictional wetland areas. This will include a review of existing maps and photographs
and a pedestrian survey to identify areas where detailed sampling is needed to conduct
a jurisdictional wetlands delineation. Phase 2 will include delineation of jurisdictional
wetlands within the areas identified as potential jurisdictional waters and wetlands
during Phase 1. A Wetlands Delineation Report will be prepared and submitted in
draft and final form to OWNER and in final form to the COE. A single field meeting
will be held, with COE and CDFG representatives in attendance.
Conduct a records search in support of the initial phase of an archaeological and
cultural resources survey for the alignment alternatives. This effort will be a
reconnaissance-level survey of published information concerning the archaeological,
cultural, and historic resources of the area.
Perform a pedestrian field survey at archaeologically significant areas identified during
the records search. Develop recommendations concerning potential mitigation
measures. Prepare a technical memorandum combining the records search and the
pedestrian field survey. If applicable, additional archaeological work will be
recommended in the technical memorandum.

Participate in a coordination meeting to review all proposed alignments with applicable
agencies and OWNER's departments. Following the coordination meeting, meet with
OWNER to make final modifications to the alternatives. A final working map will be
prepared.
Subtask 2.3—Evaluation of Specific Paralleling Route
Identify and evaluate the special environmental aspects of the project. Prepare initial
environmental study checklist with supporting narrative describing the environmental
issues.
Prepare an order-of-magnitude construction cost estimate for each alignment
alternative:
Prepare technical memorandums that summarize the evaluation of alternatives, includ-
ing appropriate graphics and mapping. The following technical memorandums are
anticipated:
• Permit Requirements
• Environmental Issues (including Initial Study and Wetlands Delineation
Report)
• Archaeological and Cultural Resources Review
• Development of the Specific Paralleling Route

Order-of-Magnitude Cost Estimates
Prepare a draft summary report to compare alternatives. The draft report will include
a preliminary.recommendation of the apparent best route and will be submitted to
OWNER prior to the final alignment selection workshop.
Meet with OWNER in a final alignment selection workshop to evaluate alternative
alignments and select the best alignment route. The draft summary report will be
finalized based on the results on the meeting.

Attachment B to the AGREEMENT between CH2M HILL CALIFORNIA, INC. (the
"ENGINEER") and City of Redding (the "OWNER") for a PROJECT generally
described as:
Parallel Westside and Eastside Sanitary Sewer Interceptors
Article 2--Compensation
Compensation by the OWNER to the ENGINEER will be as follows:
A. Cost Reimbursable--Cost Plus Fixed Fee
For services enumerated by ARTICLE 1, other than those services identified to
be extra work performed on a time and expense basis, OWNER shall pay the
ENGINEER's Direct Salaries expended for the service, plus a percentage of
Direct Salaries for Salary Overheads, plus a percentage of Direct Salaries for
General Overhead, plus Direct Expenses, plus a service charge of 5 percent of
outside consultant's costs, plus a Fixed Dollar Profit (Fee).
The Cost Budget represented by Direct Salaries, plus Salary and General Over-
heads, plus Direct Expenses and service charge is estimated at Two Hundred
Eighty-Three Thousand Three Hundred and Twenty-Six Dollars ($283,326.00).
The fixed dollar profit of Thirty-One Thousand Six Hundred and Thirteen
Dollars ($31,613.00) may not be changed except in the case of an amendment to
this AGREEMENT that recognizes a change in the scope of work.
For purposes of monthly payments, the ENGINEER's Provisional Overhead
rates shall be used. The Fixed Dollar Profit shall be prorated, based on the
estimated percentage of the work completed for each task.
B. Cost Reimbursable—Multiplier (Time and Expense)
For those services enumerated in ARTICLE 1 to be performed as extra work on
a time and expense basis, OWNER shall pay the ENGINEER's Salary Costs
multiplied by a factor of 2.2, plus Direct Expenses, plus a service charge of 5
percent of outside consultant's costs.

C. Definitions
(1) Cost Budget
The Cost Budget is the estimated total cost of the Engineering Services based
on the estimated level of effort agreed to by the OWNER and ENGINEER. It
is recognized that the actual cost to complete the work may vary from the Cost
Budget. The ENGINEER will make reasonable efforts to complete the work
within the Cost Budget and will keep OWNER informed of progress toward that
end so that the Cost Budget or work effort can be adjusted if found necessary.
The OWNER shall reimburse the ENGINEER for his actual costs to complete
the work, but the Fixed Fee will not increase unless there is an approved change
in scope.
(2) Direct Salaries
Direct Salaries are the amounts of wages or salaries paid ENGINEER's
employees for work directly performed on the PROJECT, exclusive of all
payroll-related taxes, payments, premiums, and benefits.
(3) Salary Overhead
Salary Overhead is a percentage of all firmwide Direct Salaries paid
ENGINEER's employees on all clients' projects necessary to cover all taxes and
other costs measured by, or applicable at the time of performance to, all wages
or salaries of the ENGINEER, such as, but not limited to, Worker's Compensa-
tion Insurance, Social Security, State (Province) and Federal unemployment
insurance, medical-hospital insurance, salary continuation insurance, pension
plan costs, and allowance for vacation, sick leave, and holiday pay. Salary over-
head is subject to periodic adjustment to reflect anticipated changing costs.
(4) Salary Costs
Salary Costs are the amount of wages or salaries paid ENGINEER's employees
for work directly performed on the PROJECT plus the Salary Overhead applied
to all such wages or salaries to cover all payroll-related taxes, payments,
premiums, and benefits.
(S) General Overhead
General Overhead is a percentage of all firmwide Direct Salaries paid
ENGINEER's employees on all clients' projects necessary to cover those
indirect general and administrative costs, exclusive of Salary Overhead defined
above, allowable under the cost principles of 48 CFR 31.2 that are actually
incurred by the ENGINEER during the period of performance of services.

General Overhead is subject to periodic adjustment to reflect anticipated chang-
ing costs.
(6) Direct Expenses
Direct Expenses are those costs incurred on or directly for the PROJECT, other
than the Direct Salaries and the Salary and General Overhead costs. Direct
Expenses will be on the basis of actual charges when furnished by commercial
sources and the basis of current rates when furnished by ENGINEER. Direct
Expenses are those necessary costs and charges incurred for the PROJECT
including, but not limited to, (1) the direct costs of transportation, meals and
lodging, mail, subcontracts, outside services and facilities, special OWNER
approved PROJECT specific insurance, letters of credit and bonds; (2) the
ENGINEER's current standard rate charges for direct use of ENGINEER's
vehicles, computing services, laboratory test and analysis services, word
processing services, printing and reproduction services; and (3) ENGINEER's
standard project charge for special health and safety requirements of OSHA and
telecommunications services.
Article 3--Terms of Payment
Payment to the ENGINEER will be made as follows:
A. Invoices and Time of Payment
Monthly invoices will be issued by ENGINEER for all work performed under
this AGREEMENT. Invoices are due and payable on receipt.
Upon completion of services enumerated in ARTICLE 1, the final amount will
be due upon receipt of the final invoice, including all Fixed Dollar Profit not
previously paid.
B. Interest
Interest at the rate of 1 percent per month will be charged on all past-due
accounts, starting 45 days after date of invoice. Payments will first be credited
to interest and then to principal.
This Attachment B supersedes all prior written or oral understandings of the Compen-
sation and Terms of Payment and may only be changed by a written amendment exe-
cuted by both parties.
