(DBA PACE ENGINEERING) FOR THE DESIGN, PERMITTING, ENGINEERING, AND CONSTRUCTION MANAGEMENT OF THE REDDING POWER NATURAL GAS PIPELINE ALONG CLEAR CREEK ROAD. .i I� BE IT RESOLVED that the City Council of the City of Redding approves entering !� into the attached Agreement with Professional Associated Consulting Engineers, Inc. (dba Pace Engineering) for the design, permitting, engineering, and construction itmanagement of the Redding Power Natural Gas Pipeline along Clear Creek Road. The Agreement describes six tasks which are to be done on a "not to exceed" basis for ,i $65,000; and two additional tasks (right-of-way acquisition and construction management) which will be performed on a time-and-materials basis, estimated at $67,100. BE IT FURTHER RESOLVED that the Mayor of the City of Redding is hereby authorized and directed to sign said Agreement on behalf of the City of Redding; and the City Clerk is hereby authorized and directed to attest the signature of the Mayor and to impress the official seal of the City of Redding thereto. HAYS, City Attorney I M AGREEMENT THIS AGREEMENT, made and entered into this day of December, 1992 , by and between CITY OF REDDING, Redding, California, hereinafter referred to as the CLIENT; and Professional Associated Consulting Engineers, Inc. , (dba PACE Engineering) of 1730 South Street, Redding, California, herein- after referred to as the ENGINEER. WITNESSETH II THAT WHEREAS, the CLIENT requires consulting engineering services for the Redding Power Natural Gas Pipeline along Clear Creek Road. AND WHEREAS, the ENGINEER is duly licensed as a registered Professional Engineer in the State of California and is qualified and experienced to provide such engineering services. 'j NOW, THEREFORE, the CLIENT and the ENGINEER for the II consideration hereinafter named, agree as follows: ARTICLE I: ENGINEER'S SERVICES i The ENGINEER shall perform those services which are described in the PACE letter dated November 9, 1992 and the attached SCOPE OF WORK, a copy of each of which is attached hereto as EXHIBIT "A" and incorporated herein by this reference. The Request for Proposal (RFP) dated October 26, 1992 , which is entitled, "Request for Proposal to Conduct Professional Consulting Service on the Redding Power Natural Gas Pipeline Project for the City of Redding, " and the proposal submitted, dated November 9, 1992 , a copy of each of which is attached hereto as EXHIBIT "D, " are also incorporated in and made a part of this AGREEMENT. For areas of conflict between the CLIENT's I RFP and the ENGINEER's proposal, the CLIENT's RFP shall govern. i i I I I ARTICLE II: ENGINEER'S FEE d For services performed the ENGINEER shall be compensated on the basis of the rates established in the STANDARD CHARGES FOR PROFESSIONAL SERVICES, effective through December 31, 1993, a copy of which is attached hereto as EXHIBIT "B" and incorporated herein by this reference. EXHIBIT "B" also contains consultant's fee estimates, summary -of costs, and cost breakdowns. The standard charges may not change except as a result of annual salary increases or decreases. The maximum fee for all tasks except III and VII shall not exceed an amount of $65, 000, unless prior authorization is given for work in excess of that defined in the SCOPE OF WORK, EXHIBIT "A" . The estimated fee for Tasks III and VII is $67, 100 and should be considered as a budget figure. Prior to awarding the construction contract, the CLIENT and the ENGINEER shall review the fee for adjustments as necessary to correspond to the actual construction schedule. Any adjustment shall be mutually agreed to by the parties. I ARTICLE III : PAYMENT FOR SERVICES For services performed on a time and expense basis, the CLIENT agrees that he shall pay for the services performed by the ENGINEER as the work progresses, based upon work completed. Invoices shall be submitted by the ENGINEER at the beginning of each month for services performed during the previous month. Payment will be due upon receipt of invoices and shall be made within a period of 30 days following receipt of invoices. ARTICLE IV: COMPLETION OF SERVICES The ENGINEER agrees that he will diligently perform the services to enable the gas pipeline to be constructed during 1993 . It is agreed between the parties to this AGREEMENT that t , the ENGINEER cannot be responsible for delays occasioned by factors beyond his control, nor by factors which could not reasonably have been foreseen at the time the AGREEMENT was prepared. ARTICLE V: ENGINEER'S RESPONSIBILITY The ENGINEER agrees that services under this AGREEMENT shall be performed in accordance with generally accepted engineering practices, but makes no other warranty either expressed or implied. The parties agree that estimated construction cost figures furnished by the ENGINEER are estimates only and the ENGINEER is not responsible for fluctuations in cost factors. Visits to the construction site and observations made by the ENGINEER as part of the construction phase of any project shall not relieve the construction contractor of his obligation to conduct comprehensive inspections of the work sufficient to ensure conformance with the intent of the Contract Documents and shall not relieve the construction contractor of his full respon- sibility for all construction means, methods, techniques, sequences, and procedures necessary for coordinating and completing all portions of the work under the construction contract and for all safety precautions incidental thereto. i ARTICLE VI: CONTRACT AND CONTRACT PROVISIONS I This AGREEMENT shall include the City of Redding "General Provisions" attached as EXHIBIT "C. PACE Engineering and Power Engineers have teamed together to offer the City what we feel is the best full service engineering team i� available for this project. TEAM QUALIFICATIONS PACE Engineering will take the lead and be responsible as the prime consultant to the City of Redding. Power Engineers will act as a subconsultant, being responsible to PACE for about 20 percent of the work. Paul Jones, Principal Engineer with PACE, will act as the Project Manager. Paul's 26 years of experience with utility design in the Redding area provides the necessary background and leadership for this project. The PACE/Power team recently completed the City of Redding West Loop Project for your Electric Department. PACE was a subconsultant to Power Engineers on the West Loop Project. PACE has performed on numerous City Electric Department projects providing surveying services for design, legal descriptions, rights-of-way locations, and construction staking. PACE has also provided structural engineering design services, welding consultation, and construction observation services to the Electric Department. Power Engineers has been involved in gas pipeline projects in California as well as neighboring states. Power recently completed a turnkey, engineer procure and construct project in Northern Nevada. Ryan and Associates will provide any needed appraisals and property acquisition services needed for this project. TURNKEY PROJECT j We have not provided the RFP requested proposal #2 for a turnkey project as per our discussions. We do not believe a turnkey project is in the best interests of the City. Turnkey projects are appropriate when the entire scope of work is known and it is necessary to start building part of the project before the entire project has been designed. In this case, the entire design can be done at the same time that permits and reviews are taking place. With a complete design, bids will be taken on a well defined project, based on complete plans and specifications. This will reduce the City's liability versus proceeding prematurely. Also, the competitive bidding will allow the work to be accomplished at the lowest price. Complete plans and specifications, coupled with a team that will provide complete contract administration, construction observation and testing, will assure the City of a good end product. Jon Principal Engi er j� WP-E/PDJ/kbu enclosures 'i J SCOPE OF WORK The PACE/Power team has developed the following tasks for the Redding Power Natural Gas Pipeline project based on: our interpretation of the scope of work as presented in the City's Request for Proposal, our field reviews, our team involvement in your West Loop Project, ongoing survey work at the Redding Power site, discussions with City staff, and review of available plans and mapping. TASK I Define the Pipeline Alignment A) Consultant to meet with City Electric Department to discuss alignment parameters such as: 11 Connection point with PG&E line 402. Is the point fixed or could it be moved south 2,5001 feet? Is it feasible to route the gas line along the haul road through A.P. No. 49-390-37? Construction would be less expensive but easement acquisition, operation and maintenance costs, and accessibility would need thorough review. 2) Is there any merit in considering an alignment going westerly from the Highway 273 - Clear Creek Road intersection through private properties (open fields) owned by Wade, Ward, and Gore? Construction would be less expensive but easement acquisition, operation and maintenance costs, and accessibility would need thorough review. 3) Benefits of using existing rights-of-way along Clear Creek Road from S.P.R.R. to Redding Power Site. Any available updated property line and right-of-way information will be added to Sheets 12 through 16 of the i� 1 " = 100' Redding West Loop Project for this review. 4) Benefits of using combination of 3) with the acquisition of new adjacent rights-of-way in some areas. 5) Known preferences and desires of the City of Redding (Electric, Public Works, and Planning) Departments and the agencies with jurisdiction along any of the possible alignments. Since parameters 1 ) and 2) above are viable alignment routes, we believe they should be addressed. After a cursory review, however, we believe 3) and 4) above will probably be more beneficial to all concerned. The rest of our proposal is assuming that the Clear Creek Road corridor will be used. B) Consultant to meet with others (such as PG&E, California Fish and Game, Caltrans, etc.) as necessary to get information to assist in analyzing the alignments. "As-Built" plans or available schematic plans of existing utilities will be obtained from the various utility companies. Environmental concerns, 1 such as wetlands or plants, need to be recognized as soon as possible to meet the proposed project schedule. A wetlands delineation is not planned but small encroachments into several ponds or "wet" areas along Clear Creek Road may require detailing construction through the areas. Topographic maps of small areas showing the extension of an existing storm drain culvert and small fill areas may be required to satisfy Fish and Game (per memo included with the R.F.P.). ,i C) Consultant to review the gas line design criteria to provide alternatives for gas line sizing and potential future compressor station locations. Economic analysis ! of the pipe sizes and thickness needed for various compressor station locations will be given. D) Field review with Electric Department representatives and other parties as appropriate. E) Present information to Electric Department for review and alignment selection. Provide additional information as necessary to aid in alignment selection. TASK II Prepare the Preliminary Design for the Pipeline NOTE: Tasks II, III, IV, and V will be done simultaneously as they are all inter- related. A) Mylar copies of the 1 " = 100' scale photo plan and profile sheets (Nos. 12 to 16) from the Redding West Loop Project will be used for the preliminary design. Should an alignment be chosen that is not covered by the West Loop Project plans, appropriate preliminary design sheets will be developed. Proposed gas pipeline location will be referenced to existing edge of pavement, utility poles, existing buried gas line markers, etc. so all reviewing parties can clearly see what is proposed. Perform field surveying as necessary to satisfy environmental concerns (see Task I, B). Perform design survey work to obtain profile information through any critical areas. B) Sizing of the pipeline to accommodate a maximum flow of 48.5 MMCFD will be finalized along with selecting a site for the potential future compressor station. Trench details and pipe wall thickness will be designed to meet PG&E ;I safety and operational specifications, as a minimum. ;i C) A 1 " =50' scale plan and profile sheet will be prepared detailing the S.P.R.R. Right-of-Way and Highway 273 Right-of-Way crossing. This sheet will also show the connection point to PG&E's line 402. D) Submit all material developed in Tasks II, A), B), and C) to Electric Department for review and comment prior to distribution under Tasks III, IV, and V. 2 i TASK 111 Acquire Rights-of-Way and Temporary Construction Easements A) Based upon the preliminary design of the pipeline, all rights-of-way and temporary construction easements necessary to construct the project can be determined. Legal descriptions will be written for each necessary acquisition. B) Contact public and private entities holding title to necessary rights-of-way and easement. Subconsultant, a local certified MAI appraiser, will be used where it appears that acquisition costs may be involved. TASK IV Acquire Permits A) Consultant will establish specific land and permitting services procedures. Consultant will secure the required licenses, permits, and grants from all authorities impacted by or having jurisdiction over the project. Consultant will acquire, after establishing the list of required permits, all data and information required to submit the permit applications. The permits and reviews anticipated for this project are as follows: 1) Federal D.O.T. Review - Pipeline design review for pressures, etc. 2) Caltrans Permit - Encroachment permit for state highway crossing. 3) Environmental Impact Assessment- Review of the environmental impact of the pipeline. Preliminary plans will be submitted to City Planning for processing. Assessment will include archeological sign-off, endangered species review, and a fish and wildlife review. 4) Public Utilities Commission Review - The C.E.C. may have jurisdictional review over this project. 5) Utility Crossings - Permission must be granted for all crossings of utility easements. 6) B.L.M. Review - This may be required if any of the lands are currently under B.L.M. administration. This is unlikely in this project. 7) Federal Energy Regulatory Commission (F.E.R.C.) - Required for any tie-in to an interstate pipeline expected to float on line pressure or draw a significant volume of gas. 8) County Encroachment Permit - Permit will be required if construction is in Shasta County Rights-of-Way. 3 9) S.P.R.R. Permit - An encroachment permit and Contractor's Right-of- Entry must be obtained. TASK V Coordination with Other Utilities I A) Preliminary pipeline design alignment plans will be given to all utility companies i! with facilities near the proposed alignment. Utility companies receiving this information for review and comments will be PG&E, Pacific Bell Telephone, Viacom Cable Television, Anderson Cottonwood Irrigation District, and the appropriate City Departments. B) Comments and concerns of those reviewing the preliminary plans will be considered during the preparation of the final construction documents. All affected utility companies will be signing off on the construction plans under "Reviewed By." TASK VI Prepare Final Contract Documents A) Prepare approved-for-construction drawings. The 24"x36" drawings would include: 1 ) A title sheet with project name, drawing index, vicinity map, legend and title block; 2) Three double strip plan drawings of the pipeline alignment at a scale of 1 " = 100'; 3) One photo plan and profile drawing at a scale of 1" =50' covering the Eastside Road, S.P.R.R. Right-of-Way, Highway 273 Right-of-Way, and Clear Creek Road intersection; and, 4) One detail sheet. Design survey is to be done under Task II. Soils resistivity survey will be done along alignment for cathodic protection design. B) Prepare project specifications, so that when these specifications are combined with the construction drawings you will have a complete set of bid documents. The complete specifications will include: 1 ) Bidding requirements; 2) Contract forms and conditions; 3) Special Provisions, Part 1 - Modifications to Instruction to Bidders and General Provisions; 4) Special Provisions, Part 2 - Technical Conditions. A table of contents from one of our project specifications is included as Exhibit "A" at the end of this Scope of Work section as an idea of what is covered. C) The bid documents, both the construction drawings and specifications, will include the appropriate PG&E design specifications, technical specifications, and construction details. Research will be done to determine if any special design requirements or standards apply to a natural gas pipeline serving electric utility facilities. D) Put the project out to bid once necessary approvals and permits are received. Consultant will issue bid documents to contractors, answer questions during 4 I� i- s bidding period, and receive all bids for the City. Consultant will review bids and make a recommendation for awarding the construction contract. Consultant will provide all services necessary during the bidding process and keep the City informed of any pertinent questions and requested revisions. TASKS VII Contract Administration/Construction Management A) Consultant will provide a construction manager to: 1 ) observe the construction activities performed by the contractor for compliance with the plans and specifications; 2) coordinate with the permitting agencies and Department of Transportation (DOT); and 3) to coordinate the services provided by the consultant and his subconsultants. Services provided will be surveying, construction observation, x-ray review of all pipeline x-rays, soils and materials testing, and communication to keep City informed of progress and complica- tions. All personnel provided for services on this project will be experienced in the type of work they will be performing. B) Prepare the contract (as per bid documents) for the contractor and City to sign. Consultant to review all bonds, insurance certificates and other required contract items for conformance before giving contract to the City for approval signatures. Issue the "Notice to Proceed" when the contract is finalized. All necessary permits, rights-of-way, and easements should be obtained before beginning the field work. i ` C) Consultant will review contractor's proposed work schedule and comment as appropriate. Any required contractor shop drawing submittals will be reviewed and approved with any necessary corrections noted in a timely manner to assist in meeting the work schedule. I, D) Consultant will perform construction surveying as necessary to allow the contractor to build the gas pipeline and related facilities in the locations and at the elevations shown on the improvement plans. Rights-of-way and construction limits will be staked in areas of potential conflicts. E) Construction observers will be provided to ensure that the contractor constructs the project according to the plans and specifications. The observer will keep the contractor aware of their construction area limits to avoid problems with private properties. The observer will have copies of all permits relative to the project to ensure compliance with permit conditions. F) X-raying of all pipeline welds will be performed as required by the specifica- tions. The construction observer or other technicians will perform soils and materials testing onsite and send any materials, such as concrete cylinders, to an approved laboratory for any offsite testing that may be required. 5 G) Monthly progress payment requests will be submitted to the construction manager for review and approval. When the consultant has verified that the work has been done or materials supplied the approved payment request will be submitted to the City for payment. Any required Contract Change Orders will be processed by the consultant and any cost revisions will be included with the monthly progress payment requests. q H) The construction manager will provide monthly progress reports to the City which outlines the work accomplished during the reporting period and work to be accomplished during subsequent reporting periods. The progress reports will notify the City of any significant deviations from the contractor's initial proposed work schedule and discuss any problems, whether real or anticipated. A graphed progress/cost comparison showing percent complete and percent of bid price versus time will be provided with each monthly report also. 1) When the project is completed, a Notice of Completion will be filed. A set of "As-Constructed" plans will be prepared for the City files. The plans will be j based on the construction observer's marked up plans and materials testing locations and results. TASK VIII Operation Procedures and Maintenance Manual A) Power will coordinate the compilation, organization and turnover of all required reporting and safety materials. These materials will include a pipeline safety it manual, emergency procedure manual, and operations and maintenance manual. The manuals will be based on all Federal requirements based on D.O.T. publications(s) 190, 191 , 192, 193, 195, and 199. The manuals will also contain scheduled maintenance through the year 2010. WP-E/RDG-POWR.1 PJ 6 EXHIBIT "B" I� CONSULTANT FEE ESTIMATES Our fee estimates are based on the scope of work as outlined in this proposal. The scope of work has been set forth in accordance with our interpretation of your October 26, 1992 Request for Proposal to Conduct Professional Consulting Services for the Redding Power Natural Gas Pipeline for the City of Redding which is bound at the back of this proposal. As per discussions with Chuck Gilfoy, we are not proposing the second part which you call a "turnkey contract." We have attempted to include all project costs, except for permitting and filing fees, in these fee estimates. As per the R.F.P. request, we have a separate fee for the work associated with crossing the Southern Pacific Railroad and Highway 273 Right-of-Way. Rights-of-way descriptions, appraisals, and acquisition fees are based on the assumption that six acquisitions will be necessary. Cost breakdowns for the various tasks and subconsul- tants are included on the following pages. A proposal summary of the tasks, estimated manhours, and estimated costs is included. The summary also includes not to exceed" costs with notes on various tasks. We offer to do the work for all tasks except III and VII for a "not to exceed" amount of $65,000. Task III can be done on a "not to exceed" amount when the right-of-way needs are known. We believe the Task VIII estimate is a reasonable budget amount. When the contractor's schedule is known and construction management team is agreed upon by the City, a better cost for this task can be determined. All estimated costs are based on 1993 PACE and Power standard charge-out rates plus 5 percent of labor fee for project incidental expenses. Contract and Contract Provisions The contract will be a written agreement between the consultant selected and the City setting forth scope of work, time line, payment schedules, 'I City ownership of work, and cost of work. The contract will be fixed with a not-to-exceed amount unless a change order is approved in advance of additional work being performed. The contract shall include the following provisions: 1 . Compensation, method of payment, and decision points: Payment shall be based on work completed as noted in the section entitled "Payment" of the Request for Proposals. The contract amount shall be a not-to-exceed limit for the final price. 2. Changes: The City may, from time to time, request changes in the scope of the services of the consultant to be performed hereunder. Such changes, including any increase or decrease in the amount of the consultant's compensation, which are mutually agreed upon by and between the public body and the consultant, shall be incorporated in written amendments to this contract. 3. Termination of contract for cause: If, through any cause, consultant fails to fulfill in timely and proper manner its obligations under this contract, or if consultant shall violate any of the covenants, agreements, or stipulations of this contract, the City shall thereupon have the right to terminate this contract by giving written notice to consultant of such termination and specifying the effective date thereof, at least five days before the effective date of such termination. In such event, the consultant shall be entitled to receive just and equitable compensation for any satisfactory work completed. 4. Conflict of interest: The consultant agrees that it presently has no interest and shall acquire no interest, direct or indirect, that would conflict in any manner or degree with the performance of its services hereunder. Consultant further agrees that, in the performance of the agreement, no person having any such interest shall be employed. 5. Assignability: The consultant shall not assign any interest in this contract and shall not transfer any interest in the same (whether by assignment or novation) without the prior written approval of the City; provided, however, that claims for money due or to become due to the -1- consultant from the City under this contract may be assigned to a bank, trust company, or other financial institution, or to a trustee in bankruptcy, without such approval . Notice of any such assignment or transfer shall be furnished promptly to the City. 6. Personnel : �i The consultant represents that it has or will secure, at its own expense, all necessary personnel required to perform the services under this contract. Such personnel shall not be employees of or have any contractual relationship with agencies providing funds for the project. '! All of the services required hereinafter shall be performed by the consultant or under its supervision, and all personnel engaged in performing the services are fully qualified and shall be authorized or permitted under state and local law to perform such services. All professional personnel , including subcontractors engaged in performing services for the consultant under this contract, are indicated in a personnel listing contained within the consultant' s proposal attached hereto and by reference incorporated herein. Except as hereinabove agreed, no other portion of the services, nor I any right, title, or interest hereunder this contract shall be assigned, transferred, conveyed, or subcontracted without the prior written approval of the City. Any changes or substitutions in the consultant' s personnel as set forth herein must be made known to the project director prior to execution and written approval granted by same before said change or substitution shall become effective. i. Independent contractor: Consultant, in accordance with his status as an independent contractor, covenants and agrees that he will conduct himself consistent with such status, that he will neither hold himself out as nor claim to be an officer or employee of the City by reason hereof, and that he will not be reason hereof make any claim, demand, or application to, or for any right or privilege applicable to an officer or employee of the City, including, but not limited to, workers' compensation coverage, unemployment insurance benefits, social security coverage, or retirement membership credit. 8. Settlement of disputes--arbitration: a. All claims, disputes, and other matters in question between the City and the consultant arising out of, or relating to, and the contract documents or the breach thereof, except for claims that have been waived by the making or acceptance of final payment, may be decided by arbitration in accordance with the Construction Industry Arbitration Rules of the -2- I y American Arbitration Association then in effect if the parties mutually agree. No person other than the City or consultant shall be included as an original third party or additional third to an arbitration whose interest or responsibility is insubstantial . The award rendered by the arbitrators shall be final and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction thereof. b. Notice of the demand for arbitration shall be filed in writing with the other party to the City/consultant agreement and with the American Arbitration Association. The demand for arbitration shall be made within a reasonable time after the claim, dispute, or other matter in question has arisen and in no event shall it be made after the date when institution of legal or equitable proceedings based on such claim, dispute, or other matter in question would be barred by the applicable statute of limitations. C. Unless otherwise agreed in writing, the consultant shall carry on the work and maintain its progress during any arbitration proceedings, and the City shall continue to make payments to the consultant in accordance with the contract documents. ,i 9. Ownership, publication, reproduction, and use: J All documents and materials prepared pursuant to this agreement are '! the property of the City. Indemnification: Consultant agrees to protect, defend, indemnify, and hold harmless -3- City, its officers, agents, and employees from and against any and all liability, damages, claims, suits, liens, and judgments, of whatever nature, including claims for contribution and/or indemnification, for injuries to or death of any person or persons, or damage to the property or other rights of any person or persons caused by consultant's negligence. Consultant's obligation to protect, defend, indemnify, and hold harmless, as set forth hereinabove, shall include any matter arising out of any actual or alleged infringement of any patent, trademark, copyright, or service mark, or any actual or alleged violation of trade regulations. OBJECTIVE The City of Redding (City) is planning construction of approximately 2 . 4 miles of natural gas pipeline to serve its Redding Power facilities (Site) located at 17120 Clear Creek Road in Redding. The purpose of the proposed pipeline is to ensure the long term availability of fuel for electric generation. Monies for all phases of placing this proposed pipeline into service have already been financed. The Electric Department is requesting P q g a proposal for all services associated with a natural gas pipeline that will commence along at or near PG&E's line 402 near the intersection of Highway 273 and Clear Creek Road in Redding (hereinafter referred to as Point of Interconnection or "PI") and terminate at the Site. The first part of the proposal should reflect work for design, permitting (including right- of-way acquisition) , preparation of associated construction bid documents, and construction management. The second part should be for a "turnkey" contract and thus mirror the first except for the deletion of the construction bid document preparation and the addition of actual construction work scope(s) and costs. Both parts should be bifurcated to reflect the inclusion and exclusion of work associated with crossing the Southern Pacific Railroad and State of California (Highway 273) rights-of-way. (PG&E's line 402 lies across these rights-of-way from the Site and the City has not yet made a decision as to whether PG&E should perform these crossings. ) All of the above work (rights-of-way acquisition, connection facilities, etc. ) should also include provisions for the potential future incorporation of a compressor station. (Currently, PG&E's operating pressure in the area is approximately 160 psig but they will guarantee only 50 psig. The City may need as much as 300 psig in the future at the Site. ) At this point, the City is soliciting suggestions as to the exact location of the compressor station. As a side task in response to this RFP, the City also desires proposers submit an engineer's opinion as to the feasibility of laying a liquefied petroleum gas pipeline (LPG) adjacent to the future natural gas pipeline so that the City can transport LPG between the Southern Pacific Railroad tracks and the Site via pipeline. This opinion should also discuss the feasibility of a railroad siding/spur at the appropriate location. If the proposer determines that both of these tasks are feasible, the proposer should submit an estimate of the cost to design, permit, and construct the aforementioned . facilities. The natural gas pipeline will need to be designed to accommodate a flow of up to 48 . 5 mmcfd at the Site as well as maximum operating pressure. It will also need to be designed in accordance with all applicable PG&E design specifications !� (including California Public Utilities Commission General Order 128) , as well as all pertinent local, State, and Federal laws and regulations. Further, to the extent additional standards for a natural gas pipeline serving electric utility facilities apply, the contractor will be held responsible for �i compliance with these standards. The Scope of Services requested shall include, but not be limited to, the following: 1. Define and survey the pipeline alignment. 2 . Acquire all necessary rights-of-way. 3 . Acquire all necessary permits for the pipeline. 4 . Coordinate project with all affected utilities. 5 . Prepare a preliminary design for the pipeline. 6. Prepare all necessary construction bid documents, review responses thereto, and make recommendations thereon. (Proposal #1 only) 7 . Develop operating procedures and maintenance manual. 8 . Note: this RFP makes only general reference to the tasks required to place a natural gas pipeline in service at the location specified in this RFP. A lack of specific reference should not be misconstrued as an indication that a given task need not be accomplished. II. DESCRIPTION AND BACKGROUND The City of Redding is one of the fastest growing electric load centers in California. Presently, the City's electrical needs are served by two contracts---one with the Western Area Power Administration and one with Pacific Gas & Electric Company (PG&E) . Although these contracts currently provide City electric customers with relatively low cost power, there has never been any guarantee that they will serve the long term needs of our customers at the same relatively low costs. Therefore, in the mid 19701s, in an effort to diversify its resource base and ensure the long term availability of low cost and reliable electric service, the City began a broad- based program toward the development of its own resources. Since that time, the City has entered into some major commitments toward electric resource independence, including power purchase agreements, transmission projects and agreements, and hydroelectric and natural gas-fired generation projects. The City executed agreements for the purchase of the Redding Power site (Site) and associated facilities and the MLP Energy combustion turbine project in July 1991 and March 1992 , respectively. The Site is located at 17120 Clear Creek Road in Redding, California and currently has a 30 MW generation facility thereon. The existing facility was originally designed to utilize wood products for fuel. However, because of the uncertainties in the future availability of wood products and the relative reliability of supply for natural gas, natural gas will be the primary fuel for the facility in the future. In addition to the existing facilities, the City currently plans to locate the MLP Energy combustion turbines at that Site. These combustion turbines will be designed to utilize either natural gas or liquefied petroleum gas as fuel. Although natural gas service already exists to the Site, more delivery capacity is needed to meet the City's future generation requirements. Thus, over the past several months, the City's Electric Department has conferred with representatives of PG&E on many occasions regarding future natural gas requirements at the Site. PG&E determined that two portions of its natural gas system would need to be upgraded---along line 402 , PG&E's main north-south natural gas line serving the northern Sacramento Valley, and along Clear Creek Road from line 402 to the Site. Based upon preliminary cost estimates and other factors, the City concluded that significant savings could be realized by contracting for a portion of the upgrades rather than having PG&E perform them. Presently, PG&E's engineering associated with the line 402 upgrades is in its final stages. PG&E has indicated that they have "engineered" the gas system upgrades to the PI. This proposal deals with that portion of the natural gas delivery system between the aforementioned PI and the Site. 'i r III. SCOPE OF WORK At a minimum, the scope of the proposal shall include the tasks listed below. However, it is expected that each consultant will make additions it believes, from experience and judgment, to be appropriate and/or desirable. The listed subtasks are not arranged in any particular order of importance, probable occurrence, etc. It is expected that the subtasks will be scheduled/performed in such a manner that minimum costs will be incurred. The consultant shall provide all those services, hereinafter indicated, and any others necessary to accomplish the objectives set forth in this RFP. Electric Department will only provide the limited assistance indicated herein. The proposed work shall include, but not be limited to, the following: 1. Define the pipeline alignment. Although the term "along Clear Creek Road" is used as a descriptive term in this RFP, the ultimate alignment of the pipeline may or may not coincide with Clear Creek Road itself. Definition of the specific alignment will involve working closely with the Electric Department and incorporating, where possible, the preferences and desires of agencies with jurisdiction along the route. In addition to all jurisdictional agencies for lands along the alignment, the contractor will need to interface with PG&E and the City for information regarding the interconnection points with line 402 and the Site, respectively. 2 . Acquire all necessary rights-of-way for the alignment ultimately agreed to by the City. This would include dealing with all appropriate public and private (if applicable) entities with interest in the rights-of-way. 3 . Acquire all necessary permits to ultimately construct the pipeline along the final alignment. This task includes the performance of all surveys and preparation and submittal of all reports and/or applications that may be required by jurisdictional agencies. The Electric Department will provide review during the permit securing process and obtain any necessary City signatures necessary for submission of the various documents to the appropriate jurisdictional agencies. It should be noted, however, that as a matter of City policy, applications and/or reports submitted to other City departments on behalf of the Electric Department will not be given preferential treatment as compared to such documents if they were to be submitted on behalf of a non-City entity. The consultant will obtain all other party input/signatures as applicable. i r 4 . Coordinate project with all affected utilities. This would include all utilities associated with both the interconnection (PG&E, City) of the pipeline as well as any utilities with interests in the rights-of-way between the PI and the Site. 5 . Prepare the preliminary design for the pipeline. At a minimum, the pipeline should be designed to PG&E safety and operational specifications and to accommodate a maximum flow of 48 . 5 mmcfd. It should also be designed to minimize disturbance to the surrounding environment. 6. Prepare all necessary project construction documents and, if appropriate (under Proposal 1) , review and make recommendations thereon. This would include bid documents , approved-for-construction drawings, construction contract documents. In addition, with respect to the turnkey portion of the proposal , as-built drawings, a one-year maintenance bond, and test reports showing that the pipeline will be operable in a safe and reliable manner. Specific proposals as to the amount and type of documents necessary are hereby solicited and will be evaluated based upon the ability of potential constructors to bid on the project and the City staff to understand the terms set forth therein. The City shall withhold 10% of the contract price until a favorable determination is made as to the adequacy of the aforementioned documents. 7 . Develop operating procedures and maintenance manual. These should address, in addition to all other pertinent natural gas pipeline standards, methodologies for leak detection, record keeping, and cathodic protection. 8 . Develop a bid for the incremental cost to construct the facilities described in this RFP. This bid should assume the contractor has been awarded the design-permitting- management contract and thus should vary from the design- permitting-management bid only to the extent that incremental construction costs have been added. 9 . Prepare and update monthly a project schedule of sufficient detail to effectively manage the Project. 10. Manage the construction activities to ensure the constructor is in compliance with all design parameters and other recommendations set forth and approved during the design and permitting of the pipeline. I IV. QUALIFICATIONS AND PROPOSAL REQUIREMENTS The consultant shall meet the following minimum qualifications: 1. All survey work shall be completed and submitted to the proper agencies under the responsible charge of a professional land surveyor licensed by the State of California. 2 . The consultant shall employ sufficient registered professional engineers in the appropriate disciplines. These employees shall be used as appropriate for review/check of project designs and/or construction. 3 . Any appraisals ( if applicable) shall be completed under the direction of a certified MAI appraiser. It is required that local firms be utilized for appraisal and property owner contacts because of their knowledge of local conditions and sensitivities. 4 . The consultant shall have been engaged in performing similar services, to that here-in-before indicated, for a period of not less than seven years. The consultant's proposal shall contain the following: 1. A statement that the consultant meets the minimum qualifications defined in this RFP. 2 . The consultant's personal interpretation of the objective and scope of services required. 3 . A statement as to the date the consultant is prepared to begin services. 4 . A description of the intended method(s) by discrete task for undertaking the objectives. 'i 5. A logical schedule for sequencing the proposed work tasks showing their interrelationship. 6. Identification of all subconsultants and/or subcontractors intended to be used, and their qualifications. 7 . Organization and staffing plan identifying key personnel who will be assigned to the project including: a. A statement that the consultant will not substitute . key personnel unless written approval is provided by the Electric Department. b. Identification and statement of qualifications of y the project manager. It is required that the project manager be keenly aware of all aspects of the project at all times and that the project manager be reasonably available for consultation with the Electric Department during the term of the project. C. Identification of an assistant project manager who will be able to make expedient decisions in the project manager's absence. d. Resume of other key staff including estimate of project responsibility. 8 . A statement that the consultant will prepare brief monthly summaries of progress which outline the work accomplished during the reporting period; work to be accomplished during the subsequent reporting periods; problems, real or anticipated, which should be brought to the attention of Chuck Gilfoy or his designee; and notification of any significant deviation from previously agreed-upon work plans or schedules. A graphed progress/cost comparison showing percent complete and percent of bid price versus time shall be provided with each invoice/monthly report. 9. The total estimated cost of all services which shall include: a. Base labor costs broken down by the various work tasks including manhours for all associated tasks. b. Labor allowances (vacation, sick leave, etc. ) - add basis for calculations. C. General operation overhead - add basis for calculations. d. Direct costs (subcontractors, travel , computer costs, etc. ) . e. Fee for the consultant to provide the required service. f. A breakdown of subcontractor costs both in terms of manhours and in terms of per-parcel costs, as appropriate. g. Total "not-to-exceed" cost. (Note: The final cost of the consulting services provided shall be the actual cost or the "not-to-exceed" cost, whichever is less. ) h. A proposal summary of the "not-to-exceed" cost i broken down in manhours and related cost for the tasks set forth in Section 3 of this RFP. Additional cost breakdown should be provided as necessary to clarify the consultant's proposal or to provide the City options in areas of consultant concern or areas of high cost. 10. A statement that if the consultant is awarded a contract, the consultant will provide the following minimum insurance and indemnification: INSURANCE a. Evidence of Maintenance Required._ The Engineer shall, at all times, maintain in full force and effect the insurance required by this section. A certificate of insurance and necessary endorsements evidencing all required coverages or policies shall be filed with the City's Risk Management Office after City Council awards the contract and at least ten (10) days prior to the beginning of work. b. Oualifying Insurers. All required insurance policies shall be issued by companies which hold a current policy holder's alphabetic- and financial-size category rating '! of not less than A:VII according to the most recent issue of Best's Insurance Reports. C. Insurance Required. General liability, professional errors and omissions liability, automobile liability and Workers' Compensation insurance shall be maintained as follows: 1) General Liability Insurance . Either (a) comprehensive general or (b) commercial general liability. a) Comprehensive General Liability Insurance for bodily injury ( including death) , personal injury, and property damage which provides limits of not less than one million ($1, 000, 000) dollars combined single limit per occurrence. OR b) Commercial General Liability Insurance for bodily injury ( including death) , personal injury, and property damage which provides limits of not less than one million ($1, 000, 000) dollars general limit per occurrence and two million ($2 , 000, 000) dollars general aggregate limit. In either case, the comprehensive general or commercial general liability policies shall include coverage or endorsements for: a) Premises and operations. I b) Contractual liability. C) Products/Completed Operations with limits of one million ($1, 000, 000) dollars per occurrence which is required to be maintained for a minimum of two (2) years following acceptance of the work by the City. d) Independent Engineers. e) Personal injury liability. The personal injury endorsement shall not contain the so- called "a" (liability assumed under the contract) or "c" (suits brought by employees) exclusions. 2) General Liability and Automobile Liability Policies are to contain or be endorsed to contain the following provisions: a) The City, its officers, officials, officials, employees, agents, and volunteers are to be covered as insureds as respects: liability arising out of activities performed by or on behalf of the Engineer; products and completed operations of the Engineer; premises owned, occupied, or used by the Engineer; or automobiles owned, leased, hired, or borrowed by the Engineer. The coverage shall contain no special limitations of the scope of protection afforded to the City, its officers, j officials, employees, agents, or volunteers. b) For any claims related to this project, the Engineer's insurance coverage shall be primary insurance as respects the City, its officers, officials, employees, agents, and volunteers. Any insurance or self-insurance maintained by the City, its officers, officials, employees, agents, or volunteers shall be excess of the Engineer's insurance and shall not contribute with it. C) Any failure to comply with reporting or other provisions of the policies including breaches of warranties shall not affect coverage provided to the City, its officers, officials, employees, agents, or volunteers. �I �I d) The Engineer's insurance shall apply separately to each insured against whom claim is made or suit is brought except with respect to the limits of the insurer's liability. e) Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended, voided, cancelled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice has been given to the entity. 3) Professional Errors and Omissions Liability Insurance in an amount not less than $1, 000, 000 dollars. a) The Engineer shall save, keep, and hold harmless the City, its officers, agents, and employees from all damages, costs, or expenses in law or equity that may at any time arise or be set up because of damages to property or of personal injury received by reason of or in the course of performing work or tasks associated with the contract, which may be j caused by any willful or negligent act or omission by the Engineer, any of the Engineer's employees, or any subcontractor. 4) Comprehensive Automobile Liability for bodily injury (including death) and property damage which provides total limits of not less than one million ($1, 000, 000) dollars combined single limits per occurrence, applicable to all owned, nonowned, and hired vehicles. 5) Statutory Workers' Compensation and Employer's Liability Insurance as required by the State of California for all employees engaged in services or .� operations under the contract. The employer's liability insurance shall provide limits of not less than one million ($1, 000, 000) dollars per occurrence. Both the Workers' Compensation and employer's liability policies shall contain the Insurer's waiver of subrogation in favor of the City, its officers, agents, employees, and volunteers. a) Before execution of the contract by the City, �I the Engineer shall file with the City the following signed certification: "I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for Workers' i I Compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work or tasks associated with the contract. " b) The Engineer shall also comply with Section 3800 of the Labor Code by securing, paying for, and maintaining in full force and effect for the duration of the contract, complete Workers' Compensation Insurance, and shall furnish a Certificate of Insurance to the City before execution of the contract. The City, its officers, agents, or employees will not be responsible for any claims in law or equity occasioned by failure of the Engineer to comply with this paragraph. C) Claims Made Coverage. If general liability or professional errors and omissions insurance is ,i written on a "claims made" basis, the certificate of insurance must clearly so state, and the following additional information must be provided: I� 1. Whether defense coverage is included in the policy limit (yes or no) . 2 . All aggregate limitations, including: i) General aggregate. ii) Products/Completed Operations Aggregate. 3 . The retroactive date. 4 . The length of time for extended reporting period. 5. Any limitations on invoking the reporting period (other than nonpayment) . 6. Whether a "Notice of Circumstances" is allowed (yes or no) . d) Other Insurance Provisions 1. The requirements of these Standard Specifications as to types and limits of insurance coverage to be maintained by the Engineer and any approval of insurance by the City are not intended to and shall not, in any manner, limit or qualify the liabilities and obligations otherwise assumed by the Engineer pursuant to the contract, including, but not limited to, the provisions concerning indemnifications, nor preclude the City from taking any other action available to it under any other provisions of the contract or law. 2 . The City acknowledges that some insurance requirements contained in these Standard Specifications may be fulfilled by self- insurance or other combinations of insurance on the part of the Engineer. However, this shall not, in any way, limit liabilities assumed by Engineer under the contract. Any self-insurance 'i or other combinations of insurance must be approved in writing by the City at its sole discretion. INDEMNIFICATION Engineer shall defend, indemnify and hold harmless the City, its officers, employees and agents, from and against any and all liens, judgments, and claims of any kind or character arising out of, in connection with, or resulting from the Engineer's 'i work under this contract, including, but not limited to, any damages or claim of damages to property or personality or for personal injuries to !i or death of persons. Engineer covenants and agrees to defend any suit or to pay any judgment against the City resulting from any suit for which Engineer has agreed to indemnify the City pursuant to this paragraph provided, however, that the City shall nevertheless have the right, if it so elects and notifies Engineer, to participate at the City's expense in the defense of any such suit or suits in which it may be a party without relieving the Engineer of the obligation to defend the same. This paragraph shall not require the Engineer to assume any responsibility for the acts, errors, or omissions of the City, its officers, agents, or employees. 11. The contract shall include the following language: The RFP dated October 26, 1992 , and entitled, "Request for Proposal to Conduct Professional Consulting Service on the Redding Power Natural Gas Pipeline Project for the City of Redding, " and the proposal submitted, dated (consultant to fill in date) , are incorporated in and made a part of this contract. For '! areas of conflict between the City's RFP and the a r consultant's proposal, the City's RFP shall govern. Note: All 8x11-inch sheets of the City's RFP shall be bound into the consultant's proposal (at the back) . 12 . Such additional information that the consultant deems pertinent to his total presentation for the requested !' service. 13 . Exceptions to this RFP must be clearly noted and should be discussed with the Electric Department prior to submission of proposals. Exceptions to this RFP may result in a proposal being considered nonresponsive. i j i V. SCHEDULE i A. The City of Redding has established the following tentative schedule for the Project: 1. RFP sent to potential contractors October 26, 1992. 2 . Responses to above RFP by November 9 , 1992 . 3 . Evaluation of proposals from November 9, 1992 to November ,I 25, 1992 . 4 . If oral presentations are requested, they have been tentatively scheduled for the week of November 30, 1992 and shall last no longer than one hour. 5. Award contract at the December 15, 1992 or January 5, 1993 City Council meeting. 6. Begin contract work in January 1993 . 7 . Complete design and permitting work by March 19, 1993 . At this point, if a turnkey contract is not awarded in connection with this RFP, the City will solicit construction bids based upon the design parameters and permits set forth by the contractor chosen from this RFP process. Upon receipt of bids for construction, the contractor chosen from this RFP will review these bids and make a recommendation thereon. 8 . Complete pipeline construction by late 1993 . VI. EVALUATION CRITERIA 1. Criteria for Selection - The following selection factors will be considered, to the extent that each may apply, in selecting a consultant for this particular project: A. Educational and experience background of the consultant's key staff that will be assigned to each of the primary elements of the project work as well as the individual within the consultant's organization who will be in overall charge of the work. B. Necessary license or other professional credential (s) of the consultant to perform the particular study, project, or work. C. Demonstrated recent record of success of the consultant on work previously performed for the City or others of a similar nature and magnitude. 'i Key areas to consider are the consultant's ability to deliver the required work or services in acceptable form and detail, on schedule and within budget. D. The consultant's documented record in delivering completed design, estimating, construction management services, etc. , of proven reliability as evidenced by the final completion costs of previous projects of similar scope and magnitude. E. The adequacy of the consultant's staff to perform the work within the time allowance. F. The method(s) proposed by the consultant for the work required; the primary elements of the work shall be identified. G. The ability of the consultant to make effective written reports and public presentations of the work or design as may be required. H. New or innovative ideas that are presented by the consultant in the proposal which demonstrate clear or advanced understanding of the work, its problems and possible solutions. I . Whether the consultant has adequate knowledge of local conditions. J. The consultant's past record or continued interest in the success, efficiency, and workability of the program or services previously delivered. K. The ability of the consultant to furnish effective construction supervision services, where such services are an inherent part of a "package" of services for which the consultant is employed. L. The ability of the consultant to provide errors and omission insurance and other insurance as may be required by the City Attorney. M. Compensation ("not-to-exceed price") . 2 . Relative Weighing of Criteria for Selection (VI.A. 1) a. Items A through L above will have a combined total relative weighting of 15 percent of the proposed evaluation. b. Item M ("not-to-exceed price") will have a related weighting of 85 percent of the proposal evaluation. C. Low price alone without sufficient demonstration of ability to perform the work successfully will be grounds for rejection of the consultant's proposal. 3 . Conciseness - Proposers are encouraged to limit their information to that which is directly pertinent to the achievement of project objectives. Elaborate proposals are not desired. 4 . Adequacy of Approach - Consultants' proposed work plans will be carefully assessed to determine effectiveness in achieving the project objectives. Sensitivity to potential problem areas and recommended strategies to overcome obstacles will be particularly important. Any proposal , which in the opinion of the Electric Department is merely a replication of this RFP, will be considered nonresponsive. 5. Demonstrated Experience - The ability of the offerors to perform the services requested must be demonstrated in the proposal . The selected firm shall be capable of performing all phases of the work. 6. Compensation - "Not-to-exceed" figures will be evaluated for reasonableness. This is an actual cost, "not-to- exceed" contract. All work as described in this RFP shall be completed within the "not-to-exceed" cost figure. Progress payments shall be based on the lesser of the actual cost or the percent of project actually completed and not on the percent of project time consumed. 'i f; VII. PROPOSAL SUBMISSION 1. Other aspects of the project, however, have potential to significantly impact fish aAd wildlife habitat and information provided in the application i not adequate to assess these impacts. Specifically, there is potential to impact high value wetlands during` the modification/installation of a Pacific Gas and Electric gas utility line along the right-of-way on Clear Creek Road. This line is needed to service the peaking project. It is stated inn the application that this work can ,be done without impacts to wetlands; however, no description of the mitigation melsures to be taken is included in the application. There should be a description of power line design to protect raptors from electrocution 'and an assessment of impacts associated with clearing of power line right-of-ways, particularly on sensitive, rare, or endangered plants. A survey along any proposed power line should bei conducted to assess impacts on wetlands, riparian and upland vegetation, and sensitive plant species.' The results of these surveys, along with '.a description of methods to mitigate impacts (if needed) , should be included in the application. Page 5 I describes the cottonwood/willow areas that occur between dredge= tailings as "marginal" habitats for birds, insects, and rodents. We disagree. The areas, although relatively narrow, are of high value to a much more diverse group of wildlife, species than described. f The application document indicates that the only species of concern in the project area is the endangered winter-run salmon occurring in Clear Creek approximately one mile to the south of the site.
